Technology OverviewPeeks Social technology acquisition.

Through a technology licensing agreement with Personas.com Corp., which was privately controlled by Peeks Social CEO Mark Itwaru, Peeks Social Ltd. recieved 30% of the gross revenue earned by the Peeks Social platform. In July 2017, the Company announced that it had established an independent special committee of its Board of Directors to explore and seek to negotiate the potential acquisition of specific assets of Personas pertaining to the Peeks Social service. This would result in Peeks Social Ltd. having up to 100% share of the revenues of the platform.

In November 2017, Peeks Social Ltd. and Personas.com Corp entered into an LOI whereby Peeks Social Ltd. would acquire the full 100% share of the revenues from the Peeks Social Platform and all of the underlying technology associated with the Peeks Social platform. The LOI outlined the Company acquiring the Technology in exchange for issuance of 175,150,520 common shares of Peek Social Ltd. Following the Transaction, the existing shareholders of Peeks Social Ltd. will own 27.1% of the Company on an undiluted basis, and 31.4% of the Company on a fully diluted basis. The transaction is completed as of May 1, 2018

Mark is a serial entrepreneur who is a leading innovator in new technologies. He’s created solutions for mobile commerce, mobile marketing, social media, social-marketing, ecommerce and payment processing. Mark is the innovator of 900 Pay, real-time checking, online debit and many other disruptive payment technologies. He holds several technology patents in mobile commerce and payment processing. His previous endeavour, Navaho Networks Inc. pioneered an e-wallet solution for payment processing that processed billions of dollars in transactions. He’s founded firms that have featured interactive Ad Network platforms and mobile, e-wallet payment technologies. Prior to this Mr. Itwaru was an internet engineer on the design team at AT&T Canada for CIBC INTRIA, RBC/TD Branch Network, Scotiabank Caribbean Network, Transport Canada and for the CP Rail Train Switch Network.

Chief Financial Officer; Alex MacDonaldAlex is a Chartered Professional Accountant and a Chartered Accountant (CPA, CA). He is a financial professional with a background in auditing who has held various roles in business and public accounting. He has served as the CFO of Peeks Social since 2014, also previously serving as controller and as a member of the board of directors. Mr. Macdonald is a graduate of the University of Toronto and a Primary Reservist, Infantry Section Commander in the Canadian Armed Forces. Mr. Macdonald is a Director of the NATO Association of Canada, where he also serves on the Executive Committee as Treasurer.

Vice President, Business Development; John KanakisJohn has more than 16 years of business development experience and a proven track record to assist companies in turn-around strategies. His entrepreneurial exposure started when he founded his first telecommunications firm, a cyber security firm that deployed hardware-based cyber security equipment to the Canadian government, corporations and divisions of the USA military, as well as a biomedical laser company. Mr. Westlake has more than 35 years of experience in the financial services industry, most recently serving as Group Head, International Banking and Insurance, Royal Bank of Canada. Mr. Westlake was a member of RBC’s Group Executive, being one of nine executives responsible for setting the overall strategic direction of RBC. Prior to joining RBC, Mr. Westlake spent 19 years with the Metropolitan Life Insurance Company, rising to become a Chief Operating Officer. He was the Chair of the Canadian Bankers Association and a former Chair of the Canadian Chamber of Commerce. He also sits on the boards of the Canadian Paralympic Committee and Oakville Hydro. Mr. Westlake holds an MBA from Queen’s University.

Mr. Amin has over 26 years of distinguished service in the public sector. Mr. Amin held progressively responsible positions in the Government of Ontario including Deputy Minister and Assistant Deputy Minister of Energy and infrastructure; Agriculture, Food and Rural Affairs; Municipal Affairs and Housing; Consumers Services; Economic Development and Trade; Citizenship and Immigration; Intergovernmental Affairs; and Small Business and Entrepreneurship.

Mr. Lavin is the President of Terrific Corporation, a software development firm he founded in 2000. Prior to founding Terrific Corporation, Mr. Lavin was Vice President of MegaChain.com Ltd. from August 1998 to February 2000, a company listed on the NASDAQ OTC. Mr. Lavin was also the President of IGN from July 1995 to July 1998, a publicly traded company on the Vancouver Stock Exchange. Through his service with these public companies Mr. Lavin has gained knowledge of corporate governance matters. In addition, Mr. Lavin has an expertise in credit card acquisition and marketing, having served as Project Manager at American Express from 1979 to 1988.

Mr. McLeod helped to found Navaho Networks Inc., a company which developed five separate online payment processing services and several proprietary payment technologies. Prior to founding Navaho, Mr. McLeod held a number of senior positions with large Canadian organizations, including: Vice President, Information Technology of Westmont Corporation; National Manager of Computer Services at William M. Mercer Ltd., a division of Marsh McLellan; Manager, Processing Services for Simpson's Limited; Director of Computing Services at The University of Manitoba; and Assistant Director Computing Services at Concordia University. In addition to these senior level positions held by Mr. McLeod, he has provided consultation services to major corporations including Air Canada and Hydro Quebec on hardware and software selection, operations, planning, modelling, and project management.

Mr. Khan is the President & Chief Investment Officer of Fairview Capital International Limited (FCIL). Prior to joining FCIL, Mr. Khan was Portfolio Manager at Tralucent Asset Management. Mr. Khan was also employed by the Abu Dhabi Investment Authority from 1996 to 2008 rising to the position of Senior Fund Manager, where he was responsible for over $5B USD in assets. Mr. Khan is a Chartered Financial Analyst and a member of the CFA Society Toronto.
