-1- legal/41541284_1 INTEL APP INNOVATION CONTEST 2013 OFFICIAL RULES NO PURCHASE NECESSARY These Official Rules govern the Intel App Innovation Contest 2013 (the “Contest”) and set out the terms and conditions between Intel Corporation (“Intel,” “Sponsor” or “us/we/our”), CodeProject Solutions, Inc., Beijing CSDN Co., Ltd., OOO Habrahabr, and Nine Dot Nine Mediaworx (each of these four entities are a “Participating Partner”), The Game Agency, LLC (“Administrator”), Lenovo Group Limited (“Lenovo”) and each entrant (“entrant,” “participant” or “you/your”). By submitting to the Contest in accordance with Section 5 of these Official Rules, you fully and unconditionally accept and agree to be bound by these Official Rules (including all terms and conditions set forth in documents/materials referenced herein) and all decisions of Sponsor, each Participating Partner and Administrator in accordance with these Official Rules which are final and binding in all matters related to this Contest. The Contest is subject to (and all entrants must comply with) all applicable national, federal, state, provincial, territorial, municipal and local laws, regulations, policies and directives. Contest is void outside of the countries listed in Section 1 below, and where otherwise prohibited. These Official Rules may be presented in English as well as other languages. However, the English version of these Official Rules will be the official document governing this Contest, and the English version of the Official Rules will apply to the extent there are any inconsistencies, discrepancies and/or ambiguities between the various language versions. 1. ELIGIBILITY. The Contest is open only to legal residents of the Australia, Belarus, Belgium, Canada (not including Quebec), Germany, India, Indonesia, Israel, Japan, Kenya, Nigeria, People’s Republic of China, Republic of South Africa, Russia, South Korea, Spain, Taiwan, UK, Ukraine, and the 50 United States of America (and the District of Columbia) who are at least eighteen (18) years of age and the age of majority in their country, state, province or territory of residence at the time of entry. Proof of residency and age may be required. Entrants must be able to read, communicate in and understand the language used on the applicable Participating Partner Entry Site (as defined in Section 5A) (i.e., these languages are respectively, English, Russian and Simplified Chinese). An entry may be submitted by an individual (who satisfies the eligibility requirements of this Contest) on his/her own behalf, or on behalf of either: his/her current (at the time of entry) employer (in which case, the employer -- as a corporation, limited liability company or other legally recognized commercial or non-commercial entity will be deemed to be the entrant(and also deemed to be an “Employer Entrant”) in the Contest, and the individual will be acting as an authorized representative of such entity), subject to the following: (i) such individual must be authorized by such employer to contractually bind and license the rights of the employer in the Submission (as defined in Section 6 of these Official Rules)

NO PURCHASE NECESSARY

These Official Rules govern the Intel App Innovation Contest 2013 (the “Contest”) and

set out the terms and conditions between Intel Corporation (“Intel,” “Sponsor” or

“us/we/our”), CodeProject Solutions, Inc., Beijing CSDN Co., Ltd., OOO Habrahabr,

and Nine Dot Nine Mediaworx (each of these four entities are a “Participating

Partner”), The Game Agency, LLC (“Administrator”), Lenovo Group Limited

(“Lenovo”) and each entrant (“entrant,” “participant” or “you/your”). By submitting

to the Contest in accordance with Section 5 of these Official Rules, you fully and

unconditionally accept and agree to be bound by these Official Rules (including all terms

and conditions set forth in documents/materials referenced herein) and all decisions of

Sponsor, each Participating Partner and Administrator in accordance with these Official

Rules which are final and binding in all matters related to this Contest. The Contest is

subject to (and all entrants must comply with) all applicable national, federal, state,

provincial, territorial, municipal and local laws, regulations, policies and directives.

Contest is void outside of the countries listed in Section 1 below, and where otherwise

prohibited. These Official Rules may be presented in English as well as other languages.

However, the English version of these Official Rules will be the official document

governing this Contest, and the English version of the Official Rules will apply to the

extent there are any inconsistencies, discrepancies and/or ambiguities between the

various language versions.

1. ELIGIBILITY. The Contest is open only to legal residents of the Australia, Belarus,

Belgium, Canada (not including Quebec), Germany, India, Indonesia, Israel, Japan,

Kenya, Nigeria, People’s Republic of China, Republic of South Africa, Russia, South

Korea, Spain, Taiwan, UK, Ukraine, and the 50 United States of America (and the

District of Columbia) who are at least eighteen (18) years of age and the age of majority

in their country, state, province or territory of residence at the time of entry. Proof of

residency and age may be required. Entrants must be able to read, communicate in and

understand the language used on the applicable Participating Partner Entry Site (as

defined in Section 5A) (i.e., these languages are respectively, English, Russian and

Simplified Chinese).

An entry may be submitted by an individual (who satisfies the eligibility requirements of

this Contest) on his/her own behalf, or on behalf of either:

his/her current (at the time of entry) employer (in which case, the employer -- as a

corporation, limited liability company or other legally recognized commercial or

non-commercial entity – will be deemed to be the “entrant” (and also deemed to be

an “Employer Entrant”) in the Contest, and the individual will be acting as an

authorized representative of such entity), subject to the following: (i) such individual

must be authorized by such employer to contractually bind and license the rights of

the employer in the Submission (as defined in Section 6 of these Official Rules)

consistent with Section 7 of these Official Rules (e.g., in some jurisdictions, a power

of attorney may be required) and that employer must be located in one of the eligible

countries listed above; and (ii) such individual represents and warrants that he/she is

an employee of such employer at the time of entry, is authorized to enter on behalf of

such employer, will provide written proof of such authorization upon request, and

will advise Sponsor immediately if he/she is no longer an employee of (or otherwise

no longer authorized to act on behalf of) such employer (in which case the employer

must, within five (5) business days, designate a new representative for the entrant

(who must comply with these Official Rules) or such entry will be disqualified); or

a group of individuals (in which case, only the individual submitting the entry will be

deemed to be the “entrant” in the Contest), subject to the following: (i) such

individual must be authorized by such group (including each person in the group) to

contractually bind and license the rights of the group (including the rights of each

person in the group) in the Submission consistent with Section 7 of these Official

Rules (e.g., in some jurisdictions, a power of attorney may be required) and all

members of that group must satisfy the eligibility requirements of these Official

Rules; and (ii) such individual represents and warrants that he/she is authorized to

enter on behalf of such group, will provide written proof of such authorization upon

request, and will advise Sponsor immediately if he/she is no longer authorized to act

on behalf of the group (in which case the group must, within five (5) business days,

transfer the entry to a new entrant who was an original member of that group (who

must comply with these Official Rules) or such entry will be disqualified).

Employees, officers, directors, members and representatives of Intel, each of the

Participating Partners, Lenovo Group Limited (“Lenovo”) and Administrator, and each of

their respective parent companies, subsidiaries, affiliates, and divisions, and of any third

party involved in the design, execution, production or judging of the Contest (all such

entities and persons, collectively, are the “Promotion Entities”), and immediate family

members (spouse and parents, siblings and children and each of their spouses, regardless

of where they reside) and persons living in the same households (whether or not related)

of each of the above are ineligible to participate, enter or win a prize. Verification of

eligibility qualifications of winners may be required.

2. SPONSOR AND PARTICIPATING PARTNERS. The “Sponsor” is Intel

Corporation, 2200 Mission College Blvd., Santa Clara, CA 95054-1549, U.S.A. There

are the following four (4) “Participating Partners”: (i) CodeProject Solutions, Inc., 250

Ferrand Drive, Suite 503, Toronto, Ontario, Canada, M3C3G8 (“CodeProject”) which

operates the CodeProject community; (ii) Beijing CSDN Co., Ltd., B-12th

Floor Fairmont

Tower, NO. 33 Guangshun Northstreet, Chaoyang District, Beijing, China (“CSDN”)

which operates the CDSN community; (iii) OOO Habrahabr, 105082, Moscow, Russia,

Spartakovsky per. 2, building 1 (“Habrahabr”) which operates the Habrahabr community;

and (iv) Nine Dot Nine Mediaworx dba Thinkdigit, A-262 Defence Colony New Delhi,

India (“Thinkdigit”) which operates the Devworx community.

3. ADMINISTRATOR. The “Administrator” is The Game Agency, LLC, 377 Park

Avenue South, 8th

Floor, New York, NY 10016, U.S.A.

4. OVERVIEW OF CONTEST SUBMISSION DEADLINES. The Contest begins

at 12:01 AM Greenwich Mean Time (“GMT”) on July 24, 2013 and ends at 11:59

PM GMT on November 20, 2013 (“Contest Period”). Note that the deadline for

submitting Idea Submissions (as defined in Section 5A) is September 4, 2013 at 11:59

PM GMT, and an Idea Submission must be submitted in order to advance potentially to

subsequent periods of the Contest. Sponsor’s clock shall be the official timekeeper for

this Contest. The Contest Period consists of the following periods (with the deadlines

noted in the chart below): (i) Idea Submission (Round 1); (ii) Fulfillment of Loaner

Devices; (iii) Demo Submission (Round 2) (for Round 2 qualifiers only); and (iv) New

Video (Round 2 – Continued) (for selected Round 2 participants only).

5. HOW TO ENTER. Through this Contest, Sponsor is seeking innovative ideas for

Windows 8 desktop software demonstration applications ("Demo Apps") for the Lenovo

Horizon 27” All-in-One (“AIO”) and Lenovo ThinkPad Tablet 2 (“Tablet”) devices,

collectively “Platform”, in consumer and line of business segments. During the Idea

Submission (Round 1) period (as described in Section 5A below), conceive of and submit

innovative app ideas (as long as you have all necessary intellectual property rights to the

idea). If you are entering on behalf of your employer or a group of individuals, you will

ensure that such employer or group of individuals owns all necessary intellectual property

rights to the idea and has granted you all consents and licenses to use such intellectual

property rights for the purpose of entering this Contest and as otherwise required under

these Official Rules. During the Demo Submission (Round 2) period (as described in

Section 5D below), use whatever tools you have available (as long as you have all

necessary intellectual property rights to use such tools in the development, submission

and use of your Demo App or proposed Demo App) to start creating a Windows 8 Demo

App that can be used with the applicable Platform. The Demo App (and the idea for the

Demo App) idea must fit within one (1) of the following categories (each a “Category”

and, collectively, the “Categories”):

AIO Platform Demo App Categories:

As part of the submission process described below in Section 5A, entrant will designate

the Platform and the Category to which their idea (and Demo App) is being submitted.

A. ROUND 1: HOW TO SUBMIT YOUR “IDEA SUBMISSION.” All content that

you provide through the idea submission phase set forth in this Section 5A (“Round 1”)

will be herein referred to as your “Idea Submission.” To conceive of and submit your

Idea Submission, you must complete the steps set forth below during Round 1. Entrant's

responses must be provided in the language used on the applicable Participating Partner

Entry Site (as noted in Section 1). As discussed herein, there are four (4) separate points

of entry (each of which has its own language requirement) and those high-scoring entries

from each Entry Site will advance to the next round of the Contest.

1. Register by visiting one of the following four (4) developer community sites:

(i) Code Project (English) at www.codeproject.com/contests/AIC2013;

(ii) CSDN (Simplified Chinese) at http://AIC2013.csdn.net;

(iii) Habrahabr (Russian) at http://habrahabr.ru/special/intel/aic2013/; and

(iv) Thinkdigit (English) at http://www.devworx.in/contests/intel-app-innovation-

contest-2013, and follow the presented registration instructions. Each of these sites

is referred to, individually, as an “Entry Site” and, collectively, the “Entry Sites.”

2. Complete the registration form including:

i. Your name

ii. Indicate if you are entering the Contest as an individual, or on behalf of a

group or on behalf of your employer (and, if you are entering on behalf of a

group or your employer, you must have, and affirm by checking the box

that you have, authorization to do so. Sponsor reserves the right to require,

at any time, written proof of such authorization in a form (e.g., power of

attorney) prescribed by Sponsor);

iii. Employer name (if entering on behalf of your employer);

iv. Email address;

v. Country of residence;

vi. Age confirmation; and

vii. Information about your software development history, years of experience

as a developer, and apps previously created.

[Note: By completing the registration form, an entrant/employee of the Employer Entrant

consents to the use of his/her personal data with respect to all matters related to

participation in the Contest.]

3. Click box (or otherwise confirm, as directed by Sponsor) that entrant has

read and understood these Official Rules and Sponsor’s Privacy Policy (see

Section 15 of these Official Rules) and agrees to be bound by them.

4. Optional: Click box (or otherwise confirm, as directed by Sponsor) that

entrant consents to receive marketing and promotional emails from Sponsor

(including Intel Developer Zone). (Note: There is no obligation to agree to

receive such marketing and promotional emails, and your decision to receive

(or not receive) such emails will have no impact on your entry or your

participation in the Contest.)

5. Select Platform for proposed idea (i.e., AIO or Tablet).

6. Identify one (1) of the above-listed Categories that best fits your proposed idea

and proposed Demo App.

7. Complete the online form providing your comprehensive proposal for a Demo

App. Your proposal must include the following:

(i) Application Name;

(ii) Overview of the application and what it does;

(iii) Description of the intended uses for the application which can be

presented in writing and/or visually (if presented visually, then you will be

provided steps to upload of an image, PDF, other visual representation of your

application idea, and/or an unlisted link (if available) to a video) (see, e.g.,

https://support.google.com/youtube/answer/157177?hl=en for details on how

to set-up an unlisted link);

(iv) The approach taken to develop the application; and

(v) The coding languages to be used.

8. Indicate whether the entrant wants to have his/her entrance and idea publicly

acknowledged/displayed and thereby open to public review and commentary during

the Round 1 entry period (and expressly consent to this). (Note: Whether an

entrant agrees to have his/her entrance and idea publicly displayed will not be

considered by the judges when judging entries.) (Some Contest Entry Sites may

not publicly display the submissions publicly at all. No prejudice or advantage is

afforded to contest entrants at those sites.)

By submitting and uploading your Idea Submission, you agree and understand that:

(i) your Idea Submission must conform to the content Guidelines and

Restrictions (as defined and described in Section 6 of these Official Rules);

(ii) Sponsor and/or the Participating Partner responsible for the Entry Site through

which you submitted your Idea Submission (“Applicable Participating

Partner”), in their sole discretion, may remove your Idea Submission and

disqualify you from the Contest if they believe that your Idea Submission fails

to conform to the Guidelines and Restrictions; and

(iii) the Contest is subject to these Official Rules and you agree to comply with

these Official Rules. Idea Submissions that do not comply with these Official

Rules may be disqualified. An entrant may submit multiple Idea Submissions

but may only submit a given Idea Submission for consideration in one (1)

Category. Entrant may only use one (1) email account in connection with this

Contest.

All of your Idea Submissions must be submitted through the same Entry Site. Any

developer who submits through more than one Entry Site will be disqualified from the

Contest. All of his/her entries to any Entry Site will also be disqualified.

All Idea Submissions are subject to verification by the Sponsor and the Applicable

Participating Partner in accordance with these Official Rules. Any attempted form of

entry other than as described herein is void. Sponsor and the Applicable Participating

Partner, in accordance with these Official Rules, will determine in their sole discretion,

what constitutes a valid entry.

Sponsor, Participating Partners and Administrator are not responsible for lost, late,

incomplete, invalid, un-intelligible, garbled, delayed or misdirected Idea Submissions; all

of which will be void and not considered.

See Section 15 of these Official Rules for important information related to the collection,

storage and/or export of the personal data that you submit as part of this Contest.

Round 1 Entry Deadline. Idea Submissions must be received by the Applicable

Participating Partner between July 24, 2013 at 12:01 AM GMT and September 4, 2013 at

11:59 PM GMT in order to be considered for advancement to the Demo Submission

(Round 2) period described in Section 5D of these Official Rules.

B. JUDGING OF IDEA SUBMISSIONS FOR POSSIBLE ADVANCEMENT TO

ROUND 2. For each of the four (4) Entry Sites, a panel of qualified judges (determined

by Sponsor and the Participating Partner of that Entry Site in their sole discretion) will

select up to one hundred twenty-five (125) highest-scoring Idea Submissions (subject to

the Platform allocations and Category minimums described below) from among all

eligible Idea Submissions received at that Entry Site during Round 1 in all six (6)

Categories (each an “Accepted Idea Submission,” and the entrant who submitted an

Accepted Idea Submission is a selected “Finalist”) based on application of the following

Idea Submission Judging Criteria:

(i) How effectively does the Idea Submission demonstrate innovation and user

experience? (up to 50 points);

(ii) How effectively does the Idea Submission demonstrate usage of key technical

enabling vectors? (up to 40 points);

(iii) How viable is the Idea Submission for the Category in which it was

submitted? (up to 30 points); and

(iv) How effectively does the Idea Submission describe the proposed application?

(up to 20 points).

As indicated above, for each of the four (4) Entry Sites, up to one hundred twenty-five

(125) Accepted Idea Submissions will be selected subject to the following allocations and

Category minimums:

From each Entry Site, fifty (50) of the Accepted Idea Submissions must be entries

submitted in the AIO Platform Demo App Categories subject to the following:

(a) at least fifteen (15) of these Accepted Idea Submissions must be entries in the

Games Category; and (b) at least fifteen (15) of these Accepted Idea Submissions

must be entries in the Entertainment Category; and

From each Entry Site, seventy-five (75) of the Accepted Idea Submissions must

be entries submitted in the Tablet Platform Demo App Categories subject to the

following: (a) at least ten (10) of these Accepted Idea Submissions must be

entries in the Education Category; (b) at least ten (10) of these Accepted Idea

Submissions must be entries in the Healthcare Category; (c) at least five (5) of

these Accepted Idea Submissions must be entries in the Finance Category; and (d)

at least five (5) of these Accepted Idea Submissions must be entries in the Retail

Category.

To be clear, there will not be an equal number of selected Finalists in each of the six (6)

Categories because of the above Platform allocations and Category minimums.

In addition, an entrant's Idea Submission must score at least seventy (70) points or greater

for the Idea Submission to be eligible to be (and deemed) an Accepted Idea Submission.

In the event of a tie (or multiple ties) that impact the selection of the one hundred twenty-

five (125) Idea Submissions selected as Accepted Idea Submissions from an Entry Site,

the tied entrant whose Idea Submission received the higher score for criteria (i) above, as

determined by the qualified judges in their sole discretion, will be deemed a Finalist (and

that entry will be an Accepted Idea Submission). In the event of a continued tie, the still-

tied entrant whose Idea Submission is deemed to be the most marketable, as determined

by the qualified judges in their sole discretion, will be deemed a Finalist (and that entry

will be an Accepted Idea Submission). Sponsor and each Participating Partner reserve the

right to select fewer than one hundred twenty-five (125) Idea Submissions as Accepted

Idea Submissions from among entries received via that Participating Partner’s Entry Site

if (i) an insufficient number of such Idea Submissions meet the scoring threshold

described above; (ii) an insufficient number of eligible Idea Submissions are received;

and/or (iii) in their sole discretion, if an insufficient number of such Idea Submissions

meet the Guidelines and Restrictions (as defined and described) in Section 6 of these

Official Rules). The judging of an Idea Submission will commence promptly after it is

submitted.

Since there are four (4) separate Entry Sites (where, pursuant to the above, there may be

up to one hundred twenty-five (125) Accepted Idea Submissions selected per Entry Site),

there may be up to five hundred (500) Idea Submissions (across all Entry Sites) that are

selected as Accepted Idea Submissions to advance to Round 2.

The odds of being selected to become a Finalist and move on to participate in Round 2 of

the Contest will depend on a combination of: (i) the total number of eligible Idea

Submissions received in each Category during the Idea Submission (Round 1) period; and

(ii) the score the Idea Submission receives by the judges in accordance with the Judging

Criteria outlined above.

Each selected Finalist will receive an email notification from Administrator or the

Applicable Participating Partner advising him/her that he/she has been selected as a

Finalist. Please check your email and spam filters. Such notice will (i) indicate that the

selected Finalist has the opportunity to participate in Round 2 of the Contest; and (ii)

identify which Idea Submission(s) submitted by the Finalist are Accepted Idea

Submissions eligible for Round 2.

C. FULFILLMENT OF LOANER DEVICES TO FINALISTS. Depending upon which

Category a Finalist’s Accepted Idea Submission falls within, Sponsor (or its designee)

will send each Finalist (or its authorized representative) a loaner device (AIO, Tablet or

both if entrant is a Finalist in both an AIO and Tablet Category, as applicable) (each a

“Loaner Device”) for temporary use to assist with the creation of the Demo Submission

(as defined in Section 5D of these Official Rules) subject to the following:

(i) The Loaner Device is subject to the terms and conditions set forth at

(http://aic2013.intel.com/static/docs/developer_system_loan.pdf);

(ii) selected Finalist must agree to and accept the above online terms and

conditions and provide his/her complete mailing address to which Loaner Device

will be sent; if Finalist does not consent to the terms and conditions of the

agreement, the Finalist may continue in the Contest and will merely not receive

the Loaner Device. Use of the Loaner Device is not required to participate.

(iii) Instructions and return postage will be included in packaging with the Loaner

Device; and

(iv) predicated on acceptance of the corresponding agreement, Loaner Devices

will be sent out to selected Finalist promptly after entrant is selected as a Finalist,

free of charge (including customs fees, etc.).

In Sponsor’s sole discretion, any entrant who has entered on behalf of his or her employer

and/or a group may be required to provide confirmation that he/she is authorized to enter

on behalf of his/her employer and/or group in order to receive the Loaner Device and be

considered for a prize in the subsequent parts of the Contest. Dependent on (and subject

to) shipping times, customs requirements and other requirements, Loaner Devices will be

distributed between September 11, 2013 and September 18, 2013, properly packed.

Arrival of the Loaner Device to the Finalist is dependent on shipping times and customs.

Sponsor, Participating Partners, and Administrator will not be responsible for any

delayed (whether by customs or otherwise), late, lost, or misdirected Loaner Devices

regardless of impact on Finalist’s ability to participate in the Contest unless Sponsor,

Participating Partners, and/or Administrator act negligently or willfully.

For Ukraine Residents Only (or otherwise applicable): Sponsor will send a Loaner

Device to the Finalist, provided that the Finalist must conduct customs clearance of the

Loaner Device and Sponsor will compensate the Finalist for the incurred customs

clearance expenses upon submission by the Finalist of the relevant evidence in writing.

D. ROUND 2: HOW TO SUBMIT YOUR “DEMO SUBMISSION” (OPEN ONLY TO

FINALISTS). All content that you provide through the Demo Submission period set

forth in this Section 5D (“Round 2”) will be referred to as your “Demo Submission.”

During Round 2, each Finalist will have the opportunity to create a Demo App/Demo

Apps that is/are generally consistent with his/her Accepted Idea Submission(s). To

develop and submit your Demo Submission, each Finalist must take the steps set forth

below and submit the Demo Submission during Round 2. To submit a Demo

Submission, each Finalist must visit the Entry Site through which the Finalist submitted

its Accepted Idea Submission and follow the presented prompts to upload the Finalist’s

Demo Submission. [Please note that, while at this Entry Site, Finalist will be uploading

its Demo Submission directly to Administrator’s server located in the United States.] A

Finalist's text and voice responses must be provided in the language used on the

Applicable Participating Partner Entry Site or English.

1. Create a Demo App that demonstrates your Accepted Idea Submission and

which must run on the intended Platform (i.e., AIO or Tablet) including, but not

limited to, the Windows 8 operating system.

Please note: Finalists may use programming aides and tools ("Programming

Tools") defined as tools and engines required to write the code and interface with

the creative assets ("Assets") that are used only to enhance the look and feel of the

Demo App that he/she has not personally created, with the following caveats:

Finalists must have all the necessary rights to use any such Programming Tools and

Assets in this Contest, and the terms and conditions or licensing agreements

associated with Programming Tools and Assets must allow Finalist to grant all

rights set forth in this Official Rules.

2. Follow the prompts at the Entry Site to add the following items to one folder that

will be zipped up and transmitted to the Administrator’s servers: (a) a Readme

text file with complete directions on use of the Demo App, installation instructions,

a specific step-by-step walk-through, and any application dependencies, if

applicable; (b). an executable application file or software package for your Demo

App that has distinct application files and supporting files/data and dependencies.

No other steps can be required to install and run the application; (c). an image that

helps demonstrate the functionality of the Demo App; and (d) an unlisted link (if

available) to (and/or upload) a video to a designated video upload site (such as

YouTube or YouKu) that complements your written proposal and describes

yourself and your Demo App functionality, compelling user experience and

innovations. (See, e.g., https://support.google.com/youtube/answer/157177?hl=en

for details on how to set-up an unlisted link.)

Videos posted on a designated video upload site must comply with all of the terms,

conditions and requirements of such site. All videos must also comply with the technical,

creative, and legal requirements set forth in these Official Rules. All videos must be in

the language used on the Applicable Participating Partner Entry Site or English, be no

longer than five (5) minutes in length, and must be submitted in one of the formats as

required by Sponsor and/or the designated video upload site.

By submitting and uploading your Demo Submission, you agree and understand that your

Demo Submission conforms to the Guidelines and Restrictions set forth in Section 6 of

these Official Rules and that Sponsor, in its sole discretion, may remove your Demo

Submission and disqualify you from the Contest if it believes that your Demo Submission

fails to conform to the Guidelines and Restrictions (or otherwise does not comply with

these Official Rules). Finalists may submit one (1) Demo Submission (featuring only one

Demo App) per Accepted Idea Submission. A Demo Submission/Demo App is required

to closely align with the Accepted Idea Submission (as determined in Sponsor’s sole

discretion).

All Demo Submissions are subject to verification by the Sponsor. Any attempted form of

entry other than as described herein is void. Sponsor, in accordance with these Official

Rules, will determine in its sole discretion, what constitutes a valid entry. Sponsor,

Participating Partners and Administrator are not responsible for lost, late, incomplete,

invalid, un-intelligible, garbled, delayed or misdirected Demo Submissions; all of which

will be void and not considered unless Sponsor, Participating Partners, and/or

Administrator act negligently or willfully.

Round 2 Entry Deadline. Demo Submissions must be received by Sponsor between

September 18, 2013 at 12:01 AM GMT and October 30, 2013 at 11:59 PM GMT in order

to be eligible for a Demo Submission Prize.

6. CONTENT GUIDELINES AND RESTRICTIONS FOR IDEA SUBMISSIONS,

DEMO SUBMISSIONS AND NEW VIDEOS. By submitting your Idea Submission,

Demo Submission and/or your New Video (as defined in Section 8) (an Idea Submission,

a Demo Submission and a New Video are each referred to herein as a “Submission”), you

agree, represent and warrant that all of your Submissions conform to the submission

content guidelines and restrictions as listed below (“Guidelines and Restrictions”) and

that Sponsor and/or a Participating Partner, may disqualify you (and/or your

Submission(s)) from the Contest if Sponsor or a Participating Partner party believes, in its

sole discretion, that any one of your Submissions fails to conform with the Guidelines

and Restrictions and/or any other restrictions/requirements set forth herein.

Content Guidelines:

All aspects of the Idea Submission must be in the language used on the

Applicable Participating Partner Entry Site. All aspects of the Demo

Submission must be in the language used on the Applicable Participating

Partner Entry Site or English. All language requirements of the New Video

are set forth in Section 8 of these Official Rules.

Any video submitted may not exceed five (5) minutes in length and this time

limit will be strictly administered; and

The image must be in .jpeg, .tiff or .png format and must not exceed twenty-

five (25) MB in size.

Content Restrictions:

The Submission must not contain material that violates or infringes another’s

rights (whether living or deceased) including, but not limited to, privacy,

publicity or any other intellectual property rights;

You must be the owner of your Submission (including the owner of all

copyrights, logos, trademarks, trade names, designs, patents, etc. in the

Submission) and/or otherwise obtain all rights necessary to submit your

Submission and participate in this Contest subject to these Official Rules,

particularly in Section 7. Your Submission must not contain any Sponsor

names, trademarks or other intellectual property. Your Submission may

contain third party brand names, trademarks or other intellectual property only

if you have all necessary rights to allow you to include such intellectual

property in your Submission and to allow Sponsor to use the Submission as

contemplated and described in these Official Rules. Your Submission may

not contain official emblems of any country without permission from the

appropriate authority from that country;

The Submission must not disparage Sponsor, any Participating Partner,

Administrator, any other person or party affiliated with the Contest or any

other third party;

Entrant must have permission from all individuals that appear (or are

otherwise featured) in any video, image, PDF or other visual or audio aspect

of the Submission (if any) to use their name, picture, image, voice and

likeness and to grant the rights set forth herein. If requested, entrant must be

able to provide such permissions to Sponsor in a form acceptable to Sponsor;

The Submission does not contain any viruses, worms, spyware, or other

components or instructions that are malicious, deceptive, or designed to limit

or harm the functionality of a computer;

The Submission must not contain material that is inappropriate, indecent,

obscene, pornographic, hateful, tortious, untruthful, inaccurate, defamatory,

slanderous or libelous;

The Submission must not contain material that promotes bigotry, racism,

hatred or harm against any group or individual or promotes discrimination

based on race, gender, religion, nationality, disability, sexual orientation or

age;

The Submission must not contain material that is unlawful, in violation of or

contrary to the laws, regulations or policies in any jurisdiction where

Submission is created or where Contest is offered; and

The Submission must be the original work solely of the entrant submitting the

Submission unless the entrant is entering on behalf of a group and/or his/her

employer and is in compliance with the requirements set forth in Section 1 of

the Official Rules.

Nothing in these Guidelines and Restrictions shall require that a Submission be created

by an entrant specifically for this Contest, nor shall these Guidelines and Restrictions

prohibit an entrant from submitting a Submission that he/she previously published,

provided that the entrant has retained ownership and/or all necessary rights to exploit the

Submission in this Contest.

7. SPONSOR’S USE OF SUBMISSION. Submitting a Submission constitutes

entrant’s agreement to grant Sponsor and Lenovo a royalty-free, irrevocable, perpetual

(or for the entire terms of duration of intellectual property rights), non-exclusive, sub-

licensable license (without an entrant’s separate consent) to use and exploit all

intellectual property rights including without limitation, to use, reproduce, modify,

publish, communicate to the public and publicly display such Submission in whole or in

part, on a worldwide basis, and to incorporate it into other works, in any form, media or

technology now known or later developed, including for administrative, promotional

and/or marketing purposes related to the Contest, other Contests conducted by Sponsor,

and the products and/or services of Sponsor and/or Lenovo. To be clear, such license

does not give Sponsor or Lenovo any right to sell your Submission to a third party, or to

offer it as a value-added premium in connection with a sale or lease. If requested, entrant

will sign any agreement or other documentation (and/or obtain the signature from

relevant third parties) that may be required for Sponsor or Lenovo to make use of the

non-exclusive rights entrant is granting to use the Submission (and/or that may be

requested to confirm such use). In granting Sponsor and Lenovo such license, entrant

hereby represents and warrants that the Submission does not in any way infringe upon

any third party’s intellectual properties (whether living or deceased). Intellectual

property ownership and rights to the Submission remain with the entrant (either with the

individual or the group or employer on whose behalf the individual entrant submitted the

Submission) except as provided herein. To the extent permitted under applicable law,

entrant consents to, and warrants that it has procured the consent from other creators of

copyright in the Submission to, any acts or omissions by the Sponsor and Lenovo and

each of their respective successors and assigns which would otherwise constitute an

infringement of the creators' moral rights (including, in particular, the right to maintain

the integrity of the Submission) and waives any and all such moral rights in favor of

Sponsor and Lenovo. If requested, entrant must be able to provide such third party

consent to Sponsor and Lenovo in a form acceptable to Sponsor. By submitting a

Submission, each entrant accepts and acknowledges that Sponsor and Lenovo shall not be

obligated to use the Submission and that Sponsor and Lenovo, in their sole discretion,

shall have the right to refrain from using the Submission. Sponsor and Lenovo shall not

incur any liability whatsoever to the extent Sponsor and/or Lenovo choose(s) to refrain

from any exploitation of its rights herein.

For Residents of Ukraine Only: The entrant may be required to enter into an additional

license agreement with Sponsor and/or Lenovo in the form and substance complying with

Ukrainian law. Sponsor may send a template of such license agreement or a license to the

entrant by e-mail or by other means and, if sent to entrant, such template must be filled in

and printed out by the entrant and its executed hard copy must be sent to Sponsor by

mail. Provisions of this Section 7 are also applied to an Employer Entrant's

employee/each individual from a group of individuals – the author(s) of a Demo

Submission.

8. SELECTION OF WINNERS AND JUDGING CRITERIA FOR ROUND 2.

Within thirty (30) days after the Demo Submission entry deadline, a panel of qualified

judges (including judges with appropriate language skills) determined by Sponsor in its

sole discretion will select the five (5) highest-scoring Demo Submissions in each of the

six (6) Categories (where each person submitting such a Demo Submission is a “Demo

Finalist”) from among all eligible Demo Submissions received from the four (4) Entry

Sites during Round 2 (i.e., there will be a total of up to thirty (30) Demo Finalists) based

on application of the following Demo Submission Judging Criteria:

(i) How effectively does the Demo Submission demonstrate innovation and a

compelling user experience? (up to 50 points);

(ii) How effectively does the Demo Submission demonstrate usage of key

technical enabling vectors? (up to 40 points);

(iii) How likely is it that end users will adopt the Demo App for its intended

purpose and category? (up to 30 points); and

(iv) Does the Demo App perform as expected with robust stability and

functionality? (up to 20 points).

The odds of being selected as a Demo Finalist will depend on a combination of: (i) the total

number of eligible Demo Submissions received in each Category during the Demo

Submission (Round 2) period; and (ii) the score the Demo Submission receives by the

judges in accordance with the Judging Criteria outlined above.

Each Demo Finalist will be required to provide a new video, subject to Section 6, that

presents the features and innovative uses of his/her Demo App (“New Video”). The

New Video cannot be the same video that you previously submitted in this Contest.

While the Demo App itself does not need to be translated into English, the New Video

must be presented in English via on-screen dialog, voice-over or subtitles. The New

Video may feature the voice and/or physical appearance of the Demo Finalist and/or the

voice and/or physical appearance of another person as long as such other person signs

and returns a release waiver as required by Sponsor and in accordance with Section 6. A

Demo Finalist may obtain assistance from another person to write the subtitle text if such

Demo Finalist is not fluent in English.

New Videos may be submitted via the Entry Site by uploading an unlisted link to the

Administrator’s Servers. The unlisted link will access the video the Demo Finalist has

uploaded to the designated video site (such as YouTube or YouKu) between November

13, 2013 at 12:01 AM GMT and November 20, 2013 at 11:59 PM GMT. Other specific

details about the New Video (including additional format, timing and other requirements

and limitations (if any)) will be provided to each Demo Finalist at the time of Demo

Finalist selection. A panel of qualified judges will be selected by the Sponsor in its sole

discretion to judge the New Videos.

Between November 21, 2013 and no later than December 9, 2013, the New Video of each

Demo Finalist will be judged and awarded points during this judging round based on

application of the same criteria and point structure indicated above in (i) – (iv). Sponsor

and judges reserve the right to refer to and consider the associated Demo Submission to

clarify and/or better understand the New Video. The points awarded for your New Video

will be added to your score for the corresponding Demo Submission, with the combined

score constituting your “Total Score.”

In order to be considered for the Overall Grand Prize, the AIO Platform Grand Prize or

the Tablet Platform Grand Prize, the Demo Finalist’s Total Score must be at least two

hundred-forty (240) points or greater.

* There will be up to one (1) Overall Grand Prize awarded to the Demo Finalist in any of

the six (6) Categories with the highest Total Score that meets the above required

threshold score.

* There will be up to one (1) AIO Platform Grand Prize awarded to the Demo Finalist in

any of the two (2) AIO Categories with the highest Total Score that meets the above

required threshold score. The winner of the Overall Grand Prize is not eligible to win the

AIO Platform Grand Prize (i.e., none of his/her New Videos will be considered for the

AIO Platform Grand Prize).

* There will be up to one (1) Tablet Platform Grand Prize awarded to the Demo Finalist

in any of the four (4) Tablet Categories with the highest Total Score that meets this

required threshold score. The winner of the Overall Grand Prize is not eligible to win the

Tablet Platform Grand Prize (i.e., none of his/her New Videos will be considered for the

Tablet Platform Grand Prize).

In order to be considered for one of the six (6) Category Prizes, the Demo Finalist’s Total

Score must be at least two hundred ten (210) points or greater.

* For each of the six (6) Categories, there will be up to one (1) Category Prize awarded

to the Demo Finalist in that Category who has the highest Total Score that meets the

above required threshold. Winners of the Overall Grand Prize, the AIO Platform Grand

Prize and the Tablet Platform Grand Prize are not eligible to win a Category Prize (i.e.,

none of their New Videos will be considered for a Category Prize).

The odds of being selected as a prize winner will depend on a combination of: (i) the total

number of eligible New Videos submitted by each Demo Finalist in each Category during

the Demo Submission (Round 2) period; and (ii) the score the New Video receives by the

judges in accordance with the Judging Criteria outlined above.

In the event one (1) or more Demo Finalists tie with the same highest Total Score for any

of the prizes/Categories listed above, the winner for that prize/category will be selected

by Sponsor based on which of the tied entries the judges believe has the most potential

marketability. Sponsor reserves the right to select fewer than the potential nine (9)

winners, if, in its sole discretion, an insufficient number of New Video/Demo

Submissions meet the scoring criteria threshold described above or if Sponsor does not

receive a sufficient number of eligible New Videos.

9. PRIZES.

Demo Submission Prizes. As described below, there will be up to nine (9) Demo

Submission prizes which include the following: up to one (1) Overall Grand Prize, up to

one (1) AIO Platform Grand Prize, up to one (1) Tablet Platform Grand Prize and up to

six (6) individual Category Prizes (i.e., one for each of the six (6) Categories listed in

Section 5 of these Official Rules). The winners of these prizes will be selected in

accordance with Section 8 of these Official Rules.

All cash prizes will be paid in United States dollars (USD).

Up to one (1) Overall Grand Prize Winner will receive twenty thousand US dollars

($20,000 USD). Approximate Retail Value (ARV) of Overall Grand Prize: $20,000

USD.

Up to one (1) AIO Platform Grand Prize Winner will receive ten thousand US dollars

($10,000 USD). ARV of AIO Platform Grand Prize: $10,000 USD.

Up to one (1) Tablet Platform Grand Prize Winner will receive ten thousand US dollars

($10,000 USD). ARV of Tablet Platform Grand Prize: $10,000 USD.

Up to six (6) Category Prize winners (one for each Category listed in Section 5 of these

Official Rules) will receive ten thousand US dollars ($10,000 USD). ARV of each

Category Prize: $10,000 USD. Total ARV of all six Category Prizes is sixty

thousand US dollars ($60,000 USD).

Total ARV of all offered prizes: One hundred thousand US dollars ($100,000 USD).

For Residents of Ukraine Only: A prize winner will receive his/her monetary prize in the

form of a check or via a wire transfer to the Ukrainian bank account. To receive a wire

transfer, a prize winner must notify Sponsor of the details of his/her bank account. Such

notification must be made in a reply e-mail to Sponsor's e-mail notifying of the winner

selection. The prize winners may request from Sponsor, and Sponsor must provide to the

prize winner on such a request, a document evidencing the nature of the payment as

monetary prize (such as a winner certificate, Sponsor's letter, etc.) that may be required

by the Ukrainian bank. Sponsor shall be responsible for paying any bank fees charged by

its bank. The prize winner pays bank fees charged by the Ukrainian bank.

For Residents of Russia Only: A prize winner will receive his/her monetary prize via a

wire transfer to the Russian bank account. To receive a wire transfer, a prize winner must

notify Sponsor of the details of his/her bank account. Such notification must be made in a

reply e-mail to Sponsor's e-mail notifying of the winner selection. The prize winners may

request from Sponsor, and Sponsor must provide to the prize winner on such a request, a

document evidencing the nature of the payment as monetary prize (such as a winner

certificate, Sponsor's letter, etc.) that may be required by the Russian bank. Sponsor shall

be responsible for paying any bank fees charged by its bank. The prize winner pays bank

fees charged by the Russian bank.

General Requirements. All prizes will be in the form of a check, via PayPal or via bank

transfer as determined by Sponsor in accordance with applicable law. Limit one (1)

Demo Submission prize per person. If an entrant would be otherwise eligible for Demo

Submission prizes in excess of this limit (e.g., eligible for prizes in two different

Categories), Sponsor shall determine, in its sole discretion, which prize such person will

receive, but, however, shall not be entitled to choose a prize less valuable than the other

one(s) such entrant may be entitled to. The entrant's other Submissions will be deemed

ineligible and the prize in the other Category will be awarded to the entrant with the next

highest Total Score for the applicable Category. As applicable, prizes will be awarded as

cash or a cash equivalent (e.g., PayPal). A winner may be required to set up a PayPal

account, as directed by the Sponsor, in order to receive his/her prize. Unless indicated

herein as being awarded, all other expenses associated with a prize or the use of a prize

are not included and are the sole responsibility of winner. No substitution or transfer of a

prize is permitted by a winner. Prize will be fulfilled within 10-12 weeks of applicable

winner selection date. Apart from prizes offered as part of the Contest, no monetary

compensation will be paid for any of your Submissions.

Taxes. Reporting and payment of any applicable federal, state, provincial, municipal,

local or other taxes associated with receipt or use of a prize are the sole responsibility of

each winner. Consistent with the above, if an Employer Entrant is selected as a winner,

the Employer Entrant (not the individual employee who submitted its Submissions) will

be responsible for tax-related obligations unless applicable law provides otherwise. If an

individual entrant who submitted a Submission on behalf of a group is a selected winner,

then such individual entrant will be responsible for the tax-related obligations unless

applicable law provides otherwise. For all non-U.S. winners, 30% of the prize value

accepted will be withheld and remitted to the IRS to the extent required to comply

with U.S. tax laws (subject to any applicable international agreements and/or

understandings) and, where appropriate, additional amounts will be withheld as

required by winner's country of residence.

10. WINNER NOTIFICATION. Selected prize winners will be notified by e-mail

within ten (10) business days of the date the winner is selected, at the email address

provided by entrant at time of entry. Please check your email and spam filters. To be

verified as a winner and to receive the applicable prize, each selected winner will be

required to complete, execute and send back the following to Sponsor: (i) an affidavit of

eligibility or declaration and release as applicable; (ii) a liability release which releases

Sponsor, Administrator and others; (iii) an IRS W-9 form (applicable to US residents

only), W8-BEN for non-US residents, or other tax-related forms required for residents (or

other entities) of other countries, as applicable; (iv) a publicity release (except where

prohibited); and (v) any other documents Sponsor determines is necessary to confirm

acceptance of the prize. Each selected winner must also provide Sponsor with a copy of

an official government issued identification for proof of identity, residency and age

(“Government ID”). If a selected winner is an Employer Entrant, Sponsor may, in lieu

of Government ID, require submission of other government issued documentation and

other information to confirm location and legal status of Employer Entrant

(“Government Documentation”). The documents referenced in (i) – (v) above,

together with a copy of your Government ID (and/or Government Documentation), are

collectively, “Prize Documents,” and may be drafted in the English language (in

Sponsor’s sole discretion). At time of winner notification (or soon thereafter), Sponsor

will send the Prize Documents (except the Government ID and Government

Documentation) to each selected winner, and each selected winner must return the Prize

Documents to Sponsor (or its designee) within ten (10) days of the date of notice or

attempted notice is sent by Sponsor (or its designee), in order to claim his or her prize. In

Sponsor’s sole discretion (and subject to applicable law), Sponsor may require such

documents to be notarized. Upon Sponsor’s receipt and approval of the required Prize

Documents, the applicable prize will then be sent to the winner. Failure to comply with

these requirements will cause the prize to be forfeited.

For Residents of Ukraine Only: Selected prize winners will also be notified in the same

manner as they were notified about the Contest – via the Entry Sites.

If a winner is an Employer Entrant, the corresponding prize will be delivered to the

individual who entered on behalf of the Employer (or other representative of the

employer as mutually agreed by such individual and Sponsor). If a winner entered on

behalf of a group, the corresponding prize will be delivered to the individual who entered

on behalf of that group.

Among other things, the Prize Documents will include provisions whereby selected

winner: (a) releases Sponsor, Participating Partners, Administrator, Lenovo and the other

Promotion Entities from, to the maximum extent permitted under law, any and all

liability, loss, claims, demands, and causes of action for personal injuries or death and/or

damage to personal or real property, theft, loss, or any other harm suffered directly or

indirectly from potential winner's participation in the Contest, including, but not limited

to, traveling to, preparing for and/or participating in any prize related activity, or the

acceptance, possession, or use or misuse of any prize; and (b) except where prohibited by

law, grants a right that gives Sponsor, Participating Partners, Administrator and the other

Promotion Entities the right to use selected winner's name, picture and/or likeness, or

biographical information or voice for trade, advertising and publicity purposes, in any

media now known or hereafter devised, throughout the world, in perpetuity, without

additional compensation or consideration or notification.

In Sponsor’s sole discretion, a selected winner may forfeit the prize and an alternate

winner may be selected in accordance with these Official Rules from among the

remaining eligible Submissions for such prize if such selected winner (i) cannot be

reached or does not accept the prize per the Official Rules within five (5) business days,

(ii) declines or cannot accept, receive or use a prize for any reason, (iii) fails to execute

and/or return the Prize Documents as instructed; or (iv) does not comply with these

Official Rules. Sponsor is not obligated to leave voice mail, answering machine, or other

message. Each selected winner must show valid government issued driver's license,

National ID Card, passport or other identification (subject to Sponsor’s approval) as

evidence of identity.

“Alternate winner” is defined as the next runner-up entrant that is eligible for the

forfeited prize according to the applicable process set forth in these Official Rules.

Alternate potential winners will be selected as provided for herein until an eligible prize

winner is reached and such eligible prize winner has submitted and returned all necessary

documents as provided for herein, unless Sponsor determines otherwise in its sole

discretion. Up to three (3) alternate winners may be determined for a given prize (who

will be subject to disqualification in the same manner), after which the applicable prize

will not be awarded.

Sponsor, Participating Partners, Administrator and the other Promotion Entities shall

have no liability for any selected prize winner notification that is lost, intercepted or not

received by any selected prize winner for any reason unless Sponsor, Participating

Partners, and/or Administrator and the other Promotion Entities act negligently or

willfully.

In the event of a dispute as to any Submission, the authorized account holder of the email

address, used to register will be deemed to be the entrant or Finalist (or Demo Finalist)

and must comply with these Official Rules. The “authorized account holder” is the

natural person assigned an email address account by an Internet access provider or online

service provider or other organization responsible for assigning email addresses for the

account associated with the submitted address. Each entrant, Finalist and/or Demo

Finalist may be required to show proof of being an authorized account holder.

11. PUBLICITY RELEASE. In addition to the terms and conditions set forth in the

Prize Documents and except as prohibited by law, acceptance of any prize constitutes

winner's permission for Sponsor and Lenovo to exploit and use winners' Submissions as

set forth in Section 7 of these Official Rules; and his/her name, photographs, likeness,

voice, biographical information, statements and complete address as set forth in Section

10 of these Official Rules.

12. GENERAL. If for any reason this Contest is not capable of running as planned, or if

this Contest or any web site associated therewith (or any portion thereof) becomes

corrupted or does not allow the proper interaction with the Contest and processing of

Submissions in accordance with these Official Rules, or if infection by computer virus,

bugs, tampering, unauthorized intervention, actions by entrants, fraud, technical failures,

or any other causes, in the Sponsor’s sole opinion, corrupts or affects the administration,

security, fairness, integrity, or proper conduct of this Contest, the Sponsor reserves the

right, at its sole discretion, to disqualify any individual (and/or some or all of his/her

Submissions) implicated in such action and/or to cancel, terminate, modify, or suspend

this Contest , or these Official Rules, or any portion thereof, and, in such situation, to

select the winners from among the remaining eligible non-suspect entries received prior

to and/or after such action, or in such manner as deemed fair and appropriate by Sponsor

in its sole discretion, who will be subject to disqualification in the same manner.

No more than the stated number of prizes will be awarded.

Sponsor also reserves the right in its sole discretion to disqualify any individual (and all

of his/her Submissions) who is found to be acting in violation of these Official Rules, or

to be acting in an unsportsman-like or disruptive manner, or with the intent to disrupt or

undermine the legitimate operation of the Contest, or to annoy, abuse, threaten or harass

any other person.

Sponsor reserves the right to seek damages and other remedies from any such person to

the fullest extent permitted by law. CAUTION: ANY ATTEMPT TO DELIBERATELY

DAMAGE THE ENTRY SITES OR UNDERMINE THE LEGITIMATE OPERATION

OF THE CONTEST MAY BE IN VIOLATION OF CRIMINAL AND CIVIL LAWS

AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE

RIGHT TO SEEK DAMAGES AND OTHER REMEDIES (INCLUDING

ATTORNEYS’ FEES) FROM ANY SUCH INDIVIDUAL TO THE FULLEST

EXTENT OF THE LAW, INCLUDING CRIMINAL PROSECUTION. No incomplete,

forged or other automated Submissions will be accepted. Entries generated by script,

macro or other automated means or by any means which subvert the entry process are

void. All Entries become the sole property of the Sponsor and will not be returned. Proof

of Entry submission does not constitute proof of receipt. Sponsor reserves the right to

correct any typographical, printing, computer programming or operator errors. The

invalidity or unenforceability of any provision, statement, sentence, or clause of these

Official Rules shall not affect the validity or enforceability of any other provision,

statement, sentence, or clause. In the event that any provision, statement, sentence, or

clause is determined to be invalid or otherwise unenforceable or illegal, these Official

Rules shall otherwise remain in effect and shall be construed in accordance with their

terms as if the invalid or illegal provision, statement, sentence, or clause were not

contained herein.

13. LIABILITY LIMITATIONS AND INDEMNIFICATION BY ENTRANT. To

the extent permitted by the mandatory provision of the applicable law, Sponsor,

Participating Partners, Administrator, Lenovo and the other Promotion Entities are not

responsible for, and entrant hereby indemnifies, releases, and holds harmless Sponsor,

Participating Partners, Administrator, Lenovo and the other Promotion Entities from any

and all claims, losses, liabilities, expenses (including reasonable attorney, tax and

professional fees and legal expenses) and/or damages arising from: (i) technical failures

of any kind, including but not limited to the malfunctioning of any computer, cable,

network, hardware or software (including, but not limited to, problems downloading or

uploading a Submission or any other Contest-related information); (ii) the unavailability

or inaccessibility of any transmissions or telephone or Internet service; (iii) unauthorized

human intervention in any part of the entry process or the Contest; (iv) electronic or

human error which may occur in the administration and/or operation of the Contest or the

processing of entries; (v) printing, distribution, programming or production errors, and

any other errors or malfunctions of any kind, whether human, mechanical, electronic or

otherwise; (vi) any injury (including death) or damage to persons or property, including

but not limited to entrant's computer, hardware or software, which may be caused by

(directly or indirectly, in whole or in part), or related to, this Contest or entrant's

participation in the Contest; (vii) use of any prize; and (viii) entrant’s breach, or alleged

breach, of these Official Rules.

FOR RESIDENTS OF GERMANY: NOTWITHSTANDING THE ABOVE, AN

ENTRANT IS ONLY LIABLE UNDER THE ABOVE PROVISION IN CASE OF

HIS/HER NEGLIGENCE OR WILLFUL ACTING.

FOR RESIDENTS OF THE UNITED KINGDOM, KENYA AND INDIA: THIS

RELEASE DOES NOT APPLY TO CLAIMS FOR PERSONAL INJURY OR DEATH

CAUSED BY THE NEGLIGENCE OF SPONSOR, PARTICIPATING PARTNERS,

LENOVO OR ADMINISTRATOR

FOR RESIDENTS OF SPAIN: THIS RELEASE DOES NOT APPLY TO CLAIMS

CAUSED BY THE WILLFUL MISCONDUCT OR GROSS NEGLIGENCE OF

SPONSOR, PARTICIPATING PARTNERS, LENOVO OR ADMINISTRATOR.

FOR RESIDENTS OF AUSTRALIA (AND OTHER JURISDICTION, AS

APPLICABLE): Nothing in these Official Rules limits, excludes or modifies or purports

to limit, exclude or modify any statutory consumer guarantees or any implied condition

or warranty the exclusion of which from these terms and conditions would contravene

any statute or cause any part of these terms and conditions to be void (“Non-Excludable

Guarantees”). Section 13 is subject to Non-Excludable Guarantees.

In the event the Sponsor is prevented from continuing with this Contest, or the integrity

and/or feasibility of the Contest is undermined by any event including but not limited to

fire, flood, epidemic, earthquake, explosion, labor dispute or strike, act of God or public

enemy, satellite or technical failure, riot or civil disturbance, war (declared or

undeclared), terrorist threat or activity, or any federal, state, provincial, or local

government law, order or regulation, customs-related issue, order of any court or

jurisdiction, or other cause not reasonably within the Sponsor’s control (each a “Force

Majeure” event), the Sponsor shall have the right, in its sole discretion, to abbreviate,

modify, suspend, cancel, or terminate the Contest, or these Official Rules, in whole or in

part, at any time and without notice or further obligation. If the Sponsor, in its discretion,

elects to abbreviate the Contest as a result of a Force Majeure event, the Sponsor reserves

the right, but shall have no obligation, to award the prizes from among all valid and

eligible entries received up to the time of such Force Majeure event.

For Residents of Ukraine Only: In case of a Force Majeure event, Sponsor may, in its

sole discretion, cancel or terminate the Contest for the residents of Ukraine.

14. DISPUTES. This Contest is governed by the laws of the United States and the State

of Delaware, without giving effect to any choice of law or conflict of law rules which

would cause the application of the laws of any jurisdiction other than the State of

Delaware. Accordingly, all question and issues concerning the construction, validity,

interpretation and enforceability of these Official Rules (and other documents or

materials referenced herein) or the rights and obligations of the entrant, Sponsor,

Administrator and others in connection with the Contest shall be governed by such laws.

By participating in the Contest (and as a condition of such participating), each entrant

agrees that any and all disputes which cannot be resolved between the parties, and claims

and causes of action arising out of or in connection with this Contest (including, but not

limited to, any prizes), shall be resolved individually, without resort to any form of class

action, exclusively before a court located in Delaware having jurisdiction. Further, in any

such dispute, claim or cause of action, under no circumstances will participants be

permitted to obtain awards for, and hereby waive all rights to claim, indirect, punitive,

special, incidental and consequential damages and any other damages or awards

(including attorneys' and other professionals’ fees), other than participant's actual out-of-

pocket expenses, and participant further waives all rights to have damages multiplied or

otherwise increased.

For Residents of Spain only: This limitation to the amount of damages does not apply if

not permitted by law.

For Residents of Indonesia and Belarus only: Any dispute arising out of or in connection

with this contract, including any question regarding its existence, validity or termination,

shall be referred to and finally resolved by arbitration under the ICC (International

Chamber of Commerce) Rules, which Rules are deemed to be incorporated by reference

into this clause. The number of arbitrators shall be one seat, and the legal place of

arbitration shall be the State of Delaware, United States. The language to be used in the

arbitral proceedings shall be English. The governing law of the contract shall be the

substantive laws of Indonesia or Belarus, depending upon whether the dispute involves a

resident of Indonesia or Belarus.

For Residents of Belarus only: Sponsor reserves the right to bring certain intellectual

property disputes to the Intellectual Property Disputes Chamber of the Supreme Court of

the Republic of Belarus.

15. PRIVACY AND ENTRANT’S PERSONAL INFORMATION. The Sponsor

collects personal information in order to conduct the Contest and may, for this purpose,

disclose such information to third parties including, but not limited to, the Administrator.

Participation in the Contest will be deemed to be your explicit authorization to transfer

personal data that you submit to participate in Round 1 of the Contest to the United

States, China, Russia, or India (depending upon which Entry Site you use to participate),

and also to transfer such Round 1 data (and other data related to Round 2) to participate

in Round 2 of the Contest to the United States, all for purposes of administration of the

Contest and associated processing, and such personal data will be stored on a server in

such country or countries.

All information submitted as part of this Contest will be collected by Administrator

and/or Participating Partners solely on behalf of Sponsor in accordance with Sponsor’s

privacy policy, available at http://www.intel.com/privacy. Sponsor has notified the U.S.

Department of Commerce that it adheres by the rules of the Safe Harbor Framework

available under http://export.gov/safeharbor/eu/eg_main_018365.asp. Personal

information includes name, email address, country, state or province, all or some of

which will be used to: (a) contact potential Finalists and winners; and (b) if an entrant

selects to receive additional information from the Sponsor at the time of entry or

otherwise, to send additional information to that entrant. EXCEPT AS YOU MAY

HAVE OTHERWISE CONSENTED TO DURING THE REGISTRATION PROCESS,

YOUR INFORMATION WILL NOT BE STORED OR PROCESSED ON SERVERS

LOCATED IN THE EUROPEAN UNION OR JAPAN, AND YOUR INFORMATION

(EXCEPT THAT PROVIDED TO PUBLIC FORUMS DURING THE CONTEST)

WILL NOT BE RETAINED BY SPONSOR, PARTICPATING PARTNERS, OR

ADMINISTRATOR AFTER THE CONCLUSION OF THE CONTEST (AND WILL

BE PROMPTLY DELETED AS SOON AS POSSIBLE AFTER THE COMPLETION

OF THE CONTEST) EXCEPT SUCH INFORMATION WILL BE RETAINED

SOLELY FOR THE PURPOSES SET FORTH IN (A) AND (B) ABOVE.
