1. Project Overview
Hong Kong Science and Technology Parks Corporation (“HKSTP”) plans to re-model
an existing industrial building located at 2 Dai Wang Street, Tai Po Industrial Estate
(“MARS Centre”) to support medical accessory resilience supplies manufacturing. The
MARS Centre will be built in two Phases to suit relevant production.
With a Gross Floor Area (“GFA”) of about 200,000 Square Feet GFA (“sfg”) at 2 Dai
Wang Street, Tai Po Industrial Estate (please refer to Appendix 6), MARS Centre (“The
Building”) is designed to support manufacturing of medical accessory resilience
supplies with a view of helping to build resilient supplies. The occupation permit (“OP”)
is expected to be issued around Q1 to Q3 2021.
The main occupier of The Building are manufacturers of following products/services:
a) Personal protection equipment (“PPE”);
b) Functional non-woven fabric, spun-bond, melt-blown, nano-fabric, and related
materials;
c) Testing and certification laboratory for medical accessories products; and/or
d) Other upstream and downstream medical accessories industries (e.g. devices,
equipment, etc.).
The priority will be given to item a), b) and c). Interested parties are now invited to
submit their tenders for leases of The Building.

3. Important Notes
a) All GFA figures are estimations only and the final figures will be stated in the
respective leases.
b) The Reserved Rent is exclusive of all Government Rent and Rates and Chilled
Water Supply Charges and other outgoings which are payable by the respective
Lessee.
c) Chilled Water Supply Charges are subject to adjustment from time to time by
HKSTP in accordance with the Lease.
d) HKSTP will provide the chilled water supply. Lessee shall install their own Air
Handling Units (AHU) and pay for the Chilled Water Supply Charges.
e) The Building management facilities and services, including public area lighting,
passenger lifts and cargo lifts of the Premises shall be provided for 24 hours a day.
f) Each premises will be handed over in Normal Factory Provisions with optional
Cleanroom Provisions. Details can be found in Section 5.
g) The units on G/F (Type A and B) will be reserved ONLY for high head room use.
You may submit application for space in, Type A & C, Type B & C or Type C only.
Please clearly state the applied type(s) in the technical proposal, all assessment will
be evaluated accordingly to same type of applications. Type A only or Type B only
Applicants will be considered together with Type A & C and Type B & C
respectively.
h) There is no partition wall in current design of Ground Floor, applicants may suggest
preferred partition in the Technical Proposal if needed.
i) The standard floor plans are provided for the purpose of this tender (Appendix 8).
j) Applications are subject to evaluation of Technical Proposal (Appendix 1) and
Price Proposal (Appendix 3) at HKSTP’s sole discretion.
4. Bidding Rent
a) The rent amount to be submitted together with the tender (“Bidding Rent”) will
become the final rental to the successful applicant.

b) The applicant should note that the application will NOT be considered if the
Bidding Rent entered in the Price Proposal is less than the said Reserved Rent (as
listed in Section 2 above).
5. The Building Particulars
The information is for reference for this tender purpose only, please refer to
Appendix 7 for more details. All information is subject to change without notice.

6.4 Tender Submission and Deadline
If you are interested in leasing The Building, you must submit your duly completed
application comprising the FOUR items listed in the table. The submission should be
concise and accurate and should comply with the following conditions. All the
applications will be evaluated through 2-envelop process (i.e. 80% technical +20%
price).

Late submission will NOT be considered. In the event a typhoon signal No. 8 or above
is hoisted or a black rainstorm warning signal is issued between 9:00 am and 5:00 pm
on the submission closing date, the submission deadline will be postponed to 5:00 pm
on the next working day.
6.5 Applicants’ Presentation & Assessment
Applicants will be invited to a presentation and interviewed by a panel at the venue to
be designated by HKSTP after the tender closing. Each applicant has 20 minute
presentation with respect to the technical proposal submitted and a 10 minute Q&A
session.
Technical Proposal will be evaluated according to the assessment criteria in Appendix
4. The applicant should note that the application will NOT be considered further if
the Technical Proposal does not attain the Passing Threshold (50%).

6.6 Result Announcement, Premises Allocation, and Offer
HKSTP aims to allocate the suitable unit(s) to the successful applicants in accordance
with their practical technical requirements such as exhaust, waste management, etc.
(subject to availability) and prioritised by final assessment score.
HKSTP has absolute discretion to allocate any Premises to the successful applicants.
Allocation is based on the final assessment scores. Other considerations are, but not
limited to, practical technical requirements such as building provisions, safety, health
and environmental provisions or other factors in relation to the physical building
limitations.
Successful applicants will be offered a Premises (First Unit) after our assessment (the
Offer). The successful applicants will be given 28 calendar days for acceptance of this
formal Offer.
Successful applicant who wishes to consider another unit shall reply with reasons within
14 calendar days from the date of the offer letter. HKSTP may, at its best effort, offer a
Second Unit (if any) to the successful applicant for its consideration. Once offered the
Second Unit, the original offer shall become null and void; and HKSTP may
immediately offer the First Unit to another applicant.
In case a Second Unit is provided, the applicant concerned shall then accept/decline the
Offer of the Second Unit within 14 calendar days from the date of the second offer letter.
Upon acceptance, the successful applicant shall pay a another payment (“Advance
Payment”) which shall be equivalent to one (1) month’s (a) Rent; (b) Provisional
Service Charges; and (c) Government Rent and rates. The Application Deposit will be
used to offset against the Advance Payment upon the acceptance and in the event where
Application Deposit is not enough to offset Advance Payment, the successful applicant
shall immediately pay the difference.
The Advance Payment may be further adjusted and in the event where the Advance
Payment is adjusted upward; the successful applicant shall immediately pay the
additional sum of the Advance Payment upon HKSTP’s demand.
6.7 Forfeiture of Application Deposit and Advanced Payment
The Application Deposit shall be forfeited in total for whatever reasons in the event:
a) If the applicant withdraws its application any time after submission before the
issuance of a letter of rejection by HKSTP; or
b) If the applicant fails to accept or reject the formal offer on or before the deadline
as stipulated on the offer letter or any extension given by HKSTP in writing.
c) The Advance Payment will be absolutely forfeited as liquidated damages if the
applicant fails to execute the Agreement for Lease and/or the Lease.

A flow chart illustrating the Mechanism of Premises Allocation and Arrangement of
Application Deposit mentioned above are attached in Appendix 5.
6.8 Enter into Agreement for Lease under Seal (for Successful Applicants)
The successful applicant will enter into an Agreement for Lease under seal with HKSTP
within 28 calendar days upon the offer acceptance.
6.9 Enter into Lease and Proposed Form under Seal
Depending on the issue date of the OP for the Premises and subject to and subject to
relevant terms of the tender and other documents, HKSTP will issue a Lease to the
Applicant who has already entered into an Agreement for Lease. The Applicant shall
then execute the Lease under seal within 14 calendar days upon the issuance of the
Lease.
The Main Terms and Conditions of the Lease (Subject to Contract) are shown in Section
7 for reference.
On executing the Lease, in addition to the Preliminary Deposit, the Lessee shall pay a
deposit equivalent to THREE (3) months’ Rent, Service Charges and Government rent
and rates as specified by HKSTP.
7. Main Terms and Conditions of the Lease for Reference (Subject to Contract)
7.1 The Lessee agrees not to transfer, assign, underlet, mortgage, charge, license, share,
hold for the benefit of another or otherwise transfer or part with the possession or
occupation of the Premises or any part thereof or the right to use them.
Fees/Charges/Government Rent and Rates
7.2 The Management Fee and Chilled Water Supply Charges of the Premises may be
adjusted from time to time by HKSTP in accordance with the Lease.
7.3 Monthly rent, Management Fee, Chilled Water Supply Charges and quarterly
Government rent and rates are required to be paid in advance.
7.4 If the Premises are not yet assessed to Government Rent and Rates on the
commencement of the Lease, the Lessee is required to pay to HKSTP quarterly in
advance provisional Government Rent and Rates as estimated by HKSTP as to the
likely amount of Government Rent and Rates that would be assessed and demanded.
Any discrepancy shall be made good in the subsequent demand.

Monitoring
7.5 The Lessee is required to prepare and submit detailed fit-out plan for HKSTP’s prior
approval and shall not commence work before receiving a notice from HKSTP.
7.6 The successful applicants should duly note that for monitoring the Lessee’s business
activities, its application comprising the following four schedules will be incorporated
in the Technical Proposal to be executed that constitute its commitment to be met under
the Lease.
7.7 HKSTP will carry out inspections, assessments and reviews of the Lessee’s activities
at the Premises from time to time to verify (i) the continued implementation and
realization of the Lessee’s commitment stated in the Technical Proposal.; and (ii) the
observance and performance of the Lessee’s covenants in the Lease.
7.8 Annual Business Update (ABU) – The Lessee is also required to submit to the Annual
Business Update documents for the past one year period from Jan to Dec for reviewing
the Lessee’s business activities and undertakings.
Renewal / Termination
7.9 Subject to compliance of the Lease conditions, HKSTP may grant an option to renew
the Lease for THREE (3) years at a revised monthly rent to be determined subject to
prevailing market rent.
7.10 In the event of the following breaches, HKSTP may serve a notice of breach and the
Lessee shall submit a revised plan of investment and business activities within one (1)
month from the notice of breach to HKSTP for approval:
a) the Lessee has deviated or departed from its commitments stated in the Technical
Proposal or failing to duly submit the ABU; or
b) the Lessee has materially reduced its level of business activities and deviated from
its commitments to what is stated in the Technical Proposal and/or the Business
Update Documents; or
c) the Lessee's business activities carried on in Premises has fallen significantly
below the Lessee's commitments as set out in the Technical Proposal and/or the
ABU.
d) the Lessee has ceased to use the Premises or any part thereof for the Permitted
Use (as to which such non-user for a period of three (3) months shall be
conclusive); or
e) the Lessee is in breach of the Safety, Health and Environment (SHE) Handbook,
its Risk Assessment Report or any other rules or regulations in relation to the
safety of the Premises.

f) Upon its failure to rectify the breach to our satisfaction within three (3) months
from the notice of breach, HKSTP will issue a letter to terminate the Lease.
7.11 On termination of the Lease, the Lessee shall surrender and deliver up vacant
possession of the Premises in all respects to the satisfaction of HKSTP in accordance
with the terms and conditions of the Lease.
7.12 Notwithstanding anything herein contained, if at any time during the Term HKSTP
shall resolve to re-develop The Building or any part thereof whether wholly by
demolition and rebuilding or otherwise, or partially by renovation refurbishment or
otherwise, or shall assign or enter into any agreement for the assignment of the Premises
or the whole or any part of The Building, then in any of such event HKSTP shall have
the right to terminate this Lease by giving not less than six (6) months’ prior notice in
writing to the Lessee.

Appendix 1 Technical Proposal
Technical Proposal
Information supplied in this form will be treated as strictly confidential and will be used for the
specific purpose of processing this application. The provision of accurate and comprehensive
information will facilitate and expedite consideration and assessment of the application.
The applicants agree that this technical proposal will constitute commitments to be met under
the Lease.
Points to note:
You must complete duly sign this Technical Proposal with proper company chop.
Please note that in any case, you must NOT include any information on the Price
Proposal in the Technical Proposal.
HKSTP is not bound to accept any of the applications that it may receive and nothing
is binding on HKSTP until and unless a formal agreement is signed by HKSTP.
If any person who signs as the applicant does so as agent or trustee for any other person
or persons, he shall disclose in his application the names and addresses of such person
or persons. If no such disclosure is made, the person signing the Technical Proposal
shall be deemed to be a principal and no subsequent disclosure of any trust, agencies,
etc. will be recognized by HKSTP.
It should be noted that HKSTP will not be responsible for the reimbursement of any
cost incurred by you for the preparation of the submission.
Once an application has been lodged, you agree to abide by your Technical Proposals
for a period of 150 calendar days from the due date for submission of Technical
Proposals and it shall remain binding upon you and may be accepted at any time before
the expiry of that period.
You may provide supplementary information in your Technical Proposal illustrating
your project profile under the same headings of assessment criteria as stipulated in
Appendix 4. You may however submit any further information as you see fit.

5.3 Sketch Plan of Future Set up
Sketch plans (A3 size, 29.7cm x 42cm) must be drawn by using the standard floor plan
given as stipulated in Appendix 11 and attached to the application showing to scale:

Standard Floor Plans of Typical Production Area
Points to note:
The floor plan is for reference only and is subject to modification and variation by the
Lessor.
The layout to be submitted have to fulfill the Means of Escape (MOE) and other
statutory requirements after configuration.
No subdivision of floor is allowed.
MEP balcony is reserved for Lessees’ usage. Washrooms within unit is suggested to be
planned near the staff corridor where is close to the MEP balcony for discharging waste
water.
Drainage pipes are reserved in the central zone as indication.
A clear passage along the logistic corridors as well as the logistic lobbies shall be
provided at all time.
No permanent fixture shall block the “access cover for drain pipes”, as indicated on the
