GUJARAT GOKUL POWER LIMITED 1 EXTERNAL WATER SUPPLY SCHEME Technical Feasibility of Water Intake : GGPL is in the process of setting up a 135 MW Power Project using Lignite as fuel. Condenser cooling is proposed through a closed cooling water circuit with induced draft cooling towers (IDCT). The site has been identified and the map showing the details of the proposed site is attached as Ann.1 The purpose of this study is to examine the technical feasibility of getting requisite water from the nearest water source. In this case the nearest water source identified is river Tapi which is near to proposed site. Based on preliminary information, the river is perennial and it is feasible to draw water from the Tapi river. Water requirement The total water requirement for the proposed Power Project will be around 15 KLD. The first phase, expected to be commissioned by end of 2010. Scope of Work :

4. Based on the outcome of the water analysis and requirement of water quality,

the consultant should suggest raw water treatment facilities such as filtering, clarifier (clarifloculator), chlorination etc.

5. Suggest the most appropriate intake system, which shall;

Provide adequate quantities of water under all conditions

Provide water of suitable quality under all conditions.

Flexible for gradual and incremental addition in the built up capacity

Design the system considering the phase-wise water requirement.

Propose the in-situ storage under worst conditions of water intake.

6. Once the technical feasibility of getting the requisite quantity of water is established, the consultant should suggest the best way of transporting the water to the site. The consultant shall consider all possible alternatives and assess the technical feasibility of each alternative, and suggest the technically feasible and most economical solution.

7. The consultant should identify the place within the proposed site where the storage facility can be created. The consultant shall study various alternate locations within the site and suggest the most suitable cost effective location. Based on the storage capacity requirement, the consultant should suggest type of storage facility i.e. open pond, closed concrete tank, over ground, underground tank etc. The consultant should suggest the facility which is most economical.

8. The consultant should also study the environmental aspects. The scheme by the consultant must meet all the environment related rules and regulations.

9. The consultant should also study what kind of permissions will be required to take from the State Government or any other statutory authority for implementing the water supply scheme.

Part-II Basic Engineering of Water Supply Scheme

1. Based on the conclusion arrived at during part-I of the study, the consultant should design the water supply scheme. It is not expected to carry out a detailed design; however, the consultant should be able to provide the design on which basis EPC bids can be invited. The design should include, but not limited to, 1.1 Broad specifications for equipments and data sheets. 1.2 Layout drawings. 1.3 Pipe routing. 1.4 Storage facility details. 1.5 Buildings envisaged. 1.6 Power feeding arrangement. 1.7 BOQ.

1.8 Any other details required for obtaining the firm price bid on EPC basis for complete job.

2. The consultant should carry out basic engineering of water drawal scheme,

water transportation scheme, water treatment plant and water storage facility.

3. The consultant must make the technical data sheet which will be used for inviting the EPC bids.

Time Schedule :

The Part-I of the study must be completed within six (6) weeks from the date of award of the study. The Part-II of the study should be completed within two (2) months from the date of award of Part-II of the study.

Payment Terms :

For each Part, the payment will be released as below: 1. 10% on award of the study. 2. 30% on submission of interim report. 3. 40% on submission of draft final report. 4. 20% on submission of final report.

The milestone to be achieved during each stage shall be submitted by the consultant and will be finalized during negotiations.

A report in 3 copies in soft and hard format will be submitted.

You are requested to submit the following as part of your bid :

1. Brief write-up about your firm.

2. Description of your firm’s experience in carrying out similar studies ONLY. Please provide details of similar consultancy assignments carried out.

3. Composition of team proposed to carry out this assignment and brief profile of each team member.

4. Financial Price. You are requested to submit the price of Part-I and Part-II separately. The price will be inclusive of all taxes. GGPL will issue LOI to the selected bidder for the Part-I initially. Once the Part-I is completed and feasibility of water supply system is established, GGPL may issue LOI for the Part-II of the study. The price submitted by the Consultant for Part-II of the study should be valid for 3 months after completion of assignment of Part-I. All

the prices quoted must be inclusively of all taxes and duties, the consultant may specify base price and taxes and duties separately.

ANNEXURE-2

General Terms And Conditions:

1. Time is the essence of this contract. You are required to mobilize and visit the site upon receipt of the work order.

2. Strict compliance of safety rules and regulations as prescribed is required to be adhered to while executing the work.

3. The offers should be submitted along with EMD calculated at 5 % of the offered price, in the form of DD in favour of Gujarat Gokul Power Ltd, payable at Ahmedabad, issued by any nationalized or scheduled bank .

SECURITY DEPOSIT

The security deposit shall be furnished within 15 days from the date of issue of order or before commencement of the work whichever is earlier. The owner deserves the right to cancel the work contract on the failure to furnish the security deposit and to lay the penal interest of the delay of the security deposit. The security deposit paid by the tenderer will be released to the tenderer only when for the contract is completed to the satisfaction of the owner. If there is any other liability of the contractor that arises as a result of any of the clauses mentioned herein or any amount arising out of the contract becomes payable by you to GGPL, then GGPL will in addition such other rights that it may have under law appropriate the whole or part of the security deposit and such amount as appropriated will not be refunded to you.

No interest shall be payable by OWNER on the Security Deposits.

On due performance and completion by the works of CONTRACT in all respects the Security Deposit under the said CONTRACT will be returned without any interest thereon after the expiry of the warranty as per clause .

Agreement with successful tenderer shall be executed on a Non-Judicial Stamp paper of Rs. 100/-.

No payment will paid for the defective works

Income tax, Service-tax, Wealth-tax, Works Contract Tax and other deductions will be made from the bills as per rules and regulations, if applicable. The payment will be made by cheque of any of the Nationalized or Schedule Banks in Gujarat. Any commission for the issue of bank draft will be to the account of the tenderer.

STATUATORY LEVIES

Sales Tax, Excise Duty and other statutory levies shall be paid as applicable.

The prices shall be firm and fixed during the period of CONTRACT. The TENDRER shall quote on the basis as specified in the Invitation to Tender.

The validity of the quotation should be three (3) months from the due date for opening of TENDER.

Institution of Suits

No suits or any processing with regard to any matter arising in any respect under this contract shall be instituted in any court.

Subletting of the Contract

The contract is not transferable. No part of the contract shall be sublet without written permission of the owner.

The contract is liable to be terminated by GGPL at any time during the course of the contract giving one week notice in case of performance or progress of the contractors is not satisfactory.

Contract Labour Licence

The contractors will fulfill all of the conditions stipulated in the Contract Labour Regulations and Abolition Act 1970 and rules made under the same., Contract shall be terminated if the contractor fails to obtain licence under section 12 of the Contract Labour Regulations and Abolition Act 1970 within 30 days from the date of the award to contract.

Group Insurance

The contractors should take Group Insurance according to the nature/elevation of work for all his workmen who are engaged in work at site before commencement of the work.

The contractor is liable for all claims of such person under terms of employment, under any such statutes relating wages, compensation, retrial or other benefits, bonus compensation for injuries, loss of earning capacity and any other conditions so ever now or hereafter payable to them. The contractor hereby undertakes to observe perform all such statutory regulations and obligations relating to the employment to such workmen. The contractor will certify that he deposits necessary statutory bills of his

workers before the appropriate authority under Provident Fund Act and shall complete with the provisions of minimum wages of workers compensation work and equal labour laws or all applicable laws. The contractor will have to submit certified copy of all necessary documents to fulfill the provisions of all aforesaid laws to the company. The contractor will undertake that he should not employ any person as his worker who is below 18 years old. Workers of the contractor shall at no stage of the settlement shall claim thereafter as the workers of the company.

Management of GGPL has the right to change clauses and annexures of the agreement with the consent of the Contractor.

AUTHORITY OF PERSON SIGNING DOCUMENT

1) A person signing the Tender or any other documents forming a part of the Contract on behalf of contractor shall be deemed to warrant that he has authority for the same. If, on enquiry, it appears that the person so signing had no authority to do so, OWNER may without prejudice to other civil and criminal remedies,cancel the contract and hold the signatory liable for all costs and damages. Any person so signing shall give satisfactory evidence of his authority.

2) The Contractor shall be entirely responsible for the due performance of the CONTRACT in all respects according to the terms and conditions of the CONTRACT.

3) The work shall be of the best quality and workmanship according to the latest engineering practices existing at the time of acceptance of the TENDER

4) All work shall be performed and completed in a thorough workman like manner and shall follow the best practice in the light of modern developments

5) Progress reports wherever specified shall be submitted to OWNER at agreed intervals in three (3) copies in a form acceptable to OWNER.

CHANGES

1 GGPL shall have the right to make such changes and / or variation in the scope of work as may be necessary or desirable from time to time during the subsistence of the CONTRACT till the stage of completion of work.

2 Prior to commencement of any additional work based on a change in scope of work as above involving compensating / reduction on the Contract price, Contractor shall submit to GGPL a detailed estimate in writing of the price for such additional / reduced works. Upon approval by GGPL, GGPL shall issue to Contractor a written order covering the changes in work and price, which shall then form part of the CONTRACT. Contractor shall not proceed with any additional work prior to receipt of GGPL’s said written order.

TIME SCHEDULE

1. The time and date(s) of delivery of survey/feasibility/progress report as agreed to between Contractor- Owner shall be deemed to be the essence of the CONTRACT, and delivery must be completed not later than the date (s) / so specified.

2. Within fifteen (15) days of acceptance of Tender, Contractor shall submit for Company’s approval a progress schedule covering all phase of the work.

Contractor shall allow all reasonable facilities to INSPECTORS of company and Company’s representative(s) including free and full access to contractor’s facilities and to all records having a bearing on the progress and quality of the work and deliveries under the CONTRACT.

DOCUMENTATION

1. All drawings, specifications, data, notices and other writings required under the CONTRACT shall be in English language and dimensions, weight and volumes shall be in metric system.

2. All drawings, specifications, reports and other data shall be delivered to:
