GENERAL INFORMATION:

The Franklin County Technical School is located at 82 Industrial Boulevard, Turners Falls, MA.

Summary of the Work:

The Work includes surfacing of a 400 meter, six lane running track that will be newly paved on or

about the 29th of July, 2016. Bids should include supplying and applying resilient surfacing to

approximately 3,800 s.y. running track, with appropriate lane markings. Surfacing to include latex

emulsion primer, high viscosity polyresin binder with rubber granules and polyresin top coat.

The bids should include all labor, materials, equipment, debris/trash removal, transportation, services,

insurance coverage, permits and any applicable taxes for completion of work outlined and shall be in

accordance with local codes and ordinances. Labor rates are per MA Prevailing Wage. Tables are

included in Exhibit 1.

Bidders need to possess a minimum of five (5) years’ experience with similar projects and be an

authorized applicator of the products. All bidders must provide Owner with three (3) references

(telephone numbers of the companies the bidder has done jobs for in the past five (5) years. If bidders

plan to subcontract out any part of the Work, the subcontractor must furnish reference information for

those companies as well. FRCOG/FCTS reserve the right to check references on other projects.

The base bid will be for a 3/8 inch thick surface, with an add alternate one for an additional 1/8 inch of

surface for a total of ½ inch thickness and color (blue) as a second add alternate.

TECHNICAL SPECIFICATIONS:

RUNNING TRACK RESILIENT SURFACING PART 1 GENERAL 1.1 DESCRIPTION

Furnish and install running track resilient surfacing on the accepted asphalt pavement.

1.2 QUALITY ASSURANCE

A. Asphalt surface shall comply with the guidelines of the ASBA and NAPA for surface planarity and density.

B. All liquid materials shall be from a single source and manufactured for the purpose of resilient

track construction.

C. The contractor shall record the batch number of each product used on the site and maintain it throughout the warranty period.

D. The contractor shall provide the owner, an estimate of the volume of each liquid product and

the weight of the rubber granule to be used on site.

E. The installer shall be an authorized applicator of the specified surface system.

F. The manufacturer’s representative will be available to help resolve material issues. 1.3 SUBMITTALS

A. Manufacturer’s specifications for components and system.

B. Representative sample of the system to be installed with appropriate labeling for identification.

C. Color sample of the finished product, if the alternative is included in the contract.

D. Current material safety data sheets (MSDS) for the liquid components.

E. A certificate from the manufacturer of the binders and coatings stating that the materials have been produced specifically for the use in sports surfacing construction.

F. A complete list of materials intended to be used in the construction of the running track system.

All liquid quantities will be prior to dilution.

G. A test report that the system has been tested to ASBA standards for force reduction and modified vertical deformation. Force reduction shall be 35-50%. Modified vertical deformation shall be 0.6-1.8 mm.

H. Product: The contractor shall submit a complete type-written list of proposed products with

sufficient data, drawings, samples and literature to demonstrate that the proposed coating meets the specifications. Information must include a QUV test of at least 1,000 hours and ASBA test information for the system to be installed.

1.4 MATERIAL HANDLING AND STORAGE

A. Store material in accordance with manufacturer’s specifications and MSDS.

B. Deliver products to the site in original, unopened containers with labels attached.

C. All surfacing materials shall be non-flammable. 1.5 GUARANTEE

A. The installer and the materials manufacturer shall supply a warranty covering labor and materials respectively. The warranty period shall be for 5 (five) years.

1.6 INSTALLER QUALIFICATIONS

A. Installers shall be regularly engaged in the construction and surfacing of running tracks.

B. Installer shall be an authorized applicator of the specified system.

C. Installer shall be a builder member of the ASBA. 1.7 MANUFACTURER QUALIFICATION

A. Material supplier shall certify that the materials provided are manufactured specifically for construction and surfacing of running tracks.

B. System manufacturer shall be a US owned company that has been continuously engaged in

the business of track surfacing materials for at least 10 years.

C. Manufacturer shall be a member of the ASBA.

D. System manufacturer shall have a designated representative available for site inspection. PART 2 PRODUCT 2.1

A. Any materials used must be an emulsion/water based product. Any products which require solvents such as MEK, Butyl Cellusolve or Acetone for clean up or mixing are not acceptable.

B. Materials must have a VOC less than 150g/lt. for binder products. Top coats shall have a VOC

of less than 100g/lt. measured by EPA method 24.

C. Materials may not have a flash point of less than 200°F.

2.2 MATERIALS

Court Patch Binder- 100% Acrylic resin blended with Portland Cement and Silica Sand

Rubber Granules- Specifically gradated 1-3MM SBR for job mixing with the Binder

Water- The water to be used in the mixture must be fresh and potable The installer will provide to the Owner/Engineer a proforma materials list prior to

the installation of the volume of materials to be used on the project. The proforma will include the following:

a) Surface area to receive the surfacing system _3,800 square yards b) Specified thickness ½” in. or as stated in the contract c) Pounds of Rubber 14 lbs. sq./y d) Gallons of CP-4125 (Undiluted) .04 gal/sq.y e) Gallons of Black Plexitrac Binder (Undiluted) 1 gal. per 18 lbs. SBR f) Gallons of Black Plexitrac Coating, or color as specified, (Undiluted) .1 gal. / sq.y

The installer will furnish the Owner/Engineer with a proof of delivery that the correct volume of product has been provided. The installer will also verify that the same manufacturer has supplied

all binders and coatings. PART 3 EXECUTION 3.1 WEATHER LIMITATIONS

A. Ambient and surface temperatures must be 50°F and rising.

B. Installation should not be conducted during rainfall or when rainfall is imminent.

C. Do not apply when surface temperature is in excess of 140°F. 3.2 SURFACE PREPARATION

A. New asphalt shall be allowed to cure for a minimum of 14 days prior to the application of any surfacing materials.

B. The surface must be thoroughly cleaned of all loose dirt and debris.

C. Prior to the application of resilient surface materials, the entire surface shall be flooded and

checked for depressions or irregularities in the asphalt. Any puddle area covering a nickel shall be marked and repaired with Court Patch Binder. After patching, the asphalt surface shall not vary more than 1/4” in 10 feet, measured in any direction. Any depressions 1/4” or greater, shall be leveled using patch materials indicated. Slopes shall meet the guidelines of the ASBA and NFHS.

3.3 RESILIENT SURFACE INSTALLATION

A. After curing and preparation, the asphalt shall be primed/tack coated at the rate of .04 gal/sy. by means of a dual diaphragm pump and spray unit. Do not allow material to puddle on the asphalt surface.

B. Apply dry 1-3 MM SBR to the tack coated surface by mechanical spreader or by hand. Avoid

leaving dry rubber granules more than one layer thick.

C. Apply Binder at the rate of one gallon per 18 lbs. of SBR granule by means of a dual diaphragm pump and spray unit. Care should be taken to uniformly spray the granule so they are fully encapsulated.

D. Apply additional layers of SBR granule and Binder until the specified thickness and weight of

rubber has been applied. Each dry layer should be raked by hand to insure uniformity of thickness and density. In no case should a rubber layer be greater than 2.5 lbs./square yard prior to Binder Application. Pigment shall be added to the final binder layer for added UV stability.

E. Prior to application of the Coating and line marking, the surface shall be tested for the required

depth using SMG FT-3 Floor Tester depth gauge. The running track oval shall be tested in no less than 100 locations. The tests shall be performed at the center of both the outer and inner lane, as well as, the center of the oval. At least 80% of the readings must meet the required depth, if not, additional layers of rubber and binder will be applied until the proper depth has been achieved.

F. Apply Coating at the total rate of .1 gallon per square yard. Product shall be applied in two applications by an air diaphragm pump spray unit. One application shall be applied clockwise, the other counter clockwise.

3.4 MARKING AND MEASUREMENTS

A. Wait 48 hours after surface completion before applying line marking. The installer shall:

a) Locate and establish all radius points. b) Establish and set all necessary control points. c) Layout all lines and markings to tolerances set forth by ASBA and governing body

requirements. d) Prepare all necessary drawings. e) Provide all computations and measurements in organized form. f) Establish all locations on the curves using a Transit or Theodolite capable of reading

direct to 20 seconds. g) Identify all markings, where appropriate, by painting the identification directly onto the

track surface in 4” letters just below or in front of each mark in the right hand portion of the lane.

h) Paint all of the large, 3’ high, lane numbers in two (2) colors, utilizing shadowed backgrounds.

i) All lines shall receive sufficient paint to assure complete opacity and uniformity of color. j) Paints shall be used directly from original containers and shall be thinned only when

hot temperatures dictate thinning for smooth applications. k) Amount of paint used shall be as recommended by the manufacturer. l) The paint used shall be a 100% acrylic latex line paint, made especially for the

painting of lines on sports surfaces m) All measurements shall be made by competent, experienced and fully qualified

personnel. n) The markings shall include all events and marks required or recommended by the

National Federation of State High Schools.

3.5 PROTECTION

A. During construction the owner is responsible for limiting access of non-construction personnel to the site.

B. The owner shall coordinate any irrigation of fields with the installation contractor.

C. The installer shall protect curbs, fences and other structures from overspray.

3.6 CLEAN UP

A. Remove all containers, surplus and debris and dispose of in accordance with local, state and Federal regulation.

B. Remove all spills and overruns.

C. Leave site in a clean and orderly condition.

GENERAL INSTRUCTIONS TO BIDDERS:

A. All bids must contain a filled out signed BID FORM and also a properly executed Tax

Compliance/Non-Collusion Form, Debarment Form and signed OSHA certification. All of

this information can be found within the contents of the Invitation For Bid. Minor defects on a

bid submittal may be waived by the Chief Procurement Officer as long as the error or variation

is not prejudicial or preferential to the other bidders and that it may be corrected without affect

upon substantive elements of the bid such as, but not limited to, price, quality, payment terms

or delivery schedule. Resolution will be determined by the Chief Procurement Officer.

B. Bids which are incomplete, not properly endorsed or signed, or otherwise contrary to

instructions may be rejected as non-responsive by the Chief Procurement Officer. Conditional

bids will not be accepted. Any bid arriving after the time and date of bid opening will not be

accepted.

C. As the Franklin Regional Council of Governments (FRCOG) and the FRANKLIN COUNTY

TECHNICAL SCHOOL (FCTS) are exempt from the payment of Federal Excise Taxes and

Massachusetts Sales Tax, prices quoted herein are not to include these taxes.

D. A bidder will be held to the terms and the prices on the bid form for the duration of the contract

period if a contract is signed by both parties within 40 days from bid opening. A 100% Labor

and Materials Payment Bond and 100% Performance Bond in a form acceptable to the School

District will be required from the successful bidder upon contract execution.

The sealed bids, plainly marked “FCTS Track Resurfacing” in the lower left hand corner of the

envelope will be received by the Franklin Regional Council of Governments, 12 Olive St. Suite

2, Greenfield, MA 01301, until JUNE 30, 2016 at 2 p.m., at which time they will be publicly

opened and read aloud. ONE UNBOUND ORIGINAL PLUS TWO COPIES OF THE BID

SHALL BE ENCLOSED.

All bidders or their representatives are invited to be present. Any bids received after the above

stated time and date will not be considered. If bid are sent by U.S. Mail, the bidder shall be

responsible for its timely delivery to the Franklin Regional Council of Governments (FRCOG).

Bids delayed by mail shall not be opened at the public opening, and arrangements shall be

made for their return at the bidders’ request and expense. Telegraphic and facsimile bids will

not be accepted.

E. The FCTS reserves the right to reject any and all bids, in total or in part.

F. The Contractor will be bound by all applicable statutory provisions of law of the Federal

Government and the Commonwealth of Massachusetts.

G. The contractor will be required to indemnify and hold harmless the FRCOG and THE FCTS

for all damages to life and property that may occur due to contractor’s negligence or that of

his/her employees, subcontractors, etc., during the contract.

H. Any restrictions, qualifications, or deviations from specifications must appear either on the bid

form or on an attachment thereto.

I. A contract (or contracts) will be signed between the awarded bidder(s) and the FRANKLIN

COUNTY TECHNICAL SCHOOL.

J. Once bids are opened, the FRCOG Chief Procurement Officer will forward the information to

the FCTS for the Superintendent’s review.

K. The FRCOG will in no way be responsible for the actions of the FCTS. Payments of invoices

will be made within 30 days upon receipt of invoice by FCTS.

L. The Chief Procurement Officer will be available to answer any general questions about bid

procedure, etc., but no question will be answered that in any way could give an unfair

M. All awards are dependent on the FCTS appropriating funding for the project.

N. Time is of the essence. The project must be completed before August 31, 2016.

O. OSHA Certification is Required

All contractors working on public works projects will be required to certify that ALL employees

employed at the work site have successfully completed an OSHA approved course in construction

safety at least 10 hours in duration. This law requires general contractors to have on file records of all

employees OSHA 10- hour training and provide proof to the various agencies in charge of the work.

This also applies to all subcontractors, hired trucks, and hired equipment with operators. Every bidder

must certify that all persons who are employed by them for this bid are certified. Proof does not have

to be submitted with this bid, but must be available upon request or with the first certified payroll,

whichever is earlier.

R. Each bidder shall examine all Invitations for Bid documents. Any inquiries, suggestions, or

requests concerning interpretations, clarification or additional information pertaining to the

Invitation for Bid shall be made through the Franklin Regional Council of Governments

(FRCOG). FRCOG and School District shall not be responsible for oral interpretations given

by any FRCOG or School District employee, representative, or others not specified in the

document. The issuance of a written addendum is the only official method whereby

interpretation, clarification or additional information can be given. If any addenda are issued

to this Invitation for Bid, the FRCOG will attempt to notify by email all prospective bidders

who have secured same through the FRCOG’s bid webpage: http://frcog.org/bids. It is always

prudent to check for addenda directly before submitting a bid.

S. Bids shall clearly indicate the LEGAL NAME, ADDRESS, AND TELEPHONE

NUMBER of the Bidder (COMPANY, FIRM, PARTNERSHIP, and INDIVIDUAL).

Bids shall be signed above the typed or printed name and title of the signer. THE

SIGNER SHALL HAVE THE AUTHORITY TO BIND THE BIDDER TO THE

SUBMITTED BID.

T. No part of printed material contained in this Invitation for Bid should be obliterated by

Bidder. If Bidder makes an error in any portion of the price quotation and corrects it,

any and all such corrections should be initialed by the person signing the bid cover

sheet.

U. Massachusetts Prevailing Wages are required per MGL Ch. 149. The appropriate wage

schedule is attached to the bid specifications. Certified Payroll is to be submitted weekly to the

FCTS Superintendent’s office at the same address as directed for Invoices.

SPECIAL PROVISIONS RELATED TO CONSTRUCTION PROJECTS

A. The Franklin County Technical School at its discretion MAY hold a pre construction

meeting prior to the start of construction.

B. In case of failure of the Bidder, after due notification of the contract, to sign the

contract, the procurement officer may, at her option, determine the Bidder has

abandoned the contract, and thereupon the proposal and acceptance shall be null and

void and shall be at liberty to make other contracts with other parties. In the event that

a Bid Deposit is required, the vendor will forfeit said deposit to the School District.

PREPARATION OF BIDS

A. Bid Prices: The bidder shall submit his bid upon forms furnished by the FRCOG on

behalf of the Franklin County Technical School.

B. The bidder shall specify a LUMP SUM PRICE for all work. All words and figures

shall be in ink. In case of a discrepancy between the prices written in words and those

in figures, the written word shall govern. The prices shall, without exception, include

all royalties, permits and costs involved in the work.

C. Signatures: All proposals shall be signed correctly with ink in the proper places

provided, as follows: If the proposal is made by an individual, his name and post office

address shall be given. If the proposal is made by a firm, partnership or corporation, it

shall be signed by a person having such legal authority from the firm, partnership, or

corporation and the person so signing the proposal shall give his own name and title (if

any) in addition to the name and address of the President, Treasurer, and Manager shall

be given. If the proposal is made by a firm or partnership, the names and addresses of

the individual members shall be given. If the proposal is made by a Corporation, the

name of the State under which the laws of the Corporation are chartered and the names,

titles, and business addresses of the President, Treasurer, and Manager shall be given

PROPOSAL & CONTRACT GUARANTY REQUIRED

A. Bid Security in the amount of at least five percent (5%) of the total Bid amount

(including the Alternate) must be submitted with the Bid. The Bid Security may be

either a certified (bank/treasurer’s) check or a Proposal Guarantee Bond (Bid Bond)

executed by a surety company listed on the current United States Department of

Treasury “Department of the Treasury’s listing of approved Sureties (Department

Circular 570)” as authorized to do business in the Commonwealth of Massachusetts.

Bid Security shall be made payable to the Franklin County Technical School. Bids

submitted without security will not be considered. The bid deposit will be retained from

the three lowest qualified Bidders until a contract is executed.

B. Simultaneously with his/her delivery of the executed contract, the awarded Contractor

shall furnish surety bonds as security for faithful performance of this Contract and for

the payment of all persons performing labor on the project under this Contract and

furnishing materials in connection with this Contract. The surety shall be a duly

authorized surety company satisfactory to the Owner, listed on the current United

States Department of Treasury “Department of the Treasury’s listing of approved

Sureties (Department Circular 570)” as authorized to do business in the Commonwealth

of Massachusetts as a condition of acceptability the successful Bidder must furnish:

1. 100% Performance Bond

2. 100% Labor and Materials Payment Bond

REGISTERED TO DO BUSINESS

A. All Contractors shall be registered to do business within the Commonwealth of

Massachusetts. Registration can be obtained through the Corporation Division of the

Office of the Secretary. The Commonwealth of Massachusetts (617) 727-9640. The

three lowest bidders shall provide proof of registration within 24 hours of bid opening,

if asked.

AWARD OF CONTRACT

A. M.G.L c.30,§39M requires that public construction contracts be awarded to the “lowest

responsible and eligible bidder”, defined as: The bidder (1) whose bid is the lowest of

those bidders possessing the skill, ability and integrity necessary for the faithful

performance of the work; (2) who shall certify that he is able to furnish labor that can

work in harmony with all other elements of labor employed or to be employed in the

work; (3) who, where the provisions of section eight B of chapter twenty nine apply,

shall have been deemed qualified thereunder; and (4) who obtains within ten days of

the notification of contract award the performance and payment bonds as required.

B. The low bid will be determined based on the lump sum bid and the selected Alternate,

if any. as above per MGL C.30,§39M .

Should there be two or more bids for this Contract that are identical and where the bidders are determined to all be responsible and eligible in accordance with MGL Chapter 30, §39, the following procedure will be used to determine the winner. a. The Contract will be awarded to that bidder with its office in Franklin County b. If there is no bidder with its office located within Franklin County or if there are two or more bidders with offices located with Franklin County, the award of the Contract shall be determined by the toss of a coin. Such a toss shall be done with two witnesses. The respective bidders will be notified and invited to come to the FRCOG office. c. If there are more than two bidders with identical bids, the coin toss method shall be used by selecting the first two bidders in alphabetical order and eliminating one with a coin toss. This process shall be continued until such time as there remains one bidder.

C. Bidders are required to disclose all Federal, State, or local agency citations for the

last three years.

D. The Contractor will not be permitted to either assign or underlet the contract, nor

assign either legally or equitably any monies hereunder, or its claim thereto without the

previous written consent of the Franklin County Technical School.

E. If in the judgment of the Franklin County Technical School any property is needlessly

damaged by an act or omission of the Contractor or his employees, servants, or agents,

the amount of such damages shall be determined by the Franklin County Technical

School designee and such amount shall be deducted from any money due the contractor

or may be recovered from said contractor in actions at law.

F. It should be further noted that all construction safety precautions and/or regulations

required by the U.S. Department of Labor, Occupational Safety and Health

Administration shall be a condition of this project and shall be strictly enforced.

APPLICABLE LAWS

Commonwealth, in the employ of the Contractor, Subcontractor or other person doing

or contracting to do the whole or a part of the work contemplated by the Contract, shall

be required or permitted to work more than eight hours in any one day, except in cases

of emergency, the Awarding Authority, being subject to Section 31, of Chapter 149 of

the General Laws.

LENGTH OF CONTRACT

A. The School District upon written notice of intent to cancel may cancel any contract.

The Vendor/Contractor will be required to honor all Purchase Orders that were

prepared and dated prior to the date of expiration or cancellation if received by the

Vendor/Contractor within a period of thirty (30) days following date of expiration or

cancellation. Cancellation by the School District does not relieve the

Vendor/Contractor of any liability arising out of default or non-performance.

B. CONSTRUCTION SCHEDULE NEEDS TO BE COORDINATED WITH THE

SCHOOL TO MINIMIZE IMPACT TO SCHOOL OPERATION. The period of this

contract will be from date of contract execution date through August 31, 2016.

INSURANCE REQUIREMENT

A. The Contractor shall at all times during the Contract maintain in full force and effect

Commercial and Employer's Liability, Worker's Compensation, Bodily Injury Liability

and Property Damage, and General Liability Insurance, and Umbrella Liability

including contractual liability coverage. All insurance shall be by insurers and for

policy limits acceptable to the Franklin County Technical School and before

commencement of work hereunder the Contractor agrees to furnish the Franklin

County Technical School certificates of insurance or other evidence satisfactory to the

Council to the effect that such insurance has been procured and is in force.

For the purpose of the Contract, the Contractor shall carry insurance per Article 7 of the attached

Sample Contract.

The Franklin County Technical School shall be named as an additional insured under the liability and

automobile insurance. The excess/umbrella liability insurance policy should contain a broad form

general liability endorsement.

EFFECTIVE PERIOD OF BIDS

A. Bids submitted in response to this bid solicitation must be effective for a minimum of

two weeks from date of bid opening to allow the FRCOG on behalf of the School

District to tabulate, review, award and administrate the processing of the Contract

INTERPRETATION OF BASIC ESTIMATE OF QUANTITIES

A. Work under this contract will be done as a lump sum of the work, as shown on the

plans and as described in this document.

MATERIAL GUARANTY

A. All materials used shall be of the very best quality of their respective kinds and all of

the work performed shall be executed in the most skillful and workmanlike manner and

both materials used and work performed shall, in every respect, meet the complete

satisfaction of the Supervisor or authorized agent. The bidder to whom a contract is

awarded guarantees to the Franklin County Technical School all equipment, materials

and/or workmanship for a period of five (5) years after final inspection and acceptance

and shall replace promptly any defective equipment, materials and/or workmanship

required without additional cost.

1.00 DEFINITIONS

1.01 FCTS – Franklin County Technical School

1.02 Contract Documents - The Invitation for Bid, and any addenda thereto, General Instructions to Bidders, Contractor's Bid, General Contract Specifications, authorization of the governing body authorizing the work and services contemplated herein, the Contract Performance Bond, the Contract, this Instrument, Resolution of the Board of Directors of the Contractor authorizing Contractor's signatory the power to sign this Contract and bind the corporation to full performance hereunder, Insurance Certificates evidencing the insurance coverage required, and any addenda or changes to the foregoing documents agreed to by the Council and the Contractor.

1.03 Contractor - The person, corporation, or partnership performing TRACK RESURFACING under contract with the FCTS. 2.00 SCOPE OF WORK

The work under this Contract shall consist of the items contained in the Bids, including all the supervision, materials, equipment, labor and all other items necessary to complete said work in accordance with the Contract Documents. 3.00 COMPLIANCE WITH LAWS

The Contractor shall comply with applicable laws, by-laws and codes of the local, state and federal government. 4.00 NON-DISCRIMINATION

The Contractor shall not discriminate against any person because of race, gender, age, color, religion, ancestry, handicap, sexual orientation, sexual identity, gender identity, veteran status, national origin or any other protected class under the law. 5.00 INDEMNITY

a. To the fullest extent permitted by law, the Contractor shall defend, indemnify, and save harmless the Franklin County Technical School, and their respective duly elected or appointed officials, agents and employees (referred to collectively as “FCTS”) from and against all demands, claims, damages, liabilities, losses, costs, and expenses (including, but not limited to, reasonable attorney fees) (referred to collectively as “demands”) arising out of or resulting from any work performed pursuant to this Agreement including but not limited to any negligent acts, errors, or omissions of the Contractor, any subcontractor of the Contractor, or any person directly or indirectly employed by any of them, or by a defect of a product or design supplied by the Contractor or subcontractor. Such obligation shall not negate, abridge, or reduce in any way any additional indemnification rights of the FCTS, that otherwise may exist under statute or in law or equity. b. Contractor assumes full responsibility for relations with any subcontractors employed directly or indirectly by the Contractor and the Contractor shall defend, indemnify, and save harmless the FCTS from all demands made against the FCTS by such subcontractor, such subcontractor’s agent or employee, or any person, as the result of such subcontractor’s work performed pursuant to this Agreement including but not limited to negligent acts, errors, or omissions that arise out of, result from, or are connected with the performance of this Agreement or any subsequent Agreement and is not otherwise subject to indemnifications under subparagraph “a” above. c. The Contractor shall defend, indemnify, and hold harmless the FCTS from any and all demands relating to wages, overtime compensation, or other employee benefits by employees employed directly or indirectly by the Contractor for work performed in connection with the work hereunder or required by state or federal law, including but not limited to Fair Labor Standards Act and Massachusetts Prevailing Wage Law.

d. The indemnification obligations of the Contractor and subcontractor shall not be limited in any way by any limitations on the amount or type of damages, compensations, or benefits payable by or for the Contractor or subcontractor under any federal or state law. e. In the event of a breach of this Agreement by the Contractor, the Contractor shall pay the FCTS all reasonable attorney fees, costs and other litigation expenses incurred by the FCTS in enforcing its rights as a result of said breach in addition to any damages for said breach.

6.00 LICENSES AND TAXES

The Contractor shall obtain all licenses and permits (other than the license and permit granted by the Contract) and promptly pay all taxes required by the Town of Montague. 7.00 INSURANCE

The Contractor shall at all times during the Contract maintain in full force and effect Employer's and Commercial Liability, Worker's Compensation, Bodily Injury Liability, Property Damage, and General Liability Insurance, including contractual liability coverage for the provisions of Section 5.00. All insurance shall be by insurers and for policy limits acceptable to the FCTS and before commencement of work hereunder the Contractor agrees to furnish the Council certificates of insurance or other evidence satisfactory to the FCTS to the effect that such insurance has been procured and is in force.

For the purpose of the Contract, the Contractor shall carry the following types of insurance in at least the limits specified below:

The FRCOG has no liability for any costs incurred by the FCTS under this contract, and all scheduling, acceptance of products/services and invoicing shall be done directly between the Contractor and the FCTS.

9.00 TERM

The Term of the Contract shall be through August 31, 2016. Project work is expected to take place while school is not in session (summer, 2016). 10.00 TRANSFERABILITY OF CONTRACT

No assignment of the Contract or any right accruing under this Contract shall be made in whole or in part by the Contractor without the express written consent of the FCTS, which consent shall not be unreasonably withheld; in the event of any assignment, the assignee shall assume the liability and duties of the Contractor, but said assignment shall in no way relieve the Contractor of his liabilities or duties pursuant to the Contract. 11.00 MODIFICATIONS

No modification, waiver or change shall be made in the terms and conditions of this Contract, except as may be mutually agreed upon in writing by all parties hereto and as may be permitted by MGL c.30B or c.30 Section 39m. 12.00 TERMINATION

The FCTS may terminate this Contract by providing the Contractor with written notice if the Contractor violates any of the terms of this Contract.

In the event of suspension, the FCTS will set forth the specific grounds for the suspension, any actions the Contractor could take to correct the problems or situations, and a stated period of time for the Contractor to comply with the corrections required. Failure to correct the problems or situations that necessitated the suspension within the stated period of time shall be grounds for termination.

The FCTS shall have the right to terminate this Contract without cause upon fifteen (15) days notice to the Contractor and all preceding paragraphs herein shall be applicable to this termination. 13.00 AVAILABILITY OF FUNDS

This contract is contingent upon the availability of funds. This Contract shall be canceled by the FCTS if funds are not appropriated or otherwise made available to support continuation of performance. 14.00 NOTICES

Any and all notices or other communications required or permitted by this Contract or by law to be served or given to either the FCTS or the Contractor by the other party shall be in writing and shall be deemed duly served and given when personally delivered to the party to whom it is directed, or in lieu of such personal services when sent by U.S. mail, first-class, postage prepaid, addressed to the FRANKLIN COUNTY TECHNICAL SCHOOL, 82 INDUSTRIAL BLVD, TURNERS FALLS, MA 01376, or the Contractor AT ___________________________________________

The Contractor shall be obligated to provide the FCTS with a payment bond and performance bond in the

amount of 100% of the bid amount. The Bonds shall be submitted to the FCTS prior to Contract execution. Premium for the bonds shall be paid for by the Contractor.

16.00 CONFLICT OF INTEREST

Each party shall adhere to the provisions of Massachusetts General Laws, Chapter 268A, with respect to the Conduct of Public Employees. In addition, no member, officer, or employee of either party, or its designees, or agents, no member of the governing body of the locality in which the program is situated, and no other public official of such locality or localities who exercises any functions or responsibilities with respect to the program during his tenure or for one (1) year thereafter (or such longer period as may be provided in Chapter 268A of the Massachusetts General Laws), shall have any interest in any contract or subcontract, or the proceeds thereof, for work to be performed in connection with the program assisted under this Agreement. Each party shall incorporate, or cause to be incorporated, in all such contracts or subcontracts a provision prohibiting such interest, pursuant to the purposes of this subsection. 17.00 RECORDS AND CHOICE OF LAW

The Contractor shall make and keep for at least six years after final payment, books, records, and accounts, which in reasonable detail accurately and fairly reflect the transactions and dispositions of the Contractor. (MGL c 30, §29R(b)(1)-(2).

This Contract shall be construed and governed by the laws of the Commonwealth of Massachusetts. The Contractor, and the agents thereof, agree to bring any federal or state legal proceedings arising under this Contract to a court of competent jurisdiction in Franklin County, Massachusetts. This section shall not be construed to limit any rights a party may have to intervene in any action, in any court or wherever, pending, in which the other is a party. 18.00 ENTIRE UNDERSTANDING

This Contract, together with all documents included by reference pursuant to Clause 1.02 of this Contract, represents the entire understanding of the parties, and neither party is relying upon any representation not contained herein.

WEEKLY PAYROLL RECORDS REPORT & STATEMENT OF COMPLIANCE

In accordance with Massachusetts General Law c. 149, §27B, a true and accurate record must be kept of all persons employed on the public works project for which the enclosed rates have been provided. A Payroll Form has been printed on the reverse of this page and includes all the information required to be kept by law. Every contractor or subcontractor is required to keep these records and preserve them for a period of three years from the date of completion of the contract.

In addition, every contractor and subcontractor is required to submit a copy of their

weekly payroll records to the awarding authority. This is required to be done on a weekly basis. Once collected, the awarding authority is also required to preserve those records for three years from the date of completion of the project.

Each such contractor or subcontractor shall furnish to the awarding authority directly

within 15 days after completion of its portion of the work, a statement, executed by the contractor, subcontractor or by any authorized officer thereof who supervised the payment of wages, this form.

Information about Prevailing Wage Schedules for Awarding Authorities and Contractors

• This wage schedule applies only to the specific project referenced at the top of this page and uniquely identified by the

“Wage Request Number” on all pages of this schedule.

• An Awarding Authority must request an updated wage schedule from the Department of Labor Standards (“DLS”) if it has

not opened bids or selected a contractor within 90 days of the date of issuance of the wage schedule. For CM AT RISK

projects (bid pursuant to G.L. c.149A), the earlier of: (a) the execution date of the GMP Amendment, or (b) the bid for the first

construction scope of work must be within 90-days of the wage schedule issuance date.

• The wage schedule shall be incorporated in any advertisement or call for bids for the project as required by M.G.L. c. 149,

§ 27. The wage schedule shall be made a part of the contract awarded for the project. The wage schedule must be posted in a

conspicuous place at the work site for the life of the project in accordance with M.G.L. c. 149 § 27. The wages listed on the

wage schedule must be paid to employees performing construction work on the project whether they are employed by the prime

contractor, a filed sub-bidder, or any sub-contractor.

• All apprentices working on the project are required to be registered with the Massachusetts Department of Labor

Standards, Division of Apprentice Standards (DLS/DAS). Apprentice must keep his/her apprentice identification card on

his/her person during all work hours on the project. An apprentice registered with DAS may be paid the lower apprentice

wage rate at the applicable step as provided on the prevailing wage schedule. Any apprentice not registered with DLS/DAS

regardless of whether or not they are registered with any other federal, state, local, or private agency must be paid the

journeyworker's rate for the trade.

• The wage rates will remain in effect for the duration of the project, except in the case of multi-year public construction

projects. For construction projects lasting longer than one year, awarding authorities must request an updated wage schedule.

Awarding authorities are required to request these updates no later than two weeks before the anniversary of the date the

contract was executed by the awarding authority and the general contractor. For multi-year CM AT RISK projects, awarding

authority must request an annual update no later than two weeks before the anniversary date, determined as the earlier of: (a)

the execution date of the GMP Amendment, or (b) the execution date of the first amendment to permit procurement of

construction services. Contractors are required to obtain the wage schedules from awarding authorities, and to pay no less than

these rates to covered workers. The annual update requirement is not applicable to 27F “rental of equipment” contracts.

• Every contractor or subcontractor which performs construction work on the project is required to submit weekly payroll

reports and a Statement of Compliance directly to the awarding authority by mail or email and keep them on file for three years.

Each weekly payroll report must contain: the employee’s name, address, occupational classification, hours worked, and wages

paid. Do not submit weekly payroll reports to DLS. A sample of a payroll reporting form may be obtained at

http://www.mass.gov/dols/pw.

• Contractors with questions about the wage rates or classifications included on the wage schedule have an affirmative

obligation to inquire with DLS at (617) 626-6953.

• Employees not receiving the prevailing wage rate set forth on the wage schedule may report the violation to the Fair Labor

Division of the office of the Attorney General at (617) 727-3465.

• Failure of a contractor or subcontractor to pay the prevailing wage rates listed on the wage schedule to all employees who

perform construction work on the project is a violation of the law and subjects the contractor or subcontractor to civil and

Commissioner under the provisions of the M.G.L. c. 149, ss. 26-27D. Apprentice ratios are established by the Division of Apprenticeship Training pursuant to M.G.L.

c. 23, ss. 11E-11L.

All apprentices must be registered with the Division of Apprenticeship Training in accordance with M.G.L. c. 23, ss. 11E-11L.

All steps are six months (1000 hours.)
