The tender document will be split into three (3) separate lots, with each lot having independent technical requirements and Bill of Quantities/Price Schedules. Annex I

INSTRUCTIONS TO BIDDERS

A. Introduction 1. General: The Purchaser invites Sealed Expressions of Interest for the Pre-Qualification of Civil Works of

contractors for the construction/rehabilitation works of the following fifteen (15) Healthcare Facilities (HFs) in the Darfur Area, North Sudan. The Bidders will be expected to show that they have the capacity to complete the Works within the Time for Completion – i.e. April 2011.

2. Eligible Bidders: Bidders shall be legally incorporated entities, or group formed by such as joint

ventures. Bidders should not be associated, or have been associated in the past, directly or indirectly, with a firm or any of its affiliates which have been engaged by the Purchaser to provide consulting services for the preparation of the design specifications, and other documents to be used for the procurement of goods/civil works to be purchased under this Expression of Interest for Pre-Qualification.

Natural or legal person are not entitled to participate in this expression of interest if:

a. they are bankrupt or being wound up, are having their affairs administered by the courts, have

entered into an arrangement with creditors, have suspended business activities or are in any analogous situation arising form a similar procedure provided for in national legislation or regulations;

b. they are subject of proceedings for a declaration of bankruptcy, for winding-up for administration by the courts, for an arrangement with creditors or for any similar procedure provided for in national legislation or regulations;

c. they have been convicted of an offence concerning professional conduct by a judgment which has the force of res judicata;

d. they are guilty of grave professional misconduct proven by any means which the Purchaser can justify;

e. they have not fulfilled the obligations relating to the payment of social security contributions in accordance with the legal provision of the country where they are established;

f. they have not fulfilled obligation relating to the payment of taxes in accordance with the legal provisions of the country where they are established;

g. they are guilty of serious misrepresentation in supplying the information required by the Purchaser as a condition of participation in an invitation to EOI or contract;

h. they have been declared to be in serious breach of contract for failure to comply with obligations in connection with another contract with the same Purchaser or another contract financed with UNDP funds;

3. Cost of EOI: The Bidder shall bear all costs associated with the preparation and submission of the

Expression of Interest, and the procuring UN entity will in no case be responsible or liable for those costs, regardless of the conduct or outcome of the solicitation.

B. Solicitation Documents 4. Examination of Solicitation Documents:

a) The Bidder is expected to examine all corresponding instructions, forms, terms and specifications contained in the Solicitation Documents. Failure to comply with these documents will be at the Bidder’s risk and may affect the evaluation of the Pre-Qualification Documents.

b) The Bidder’s designated representative is invited to attend a pre-EOI meeting on January 31th 2010, at 11.30 a.m. (local time/Khartoum), at UNDP Garden City Meeting Room, Building # 290, Garden City/Khartoum. The purpose of the meeting is to clarify issues and to answer questions on any matter that may be raised at that stage.

5. Clarification of Solicitation Documents: A prospective Bidder requiring any clarification of the

Solicitation Documents may notify the procuring entity in writing at the Purchaser’s address indicated in the Expression of Interest documents or raise his enquiries during the pre-EOI meeting. The response will be made in writing to any request for clarification of the Solicitation Documents that it receives earlier than two (2) weeks prior to the Deadline for the Submission of EOIs. Written copies of the response (including an explanation/description of the query but without identifying the source of inquiry) will be posted on the UNDP North Sudan website http://intra.sd.undp.org//bids/undp.php. Any prospective Bidders seeking to arrange individual meetings with the Purchaser during the tender period may be excluded from the tender procedure.

6. Amendments of Solicitation Documents: No later than one (1) week prior to the Deadline for

Submission of EOIs, the procuring entity may, for any reason, whether at its own initiative or in response to a clarification requested by a prospective Bidder, amend the Solicitation Documents. All prospective Bidders should regularly consult the UNDP North Sudan website http://intra.sd.undp.org//bids/undp.php. In order to afford prospective Bidders reasonable time in which to take the amendments into account in preparing their offers, the procuring entity may, at its discretion, extend the Deadline for the Submission of Pre-Qualification Documents.

C. Preparation of Pre-Qualification Documents 7. Language of the EOI: English language. 8. Documents Establishing Bidder’s Eligibility and Qualifications:

The Bidder shall furnish evidence of its qualification by submitting the following information and documents: (a) Copies of original documents defining the constitution or legal status, place of registration, and

principal place of business of the Bidder; (b) Total monetary value of construction works performed for each of the last three years; (c) Experience in works of a similar nature and size for each of the last three years, and details of work

under way or contractually committed; and clients who may be contacted for further information on those contracts;

(d) Major items of construction equipment proposed to carry out the Contract; (e) Qualifications and experience of key site management and technical personnel proposed for the Contract; (f) Reports on the financial standing of the Bidder, such as profit and loss statements and auditor’s

reports for the past three years; (g) Evidence of adequacy of working capital for this Contract (access to line(s) of credit and availability

of other financial resources); (h) Updated history/information regarding any litigation or arbitration, current or during the last five

years, in which the Bidder was/is involved, the parties concerned, and the disputed amounts; and

awards. A consistent history of litigation or arbitration awards against the Bidder or any partner of a joint venture may result in disqualification.

(j) information on a Contract Manager with five years’ experience in works of an equivalent nature and

volume, including no less than three years as Manager; (i) Information on capability of subcontracting components of the Works amounting to more than 10

percent of the Contract. Bidder shall provide the Purchaser, together with the above requested documents, a filled out Questionnaire as per Annex III which provides information on the current/actual status of the Bidder financial, technical and production capabilities. The documentary evidence of the Bidder’s qualifications to perform the contract if its EOI is accepted shall be established to the Purchaser’s satisfaction:

(a) that the Bidder has the financial, technical, and production capability necessary to perform the

contract. (b) that the Bidder has a valid working license (not expired) and a valid registration certificate showing

that the company is legally established under the law of the Republic of Sudan. The Bidder should be qualified and not black listed by any government and international agencies;

(c) Financial capability and stability: that the Bidder shall demonstrate that it has access to, or has available, liquid assets, lines of credit, and other financial means (independent of any contractual advance payment) sufficient to meet the construction cash flow requirements for the sub-contract. The Bidder shall also submit evidence of adequacy of cash flow for this Contract/Lot (access to line(s) of credit and/or availability of other financial resources). The Bidder shall provide authority to seek references from the Bidder’s bank; financial stability of the Bidder is high concern.

Please note that North Sudan is currently under various trade restrictions, as a result, Bidders are requested to carefully verify their eligibility to work in North Sudan. Documents Establishing Goods’ Conformity to Pre-Qualification Documents:

The Bidder shall also furnish as part of its EOI, documents establishing the conformity to the call for Expression of Interest of all goods and related services which the Bidder proposes to supply under the contract, if they are successful. The documentary evidence of conformity to the Pre-Qualification Documents may be in the form of literature, drawings, and data, and shall consist of: (a) A detailed description of the essential technical and performance characteristics of the goods; (b) A list giving full particulars, including available sources and current prices of spare parts, special

tools, etc, necessary for the proper and continuing functioning following commencement of the use of the goods.

D. Submission of EOIs 10. Sealing and Marking of EOIs: The bidder shall submit their expression of interest in the following formats:

Procurement Specialist 11. Deadline for Submission of EOIs/Late EOIs:

11.1 EOIs must be delivered to UNDP office on or before February 24, 2010 12:00 hours (local time) 12.2 The Purchaser may, at its discretion, extend this deadline for the submission of the EOI by amending the Pre-Qualification Documents in accordance with clause 6 of Instructions to Bidders, in which case all rights and obligations of the Purchaser and Bidders previously subject to the deadline will thereafter be subject to the deadline as extended. 13.3 Any EOI received by the Purchaser after the Deadline for Submission of EOI will be rejected and returned unopened to the Bidder.

12. Modification and Withdrawal of the EOIs: The Bidder may withdraw its EOI after submission, provided

that written notice of the withdrawal is received by the procuring UN entity prior to the deadline for submission. No EOI may be modified after passing of the Deadline for Submission of EOI.

E. Evaluation of EOIs 13. Clarification of EOI: To assist in the examination, evaluation and comparison of EOI the procuring UN

entity may at its discretion ask the Bidder for clarification of its EOI. The request for clarification and the response shall be in writing and no change in substance of the EOI shall be sought, offered or permitted.

14. Preliminary Examination:

14.1 Prior to the detailed evaluation, the Purchaser will determine the substantial responsiveness of each offer to the Expression of Interest (EOI). A substantially responsive offer is one which conforms to all the terms and conditions of the EOI without material deviations. 14.2 The Purchaser will examine the EOI to determine whether they are complete, whether any computational errors have been made, whether the documents have been properly signed, and whether the EOI are generally in order. 14.3 An EOI determined as not substantially responsive will be rejected by the Purchaser and may not

subsequently be made responsive by the Bidder by correction of the non-conformity. 15. By carefully filling the Questionnaire (Annex II) The minimum qualification criteria are;

MEMO TO BIDDERS

EXAMPLE OF EOI REJECTIONS

EOIs have been rejected at the submission stage or found to be technically noncompliant due to errors in presentation and failure to strictly follow the Expression of Interest instructions. The Expression of Interest contains detailed instructions for preparation and submission that need to be followed carefully. Below are some of the most common examples of EOI rejection by Evaluation Committees. Bidders are urged to carefully check their EOI before submission in order to conform to each and every of the below points and the instructions as detailed in the Expression of Interest. ü Late submission. The EOI is handed in after the deadline for submission, either by hand or

by courier. Time shall be strictly respected if EOI is delivered on the last day; ü EOI not submitted to the correct physical address; ü The EOI not properly signed as per instruction in the call for Expression of Interest;

ü Insufficient documents have been provided;

ü Document provided are not in English. Documents such as the registration of the

company/firm or concerning financial information about the firm/company can be submitted in Arabic language but a translation in English must be also provided with the main Arabic document;

ü Documents provided not directly address each and every point of the evaluation criteria;

The above examples illustrate only some of the common errors. This is only a partial list. The solicitation documents contain the complete list of instructions relevant to this particular EOI and should be followed carefully.
