Laporan tahunan ini memuat pernyataan kondisi keuangan, hasil operasi, proyeksi, rencana, strategi, kebijakan, serta tujuan Perseroan, yang digolongkan sebagai pernyataan ke depan, kecuali hal-hal yang bersifat historis. Tema tersebut dipilih berdasarkan analisis dan kajian yang mendalam berdasarkan fakta dan perkembangan bisnis Perseroan pada tahun 2017 serta masa depan keberlanjutan bisnis Perseroan.

BECOMING AN EMERGING INDUSTRy LEADER SUCOFINDO managed to obtain an award as an Emerging Industry Leader in the 2017 BUMN Performance Excellence Award organized by SOE Excellent Forum (FEB) where the Company achieved the score of 586.00, an increase from the score of 576.75 achieved in 2016.

Informasi Penghentian Saham SementaraInformation on Temporary Share Suspension

Sampai dengan akhir tahun 2017, SUCOFINDO tidak melakukan perdagangan saham sehingga tidak ada informasi terkait dengan jumlah saham yang beredar, kapitalisasi pasar, harga saham tertinggi, harga saham terendah dan harga saham penutupan serta volume saham yang diperdagangkan.

Sampai dengan akhir tahun 2017, SUCOFINDO tidak menerbitkan obligasi, sukuk dan obligasi konversi sehingga tidak ada informasi terkait dengan jumlah obligasi/obligasi konversi yang beredar, tingkat bunga/imbalan, tanggal jatuh tempo dan peringkat obligasi.

Sepanjang 2017 Perseroan tidak mendapatkan peringatan berupa sanksi penghentian saham sementara dari bursa efek manapun. Hal ini dikarenakan Perseroan belum melakukan pencatatan saham dan bukan merupakan anggota dari bursa efek manapun baik di dalam negeri maupun di luar negeri. Kewenangan penghentian saham berada di bawah Kementerian BUMN berkoordinasi dengan otoritas lainnya sesuai dengan peraturan lain yang berlaku.

As of the end of 2017, SUCOFINDO did not conduct any stock trades. Therefore, there is no information in relation to the number of outstanding shares, market capitalization, highest share price, lowest share price and closing share price as well as the trading volume of share.

As of the end of 2017, SUCOFINDO did not issue any bonds, sukuk and convertible bonds. Thus, there is no information related to the number of outstanding bonds/convertible bonds, interest rate/exchange, maturity date, and rating of bonds.

During 2017, the Company has not received sanction in the form of temporary suspension of share trading from any stock exchange. This is due to the fact that the Company has yet to execute share listing and is not a member of any stock exchange, both domestic and overseas. The authority to suspend share trading is under the jurisdiction of Ministry of SOE in coordination with other related authorities according to the prevailing regulations.

Informasi Aksi KorporasiInformation on Corporate Action

Komitmen SUCOFINDO untuk mampu menghadapi tantangan bisnis yang semakin masif di masa depan diwujudkan melalui penguatan unit pendukung bisnis, yakni Sumber Daya Manusia (SDM) dan Teknologi Informasi (TI). Dari sisi SDM, pada tahun 2017 Perseroan telah melaksanakan program management trainee sebagai upaya kaderisasi untuk membentuk calon pemimpin maupun tenaga ahli di masa mendatang.

Untuk penguatan sistem Teknologi Informasi, pada tahun 2017 Perseroan telah melakukan kajian terkait rencana bisnis TIC (Testing, Inspection and Certification) berbasis Tekonologi Informasi. Kajian terkait TIC tersebut merupakan langkah SUCOFINDO untuk mempersiapkan perusahaan ke arah digitalisasi melalui transformasi cara kerja, yang juga akan menguatkan bisnis berbasis informasi dan komunikasi. Ke depannya, Bisnis TIC berbasis Teknologi Informasi diharapkan akan mampu mendukung Perseroan dalam meningkatkan porsi pangsa pasar baik dalam skala domestik mapun internasional.

Commitment of SUCOFINDO to be able to face the increasingly massive business challenges in the future is realized through the strengthening of business support units, namely Human Resources (HR) and Information Technology (IT). In terms of Human Resources, in 2017 the Company carried out management trainee program as an effort of regeneration to form candidates for leaders or expert staff in the future.

Meanwhile, to strengthen the Information Technology system, in 2017 the Company conducted a study related to TIC (Testing, Inspection and Certification) business plan that is based on Information Technology. The TIC-related study is a step for SUCOFINDO to prepare itself towards digitalization through work transformation, which will also strengthen information and communication-based businesses. In the future, the Information Technology-based TIC Business is expected to be able to support the Company in increasing its portion of market share in both domestic and international scales.


Peristiwa Penting 20172017 Event Highlights

Sebagai salah satu upaya regenerasi dan mengembangkan Sumber Daya Manusia dengan kompetensi tinggi, Pada tanggal 16 Januari 2017 SUCOFINDO melakukan rekrutmen melalui program Management Trainee sejak Oktober 2016. Hasilnya, sebanyak 70 peserta berhasil terpilih mengikuti program MT di Sucofindo.

As one of the efforts to regenerate and develop the Human Capital with high competence, On January 28, 2017, SUCOFINDO conducted recruitment through Management Trainee program since October 2016. As a result, there were 70 participants that were selected to attend MT program in SUCOFINDO.

Pada tanggal 28 Februari, Sucofindo bersama dengan Haseba Energi didukung oleh Komunitas Migas Indonesia (KMI) mendatangani Nota Kesepahaman (MoU) mengenai kerja sama untuk saling meningkatkan kompetensi personel melalui pelatihan untuk kebutuhan sertifikasi. Penandatanganan ini dilakukan oleh Direktur Komersial I Heru Riza Chakim dengan Direktur Utama Haseba Energi Kristiya Kartika.

On February 28, Sucofindo and Haseba Energi, supported by the Indonesian Oil and Gas Community (KMI), signed a Memorandum of Understanding (MoU) to ccoperate to improve the competences of each other’s personnel through trainings for certification needs. The signing was conducted by the Company’s Director of Commerce I, Heru Riza Chakim, and the President Director of Haseba Energi, Kristiya Kartika.

Sucofindo bersama Kementerian Agama mengadakan seminar halal di Auditorium Bina Karna, Jakarta (13/3). The halal seminar with the theme of “Strengthening Halal Product Assurance System to improve the economy of Indonesia and consumers protection” which was attended by the President Director, Bachder Djohan Buddin and as speaker, Director of Commercial II, Sufrin Hannan.

SUCOFINDO kembali mendukung program Sistem Manajemen Mutu dengan diserahkannya sertifikat ISO 9001:2015 oleh SUCOFINDO kepada Direktorat Reserse Kriminal Umum Polda Metro Jaya pada tanggal 18 Agustus 2017.

SUCOFINDO once again supported the Quality Management System with the granting of ISO 9001:2015 by SUCOFINDO to the General Criminal Investigation Directorate of Jakarta Regional Metropolitan Police on August 18, 2017.

Pada tanggal 10 Mei 2017, SUCOFINDO dan Kawasan Berikat Nusantara (KBN) bersinergi melalui MOU dalam rangka peningkatan pelayanan kawasan industri, pelayanan satu pintu ekspor/impor dan pengelolaan serta pengembangan bisnis logistik Kawasan Berikat.

On May 10, 2017, SUCOFINDO and Kawasan Berikat Nusantara (KBN) conducted a synergy through an MOU In order to improve the services in the industrial area, one-door service for export/import and management as well as logistic business development of Kawasan Berikat.

Pada tanggal 16 Juni 2017, Direktur Utama Sucofindo, Bachder Djohan Buddin, menyambut Wakil Presiden Jusuf Kalla, yang tergabung ke dalam Kerukunan Keluarga Sulawesi Selatan (KKSS) di Graha Sucofindo pada acara Buka Puasa Bersama KKSS.

Pada tanggal 19 Juli 2017, Bertempat di Convention hall Hotel Bidakara, 16 Cabang Sucofindo raih sertifikat Sistem Manajemen Kesehatan dan Keselamatan Kerja (SMK3) dari Kementerian Tenaga Kerja dan Transmigrasi Republik Indonesia. Cabang Sucofindo yang mendapat sertifikat ini yaitu Lampung, Semarang, Palembang, Jakarta, Medan, Padang, Pekanbaru, Bandung, Cilacap, Banjarmasin, Surabaya, Balikpapan, Pontianak, Timika, Samarinda, dan Sangatta.

On July 19, 2017, Located in the Convention Hall of Hotel Bidakara, 16 branch offices of SUCOFINDO received the Occupational Health and Safety Management System (OHS) certificate from the Ministry of Manpower and Transmigration of the Republic of Indonesia. SUCOFINDO received an award in BUMN Branding and Marketing Award 2017 in Brand Communication Category with Silver Winner Predicate. The award was received by the President Director of SUCOFINDO, Bachder Djohan Buddin. It was held in Hotel JS Luwansa Jakarta.

Pada tanggal 15 September 2017, SUCOFINDO meraih penghargaan pada 6th Anugrah BUMN 2017, untuk kategori BUMN dengan kategori Pengembangan Sumber Daya Manusia (SDM) Terbaik. Selain itu, Dirut Sucofindo juga didaulat sebagai CEO BUMN Terbaik untuk kategori Developing Talent.

On September 15, 2017, SUCOFINDO received an award in the 6th Anugrah BUMN 2017 for the category of the best Human Capital Development (SDM). In addition, the President Director of SUCOFINDO was also awarded as the Best CEO BUMN for Developing Talent category.

This year, SUCOFINDO is the 61st anniversary of SUCOFINDO. The celebration was marked with the celebratory event in Graha SUCOFINDO, attended by all employees and their families. The anniversary party of SUCOFINDO also followed by CSR activities and National Leaders Meeting.

Pada kesempatan ini, perkenankan saya mewakili jajaran Dewan Komisaris menyampaikan puji syukur kehadiran Tuhan Yang Maha Esa karena atas karuniaNya PT SUCOFINDO (Persero) berhasil menutup buku 2017 yang penuh tantangan dengan pencapaian yang cukup baik. Sepanjang 2017 Dewan Komisaris telah berupaya menjalankan tugasnya sesuai yang diamanatkan dalam Undang-Undang Perseroan Terbatas Nomor 40 tahun 2007 dan Undang-Undang Nomor 19 Tahun 2003 tentang BUMN yaitu melakukan pengawasan atas jalannya pengurusan secara keseluruhan baik mengenai Perseroan maupun kegiatan usaha Perseroan, dan memberi nasihat kepada Direksi.

Based on our observation, the Company’s operational performance run by the Board of Directors has been implemented in a proper manner.

Berdasarkan pengamatan Dewan Komisaris, kinerja operasional SUCOFINDO yang dijalankan Direksi juga telah berjalan cukup baik.

Strategi SUCOFINDO dalam mengoptimalkan seluruh SBU telah menghasilkan output yang positif. Peningkatan pendapatan dari masing-masing unit SBU di tahun 2017 menjadi bekal yang fundamental bagi Perseroan untuk melangkah dengan penuh keyakinan di tahun selanjutnya.

SUCOFINDO’s strategy in optimizing all SBUs managed to generate positive outputs. The increasing revenues from each SBU in 2017 would be regarded as a fundamental basis for the Company to always be optimistic in facing the future.

PENILAIAN KINERJA DIREKSI DAN DASAR PENILAIANNyAHingga akhir tahun 2017, Bank Dunia menyebut kondisi ekonomi global tumbuh cukup positif dengan perolehan angka 3%, meningkat dari perolehan tahun lalu sebesar 2,4%. Meski begitu, Bank Dunia melalui Global Economic Prospects menyebut kondisi ekonomi dunia masih dalam tataran fragile recovery. Masih lambatnya pertumbuhan ekonomi nasional di angka 5,07% juga secara tidak langsung memberikan dampak signifikan bagi kegiatan usaha Perseroan, terutama karena masih stagnannya pertumbuhan di sektor industri nasional di angka 4,4%.

Dari sisi tinjauan industri, sampai tahun 2017 Indonesia masih tertinggal jauh di bidang sertifikasi dan dan standardisasi produk bila dibandingkan dengan sejumlah negara di Asia, seperti Thailand, Malaysia dan Tiongkok. Kurangnya kesadaran masyarakat akan pentingnya standardisasi untuk produk lokal serta minimnya jumlah laboratorium uji produk di Indonesia masih menjadi kendala yang menghambat pertumbuhan industri jasa pemastian.

ASSESSMENT ON BOARD OF DIRECTORS PERFORMANCE AND BASIS OF ASSESSMENTBy the end of 2017, the World Bank stated that global economic conditions grew quite positively, reaching the level of 3% and demonstrating an increase compared to the growth level of the previous year at 2.4%. Nonetheless, through its Global Economic Prospects, the World Bank mentioned that global economic conditions remained in the phase of fragile recovery. In addition, the slow growth of national economy at the level of 5.07% this year also indirectly posed a significant impact on the Company’s business activities, mainly due to the stagnant growth in the national industrial sector at 4.4%.

In regard to our industry, until the end of 2017 Indonesia still lagged far behind a number of countries in Asia in the field of certification and standardization of products, such as Thailand, Malaysia and China. The lack of public awareness of the significance of standardization for local products and the small number of product testing laboratories in Indonesia continued to become a constraint that hindered the growth of the assurance service industry.


Di tengah kondisi bisnis yang penuh tantangan, Dewan Komisaris memberikan apresiasi terhadap kinerja seluruh insan SUCOFINDO karena masih mampu membukukan pendapatan yang positif. Dari sisi kinerja keuangan, pada tahun 2017 Perseroan berhasil mencatatkan laba tahun berjalan sebesar Rp236,67 miliar naik 59,54% dari tahun 2016 sebesar Rp148,34 miliar. Di sisi total aset Perseroan juga berhasil naik 10,33% dari Rp2.785 miliar di tahun 2016 menjadi Rp3.072,77 miliar di tahun 2017.

Berdasarkan pengamatan Dewan Komisaris, kinerja operasional SUCOFINDO yang dijalankan Direksi juga telah berjalan cukup baik. Strategi Direksi dalam mengoptimalkan seluruh SBU telah menghasilkan output yang positif di antaranya Pendapatan Aset dan Energi Baru dan Terbarukan naik sebesar Rp47,7 miliar, Pendapatan Industri meningkat sebesar Rp26,60 miliar, Pendapatan Layanan Publik, Sumber Daya Alam dan Investasi sebesar Rp25,82 miliar, Pendapatan Mineral sebesar Rp20,70 miliar, dan Pendapatan Sucofindo Episi sebesar Rp20,53 miliar.

PENGAwASAN TERHADAP IMPLEMENTASI STRATEGI DIREKSIMengacu pada Undang-Undang, Code of Conduct GCG dan pedoman kerja yang dimiliki Perseroan, Dewan Komisaris memiliki kewenangan dalam menjalankan pengawasan atas efektivitas operasional yang dijalankan oleh Direksi. Aktivitas pengawasan sehari-hari dilakukan dengan mengikuti kewenangan yang dimiliki Perseroan yang bersandar para Anggaran Dasar Perusahaan.

Selain aktivitas pengawasan sehari-hari, Dewan Komisaris juga memiliki media formal yaitu Rapat Gabungan Dewan Komisaris dan Direksi yang mana dalam agenda tersebut Direksi akan memaparkan informasi terkait kinerja Perseroan secara triwulanan, semesteran dan tahunan. Implementasi pengawasan Dewan Komisaris juga dibantu oleh Komite-komite yang telah ditunjuk dengan mengacu pada pedoman kerja masing-masing komite. Jika dirasa perlu, Dewan Komisaris juga dapat meminta penjelasan dari pejabat terkait dan melakukan pengawasan secara langsung, baik di Unit Kerja maupun Kantor Cabang.

PANDANGAN ATAS PROSPEK USAHA PERSEROANPerekonomian dalam negeri yang tercatat stabil meski belum sepenuhnya kondusif pada tahun 2017 secara tidak langsung memberikan dampak bagi kegiatan usaha Perseroan. Pertumbuhan industri nasional di angka 4,4% pada dasarnya masih menunjukkan stagnasi yang belum juga membaik, terutama jika dibandingkan dengan sektor atau industri lain seperti Sektor Informasi dan Komunikasi yang menutup buku dengan angka 9,35%, konstruksi 7,13%, hingga transportasi dan pergudangan sebesar 8,27%.

Kementerian Keuangan dalam APBN menargetkan pertumbuhan ekonomi sebesar 5,4%. Dalam merealisasikan target pertumbuhan tersebut, Pemerintah berupaya sebaik mungkin melalui penguatan ekonomi domestik, stabilitas konsumsi, peningkatan investasi, dan ekspansi belanja pemerintah serta terus meningkatkan daya saing produk dalam negeri untuk mendukung perbaikan ekspor. Amidst such challenging business conditions, the Board of Commissioners appreciates the performance of all personnel of SUCOFINDO as the Company managed to successfully book positive revenues. In terms of financial performance, the Company recorded profit of the year amounting to Rp236.67 billion, up 59.54% from that of 2016 which was recorded at Rp148.34 billion. Total assets of the Company in 2017 also rose 10.33% from Rp2,785 billion in 2016 to Rp3,072.77 billion.

Based on our observation, the Company’s operational performance run by the Board of Directors has been implemented in a proper manner. The Board of Directors’ strategy in optimizing all SBUs resulted in positive outputs, among others, an increase in Revenues from SBU Assets and New and Renewable Energy by Rp47.7 billion, Revenues from SBU Industry by Rp26.60 billion, Revenues from SBU Public Services, Natural Resources and Investments by Rp25.82 billion, Revenues from SBU Mineral by Rp20.70 billion, and Revenues from Sucofindo EPISI by Rp20.53 billion.

SUPERVISION ON IMPLEMENTATION OF BOARD OF DIRECTORS STRATEGIESReferring to the Laws as well as the Company’s Good Corporate Governance (GCG) Code of Conduct and work guidelines, the Board of Commissioners is authorized to supervise the effectiveness of operations carried out by the Board of Directors. The day-to-day supervisory activities are conducted by taking into account the authority of the Company which is based on the Company’s Articles of Association.

In addition to the routine supervisory activities, the Board of Commissioners also has a formal media, namely the Joint Meeting of Board of Commissioners and Board of Directors, where the Board of Directors will present information related to the Company’s performance on quarterly, semester and annual basis. In carrying out supervision duties, the Board of Commissioners is assisted by the Committees appointed in reference to the work guidelines of each committee. If necessary, the Board of Commissioners may also request an explanation from relevant officials and conduct direct supervision on both the Work Units and Branch Offices.

OPINION ON BUSINESS OUTLOOK

The stable, if not entirely conducive, condition of domestic economy in 2017 indirectly impacted on the Company’s business activities. In essence, the growth of national industry at the level of 4.4% continued to show stagnation which has yet to recover, particularly when compared with other sectors or industries, such as Information and Communication, construction and transportation and warehousing sectors which closed the fiscal year with the growth percentage of 9.35%, 7.13%, and 8.27% respectively.

In the State Budget (APBN), the Ministry of Finance has targeted the economic growth to reach 5.4%. In order to realize such target, the Government seeks for the best possible method through the strengthening of domestic economy, consumption level stabilization, investment increase, and expansion of government spending, as well as continuously leveraging domestic products’ competitiveness to support export improvement. dan sertifikasi memiliki peranan penting dalam meningkatkan daya saing industri nasional. Berdasarkan data yang didapat dari Badan Standarisasi Industri Kementerian Perindustrian (Kemenperin), standarisasi produk melalui Standar Nasional Indonesia (SNI) merupakan satu-satunya alat untuk melindungi produk lokal dari persaingan dengan produk asing dan sebagai alat untuk melindungi konsumen dalam negeri.

Dukungan Pemerintah untuk memperbaiki performa industri jasa pemastian nasional dengan berencana membentuk holding BUMN di bidang jasa survey, inspeksi dan sertifikasi pada tahun 2018 diharapkan mampu memberikan dampak bagi jalannya kegiatan usaha Perseroan. Didukung dengan membaiknya kondisi ekonomi makro, Perseroan yakin akan mampu menghadapi tahun 2018 dengan perolehan yang positif.

PANDANGAN ATAS PENERAPAN GCGDewan Komisaris mengapresiasi setinggi-tingginya atas penerapan dan internalisasi GCG yang dijalankan oleh Perseroan sepanjang tahun 2017. Dewan Komisaris menilai, penerapan GCG yang dilaksanakan telah mampu memaksimalkan seluruh organ tata kelola yang ada dalam mendukung pelaksanaan kegiatan usaha Perseroan berdasarkan prinsip, standar dan regulasi yang berlaku. Keberlanjutan atas best practices GCG yang dijalankan oleh SUCOFINDO tercermin dari peningkatan skor GCG tahun 2017 yang dilakukan oleh assessor independen yaitu PT Sinergy Daya Prima. Perusahaan berhasil mencatatkan skor penilaian sebesar 91.00, tertinggi selama tiga tahun terakhir, meningkat dari tahun 2016 dan 2015 masing-masing sebesar 90,15 dan 89,88.

Hasil skor tersebut dipandang oleh Dewan Komisaris sebagai catatan prestasi yang diukir oleh seluruh insan SUCOFINDO di berbagai jenjang karena kesadarannya yang tinggi serta komitmen nyata dalam mengimplementasikan praktik tata kelola usaha yang baik dan pelaksanaan kepatuhan terhadap regulasi yang diwajibkan.

PENILAIAN ATAS KINERJA KOMITE DI BAwAH DEwAN KOMISARIS

Komitmen SUCOFINDO untuk terus mengembangkan bisnisnya tanpa melupakan prinsip-prinsip tata kelola perusahaan yang baik menjadikan peranan Komite-Komite di bawah Dewan Komisaris dalam melaporkan hasil pengamatan serta evaluasi baik rencana maupun realisasi kinerja Perusahaan menjadi sangat signifikan. Dalam hal ini Dewan Komisaris memiliki 2 (dua) organ pendukung yang terdiri dari Komite Audit serta Komite Risiko, Investasi dan Tata Kelola

Komite Audit sepanjang tahun 2017 telah melaksanakan seluruh tugasnya terkait rencana-rencana kerja tahunan Perusahaan dalam RKAP 2017 serta melakukan analisis dan pengamatan atas Laporan Keuangan yang disampaikan Direksi baik secara triwulanan, semesteran, dan tahunan. Selain itu Komite Audit juga telah melakukan kunjungan kerja ke cabang-cabang, mengevaluasi dan menganalisis investasi dan pengadaan barang dan jasa perusahaan serta melakukan evaluasi dan analisis fungsi SPI serta upaya penguatan pengendalian internal perusahaan. Secara keseluruhan, Komite Audit telah menjalankan kinerjanya dengan sangat baik.
