As business brokers representing vendors, we face a unique conundrum; market a business to find purchasers, but keep it absolutely secret. There are of course businesses we can market openly, and many (but not all) franchises fall into this category, as well as some businesses where the owner doesn’t feel exposing the company would be detrimental. In the vast majority of cases though, business owners do not want their company identity to be revealed in any circumstances. And in most cases this is for good reason; risk of suppliers or clients being unsettled, staff becoming concerned about motive or job security or competitors gaining sensitive information.

So how do we overcome this paradox and identify genuinely qualified buyers while not exposing the identity of the businesses we sell? The answer lies in having the depth of experience to design robust internal systems. These are the typical steps that LINK brokers follow;

1. Discuss confidentiality with our client (the business owner) and discuss expectations and our processes. Different strategies may be employed depending on specific circumstances.

2. Design a compelling marketing campaign that highlights the businesses’ strengths and opportunities without disclosing any information that may identify the business. This will usually include ensuring any geographical references are broad and any photographs are suitably generic, and/or approved by the owner.

3. Any potential buyer must complete and sign a thorough confidentiality agreement (CA). Among other things, the agreement requires the potential buyer to keep all information confidential, not to share the information with anyone else, and under no circumstances to approach the vendor, any employees, suppliers or customers. The CA is kept on file and is binding.

4. In most cases the potential buyer is then required to have a face to face meeting with a broker. The meeting will help the broker assess the suitability of the purchaser, whether they have the financial means to complete a transaction and whether there is any potential confidentiality conflict. If for example the purchaser owns a competing business, or the broker has any concerns, the broker can discuss the purchasers’ identity with our vendor before releasing any information.

5. Depending on the complexity or sensitivity of information, it may be released in progressive parts. The Information Memorandum created by the broker usually contains the relevant information for a buyer to determine whether they would like to make an offer on the business.

Some parts may be withheld until the broker is satisfied the purchaser is likely to proceed.

6. Once a purchaser has been qualified and is ready to make an offer, we put together a Sale and Purchase Agreement. This agreement typically includes a period of due diligence that can vary significantly in length depending on many factors, including the availability of information and the complexity of the business.

7. During due diligence, the buyer is typically provided more detailed information that may include suppliers and customers – but in some cases this is also withheld until every other aspect is considered satisfied.

8. If the purchaser does not proceed then they are obliged under the confidentially agreement to return all documentation to the broker for destruction.

9. If the purchaser would like to enquire about another business, the broker will have them complete a new, specific CA for that business and the process starts again.

LINK take confidentiality extremely seriously. Our reputation depends on it and our clients (rightly) demand it. For these reasons, we will often decline to work on general instructions where other brokerages are also instructed to represent the sale of a business. If other brokerages operate without the same strict procedures, confidentiality can and does get breached and it will be out of our control.

Begin your search by giving some thought to your ambitions, goals and expectations of your future business.

SKILLS APTITUDEDo you have a qualification, skill, talent or experience in a line of work that you want to pursue or put to use? If so, use that to identify the types of businesses that would be a good match for you. For example, if you’re a trained chef and food is your passion, then it’s quite obvious that owning a restaurant will be a good fit for you.

PERSONALITYWhat type of person are you? Do you like dealing with people? Are you outgoing? Do you have a thick skin and don’t mind dealing with complaints or criticism, even if it’s undeserved? If you answered yes, then a business in the retail or service industry might be a good fit. If no, then rather look for something with less customer contact.

LIFESTYLEDo you have family obligations that require flexible work hours? Or maybe you can’t bear to be tied down to a bricks and mortar business with set operating hours, or to work more than five days a week. Perhaps you’re looking for an opportunity that you can pursue on the side, while keeping your current job. Consider all of this and mentally eliminate the types of businesses that would limit you in this manner.

EXPECTATIONSAre you a money-motivated, risk-taker who is determined to grow your business as fast and as big as possible? Or are you highly motivated but risk-averse and less comfortable with the idea of running an empire? Your answers will determine the type of businesses you should investigate. Make a mental note to keep the bigger picture in mind when considering opportunities and ask yourself if you will still be comfortable running the business five years from now.

FINANCESSome business opportunities require a bigger financial investment than others and pursuing them may mean taking a bank loan or borrowing money. While financial institutions will naturally consider the potential returns from the business you’re buying in addition to your own finances and credit record, knowing where you stand and how much financial risk you’re willing and able to take will influence the size and scope of the business opportunities you should consider.

The idea of entrepreneurship and business ownership is still fast climbing up the popularity stakes in South Africa. But what kind of life are you really choosing for yourself once you decide to make a career out of owning your own business in South Africa?

Conversation in South Africa over entrepreneurship is often very confused. Common mistakes range from glamorous entrepreneurs inappropriately held up as role models as opposed to solid local business owners, to young people mistakenly told “if you can’t find a job, start a business.” Business owners know that a critical requirement of business survival is previous work experience. Part of the problem is that business owners are rarely part of the conversation on entrepreneurship. It is therefore helpful and interesting to explore the views of someone who has made a study of the lives of business owners, even if it is just to place your own career path into the broader world of business ownership.

One such thinker is a Canadian market researcher called John Warrilow who has come up with a theory of the lifestyles of business owners which is grounded by the fact that you would immediately recognise yourself in his scheme. Warrilow says that there is no such thing as a typical business owner – the range of the types of people running their own businesses is simply too wide. Add to this the wide range of industries that business owners operate in, the different phases of growth of their businesses, and it becomes even more difficult to point to an “average” or “typical” business owner. But Warrilow has figured out that there are roughly three types of business owners. No, not retailers, manufacturers and service providers – he says you get all three types across all sectors. Rather, he classifies business owners according to what they want to achieve with their businesses. He calls his three classifications empire builders, freedom fighters and craftsmen.

The empire builder is the one most generally associated in popular imagination as the “typical entrepreneur” – always busy with the next project, an insatiable thirst for growth and wealth, aiming to take over or revolutionize whole markets and industries. These are the Richard Bransons, the Mark Shuttleworths and the Patrice Motsepes that are so often used as role models. But Warrillow reckons they make up a mere 2% of business owners. And rather than the glamorous lives that the very few top entrepreneurs lead, Warrilow describes the lifestyle of most empire builders as difficult, dogged by boom-and-bust cycles as they lurch from one project to the next. Very often an empire-builder

type entrepreneur is dirt poor and in the process of liquidation. But they don’t stay like that for long. Interestingly, he says the empire builder is less concerned with money than with power. They tend to see money as simply another tool with which to build their empires. Warrilow’s freedom fighters, on the other hand, seek financial independence above anything else and ultimately the freedom to spend their time as they wish. They are not interested in becoming the next Richard Branson, because that would bog them down too much and distract from their goal of freedom. Warrilow reckons about 28% of all business owners fall into this category. The way Warrilow describes freedom fighters is roughly along the lines of what Business Partners call “lifestyle businesses.” Warrilow says the freedom fighter’s lifestyle depends very much where he finds himself in his business’s growth cycle. It is difficult in the beginning as they grow their businesses virtually from scratch, and gets systematically easier as they put more and more systems in place to ensure that the business runs on its own. They are generally strong family people, and place great value in staff relations and customer care. Freedom fighters learn to become sophisticated business people, because they have to master difficult remote control systems such as accounting and business-performance analysis in order to gain their independence from the day to day running of their businesses.

Craftsmen, Warrilow’s third category of business owner, would rather not be bothered by business systems. They are first and foremost interested in practising their craft, and prefer to identify themselves by their craft first, and as business owners as an afterthought only. They say “I’m a plumber”, for example, or mechanic, film maker, vet, farmer, or grocer, before they say “I’m a business owner.” Warrilow reckons that no fewer than 70% of all business owners fall into this category. Most craftsmen don’t ever grow their businesses past a handful of employees, because they tend to be uncomfortable with stepping away from doing the job themselves and taking up a manager’s role in the back office. It is understandable that their business paperwork is not often in the best shape. The next time you are called upon to advise a young person, perhaps even your own children, about choosing business ownership as a career, it may be helpful to supplement your own experience with a broader view such as Warrilow’s. Ultimately, the answer to the question of “what’s the life of a business owner like?” is something along the lines of: “Often challenging, often very satisfying, but it depends…”

The employer annual reconciliation process gets underway on 1 April 2014, but with the launch of the Employment Tax Incentive employers are going to have their hands full with one more reconciliation or is this one going to be worth the admin?

WHAT IS THE EMPLOYMENT TAX INCENTIVE (ETI)?It is a programme that was launched by the Government (effective 1 January 2014 – 31 December 2016) to encourage employers to employ more young employees and therefore combatting the ever rising unemployment figures. Government commits to share the cost of employment through this incentive. The employees are not themselves going to receive any benefit, but the employers will certainly feel some relief in their immediate cash flow since the calculated incentive amount is deducted from their monthly employees’ taxes payment to SARS.

It’s not all fun and games for employers as a stiff penalty of R 30,000 exists for employers who try to abuse the system by dismissing current employees so that they can employ new employees. Employers must be registered for PAYE and all tax affairs must be up to date with SARS. Employers are not allowed to be part of the public sector or state owned.The incentive is claimed on a sliding scale calculation based on the salaries of all qualifying employees.

WHO ARE QUALIFYING EMPLOYEES?Newly employed personnel:• employed after 1 October 2013• who are not earning more than R6,000 pm• who are permanent South African residents and refugees (with SA ID)• between 18 and 29 years old• not domestic workers• not connected persons• not earn less than minimum wage (based on sectorial determinations/

bargaining council agreements) or if no determination exists, not earn less than R 2,000 pm.

A qualifying employee remains eligible for 24 monthly periods (not necessarily consecutive) and can even change employers and remain eligible. Whether this will require employers to provide each other with a schedule of incentives claimed when an employee leaves the workplace is still to be clarified.

HOW IS THE INCENTIVE AMOUNT CALCULATED?During the first year of employment the calculation of the incentive amount per qualifying employee is as follows:

The incentive value per month is halved in the second year of employment.

HOW IS THE INCENTIVE CLAIMED?Once the employer has determined the monthly employees’ taxes and is ready to complete the EMP201 return, the employer needs to:1. determine the number of qualifying employees 2. determine whether the employee is in the first or second year of

employment3. determine the allowable amount based on the salary

The amount calculated above is then deducted from the PAYE liability due to SARS. The amount may not exceed the PAYE amount, but any excess not claimed in the current month may be carried over to the following month.

SUMMARYDetermine whether you qualify by looking at how many new employees you have and how many earn less than R 6,000 per month. Calculate the incentive and deduct the amount from the monthly EMP201 payment.

For an employer with 10 new employees earning R 4,000 pm, the incentive up to December 2016 can be a total of R 110,000 in the first year (February 2014 to December 2014) and R 60,000 in the second year (January 2015 to December 2015). It may actually be worth the effort of maintaining yet another spread sheet.

When you’re thinking about becoming a more skilled networker, you usually think about what you can do to network more effectively. This includes teaching others what kinds of referrals you’re looking for, asking for referrals from your clients, and using incentives for those referring you. These are all components of your skill set.

And while it’s important to know the right things to do while networking, it’s equally important to start thinking the right way to make your networking efforts as successful and dynamic as they can be. This involves altering your mind-set. Let’s take an up-close look at some elements you’ll want to include in your mind-set to ensure networking success:

THE LAW OF RECIPROCITY – OR “GIVERS GAIN” APPROACHThe law of reciprocity sets in motion in-kind responses of individuals based on the actions of others. I like to call this the “givers gain” approach. You shouldn’t approach networking thinking, “I did this for you, now what are you going to do for me?” Rather, you should remember the old adage “give and you shall receive”.

The law of reciprocity takes the focus off of what you stand to gain from the networking relationship, and in doing so, creates bonds based on trust and friendship. Put it to the test. You’ll be amazed by the outcome.

DIVERSITY IN NETWORKINGLook for groups that don’t target people just like you. In this way, you’ll broaden the net you seek to cast for referrals. There are many great networking organizations out there. If you stay only in groups that focus on your profession, you lose the breadth you need to develop a wide-reaching network.

Surround yourself with people who don’t look like you, don’t sound like you , don’t talk like you, don’t have the same educational background as

you, and don’t have the same experiences as you. Connect with people who are substantially different than you. The value in this is that you meet people who become connectors who connect you to clusters of peoples you wouldn’t normally have contacts with.

It really is not an either/or but a both/and situation. You want to have relationships with professions that are synergistic to yours. The problem is that if you do that exclusively, you’ve missed a huge opportunity to meet people who will be connectors to those diverse groups outside your profession.

On the other hand, if you are so focused on diversity that you’ve not created any relationships that are synergistic, you are missing the opportunity to get those kinds of referrals from the symbiotic professions.

FARMING MENTALITYFor networking to yield extraordinary success, your mentality must be that of a farmer. He prepares the soil for months before ever planting the seeds. He tends the seedlings with care, feeding and watering them regularly, putting up a scarecrow to keep pesky birds away. It’s a long, drawn-out process to go from seeding a field to harvesting the crops. There’s no quick return.

Approaching networking with a mentality that focuses on the process of cultivating referrals will create the results you desire. Too many times I see professionals who are trying to grow their networks ask all the contacts they make at a mixer to visit their referral group, or keep them in mind for referrals as they give each new contact two of three of their business cards. This is way too soon. Think about that farmer diligently tending the seeds he has sown, and spend more time strengthening your friendships with those whom you wish to have as part of your networking circle.

Trade marks are words or other marks (such as logos) that are used to distinguish the goods or services of the trade mark owner from the goods and services of other manufacturers and suppliers.

Provided it fulfils the function mentioned, there is virtually no limit to the form which a trade mark can take. The Trade Marks Act defines a mark as “any sign capable of being represented graphically”, i.e. capable of visual representation and this includes a device name, signature, word, letter, numeral, shape, configuration, pattern, ornamentation, colour or container for goods, or any combination of these.

Thus, a mark can be: a symbol which may or may not have any particular significance, a person’s name or image, a corporate logo, an invented word or an ordinary word, or a distinctive container for goods. A mark may be something applied to the surface of goods or “incorporated” in their shape or structure. It may be a musical jingle or a slogan, or a combination of colours in a particular format. The three stripes down the sides of Adidas shoes, the little red tab projecting from the hip pocket of Levi’s jeans and the arrow device on the Parker pen clip are all well-known and valid trade marks. Generally speaking anything which distinguishes one product or service from another, and which can be represented graphically, constitutes a mark, As strange as it may seem, even sounds and smells could be registered.

In addition to the traditional form of the trade mark applied to goods, it is possible for trade marks to be registered in respect of services such as engineering, computer programming, advertising, banking and insurance, leasing, entertainment, hotels, restaurants and beauty salons, to name but a few.

South African trade mark legislation allows a wide range of marks to be protected, in addition to simple words and logos. For example, trade marks can be registered for the shape and colour of goods; service marks which distinguish a service as opposed to a product; and certification marks that certify the origin of goods.

Trade marks may be registered, in which case the registration remains in place for ten years. After ten years the registration can be renewed, and this continues to be the case after every ten year period in perpetuity.

IS IT REALLY NECESSARY TO REGISTER A TRADE MARK? Registration of a trade mark has many advantages, some of which are:

• The owner of a registered trade mark can stop the use or registration of another trade mark in respect of the same or similar goods or services if that other trade mark so nearly resembles the registered trade mark as to be likely to deceive or cause confusion, without having to prove prior use of the trade mark.

• A trade mark registration enables the owner to object to another unauthorised use of the trade mark or a similar mark if the registered mark is well known in South Africa and the use would be likely to take unfair advantage of, or be detrimental to, the distinctive character or repute of the registered mark. This so-called “anti- dilution” provision in the law enables the owner to object to comparative advertising or use which adversely affects the advertising image of the mark.

• Registration gives notice of all interested parties of the rights claimed by the trade mark owner throughout the country. Rights in an unregistered trade mark may be much more localised.

• Registered trademarks endure indefinitely, subject to use and the payment of renewal fees every ten years.

Unregistered trademarks enjoy a limited form of protection under South African common law. The owners of unregistered trademarks may, in certain circumstances, be able to prevent the use of the marks by others, provided that the owner can show that the mark has a reputation and that the use of the contentious mark will cause the public to be misled.

This does however require that evidence be gathered establishing the trading record of the trade mark and thereby establishing its reputation. It is far simpler to have a trade mark registration which can be relied on to prevent competitors using the mark, as the registration does away with the need to prove that the mark has a reputation.

WHAT TRADE MARKS CAN BE REGISTERED? As already mentioned, not all trade marks qualify for registration. It is a fundamental requirement for registration that a trade mark must be “capable of distinguishing”. Generally speaking, it can be said that a mark, which is reasonably required by other traders for use in connection with the particular goods or services, is not registrable and the Trade Marks Act expressly excludes from registration designations as to the kind, quality, quantity, intended purpose, value, geographical origin or other characteristics of the goods or services, or the mode or time of production of the goods or rendering the services, as well as “shapes and colours which are necessary to obtain a specific technical result”.

any extension thereof, the Certificate of Registration is issued. Unfortunately, there can be a considerable delay in the official examination of trade mark applications. Upon registration, however, rights in the trade mark date from the date of filing of the application. If a search was conducted before the filing of that application, a reasonable indication should have been obtained as to whether or not objections to the registration can be expected.

FOREIGN TRADE MARKS The rights of a trade mark are strictly territorial and are limited to the territory in which registration has been obtained or, in certain cases, where rights through use can be shown to exist. Thus, it is important to note that a registration in South Africa does not confer any rights in the trade mark in export markets, and a South African exporter from possible infringement proceedings in the export country. Thus rights in the mark must be protected in each country of interest or potential interest by the best means possible, that is, by registration.

There are, however, systems which make it possible to file a single application for registration of a trade mark in a number of countries. These systems are the international” Madrid” system, the “CTM” system in Europe, and the “ARIPO” and “GAPI” systems in Africa. The international registration of trade marks (the Madrid system) is an effective and relatively inexpensive way for trade mark owners to secure protection of their trade marks in a number of countries by filing a single international registration application with a centralised office in Madrid. South Africa has approved the ratification of the Madrid Protocol but has not yet acceded to it. South African companies therefore cannot yet make use of this system, unless they have a real and effective industrial or commercial establishment or domicile in a country that is a member of the system.

The CTM system, which relates to a European Community Trade Mark application, is useful because one application in the European countries.

The OAPI and ARIPO systems are regional systems in Africa which make it possible to obtain trade mark protection in a number of African countries by filing one trade mark application. South Africa is not a member of these systems, but South African companies can use these systems.

PROPER USE OF A TRADE MARK A trade mark must be used if it is to remain on the trade mark register unchallenged. A registered trade mark may be expunged from the Register of Trade Marks if it has not been used for a continuous period of five years. Any use of the trade mark, whether by the owner of the trade mark or by their licensee, would be sufficient to interrupt this time period and prevent expungement of the trade mark registration. If a trade mark is not used properly and, in particular, if it is used either deceptively or in a sense which gives it a generic meaning for the goods or services, all rights in the trade mark can be lost.

A trade mark can be used deceptively if it is used in contravention to a particular condition imposed upon registration, for example, as to mode of use or character of the goods or services. Deceptive use can also occur where the label suggests, falsely, origin in a country other than

the true country of origin of where, contrary to fact, that label suggests a connection with other countries. Similarly, if a trade mark suggests that the goods have a certain content or ingredient, and this is not so, it could be held to be deceptive and invalid on that ground.

The other major basis upon which rights in a trade mark can be lost is when the trade mark is used in such a manner as to become the name of the goods or, in other words, when it become generic and falls into the public domain. Many words of the English language, such as aspirin, linoleum and escalator, to name but a few, were originally trade marks signifying the product of one source. Cellophane is another trade mark which has been lost in certain countries, including the United States, because it was used to refer to a certain type of transparent film rather than to transparent film from a certain manufacture. Thermos, Jacuzzi and windsurfer have met with a similar fate in some countries.

A number of manufacturers of well-known trademarks. such as Levi’s for jeans, Dacron for fibres, Kleenex for facial tissue, Jeep for vehicles, Vaseline for petroleum jelly, Hoover for vacuum cleaners and Xerox for photocopiers, take active and expensive steps to educate their own dealers, newspaper editors, publishers of encyclopaedias and the public at large to appreciate that the trade mark identifies their products alone, and to use it in the proper manner. In particular, the trade mark should be used adjectively, always qualifying the generic description of the goods in question, and should never be used as a noun or a verb. Thus you do not buy a hoover nor do you hoover the car. You buy a Hoover vacuum cleaner for the purpose of cleaning the carpet.

MARKING It is not compulsory to use the expression “Registered Trade Mark” or any abbreviation but it is normally advisable. The symbol ® is widely recognised as indicating that a trade mark is registered. Thus, if the symbol were used in conjunction with a trade mark which is not registered, it is likely that this would constitute an offence under the Trade Marks Act which prohibits the use of any words or letters which might falsely suggest that a trade mark is registered. There is no objection to using the words “Trade Mark” or the abbreviation ™ in connection with a trade mark which is not registered and, in fact, this would usually be desirable so that it can be clear that trade mark rights are claimed in the feature concerned.

NAMES AND TRADING STYLES Company names and trading styles, which are not trademarks, can be registered as defensive company names. The registration of defensive company names prevents others from incorporating a company or close corporation under a name that is confusingly similar. This can prevent confusion in the market place.

DOMAIN NAMESDomain names are valuable corporate assets and identifiers. With the expansion of the internet and e-commerce it is important for trade mark owners to protect their trade marks on the internet by registering domain names. The inter-relationship between domain name and trade mark registrations is particularly important when securing a channel of business through the internet.

A mark will be considered capable of distinguishing if at the date of application it is intrinsically capable of distinguishing or is capable of distinguishing by reason of its prior use. An invented word such as KODAK or XEROX, or an invented logo, is dearly immediately capable of distinguishing, whereas terms such as ‘excellent’ or ‘best’ are not, and it is difficult to envisage any circumstances under which they could be shown to have become capable of distinguishing one party’s products or services, even after lengthy use.

Between the extremes of inherently distinctive and dearly nondistinctive marks, is a grey area into which many marks potentially fall.

A word which is merely suggestive of a particular character or quality of the goods would usually qualify for registration. Thus,” NEVER WET” could probably not be registered for a waterproof garment, but “DUCK’S BACK” would be quite acceptable for such goods. On the other hand, surnames or marks consisting of numerals or of less than three alphabetical letters may not qualify, and detailed advice should be sought.

As indicated above, the definition of a “mark” includes shapes and containers for goods. To qualify for registration as a trade mark, the shape or container must, of course, be distinguishing, as in the case of all other trademarks, and not necessary to obtain a specific technical result.

SELECTION OF A TRADE MARK When selecting a trade mark one should choose something which can be registered, and the marketing department should work closely with

its trade mark experts to ensure selection, as far as possible, of a mark which is registrable. It should be borne in mind, however, that the more apt the word or device is to describe the goods or services, the less apt it will be to distinguish those goods or services from those of others – and, if it is possible to obtain registration at all for a semi-descriptive word, it may be very difficult to protect that word against claims by others that they are entitled to use almost identical descriptive terms. These difficulties are not necessarily avoided by using foreign or misspelled versions of ordinary descriptive terms. For the reasons mentioned above, geographical names and surnames as trade marks are also not easy to protect. Once a mark has been selected, a trade mark search should be conducted to ascertain that the mark is available for registration and that there will be no infringement of a registered mark.

If there is a likelihood of the trade mark being used on goods for export, additional considerations could apply in its selection since, not only may a word in one language be difficult to pronounce in another, but it may, in fact, have an undesirable or even obscene meaning in another language.

The temptation to “adopt” a mark which is well known or successful in a foreign country but not yet used or registered in South Africa should be avoided. Specific provision for the protection of well known marks forms part of the trade marks law.

HOW DO I GO ABOUT DOING A TRADE MARK SEARCH? All leading intellectual property law firms have systems in place to conduct trade mark searches. These searches are relatively inexpensive and are certainly money well spent before committing to the name of a new product or business.

THE TRADE MARK REGISTRATION PROCEDURE IN SOUTH AFRICA The procedure commences with the filing of a trade mark application. Considerable care must be exercised in the preparation of the specification of goods or services included in that application, since rights against infringers are confined to use of the name or a confusingly similar trade mark on the same or similar goods or services covered in the specification.

Sometime after filing, the application for registration of a trade mark is examined by the Trade Marks Registry. After examination, an official action is issued in which the registry indicates whether, and subject to what conditions, it would be prepared to register the mark. Upon the registry being satisfied that a trade mark can proceed to registration, it will issue acceptance of the application. The applicant, usually through his trade mark attorneys, will then arrange for the acceptance of the application to be advertised in the Patent Journal. After advertisement, the application is open to opposition by interested parties for a period of three months.

If a party believes it has grounds for opposing, an extension of that period is usually arranged and, prior to the filing of formal notice of opposition, an attempt is generally made to find a basis for coexistence of the respective trademarks of the parties, or for the application or the objection to be withdrawn. At the expiry of the three month period, or

Tidiness triumphs when it comes to productivity in the workplace. Think straight and work efficiently rather than wasting time looking for ‘lost’ items amidst a mountain of paperwork, water bottles and knick-knacks by creating a space for everything on your desk.

INBOXUse a standard stackable letter tray to store documents like memos, print¬outs and random things placed on your desk by colleagues that don’t yet have a purpose.

INCUBATE BOX On top of your Inbox tray, stack another letter tray to put items that are ‘on hold’. These are items like articles you’re thinking of reading, ideas for potential projects, and information about events you might attend.

ACTION FILEPut papers that require more than two minutes of your time in an accordion type folder. These might include forms to fill out and documents that need to be proofread. This way, they’re easily accessible when you get round to doing them.

CURRENT PROJECTS RACKUse a file rack or small file box with folders to store active projects. Allocate and label one folder per project so projects are easy to find.

FILING CABINETPut completed projects, general reference items, and anything else you might want to look at again in a filing cabinet. Use simple flat folders that are organised from A-Z as they take up less space than hanging folders.

DUMP BOXES Have a dustbin so you can throw away items that are no longer of use and a recycling bin for used paper that can be recycled.

THE WHO’S WHO OF PAPERWORK David Allen’s work-life management system and book, Get Things Done, suggests a step-by-step system for dealing with plentiful paperwork.

1. Process: Put all papers on your desk in your Inbox tray and then go through them one by one. Ask yourself if you can act on the file. If yes: do it – it takes less than 2 minutes, delegate it if you’re not the right person, or defer it to your Action File or Current Projects rack for attention later.

2. Organise: If the file has no action for you, trash it, or recycle it if you don’t need it. Put it in your Incubate tray if you aren’t ready to deal with it or archive it in your filing cabinet for later reference.

3. Review: It’s important to process your Inbox daily. It’s a good idea to do it at least twice a day: once around noon and again at the end of the day. Try to make sure you empty your Inbox by the end of the day so that a fresh Inbox awaits you in the morning. Move completed files into your filing cabinet and transfer files from your Incubate tray into your Inbox (if possible) on a weekly basis. Go through your filing cabinet and get rid of files you won’t need again on a monthly basis.

TRASH THOSE PRINTOUTS Contribute to paper conservation and minimise clutter by aiming for a ‘paperless office’. Print only documents you really need in hardcopy format. After printing a document and completing its action, place it in the recycle bin. You’ll have a copy of it on your computer, so there’s no need for it to clutter your desk.

TAKE YOUR BOOKS HOME Take home any books that you don’t use regularly. This will give you more desk space to work with.

LIMIT THOSE PHOTO FRAMES Pictures of loved ones are a reminder of what’s important in life and they might be a great comfort on a bad day. However, an excessive number of photos might be a distraction and take up a lot of space. Rather store photos on your computer and watch a slide show of an abundance of your pictures during a break.

EAT AWAY FROM YOUR DESK Eating at your desk makes way for trash like food wrappings and cans to clutter your desk. Food and drinks are also likely to damage your computer or phone if messed. Rather keep your desk clean and functional by eating somewhere else. It’s also a good excuse for a mental break from work and you’ll probably enjoy your meal more without phone or computer interruptions.

JUST DO IT Give those papers on your desk a place and purpose. Keep a punch, blank file folders and a label marker at your desk. With these items in reach you don’t have an excuse to put off filing.

Business for sale advertisements will always boast of having a great deal available. Whether it’s getting more for your money or paying less for a greater value, it can be difficult to determine what the best deal is for you, and how to avoid a bad deal. Here are a few tips on how to avoid a bad business deal:

1. Always keep in mind that there is truth in the saying “If it sounds too good to be true it usually is”. There is usually always a catch to something that sounds “too good to be true” and the best way to determine this is to ensure that a thorough due diligence is conducted on the business.

2. As part of the due diligence, do a reference check on the business by calling Clients (debtors), Suppliers (creditors) and the like before committing to a deal. Businesses with a history of bad dealings most likely have a huge number of complaints against them.

3. Make sure all of your dealings are documented in writing. The only way to secure you investment in concluding a deal is with the use of a comprehensive “written” contractual Sales Agreement.

4. Ask Questions, never assume anything. If you have questions and you are unsure about any facet of the business, a business term or what is

being documented in the deal, ensure a clear understanding by asking questions.

5. Where possible, have an independent, suitably qualified and experienced person (other than you) review the business and the proposed terms and conditions of the sale.

6. Remember that you get what you pay for. Some business deals can look great because of the price but do your homework carefully – seek advice from people in the know.

7. Make sure ALL parties involved in the deal sign off on it with their signature.

8. Don’t do business over the phone without having first met the person face-to-face. Insist on personal contact with Brokerages and Sellers.

9. Select your Brokerage carefully ensuring they have integrity in conjunction with a good reputation and results.

HOW TO AVOID A REALLY BAD BUSINESS DEALSTORY BY KAREN DORFLING LINK SOUTH AFRICA

I loved Paint-by-Numbers when I was a kid. Maybe it was the rules based approach to art that I loved. I was so careful to paint the right colour into each of the numbered sections – but oh the pain when I went over the lines. Business is like that. A mixture of art and rules, with lots of lines to cross and an array of different colours to be selected.

Over the years I’ve come to believe that there really is a paint-by-numbers approach to building great businesses too – businesses that are true works of art. Think Xero.

As an aside check out Re-Imagine by Tom Peters who outlines a great case for why design is so fundamental to building knock out economic successes. This book influenced my thinking a long time ago and continues to do so. But I digress.

Here in my view are the steps to take to paint your masterpiece:

1. Get your head right. Set out to win. Hold an awesome attitude in the face of any adversity. Be brutally honest with yourself and others and treat the business as your baby. Work your arse off. 2. Understand that a business is your economic power house. It’s way more fun than lotto or saving money and it holds the key to financial independence.

3. Know where you are going. Build a strategic plan. This is where lines are meant to be crossed and where the colour is way, way more important. Be audacious.

4. Get the business model right. What is your value proposition? Where are your customers? How will you serve them? What revenue streams will you have? Read “Business Model Generation” to help get this right.

5. Have the appropriate entity structures. Ensure things are set up tax effectively and can be scaled easily as your business grows. Get some good advice around this stuff.

6. Know where you are financially. Get Xero or go home. Understand your numbers and share them with a kick arse accountant who helps you to grow. Just ask yourself this question. “Does your accountant look like they know how to grow their own business”? If not then think again about asking them to help you with yours.

7. Grow raving fans. Deliver an excellent product at the right price and then stun your customer with unexpected levels of great service.

8. Don’t be afraid to sell. Get out there South Africa. Fill the pipeline and close the sale.

9. Cash is king. ‘Cash flow for working’ and ‘Cash flow for growth’! Ensure you know where your cash is coming from and what you will need in the future.

10. Build a great team. Tolerate only ‘A players’ to quote the late Steve Jobs. Don’t spend thousands (or millions) of dollars building a business to then go and tolerate poor performance. Work with great people and share the success.

11. Get high level help for peanuts. Compare the cost of hiring someone to help out around the office with spending half of that on getting some high level help in the areas that most need it. What will give you the better result?

12. Do what you do best. Don’t slog it out year after year doing stuff you hate. That is one of life’s great tragedies. Do what you love (and probably therefore do best). Get help with the rest. The colour choices are all yours.

The answer is a bit of both. The Art when it comes to selling a business is pricing, preparation and promoting. The Science is in valuing and pricing a business, which requires considerable experience, skill and most importantly market knowledge.

Most accountants can assist in providing a pre-assessment value. This is not a true valuation from a selling point of view but it will give you an indication of value. Business valuation on the other hand is a complex process which takes into account a number of ‘weighting factors’.

Some valuation methods that are used include: • Discounted cash flow (based on long term forecasts)• Capitalisation of earnings (rate of return), capitalisation of dividends

(small/minority share holdings in business)• Net asset value, industry rule of thumb (dairies, bakeries, coffee shops)• Multiple of discretionary earning and so on.

An experienced business broker would consider business weighting factors such as: • The type of business: childcare centre, manufacturer, importer etc)• Likely buyer demand • Competition: is it low or high – or unique business with niche• Industry growth: growing or declining• Income risk: history of profit, cash flow• Location: goodwill transferability, employees etcAfter considering these weighting factors in a business valuation process, two similar businesses showing similar profits might be given a very different market value.

In a very simplified term, a businesses value could be: Market Value = Willing Buyer + Willing Seller + A fair competitive process. However, there is an exception to this, for example, in highly sought after businesses such as childcare centres where demand is so high that a willing buyer might be keen to pay a price that is far above what the

market would indicate. This can surprise even a ‘willing seller’.
