Invitation for Tender / Important dates

The invitation for tender is for “Design, Site Preparation, Supply, Installation, Commissioning,

and Maintenance & Operations of the Pilot Project for “Police Control Room Modernisation

Project including GIS and GPS based Automatic Vehicle Tracking System (AVTS),

Computer Aided Dispatch System, City Surveillance System in Durg & Bhilai Cities”. The

document can be downloaded from the government of Chhattisgarh website

carefully. Submission of response to this expression of interest shall be deemed to have been

done after careful study and examination of this document with full understanding of its

implications. This section provides general information about the Issuer, important dates and

addresses and the overall eligibility criteria for the parties. The tender document cost of Rs.

20,000/- is to be submitted vide crossed demand draft / bankers cheque in favour of

Superintendent of Police District Durg at the time of submission of bids by the

participating firms.

1 Section I - Eligibility Criteria

The bidder must possess the requisite experience, strength and capabilities in providing the

services necessary to meet the requirements, as described in the tender documents. The bidder

must also possess the technical know-how and the financial wherewithal that would be required to

successfully provide the supply for Police Control Room Modernisation Project including GIS

and GPS based Automatic Vehicle Tracking System (AVTS), Computer Aided Dispatch

System, City Surveillance System and support services sought by the Department of Police,

Government of Chhattisgarh, for the entire period of the contract. The bids must be complete in all

respect and should cover the entire scope of work as stipulated in the Tender document. The

invitation to proposal is open to all bidders who qualify the eligibility criteria as given below:

based Automatic Vehicle Tracking System (AVTS),

or (2) Computer Aided Dispatch System, or (3) City

Surveillance System solution. In case of single bidder

the order value should not be less than Rs. 03 Cr and

should have experience for all the above work

2 Section II - Introduction To The Project

2.1 Making sense of the current state of an emergency and of the response to it is vital if

appropriate decisions are to be made. This task involves the acquisition, interpretation and

management of information. Chhattisgarh State with wide-ranging socio-economic

disparities is now witnessing the ongoing Information Technology (IT) revolution. The State

of Chhattisgarh recognizes the importance of Information and Communication Technology

as a key enabler in its economic development as well as improving the quality of life and

functioning of government. Accordingly, the State has prepared its IT policy with a vision of

establishing an information society consisting of informed, active and therefore responsible

citizens – the basic tenet of a true democracy. It seeks to provide all citizens widespread and

easy access to government services, in the local language effectively addressing the existing

digital divide and promoting entrepreneurs. The State's IT Policy has been designed to

achieve the Governments vision of creating an ‘e’nabled Society effectively contributing to

the Social and Economic Development of the State, where there are no islands of elitism or

isolated conclaves of wisdom.

2.2 With the objective of providing better Governance and improving the quality of life of

ordinary citizens of the State, Government of Chhattisgarh has initiated various e-

Governance projects at the State level. In this regard and on its part Department of Police,

Government of Chhattisgarh seeks to lay the foundation for better Governance and create

core infrastructure and integrated service levels to ensure a citizen-friendly environment for

Police Services in the state.

2.3 In concurrence with the state vision of delivering services to the citizens in a fast, efficient

and timely manner, Department of Police, Chhattisgarh Government has proposed to

modernise its control room which would also cater for Emergency Services like, Police

Assistance, Reporting of crime, Medical Assistance in case of road accidents and reporting

of Fire. Citizen of Chhattisgarh state would dial the police control room number 100 and

land on the ‘Interactive Voice Response System’, that will direct the call to a Police officer

who will attend to the specific requirement of the Citizen and take necessary action.

2.4 The Project is intended to enhance existing systems as needed and leverage existing manual

systems where feasible in order to provide district police with modern, integrated, highly

available, cost-effective computing capabilities that will increase police officer safety and

support more effective operations

2.5 Department of Police, Government of Chhattisgarh has planned to modernize its

Surveillance monitoring in the cities of Durg & Bhilai, which are the main Industrial hubs

of Chhattisgarh. Further, the cities being in proximity of the State Capital Raipur and its

proximity to Bhilai Steel Plant have their own significance in terms of maintaining the law

and order situation. Both the cities have a fast growing floating population with divergent

socioeconomic strata and monitoring of large number of vehicles in the cities has become a

significant task. The Department of Police, Government of Chhattisgarh is looking for an

outdoor surveillance system using IP CCTV systems to initially cover the cities of Durg and




Bhilai specifically the sensitive areas including all entry and exit points, parking lots,

crossovers, junctions, market areas, critical hot spots, etc of both the cities. The system

should be capable of monitoring from multiple locations including all police stations at a

later date.

2.6 It is envisaged that this project will be able to leverage the infrastructure developed by the

state including Chhattisgarh State Wide Area Network (SWAN), State Data Centre (SDC)

and State Service Delivery Gateway (SSDG)

2.7 Main purpose of Police Control Room and Dial 100 Services:

• Time Critical Systems - Operate in real time providing locational (X Y) and attribute

information on resources i.e. GPS to locate vehicles and transmit locality back to

control room, Central control of resources through mapping location and availability

status, Provision such real time spatial information is a relatively new technology

• To report a crime in progress – To inform Police at Police Control Room or Police

Station, to seek Police Assistance

• To save a life – Request for Ambulance services, advance information to nearest

Trauma Centre / Hospital

• To assist report a fire - at different fire Brigade office.

2.8 Project is envisaged to enables the police to provide a better service to the public:

• Its high performance and intuitive user interface ensure a faster response to emergency

calls

• Improved presentation of information means that operators can provide a more

informed response to callers

• Its ability to communicate with other organisations provides a more coherent service-

wide response than has previously been possible.

• Live monitoring of activities in the sensitive locations, from the point of view of

security and crime prevention & detection.

• To record the movements of vehicles and public at specific locations for future

planning / actions.

• To create a Central Command and Control Centre.

• Immediate incident detection and effective management of police response.

• Support and integration with the existing systems.

• Identification of disaster/emergencies and response thereon, create communication

infrastructure which is omnipresent in nature with essential focus on video surveillance,

voice communication and on-line data transmission.

• The system should be capable of providing connectivity in Durg and Bhilai Urban

Limits with the objectives of surveillance and communication as per the locations and

details in (Annexure - locations list).




• The Project envisages implementation of an I.P. based Video Surveillance system on a

proposed network for aiding visual surveillance for:

• Law & Order,

• Special events like public gatherings, processions etc.

• Crime Control,

• Traffic control, etc.

• Using Broadband wireless network for better governance and coordination among

agencies during crisis situations, floods, earthquake etc.

• System should be scalable, be able to integrate existing system and provide enhanced

functionality and services as required in future (Scalability and Expandability)

2.9 Types of common emergencies where Police Control Room takes information, assists

citizen and intervenes:

2.10 The Police Control Room Modernisation Project including GIS and GPS based Automatic

Vehicle Tracking System (AVTS), Computer Aided Dispatch System, City Surveillance

System in Durg & Bhilai Cities will have 12 incoming nos. toll free telephone lines, with

contact numbers dial 100, which can be accessed from BSNL Network, other basic Telecom

Service Provider Network, all GSM and CDMA Service Provider Network.

2.11 The police control room also will have same numbers of outgoing telephone numbers to

connect different establishments, Hospitals, Police Stations, Fire Brigade etc.




3 Section III - Scope of Work

3.1 The selected bidder shall supply, Install and maintain “Police Control Room

Modernisation Project including GIS and GPS based Automatic Vehicle Tracking System

(AVTS), Computer Aided Dispatch System, City Surveillance System in Durg & Bhilai

Cities” for a period of 5 years from the date of successful completion of Acceptance Test

(AT) in the Pilo t phase. The minimum specified work to be undertaken by the bidder for

setting up and operating the project has been categorized as under:

1. Provisioning for GIS and GPS based Automatic Vehicle Tracking System (AVTS),

Computer Aided Dispatch System, City Surveillance System in Durg & Bhilai

Cities, related Software, Networking and IT infrastructure

2. Implementation Services

3. Maintenance and support for at least 5 years including recurring charges towards

bandwidth, GPS / GPRS SIM charges for transmission of data, updation, etc.

Connectivity is the responsibility of the bidder. Bidders are advised to include all

recurring charges for the connectivity.

3.2 The entire project is divided in two phases, first phase will cover Provisioning for GIS and

GPS based Automatic Vehicle Tracking System (AVTS), Computer Aided Dispatch System,

City Surveillance System in Durg & Bhilai Cities, related Software, Networking and IT

infrastructure and upon its successful implementation and acceptance, Department of Police

will at its discretion may award the work of roll out in other Police Control Rooms in the entire

State of Chhattisgarh on the agreed terms and conditions in the second phase. The bidder in

such situation shall remain committed to Department of Police to provide the solution and

related implementation and support on the agreed terms.

3.3 SCOPE OF WORK FOR PHASE -1

Department of Police, Government of Chhattisgarh intends to implement a comprehensive Police

Control Room Modernisation Project including GIS and GPS based Automatic Vehicle Tracking

System (AVTS), Computer Aided Dispatch System, City Surveillance System in Durg & Bhilai

Cities. The scope of Phase I envisages a complete turnkey solution which may inter-alia include

procurement, installation and maintenance of hardware, system software, application software, third

party software and Customization, parameterization and implementation of the application software

and system integration for 5 years with training to the designated personnel.

Department of Police, Government of Chhattisgarh intend to implement State-of-the-art technology

solutions that would support all the current and future automation needs of the Police Control

Room Modernisation including GIS and GPS based Automatic Vehicle Tracking System (AVTS),

Computer Aided Dispatch System, City Surveillance System as described below:

1. Provide centralized application software for Police Control Room Modernisation Project

including GIS and GPS based Automatic Vehicle Tracking System (AVTS), Computer

Aided Dispatch System, City Surveillance System on Department of Police, Government of




Chhattisgarh Site, various operational reports, etc. (the licenses pertaining to the required

modules)

2. Customize the solution as per Department of Police, Government of Chhattisgarh

requirements

3. Procure the necessary system software and other third party software required for

implementation of the solution.

4. Design and implement a fail-free hardware and storage architecture for Database,

application server, etc.

5. Procurement/Supply, installation, integration, implementation and maintenance of necessary

hardware, operating system, RDBMS and application software.

6. Implement and maintain (including Updates and upgrades) the application software, System

Software, RDBMS and hardware for 5 years.

7. Development of New Modules for the application software as and when required.

8. Implement a Help Desk cum support centre for onsite support services for a period of 5

years.

9. Design and engineering an outdoor surveillance system for the cities of Durg and Bhilai.

10. Seam-less integration and interoperability with the CCTNS Project of Chhattisgarh State

Police, Chhattisgarh State Wide Area Network (CGSWAN) and other systems already

installed or proposed to be installed in the Chhattisgarh State police department. (Vendors

may refer to NCRB / DIT / MHA of GoI websites for further details)

11. Wireless connectivity for 5 years shall be supported for connecting the outdoor surveillance

system to control room.

The vendor shall be required to take care of the following:

a) Undertake requirement / GAP Analysis, customization and installation of existing /

customized integrated product as per the needs of the Department of Police, Government

of Chhattisgarh Control Room in Durg and Bhilai for a minimum ‘concurrent user base

of 30’ immediately. The same solution shall be capable of extending to different police

districts in the state in a phased manner.

b) Suggesting necessary re-engineering of the processes so as to enable adoption of the

product / solution proposed

c) Supply of Installation Manual, Administration Manual and User Reference/Training

Manual.

d) Define overall training requirements and preparation of the training plan

e) Conduct project specific training for users in the customized software




3.4 Supply / Installation

• The Selected bidder shall procure, supply and install all IT infrastructures.

• Procuring and providing necessary IT infrastructure consisting of hardware equipments

(Server, System software, Database Server,), RDBMS, Firewalls, Security Systems, Anti-

virus software, operating systems for application deployment and implementation. The

Entire IT Infrastructure should be procured in the Name of “Chhattisgarh Police,

Government of Chhattisgarh”.

• Supply of geo-referenced Maps of the Durg District in 1:10,000 scale on GIS for the urban

area includes police stations of Pulgaon, Mohannagar, Durg, Supela, Bhilai Nagar, Bhilai

Bhatti, Nevai, Chhavani, Jamul, Old Bhilai and Kumahari along with their outposts. The

rough area is around 350 sq km . The bidder will have to survey the area. The 2 meter

resolution imageries of Cartosat and LISS IV for the map shall be procured and be supplied

by the Department of Police through CHiPS, ISRO, a sample is attached with this document

for reference.

• System Software such as Database, Operating System, Middleware, etc required for

successfully running the solution should be latest & should be Perpetual in nature.

• Application Software as per required specifications

• Installation shall mean to install and configure & integrate every component and subsystem

component, required for functioning of the solution, integration with IT infrastructure

consisting of Computer, Printers, Scanners, etc. for end users of the system

• Configuration, installation and integration on LAN in the control room and also on

CGSWAN, State Data Centre of Chhattisgarh

• The following is excluded from the Scope of Work from the project and would be taken

care of by Chhattisgarh Police:

o Any lease circuits, OFC, or media for connectivity to the State Data Center (SDC)

and Chhattisgarh State Wide Area Network

However successful bidder is required to customise the map for control room

requirements.

• Civil works:

o The successful bidder shall have to undertake the cabling/erection of mast/fixing

of poles etc. as per the requirement.

o Civil works including digging etc., if any, required for providing end to end

connectivity will be the responsibility of the successful bidder.

o The successful bidder shall be responsible for restoring the areas to its original




shape wherever, the digging if any has been undertaken by him for end to end

implementation of the system.

The requisite space shall be provided by Chhattisgarh Police at all locations.

• Electrical works:

o Electrical cabling upto the equipment to be kept at each location, rack etc. as the

case may be shall be the responsibility of the successful bidder.

o Carry out installation and configuration of the electrical components as per the

standards.

o The quantity of passive items if any shall be verified by the concerned official at

each site.

3.5 Testing and Commissioning

• Commissioning & Acceptance Testing shall involve the completion of the supply and

installation of the required components and making the control room available for Department

of Police, Government of Chhattisgarh for carrying out live Operations and getting the

acceptance of the same from Chhattisgarh Police.

• Acceptance testing shall be carried out for all the sites before the commencement of Live

Operations in the entire control room of Durg District.

3.6 Documentation

All documentation generated during design, installation and commissioning phase shall be

made available to the Police Department. Indicative list of documents include:

• Project Commencement: Project Plan in MS Project giving out micro level (L2/L3

level) activities with milestones & deadlines

• Delivery of Material: Original Manuals from OEMs.

• Training: Training Material in local language (Hindi) will be provided which will

include the presentations used for trainings and also the required relevant documents

for the topics being covered for the number of person indicated hereinafter.

• User and Administrative manuals for application software: The bidder shall be

responsible for providing the same to the department in two copies both in soft and

hard format.

3.7 Help Desk Services

The successful bidder will provide help desk service which will serve as a single point of

contact for all ICT related incidents and service requests. The service will provide a

Single Point of Contact (SPOC) and also resolution of incidents. The scope of work

includes:




(a) Help Desk facility for reporting issues / problems with the IT infrastructure.

(b) To implement a call logging system in line with the severity levels as mentioned in

the SLA.

(c) The Help Desk shall undertake the following activities:

a. Log issues / complaints related to IT under the scope of work and issue an ID

number against the issue / complaint.

b. Assign severity level to each issue / complaint.

c. Track each issue / complaint to resolution

d. Escalate the issues / complaints, to department if necessary as per the escalation

matrix defined in discussion with Chhattisgarh Police.

e. Provide feedback to the callers.

f. Analyze the issue / complaint statistics

g. Creation of knowledge base on frequently asked questions to aid the users of this

IT infrastructure

3.8 Training Requirements

The Bidder is responsible to provide a minimum of 3 days Training to at least 20 police officials

on the usage of the implemented solution for the pilot phase.

3.9 Functional Requirements

The application seeks to achieve a set of objectives like increasing efficiency & effectiveness of

the processes, employee productivity, efficient management of data, information & knowledge

within the Police Control Rooms of Chhattisgarh Police, better communication & co-ordination

and advancement towards knowledge-led police control room operation. The detailed list of

minimum list of functionalities and its compliance table by the participating bidders for this tender

is given hereafter and further details in annexure attached to this RFP.

With the given background, its vision & objectives of the project, a broad outline of functional

requirements is given below:

3.9.1Functional Requirement of Police Control Room

Police requires a modern Police Control Room, which includes a computer-assisted Call Center

with an inbuilt databank of telephone numbers and addresses, the voice dispatching of mobile

units and GIS data integration. General requirements of Police include:

• Quick response to emergency situation

• Dispatch vehicles rapidly to required location




• Automation of Call-taking & Dispatching

The proposed system should allow the operators at the Police Control Room to enter event

information received by the callers and to determine the location of the reported event on an

integrated digital map. The event information should be time-stamped and recorded in the central

database allowing the events to be monitored and assigned to patrol vehicles in the field. The

telecommunications network should be used to communicate voice instructions to patrol vehicles

to respond to the reported events. The address of the caller along with brief description of

event recorded by the call taker should be sent as an SMS to the designated vehicles. Only

one way actionable SMS component required. The return SMS need not be actionable.

3.9.2The Call-Taker

Call processing is a crucial part of the whole project. When caller calls (Dial 100 number) on an

event of incident from a location falling in city it is received at the control room by the Call-

Taking Operator. The call operator takes the caller information and incident location details. The

system should automate the process that drastically reduces human error. The Automatic Number

Identification and Automatic Location Identification (ANI/ALI) component of the system should

retrieve telephone number, address from the database and loads immediately. After validating the

location and type of event with the caller, this basic information is sent to a dispatcher. The call-

taker can then gather additional details. Call Operator will freeze these details along with other

relevant information and automatically transfer it to the dispatch Cell. The incident details are

automatically time-stamped and recorded in the central database, which automatically forwards it

to the Dispatcher for action.

The call processing capabilities should include:

• Event location processing

• Customized event types

• Extended remark/comment fields

• Map-based location processing

• Multiple call processing

• Instant messaging, broadcasting, condition warning, and more

3.9.3The Dispatcher

Dispatching tools should provide full range of capabilities, from incidence entry to two-way

communication with mobile response units. Operator should be able to access all the resources and

information that need to be stored, used, and reported in a way that is much more meaningful to

the Dispatcher and Supervisor. Combining the Dispatching functions along with Call-Taking

process, one should be confident about the correct information availability to dramatically improve

decision-making.




The dispatcher should receive this information automatically on one screen and the second screen

should display the highly accurate and sophisticated Digital City Map. A Dispatcher should then

be able to quickly assign a police vehicle by communicating on Radio / walkie-talkies with the

mobile patrol units, which is nearest to the event to attend an incident using all the information

collected by the Call-taker. If the nearest patrolling vehicle is already attending an emergency call,

the dispatcher will alternatively look for another patrol vehicle which is nearer to the incident

location keeping all the above parameters in to account and analyzing the situation. All decisions

made by the Dispatcher should also be time-stamped and recorded in the central database.

3.9.4 Patrolling Vehicle Tracking

Locating vehicles, data communicating with them and making optimum use of them with the

available ICT is one of the objectives of this pilot project. The goal is to control fleet vehicles

more efficiently, react more flexibly to unforeseen events and guide people to reach their

destination more safely and reliably. The system is supposed to help in reducing idle times, cutting

cost of fuel and optimizing drivers' working hours. Voice capability has not been asked in this

RFP.

During pilot phase of the project, it is proposed to equip police vehicles with GSM/GPS system for

position finding. The project will gradually be rolled out and be made applicant to tourist & other

transport vehicles. The functional requirements of system include:

� Finding shortest route to a destination, navigation for the mobile units and

� Avoiding traffic jams at the same time,




� Efficient exchange of information between the control room and the driver,

� Graphical display of precise real time positioning of vehicle,

� Online capturing of vehicles' operating data at any time, at given time window defined by

Department of Police in 5 to 15 minutes interval,

� Automatic start of position finding & sending information to responsible officers by SMS

text and/or e-mail whenever vehicle leaves or enters a specific location

3.9.5 Electronic security and surveillance

The system should broadly aim at the following minimum capabilities:

a) Providing high-quality video images as per camera specification mentioned hereinafter on

real-time basis from distant security cameras.

b) Control Rooms to continuously monitor analyze and take action as required by

coordinating all responses from Control Centre.

c) System should have capability to store and retrieve data for minimum of two weeks.

3.9.6 IP Based Surveillance

The bidder is required to facilitate viewing of live and controlling of all cameras by

authorized user. The surveillance shall be purely IP Based. The feed should go to the

control room where the desired number of LCD screens / video wall shall be installed for

viewing and one Server for archiving and storage. The entire video shall be viewed /

projected through video wall and should be designed such as to minimum of 20 cameras

at one go shall be viewed on the screen at the control room.

3.10 Other Features

3.10.1.1 User Interface

The proposed system components should be simple to use. The total set of functionalities must be

uniform in their User interface, being consistent in their use and meaning of keystrokes and

sequences and in their visual presentations to the User. The User interface should be graphical (i.e.

GUI) in nature.

3.10.1.2 Personalization

Users of the system should be able to organize the Knowledge Bank with personal requirements

for information delivery.

The System should provide an online Dashboard, which enables monitoring of work related to

their Sections/Departments. Users should also be able to organize their Dashboard with personal

requirements and indicators for information statistics.

All the applications should be logically grouped so as to enable access to the relevant group of

users.

3.10.1.3 Security

An appropriate security mechanism should be provided to ensure security at various levels like:




• Functional level

• User group/class level

• Transaction type level

The bidder must clearly propose access controls for system, which ensures that:

• Only authorized personnel are allowed to access the system;

• Access being restricted via the use of user names/identifications and associated password.

• Single Sign On should be considered.

• Access to each application is restricted to specified authorized users

3.11 Phase II: Roll out of the solution across the state

Phase II, shall comprise of solution roll out in other government offices and departments across the

state which shall commence any time but not exceeding 180 days soon after successful

implementation of the Pilot project (Phase 1). Prior to the roll out, based on the learning of phase I

implementation, Department of Police, Government of Chhattisgarh may review the agreed scope

of work, finalize in consultation with vendor for implementation during roll out phase.

5 Section V - Instructions to Bidders

5.1.Definitions

In this document, the following terms shall have following respective leanings:

1. “Affiliate” shall mean any holding company or subsidiary company of a part to the

Agreement or any company, which is subsidiary of such a holding company. The

expressions "holding company" and “subsidiary company” shall have the meaning

specified in section 4 of the Companies Act 1956 (as amended from time to time).

2. “Agreement" means the Agreement to be signed between the successful bidder and

Department of Police, Government of Chhattisgarh including all attachments,

appendices, all documents incorporated by reference thereto together with any

subsequent modifications, the Tender Document, the proposal offer, the acceptance and

all related correspondences, clarifications, presentations.

3. “Authorized Representative” shall mean any person authorized by either of the parties.

4. “Bidder” means any firm or group of firms (called consortium) offering the solution(s),

service(s) and /or materials required in the Tender Document. The word Bidder when

used in the pre award period shall be synonymous with Bidder, and when used after

award of the Contract shall mean the successful Bidder with whom Department of

Police, Government of Chhattisgarh signs the agreement for Police Control Room

Modernisation Project including GIS and GPS based Automatic Vehicle Tracking

System (AVTS), Computer Aided Dispatch System, City Surveillance System in

Durg & Bhilai Cities.

5. “Contract” is used synonymously with Agreement.

6. “Corrupt Practice” means the offering, giving, receiving or soliciting of anything of

value or influence the action of an official in the process of Contract execution.

7. “Default Notice” shall mean the written notice of Default of the Agreement issued by

one Party to the other in terms hereof.

8. “Fraudulent Practice” means a misrepresentation of facts in order to influence a

procurement process or the execution of a Contract and includes collusive practice

among Bidders (prior to or after Proposal submission) designed to establish Proposal

prices at artificial non-competitive levels and to deprive the Department of Police,

Government of Chhattisgarh of the benefits of free and open competition.

9. “Good Industry Practice” shall mean the exercise of that degree of skill, diligence and

prudence which would reasonably and ordinarily be expected from a reasonably skilled

and experienced Bidder engaged in the same type of undertaking under the same or

similar circumstances.




10. "Guaranteed Revenue" means the rate payable to the Bidder under the Agreement for

the performance of the Bidder’s Contractual obligations.

11. “Implementation Period” shall mean the period from the date of signing of the

Agreement and upto the issuance of Acceptance Certificate.

12. "Law" shall mean any Act, notification, bye law, rules and regulations, directive,

ordinance, order or instruction having the force of law enacted or issued by the Central

Government and/ or the Government of Chhattisgarh or any other Government or

regulatory authority or political subdivision of government agency.

13. “LOI” means issuing of Letter of Intent which shall constitute the intention of the

Tenderer / bidder to place the Purchase Order with the successful bidder.

14. "Party" means Department of Police, Government of Chhattisgarh or Bidder,

individually and “Parties” mean Department of Police, Government of Chhattisgarh and

Bidder, collectively.

15. “Period of Agreement" means 5 years from the date of acceptance of the Pilot project.

16. “Proposal” means the Technical Proposal and the Financial Proposal.

17. “Request for Proposal (Tender Document)”, means the detailed notification seeking a

set of solution(s), services(s), materials and/or any combination of them.

18. “Requirements” shall mean and include schedules, details, description, statement of

technical data, performance characteristics, standards (Indian as well as International) as

applicable and specified in the Tender Document.

19. "Service" means provision of Contracted service viz., operation, maintenance and

associated services for Police Control Room as per this Tender Document.

20. “Termination Notice” means the written notice of termination of the Agreement issued

by one Party to the other in terms hereof.

21. "Uptime" means the time period when specified services with specified technical and

service standards as mentioned in this Tender Document are available to Department of

Police, Government of Chhattisgarh. The uptime will be calculated as follows: Total

time in a quarter (in minutes) less total Service Down time (in minutes) in the quarter.

22. “User Acceptance Test Document” means a mutually agreed document, which defines

procedures for Acceptance testing against requirements laid down in the Agreement.

23. "%Uptime" means ratio of 'up time' (in minutes) in a quarter to Total time in the

quarter (in minutes) multiplied by 100.

24. "Service Down Time" (SDT) means the time period when specified services with

specified technical and operational requirements as mentioned in this document are not

available to Department of Police, Government of Chhattisgarh. The departments shall




be operational on all days of a year except holidays within the uptime specified in the

Service Level Agreement (SLA).

5.2.Proposal Documents

Bidder is expected to examine all instructions, forms, terms, and requirements in the proposal

document. Failure to furnish all information required by the proposal document or submit a

Proposal not substantially responsive to the proposal document in every respect may result in

the rejection of the Proposal. The bids should be submitted in three parts on or before the time

and date mentioned hereunder.

5.3.Prequalification and Technical Proposal

i. Prequalification:

Pre-qualification document as per eligibility criteria specified under Section -1 above

along with the following documentations:

1. The profile of the bidder along with required certifications that the period of validity of

bids is 180 days from the last date of submission of proposal.

2. Audited annual financial results (balance sheet and profit & loss statement showing

business in India) of the bidder for the last three financial years.

3. Manufacturer’s authorization form(s)

4. Reference list of major clients

5. Power-of-attorney granting the person signing the proposal the right to bind the bidder

as the ‘Constituted attorney of the Directorate’.

6. A copy of the Tender Document, all pages duly signed by the authorized signatory

towards acceptance of the terms and conditions of the Tender Document.

Bidders should enclose with their offers full details of all (1) the equipment and (2) services

offered as well as their latest equipment and services available.

Bidder should ensure that the Technical BoM & Commercial BoM should match , any deviation

or mismatch in Quantity, Quality, OEM, will be considered for disqualification.

5.4.Amendment of Proposal Documents

The amendments in any of the terms and conditions including technical specifications of this

Tender Document will be notified by publishing it on its official website

www.chhattisgarh.gov.in and www.chips.gov.in and will be binding on them, it is therefore all

bidders are required to regularly visit official website of the Government of Chhattisgarh and its

technical agency ‘CHiPS’. Further Department of Police may also try to intimate these in

writing either through post or by fax or by email to all prospective bidders who have purchased

the tender documents and will be binding on them.

5.5.Cost of Bidding

The Bidder shall bear all costs associated with the preparation and submission of its Proposal,

including the cost of presentation for the purposes of clarification of the proposal, if so desired

by the Department of Police. The Department of Police will in no case be responsible or liable

for those costs, regardless of the conduct or outcome of the proposal process.

5.6.Proposal Security i.e. Earnest Money Deposit (EMD) of Rs.5,00,000 (Rs.Five Lacs

only)

a) The Proposal security shall be in Indian rupees (INR) and shall be a Demand Draft,

issued by a nationalized or a scheduled bank in India and shall be valid for at least

six months. No interest shall be payable on Proposal Security under any

circumstance.

b) Unsuccessful Bidder's Proposal security shall be discharged or returned within sixty

(60) days after the expiration of the period of Proposal validity prescribed by

Department of Police.

c) The successful Bidder's Proposal security shall be discharged upon the Bidder

signing the Agreement.

d) The Proposal security will be forfeited at the discretion of Department of Police on

account of one or more of the following reasons:

o The Bidder withdraws their Proposal during the period of Proposal validity

o Bidder does not respond to requests for clarification of their Proposal

o Bidder fails to co-operate in the Proposal evaluation process, and

e) In case of a successful Bidder, the said Bidder fails :




o to furnish Implementation Guarantee; or

o to sign the Agreement in time

5.7.Proposal Prices

a) The Price Proposal as prescribed should be filled up and sealed along with

enclosures in a separate cover super scribed as “Price Proposal – Envelop B,

Tender No : _____________ Due on __._.2011”.

b) The prices quoted by the bidder shall be in sufficient detail to enable the Department

of Police to arrive at the price of equipment/system/services offered.

c) The covers received without superscription are liable for rejection. The tenders not

submitted as specified above will be summarily rejected.

d) If any or all of the information asked in the Tender Document are not available in the

Commercial Proposal the proposal is liable for rejection.

5.8.Discounts

The Bidders are informed that discount, if any, should be merged with the quoted prices.

Discount of any type, indicated separately, will not be taken into account for evaluation

purposes.

5.9.Proposal validity

The bids shall remain valid for a period of 180 days from the last date of submission of tender.

5.10. Submission of Proposals

a) All the proposals will have to be submitted in hard bound form with all pages numbered.

It should also have an index giving page wise information of above documents.

Incomplete proposal will summarily be rejected.

b) No proposal will be considered unless and until each page of the proposal document is

duly signed by the authorized signatory

c) The bidder shall also submit the soft copy of technical proposal on separate CDs duly

packed in the respective envelopes.

d) Prices should not be indicated in the Technical Proposal.

e) All the columns of the quotation form shall be duly, properly and exhaustively filled in.

The rates and units shall not be overwritten. Rates shall always be both in the figures

and words.

f) The proposals shall be submitted in three parts, viz.,

o Envelope - 1: Pre- qualification documents super scribed as “Envelope 1- Pre-

qualification Documents” containing EMD, Pre- qualification documents

complete with all details.




o Envelope 2: - Technical Proposal super scribed as “Envelope 2 – Technical

Proposal”, complete with all technical details. In the technical proposal, there

should not be any indication about the prices of any of the products offered.

o Envelope-3: Commercial Proposal containing Price Schedule super scribed as

“Envelope 3 – Commercial Proposal”.

g) All the three sealed envelopes should again be placed in a single sealed envelop super

scribed as “Police Control Room Modernisation Project including GIS and GPS

based Automatic Vehicle Tracking System (AVTS), Computer Aided Dispatch

System, City Surveillance System in Durg & Bhilai Cities” Tender No _______,

Proposal from: ____________)” “NOT TO BE OPENED BEFORE …….” which

will be received in the office of Department of Police up to the due date and time

mentioned in the Schedule of Events (Section-II) of this document.

5.11. Language

The Bids and all correspondence and documents relating to the bids, shall be written in the

English language.

5.12. Late Bids

Any proposal received by the Department of Police after the due time and date for receipt of

bids prescribed in the Tender Document can be summarily rejected and returned unopened to

the Bidder.

5.13. Modification and withdrawal of Bids

a) The Bidder is allowed to modify or withdraw its submitted proposal any time prior to

the last date prescribed for receipt of bids, by giving a written notice to the Department

of Police.

b) Subsequent to the last date for receipt of bids, no modification of bids shall be allowed.

c) The Bidders cannot withdraw the proposal in the interval between the last date for

receipt of bids and the expiry of the proposal validity period specified in the Proposal.

Such withdrawal may result in the forfeiture of its EMD from the Bidder.

5.14. Proposal Forms

a. Wherever a specific form is prescribed in the Proposal document, the Bidder shall use

the form to provide relevant information. If the form does not provide space for any

required information, space at the end of the form or additional sheets shall be used to

convey the said information.

b. For all other cases, the Bidder shall design a form to hold the required information.

c. Department of Police shall not be bound by any printed conditions or provisions in the

Bidder’s Proposal Forms, packaging document or delivery challan.

5.15. Local Conditions




a. Each Bidder is expected to fully get acquainted with the local conditions and factors,

which would have any effect on the performance of the contract and /or the cost.

b. The Bidder is expected to know all conditions and factors, which may have any effect on

the execution of the contract after issue of letter of Award as described in the bidding

documents. The Department of Police shall not entertain any request for clarification

from the Bidder regarding such local conditions.

c. It is the Bidder’s responsibility that such factors have properly been investigated and

considered while submitting the proposal and no claim whatsoever including those for

financial adjustment to the contract awarded under the bidding documents will be

entertained by the Department of Police. Neither any change in the time schedule of the

contract nor any financial adjustments arising thereof shall be permitted by the

Department of Police on account of failure of the Bidder to know the local laws /

conditions.

d. The Bidder is expected to visit and examine the location of State offices and its

surroundings and obtain all information that may be necessary for preparing the proposal

at their own interest and cost.

5.16. Contacting the Department of Police

a) Any effort by a Bidder influencing the Department of Police proposal evaluation,

proposal comparison or contract award decisions may result in the rejection of the

proposal.

b) Bidder shall not approach Govt. of Chhattisgarh officers after office hours and/or

outside Govt. of Chhattisgarh office premises, from the time of the proposal opening till

the time the Contract is awarded.

5.17. Eligibility Criteria

The bidder shall meet the criteria for eligibility as given in the Section - 1

The bidder (each member of the consortium) must have company registration certificate,

registration under Labour Laws Contract Act, valid sales tax registration certificate and valid

service tax registration certificate.

In case of a consortium, applicant consortia shall have a valid Memorandum of Understanding

(MoU) / agreement among all the members signed by the Chief Executives/ Authorized

Signatories of the companies dated prior to the submission of the proposal. The MoU/

agreement shall clearly specify the stake of each member and outline the roles and

responsibilities of each member. The MoU/ agreement shall be exclusively for this project and

shall be responsible in case of failure by any member.

The consortium shall be evaluated based on the lead bidder’s strength as defined in this

proposal document. Once short listed in pre qualification, change of consortium shall not be

allowed.




5.18. Tentative Schedule of Events

Tentative schedule of events regarding this tender shall be as per the dates and time given in the

Section-1 – Invitation to bidders / important dates.

5.19. Opening of Proposal

First, the envelope containing pre-qualification will be opened and if found that the bidder

meets the eligibility criteria and has furnished all the documents in the prescribed manner, then

the second envelope containing Technical Proposal shall be opened. The timing for opening the

technical proposal will be at the sole discretion of evaluation committee. The commercial

proposal would be opened in presence of technically short listed bidders. The Evaluation

Committee or its authorized representative will open the tenders. Sequence of opening shall be

as follows:

o Pre-qualification

o Technical Proposals

o Commercial Proposals

5.20. Evaluation

An evaluation committee so constituted by Department of Police Govt. of Chhattisgarh will

evaluate the bids i.e. technical and commercial as per the following pattern.

a) Conditional bids shall be summarily rejected. The bidder should quote only one solution.

b) Evaluation committee will examine the bids to determine whether they are complete,

whether any computational errors have been made, and whether the bids are generally in

order.

c) Arithmetical errors will be rectified on the following basis: If there is a discrepancy

between the unit price and the total price that is obtained by multiplying the unit price and

quantity, the unit price shall prevail and the total price shall be corrected. If the Bidder

does not accept the correction of the errors, his proposal will be rejected. If there is a

discrepancy between words and figures, the amount in words will prevail.

d) The Department of Police may conduct clarification meetings with each or any bidder to

discuss any matters, technical or otherwise.

e) Further, the scope of the evaluation committee also covers taking of any decision with

regard to the Tender Document, execution/ implementation of the project including

management period.

f) Proposal shall be opened in the presence of bidders representatives who intend to attend at

their cost. The bidders’ representatives who are present shall sign a register evidencing

their attendance.

g) Proposal document shall be evaluated as per the following steps.




(a) Preliminary Examination of Pre-qualification documents: The Pre-qualification

document will be examined to determine whether the bidder meets the eligibility

criteria, completeness of the proposal, whether the documents have been properly

signed and whether the bids are generally in order. Any bids found to be non-

responsive for any reason or not meeting the minimum levels of the performance or

eligibility criteria specified in the various sections of this Tender Document will be

rejected and not included for further consideration.

(b) Evaluation of document: A detailed evaluation of the bids shall be carried out in

order to determine whether the bidders are competent enough and whether the

technical aspects are substantially responsive to the requirements set forth in the

Tender Document. Bids received would be assigned scores based on the parameters

defined in table below.

(c) QCBCA (Quality and Cost Based Analysis.):

Proposals will be evaluated as given below and the Bidders obtaining highest marks

for their offering shall be declared as the Preferred Bidders. Upon acceptance of the

Price of the ‘Most Preferred Bidder’ with or without further negotiations,

Department of Police may declare the ‘Most Preferred Bidder’ as the ‘Successful

Bidder’.

5.21. Deciding Award of Contract

a) The Department of Police reserves the right to ask for a technical elaboration/clarification

in the form of a technical presentation from the Bidder on the already submitted Technical

Proposal at any point of time before opening of the Commercial Proposal. The Bidder

shall furnish the required information to Department of Police and its appointed

representative on the date asked for, at no cost to the Department of Police. The

Department of Police may at its discretion, visit the office of the Bidder any time before

the issue of Letter of Award.

b) Department of Police shall inform those Bidders whose proposals did not meet the

eligibility criteria or were considered non-responsive, informing that their Commercial

Proposals will be returned unopened after completing the selection process. Department

of Police Chhattisgarh Govt shall simultaneously notify those Bidders who had qualified

the Evaluation process as described in this Tender Document, informing the date and time

set for opening of Commercial Proposals. The notification may be sent by mail or fax.

c) The bidder’s names, the Proposal Prices, the total amount of each proposal, and such other

details as the Tendering Authority may consider appropriate, will be announced and

recorded by the Department of Police at the opening.

5.22. Confidentiality

a) As used herein, the term “Confidential Information” means any information, including

information created by or for the other party, whether written or oral, which relates to

internal controls, computer or data processing programs, algorithms, electronic data

processing applications, routines, subroutines, techniques or systems, or information

concerning the business or financial affairs and methods of operation or proposed

methods of operation, accounts, transactions, proposed transactions or security procedures

of either party or any of its affiliates, or any client of either party, except such information

which is in the public domain at the time of its disclosure or thereafter enters the public

domain other than as a result of a breach of duty on the part of the party receiving such

information. It is the express intent of the parties that all the business process and methods

used by the Bidder in rendering the services hereunder are the Confidential Information of

the Bidder.

b) The Bidder shall keep confidential any information related to this tender with the same

degree of care as it would treat its own confidential information. The Bidders shall note

that the confidential information will be used only for the purposes of this tender and shall

not be disclosed to any third party for any reason whatsoever.

c) At all times during the performance of the Services, the Bidder shall abide by all

applicable security rules, policies, standards, guidelines and procedures. The Bidder

should note that before any of its employees or assignees is given access to the

Confidential Information, each such employee and assignees shall agree to be bound by

the term of this tender and such rules, policies, standards, guidelines and procedures by its

employees or agents.




d) The Bidder should not disclose to any other party and keep confidential the terms and

conditions of this Contract agreement, any amendment hereof, and any Attachment or

Annexure hereof.

e) The obligations of confidentiality under this section shall survive rejection of the contract.

5.23. Publicity

Any publicity by the bidder in which the name of Automation of state government offices in the

State of Chhattisgarh is to be used, should be done only with the explicit written permission

from Department of Police.

5.24. Insurance

The equipment and services supplied under the contract shall be fully insured by the bidder

against loss or damage incidental to manufacture or acquisition, transportation, storage, delivery

and installation. The period of insurance shall be up to the date the supplies are accepted and the

rights of the property are transferred to Department of Police.

5.25. Arbitration

State and the selected bidder shall make every effort to resolve amicably by direct informal

negotiation any disagreement or dispute arising between them under or in connection with the

Contract.

If, after thirty (30) days from the commencement of such informal negotiations, Department of

Police and the selected Bidder have been unable to amicably resolve dispute, either party may

require that the dispute be referred for resolution to Director General of Police, Chhattisgarh

State, Government of Chhattisgarh as single party Arbitrator in accordance with the Arbitration

and Conciliation Act, 1996. Decision of arbitrator shall be final and binding to all parties.

All Arbitration proceedings shall be held at Raipur, Chhattisgarh, and the language of the

arbitration proceedings and that of all documents and communications between the parties shall

be in English.




6 Section VI – General Conditions of the Contract

6.1. Preambles

This CONTRACT is made and entered into on this …..day of ……….. by and between

Department of Police, Government of Chhattisgarh, Durg, CG, on behalf of Government of

Chhattisgarh (hereinafter referred to as “Department of Police” which expression shall

include its successors, administrators, executors and assignees) on the one part and

M/s …………….,a company registered under the companies Act with its Registered office at

……… referred to as the “contractor” (which expression shall include its successors,

administrators, executors and permitted assignees) on the other part.

Whereas Department of Police is desirous of Design, Site Preparation, Supply, Installation,

Commissioning, and Maintenance & Operations of the Police Control Room Modernisation

Project including GIS and GPS based Automatic Vehicle Tracking System (AVTS),

Computer Aided Dispatch System, City Surveillance System in Durg & Bhilai Cities for a

period of five years operations conforming to specifications as set forth in the Scope of Work in

section __ of the tender document for the same.

And Whereas the Contractor represents that it has the necessary experience for carrying out

such operations as referred to herein and has submitted a proposal for providing the required

services against Department of Police, Govt. of Chhattisgarh Tender No. PCRM/2010-11/1-

B/2/2011/Durg all in accordance with the terms and conditions set forth herein and any other

reasonable requirements of the Department of Police from time to time.

And Whereas Department of Police has accepted the proposal of the Contractor and has placed

Fax order / Letter of Intent /Notification of Award vide its letter ……….. dated…….

Now it is hereby agreed to by and between the parties as under:

6.2. Definitions:

In this Contract, the following terms shall be interpreted as indicated:

i. "Availability" shall mean the time for which the services and facilities are available for

conducting operations from the equipment hosted in the Designated School Computer

Laboratory.

ii. “Business Day” means any day that is not a Sunday or a public holiday (as per the

official holidays observed by Government of Chhattisgarh;

iii. “Confidential Information” means any information disclosed to or by any Party to this




Contract and includes any information in relation to the Parties, a third party or any

information with regard to any taxpayer, or any other person who is covered within the

ambit of any commercial taxes legislation including any such information that may come

to the knowledge of the Parties hereto / Bidder’s Team by virtue of this Contract that:

1. is by its nature confidential or by the circumstances in which it is disclosed

confidential; or

2. is designated by the disclosing Party as confidential or identified in terms connoting its

confidentiality; but does not include information which is or becomes public

knowledge other than by a breach of this Contract;

iv. “Contract” means the Agreement entered into between the Department of Police and the

“Contractor” as recorded in the Contract form signed by the Department of Police and the

“Contractor” including all attachments and Annexes thereto, the Tender and all Annexes

thereto and the agreed terms as set out in the proposal, all documents incorporated by

reference therein and amendments and modifications to the above from time to time;

v. “Contractor’s Representative” means the person or the persons appointed by the

Contractor from time to time to act on its behalf for overall coordination, supervision

and project management.

vi. “Document” means any embodiment of any text or image however recorded and includes

any data, text, images, sound, voice, codes or and databases or microfilm or computer

generated micro fiche.

vii. “Effective Date” means the date on which this Contract is signed and executed by the

parties hereto. If this Contract is executed in parts, then the date on which the last of such

Contracts is executed shall be construed to be the Effective Date;

viii. "Helpdesk Support" shall mean the 8 (Hr.) x 6 (days a week) round the Year centre

which shall handle Fault reporting, Trouble Ticketing and related enquiries during this

contract.

ix. “Incident” refers to any event / abnormalities in the functioning of the Police Control

Room, Vehicle mounted or surveillance Equipment / Services that may lead to disruption

in normal operations of the Designated Police Control Room services.

x. “Intellectual Property Rights” means any patent, copyright, trademark, trade name,

design, trade secret, permit, service marks, brands, propriety information, knowledge,

technology, licenses, databases, computer programs, software, know how or other form of

intellectual property right, title, benefits or interest whether arising before or after the

execution of this Contract and the right to ownership and registration of these rights;

xi. “Kick Off Meeting” means a meeting convened by the Department of Police to discuss

and finalize the work execution plan and procedures with Contractor.

xii. The “Contractor” means the company with whom the order has been placed for




providing Services as specified in this tender/contract and shall be deemed to include the

Contractor’s successors, representatives (approved by the Department of Police), heirs,

executors, administrators and permitted assigns, as the case may be, unless excluded by

the terms of the contract.

xiii. “Parties” means the Department of Police and the Contractor and “Party” means either

of the Parties;

xiv. “Service” means facilities/services to be provided as per the requirements specified in this

tender document and any other incidental services, such as installation, implementation,

maintenance, provision of technical assistance, training and other such obligations of the

Contractor covered under the Contract;

xv. “Service Specification” means services as specified in the Contract as well as those

specifications relating to Industry standards and codes applicable to the performance of

the work, work performance quality and the specifications affecting the works or any

additional specification required to be produced by the Contractor to meet the design

criteria.

xvi. “Site” means the designated space, area, and room and other allied areas as approved by

the Department of Police for the purposes of the contract wherein the operations / services

/ facilities as specified in the scope of work are to be provided/carried out

xvii. “The Contract Price/Value” means the price payable to the Contractor under the

Contract for the full and proper performance of its contractual obligations;

xviii. “Service Window” shall mean the duration for which the facilities and services shall be

available at the Police Control Room.

xix. “State Govt” shall mean Government of Chhattisgarh, India and shall include its legal

representatives, successors and permitted assignees.

xx. “State Govt’s Representative” shall mean the person appointed by the Govt. of

Chhattisgarh from time to time to act on its behalf at the site for overall coordination,

supervision and project management at site.

6.3. Interpretation

In this Contract unless a contrary intention is evident:

i. the clause headings are for convenient reference only and do not form part of this

Contract;

ii. unless otherwise specified a reference to a clause number is a reference to all of its sub-

clauses;

iii. unless otherwise specified a reference to a clause, sub-clause or section is a reference to

a clause, sub-clause or section of this Contract including any amendments or




modifications to the same from time to time;

iv. a word in the singular includes the plural and a word in the plural includes the singular;

v. a word importing a gender includes any other gender;

vi. a reference to a person includes a partnership and a body corporate;

vii. a reference to legislation includes legislation repealing, replacing or amending that

legislation;

viii. where a word or phrase is given a particular meaning it includes the appropriate

grammatical forms of that word or phrase which have corresponding meanings.

ix. in the event of an inconsistency between the terms of this Contract and the Tender and

the Proposal, the terms hereof shall prevail.

6.4. Conditions Precedent

This Contract is subject to the fulfilment of the following conditions precedent by the

Contractor.

1) Furnishing of an unconditional and irrevocable and continuing Bank Guarantee for

Contract Performance of the sum of Rs. _______/- (10% of the total contract value), in a

form and manner acceptable to the Department of Police, Government of Chhattisgarh,

Durg, CG which would remain valid until such time and be renewable as may be

stipulated by the Govt. of Chhattisgarh:

2) The Department of Police, Government of Chhattisgarh, Durg, CG reserves the right to

waive any or all of the conditions specified above in writing and no such waiver shall

affect or impair any right, power or remedy that the Govt. of Chhattisgarh may otherwise

have.

6.5. Representations & Warranties

In order to induce the Department of Police, Government of Chhattisgarh, Durg, CG to enter

into this Contract, the Contractor hereby represents and warrants as of the date hereof, which

representations and warranties shall survive the term and termination hereof, the following:

1) That the Contractor is not involved in any major litigation or legal proceedings, pending,

existing, and potential or threatened, that may have an impact of affecting or

compromising the performance or delivery of Services under this Contract.

2) That the representations and warranties made by the Contractor in the proposal or will be

made in this contract are and shall continue to remain true and fulfil all the requirements

as are necessary for executing the obligations and responsibilities as laid down in the

Contract and the Tender and unless the Department of Police, Govt. of Chhattisgarh

specifies to the contrary, the Contractor shall be bound by all the terms of the Proposal




and the contract through the term of the contract.

3) That the Contractor has the professional skills, personnel and resources/authorizations that

are necessary for providing all such services as are necessary to fulfil the Scope of Work

stipulated in the Tender and this Contract.

4) That there shall not be any privilege, claim or assertion made by a third party with respect

to right or interest in, ownership, mortgage or disposal of any asset, property, movable or

immovable as mentioned in any Intellectual Property Rights, licenses and permits.

5) That the Contractor shall use such assets of the Department of Police, Govt. of

Chhattisgarh as the Department of Police, Govt. of Chhattisgarh may permit for the sole

purpose of execution of its obligations under the terms of the Proposal, Tender or this

Contract. The Contractor shall however, have no claim to any right, title, lien or other

interest in any such property, and any possession of property for any duration whatsoever

shall not create any right in equity or otherwise, merely by fact of such use or possession

during or after the term hereof.

6) That the Contractor shall procure all the necessary permissions and adequate approvals

and licenses for use of various software and any copyrighted process/product free from all

claims, titles, interests and liens thereon and shall keep the Department of Police, Govt. of

Chhattisgarh indemnified in relation thereto.

7) That the execution of the Services and the Scope of work herein are and shall be in

accordance and in compliance with all applicable laws.

8) That all conditions precedent under the Contract has been satisfied.

9) That neither the execution and delivery by the Contractor of the Contract nor the

Contractor’s compliance with or performance of the terms and provisions of the Contract

(i) will contravene any provision of any Applicable Law or any order, writ, injunction or

decree of any court or Governmental Authority binding on the Contractor, (ii) will

conflict or be inconsistent with or result in any breach of any or the terms, covenants,

conditions or provisions of, or constitute a default under any Contract, Contract or

instrument to which the Contractor is a party or by which it or any of its property or assets

is bound or to which it may be subject or (iii) will violate any provision of the

Memorandum and Articles of Association of the Contractor.

10) That the Contractor certifies that all registrations, recordings, filings and notarizations of

the Contract and all payments of any tax or duty, including without limitation stamp duty,

registration charges or similar amounts which are required to be effected or made by the

Contractor which is necessary to ensure the legality, validity, enforceability or

admissibility in evidence of the Contract have been made.

11) That the Contractor owns, has license to use or otherwise has the right to use, free of any

pending or threatened liens or other security or other interests all its Intellectual Property

Rights, which are required or desirable for performance of its services under this contract

and regarding the same the Contractor does not, so far as the Contractor is aware, in




carrying on its business and operations, infringe any Intellectual Property Rights of any

person. So far as the Contractor is aware, none of the Intellectual Property Rights, owned

or enjoyed by the Contractor or which the Contractor is licensed to use, which are

material in the context of Contractor’s business and operations for the performance of this

contract are being infringed nor, so far as the Contractor is aware, is there any

infringement or threatened infringement of those Intellectual Property Rights licensed or

provided to the Contractor by any person. All Intellectual Property Rights (owned by the

Contractor or which the Contractor is licensed to use) required by the Contractor for the

performance of the contract are valid and subsisting. All actions (including registration,

payment of all registration and renewal fees) required to maintain the same in full force

and effect have been taken thereon and shall keep the Department of Police, Govt. of

Chhattisgarh indemnified in relation thereto.

12) That time is the essence of the Contract and hence the Contractor shall at all times

maintain sufficient manpower, resources, and facilities, to provide the Services in a

workmanlike manner on a timely basis.

13) That its security measures, policies and procedures are adequate to protect and maintain

the confidentiality of the Confidential Information.

14) That in providing the Services or deliverables or materials, neither Contractor nor its

agent, nor any of its employees, shall utilize information which may be considered

confidential information of, or proprietary to, any prior employer or any other person or

entity;

6.6. Scope of work/contract:

1) Scope of the CONTRACT shall be as defined in this CONTRACT, Scope of work

including specifications and drawings and the Service level agreement and annexes

thereto of this tender.

2) Department of Police, Government of Chhattisgarh, Durg, CG has engaged the

Contractor for Police Control Room Modernisation Project including GIS and

GPS based Automatic Vehicle Tracking System (AVTS), Computer Aided

Dispatch System, City Surveillance System in Durg & Bhilai Cities” for the

following deliverables:

a) Provisioning for Digital Workflow Automation Software, Networking and IT

infrastructure

b) Implementation Services

c) Maintenance and support for at least 5 years

3) The Contractor is required to provide such services, support and infrastructure as

necessary, during the term of this Contract, and includes all such processes and

activities which are consistent with the proposals set forth in the Proposal, the

Tender and this Contract and are deemed necessary by the Department of Police,

Government of Chhattisgarh, Durg, CG, in order to meet its business requirements




(hereinafter “scope of work”).

4) If any services, functions or responsibilities not specifically described in this

Contract are an inherent, necessary or customary part of the Services or are required

for proper performance or provision of the Services in accordance with this Contract,

they shall be deemed to be included within the scope of the work to be delivered for

the Charges, as if such services, functions or responsibilities were specifically

described in this Contract.

5) The Department of Police, Government of Chhattisgarh, Durg, CG reserves the

right to amend any of the terms and conditions with mutual agreement in relation to

the Scope of Work and may issue any such directions which are not necessarily

stipulated therein if it deems necessary for the fulfilment of the Scope of Work.

6.7. Duration of the contract:

The CONTRACT shall remain valid for a period of 5 years (Five years) from the date of

signing of contract or 5 years (Five years) years from the date of acceptance of the Pilot project

whichever is later.

6.8. Service Levels

The purpose of Service Level Agreement (hereinafter referred to as SLA) is to clearly define the

levels of service which shall be provided by the successful bidder to Department of Police,

Government of Chhattisgarh for the duration of this contract. The benefits of this SLA are to:

1. Trigger a process that applies Successful Bidder’s and Department of Police,

Government of Chhattisgarh attention to an aspect of performance when that aspect

drops below an agreed upon threshold, or target.

2. Makes explicit the expectations that Department of Police, Government of Chhattisgarh

has for performance from the Successful bidder.

The Successful bidder and Department of Police, Government of Chhattisgarh shall regularly

review the performance of the services being provided by the Successful Bidder and the

effectiveness of SLA

6.9. Category of SLAs

The SLA provides for minimum level of services required as per contractual obligations based

on performance indicators and measurements thereof. The Successful Bidder shall ensure

provisioning of all required services while monitoring the performance of the same to

effectively comply with the performance levels. The services provided by the successful bidder

shall be reviewed by the Department of Police, Government of Chhattisgarh that shall:

• Regularly check performance of the successful bidder against this SLA.

• Discuss escalated problems, new issues and matters still outstanding for resolution.




• Review of statistics related to rectification of outstanding faults and agreed changes.

• Obtain suggestions for changes to improve the service levels.

The SLA has been logically segregated in the following categories:

1. IT Infrastructure related service levels

2. Physical Infrastructure related service levels

3. Help desk Services

4. Compliance and Reporting Procedures

The following measurements and targets shall be used to track and report performance on a

regular basis. The targets shown in the following paragraphs and tables are applicable for the

duration of the contract for the ‘Penalty shall be calculated on a quarterly basis’.

1. Penalty for delay in execution of project:

If the installation and commissioning of the systems is not completed in full within the

stipulated period given in the implementation schedule, a penalty at the rate of 1% per week of

the corresponding contract value for hardware and infrastructure will be levied for a maximum

period of 8 weeks. If the installation and commissioning is not completed even within this 8

week period, then the contract will be liable for termination in part or whole at the discretion of

Department and at the risk and cost of the contractor.

5. Limitation of Penalties

After commissioning of the project the maximum penalty should be levied as below

a. The total monthly deduction should not exceed 20% of the total applicable fee in a

quarter.

b. Three consecutive quarterly deductions of more than 20 % of the applicable fee on

account of any reasons will be deemed to be an event of default and termination.

This shall be governed by the terms & conditions defined in subsequent sections in

General Conditions of the Contract.

6.10. Contract Performance Guarantee

Within 30 days after the receipt of notification of award of the Contract from the Department of

Police, Govt. of Chhattisgarh, the successful Bidder shall furnish Contract Performance

Guarantee to the Department of Police, Government of Chhattisgarh, Durg, CG, which shall be

equal to 10% of the value of the Contract and shall be in the form of a Bank Guarantee Bond

from a Nationalized Bank in the Proforma given hereinafter in this document.

6.11. Statutory Requirements

1) During the tenure of this Contract nothing shall be done by the Contractor in contravention

of any law, act and/ or rules/regulations, there under or any amendment thereof governing

inter-alia customs, stowaways, foreign exchange etc. and shall keep Department of Police

indemnified in this regard.

2) The Contractor and their personnel/representative shall not alter / change / replace any

hardware component proprietary to the Department of Police and/or under warranty or

AMC of third party without prior consent of the Department of Police.

3) The Contractor and their personnel/representative shall not without consent of the

Department of Police install any hardware or software not purchased / owned by the





6.12. Contract administration

1) Either party may appoint any individual / organization as their authorized representative

through a written notice to the other party. Each Representative shall have the authority to:

a) exercise all of the powers and functions of his/her Party under this Contract other than

the power to amend this Contract and ensure the proper administration and performance

of the terms hereof; and

b) bind his or her Party in relation to any matter arising out of or in connection with this

Contract.

2) The Contractor shall be bound by all undertakings and representations made by the

authorized representative of the Contractor and any covenants stipulated hereunder, with

respect to this Contract, for and on their behalf.

3) For the purpose of execution or performance of the obligations under this Contract, the

Department of Police representative would act as an interface with the nominated

representative of the Contractor. The Contractor shall comply with any instructions that are

given by the Department of Police representative during the course of this Contract in

relation to the performance of its obligations under the terms of this Contract and the

Tender.

4) A Committee comprising of representatives from the Department of Police and the

Contractor shall meet on a quarterly basis to discuss any issues / bottlenecks being

encountered. The Contractor shall draw the minutes of these meetings and circulate to the


6.13. Right of Monitoring, Inspection and Periodic Audit

The Department of Police reserves the right to inspect and monitor / assess the progress /

performance / maintenance at any time during the course of the Contract, after providing due

notice to the Contractor. The Department of Police may demand and upon such demand being

made, the Department of Police shall be provided with any document, data, material or any

other information which it may require, to enable it to assess the progress of the project.

The Department of Police shall also have the right to conduct, either itself or through another

agency as it may deem fit, an audit to monitor the performance by the Contractor of its

obligations/functions in accordance with the standards committed to or required by the

Department of Police and the Contractor undertakes to cooperate with and provide to the

Department of Police / any other Contractor appointed by the Department of Police, all

documents and other details as may be required by them for this purpose. Any deviations or

contravention identified as a result of such audit/assessment would need to be rectified by the

Contractor failing which the Department of Police may, without prejudice to any other rights

that it may have issue a notice of default.




6.14. Department of Police Obligations

The Department of Police Representative shall interface with the Contractor, to provide the

required information, clarifications, and to resolve any issues as may arise during the execution

of the Contract. Department of Police shall provide adequate cooperation in providing details,

assisting with coordinating and obtaining of approvals from various governmental agencies, in

cases, where the intervention of the Department of Police is proper and necessary.

Department of Police shall ensure that timely approval is provided to the contractor, where

deemed necessary, which should include physical computer laboratories diagram / plans and all

specifications related to equipment / material required to be provided as part of the Scope of

Work.

6.15. Information Security

The Contractor shall not carry and/or transmit any material, information, layouts, diagrams,

storage media or any other goods/material in physical or electronic form, which are proprietary

to or owned by the Department of IT GOI, out of premises without prior written permission

from the Department of Police.

The Contractor shall adhere to the Information Security policy developed by the Department of

Police.

Contractor acknowledges that Department of Police, Govt. of Chhattisgarh business data and

other Department of Police, Govt. of Chhattisgarh proprietary information or materials, whether

developed by Department of Police or being used by Department of Police pursuant to a license

agreement with a third party (the foregoing collectively referred to herein as “proprietary

information”) are confidential and proprietary to Department of Police; and Contractor agrees to

use reasonable care to safeguard the proprietary information and to prevent the unauthorized use

or disclosure thereof, which care shall not be less than that used by Contractor to protect its own

proprietary information. Contractor recognizes that the goodwill of Department of Police

depends, among other things, upon Contractor keeping such proprietary information

confidential and that unauthorized disclosure of the same by Contractor could damage

Department of Police and that by reason of Contractor’s duties hereunder. Contractor may come

into possession of such proprietary information, even though Contractor does not take any direct

part in or furnish the services performed for the creation of said proprietary information and

shall limit access thereto to employees with a need to such access to perform the services

required by this agreement. Contractor shall use such information only for the purpose of

performing the said services.

Contractor shall, upon termination of this agreement for any reason, or upon demand by

Department of Police, whichever is earliest, return any and all information provided to

Contractor by Department of Police, including any copies or reproductions, both hard copy and

electronic.




6.16. Ownership of Equipment

The Department of Police, Government of Chhattisgarh, Durg, CG shall own the equipment

and data centre infrastructure, supplied by the Contractor arising out of or in connection with

this Contract.

6.17. Insurance

Contractor shall, at his own expense, arrange appropriate comprehensive insurance to cover all

risks assumed by the Contractor under this contract in respect of its personnel deputed under

this contract as well as Contractor’s equipment, tools and any other belongings of the

Contractor or their personnel during the entire period of their engagement in connection with

this contract. Department of Police will have no liability on this account.

Notwithstanding anything contained in any provision of this contract, save as specified above in

this Clause Department of Police shall defend, indemnify and hold Contractor harmless from

and against any losses, damages, cost or claims relating to Department of Police existing

property except in case of gross negligence or wilful misconduct of the Contractor, its sub-

Contractor their agents or employees, in which case the Contractor shall be liable to bear any

loss or damage occurring to the Property of the Department of Police as a result of its gross

negligence or wilful misconduct, provided however, that such liability shall be limited to 100%

of the contract Price.

“Gross Negligence” means: any act or failure to act (whether sole, joint or concurrent) by a

person or entity which was intended to cause, or which was in reckless disregard of or wanton

indifference to, avoidable and harmful consequences such person or entity knew, or should have

known, would result from such act or failure to act. Notwithstanding the foregoing, Gross

negligence shall not include any action taken in good faith for the safeguard of life or property,

“wilful misconduct” means: “intentional disregard of good and prudent standards of

performance or proper conduct under the contract with knowledge that it is likely to result in

any injury to any person or persons or loss or damage of property.

Certificate of Insurance: Before commencing performance of the contract, Contractor shall

upon request furnish Department of Police with certificates of insurance indicating (1) kinds

and amounts of insurance as required herein (2) insurance the Department of Police or

companies carrying the aforesaid coverage (3) effective and expiry dates of policies (4) that

Department of Police shall be given thirty (30) days written advance notice of any material

change in the policy (5) waiver of subrogation endorsement has been attached to all policies and

(6) the territorial limits of all policies. If any of the above policy expire or/ are cancelled during

the term of this contract and Contractor fails for any reason to renew such policies, then

Department of Police may replace same and charge the cost thereof to contractor. Should there

be lapse in any insurance required to be carried out by Contractor hereunder for any reason,

losses resulting there from shall be to the sole account of the contractor. Such insurance shall be

affected within Insurance Company incorporated and registered in India or jointly with a

company of International repute and an Insurance Company incorporated and registered in




India.

6.18. Indemnity

The Contractor shall execute and furnish to the Department of Police, a Deed of Indemnity in

favour of the Department of Police in a form and manner acceptable to the Department of

Police, indemnifying the Department of Police from and against any costs, loss, damages,

expense, claims including those from third parties or liabilities of any kind howsoever suffered

including patent, copyright, trademark and trade secret, arising or incurred inter alia during and

after the Contract period out of:

a. any negligence or wrongful act or omission by the Contractor or the Contractor’s Team

or any sub-Contractor/ third party in connection with or incidental to this Contract; or

b. any breach of any of the terms the Contractor’s Proposal as agreed, the Tender and this

Contract by the Contractor, the Contractor’s Team or any sub-Contractor/ third party.

c. The indemnity shall be to the extent of 100% in favour of the Department of Police.

6.19. Confidentiality

1) The Contractor shall not use Confidential Information including the name or the logo of the

Department of Police except for the purposes of providing the Service as specified under

this contract;

2) The Contractor may only disclose Confidential Information in the following circumstances:

a) with the prior written consent of the Department of Police;

b) to a member of the Contractor’s Team (“Authorized Person”) if:

c) the Authorized Person needs the Confidential Information for the performance of

obligations under this contract;

d) the Authorized Person is aware of the confidentiality of the Confidential Information

and is obliged to use it only for the performance of obligations under this contract

3) The Contractor shall do everything reasonably possible to preserve the confidentiality of the

Confidential Information including execution of a confidentiality agreement with the

members of the, sub-Implementation Agencies and other team members to the satisfaction

of the Department of Police.

4) The Contractor shall sign a Non Disclosure Agreement (NDA) with the Department of

Police. The Contractor will be held responsible for any breach of the NDA by its

antecedents, delegates or sub-Implementation Agencies.

5) The Contractor shall notify the Department of Police promptly if it is aware of any

disclosure of the Confidential Information otherwise than as permitted by this Contract or

with the authority of the Department of Police.

6) The Contractor shall be liable to fully recompense the Department of Police for any loss of

revenue arising from breach of confidentiality. The Department of Police reserves the right




to adopt legal proceedings, civil or criminal, against the Contractor in relation to a dispute

arising out of breach of obligation by the Contractor under this clause.

6.20. Prices

Prices quoted must be firm and shall not be subject to any upward revision on any account

whatsoever throughout the period of contract. Department of Police however reserve the right to

review and negotiate the charges payable.

Contractor shall provide “Most Preferred Customer” status the Department of Police.

Accordingly, the prices payable for services relating to the Physical & IT infrastructure

components, Maintenance and Management shall in no event exceed the lowest price at which

the Contractor offers similar services to any other customer during the currency of the contract.

If at any time during the period of contract, the Contractor offers services similar in nature to

any other customer, at prices lower than those chargeable under this Department of Police

contract, he shall notify the same to the Department of Police and extend such reduced prices to

the Department of Police with immediate effect.

6.21. Change Orders/Alteration/Variation

The Contractor agrees that the requirements given in specifications of the Bidding Documents

are minimum requirements and are in no way exhaustive and guaranteed by the Department of

Police. It shall be the responsibility of the Contractor to meet all the requirements of Design

criteria contained in the Bidding Documents and any upward revisions and/or additions of

quantities, specifications, sizes given in Specifications and drawings etc. of the Bidding

Documents required to be made during commissioning of Police Control Room

Modernisation Project including GIS and GPS based Automatic Vehicle Tracking System

(AVTS), Computer Aided Dispatch System, City Surveillance System in Durg & Bhilai

Cities project shall not constitute a change order and shall be carried out without a change order

and shall be carried out without any time and cost effect to Department of Police. Further

upward revisions and or additions required to make Contractor’s selected Automation project

space, facilities, equipment and installation procedures to meet Bidding Documents

requirements expressed and to make entire facilities safe, operable and as per specified codes

and standards shall not constitute a change order and shall be carried out without any time and

cost effect to Department of Police. Any upward revision and/or additions consequent to errors,

omissions, ambiguities, discrepancies in the specification and Drawings etc. of the Bidding

Documents which the Contractor had not brought out to the Department of Police notice in his

tender shall not constitute a change order and such upward revisions and/or addition shall be

carried out by Contractor without any time and cost effect to Department of Police.

6.22. Change Order

The change order will be initiated only in case (i) the Department of Police directs in writing the

Contractor to include any addition to the scope of work covered under this Contract or delete

any part of the scope of the work under the Contract, (ii) Contractor requests to delete any part

of the work which will not adversely affect the operational capabilities of the facilities and if the

deletions proposed are agreed to by the Department of Police and for which cost and time




benefits shall be passed on to the Department of Police, (iii) the Department of Police directs in

writing the Contractor to incorporate changes or additions to the Design Criteria requirements

already covered in the Contract.

Any changes required by the Department of Police over and above the minimum requirements

given in the specifications and drawings etc. included in the Bidding Documents before giving

its approval to detailed design or Engineering for complying with design criteria and changes

required to ensure systems compatibility and reliability for safe (As per codes, standards and

recommended practices referred in the Bidding Documents) and trouble free operation shall not

be construed to be change in the Scope of work under the Contract.

Any change order as stated above comprising an alteration which involves change in the cost of

the works (which sort of alteration is hereinafter called a “Variation”) shall be the Subject of an

amendment to the Contract by way of an increase or decrease in the Contract Price and

adjustment of the implementation schedule if any.

If there is a different of opinion between the Contractor and Department of Police

Representative whether a particular work or part of the work constitutes a change order or not,

the matter shall be handled in accordance with the procedures set forth in Clause under

Procedures for Change Order.

Within fourteen (14) working days of receiving the comments from the Department of Police or

the drawings, specification, purchase requisitions and other documents submitted by the

Contractor for approval, the Contractor shall respond in writing, which item(s) of the Comments

is/are potential changes(s) in the “Scope of work” of the tender document covered in the

Contract and shall advise a date by which change order (if applicable) will be submitted to the


6.23. Procedures for Change Order

During detailed Engineering and subsequently, if the Contractor observes that any new

requirement which other than that required for meeting the design criteria is not specific or

intended by the Contract has been stipulated by the Department of Police, while approving the

specifications, calculations, purchase requisitions, other documents etc. he would verbally

discuss the matter with Department of Police’s Representative.

In case such requirement arises from the side of the contractor, he would also verbally discuss

the matter with Department of Police Representative giving reasons thereof.

In either of the two cases as explained in Clause above, the representatives of both the parties

will discuss on the new requirement for better understanding and to mutually decide whether

such requirement constitutes a change order or not.

If it is mutually agreed that such Requirement constitutes a “Change Order” then a joint

memorandum will be prepared and signed by the Contractor and Department of Police to




confirm a “Change Order” and basic ideas of necessary agreed arrangement.

Upon completion of the study referred to above Clause the results of this study along with all

relevant details including the estimated time and cost effect thereof with supporting documents

would be submitted to the Department of Police to enable the Govt. of Chhattisgarh to give a

final decision whether Contractor should proceed with the change order or not in the best

interest of the works. The estimated cost and time impact indicated by Contractor shall be

considered as a ceiling limit and shall be provisionally considered for taking a decision to

implement change order. The time impact applicable to the Contract shall be mutually agreed,

subsequently, on the basis of the detailed calculations supported with all relevant back up

documents. In case Contractor fails to submit all necessary substantiation/ calculations and back

up documents, the decision of the Department of Police regarding time and cost impact shall be

final and binding on the Contractor.

If Department of Police accepts the implementation of the change order under Clause above in

writing, which would be considered as change order, then Contractor shall commence to

proceed with the relevant work stipulated in the change order pending final agreement between

the parties with regard to adjustment of the Contract Price and the Construction Schedule.

In case, mutual agreement whether new requirement constitutes the change order or not, is not

reached, then Contractor in the interest of the works, shall take up the implementation of the

work, if advised in writing to do so by Department of Police’s Representative pending

settlement between the two parties to the effect whether such requirement constitutes a change

order or not as per the terms and conditions of Contract documents. The time and cost effects in

such a case shall be mutually verified and recorded. Should it establish that the said work

constitutes a change order, the same shall be compensated taking into account the records kept

in accordance with the Contract.

The Contractor shall submit necessary back up documents for the change order showing the

break-up of the various elements (e.g. Centre Space facilities provisioning, Engineering,

Procurement, Development, Installation, etc.) constituting the change order for the Department

of Police review. If no agreement is reached between the Department of Police and Contractor

within 60 days after Department of Police instruction in writing to carry out the change

concerning the increase or decrease in the Contract price and all other matters described above,

either party may refer the dispute to arbitration.

6.24. Change of Size/Quantities

The Department of Police will have the option to increase or decrease the size of the dedicated

and exclusive Automation project space as well as the Non-Automation project space and the

related quantities of equipment/material to be provisioned by the Contractor as mentioned in the

Contract, at any time before work is initiated at the site, provided that such increase or decrease

shall not exceed twenty five per cent (25%) of the total Contract Price or for the quantity /

amount limits prescribed in the state financial / purchase rules. In case the change required by

the Department of Police exceeds 25% of the total Contract Price, the said change would be




subject to the Contractor providing his written consent to the Department of Police request.

6.25. Conditions for extra work/change order

The provisions of the Contract shall apply to extra work performed as if the Extra work /

Change order has been included in the original Scope of work. However, the Contract Price

shall increase / decrease and the Time Schedule shall be adjusted on account of the Extra work /

Change orders as may be mutually agreed in terms of provisions set forth in Clause above.

Contractor’s obligations with respect to such work remain in accordance with the Contract.

The rates provided by the Contractor as part of its commercial quote will be considered as

benchmark rates for placing change orders, if any.

6.26. Suspension of Work

The Contractor shall, if ordered in writing by the Department of Police Representative,

temporarily suspend the works or any part thereof for such a period and such a time as ordered.

The Contractor shall not be entitled to claim compensation for any loss or damage sustained by

him by reason of temporary suspension of the Works as aforesaid. An extension of time for

completion, corresponding with the delay caused by any such suspension of the works as

aforesaid shall be granted to the Contractor, if request for same is made and that the suspension

was not consequent to any default or failure on the part of the Contractor. In case the suspension

of works, is not consequent to any default or failure on the part of the Contractor, and lasts for a

period of more than 2 months, the Contractor shall have the option to request the Department of

Police to terminate the Contract with mutual consent.

In the event that the Department of Police suspends the progress of work for any reason not

attributable to the Contractor for a period in excess of 30 days in aggregate, rendering the

Contractor to extend his performance guarantee then Department of Police shall bear only the

cost of extension of such bank guarantee for such extended period restricted to the normal bank

rates as applicable in the international banking procedures subject to the Contractor producing

the requisite evidence from the bank concerned.

6.27. Completion of Contract

Unless terminated earlier, pursuant to Clauses mentioned above the Contract shall terminate on

the completion of term as specified in the Contract and only after the obligations mentioned in

this tender document are fulfilled to the satisfaction of the Department of Police.

6.28. Special Conditions of Contract

Amendments of, and Supplements to, Clauses in the General Conditions of Contract.

6.29. Payment Schedule

The fee amount will be equal to the amount specified in Section X – Format for Tender

Response – Commercial Proposal. Payments will be released only on satisfactory acceptance of

the deliverables for each Task as per the following schedule:

All Payments shall be made in Indian Rupees Only and will be subject to provisions of Penalty

and Liquidated Damages.

6.30. Events of Default by the Contractor

The failure on the part of the Contractor to perform any of its obligations or comply with any of

the terms of this Contract shall constitute an Event of Default on the part of the Contractor. The

events of default as mentioned above may include inter-alia the following:

a. The Contractor has failed to perform any instructions or directives issued by the

Department of Police which it deems proper and necessary to execute the scope of

work under the Contract, or

b. The Contractor has failed to adhere to any of the key performance indicators as laid

down in the Key Performance Measures / Contract, or if the Contractor has fallen short

of matching such standards/targets as the Department of Police may have designated

with respect to any task necessary for the execution of the scope of work under this

Contract. The above mentioned failure on the part of the Contractor may be in terms of

failure to adhere to timelines, specifications, requirements or any other criteria as

defined by the Department of Police;

c. The Contractor has failed to remedy a failure to perform its obligations in accordance

with the specifications issued by the Department of Police, despite being served with a

default notice which laid down the specific deviance on the part of the Contractor to

comply with any stipulations or standards as laid down by the Department of Police; or

d. The Contractor / Contractor’s Team has failed to conform with any of the

Service/Facility Specifications/standards as set out in the scope of work of this Tender

document or has failed to adhere to any amended direction, modification or

clarification as issued by the Department of Police during the term of this Contract and

which the Department of Police deems proper and necessary for the execution of the

scope of work under this Contract;

e. The Contractor has failed to demonstrate or sustain any representation or warranty

made by it in this Contract, with respect to any of the terms of its Proposal, the Tender

and this Contract




f. There is a proceeding for bankruptcy, insolvency, winding up or there is an

appointment of receiver, liquidator, assignee, or similar official against or in relation to

the Contractor.

g. The Contractor / Contractor’s Team has failed to comply with or is in breach or

contravention of any applicable laws.

Where there has been an occurrence of such defaults inter alia as stated above, the Department

of Police shall issue a notice of default to the Contractor, setting out specific defaults /

deviances / omissions and providing a notice of Sixty (60) days to enable such defaulting party

to remedy the default committed.

Where despite the issuance of a default notice to the Contractor by the Department of Police the

Contractor fails to remedy the default to the satisfaction of the Contractor, the Department of

Police may, where it deems fit, issue to the defaulting party another default notice or proceed to

adopt such remedies as may be available to the Department of Police.

6.31. Consequences in Event of Default

Where an Event of Default subsists or remains uncured the Department of Police may/shall be

entitled to impose any such obligations and conditions and issue any clarifications as may be

necessary to inter alia ensure smooth continuation of Services and the project which the

Contractor shall be obliged to comply with which may include unilateral re-determination of the

consideration payable to the Contractor hereunder. The Contractor shall in addition take all

available steps to minimize loss resulting from such event of default.

The Department of Police may, by a written notice of suspension to the Contractor, suspend all

payments to the Contractor under the Contract, provided that such notice of suspension:

a. shall specify the nature of the failure; and

b. shall request the Contractor to remedy such failure within a specified period from the

date of receipt of such notice of suspension by the Contractor

Where the Department of Police deems necessary, it shall have the right to require replacement

of any of the Contractor’s sub-contractors / vendors with another suitable member. The

Contractor shall in such case terminate forthwith all their agreements/contracts other

arrangements with such member and find of the suitable replacement for such outgoing member

with another member to the satisfaction of the Department of Police, who shall execute such

Contracts with the Department of Police as the Department of Police may require. Failure on the

part of the Contractor to find a suitable replacement and/or terminate all agreements/contracts

with such member, shall amount to a breach of the terms hereof and the Department of Police in

addition to all other rights, have the right to claim damages and recover from the Contractor all

losses/ or other damages that may have resulted from such failure.

6.32. Terminate the Contract

Retain such amounts from the payment due and payable by the Department of Police to the

Contractor as may be required to offset any losses caused to the Department of Police as a result

of such event of default and the Contractor shall compensate the Department of Police for any




such loss, damages or other costs, incurred by the Department of Police in this regard. Nothing

herein shall effect the continued obligation of the sub Contractor / other members of its Team to

perform all their obligations and responsibilities under this Contract in an identical manner as

were being performed before the occurrence of the default.

Invoke the Performance Bank Guarantee and other Guarantees furnished hereunder,

enforce the Deed of Indemnity, recover such other costs/losses and other amounts from the

Contractor may have resulted from such default and pursue such other rights and/or remedies

that may be available to the Department of Police under law.

6.33. Termination

The Department of Police may, terminate this Contract in whole or in part by giving the

Contractor prior and written notice indicating its intention to terminate the Contract under the

following circumstances:

1) Where the Department of Police is of the opinion that there has been such Event of Default

on the part of the Contractor which would make it proper and necessary to terminate this

Contract and may include failure on the part of the Contractor to respect any of its

commitments with regard to any part of its obligations under its Proposal, the Tender or

under this Contract.

2) Where it comes to the Department of Police attention that the Contractor (or the

Contractor’s Team) is in a position of actual conflict of interest with the interests of the

Department of Police , in relation to any of terms of the Contractor’s Proposal, the

Tender or this Contract

3) Where the Contractor’s ability to survive as an independent corporate entity is threatened or

is lost owing to any reason whatsoever, including inter-alia the filing of any bankruptcy

proceedings against the Contractor, any failure by the Contractor to pay any of its dues to its

creditors, the institution of any winding up proceedings against the Contractor or the

happening of any such events that are adverse to the commercial viability of the Contractor.

In the event of the happening of any events of the above nature, the Department of Police

shall reserve the right to take any steps as are necessary, to ensure the effective transition of

the project to a successor Implementation Agency/service provider, and to ensure business

continuity

4) Termination for Insolvency: The Department of Police may at any time terminate the

Contract by giving written notice to the Implementation Agency, without compensation to

the Implementation Agency, if the Contractor becomes bankrupt or otherwise insolvent,

provided that such termination will not prejudice or affect any right of action or remedy

which has accrued or will accrue thereafter to the Department of Police .

5) Termination for Convenience: The Department of Police, may, by prior written notice sent

to the Contractor at least 6 months in advance, terminate the Contract, in whole or in part at

any time for its convenience. The notice of termination shall specify that termination is for

the Department of Police convenience, the extent to which performance of work under the

Contract is terminated, and the date upon which such termination becomes effective.




The Contractor may, subject to approval by the Department of Police, terminate this Contract

before the expiry of the term by giving the Department of Police a prior and written notice at

least 12 months in advance indicating its intention to terminate the Contract.

6.34. Consequences of Termination

In the event of termination of this contract due to any cause whatsoever, the Contractor shall be

blacklisted and the empanelment will stand cancelled effective from the date of termination of

this contract.

In the event of termination of this Contract due to any cause whatsoever, [whether consequent

to the stipulated Term of the Contract or otherwise] the Department of Police shall be entitled to

impose any such obligations and conditions and issue any clarifications as may be necessary to

ensure an efficient transition and effective business continuity of the project which the

Contractor shall be obliged to comply with and take all available steps to minimize loss

resulting from that termination/breach, and further allow and provide all such assistance to the

Department of Police and/or the successor Contractor/service provider, as may be required, to

take over the obligations of the erstwhile Contractor in relation to the execution/continued

execution of the scope of this Contract.

Where the termination of the Contract is prior to its stipulated term on account of a Default on

the part of the Contractor or due to the fact that the survival of the Contractor as an independent

corporate entity is threatened/has ceased, or for any other reason, whatsoever, the Department

of Police through unilateral re-determination of the consideration payable to the Contractor

shall pay the Contractor for that part of the Services which have been authorized by the

Department of Police and satisfactorily performed by the Contractor up to the date of

termination. Without prejudice any other rights, the Department of Police may retain such

amounts from the payment due and payable by the Department of Police to the Contractor as

may be required to offset any losses caused to the Department of Police as a result of any

act/omissions of the Contractor. In case of any loss or damage due to default on the part of the

Contractor in performing any of its obligations with regard to executing the scope of work

under this Contract, the Contractor shall compensate the Department of Police for any such

loss, damages or other costs, incurred by the Department of Police. Additionally, the sub

Contractor / other members of its team shall perform all its obligations and responsibilities

under this Contract in an identical manner as were being performed before the collapse of the

Contractor as described above in order to execute an effective transition and to maintain

business continuity. All third parties shall continue to perform all/any functions as stipulated by

the Department of Police and as may be proper and necessary to execute the scope of work

under the Contract in terms of the Contractor’s Proposal, the Tender and this Contract.

Nothing herein shall restrict the right of the CHiPS to invoke the Bank Guarantee and other

Guarantees furnished hereunder, enforce the Deed of Indemnity and pursue such other rights

and/or remedies that may be available to the Department of Police under law.

The termination hereof shall not affect any accrued right or liability of either Party nor affect the




operation of the provisions of this Contract that are expressly or by implication intended to

come into or continue in force on or after such termination.

6.35. Penalty

Commencement of activities for commissioning of Automation Project facilities and ongoing

performance and service levels shall be as per timelines and parameters stipulated by the

Department of Police in this contract, failing which the Department of Police may, at its

discretion, impose penalties on the Contractor to be defined in Agreement to be entered into for

the work assignment.

6.36. Liquidated Damages

Subject to clause for Force Majeure if the bidder fails to complete the Commissioning of

Automation Project before the scheduled completion date or the extended date or if Contractor

repudiates the Contract before completion of the Work, the Department of Police , at its

discretion, may without prejudice to any other right or remedy available to the Department of

Police the Contract recover a maximum of 10 percent of the project cost from the Contractor,

as Liquidated Damages (LD).

In the case it leads to termination, the Department of Police shall give 30 days’ notice to the

Contractor of its intention to terminate the Contract and shall so terminate the Contract unless

during the 30 days notice period, the Contractor initiates remedial action acceptable to the


The Department of Police may without prejudice to its right to affect recovery by any other

method, deduct the amount of liquidated damages from any money belonging to the Contractor

in its hands (which includes the Department of Police right to claim such amount against

Contractor’s Bank Guarantee) or which may become due to the Contractor. Any such recovery

or liquidated damages shall not in any way relieve the Contractor from any of its obligations to

complete the Works or from any other obligations and liabilities under the Contract.

6.37. Dispute Resolution

The Department of Police and the Contractor shall make every effort to resolve amicably by

direct informal negotiations, any disagreement or disputes, arising between them under or in

connection with the Contract.

If, after Thirty (30) days from the commencement of such direct informal negotiations, the

Department of Police and the Contractor have been unable to resolve amicably a Contract

dispute, either party may require that the dispute be referred for resolution to the formal

mechanism specified in Clauses below.

In the case of a dispute or difference arising between the Govt. of Chhattisgarh and the

Contractor relating to any matter arising out of or connected with this Contract, such dispute or

difference shall be referred to the award of Arbitrator as indicated in the Section-V clause 24.

The award of the Arbitrator shall be final and binding on the parties.




The Arbitration and Conciliation Act 1996, the rules there under and any statutory modification

or re enactments thereof, shall apply to the arbitration proceedings.

The venue of arbitration shall be the Raipur, India.

The Department of Police may terminate this contract, by giving a written notice of termination

of minimum 30 days, to the Contractor, if the Contractor fails to comply with any decision

reached consequent upon arbitration proceedings pursuant to above Clause.

6.38. Continuance of the Contract:

Notwithstanding the fact that settlement of dispute(s) (if any) under arbitration may be pending,

the parties hereto shall continue to be governed by and perform the work in accordance with the

provisions under the Scope of Work to ensure continuity of operations.

6.39. Limitation of the Contractor’s Liability towards the Department of Police

Except in case of gross negligence or wilful misconduct on the part of the Contractor or on the

part of any person or company acting on behalf of the Contractor in carrying out the Services,

the Contractor, with respect to damage caused by the Contractor to Govt. of Chhattisgarh’s

property, shall not be liable to Department of Police.

i. for any indirect or consequential loss or damage; and

ii. for any direct loss or damage that exceeds (A) the total payments payable under this

contract to the Contractor hereunder, or (B) the proceeds the Contractor may be entitled to

receive from any insurance maintained by the Contractor to cover such a liability,

whichever of (A) or (B) is higher.

This limitation of liability shall not affect the Contractor liability, if any, for damage to Third

Parties caused by the Contractor or any person or firm/company acting on behalf of the

Contractor in carrying out the Services.

6.40. Conflict of interest

The Contractor shall disclose to the Department of Police in writing, all actual and potential

conflicts of interest that exist, arise or may arise (either for the Contractor or the Contractor’s

Team) in the course of performing the Services as soon as practical after it becomes aware of

that conflict.

6.41. Severance

In the event any provision of this Contract is held to be invalid or unenforceable under the

applicable law, the remaining provisions of this Contract shall remain in full force and effect.

6.42. Governing Language

The Agreement shall be written in English language. Subject to below Clause, such language

versions of the Agreement shall govern its interpretation. All correspondence and other

documents pertaining to the Contract that are exchanged by parties shall be written in English




language only.

6.43. “No Claim” Certificate

The Contractor shall not be entitled to make any claim, whatsoever against the Department of

Police, under or by virtue of or arising out of, this contract, nor shall the Department of Police

entertain or consider any such claim, if made by the Contractor after he shall have signed a “No

claim” certificate in favour of the Department of Police in such forms as shall be required by the

Department of Police after the works are finally accepted.

6.44. Publicity

The Contractor shall not make or permit to be made a public announcement or media release

about any aspect of this Contract unless the Department of Police first gives the Contractor its

written consent.

6.45. Force Majeure

Force Majeure shall not include any events caused due to acts/omissions of such Party or result

from a breach/contravention of any of the terms of the Contract, Proposal and/or the Tender. It

shall also not include any default on the part of a Party due to its negligence or failure to

implement the stipulated/proposed precautions, as were required to be taken under the Contract.

The failure or occurrence of a delay in performance of any of the obligations of either party

shall constitute a Force Majeure event only where such failure or delay could not have

reasonably been foreseen, or where despite the presence of adequate and stipulated safeguards

the failure to perform obligations has occurred. In such an event, the affected party shall inform

the other party in writing within five days of the occurrence of such event. The Govt. of

Chhattisgarh will make the payments due for Services rendered till the occurrence of Force

Majeure. However, any failure or lapse on the part of the Contractor in performing any

obligation as is necessary and proper, to negate the damage due to projected force majeure

events or to mitigate the damage that may be caused due to the above mentioned events or the

failure to provide adequate disaster management/recovery or any failure in setting up a

contingency mechanism would not constitute force majeure, as set out above.

In case of a Force Majeure, all Parties will endeavor to agree on an alternate mode of

performance in order to ensure the continuity of service and implementation of the

obligations of a party under the Contract and to minimize any adverse consequences of Force

Majeure.

6.46. General

i. Relationship between the Parties

a. Nothing in this Contract constitutes any fiduciary relationship between the

Department of Police and Contractor/ Contractor’s Team or any relationship of

employer employee, principal and agent, or partnership, between the Department

of Police and Contractor.

b. No Party has any authority to bind the other Party in any manner whatsoever

except as agreed under the terms of this Contract.




c. The Department of Police has no obligations to the Implementation Agency‟s

Team except as agreed under the terms of this Contract.

ii. No Assignment

The Contractor shall not transfer any interest, right, benefit or obligation under this Contract

without the prior written consent of the Department of Police.

iii. Survival

The provisions of the clauses of this Contract in relation to documents, data, processes,

property, Intellectual Property Rights, indemnity, publicity and confidentiality and ownership

survive the expiry or termination of this Contract and in relation to confidentiality, the

obligations continue to apply unless the Department of Police notifies the Contractor of its

release from those obligations.

iv. Entire Contract

The terms and conditions laid down in the Tender and all annexure thereto as also the Proposal

and any attachments/annexes thereto shall be read in consonance with and form an integral part

of this Contract. This Contract supersedes any prior Contract, understanding or representation of

the Parties on the subject matter.

v. Governing Law

This Contract shall be governed in accordance with the laws of India.

vi. Jurisdiction of Courts

The High Court of India at Bilaspur, Chhattisgarh has exclusive jurisdiction to determine any

proceeding in relation to this Contract.

vii. Compliance with Laws

The Contractor shall comply with the laws in force in India in the course of performing this

Contract.

viii. Notices

a. A “notice” means:

i. a notice; or

ii. a consent, approval or other communication required to be in writing under this

Contract. All notices, requests or consents provided for or permitted to be given

under this Contract shall be in writing and shall be deemed effectively given

when personally delivered or mailed by pre-paid certified/registered mail,

return receipt requested, addressed as follows and shall be deemed received two

days after mailing or on the date of delivery if personally delivered:

Any Party may change the address to which notices are to be directed to it by notice to the other

parties in the manner specified above. A notice served on a Representative is taken to be notice

ix. Waiver

a) Any waiver of any provision of this Contract is ineffective unless it is in writing and

signed by the Party waiving its rights.

b) A waiver by either Party in respect of a breach of a provision of this Contract by the

other Party is not a waiver in respect of any other breach of that or any other provision.

c) The failure of either Party to enforce at any time any of the provisions of this Contract

shall not be interpreted as a waiver of such provision.

x. Modification

Any modification of this Contract shall be in writing and signed by an authorized representative

of each Party.

xi. Application

These General Conditions shall apply to the extent that provisions in other parts of the Contract

do not supersede them.

xii. IT Act 2000

Besides the terms and conditions stated in this document, the contract shall also be governed by

overall acts and guidelines as mentioned in IT Act 2000.

CALL-TAKING

General

The procedures place emphasis in determining the exact nature of a call: to determine

if it is an emergency call or a lower priority call at the time the call is received.

When a call for service is received, the initial questioning process is the basis for

determining the creation of a new incident, its location and nature, and the nearest

and most appropriate resource for response to that call.

If the call is determined to be of an emergency nature, the Call-taker immediately

passes the primary information to a Dispatcher for allocation of the initial resource(s)

1. Sufficient number of appropriate Operating System, antivirus software required at the

Please note the following:

1. All quoted prices should be inclusive of taxes and duties prevailing on the date of proposal

submission.

2. Since the price proposal is in INR (R), Department of Police, Government of Chhattisgarh shall not

consider any upward variation/ fluctuation on account of any foreign exchange at any time during the

currency of the contract.

3. Warranty on Hardware products will be 5 (Five) years from the date of UAT. Warranty will




become effective from the date of UAT for complete solution comprising both hardware and software.

4. The project is to be supported for a minimum period of 5 years from the date of UAT.

5. Other than what is given above, the bidder is expected to account for any other deliverable to make the

implementation successful and will be considered for commercial evaluation.





Section XI

Draft Performance Guarantee

(To be issued by a Bank)

This Deed of Guarantee executed at ————————— by ———————— (Name of the

Bank) having its Head/Registered office at —————————————— (hereinafter

referred to as “the Guarantor”) which expression shall unless it be repugnant to the subject or

context thereof include its heirs, executors, administrators, successors and assigns;

In favour of The Superintendent of Police, Department of Police Government of Chhattisgarh, having its office at Collectorate Complex, District Durg, Chhattisgarh (hereinafter called “S.P.

Durg” which expression shall unless it be repugnant to the subject or context thereof include its heirs, executors, administrators, successors and assigns);

Whereas M/s _________. a company formed under ____________ (specify the applicable law)

and having its registered office at ____________ has been, consequent to conduct and completion of a competitive bidding process in accordance with the letter of requirements

document No._______________ dated __/__/2011 issued by S.P. Durg, and selected M/s ___________ (hereinafter referred to as the Contractor) for the project by S.P. Durg as more

specifically defined in the aforementioned Document including statement of work and the

Agreement executed between the S.P. Durg and Contractor. The Agreement requires the

Contractor to furnish an unconditional and irrevocable Bank Guarantee for an amount of Rs._____

/- (Rupees ____________________________________only) by way of security for guaranteeing

the due and faithful compliance of its obligations under the Agreement.

Whereas, the contractor approached the Guarantor and the Guarantor has agreed to provide a Guarantee being these presents:

Now this Deed witnessed that in consideration of the premises, We, ————— Bank hereby

guarantee as follows:

1. The Contractor shall implement the Project, in accordance with the terms and subject to the conditions of the Agreement, and fulfil its obligations there under

2. We, the Guarantor, shall, without demur, pay to S.P. Durg an amount not exceeding Rs.

(seven) days of receipt of a written demand therefore from SP Durg stating that the

Contractor has failed to fulfil its obligations as stated in Clause 1 above.

3. The above payment shall be made by us without any reference to the Contractor or any other person and irrespective of whether the claim of the S.P. Durg is disputed by the

Contractor or not.

4. The Guarantee shall come into effect from______ (Start Date) and shall continue to be in full force and effect till the earlier of its expiry at 1700 hours Indian Standard Time

on ________ (Expiry Date) (both dates inclusive) or till the receipt of a claim, from the Department of Police Government of Chhattisgarh under this Guarantee, which is one

month after the expiry of performance guarantee, whichever is earlier. Any demand

received by the Guarantor from S.P. Durg prior to the Expiry Date shall survive the




expiry of this Guarantee till such time that all the moneys payable under this Guarantee

by the Guarantor to S.P. Durg.

5. In order to give effect to this Guarantee S.P. Durg shall be entitled to treat the Guarantor

as the principal debtor and the obligations of the Guarantor shall not be affected by any variations in the terms and conditions of the Agreement or other documents by SP

Durg or by the extension of time of performance granted to the Contractor or any postponement for any time of the power exercisable by S.P. Durg against the Contractor

or forebear or enforce any of the terms and conditions of the Agreement and we shall not be relieved from our obligations under this Guarantee on account of any such variation,

extension, forbearance or omission on the part of S.P. Durg or any indulgence by S.P. Durg to the Contractor to give such matter or thing whatsoever which under the law

relating to sureties would but for this provision have effect of so relieving us.

6. This Guarantee shall be irrevocable and shall remain in full force and effect until all our

obligations under this guarantee are duly discharged.

7. The Guarantor has power to issue this guarantee and the undersigned is duly authorized to

execute this Guarantee pursuant to the power granted under ______________.
