DIABETES AND ITS COMPLICATIONS ARE MAJOR PUBLIC HEALTH ISSUES
Type 2 diabetes is a complex and evolving disease, that initially presents as prediabetes, before being diagnosed as diabetes that is characterized by a chronic hyperglycemic state.
Prediabetic patients have multiple cardiovascular risk factors (obesity, lipid disorders, hypertension, altered glycemia, etc.) that progressively lead to the deterioration of organ function (pancreas and liver, in particular), then to Type 2 diabetes and its complications.
According to the World Health Organization (WHO), the diabetes “epidemic” today affects 350 million people, and this number could reach 500 million by 2030.
Faced with such an epidemic, the prevention and treatment of this disease and its complications represents a major public health issue, as declared by both academic societies (IAS, ADA, EASD) and international health organizations (WHO, FDA, EMA).
Although today certain drugs exist that act on one or more risk factors, even treated diabetic patients remain at a high risk of developing complications.
To better meet these unmet needs, GENFIT has a global approach that addresses the pathology at an early stage (prediabetes) by developing new diagnostic solutions, and that prevents and treats the progression of diabetes-associated micro- and macro-vascular complications or organ dysfunction (pancreas, liver) through the development of new drug candidates.

GFT505, AN IDEAL CANDIDATE FOR THE TREATMENT OF NASH AND THE REDUCTION OF CARDIOVASCULAR RISK IN HIGH-RISK PATIENTS The drug candidate GFT505 shows a wide spectrum of action on multiple parameters implicated in the development of the liver diseases and cardiovascular complications associated with type 2 diabetes. In particular, its beneficial effects on insulin sensitivity and glucose metabolism, liver enzymes, dyslipidemia, and inflammatory markers make GFT505 an ideal candidate for the treatment of NASH. The therapeutic efficacy of GFT505 after up to 3 months of treatment has been shown in multiple Phase I and IIa clinical trials. In particular, conclusive results have been obtained in dyslipidemic, prediabetic, and diabetic patient populations [GFT505-210-5, GFT505-209-4 and GFT505-208-3 studies]. Moreover, a mechanism of action study in glucose-intolerant patients [GFT505-210-6] showed that GFT505 acts on one of the key mechanisms in the development of NASH, the response of the liver to insulin, as well as reducing the levels of liver dysfunction markers. The excellent safety profile of GFT505 has been demonstrated in the Phase I and IIa clinical trials with up to 3 months of treatment at 80 mg/d.

“A drug like GFT505, which systematically improves insulin resistance and lipid flux through the liver (by reducing free fatty acid delivery and increasing free fatty acid oxidation), that reduces the expression of
inflammatory mediators, and reduces fibrogenesis in the liver would be, indeed, an ideal molecule for
treating NAFLD/NASH”. Pr. Vlad Ratziu (MD-PhD, Hôpital Pitié-Salpêtrière,

Treatment of NASH
and Antifibrotic properties (Disease Models)
Anti-inflammatory
properties
Food and Drug Administration (FDA).

06
GFT505, AN IDEAL CANDIDATE FOR THE TREATMENT OF NASH AND THE REDUCTION OF CARDIOVASCULAR RISK IN HIGH-RISK PATIENTS In 2012, a new Phase I study in obese and/or diabetic volunteers confirmed the safety of GFT505 at single doses of up to 300 mg and in 14-day repeated doses of up to 240 mg/d. A further Phase I study showed that there is no risk of drug-drug interaction between GFT505 and the reference drug warfarin, thus significantly extending the possibility of co-prescriptions with GFT505. Also in 2012, new pre-clinical data confirmed that GFT505 strongly reduces steatosis (fat in the liver), inflammation, and hepatic fibrosis in disease models of NASH. Moreover, the oral administration of GFT505 resulted in the elimination of established liver fibrosis. A research program was also initiated to study the anti-fibrotic mechanism of action of GFT505. The first results showed that the anti-fibrotic effects are mediated by an original mechanism of action that opens the door to the further evaluation of GFT505 in hepatic/cirrhotic fibrosis linked to chronic viral- or alcohol-induced hepatitis. These findings reinforce the innovative character of GFT505, and in 2012 the Company filed a new patent application on its use for the treatment of fibrotic diseases and certain types of cancer. In early 2012, the Company completed regulatory long-term animal toxicology studies with GFT505, that confirmed the absence of major adverse effects relevant to humans. The reports of these studies and of carcinogenicity studies after two years of treatment in rats and mice have been finalized.

NASH. Au total 75 à 80 centres experts aux
USA et dans plusieurs pays européens
participent à cette étude et recruteront un
total de 270 patients. L’Accord de l’agence
américaine du médicament (Food and Drug
successivement obtenus (Belgique, Allemagne,
UK, Italie, Espagne, Roumanie, France, Pays-
Bas).
depuis octobre 2012. En mars 2013, plus de
100 patients ont déjà donné leur accord de
participation.

GFT505, AN IDEAL CANDIDATE FOR THE TREATMENT OF NASH AND THE REDUCTION OF CARDIOVASCULAR RISK IN HIGH-RISK PATIENTS These studies confirm the safety of use of GFT505 at high doses in animals. The reports have been submitted to regulatory health authorities who validated these conclusions through the EMA’s Scientific Advice procedure and at a pre-IND meeting with the FDA. In early 2012, the Company also completed the constitution of its network of international experts, in order to define and finalize the protocol of the pivotal Phase IIb study in NASH (study design, type of patients, duration of treatment, doses of GFT505, primary and secondary endpoints, etc.), and to construct the development plan of GFT505 up to market approval. The entire dossier including the results of pre-clinical (pharmacology, ADME, regulatory toxicology) and clinical studies, the detailed design of the Phase IIb study, and the global development plan was discussed with the EMA and the FDA in the first half of 2012. Following the favorable opinion of the EMA and the FDA, the protocol for the pivotal Phase IIb study was submitted to the appropriate regulatory authorities. This study, GFT505-212-7, is one of the largest interventional studies ever conducted in NASH. A total of 75 to 80 centers of clinical excellence in the United States and in multiple European countries will participate in the study and recruit a total of 270 patients. Approval for the study was received from the FDA in August 2012, and successively from the European health agencies in Belgium, Germany, UK, Italy, Spain, Romania, France, and The Netherlands. Patient recruitment is ongoing in the US and in Europe, and the first patients have been under treatment since October 2012. In March 2013, more than 100 patients had already been recruited to the study.

« Today, the improvement of insulin sensitivity remains a major therapeutic objective in the
management of patients with the metabolic syndrome. The mechanistic study [GFT505-210-6] proves the insulin-sensitizing effect of GFT505. Combined with the beneficial effects of this new molecule on liver
enzymes, dyslipidemia, and inflammatory markers in such patients, there is no doubt that GFT505 is an ideal candidate for the management of global cardiovascular risk and liver diseases (NAFLD/NASH) in

NUCLEAR RECEPTORS & CIRCADIAN RHYTHM: TGFTX1 AND TGFTX3 PROGRAMS
Upstream of the GFT505 program, GENFIT applies its expertise in the biology and chemistry of nuclear receptors to advance the proprietary research programs TGFTX1 and TGFTX3. In the TGFTX1 program, GENFIT mainly targets the ROR t receptor, which is recognized as a major pathological player in the etiology of auto-immune diseases such as psoriasis and rheumatoid arthritis. The first TGFTX1 molecules developed by our chemists and active on ROR t have already shown beneficial effects in functional tests directly linked to the target pathologies. In the TGFTX3 program, GENFIT develops new proprietary compounds that activate the nuclear receptor Rev-Erb , a key player in the regulation of circadian rhythm. This internal clock system enables the body to modulate its metabolic, hormonal, and locomotor activity according to daily environmental changes, and influences multiple physiological mechanisms, including metabolism, blood pressure, body temperature, and the sleep/wake cycle. Due to the role of Rev-Erb in this biological clock, the modulation of its activity is a potential treatment for numerous pathologies, such as metabolic diseases including diabetes, certain inflammatory diseases, but also behavioral and mood problems such as bipolar disorder. Amongst this wide range of potential therapeutic indications, GENFIT has notably demonstrated the pharmacological activity of original synthetic Rev-Erb ligands on the regulation of glucose metabolism using in vivo models of diabetes. These results have led to the filing of an international patent application for these families of candidate molecules.

RECEPTEURS NUCLEAIRES : PROGRAMMES TGFTX1 ET TGFTX3
[Sommaire – Summary]
Autres Programmes Thérapeutiques & Diagnostiques Other Therapeutics & Diagnostics Programs
PROGRAMME IT-DIAB IT-DIAB PROGRAM
IT-Diab is a transversal research initiative dedicated to the discovery of new diagnostic and therapeutic solutions for prediabetes and the early stages of Type 2 diabetes. For the specific needs of this program, GENFIT has established a mixed public-private consortium, of which it is the leader, in collaboration with three industrial and seven academic partners. As the only R&D company within the consortium, GENFIT plays a central role in the industrial valorization of this program. Within this program focused specifically on the pathophysiological mechanisms of insulin resistance and pancreatic β–cell failure, the specific recruitment of more than 500 patients followed longitudinally over 5 years provides GENFIT with access to clinical samples representing the different stages of prediabetes and diabetes, and enables the evolution of the disease to be followed over time, thus allowing the identification of new therapeutic and diagnostic targets. GENFIT is responsible for setting up all the key steps of validation of biomarkers, targets, compound identification, and pre-clinical and clinical development.

[Sommaire – Summary]
PROGRAMMES BIOMARQUEURS
BIOMARKER PROGRAMS
GENFIT also conducts research aimed at identifying and validating new biomarkers, with a particular focus on NASH. The current lack of specific diagnostic tools and appropriate (patho)physiological markers is a considerable challenge for the detection and early management of cardiometabolic diseases. There is thus a real need to develop new biomarkers that enable the identification and stratification of diseased or at-risk populations, and that improve treatment follow-up. In NASH, there is a particular need for new biomarkers or algorithms capable of completing the existing limited arsenal, since hepatic biopsy is currently the only examination available to confirm the diagnosis. In this context, GENFIT benefits from its rodent models and cohorts of patients at varying stages of NASH, that will enable the development of companion tests and ultimately of true diagnostic tools through a dedicated partnership.
Programmes Collaboratifs Partnership Programs
GENFIT PARTAGE DES PROGRAMMES DE R&D AVEC L’INDUSTRIE PHARMACEUTIQUE DEPUIS SA CREATION
GENFIT SHARES ITS R&D PROGRAMS WITH THE PHARMACEUTICAL INDUSTRY SINCE ITS CREATION
Since its creation, GENFIT leads R&D programs in partnership with pharmaceutical companies, most often at its own initiative and following proposals of innovative research domains. GENFIT’s industrial collaborations illustrate the attractiveness and the performance of its research engine, as well as its innovative capabilities. These collaborations also help to further strengthen GENFIT’s assets, by providing valuable insight into the R&D strategies of major pharmaceutical laboratories. Since 1999, GENFIT has thus conducted multiple long-term collaborative research contracts, mainly in the following areas: The identification and validation of new pharmacological targets, followed by the development of high-throughput screening tests, The profiling of compounds in the hit-to-lead phase, and the identification of the mechanism of action of novel compounds. In the case of Sanofi-Aventis (now Sanofi) and Solvay (now Abbott), drug candidates resulting from these partnerships have been developed up to Phase I clinical trials. These collaborations are based on a risk-sharing aspect, whereby GENFIT receives annual payments and is eligible for milestone payments throughout the development and commercialization of resulting molecules.

GENFIT ALSO PROPOSES HEALTH RESEARCH SERVICES FOR MULTIPLE INDUSTRIALS
As part of its fees-for-services package, GENFIT receives direct payments for projects that are carried out on behalf of biotechs, and pharmaceutical, nutraceutical and cosmetic companies. Often more short-term, this type of program benefits from GENFIT’s specific know-how that is applied to studies whose design is adapted to the needs of the client. In this context, GENFIT has carried out studies for companies such as Pfizer, Otsuka, Roche, and Lesaffre, with the specific aim of better characterizing drug candidates under development or nutraceuticals, or of identifying the mechanism of action of such compounds.
13 YEARS OF SUCCESSFUL PARTNERSHIP WITH SANOFI
Partnership Programs
13 ANNÉES DE PARTENARIATS FRUCTUEUX AVEC The first collaboration contracts with Sanofi date back to GENFIT’s creation in 1999, and the Company has maintained this industrial alliance for the past 13 years. In view of the positive results obtained during the previous research programs, Sanofi and GENFIT decided in 2011 to extend and reinforce this long standing alliance with the aim of identifying molecules capable of addressing the mitochondrial dysfunction associated with certain pathologies including metabolic diseases. Within this new collaboration, based on a risk-sharing concept that illustrates the strong commitment of both partners, GENFIT receives annual payments to support its research throughout the program, as well as milestone payments according to the progress of the development of compounds resulting from the collaboration. GENFIT is also eligible for royalties on future sales of co-developed drug candidates. A first major scientific milestone was successfully achieved in early 2012, resulting in the first milestone payment. In January 2013, a second scientific milestone was achieved, and a further milestone payment received as part of the total of up to €39 M that GENFIT could potentially receive before the market authorization of medicines resulting from this collaboration.
