1 You are considered Active if you maintain at least 60PV (Personal Volume) worth of product orders during the Rolling 28-Day Period if you are “Paid As” Distributor through Gold. You are considered Active if you maintain at least 120PV worth of product orders during the Rolling 28-Day Period if you are “Paid As” Executive through Triple Platinum Executive.

2 You are considered Qualified if you are Active and have at least two (2) Active distributors in your Personal Enrollment Tree.

3 You have two (2) Legs in your cPRIME™ organization, referred to as left and right. Some ranks and bonuses require a total amount of volume from the lesser of these two (2) Legs. Your lesser leg can vary from time to time.

4 When tallying your Qualified C-500 Legs, you must meet the required number of separate Personal Enrollment Tree Legs with at least one (1) distributor paid as a C-500 Rank or above in each Leg (See Personal Enrollment Tree Leg definition).

5 In order to meet the Consecutive Bonus Periods requirement, you must meet the rank requirements for the specified number of consecutive Bonus Periods before you can achieve that rank.

6 Starting at Diamond Rank, when meeting the requirement for Personal Enrollment Tree Volume, no more than 50% of that volume can count from any one Personal Enrollment Tree Leg. For example, as a Double Diamond, you need 40,000 BV from your Personal Enrollment Tree, and no more than 20,000 BV can come from any one Personal Enrollment Tree Leg.

7 Starting at Double Platinum Rank, when meeting the requirement for Personal Enrollment Tree Volume, no more than one third (1/3) of the Personal Enrollment Tree Volume requirement can count from any one Personal Enrollment Tree Leg. For example, as a Triple Platinum, 240,000 BV from your Personal Enrollment Tree, and no more than 80,000 BV can come from any one Personal Enrollment Tree Leg.

2. FIRST ORDER BONUS (FOB)

You will earn a one-time FOB equal to 10% of the first order placed by your personally enrolled distributors.

Example - if you enroll a new distributor with a product subtotal of $200 dollars, you will earn a $20 FOB.

You are required to be Active but are not required to be Qualified in order to earn the First Order Bonus.

*First Order Bonuses do not apply to c3 Packages. See c3 Bonus below.

1. DIRECT SALES & RETAIL BONUS

Selling cPRIME products directly to your customers is the core principal cPRIME is built on. Face-to-face retail sales allow you to earn income by purchasing cPRIME products at a discounted wholesale price and then re-selling them at a retail price of your choosing. Additionally, you can earn immediate Retail Bonuses when a customer purchases cPRIME products from your replicated website. You earn the difference between the retail and 30% wholesale price from sales made through your replicated website.

3. C3 BONUS

You will earn a 25% commission on personally sponsored distributors who purchase one of the c3 Packs.

Example - if you enroll a new distributor that purchases a c3 Pack, you will earn 25% of the $154 dollar subtotal = $38.50.

You will earn an additional 25% c3 Bonus when you enroll the third personally enrolled distributor within a 28 day period. See example.

You can earn the c3 Bonus an unlimited amount of times as long as you are Active at 60 PV.

The c3 Bonus takes the place of the First Order Bonus. You are required to be Active and Qualified in order to earn the 50% c3 Bonus.

4. BULK-ORDER BONUS

You can earn a one-time Bulk Order Bonus (BOB) on all eligible bulk orders placed by your personally enrolled distributors. For an order to be considered a bulk order it must have a retail value of at least $5,000.

You are required to be Active but are not required to be Qualified in order to earn a Bulk Order Bonus.

- cPRIME’s Policies & Procedures require 70% of product purchases to be used or sold prior to making another purchase.

- The Policies & Procedures also require distrbutors to keep a detailed account of all retail sales made, which should include a copy of the Retail Sales Receipt. See Section 10.15 of the Policies & Procedures for more information.

- A Bulk Order Agreement must be completed and submitted to the company prior to placing a Bulk Order.

5. DUAL-TEAM COMMISSIONS

Depending on your Activity level, you earn Dual-Team Commissions equal to 5%, 6%, or 7.5% of the matched Bonus Volume in both legs, which equates to 10%, 12%, or 15% of the Bonus Volume in your Lesser Leg. You must be Active and Qualified and have a minimum of 200 BV in each of your Binary Legs to earn Dual-Team Commissions.

For example, if you are Active at 60 PV, Qualified, and have 200 BV in your right leg and 500 BV in your left leg, you will earn a Dual-Team Commission equal to 10% of the Lesser Leg volume (or 5% of the matched BV in both legs) = $20.

Any Bonus Volume in either leg that is used to pay Dual-Team Commissions will be removed from both Binary Legs. Unused volume will carry forward to the next Bonus Period and continue to accumulate as long as you remain Active with at least 60 PV.

You can earn up to but not exceed $10,000 in Dual-Team Commissions per bonus period.

- Generations end when a distributor paid at the Silver Rank or above is encountered.- Distributors paid as a Silver or above will always be able to earn a Matching Bonus against the earned Dual-Team Commissions of their personally enrolled distributors, and may be able to earn Matching Bonuses further down the personal enrollment tree based on their “Paid As” Rank.

- Distributors are required to be Active and Qualified, and be paid as a Silver Rank or above to earn Matching Bonuses.

6. MATCHING BONUS

Distributors that are paid at the Silver Rank and above are eligible to earn Matching Bonuses against the first $3,000 of Dual-Team Commissions earned by Distributors in their Personal Enrollment Tree.

7. LIFESTYLE BONUS

Distributors paid as at least a Double Diamond Executive or above are eligible to earn a Lifestyle Bonus of $100 to $600 per Bonus Period.

Distributors are required to be Active with at least 180PV, be Qualified, and be paid at least as a Double Diamond Executive or above in order to earn Lifestyle Bonuses. The above bonuses are broken into weekly installments and paid out each week as a Distributor achieves the associated paid as rank.

8. LEADERSHIP POOLS

Distributors that are paid as a Platinum Executive can earn one (1) share, a Double Platinum Executive can earn two (2) shares in the Platinum Executive Pool.

Distributors that are paid as a Triple Platinum Executive can keep their two (2) shares in the Platinum Executive Pool and earn one (1) share in the Triple Platinum Executive Pool.

Each pool is worth 1% of the total Company Bonus Volume (BV) for that bonus period.

Distributors are required to be Active with at least 180PV, be Qualified and be paid as at least a Platinum Executive or above in order to earn shares in the Leadership Pools.

Rank payout limitations are applied after the Overall Payout Caps have been applied.

OVERALL PAYOUT CAP All payouts are limited to 50% of the Total Company Bonus Volume for the current Bonus Period. If the bonus payouts exceed 50% of the total company Bonus Volume, then Matching Bonuses will be reduced pro-rata by the necessary amount in order to stay at the 50% payout cap. As a result, if the 50% payout cap is exceeded, Distributors eligible for matching Bonuses, will be paid less than when the 50% payout cap is not exceeded.

When distributors in your Binary Tree sell product to their customers, you earn BV. Earn a bonus of 5%, 6%, or 7.5% of the BV in your Lesser Leg, and another bonus of 5%, 6%, or 7.5% of the BV in your greater leg.

- Be Active and Qualified.- Have at least 200 BV in each Binary Leg.- Be Active at 120 PV and have at least 3,000 BV in each Binary Leg to earn 12%. - Be Active at 180 PV and have at least 5,000 BV in each Binary Leg to earn 15%.

6 Matching Bonus Matches the first $3,000 of Dual-Team Commissions paid to distributors in your Personal Enrollment Tree, and is paid out depending on the number of generations you are eligible for.

- Be Active and Qualified.- Be “Paid As” Silver or above.

7 Lifestyle Bonus Earn up to $600 per Bonus Period. - Be Active with at least 180 PV.- Be Qualfied and- Be “Paid As” a Double Diamond or above.

8 Leadership Pools Pays a pro-rata bonus from pools equal to 2% of the total Company Bonus Vol-ume per Bonus Period. Pool shares are based on your “Paid As” rank.

SECTION 3: TERMINOLOGY

TERMINOLOGY

ActiveDistributors are considered Active as long as they maintain at least 60PV (Personal Volume) worth of product orders during the Rolling 28-Day Order Period (see Rolling 28-Day Period for more information).

Some ranks and bonuses may require 60PV, 120PV or 180PV. This required volume can come from autoship orders, personal orders, and/or the volume from orders placed by personally enrolled Retail Customers (replicated website sales).

AutoshipAutoship lets you set up an order to be automaticallypurchased and shipped on a repeating basis. Note: Autoship is set up on a 28-day cycle, not on a calendar month. See Rolling 28-Day Period.

Binary VolumeBinary volumes are calculated using the following: 1. Bonus Volume from Distributor orders that are placed

in the Binary Tree below you during the current Bonus Period.

2. Bonus Volume from orders placed during the current bonus period by Retail Customers sponsored by Distributors directly in your Binary Tree Downline.

3. Carry forward Bonus Volume (CFBV) accumulated from previous Bonus Periods.

4. Rollover volume

Bonus PeriodBonus Periods are weekly beginning each Monday at 12:01AM Central Time and ending on Sunday at 11:59PM Central Time. The commissions and bonuses you receive will be calculated based on activities during a given weekly Bonus Period.

Bonus Volume (BV) Each item ordered is worth a certain Bonus Volume. You and your Downline must meet certain Bonus Volume requirements in each Bonus Period to acheive higher Ranks.

Bulk Order BonusYou can earn a Bulk Order Bonus (BOB) when one of your personally enrolled distributors makes a Bulk Order purchase. An order is considered to be a Bulk Order if the total Retail Value exceeds $5,000.

You are required to be Active, but are not required to be Qualified to earn Bulk Order Bonuses

Carry Forward Bonus Volume (CFBV)Distributors can accumulate volume from their left and right Binary Tree Legs and carry that volume into future Bonus Periods. Any volume that is used to pay out Dual-Team bonuses will be removed and is not carried forward. Carry Forward Bonus Volume will only be flushed if the Distributor is considered inactive for any Bonus Period or reaches the non-enroller Bonus Volume caps as detailed below.

c3 BonusWhen you enroll a new distributor who purchases a c3 Pack, you will earn a 25% c3 Bonus. If you enroll 3 new distributors within 28 days, you will earn a 50% c3 Bonus.

Commissions and BonusesCommissions and bonuses are the monies you receive from the sale of product from the cPRIME™ business model as you progress in rank and expand your organization.

Direct SalesDirect Sales are face-to-face sales made to your customers. You can earn income from direct sales by buying product at the wholesale price and selling it a a price of your choosing.

DownlineIs comprised of every Distributor below you in the Binary Tree, including all Distributors in your Personal Enrollment Tree.

Dual-Team CommissionSee Dual-Team Commission details on page 6.

First Order Bous (FOB)You will earn a 10% FOB on the initial order placed by your personally enrolled distributors. FOB’s do not apply to c3 Packs. See c3 Bonus

GenerationsYour Personally-Enrolled Tree is divided into Generations. A Generation cuts off when a Distributor in your Personal Enrolled Tree achieves the rank of Silver. Any distributor between you and the first distributor that has achieved the rank of Silver would be in your first generation. All distributors in your Personally Enrolled Tree between the Silver and the next Silver would be your second generation in that line of sponsorship and so on.

LegsIn the cPRIME Compensation Plan you have two kinds of legs: Binary Legs and Personal Enrollment Tree Legs.

Binary Legs refer to your Placement Tree structure and are used when calculating Dual-Team Bonuses.

Personal Enrollment Tree Legs refer to your sponsorship tree and are used when calculating Matching Bonuses.

Lesser-Leg VolumeThis is the volume of the lesser of your two (2) Binary Legs.

LevelYour Downline is divided into levels. The two (2) distributors directly beneath you are Level 1. The four (4) below them are Level 2. And so on.

Matching BonusSee Matching Bonus details on page 7

Personal Enrollment TreeYour Personal Enrollement Tree includes the Distributors you directly sponsor, as well as those sponsored by them, and so on. This does not include Distributors placed below you by your upline.

Personal Enrollment Tree VolumePersonal Enrollment Tree Volume is the BV generated by Distributors and Retail Customers you directly sponsor, and Distributors and Retail Customers they directly sponsor, and so on.

Personal Volume (PV)Personal Volume is volume generated from personal purchases and/or purchases made by your Retail Customers through your replicated website.

QualifiedYou are considered Qualified if you are Active and have at least two (2) distributors in your Personal Enrollment Tree who are Active. See Active and Personal Enrollment Tree

“Paid As” rank is the Rank at which you were paid during the last Bonus Period.

Retail BonusYou earn a Retail Bonus for each order placed through your replicated website by one of your Retail Customers.

Retail Customer VolumeRetail Customer Volume is BV generated by Retail Customers in your Downline. This does not include volume generated by your personally sponsored Retail Customers.

SECTION 3: TERMINOLOGY

Overflow VolumeAny amount of Personal Volume over 180 and up to 500 maximum per Bonus Period (whether from Personal order Retail Customer orders) will be added to your lesser leg and be used for Rank requirements and Dual-Team Bonus payouts.

Rolling 28-Day PeriodA Rolling 28-Day Period consists of four (4) consecutive Bonus Periods. It begins on the first day of the Bonus Period in which you become Active and continues for the next three (3) Bonus Periods. Please refer to the cPRIME Rolling 28-Day Calender.

SponsorYour Sponsor is the distributor who directly enrolled you. Likewise, you are the Sponsor off all distributors and Retail Customers that you directly enroll.

UplineYour Upline refers to anyone above you in the Binary Tree. This includes your Sponsor, and their Sponsor, etc.

Wholesale PriceThe Wholesale Price is 30% off of the Company’s Suggested Retail Price. You receive the wholesale price by enrolling as a Distributor.
