Dear Sirs, The Corporation Bank, which is a leading public sector Bank has proposed to build "A Training Academy, IT units, Administrative and other office units" at Hardware park Industrial area, Huvinayakanahalli, Bangalore North which is located at about 40km away from Bangalore city towards Bangalore International Airport. MECON limited, Bangalore has been entrusted by Corporation Bank as an “Executing Agency”, which in turn shall include its duly authorized representatives and assignees, wishes to appoint an Architect consultant for "Development of Bank’s Owned Properties at Bangalore". It is proposed to engage one of the best Architect Consultancy firm for comprehensive planning, designing and assisting for execution of the proposed project at Bangalore, by strictly adhering to the well laid down procedures and CVC guidelines of Govt. of India for the procurement of proposed services.

We have pleasure in enclosing the following Tender Documents and invite you to submit your best binding offers: i) Annexure – I - General condition of contract (GCC) ii) Annexure – II - Technical Specification. iii) Annexure – III - Price Format. iv) Annexure – IV - Format for Declaration of No Deviations. v) Annexure – V - Format for Earnest Money Deposit Bank Guarantee (EMD). vi) Annexure – VI - Format for Security Deposit Bank Guarantee. vii) Annexure - V II - Format for Integrity pact viii) Annexure - V III - Declaration by Tenderer 1.0 SCOPE OF WORK 1.1 The scope of work for the tender is providing Architectural Consultancy and

detailed engineering services for Infrastructure development which consists of Civil, Structural, Electrical, Instrumentation & Communication, HVAC, Plumbing and Sanitary works, Interior, Furnishings, Fire fighting and other allied activities. The scope of works includes but not limited to the following activities:

i) Planning, designing and support services during post tender activities of the project

based on requirements/ specifications of MECON. The Architect Consultant shall also monitor the work executed as per the drawings and other details agreed by MECON/ Employer (as "Good for construction / Execution" and other details). The Architect Consultant shall be responsible for getting local body approvals that are necessarily to be obtained as per local body rules and the construction shall be made in accordance with the approved plan and as per the requirements/ specifications of the Executing Agency.

ii) Deploy manpower on continuous full time basis to look after day to day work during

the entire duration of the project.

iii) Prepare preliminary estimates of cost of the various items of work, as required by MECON, on CPWD plinth area rates (where ever applicable) enhanced by the cost index of the area and market rate, analysis for items which are not included in CPWD, to be worked out as per other standard norms/ methods and to be approved by MECON.

iv) Prepare Tender Documents comprising of Technical Specification, Bill of Quantities, General Terms and Conditions, Special Conditions etc for inviting tenders.

v) Assist MECON to invite, receive and analyze tenders, be present to clarify

issues in the pre-bid meetings etc.

vi) Assist MECON on prequalification of agencies, and award of work to contractors.

vii) Assist MECON in ensuring compliance with the guide-lines of C.V.C/ C.T.E./ Independent External Monitors (IEMs) appointed under Integrity pact, in procurement activities for employing Contractors, Vendors, Suppliers for the Project and in the planning and execution of the Project. In case of any observations/ Comments/ defects pointed out by C.T.E./C.V.C./ Independent External Monitors (IEMs), assist MECON in preparation of suitable replies and taking corrective action, if required.

viii) Assist and monitor timely completion of the project, the quality of work as per tender specifications and also the structural safety during and after completion of the project

ix) Responsible for proper structure, design, specifications and workmanship. The

Buildings to be developed should comply with modern standards of Building Construction and have to be complying preferably with five star but minimum three star GRIHA rating. They should be designed such that natural resources are utilized to the maximum possible extent and solar power generation is to be included as one of the power supplying resource. Drawings, Plans and Designs shall be prepared in accordance with the Statutory Requirements, preferably with five star but minimum three star GRIHA Buildings standards, Bureau of Indian Standards, Bureau of Energy Efficiency, Indian Electricity Rules, Act, State Electricity Authority Rules & Regulations etc (including carrying out necessary revisions till the same is finally approved by MECON).

x) Assist and support in any suit or arbitration cases arising out of the project in

connection with the work executed by its Contractor(s). The Architect Consultant shall be liable for and shall indemnify MECON against any expense, liability, loss, claim or proceedings whatsoever arising under any statutory or at common law in respect of personal injury or death of any person or damage to property arising out of or in course of or caused by during the execution of works.

xi) Provide guidance to MECON regarding any subsidy, discounts and refund from the

Applicable Authorities particularly for non-renewable energy sources and to assist MECON in obtaining it through proper channels.

xii) On completion of the work/satisfactory functioning of the service system and certification of completion/satisfactory commissioning, submit `as built' drawings with relevant calculations and specifications of the design/engineering for the records of MECON.

xiii) Obtaining Completion Certificate and Occupancy Certificate. The project shall be

deemed to have been completed only when these are obtained from the local body/bodies and handed over to MECON.

1.2 The detailed scope of work of the tender shall be as given in the Technical Specification (Annexure-II).

2.0 Eligibility Criteria:

2.1 Tenderer should be a firm/ company as per relevant norms and acts of firms / company registrations, set out by the Government. Tenderer should be registered with Council of Architecture.

2.2 Tenderer should have successfully executed project for providing Architectural Consultancy and Detailed Engineering services etc. for similar work(s) during the last seven (7) years ending last day of the month previous to the one in which tenders are invited as under:

a) One similar completed project cost not less than Rs. 176 CRORES.

OR b) Two similar completed project cost not less than Rs. 110 CRORES - each

c) Three similar completed project cost not less than Rs. 88 CRORES - each.

Definition of similar nature of works: Similar nature of works shall mean multistoried RCC structure for Official and Academic Buildings with all required services within the building and within the site including Civil, Structural, electrical, Instrumentation & Communication, HVAC, Plumbing and Sanitary works, Interior, Furnishings, Fire fighting and other allied activities. Tenderer shall submit suitable supporting documents as a proof of work executed like Work order / Agreements and Client certificate/ Completion certificate/ Certified final bill or any other documents indicating the description of works, starting and completion date of the works.

2.3 The Tenderer shall have average annual turnover of at least Rs. 2,70,00,000/-

during the last three (3) financial years i.e. 2012-13, 2013-14 and 2014-15. The Tenderer shall submit audited annual financial reports/ Chartered Accountant’s certificate for the financial years 2012-13, 2013-14 and 2014-15 in support of their meeting the stipulated financial requirements.

2.4 Necessary supporting documents with sufficient information shall be furnished by

the tenderer.

3.0 Pre Bid Meeting 3.1 Pre Bid Meeting will be held at MECON Limited, Bangalore on the date indicated in

the NIT. The bidder or his authorised representative (s) (limited to two persons only) is advised to attend the pre-bid meeting as per details given in Notice Inviting Tender. The purpose of the meeting will be to clarify and to answer questions on any matter that may be raised at that stage by the bidders.

3.2 The bidder is requested to submit any queries /clarifications / information pertaining

to the bidding document in writing delivered by hand or email or by fax so as to reach MECON Bangalore Office not later than the date specified in the Notice Inviting Tender.

3.3 The Owners response to the bidders’ queries /clarifications/information will be

furnished as expeditiously as possible to all who have purchased the bidding document / to those who have downloaded the document. Any modification of the bidding document which may become necessary as a result of the pre-bid meeting/ conference shall be sent to all bidders through the issue of an Addendum/ Amendment.

4.0 SUBMISSION OF TENDER

4.1 Tender shall be prepared and submitted in one SEALED ENVELOPE containing

two individually sealed envelopes inside as follows: Envelope 1 - PART - I (In Three Copies) This part shall contain Demand Draft / Banker’s Cheque payable at par at

Bangalore towards cost of tender document in favour of MECON Limited, Earnest Money Deposit in the form of BG / Demand Draft in favour of MECON Limited, Bangalore, Complete techno-commercial bid in 3 sets (1 original + 2 copies) and a photocopy of Price Part after blanking the actual rate offered and written “QUOTED” (In MECON’s Price schedule format only). The cost of tender documents shall be (non-refundable).

Tenderer shall strictly ensure that this part does not contain any Price at all.

Tenderers shall submit their Price bid and the Un-priced copy of Price schedule strictly as per the Price Schedule Format (Annexure-III) provided along with MECON’s tender document and it is hereby suggested not to generate their own Price Format. Further, any foot notes, remarks etc. appearing in the PRICE BID should necessarily appear in the Un-priced copy of the PRICE BID and that there shall be no change or addition / deletion except for filling-up of the actual offer / prices in the Price Part submitted in Part – II, as compared to the photocopy of this part submitted with Part– I. Any additions, noting / super scriptions made in Part – II will make the whole offer liable for rejection.  

  Tenderer must ensure that they are indicating their rate in the PRICE BID, failing which their offer may be liable to be rejected. Tenderer shall submit price format duly signed & stamped.

In general NO DEVIATION shall be accepted. Deviation to the Technical Specification / Commercial terms, if any, is to be spelt out separately.

 

  Envelope 2 - PART – II PRICE PART ONLY    

This shall be marked as PRICE BID and shall contain PRICE part indicating

incidence of tax if any as per MECON's price format without any terms & conditions attached.

A covering letter indicating clearly the details of Tender shall be submitted

describing the contents inside the main sealed envelope as mentioned above. Tender shall be sent duly sealed indicating Tender No., Description and Due date of opening written on the main envelope. The envelope containing the Price Part should clearly be marked as ‘Envelope 2 – Part II – Price Part only – ‘DO NOT OPEN’. Tender No., Description, Technical Specification No. and due date shall also be clearly mentioned on the Envelope in Bold Letter. Any Tender with Price Part received in open condition shall be liable to be rejected.

Bidder’s quoted rate (Percentage) shall be is inclusive of all applicable taxes, duties & levies, etc., but excluding service tax. Bidder shall not mention taxes, duties & levies extra or extra as applicable. Before quoting, the Bidders are advised to inspect the site of work and its environments and be well acquainted with the actual working and other prevailing conditions, position of materials and labour. Conditional and unsigned tenders, tenders containing absurd rates, tenders which are incomplete or otherwise considered defective, tenders which are not in accordance with the tender conditions laid down in the Tender Documents and tenders not submitted in the prescribed forms are liable to be rejected. MECON takes no responsibility for delay / loss / non-receipt of bids. Bids sent by Fax / E-mail will not be accepted. Insertion, post-script, addition and alteration shall not be recognised unless confirmed by Bidder's signature and stamp. Incomplete Tender or Tenders (not submitted as per requirement of MECON as indicated in the ‘Invitation to Tender’) shall be liable to be rejected.

 

4.2 The Tenders as submitted will consist of the following:

i) Cover letter of Tender detailing list of contents in the bid document being submitted by the tenderer.

ii) DD / Banker’s cheque payable at par at Bangalore towards cost of tender

document (Non – refundable)

iii) Bank Guarantee for Earnest Money Deposit shall be valid for at least 3 months beyond the date of validity of offer.

iv) Power of Attorney / Authorisation with the seal of the company of person signing the Tender document.

v) Integrity pact duly signed. vi) Copy of Technical specification duly signed & stamped on each page and

confirming acceptance of the specification.

vii) Documents as per Eligibility Criteria.

viii) Details of work of similar magnitude carried out by the Tenderer;

ix) Copy of PAN Card.

x) Copy of VAT and Service Tax Registration with Tax Authorities. xi) Any other technical information the Tenderer wishes to furnish;

xii) In general NO DEVIATION shall be accepted. Deviation to the Technical

Specification/Commercial terms, if any, to be spelt out separately.   

4.3 It shall be the responsibility of the Bidder to ensure that the tender has been submitted in the formats and as per the terms & conditions of the Tender Documents and no change should be made therein. In the event on any doubt regarding the terms & conditions / formats, the persons concerned may seek clarification in this regard from MECON. In case any tampering / unauthorised alteration is noticed in the tender submitted from the tender document available on MECON website and Central Public Procurement Portal (CPP Portal), the said tender shall be summarily rejected and MECON shall have no liability whatsoever in the matter. However, deviations if any, proposed by the Bidder may be separately indicated for acceptance or otherwise by MECON. Such deviation will not be treated as tampering for the purpose of application of the clause.

4.4 A complete set of Tender Document may be purchased by any prospective bidder from the office listed below on submission of a written application and payment of non-refundable fee by Demand Draft / Banker’s cheque drawn in favour of MECON Ltd payable at Bangalore towards cost of Tender Documents. 4.5 LANGUAGE The Tender shall be submitted in English language.

4.6 Joint Venture / Consortium

Only a maximum of 3 partners are allowed in a Joint Venture/ Consortium bids. However, for a joint venture or consortium the leader shall be Architect consultant.

The consortium partners shall ensure that the respective division of work and

responsibilities are clearly indicated for each partner and the collaboration agreement / consortium agreement or Memorandum of Understanding shall clearly specify the division of responsibilities between the partner and it shall specify that they are jointly and severally responsible and liable for due performance of the Works, if awarded.

5.0 INTEGRITY PACT 

MECON has entered in to an agreement with Transparency International India to maintain transparency in all procurements. MECON has also appointed External Independent Monitor to monitor the high value procurement. Considering the above, the attached copy of the Integrity Pact at Annexure- VII shall be executed by the bidders and submitted along with their offer. In case a bidder does not sign the Integrity Pact, his bid shall be liable for rejection.

6.0 CAPACITY OF THE TENDERER 6.1 TECHNICAL CAPACITY

The Bidder shall satisfy MECON that he possesses the necessary technical experience and qualification and that he has at his disposal suitable modern facilities and qualified personnel to ensure that he can undertake the work to the best of quality and workmanship. The Bidder shall furnish necessary particulars in this regard with the Bid. Necessary details in this connection as requested in the Technical Specification may also be furnished.

6.2 LEGAL CAPACITY

The Bidder shall satisfy MECON that he is competent and authorised to submit the Bid and / or to enter into a legally binding Contract with MECON. To this effect any person giving a Bid shall render documentary evidence that his signature, on the Bid submitted by him, is legally binding upon himself, his firm or company, as the case may be.

6.3 AUTHORITY OF PERSON SIGNING DOCUMENTS

A person signing the Bid form or any document forming part of the Contract on behalf of another shall be deemed to warrant that he has authority to bind such other and if on enquiry it appears that the person signing had no authority to do so, MECON may, without prejudice to other civil and criminal remedies, cancel the order and hold the signatory liable for all costs and damages.

7.0 OPENING OF BIDS BY PURCHASER 7.1 The Purchaser, i.e MECON LIMITED, shall open bids in the presence of Bidders or

their authorised representatives who chose to attend, on the specified date and time. The Bidder’s representatives, who are present, shall sign in an attendance register. Authority letter to this effect shall be submitted by the bidders before they are allowed to participate in bid opening. During techno-commercial bid opening, information related to only names of Bidders shall be read out.

7.2 A maximum of two representatives of any Bidders shall be authorised and permitted to attend the bid opening.

7.3 The date fixed for opening of bids, if subsequently declared as holiday by MECON, the revised date of opening will be notified. However, in absence of such notification, the bids will be opened on next working day, time and venue remaining unaltered.

7.4 The Bids will be opened in two stages i.e. the techno-commercial bid (Envelope – I) on the date of tender opening given in NIT and the price bids (Envelope - II) at a later date after evaluation of the techno-commercial bids. The date of opening of price bids will be communicated to the techno-commercially acceptable bidders.

7.5 Any query or grievance by a Bidder shall be addressed directly to DGM (Contracts).

Any query or grievance received upto one working day before the due date of Bid opening shall be considered by DGM (Contracts) who may at his discretion extend the due date of opening of Bid and thus revised date shall be intimated later on. Query or grievance received after the above date due date of opening of tender with respect to above shall not be entertained.

7.6 In case of non-receipt of competitive bids, the said bid opening may be suspended

and further extension of due date of submission of offer may be given or re-tendered, at the discretion of the Purchaser.

8.0 EARNEST MONEY DEPOSIT (EMD) 8.1 The Bid must be accompanied by Earnest Money Deposit (EMD) in the form of a

demand draft drawn on any Nationalised / Schedule Bank in favour of MECON LIMITED, or a Bank Guarantee (in prescribed proforma enclosed at Annexure-V from a Nationalised / Schedule Bank. The earnest money shall be kept deposited or the Bank Guarantee shall be kept valid (as the case may be) upto a period of Three months beyond the validity of the Bid. The earnest money will not earn any interest. If the Bidder after submitting his Bid resiles from his offer or modifies the terms and conditions thereof in a manner not acceptable to MECON, the Earnest Money / Bank Guarantee shall be liable to be forfeited / encashed. Bidders not accompanied by Earnest Money / Bank Guarantee shall be rejected.

8.2 On acceptance of the Bid (but not earlier than the expiry date of validity of Tender),

the Earnest Money / Bank Guarantee will be returned to the unsuccessful Bidders on request.

8.3 Should an Invitation to Tender be withdrawn or cancelled by MECON, which it shall

have the right to do at any time, the Earnest Money / Bank Guarantee will be returned to the Bidders.

8.4 Should the successful Bidder fail to furnish the Bank Guarantee for Security

Deposit within 21 days from the date of issue of Order, the Earnest Money / Bank Guarantee shall be forfeited / enforced without prejudice to his being liable for any further loss or damage incurred in consequence by MECON. The Earnest Money Bank Guarantee shall be suitably extended, if such a necessity arises, by the successful Bidder till the date fixed by MECON for furnishing the Security Deposit.

8.5 Earnest Money shall be returned to the successful Bidder after the Security

Deposit has been furnished to MECON. 9.0 COST OF THE TENDER DOCUMENT

9.1 The prospective Bidders are requested to purchase the complete set of tender

document including all relevant drawings from the office of DGM (Contracts), MECON Limited, Bangalore by submitting the Non – refundable fee towards cost of tender document, in favour of MECON Limited, payable at Bangalore for the purpose of preparation & submission of their tender.

9.2 The Bidder can also view / download the Tender Document from the website-

http://www.meconlimited.co.in or http://www.corpbank.com/tenders or http://eprocure.gov.in. In case the Bidder downloads the tender documents from MECON’s website as above, Bidder shall submit non-refundable fee towards cost of the Tender Document, along with their bid, as required as per tender conditions.

9.3 The Non-refundable fee towards cost of Tender documents shall be in the form of

Demand Draft / Banker’s Cheque from a Scheduled or Nationalized Indian Bank drawn in favour of “MECON Limited” payable at Par at Bangalore.

10.0 ARRANGEMENT OF TENDER 10.1 The Bid shall be neatly arranged, be plain and intelligible, type-written on white

paper with consecutively numbered pages in solid binding and each page signed. They should not contain any terms and conditions, printed or otherwise, which are not applicable to the Tender.

11.0 NO CLAIM OR COMPENSATION FOR SUBMISSION OF TENDER 11.1 The Bidder whose Bid is not accepted shall not be entitled to claim any costs,

charges, expenses of and incidental to or incurred by him through or in connection with his submission of Bid, even though MECON may elect to withdraw the Invitation to Tender.

12.0 EVALUATION METHODOLOGY 12.1 GENERAL 12.1.1 The Offers of the Tenderers meeting the Eligibility Criteria will be evaluated

further as per the evaluation methodology given below. 12.1.2 From the time the bids are opened to the time the contract is awarded, if any

party wishes to contact MECON on any matter related to its Bids, they should do so in writing at the address indicated in the Tender Document. Any effort by the firm to influence MECON in Bids evaluation, Bids comparison or contract award decisions may result in the rejection of the Bid.

12.1.3 A two-stage procedure will be adopted in evaluating the Bids: (i) a Technical

Evaluation, which will be carried out prior to opening any financial Bid; (ii) a Financial evaluation. Firms will be ranked using a combined technical/financial score, as indicated below:

12.2 Evaluation of Technical Bid 12.2.1 The Evaluation committee will carry out the evaluation Bids on the basis of their

responsiveness applying the evaluation criteria and scoring system. Each responsive Bids will be attributed a technical score (TS). A Bid to be considered unsuitable shall be rejected at this stage if it does not respond to important aspects of the Terms of Reference or if it fails to achieve the minimum technical score of 60 (Sixty). MECON shall notify such Tenderers of the rejection of their Technical Bids indicating that their Financial Bids will be returned unopened after completing the selection process.

12.2.2 The MECON shall simultaneously notify the Tenderers who have secured the

minimum qualifying marks of 60 or more, indicating the date and time set for opening the Financial Bids.

12.2.3 Criteria for Technical Evaluation

The Technical Bids will be evaluated on the basis of:

Only those Bidders who’s Technical Bids score (ST) is 60 marks or more out of 100, shall qualify for further consideration of opening Financial Bids.

12.3 Evaluation of Financial Bids 12.3.1 The Financial Bids of qualified parties shall be opened in the presence of the

Bidders’ Representatives who choose to attend. The name of the Bidder, the technical scores and the price quoted by the party shall be read aloud when the Financial Bids are opened.

12.3.2 The Evaluation committee shall determine whether the Financial Bids are

complete and without computational errors and arrive total financial price. Any discrepancy between the rates in figures and in words, lower of the two will govern.

12.3.3 The Lowest Financial Bid amongst all opened Financial Bids shall be given a

financial score of 100 marks. The financial score of Bids will be determined using the following formula:

FS = 100 x FL/ F Here FS is the financial score, FL is the Lowest Financial Bid among all, and F is the Financial Bid of the bidder.

12.4 Calculation of composite score (S)

12.4.1 For the purpose of calculation of composite score (S) for each Bid, the weightage shall be 70% for Technical Score (TS) and 30% for Financial Score (FS) of the respective bidder. The Composite Score shall be calculated using the following formula:

S = TS x 0.7 + FS x 0.3

12.4.2 The Bidder achieving the highest combined technical/financial score will be

considered for awarding the work.

12.4.3 In case of a tie at the top position between two or more applicants, preference shall

be given to the applicant who has a higher Technical Score (TS), and this applicant will be required to match the lowest price bid amongst those in the tie.

12.4.4 In case the applicant selected in a tie, as referred above, refuses to accept the

lowest price bid, the next applicant (in the order of merit list for technical Bids) shall be invited for the acceptance of the lowest price bid; and so on, till the lowest price bid is matched and an Architect gets selected for the project.

12.4.5 The selection above does not automatically confer any right whatsoever on any

bidder for award of whole of the work as described in the scope of services or part thereof.

12.4.6 The technical Bid as submitted by the successful applicant shall not be deemed to

be the final architectural design. As per mandate of this Tender, the successful Bidder(s), appointed as Architect, shall have to comply with the Scope of Services as outlined and develop and arrive to the satisfaction of the Executing Agency/ Employer and its approval thereof.

Notes:

- Bidder are requested to furnish copies of independent documents testifying to

their organizational strength, experience, and financial performance.

- Bidder shall provide sufficient information and valid proof for each parameter/ factor assigned for calculating the marks in the evaluation criteria including sufficient updated contact numbers of employers, owners or promoters of the projects. If in the opinion of the Committee, sufficient information and valid proof is not available about some parameter/factor during evaluation, zero (0) marks may be assigned to that parameter/factor.

- Information as sought is to be given by individual or each member of the

consortium including lead member separately as per the prescribed formats given in the tender document.

- Ongoing projects and/or virtual completion shall be considered for evaluation

only wherever clearly specified in the particular evaluation criterion.

- Gross Built-up Areas mentioned are for one single project unless stated otherwise in the particular evaluation criteria.

- Wherever sought, “experience” as on the due date for submission of bid shall

be considered for all purposes unless stated otherwise in the particular evaluation criteria.

- The Committee appointed by MECON at its sole discretion, shall have the right

to interpret various aspects of the evaluation criterion as it deems fit. The decision of the committee on such interpretation and awards of marks shall be final and binding. No reasons whatsoever shall be furnished regarding award of marks.

13.0 PRICE 13.1 The contract price for carrying out the entire scope of work is on percentage

basis. 13.2 The quoted percentage (rate) is inclusive of all charges towards manpower,

materials, labour, equipment, tools / tackles, transportation etc.

13.3 The quoted rate is inclusive of all taxes, duties, levies, including Works Contract Tax if applicable but excluding Service Tax, which shall be payable extra.

13.4 The contract price includes all costs for setting up an Office, mobilising and

demobilising necessary equipment, tools, tackles, testing etc. and deployment of personnel at site to complete the works within the stipulated time schedule.

13.5 The contract price is inclusive of all charges towards travel/ transportation, lodging

& boarding for the visits necessary to Bangalore / Mangalore and work site or any other place required to be visited for the said scope of work.

13.7 The quoted prices shall be firm and binding and shall not be subject to any

variation whatsoever on any account except statutory variations in taxes and duties, if any, which shall be reimbursed at actual on production of documentary proof.

14.0 TERMS OF PAYMENT

14.1 The total fees payable to the Architect Consultant in accordance with the scope of

services for Comprehensive Architectural Design for Permanent Campus as enunciated in this Tender shall consist of fixed percentages of ‘Actual Cost of works' as applicable.

14.2 Actual Cost of works As per the preliminary estimates, an approximate total cost of the above work

would be Rs 220 crores (Rupees Two Hundred Twenty Crores only) which includes civil works, interior furnishing works, plumbing and sanitary work, electrical works, Heat Ventilation and Air Conditioning (HVAC) works, Fire Safety works etc.

Initially the Actual Cost of works would be considered as Rs 220 crores (Rupees

Two Hundred Twenty Crores only) for the payment of the Architect Consultant. However, the cost and extent of construction of the projects may vary after

finalization of conceptualization, detailed design and estimate preparation by the Architect Consultant.

After approval of the estimate prepared based on the detailed design, the same

will be considered as the Actual Cost of works and the Payment schedule of the Architect Consultant will be based on the same.

Any excess/ less payment to the Architect Consultant with respect to the preliminary estimates will be adjusted in the subsequent bills payable to the Architect Consultant.

14.3 The following shall not be included in calculating the Development Cost above for

the purpose of computing the total fees payable:

i. The cost of land.

ii. Statutory payments such as fees, development charges, service connection deposits/charges, premiums etc. with any local authority/ statutory body/Government.

iii. Payment on account of arbitration award, if any

iv. MECON’s administrative expenses.

v. Fees paid/payable by MECON in terms of this Contract

vi. Executing Agency Charges.

14.4 The percentage fees as agreed under Contract shall remain fixed and valid for the

entire period of work (Till completion of work) with no condition for escalation whatsoever (excluding service tax and cess thereon, if any).

14.5 The fees shall be inclusive of all expenses (both direct and indirect) relating to the

performance of the Contract for the entire period of Contract except the official fees/charges relating to statutory approvals, payable to local bodies and other authorities, which shall be paid extra by the Executing Agency/ Employer. The contract price is excluding service tax and cess thereon, if any, which shall be payable extra as applicable.

14.6 The Architect consultant shall not be entitled to any payment or remuneration,

over and above the fees hereinbefore stipulated, on account of any delay caused by any reason, whatsoever.

14.7 Deductions on account of Income tax and other statutory provisions shall be made

by MECON, upon payment of fees or any other payments whatsoever to the Architect, as per prevalent rules / provisions.

14.8 The stage wise fees as prescribed below shall be payable within 30 days of

completion of the specified component of the work to the entire satisfaction of MECON and in accordance with the terms of Contract and the Scope of Services as enunciated in this document.

14.9 Out of pocket expenses: No out of pocket expenses shall be admissible. For short

stay of professionals/ staff of the Architects visiting Bangalore and Mangalore in connection with the performance of the Contract. All travel and touring, international, domestic, local, to site or for meetings, etc. by any means of transport are all deemed to be included in the fee and shall accordingly be borne by the Architect Consultant and their representatives directly.

14.10 All payments made by the Executing Agency to the Architect Consultant for any purpose whatsoever shall be in Indian Rupees only. Compliance with the foreign exchange regulation of India or any other country shall be the sole responsibility of the Applicant/Architect Consultant; and the Executing Agency shall in no way be involved directly or indirectly.

14.11 The estimated fee computed for the purpose of payment as a percentage of total

project cost in stages mentioned shall be subject to change according to the least cost determined. Payments of fees shall be computed on the approved cost of detailed estimate described, while all subsequent stage payments shall be computed according to the operative total project Cost with amounts based partly on estimates, tender or finished works, if they are lower than the approved cost of detailed estimate.

15.0 TAXES AND DUTIES 15.1 The quoted rates shall be inclusive of all applicable taxes and duties but excluding

Service Tax. Service Tax shall be payable extra. Statutory deduction on taxes and levies as applicable for this contract shall be recovered from your bills.

16.0 CONTRACT PERIOD 16.1 COMPLETION TIME 16.1.1 Time of completion is the essence of the contract. The Architect Consultant shall

complete the works in all respects within 32 months from the date of issue of the LOI.

16.2 DEFECT LIABILITY PERIOD Defect liability period shall be 12 months from the date of final acceptance of the

total works by the Executing Agency/ Employer. 17.0 PERIOD OF VALIDITY OF TENDER 17.1 Unless otherwise specified, the Tenderer shall keep his tender valid initially for a

period of 120 (One hundred and twenty) days from the due date for receipt of the tender.

18.0 SECURITY DEPOSIT 18.1 Within 30 days of award of contract, the Architect Consultant shall furnish Security

Deposit in the form of Demand Draft/ Bank Guarantee, from any of the Indian Nationalised / Scheduled Banks for an amount of 10% of the initial Architect consultancy cost. The Demand Draft/ Bank Guarantee shall be for the due and faithful performance of the contract and shall remain in full force and effective till completion of total scope of works including defect liability period.

19.0 CONFIDENTIALITY

19.1 Any information, details or data pertaining to this work/ study & report shall not be

disclosed to any other party or used for any other purpose without the prior approval by MECON.

20.0 GENERAL 20.1 All matters arising out of or relating to this Tender shall be governed by and

interpreted in accordance with the laws of India. 20.2 MECON reserves the right not to accept the lowest or any bid or cancel the tender,

without assigning any reason whatsoever. 20.3 All safety measures as required to be adopted as per the statutory regulations and

norms shall be strictly followed by the Architect Consultant during execution of the Contract.

20.4 MECON/ Employer will be in no way responsible for any injury or loss of whatever

nature caused, if any, to the Architect Consultant or his representatives, while rendering the services in the office premises

21.0 NO CLAIM OR COMPENSATION FOR SUBMISSION OF TENDER In the event the Tenderer’s bid is not accepted, the Tenderer shall not be entitled to

claim any costs, charges or expenses incidental to or incurred by him through or in connection with his submission of the bid, even though MECON may elect to withdraw the Notice Inviting Tender.

ANNEXURE-I GENERAL CONDITIONS OF CONTRACT

1.0 DEFINITION

As used herein and in any Contract documents, the following terms shall have the meaning described herein unless the context within which they are used clearly precludes such meaning.

1.1 CONTRACT DOCUMENTS

1.1.1 ‘CONTRACT DOCUMENTS’ shall mean and include the Invitation to Tender, Instructions to Tenderers, General conditions of Contract, Technical Specifications, Architect Consultant’s bid proposal, letters of clarifications, minutes of meeting, etc. between the Architect Consultant and the Executing Agency prior to award of contract and the acceptance of bid issued by the Executing Agency, all in respect of Design, Engineering and other services called by the specifications.

1.1.2 All drawings, specifications, data notices and other writings required under the contract

shall be in the English language. 1.1.3 The several documents forming the ‘Contract’ are to be taken as mutually explanatory of

one another but in case of ambiguities or discrepancies, the same shall be explained and adjudged by the Executing Agency, in consultation with the Architect Consultant and amicably decided in what manner the ‘Works’ are to be carried out.

1.1.4 The metric system of measurement shall be exclusively used under this ‘Contract’. 1.2 ‘Architect Consultant’ shall mean the person, firm or corporate body who quotes

against this enquiry and shall include his heirs, executors, administrators, legal representatives, Successors and permitted assigns.

1.3 ‘BID’ shall mean the formal quotation that the BIDDER submits proposing to perform the works covered by the invitation to Bid issued by the Executing Agency.

1.4 ‘SPECIFICATIONS’ shall mean collectively all the stipulations, scheduled, detailed designs, technical data/ details, performance requirements, characteristics, etc, pertaining to the works.

1.5 ‘LETTER OF INTENT’ shall mean the acceptance by the Executing Authority of the BID

submitted by the Architect Consultant and the authorisation thereof for execution of the work to be performed in accordance with the agreed terms.

1.6 ‘EFFECTIVE DATE OF CONTRACT shall mean the date issue of LOI.

1.7 "Employer" means Corporation Bank.

1.8 "Contract" means the Contract signed by the Parties, to which these Conditions of Contract are attached, together with all the documents listed in Appendices of such signed Contract.

1.9 "Applicable Law" means the laws and any other instruments having the force of law in India, as they may be issued and in force from time to time.

1.10 "Executing Agency" means ‘MECON LIMITED’ a public sector enterprise having its Regional office at 89, South End Road, Basavanagudi, Bangalore - 560 004, Karnataka State, India and shall include its lawful successors and assigns.

1.11 "GCC" means General Conditions of Contract.

1.12 "Party" means the Executing Agencyor the Architect Consultant(s), as the case may be, and Parties means both of them.

1.13 "Services" means the work to be performed by the Architect Consultant pursuant to this Contract, as described in the Technical Specification.

1.14 "Contract Price" means the charges to be paid for the performance of Services under this Contract.

1.15 "Personnel" means persons hired by the Architect Consultant(s) or by any Sub-consultant(s) as employees and assigned to the performance of the Services or any part thereof.

1.16 "Member", in case the Architect Consultants consist of a joint venture of more than one entity, means any of these entities, and "Members" means all these entities.

1.17 "Sub-consultant" means any entity to which the Architect Consultant subcontracts any part of the Services;

1.18 "Third Party" means any person or entity other than the Executing Agency, Employer, theArchitect Consultant or a Sub-consultant.

1.19 "Site" means the whole of the property belonging to the Employeron which the Serviceswill need to be performed.

1.20 "Month" shall mean a calendar month.

1.2 Relation between the Parties

Nothing contained herein shall be construed as establishing a relation of masterand servant or of agent and principal as between the Executing Agency and the ArchitectConsultant. The ArchitectConsultant, subject to this Contract, has complete charge of Personnel performing these services and shall be fully responsible for the Services performed by them or on theirbehalf hereunder.

1.3 Law Governing the Contractand Jurisdiction

The Contract shall be governed in accordance with the Law of India. The civil court having ordinary original jurisdiction over Bangalore shall have exclusive jurisdiction to try any matter arising out of this contract.

1.4 Language.

This Contract has been executed in English language, which shallbe the binding and controlling for all matters relating to the meaning or interpretation of this Contract.

1.5 Location

The Services shall be performed at the location specified in the Tender Documents and, where the location of a particular task is not so specified, at such locations shall be mutually discussed and agreed.

1.6 Notices

Any notice, request or consent required or permitted to be given or made pursuant to this Contract shall be in writing and shall be deemed to have been given or made when delivered in-person to an authorised representative of the Party to whom the communication is addressed, or when sent by registered post or e-mail to such Party at the address specified in the Tender Document.

1.7 Authority of Member in Charge

In case of Consortium offer, theArchitect Consultant shall be the Leader of the Consortium and he shall act on theirbehalf of the Consortium inexercising all the Consortium' right and obligations under thisContract, including without limitation the receiving of instructions and payments from theExecuting Authority.

1.8 Authorized Representatives

Any action required or permitted to be taken, and any document required orpermitted to be executed, under this Contract by the Executing Agency or the Architect Consultant may betaken or executed by the officials specified in the SCC.

1.9 Taxes and Duties

The quoted rates/ prices shall be inclusive of all applicable taxes and duties but excluding Service Tax. Service Tax shall be payable extra. Statutory deduction on taxes and levies as applicable for this contract shall be recovered from your bills.

2.1 Effectiveness of Contract

This Contract shall come into effect on the date the issue of Letter of Intent (LoI).

2.2 Commencement of Services

The Consultant shall begin carrying out the Services immediately at the start of the EffectiveDate.

2.3 Expiration of Contract

Unless terminated earlier pursuant to this contract, this Contract shallexpire when theServices have been completed in all respect at the end of such time period after theEffective Date as is specified in the Contract.

2.4 Entire Agreement

This Contract contains all covenants, stipulations and provisions agreed by theParties. No agent or representative of either Party has authority to make, and theParties shall not be bound by or be liable for, any statement, representation,promise or agreement not set forth herein.

2.5 Modification

Modification of the terms and conditions of this Contract, including anymodification of the scope of the Services or Contract Price, may only be made bywritten agreement between the Parties.

2.6 Force Majeure 2.6.1 'Force Majeure' means and includes any causewhich is beyond the control of

either of the parties inthe agreement which they could not foresee or with a reasonable amount ofdiligence could not have been foreseen and which substantially affects theperformance of the Contract such as:

a) Natural phenomena such as floods, droughts, earthquakes, epidemicsetc.; b) Acts of war - declared or undeclared, priorities and embargoes,quarantineetc.; c) Other phenomena such as riots, civil commotion, statewide / nationwide(but

not local)bandh etc.

2.6.2 Parties shall not be liable for the delays in performing their part of obligation(s)resulting from any 'Force Majeure' causes as referred to above. The time forcompletion of the contract shall, however, be extended by a reasonable time tocover the period of delay completely attributable to the Force Majeure events.

2.7 Termination 2.7.1 By the Executing Agency:The Executing Agency may terminate this Contract, by

not less than thirty (30) days' writtennotice of termination to the Architect Consultant, to be given after the occurrence of any of theevents specified in paragraphs (a) through (d) of this Clause GCC 2.7.1 and sixty (60)days in the case of event referred to in (e) below:

(a) if the Architect Consultant fails to remedy a failure in the performance of

their obligationsunder the Contract within thirty (30) days of receipt after being notified or withinsuch further period as the Executing Agency may have subsequently approved in writing;

(b) if the Architect Consultant become insolvent or bankrupt or enter into any

agreementswiththeir creditors for relief of debt or take- advantage of any law for the benefit ofdebtors or go into liquidation or receivership whether compulsory or voluntary;

(c) if the Architect Consultant submit to the Executing Agency a statement

which has a material effect onthe rights, obligation or interests of the Executing Agency and which the Consultants know to be false;

(d) if, as the result of Force Majeure, the Architect Consultant are unable to

perform a material portion of the Services for a period of not less than sixty (60) days; or

(e) if the Executing Agency in consultation with Employer, in its sole discretion

and for any reason whatsoever, decides toterminate this Contract.

2.7.2 By the Architect Consultant

The Architect Consultant may, by not less than thirty (30) days- written notice to the Executing Agency,such notice to be given after the occurrence of any of the events specified inparagraphs (a) and (b) of this Clause GCC 2.7.2, terminate this Contract:

(a) if the Executing Agency fails to pay any money due to the Consultant

pursuant to this contract and not subject to dispute pursuant to Clause 8 hereof within forty-five(45) days after receiving written notice from the Architect Consultant that such payment is overdue;

(b) if as a result of Force Majeure, the Consultant are unable to perform a

material portion of the Services for a period of not less than sixty (60) days. 2.7.3 Payment upon Termination

Upon termination of this Contract pursuant to GCC Clauses 2.7.1 or 2.7 .2 hereof theExecuting Agency shall make the following payments to the Consultant (after offsetting against these payments any amount that may be due from the Architect Consultant to the Employer):

(a) remuneration pursuant to Clause GCC 7.1 hereof for Services satisfactorily

performed prior to the effective date of termination; and (b) reimbursable expenditures pursuant to Clause GCC7.2 hereof for

expenditures actually incurred prior to the effective date of termination. 2.7.4 The Executing Agency shall not be liable to pay any bonus, damage or other

claims of the Architect Consultant for the loss of expected profit or interest in uncompleted portions of the work and services.

2.7.5 In the event, the contract is terminated due to reasons of unsatisfactory

performance negligence or inordinate delays in achieving the targets the Executing Agency shall be free to encash the Performance Bank Guarantee or forfeit the Earnest Money Deposit / Security Deposit fully or partially as may be decided by the Executing Agency.

2.7.6 In the event of termination of Contract, the Architect Consultant shall furnish to

the Executing Agency all the design, drawings, data, documents and details as are existing with him on that date.

3. SECURITY DEPOSIT 3.1 Within 30 days of award of contract, the Architect Consultant shall furnish Security

Deposit in the form of Demand Draft/ Bank Guarantee, from any of the Indian Nationalised / Scheduled Banks for an amount of 10% of the initial Architect consultancy cost. The Demand Draft/ Bank Guarantee shall be for the due and faithful performance of the contract and shall remain in full force and effective till completion of total scope of works including defect liability period.

4. OBLIGATIONS OF THE ARCHITECT CONSULTANT 4.1 General

(a) Standard of Performance

The Architect Consultant shall perform the Services and carry out their obligations hereunder with all due diligence, efficiency and economy, in accordance with generally accepted professional techniques and practices, and shall observe sound management practices, and employ appropriate advanced technology and safe and effective equipment machinery, materials and methods. The Architect Consultant shall always act, in respect of any matter relating to this Contract or to the Services, as faithful advisers to the Executing Agency/ Employer, and shall at all times support and safeguard the Employer’s legitimate interests in any dealings with sub-Consultant or Third Parties.

(b) Responsibility for Data & Designs

The final responsibility for the correctness, adequacy and accuracy of the designs, drawings, technical specifications, tenders documents, purchase specifications, installation instructions etc. furnished by the Architect Consultant, shall lie with the Architect Consultant. The Architect Consultant shall ensure that all designs and services rendered by him, under this Agreement, are in compliance with the existing statutory regulations of bodies such as BBMP, BDA, Electrical Inspector, Directorate of Explosive & Civil Aviation etc. Safety Council/any other Safety Authority. Inter-institutional coordination in the design & development of codes/software etc. shall also be the responsibility of the Architect Consultant.

4.2 Conflict of Interests

4.2.1 Architect Consultant not to benefit from Commissions, Discounts, etc.

(a) The remuneration of the Architect Consultant is indicated in the price schedule and the same shall constitute the Architect Consultant's sole remuneration in connection with this Contract or the Services, the Architect Consultant shall not accept for their own benefit any trade commission, discount or similar payment in connection with activities pursuant to this Contract or to the Services or in the discharge of their obligations hereunder, and the Architect Consultant shall use their best efforts to ensure that any Sub-consultant, as well as the Personnel and agents of either of them, similarly shall not receive any such additional remuneration.

(b) If the Architect Consultant, as part of the Services, have the responsibility of advising the Executing Agency on the procurement of goods or appointment of construction contractors, the ArchitectConsultant shall comply with any applicable procurement guidelines, work contract procedures etc. of the Executing Agency, CVC, CTE etc. and shall at all times exercise such responsibility in the best interest of the Executing Agency.

(c) The Architect Consultant shall not have the benefit either directly or

indirectly of any royalty or gratuity or commission in respect of any patented or protected article or process used unless it is mutually agreed.

4.2.3 Prohibition of Conflicting Activities

Neither the Architect Consultant nor their sub-Consultant nor the Personnel of either of them shall engage, either directly or indirectly, in any of the following activities: (a) during the term of this Contract, any business or professional activities

which would conflict with the activities assigned to them under this Contract; or

(b) after the termination of this Contract, such other activities as may be specified in the Contract.

4.3 Confidentiality

The Architect Consultant, his Sub-contractors and the Personnel of either of them shall not disclose any information and data furnished to him by Executing Agency to any third party nor shall disclose any drawings, reports, specification, manuals and other information developed and prepared for Executing Agency by the Consultant and his Sub-contractors and the Personnel of either of them, without prior written approval of Executing Agency.

4.4 Insurance to be taken out by the Architect Consultant

The Architect Consultant shall take Insurance and maintain, and shall cause any sub-Consultant to take out and maintain, at their (or the sub-Consultant', as the case may be) own cost but on terms and conditions approved by the Executing Agency. The Architect Consultant shall cover Executing Agency/Employer's liability compensation insurance for his or his sub consultant (if applicable) personnel in accordance with the provisions of relevant applicable laws. The risks and the coverage shall be as follows: (a) Executing Agency/Employer's liability and workers' compensation insurance

in respect of the Personnel of the Architect Consultant and of any sub-consultant, in accordance with the relevant provisions of the Applicable Law, as well as, with respect tosuch Personnel, any such life health accident, travel or other insurance asmay be appropriate; and

(b) Insurance against loss of or damage to (i) equipment purchased in wholeor in part with funds provided under this Contract, (ii) the Consultant'sproperty used in the performance of the Services, and (iii) any documentsprepared by the Consultant in the performance of the Services.

4.5 Architect Consultant's Actions requiring Executing Agency's prior Approval

The Architect Consultant shall obtain the Executing Agency’s prior approval in writing before taking any ofthe following actions: (a) Entering into a subcontract for the performance of any part of the Services it

being understood (i) that the selection of the sub-consultant and the terms and conditions of the subcontract shall have been approved in writing by the Executing Agency prior to the execution of the subcontract, and (ii) that the Architect Consultant shall remain fully liable for the performance of the Services by the sub-consultant and its Personnel pursuant tothis Contract; (iii) that the Executing Agency shall have access to the premises of the sub-consultant to the extent necessary to co-ordinate the Services performed by the sub-consultant and

(b) any other action that may be specified in the Contract.

4.6 Rectification of Errors, Omissions etc.

All errors and omissions in design, drawings, specifications, tenders, manuals etc. Furnished by the Architect Consultant shall be rectified by the Architect Consultant and should the error or omission be the result of fault and negligence on the part of the Consultant or his personnel, the Architect Consultant shall rectify the same at his own cost. Should such rectification be not carried out to its reasonable satisfaction, Executing Agency may at its discretion have such rectification done by any other Architect Consultant, and reasonable fee and disbursement of such other Architect Consultant shall be borne by the Architect Consultant

4.7 Reporting Obligations

The Architect Consultant shall submit to the Executing Agency the reports, documents and other deliverables specified in the tender document, in the form, in the numbers and within the time periods set forth in the contract.

4.8 Documents prepared by the Architect Consultant to be the Property of the Executing Agencyand Employer.

(a) All plans, drawings, specifications, designs, reports and other documents

prepared by the Architect Consultant in performing the Services shall become and remain the property of theEmployer, and the Consultant shall, not later than upon termination or expiration of this Contract, deliver all such documents to the Employer, together with a detailed inventory thereof. Employer reserves the right of repetitive use of these designs, drawings specifications etc. without any financial obligation to the Architect Consultant

(b) The Architect Consultant shall also return, along with the detailed inventory

thereof, all plans, drawings, specification, reports etc. made available by the Executing Agency for performing the Services, upon termination or expiration of the Contract.

(c) Copyrights and all proprietary rights of all design, drawings, specifications,

software, program, reports, formats, manuals, documents etc. developed and prepared by the Consultant for this assignment shall vest with the Executing Agencyand Employer and shall not usethese for any other purpose/assignment without the written permission of the Executing Agency and Employer. Any deviation to this effect will be dealt with in accordance with law.

4.9 Defect Liability

(a) The Architect Consultant shall carry out the services in conformity with generally accepted norms and sound engineering practices. Consultant shall be responsible for the technical soundness of the Services rendered by him. Should any defect or inadequacy occur in the work carried out or the service performed by the Architect Consultant prior to the date of final acceptance of the work by theExecuting Agencyand Employer, the Architect Consultant shall be under a legal obligation to perform, at his own initiatives and free of cost without any additional liability to the Executing Agencyand Employer, all such services as shall be deemed necessary to remedy such defects or inadequacy. The decision of the Executing Agency regarding 'defect or inadequacy' in the work so carried out and service rendered shall be final and binding.

(b). In the event of any deficiency noticed at any time up to 12 months from the date of final acceptance of the work by the Executing Agency/ Employer, the Consultant shall inter-alia promptly redo such design, engineering, analysis, inspection, site supervisory services etc. at no extra cost to the Executing Agency/ Employer.

(c) In case, despite the specific request by the Executing Agency/ Employer to

the Architect Consultant to rectify orremedy the defect or inadequacy so pointed out and brought to the notice of the Architect Consultant, the Architect Consultant fails and neglects to rectify the same, within the timeframe given by the Executing Agency for such rectification then the Executing Agency shall be within its right to correct such defects of the inadequacy(s) rectified from a third agency at the costsand risks of the Architect Consultant. It shall be within the right of the Executing Agency to adjust /recover such additional costs, so incurred by the Executing Agency/ Employer from the payments due and payable to the Architect Consultant.

5. CONSULTANT'S PERSONNEL 5.1 General

The Architect Consultant shall employ and provide such qualified and experienced Personnel asare required to carry out the Services. The Architect Consultant shall also bind his Personnel tothe confidentiality of the Services performed by them under this Contract.

5.2 Description of Personnel

The titles, agreed job descriptions, minimum qualification and estimated periods ofengagement in the carrying out of the Services of each of the Architect Consultant's KeyPersonnel are described in Appendix-C. If any of the Key Personnel has already beenapproved by the Executing Agency/ Employer his/her name is listed as well.

5.3 Removal andor Replacement of Personnel

(a) Except as the Executing Agency may otherwise agree no changes shall be made in the KeyPersonnel. If, for any reason beyond the reasonable control of the Architect Consultant, itbecomes necessary to replace any of the Personnel, the Architect Consultant shall forthwith provide as a replacement a person of equivalent or better qualifications.

(b) If the Executing Agency (i) finds that any of the Personnel has committed serious misconduct or has been charged with having committed a criminal action, or (ii) has reasonable cause to be dissatisfied with the performance of any of the Personnel, then the Consultant shall, at the Executing Agency’s written request specifying the grounds therefor,forthwith provide as a replacement a person with qualifications and experience acceptable to the Executing Agency Failure to do so shall be construed to be a default for which theExecuting Agency could terminate the Contract.

(c) The Consultant shall have no claim for additional costs arising out of or

incidental to any removal and/or replacement of Personnel.

6. OBLIGATIONS OF THE EXECUTING AGENCY/ EMPLOYER

6.1 Assistance and Exemptions

The Executing Agency shall use its best efforts to: (a) provide the Architect Consultant, Sub-consultant and Personnel with work

permits,pertinentdata and such other documents as shall be necessary to enable the Consultant,Sub-consultant or Personnel to perform the Services;

(b) issue to officials, agents and representatives of the Executing Agency all such instructions asmay be necessary or appropriate for the prompt and effective implementation of theServices;

(c) give decisions on all matters laid before the Executing Agency by the Architect Consultant in such areasonable time as not to delay the work of the Architect Consultant.

7 TERMS OF PAYMENT

7.1 The total fees payable to the ArchitectConsultant in accordance with the scope

of services for Comprehensive Architectural Design for Permanent Campus as enunciated in this Tender shall consist of fixed percentages of ‘Actual Cost of works' as applicable.

7.2 Actual Cost of works

Asperthepreliminaryestimates,an approximatetotalcostoftheaboveworkwould beRs.220crores(RupeesTwoHundredTwenty Croresonly)whichincludescivilworks, interiorfurnishingworks, plumbingandsanitary work,electricalworks,HeatVentilation andAirConditioning (HVAC) works,FireSafetyworksetc.

Initially the Actual Cost of works would be considered as Rs.220crores(RupeesTwoHundred Twenty Croresonly) for the payment of the Architect Consultant.

However,thecostandextent of constructionoftheprojectsmayvaryafterfinalizationofconceptualization, detailed design andestimatepreparationbytheArchitect Consultant.

After approval of the estimate prepared based on the detailed design, the same will be considered as the Actual Cost of works and the Payment schedule of the Architect Consultant will be based on the same.

Any excess/ less payment to the Architect Consultant with respect to the preliminaryestimates will be adjusted in the subsequent bills payable to the Architect Consultant.

7.3 The following shall not be included in calculating the Development Cost above for the purpose of computing the total fees payable:

i. The cost of land,

ii. Statutory payments such as fees, development charges, service

connection deposits/charges, premiums etc. with any local authority/ statutory body/Government.

iii. Payment on account of arbitration award, if any

iv. MECON’s administrative expenses.

v. Fees paid/payable by MECON in terms of this Contract

vi. Executing Agency Charges.

7.4 The percentage fees as agreed under Contract shall remain fixed and valid for the entire period of work (Till completion of work) with no condition for escalation whatsoever (excluding service tax and cess thereon, if any).

7.5 The fees shall be inclusive of all expenses (both direct and indirect) relating to

the performance of the Contract for the entire period of Contract except the official fees/charges relating to statutory approvals, payable to local bodies and other authorities, which shall be paid extra by the Executing Agency/ Employer. The contract price is excluding service tax and cess thereon, if any, which shall be payable extra as applicable.

7.6 The Architect consultant shall not be entitled to any payment or remuneration,

over and above the fees hereinbefore stipulated, on account of any delay caused by any reason, whatsoever.

7.7 Deductions on account of Income tax and other statutory provisions shall be

made by MECON, upon payment of fees or any other payments whatsoever to the Architect, as per prevalent rules / provisions.

7.8 The stage wise fees as prescribed below shall be payable within 30 days of completion of the specified component of the work to the entire satisfaction of MECON and in accordance with the terms of Contract and the Scope of Services as enunciated in this document.

7.9 Out of pocket expenses: No out of pocket expenses shall be admissible. For

short stay of professionals/staff of the Architects visiting Bangalore and Mangalore in connection with the performance of the Contract. All travel and touring, international, domestic, local, to site or for meetings, etc. by any means of transport are all deemed to be included in the fee and shall accordingly be borne by the Architect Consultant and their representatives directly.

7.10 All payments made by the Executing Agency to the Architect Consultant for any

purpose whatsoever shall be in Indian Rupees only. Compliance with the foreign exchange regulation of India or any other country shall be the sole responsibility of the Applicant/Architect Consultant; and the Executing Agency shall in no way be involved directly or indirectly.

7.11 The estimated fee computed for the purpose of payment as a percentage of total

project cost in stages mentioned shall be subject to change according to the least cost determined. Payments of fees shall be computed on the approved cost of detailed estimate described, while all subsequent stage payments shall be computed according to the operative total project Cost with amounts based partly on estimates, tender or finished works, if they are lower than the approved cost of detailed estimate.

The payment schedule envisaged as

a. On the basis of the milestone achieved during the execution of this contract as stated in NIT.

b. An activity sub-activity will be considered 'complete' when the same is checked,independently reviewed and accepted / approved by the competent authority of theExecuting Agencyand Employer. 7.15 Accounting. Inspection and Auditing

The Architect Consultant (i) shall keep accurate and systematic accounts and records in respect of the Services hereunder, in accordance with internationally accepted accounting principles and in such form and detail as will clearly identify all relevant time charges and cost, and the bases thereof and (ii) shall permit the Executing Agency/ Employeror its designated representative periodically and up to three years from the expiration or termination of this Contract, to inspect the same and make copies thereof as well as to have them audited by auditors appointed by the Executing Agency/ Employer.

8 Foreclosure of the Contract 8.1 It shall be within the authority of the Executing Agency, at any time after

acceptance of the bid or during the execution of the work, to foreclose or reduce the scope of the work, for any reasons whatsoever, either partly or wholly by giving the written notice not less than 15 days to the Architect Consultant. In such an event, the Consultant shall have not claim whatsoever on account of any profits (s) or advantage (s) which the Architect Consultant might have derived from the execution of work in full but for the reasons of the foreclosure of the whole or part of the work. However, the Architect Consultant shall be paid at the contract rates for the Services performed by him and the amount certified by the Executing Agency

9. Abandonment of Work 9.1 In case, the work is abandoned by the Architect Consultant, without good and

sufficient justifications and consequent loss suffered by the Executing Agency and Employer in getting the left out job completed from other agency, the Architect Consultant shall be liable to compensate the Executing Agency and Employer adequately by paying the difference(s) in the amount of the actual Contract value awarded to the new Architect Consultant for completing the left out balance work and the amount which would have been paid to the Architect Consultant had the Architect Consultant not abandoned the work.

10. Liability of the Architect Consultant

(a) Except in case of gross negligence or willful misconduct on the part of the Consultant or on the part of any person or firm acting on behalf of the Architect Consultant in carrying out the Services, the liability of the Architect Consultant for all guarantees & warrantees shall be limited to 10 percent of the Contract Price.

(b) This limitation of liability shall not affect the Architect Consultant's liability, if

any, for damage to Third Parties caused by the Architect Consultant or any person or firm acting on behalf of the Architect Consultant in carrying out the Services.

11. Levy of Liquidated Damages

For any delays, attributable to the Architect Consultant in the scheduled dates / periods ofcompletion of different activities as per the agreed work schedule, the Architect Consultant shall pay to the Executing Agency compensation as Liquidated Damages (LD), and not as penalty, calculated at the rate of 0.5% (on the total consultancy fee amount) per week of delay subject to a maximum of 10% of the total consultancy fee amount.

12. Working hours. Overtime. Leave, etc.

(a) The Consultant shall ensure that at all times during the Consultant's performance of the Services a well-defined project set-up exits at his end.

(b) The Architect Consultant, Sub-consultant or their Personnel shall not be entitled to any overtime payment and the same deemed to have been included in the Contract Price. Taking of leave by Key Personnel shall be subject to the prior approval by the Executing Agency. The Architect Consultant shall ensure that absence for leave purposes will not delay the progress and adequate supervision of the Services.

(c) The Architect Consultant's personnel working at the Site shall observe the site

construction working hours and holidays.

13 Access to Site 13.1 The Executing Agency warrants that the Architect Consultant shall have, free of

charge, unimpeded access to the Site in respect of which access is required for the performance of the Services.

14. Security Rules 14.1 The Architect Consultant will follow the rules and regulation for the security

framed by the Executing Agency from time to time regarding movement of personnel, materials and equipment to and from office / site, issue of identity cards, control of entry of personnel, police verification of personnel deployed at site and all similar matters. The Architect Consultant will also follow all rules and regulations applicable to the area being declared/pronounced from time to time by the authorities or authority of existing Executing Agency facilities in the vicinity of any other statutory orders. Nothing extra will be payable on account of stoppage/hindrance of the work due to the enforcement of security measures/emergency conditions.

15. Rights of Other Agencies 15.1 Other agencies may also be simultaneously working within and around the

locations/areas designated to carry out the Assignment. No extra claim during the tenure of the work will be entertained by the Executing Agency for hindrances on account of such interfaces with other/allied agencies.

16. Idle Claim

No claims from the Architect Consultant will be entertained on account of idle work force, nonuse of facilities due to stoppage of work, unprecedented rain, storm or any other unforeseen circumstances.

17. Fairness & Good Faith

(a) Good Faith

The Parties undertake to act in good faith with respect to each other's rights under this Contract and to adopt all reasonable measures to ensure the realization of the objectives of this Contract.

(b) Operation of the Contract The Parties recognise that it is impractical in this Contract to provide for every contingency which may arise during the currency of the Contract, and the Parties hereby agree that it is their intention that this Contract shall operate fairly 'between them, and without detriment to the interest of either of them, and that, if during the term of this Contract either Party believes that this Contract is operating unfairly, the Parties will use their best efforts to agree on such action

18. CONFIDENTIALITYCLAUSE

No party shall disclose any information to any third party concerning the matters under this contract generally, without the prior written consent of the Executing Agency.This clause shall apply to the Sub-contractors, Consultants and Advisers or to the employees engaged by the party with equal force.

19. SETTLEMENT OF DISPUTES 19.1 Amicable Settlement

The Parties shall use their best efforts to settle amicably all disputes arising out ofor in connection with this Contract or the interpretation thereof.

19.2 Dispute Settlement

Any dispute between the Parties as to matters arising pursuant to this Contractwhich cannot be settled amicably within thirty (30) days after receipt by one Partyof the other Party's request for such amicable settlement may be submitted byeither Party for settlement in accordance with the provisions specified in the contract.

19.3 ARBITRATION

All disputes or differences, whatsoever, arising between the parties out of or in relation to the operation or effect of this contract or breach there of shall be settled amicably. If, however, the parties are not able to resolve them amicably, the same shall be referred to a sole Arbitrator to be appointed by CMD, MECON (or Functional Director in absence of CMD) to settle the dispute in accordance with the Rules of Arbitration of the Indian Council of Arbitration and award in pursuance there of shall be final, conclusive and binding on both the parties to this contract.

The venue of arbitration proceeding shall be Bangalore. Work under this Order shall be continued by the Architect Consultant during the

arbitration proceedings, unless otherwise directed in writing by MECON or unless matter is such that the work cannot possibly be continued until the decision of the arbitrator is obtained.

1.0 INTRODUCTION

The Corporation Bank, which is a leading public sector bank has proposed to build "A Training Academy, IT units, Administrative and other office units" at Hardware park Industrial area, Huvinayakanahalli, Bangalore North, which is located at about 40 km away from Bangalore city railway station towards Bangalore International Airport. MECON limited, Bangalore has been entrusted by Corporation bank as an “Executing Agency”, which in turn shall include its duly authorized representatives and assignees, wishes to appoint an Architect consultant for "DEVELOPMENT OF BANK’S OWNED PROPERTIES AT BANGALORE".

It is proposed to engage one of the best Architect Consultancy firm (herein after called the "Architect Consultant") for comprehensive planning, designing and ensuring that the project is built according to the approved drawings, specifications, standards/ IS codes, by strictly adhering to the well laid down procedures and CVC guidelines of Govt. of India for the procurement of proposed services.

2.0 SITE INFORMATION

Two individual sites admeasuring about 5 and 3 acres, co-located in KIADB layout, Hardware park, Bangalore but separated by about 1.5 km apart. The details of the proposed sites are given below

The Site-1 has an approximate level difference of 2 mts., where as the Site-2 is almost flat land. The site is mostly devoid of any vegetation except for scattered grasses, scrubs and bushes. The Location/ Layout drawing of the proposed Site-1 & Site-2 is given in Annexure -B.

3.0 SCOPE OF SERVICES

The scope of services for the selected Architect Consultant shall comprise of the following: General services. Comprehensive design for buildings/facilities on the sub site(s) or

zone(s). 3.1 General services

1. The comprehensive architectural design consultancy services in this tender

document shall cover the design and monitoring of construction of any building(s) on the sub-site(s) or zone(s) as specified in this document as per the scope detailed in this document and shall be inclusive of but not limited to civil, electrical, air-conditioning and ventilation, fire fighting, landscape within the sub-site(s) or zone(s), interior furnishing, appropriate circulation, roundabouts and parking, plumbing and sanitary, water supply (confirming to applicable codes), rain water harvesting systems, waste water treatment and recycling, drainage and conjoint surface and groundwater management, solid waste management and recycling, soil conservation and improvement, climate control using passive and active systems, energy systems, waste to energy systems, intelligent building management and automation systems, performance and other monitoring systems as required for the functioning of such buildings and services. It shall include provisions for integration of all proposed zone level activities including individual buildings and their related services with the larger campus level infrastructure and services. standards unless stipulated otherwise in this specification

2. Preparation of architectural drawings based on approved concept drawings and obtaining environmental clearance from State level Environmental Impact Assessment Authority (SEIAA) and Consent for Establishment (CFE) from State pollution control Board for the both the sites

3. The architect consultant shall also be responsible for complying the

suggestions/ directions given in the environmental clearance.

4. The architect consultant shall also be responsible for obtaining local/state/centre body approvals that are necessarily to be obtained as per rules and the construction shall be made in accordance with the approved plan and as per the requirement of specifications of the employer/executing agency

5. All documents, drawings, reports and any other documents submitted in

fulfillment of the scope of services shall be prepared strictly as per statutory provisions and guidelines issued by the Central/State Government/local authorities and also in accordance with the best international practices and codes as applicable to such development

6. The architect consultant shall be responsible for submitting the performance

(thermal or lighting simulations) of all buildings/structures and to get the same vetted by authorized agency.

7. The architect consultant shall obtain GRIHA accreditation for buildings as

required by the executing agency/ Employer (preferably with five star but minimum three star in GRIHA based rating system), which are listed below: a) Administrative Building in 3- Acres land. b) IT Units Building in 5- Acres land. c) Main Building of Staff Training College in 5- Acres land. The scope of the architect consultant shall include but not be limited to integrating the green features, associated liaison works, preparation and submission of all reports, drawings, and all other documents as may be required and incorporating necessary changes or making modifications in the design based on inputs received from the concerned regulatory/ratings authorities or the executing agency, including requisite audit one year after completion.

8. The architect consultant shall be required to participate in all meetings as

and when sought by the executing agency. During preconstruction stage there will be progress review meetings every fortnight at Bangalore and Mangalore alternatively. The architect consultant and the team should make themselves available to present the work progress and take inputs/feedbacks from the executing agency

9. The architect consultant shall provide, all information within the purview of

the scope of services as sought by all committees and other agencies appointed by the executing agency for this purpose. Support and assistance, if any, to the extent required by such committees and other agencies, shall also be provided by the architect consultant as and when mandated by the executing agency

10. The architect consultant shall provide all information, drawings, details and

all requisite support to the project management group, contractors and other consultants/advisors/individuals engaged or to be engaged by the executing agency/ Employer from time to time

11. The architect consultant may at the executing agency's discretion, aid and

advice in matters relating to all aspects covered under the scope of services, as and when required

12. Preparation and submission of preliminary and detailed cost estimates, bill

of quantities and tender documents with tender drawings for all facilities shall be carried out by the architect consultant

13. Preparation of preliminary cost estimate based on CPWD plinth area rates

14. Preparation of tender documents with tender drawings for different

packages with detailed bill of materials/schedule of quantities, item wise cost estimates and rate analysis for non SOR items. The documents shall include, but not limited to all the details as indicated below:

Civil construction of all facilities including internal lighting, water supply,

sanitary, internal/external finishes, external services like roads, compound wall, street lighting, storm water drains, water lines, sewer lines, STP, rain water harvesting, culverts, RCC trenches, etc.

16. The architect consultant has to incorporate all the suggestions as given by

executing agency/ Employer and has to accommodate any number of revisions as required to complete the project and the same is part of the scope

17. The decision of the executing agency and Employer shall be final in all

matters relating to the interpretation of architectural design and related architectural details and the architect consultant shall be bound to execute such decisions to the satisfaction of the executing agency and Employer.

18. Deploy manpower on continuous full time basis to look after day to day

work during the entire duration of the project.

19. Certification of contractor's executed R.A./ Final bills.

21. Obtaining completion and occupancy certificates and consent for operation from state pollution control board

22. Architect consultant shall be responsible for satisfactory rectification of

defects through contractors during warranty period of twelve months from date of handing over.

3.2 Comprehensive design for buildings/facilities on the sub site(s) or

zone(s) Comprehensive architectural design including all services and allied fields for various buildings. This shall include but not be limited to architectural design, construction and structural design, enabling works, sanitary, plumbing, drainage, water supply and sewerage design, electrical, electronics and communication systems design, Heating, Ventilation and Air Conditioning design (HVAC) and other mechanical systems, elevators, escalators, fire fighting, besides allied fields such as landscape design including circulation and parking, interior design, graphic design and signage etc.

3.2.1 Architectural works

Comprehensive architectural services

1. The architect consultant is expected to work on the following major facilities: a. Master plan. b. Training academy. c. Administrative & other office units. d. IT units.

2. Preparation of detailed master plan incorporating all building foot prints,

roads, drains and all services facilities etc.

3. Preparation & obtaining approval on the finalized concept for the above mentioned facilities along with other service facility buildings.

4. Preparation of architectural reports highlighting the important features and characteristics of the buildings (unit wise).

9. Vetting of all units including master plan from green building consultant.

10. Preparation and submission of preliminary and detailed cost estimates, rate analysis shall be based on the CPWD schedule of rates. In case of non-schedule items with detailed specifications market rate shall be followed and rate analysis shall be submitted as per CPWD norms.

11. Detailed bill of quantities for all buildings/facilities shall be submitted.

3.2.2 Civil and structural works

3.2.2.1 The architect consultant shall be responsible for complete civil designs including structural (RCC/ Steel), reinforcement details and construction/expansion joint details in RCC work. Detailed structural analysis and designs shall be as per the latest revisions of relevant IS: code/provisions and other applicable standards including the local statutory authorities’ requirements. All structures are to be designed using most critical load cases like wind, earth quake, equipment load, live load, dead load etc.

a. The architect consultant shall prepare preliminary cost estimates for various items of works as per CPWD plinth area rates (where ever applicable) enhanced by the cost index of the area and market rate, analysis for items which are not included in CPWD, to be worked out as per standard norms/methods and to be approved by the executing agency. The preliminary estimate shall be based on the approved architectural drawings. In case at detailed design/execution stage, if there is an increase in the preliminary estimates, the architect consultant shall submit the details of the same with the supporting documents and technical/administrative justification to the executing agency to obtain approval/permission from the employer.

b. The architect consultant shall prepare Design Basis Report (DBR) for review and approval of executing agency.

c. Detailed structural analysis and design of each individual

building/units/facilities shall be prepared based on approved Design basis report/architectural drawings and the same to be submitted to the executing agency for review and approval.

d. Detailed structural design calculations report shall be done in S.I. /

Metric units. Appropriate diagrams, sketches and key layout plans along with cross-reference, shall be submitted along with the reports. Wherever special literature, design charts, monograms etc., are used copies of the same shall be made available with the calculations. Structural analysis and design of all facilities shall be made using STAAD PRO software.

e. For civil & structural work, architect consultant shall prepare structural

detail drawings including bar bending schedule using approved architectural drawings, as required for tendering & construction. The same shall be submitted for review and final approval of executing agency.

f. Architect consultant shall prepare technical specification and detailed bill

of materials/schedule of quantities, item wise cost estimates and rate analysis for approval and floating of tender.

3.2.2.2 Basic civil design parameters

Minimum thickness of concrete structural elements

The following minimum thickness/width/sizes shall be followed:

a) Suspended floor/slab/walkways/canopy slabs, etc. : 150 mm b) Ground floor slab (non-suspended) : 150 mm c) Water retaining slab/walls : 200 mm d) Cable/pipe trenches/underground pits/ : 125 mm launder walls and base slab e) All footings thickness (including raft foundations) : 300 mm f) Parapets : 125 mm

3.2.2.3 Other responsibilities of the architect consultant In addition to above scope of work, the following are other responsibilities of the architect consultant.

a. Architect consultant shall also be responsible for any

observations/comments/defects pointed out by CTE/CVC/Bank’s Independent External Monitors (IEMs) appointed under integrity pact adopted by the bank in major procurement activities in the planning and execution of the project and the procedures associated with the mentioned activities. Compliance of CVC guidelines while employing contractors, vendors, suppliers, availing services will be the responsibility of architect consultant and fully indemnifying/protecting the employer.

b. The employer or any person authorized by employer can inspect and

check the construction work from time to time to see that the buildings are being constructed as per drawings and specifications as provided in the bank’s approved estimate. There shall not be any variation in the works unless explicitly expressed in written consent of the executing agency. If any defects are noticed during the inspection the same are to be got rectified by architect consultant from the contractor within 30 days from the receipt of the intimation.

c. On completion of the work/satisfactory functioning of the service system

and certification of completion/satisfactory commissioning, architect consultant shall submit `as built' drawings with relevant calculations and specifications of the design/engineering for the records of the executing agency. The architect consultant shall confirm that identification marks and relevant specifications are made on all

installations/chambers/ducts/cables/wires/ panel boards etc. as the case may be, to carry out future additions/alterations/maintenance jobs.

d. Responsibility to obtain completion certificate and occupancy certificate

rests with the architect consultant. The project shall be deemed to have been completed only when these are obtained from the local body/bodies and handed over to the employer/executing agency.

e. The employer/executing agency reserves their rights to cancel the award

or entrustment of the works for any violation of the terms and conditions of the agreement by the architect consultant and assign the same to any other agency/agencies.

3.2.3 Plumbing, drainage, sewerage and solid waste management systems

a. Preparation of DBRs (Design Basis Reports) for providing

d. Subsequent to incorporation of all comments as received from the executing agency after final review, the design details and detailed construction drawings shall be submitted for final approval.

e. Detailed plumbing, drainage, sewerage and solid waste management

systems design shall be as per the latest revisions of relevant IS: code provisions and other applicable standards including the local statutory authorities’ requirements.

3.2.4 Electrical system

a. Scheme includes preparation of DBRs for all high voltage and low voltage electrical systems as per the intentions of projected requirement including renewable energy sources planning, optimization and implementation. This includes providing internal and external (plot level) electrification system with necessary electrical rooms, cablings, power supply network including sub-station (building-specific), external (plot level) lighting, alternate electrical energy systems, telephone, computer cable, LAN, TV and all other systems. Detailed DBRs shall be submitted to the executing agency for review and approval.

b. Day lighting and artificial lighting simulations may have to be undertaken

and submitted to prove the performance relating to buildings/structures which are to be vetted by the authorized agency.

c. On approval of the above, the design details and detailed construction

drawings shall be prepared and submitted for final review.

d. Subsequent to incorporation of all comments as received from the executing agency after final review, the design details and detailed construction drawings shall be submitted for final approval.

e. Detailed high voltage and low voltage electrical systems designs shall be as per the latest revisions of relevant IS: code provisions and other applicable standards including the local statutory authorities’ requirements.

f. Detailed engineering, manufacture/supply, shop testing, arranging for inspection, packing and forwarding to site, transit insurance, unloading, storage and handling at site, insurance, erection, pre-commissioning checks, trial operations, testing and commissioning of all electrical equipments is in the scope of Architect consultant.

g. Space requirement for the BESCOM metering cubicle if any, shall also

be considered during planning by the architect consultant. h. Issue of technical specifications and drawings.

3.2.5 Building Automation, Data Centre and Instrumentation system

Design Basis Report (DBR), for the following Systems shall be prepared. On approval of the same, the design details and detailed construction drawings shall be prepared and submitted for final review. Subsequent to incorporation of all comments as received from the Executing Agency and after final review, the design details and detailed engineering drawings shall be submitted for final approval.

3.2.5.1 Building automation

3.2.5.2 Data centre

The Data Centre shall be located at the first floor of the IT unit in the 5-Acre land (Site-1) with minimum Tier 3 and above standards to accommodate the complete IT infrastructure such as servers and switches. The Tier 3 and above data centre standards shall have complete redundant and fault tolerant sub-systems (cooling, power, network links, storage etc) and compartmentalized security zones.

3.2.5.3 Instrumentation

Instrumentation & control of pressure, level & flow as required for various sub systems such as fire fighting, STP, Water treatment plants for the proposed facilities.

3.2.6 Water supply services

i. Preparation of DBRs (Design Basis Report) for providing

a. Required bore well and related facilities. b. Treatment of raw water and related facilities c. Water sump and overhead tank d. Water supply system for drinking water and service water and

related pump house and electrical facilities. e. Electrics, control & instrumentation for the pump houses and

entire facilities area.

ii. These DBRs shall be prepared as per the intentions of projected requirement and submitting the same to the executing agency for review and approval.

iii. On approval of the above, the design details and detailed construction

drawings shall be prepared and submitted for final review.

iv. Subsequent to incorporation of all comments as received from the executing agency after final review, the design details and detailed construction drawings shall be submitted for final approval.

3.2.7 Fire fighting system & safety

i. Preparation of DBR (Design Basis Report)s for providing

a. Fire protection system related facilities. b. Safety and related facilities

ii. These DBRs shall be prepared as per the intentions of projected

requirement and submitting the same to the Executing Agency for review and approval.

iii. The DBRs shall be prepared based on National Building Code and

other relevant norms as per the intentions of the projected requirement. Detailed DBRs and scheme shall be submitted to the executing agency for review and approval.

iv. On approval of the above, the design details and detailed construction

drawings shall be prepared and submitted for final review.

v. Subsequent to incorporation of all comments as received from the Executing Agency after final review, the design details and detailed construction drawings shall be submitted for final approval.

vi. Detailed firefighting system design shall be as per the latest revisions

of relevant IS/NBC/NFPA/TAC code provisions and other applicable standards including the local statutory authorities’ requirements.

vii. The architect shall be responsible for maintaining statutory regulations

and safety rules at the construction area during the execution. The architect shall implement the SHE regulations by deploying qualified safety engineers at site.

3.2.8 HVAC and other mechanical works

i. Scheme for the same shall be as per the intentions of the projected requirement including active and passive climate control systems. Detailed DBRs and scheme shall be submitted to the executing agency for review and approval.

ii. Thermal simulations may have to be undertaken and submitted to prove

the performance relating to the buildings/structures, which have to be vetted by the executing agency.

iii. On approval of the above, the design details, P&ID and detailed construction drawings, technical specifications, BOQ shall be prepared and submitted for final review.

iv. Subsequent to incorporation of all comments as received from the executing agency and after final review, the design details and detailed construction drawings shall be submitted for final approval.

v. Detailed HVAC and other mechanical systems designs shall be as per the latest revisions of relevant ISHRAE/ASHRAE/IS code provisions and other applicable standards including the local statutory authorities’ requirements, if any.

vi. Planning of type, quantity and capacity of lifts required in various

buildings based on relevant Indian standards.

vii. Indicating specification of basic parameters like speed, type of doors, controls for lift operation, safety devices and required additional features, if any.

3.2.9 Landscape architecture

i. The architect consultant needs to provide services in respect of the following for sub site(s) or zone(s) designated in their scope

a. Site appraisal and suitability b. Site planning c. Land form and grading

3.2.10 Interior design

i. The architect consultant is required to provide services for the following:

a. Interior design space planning/development and volumetric study of the facilities

b. Design of fixed items of work and interior related civil works c. Illumination design d. Sound and acoustic design for auditorium, conference halls, board

rooms etc. e. Graphic design and signage. f. Indoor plantscape.

g. Selection of furniture, materials, equipment, other interior related elements

h. Integration of all building engineering services

ii. Schemes including detailed analysis and design for each of the above services shall be prepared as per the intentions of the projected requirement. Detailed DBRs (wherever applicable or sought) and schemes for each shall be submitted to the executing agency for review and approval.

iii. On approval of the above, the design details and detailed construction

drawings shall be prepared and submitted for final review.

iv. Subsequent to incorporation of all comments as received from the executing agency after final review, the design details and detailed construction drawings shall be submitted for final approval.

v. Detailed designs shall be as per the latest revisions of relevant IS: code

provisions and other applicable standards including the local statutory authorities’ requirements.

3.2.11 Rain water harvesting system

The architect consultant shall workout an overall scheme for rain water harvesting. The scheme shall be arrived at duly considering the topography/terrain of the site. The scope shall include construction of tanks at suitable locations to store/collect rain water from building roof top/storm water drains/surface drains etc. The rain water harvesting system shall also be designed taking into consideration storm water recharge facilities.

3.2.12 Sewage treatment plants (STPs)

It is proposed to have at least one STP for each site at suitable location. The STP system is to be designed by considering the overall master plan & topography of the site. The capacity of STP have to be worked out by the architect consultant considering permanent and floating population. The STP shall be of state-of-

the-art technology and shall conform to the statutory norms for treated water (Karnataka State Pollution Control Board). The STPs shall be of modular design with a scope for future expansion. The STP design shall also include piping distribution of the treated water from the collection pit to various locations for gardening, toilet flushing and other usages. Suitable electrical and fully automated instrumentation system along with a control room shall be planned for this facility.

4.0 OBLIGATION OF EXECUTING AGENCY

The following documents shall be furnished to the successful architect consultant after award of work.

1. Topographical survey report. 2. Geo technical investigation report.

5.0 GENERAL GUIDELINES FOR DESIGNING

5.1 The proposed campus will be of eco- friendly, sustainability and environmental sensitivity measures shall be emphasized at all levels. It’s pattern shall be driven by stewarding natural resources and supported by renewable energy. This eco- friendly campus shall be functioning for 24 x 7, and round the year. All the proposed zone-level activities within the campus including individual buildings and their related services shall be required to meet the best practices/standards provisions as applicable to ensure ecologically-sustainable design to suite climatic conditions of Bangalore, which result in efficient use of energy, water and other natural resources.

5.2 All proposed zone-level activities within the campus including individual

buildings and their related services shall be designed to ensure optimum utilization of water resources.

5.3 All proposed zone-level activities within the campus including individual

buildings and their related services shall be required to promote the use of waste products to optimize energy and material resource needs.

5.4 All proposed zone-level activities within the campus including individual

buildings and their related services shall be required to promote the use of building- integrated renewable resources like solar (active and passive), wind and alternate energy production/recovery systems.

5.5 The architect consultant shall be capable of delivering an eco-friendly, eco-sensitive, energy-efficient, modern buildings which will be the core design output.

5.6 The building should have its own characteristics to stand out as a unique

structure at all times considering the ensuing multistoried buildings in the Hardware park.

5.7 The eco friendly campus shall be designed on the concept of zero liquid

discharge, optimum utilization of solid waste ensuring environmental friendly features at the end.

5.8 The tentative requirements and minimum proposed areas for various facilities

are given in Annexure A. This information is liable to be refined and altered from time to time and is to be taken as an indicative to assist applicants to provide competitive bids.

5.9 In addition to variations projected by the executing agency from time to time, an overall variation of designed area of up to 10% in the areas by the architect from those projected shall be acceptable for the purposes of design in light of design simplification, standardization of spaces, and architectural considerations.

5.10 The executing agency will provide necessary authority/power of attorney etc., as and when required, to the architect consultant to apply for obtaining statutory approvals or green rating. If required, the executing agency will provide/authenticate the necessary documents to be submitted by the architect consultant to the statutory authorities and other regulatory/ratings agencies.

6.0 STAGES OF WORK AND DELIVERABLES

The comprehensive architectural and allied services shall be provided by the architect consultant in the following stages:

a. Concept design b. Final design c. Statutory approvals d. Tender documents with tender drawings. e. Issuance of constructions drawings. f. Execution and submission of as built drawings g. Post execution

6.1 Concept design stage

i. Ascertain the detailed requirements, site potential and constraints and

prepare architectural execution plan for executing agency's approval.

ii. Furnish report on measures required to be taken to mitigate the adverse impact, if any, of the existing and/or proposed development on its immediate environment.

iii. Prepare conceptual general arrangement drawings and alternate

conceptual designs

iv. As per inputs from the employer, modify the design alternatives

v. Prepare preliminary estimate of project cost

6.2 Final design stage

i. Prepare and submit architecture concept designs for final approvals

ii. Prepare and submit Design Basis Reports for various components

iii. Prepare cost estimates.

6.3 Statutory approvals stage

i. Prepare and submit reports/drawings/documents necessary for statutory approvals and ensure compliance with codes, standards and legislation, as applicable.

ii. Obtaining all statutory approvals from all the local authorities including

associated liaison works

iii. Incorporating necessary changes or making modifications in the design based on inputs received from the statutory authorities.

iv. Obtain clearance certificates from the concerned agencies and/or PMG

or their assigned agency, if any, appointed by the employer.

6.4 Tender documents with tender drawings

i. Prepare detailed architectural drawings, specifications and item wise schedule of quantities, detailed cost estimate with rate analysis and other conditions of contract.

ii. Prepare package wise tender documents as per approved guidelines in consultation with the executing agency

iii. Assist the executing agency to invite, receive and analyze tenders, be

present to clarify issues in the pre-bid meetings etc, to the extent desired by the executing agency.

iv. Advise the executing agency on prequalification of bidders and award of

work to contractors, to the extent desired by the executing agency.

6.5 Issuance for construction drawings

i. Prepare and submit complete sets of good for construction drawings with all details including BBS for each building/units/facilities for approval of the executing agency.

ii. Issue complete set of final good for construction drawings for each building/ units/facilities at least a month before the actual construction schedule.

iii. Make revisions if any in the final good for construction drawings as per

comments/instruction of Executing agency.

6.6 Execution and submission of as built drawings.

These construction activities shall include, but not be limited to, the following:

Support in Co-ordinating the activities of contractors. Monitor, inspect and certify that quality of the contractor’s work to

ensure that all work is adequate for the purpose intended in accordance with good engineering and construction standards and practices, drawings and specification, and also to ensure with the quality assurance program and conforms to the provisions of the contract.

Review and certify the contractor’s bills. Certify and recommend to

executing agency on the progressive payments of the work according to the work completed.

Assist to executing agency for inspect and record site activities and oversee that documentation is kept up-to-date and is first rate condition in preparation for completion of the project. Consultant shall ensure that all as built drawings for the project are recorded correctly and complied and submitted by the contractors as stated in the contract. Consultant shall submit the same to executing agency after approval.

Assist the executing agency for preparation of daily/monthly site

progress report.

6.7 Deployment of personnel

The architect consultant shall depute, the following construction specialists (within fourteen (14) days after award of Letter Of Intent (LOI) to contractors)

The entire construction team of Engineers/Supervisors has to report to site-in-charge of executing agency for administrative control of project sites. They have to work as per guidelines and instructions of site-in-charge of executing agency till the successful completion of project.

7.0 OFFICE

7.1 Design office at Bangalore

Architect consultant shall establish design office at Bangalore with design team of engineers/ draftsmen in different discipline. They have to attend all design/ site progress review meetings at MECON, Bangalore and also at employer office, Mangalore. Further, during the design approval stage the Architect consultant design team shall be available at Mangalore for the required duration.

8.0 POST EXECUTION

Prepare and submit completion reports and drawings for the project as

required and obtain “Completion/Occupancy Certificate” from statutory authorities, wherever required.

Issuance of as built drawings of the entire project to the executing

agency along with soft copies.

Conduct audit after one year of completion, if required for green certification.

9.0 TIME SCHEDULE

The architect consultant shall complete the services for comprehensive

architectural design according to the time schedule listed below. The time taken by the executing agency/Employer to review/comment/feedback etc. shall be excluded.

11.0 PROGRESS REVIEW

A procedure/format for progress review shall be mutually worked out. The frequency of such reviews shall be at least fortnightly.

12.0 GENERAL CLAUSES

The status/designation/qualifications of the representative(s) of the

architect consultant who will be allowed to deal/interact with the executing agency and other designated committees/groups etc., shall be the matter of discretion of the executing agency and the decision of the executing agency in this regard shall be final and binding on the architect consultant.

All intellectual property rights of the schemes and proposals submitted in

fulfillment of the scope of services shall rest with executing agency and employer and no claim whatsoever shall be admissible on the executing agency in respect of any proprietary rights or copyrights of the same on the part of the architect consultant. The architect consultant shall indemnify executing agency from any claims including but not limited to third party claims related to violation of any copyright or intellectual property rights. However, the architect consultant shall reserve their right to be acknowledged as the author of the schemes and proposals.

The executing agency in consultation with the employer, at its sole

discretion and without assigning any reasons whatsoever, reserves the right to appoint any individual and/or organization as it may deem fit to render the whole or part of services covered in this tender document in the interest of timely and qualitative completion of campus development works.

ANNEXURE-VII FORMAT OF INTEGRITY PACT AGREEMENT

Purchaser intends to award, under laid-down Terms of Contract given in the bidding document and as amended from time to time, contract/s for _______________________. The Purchaser values full compliance with all relevant laws and regulations, and the principles of economical use of resources, and of fairness and transparency including corrupt/fraudulent/collusive/coercive practice in its relations with its Bidder/s and/or Contractor/s. In pursuance of this policy, the Purchaser defines, for the purposes of this provision, the terms set forth below as follows:

(i) “corrupt practice” means the offering, giving, receiving, or soliciting of anything of value

to influence the action of a public official in the procurement process or in contract execution;

(ii) “fraudulent practice” means a misrepresentation of facts in order to influence a

procurement process or the execution of a contract to the detriment of the Purchaser, and includes collusive practices among Bidders (prior to or after bid submission) designed to establish bid prices at artificial, noncompetitive levels and to deprive the Purchaser of the benefits of free and open competition;

(iii) “collusive practice” means a scheme or arrangement between two or more bidders,

with or without the knowledge of the Purchaser, designed to establish bid prices at artificial, noncompetitive levels; and

(iv) “coercive practice” means harming or threatening to harm, directly or indirectly,

persons or their property to influence their participation in the procurement process or affect the execution of a contract;

In order to achieve these goals, the Purchaser proposes to appoint one or more External Independent Monitor/s who will monitor the tender process and the execution of the contract for compliance with the principles mentioned above.

IT IS AGREED AS FOLLOWS:

a) “Purchaser” means MECON LIMITED, Ranchi incorporated under the Companies Act

1956, having their registered office at Doranda, Ranchi 834002, Jharkhand and includes their successors.

b) “Tenderer” means the person, firm or company submitting a tender against the

Invitation to Tender and includes his/its/their staff, consultants, parent and associate and subsidiary companies, agents, consortium and joint venture partners, sub-contractors and suppliers, heirs, executors, administrators, representatives, successors.

c) “Contractor” means the tenderer whose tender has been accepted by the principal or

Company whose tender has been accepted and shall be deemed to include his/its/ their successors, representatives, heirs, executors and administrators unless excluded by the Contract.

d) “External Independent Monitor” means a person, hereinafter referred to as EIM,

appointed, in accordance with Section 7 below, to verify compliance with this agreement

e) “Party” means a signatory to this agreement. f) “Contract” means the contract entered into between the Principal and

Tenderer/Contractor for the execution of work mentioned in the preamble above.

Section 1 – Commitments of the Purchaser

1) The Purchaser commits itself to take all measures necessary to prevent corruption i.e. corrupt/fraudulent/collusive/coercive and to observe the following principles;

i) No employee of the Purchaser, personally or through family members, will in

connection with the tender for, or the execution of a contract, demand take promise for or accept, for him/herself or third person, any material or immaterial benefit.

ii) The Purchaser will, during the tender process treat all Bidders with equity and

reason. The Purchaser will in particular, before and during the tender process, provide to all Bidders the same information and will not provide to any Bidder confidential/additional information through which the Bidder could obtain an advantage in relation to the tender process or the contract execution.

2) If the Purchaser obtains information on the conduct of any of its employees which is a

criminal offence under the relevant Anti-Corruption Laws of India, the Purchaser will inform its Vigilance Officer and in addition can initiate disciplinary actions.

Section 2 – Commitments of the Bidder / Contractor

1) The Bidder / Contractor commits itself to take all measures necessary to prevent

corruption, i.e. corrupt/fraudulent/collusive/coercive. He commits himself to observe the following principles during his participation in the tender process and during the contract execution.

agreement or understanding, whether formal or informal. This applies in particular to prices, specifications, certifications, subsidiary contracts, submission or non-submission of bids or any other actions to restrict competitiveness or to form cartels in the bidding process.

iii) The Bidder / Contractor will not commit any offence under the relevant Anti-

corruption Laws of India; further the Bidder/Contractor will not use improperly, for purposes of competition or personal gain, or pass on the others, any information or document provided by the Purchaser as part of the business relationship, regarding plans, technical proposals and business details, including information transmitted electronically.

iv) The Bidder / Contractor will, when presenting his bid, disclose any and all

payments he has made, is committed to or intends to make to agents, brokers or any other intermediaries in connection with the award of the contract.

2) The Bidder / Contractor will not instigate third persons to commit offences outlined

above or be an accessory to such offences.

3) Obligation to Ensure Compliance

a) Each Party will take all reasonable steps to ensure that the provisions of this agreement which are binding on it are complied with by all of its staff, consultants, parent and associated and subsidiary companies, agents consortium and joint venture partners, sub-contractors and suppliers.

b) Each Party will appoint an appropriate senior manager with responsibility for

ensuring that the provisions of this agreement are complied with.

Section 3 – Disqualification from tender process and exclusion from future contracts If the Bidder, before contract award has committed a transgression through a violation of Section-2 or in any other form such as to put his reliability or credibility as Bidder into question, the Purchaser is entitled to disqualify the Bidder from the tender process or to terminate the contract, if already signed, for such reason.

1) If the Tenderer / Contractor has committed a transgression through a violation of Section- 2 such as to put his reliability or credibility into question, the Purchaser is entitled also to exclude the Tender / Contractor from future contract award processes. The imposition and duration of the exclusion will be determined by the severity of the transgression. The severity will be determined by the circumstances of the case, in particular the number of transgressions, the position of the transgressors within the company hierarchy of the Tenderer / Contractor and the amount of the damage. The exclusion will be imposed for a minimum of 6 months and maximum of 3 years and/or minimum of 2 bidding process and maximum of 6 bidding process.

2) If the Bidder / Contractor can prove that he has restored / recouped the damage caused

by him and has installed a suitable corruption prevention system, the Purchaser may revoke the exclusion provided such corruption prevention system have been audited by an independent agency.

Section 4 – Compensation for Damages

1) If the Purchaser has disqualified the Bidder from the tender process prior to the award according to Section 3, the Purchaser is entitled to demand and recover from the Bidder liquidated damages equivalent to the amount of Earnest Money Deposit / Bid Security, whichever is higher.

2) If the Purchaser has terminated the contract according to Section-3, the Purchaser shall

be entitled to demand and recover from the amount equivalent to Security Deposit/ Performance Bank Guarantee whichever is higher.

Section 5 – Previous transgression

1) The Bidder declares that no previous transgressions occurred in the last 3 years with any other company in any country or with any Public Sector Enterprise in India that could justify his exclusion from the tender process.

2) If the Bidder makes incorrect statement on this subject, he can be disqualified from the

tender process or the contract, if already awarded, can be terminated for such reason.

Section 6 – Criminal charges against violating Bidders / Contractors / Sub-contractors

If the Purchaser obtains knowledge of conduct of a Bidder, Contractor or Sub-contractor, or of an employee or a representative or an associate of a Bidder, Contractor or Sub-contractor which constitutes corruption, or if the Purchaser has substantive suspicion in this regard, the Purchaser will inform the Office of the C.V.O. in MECON.

Section 7 – External; Independent Monitor / Monitors (three in number depending on the size of the Contract) (to be appointed by the CMD of the Purchaser in consultation with CVC).

1) The Purchaser has appointed external independent Monitor for this Pact, whose name

and address is given below:

Sri. D.Sahay External Independent Monitor 1st Floor (in front of CMD office) MECON Ltd., Ranchi-834 002, Jharkhand. The task of the Monitor is to review independently and objectively, whether and to what extent the parties comply with the obligations under this agreement.

2) The Monitor is not subject to instructions by the representatives of the parties and performs his functions neutrally and independently. He will inform actions taken by him to the CMD of the Board of the Purchaser and the CEO of the other parties involved.

3) The Contractor accepts that the Monitor has the right to access without restriction all Project documentation including books, records and staff relevant to such tender of the Contractor including that provided by the Purchaser. The Contractor will also grant the Monitor, upon his request and demonstration of a valid interest, unrestricted and unconditional access to Sub-contractors. The Monitor is under contractual obligation to treat the information and documents of the Bidder / Contractor / Sub-contractor with confidentiality.

4) The Purchaser will provide to the Monitor sufficient information about all meetings among the parties related to the Project provided such meetings could have an impact on the contractual relations between the Purchaser and the Contractor. The parties offer to the Monitor the option to participate in such meetings.

5) As soon as the Monitor notices, or believes to notice, a violation of this agreement, he will so inform the Management of the Purchaser and the party concerned and request the Management of the Purchaser and the parties involved to discontinue or heal the violation, or to take other relevant action. The monitor can in this regard submit non-binding recommendations. Beyond this, the Monitor has no right to demand from the parties that they act in a specific manner, refrain from action or tolerate action.

6) The monitor will submit a written report to the CMD of the Board of the Purchaser within 8 to 10 weeks from the date of reference or intimation to him by the “Purchaser” and, should the occasion arise, submit proposals for correcting problematic situations.

7) If the Monitor has reported to the Chairperson of the Board a substantiated suspicion of

an offence under relevant Anti-Corruption Laws of India; and the Chairperson has not, within reasonable time, taken visible action to proceed against such offence or reported it to the Vigilance Office, the Monitor may also transmit this information directly to the Central Vigilance Commissioner, Government of India.

8) The word “Monitor’ would include both singular and plural. Fee and/or any other incidentals including travelling / conveyance expenses, if any, payable to EIM shall be borne by the Purchaser.

9) The EIM can only be removed from his appointment, if: i) all of the Parties agree in writing to remove him, or ii) he resigns; or iii) he is removed from his office by order of a Count having appropriate jurisdiction.

Section 8 – Pact Duration This pact begins when both parties have legally signed it and shall expire 12 months after the last payment under the respective contract and for all other bidders 6 months after the contract has been awarded. If any claim is made / lodged during this time, the same shall be binding and continue to be valid despite the lapse of this pact as specified above, unless it is discharged / determined by CMD of the Purchaser. Section 9 – Other Provisions

1) This agreement is subject to Indian Law, Place of performance a jurisdiction is the Registered Office of the Purchaser, i.e. Ranchi.

2) Changes and supplements as well as termination notices need to be made in writing.

3) If the Contractor is a partnership or a consortium, this agreement must be signed by all parties or consortium members.

4) Should one or several provision of this agreement turn out to be invalid, the remainder of this agreement remains valid. In this case, the parties will strive to come to an agreement to their original intentions.
