The students are affiliated with the Exchange Member companies and major in a variety of fields such as Business, Law, Medicine, Forestry and Computer Engineering. The Exchange holds two annual events, a Fall Golf Tournament in October and a Crab Feed in December to raise money for the scholarship program in an effort to contribute to the continued education of our youth. The Builders’ Exchange of Stockton also uses its scholarship funds to support construction related education and events at our local high schools and colleges.

Bill to Soften Harsh Disgorgement Penalties Continues to Move

We have often written about the harsh penalties contained in Business and Professions Code Section 7031. Under this law, a person engaged in the business or acting in the capacity of a contractor must be a "duly licensed contractor at all times" while working on a project for which a license is required in order to receive compensation for that work.

The California Supreme Court, reviewing this provision, has found that "[s]ince the Contractor’s License Law (CLL) was adopted in 1939 . . . [this provision] has declared that, except as expressly otherwise provided, a contractor may not sue to collect compensation for performance of any act or contract requiring a license without alleging that he or she was duly licensed at all times during the performance of that act or con-tract." (MW Erectors, Inc. v. Niederhauser Ornamental & Metal Works Co., Inc. (2005) 36 Cal.4th 412, 425 [internal quotation marks omitted].) "In 1989," the Court notes, this provision "was amended to make clear that the bar extends to actions in law or equity and applies regardless of the merits of the cause of action."

According to the Court: [t]he words "at all times" convey the Legislature's obvious intent to impose a stiff all-or-nothing penalty for unlicensed work by specifying that a contractor is barred from all recovery for such an "act or contract" if un-licensed at any time while performing it. This all-or-nothing philosophy is directly at odds with the premise that contractors with lapses in licensure may nonetheless recover partial com-pensation by narrowly segmenting the licensed and unlicensed portions of their performance. (Niederhauser, 36 Cal.4th at 426.)

In 2003, the Legislature revised the conditions under which contractors with lapsed licenses may bring actions to recover compensation due for the performance of unlicensed work. AB 1386 (Horton, Ch. 289, Stats. 2003) authorized a court to apply the judicial doctrine of substantial compliance to allow an action for recovery to proceed where a previously licensed

contractor: (1) acted reasonably and in good faith to maintain proper licensure; (2) did not know or reasonably should not have known that he or she was not duly licensed when per-formance of the act or contract commenced; and (3) acted promptly and in good faith to reinstate his or her license upon learning it was invalid. Unfortunately, these revisions have done little to provide relief to the vast majority of court cases that have dealt with this issue.

Segue to this year. AB 1793 (Holden) would authorize a contrac-tor to recover compensation for the performance of any act or contract for work performed during a time when the contrac-tor was duly licensed, thereby allowing contractors with lapsed licenses to receive partial compensation by segmenting the licensed and unlicensed portions of their performance. While it can be argued that if a contractor was duly licensed upon commencing a contract that he/she should be compensated in full even if there was a lapse in licensure, AB 1793 is a major improvement to the existing draconian provisions of law.

Why is this measure on the verge of becoming law while in years past it has gotten nowhere? It is simply due to the fact that the labor unions have finally recognized that this provision in law has literally killed many outstanding contractors’ busi-nesses, taking with it many well-paying union jobs. Regardless of why, their ‘change of heart’ is good news for all licensed contractors! Stay tuned for updates.

SOLID GAINS IN CONSUMER SPENDING, CONFIDENCE Personal spending rose 0.4% in May, according to the Department of Commerce, complemented by a 0.2% advance for personal incomes. April’s consumer spending increase was revised up to 1.1%. The Conference Board’s monthly consumer confidence index also improved in June, heading north 5.6 points to a reading of 98.0.1

BEST ISM MANUFACTURING PMI IN 16 MONTHS The factory purchasing manager index, maintained by the Institute for Supply Management, reached 53.2 in June, a gain of 1.9 points to its highest reading since February 2015. As recently as February of this year, the PMI was below the 50 level, demarcating growth from contraction. In other news concerning economic output, the federal government revised Q1 GDP up 0.3% to a final estimate of 1.1% last week.1,2

HOUSING CONTRACT ACTIVITY SLOWS The National Association of Realtors reported a dip in pending home sales: they declined 3.7% in May. Turning to other housing news, the 20-city composite Case-Shiller home price index showed a 5.4% annualized gain in its April edition, ticking down from 5.5% in March.1

STOCKS REBOUND IMPRESSIVELY Recovering in the wake of the Brexit vote, Wall Street had its best week of 2016. In fact, the S&P 500 recorded its best week since last November, adding 3.22% in five trading days to take the index positive year-over-year. The Dow Jones Industrial Average advanced 3.15% for the week; the Nasdaq Composite, 3.28%. The big three settled Friday as follows: DJIA, 17,949.37; NASDAQ, 4,862.57; S&P, 2,102.95. Gold futures closed Friday at $1,339.00 on the COMEX. Light sweet crude ended the trading week at $48.99 on the NYMEX.3

THIS WEEK: Monday is Independence Day: Wall Street is closed for trading. Nothing major is slated for Tuesday. ISM’s service sector PMI arrives Wednesday, along with minutes from the June Federal Reserve policy meeting and earnings from Walgreens Boots Alliance. Thursday, the June Challenger job-cut report and June ADP employment report both appear; plus, earnings from Barracuda Networks, PepsiCo, and WD-40. Friday, the Department of Labor issues its latest jobs report.

Those who drive for a living would be the first to agree it can be mighty dangerous out there on California’s crowded roads. Although the common factors of inexperience, reck-lessness, and aggressive driving contribute to many vehicle accidents, it doesn’t explain why so many professional driv-ers get into accidents. A driver may be trained, experienced, and competent behind the wheel, but the very flood of vehicles competing for space on the roads today presents added danger to all drivers. Even the very best drivers must learn to operate their vehicles with life-saving EXTRAS.

Drivers should take extra care of their vehicles’ mainte-nance by keeping them in good operating condition. Before getting behind the wheel, do a simple walk around the ve-hicle to insure that tires are properly inflated and have good tread, check that lights are clear and working, and see that windshields are clean and wipers blades are sharp.

Once inside the vehicle, drivers should take the extra time to check the gas gage, adjust the mirrors, seat, and seatbelt to a comfortable position and, if it’s an unfamiliar vehicle, locate the lights, brakes, and wipers. Horns, flasher lights, and other warning devices are not just accessories but vital parts of the extra safety built into any vehicle, so make sure they operate properly.

On the roadways, be extra careful by driving defensively. Following the rules of the road can help you concentrate on what your should be doing…driving. Stay out of the other vehicle’s blind spot and avoid tailgating. Instead, keep a safe distance from other drivers by maintaining that extra

safety cushion of driving space between your vehicle and those around you. As an extra precaution, know the condition of the weather and road and drive only as fast as those condi-tions allow.

Be extra cautious by staying alert and expecting the unexpect-ed. Watch out for and anticipate other drivers, pedestrians or children on or near the road. Safe drivers scan constantly for hazards, predicting how they may be affected by a hazard and pre-determining how to avoid or reduce them.

The ever-changing variable of the road and other vehicles can make drivers instantly vulnerable to accidents. If drivers don’t practice these life-saving extras on the road, they might personally discover why vehicle deaths and serious injuries now total more than all the wartime wounded and fatalities since 1776.
