Empowerment Policy Measures

An internal dispute resolution system shall be agreed with the Employment Equity Forum in order not to jeopardize the process of analysis and planning. The Human Resources Department shall be responsible for ensuring good communication on all aspects of the process to all employees.

Line management accountability will be clearly defined and the Employment Equity Manager will monitor progress on a monthly basis.

Duties of the Manager Responsible for Employment Equity Plans

The manager, who shall be assigned by the Managing Director to ensure that employment equity is

achieved in the workplace, will have the following duties:

Collection of all employment data received from the analysis

Identification of discriminatory or potentially discriminatory practices and development of plans to eliminate such practices.

Co-ordination of recruitment strategies to achieve compliance with the employment equity policy.

The Employment Equity Analysis

An analysis shall be conducted of all employment policies and procedures in order to identify barriers that

adversely affect people from designated groups. A profile will be developed of the company’s workforce

within the different occupational categories and levels in order to determine the degree of under-

representation of employees from the designated groups in such categories and levels.

Consultation with the employment equity forum shall take place throughout the analysis phase. The

company may utilize a team of employees from the employment equity forum or independent consultants

to conduct the analysis.

Employment Equity Plan

The company shall in consultation with the employment equity forum compile plans to achieve all the

objectives of employment equity. The plans shall comply with the requirements of the Employment Equity

Act and any regulations or codes of good practice, which may be published in this regard. Plans shall be

displayed on the notice boards for the information of all employees.

Review of Employment Policies and Practices

The company shall review all existing policies, practices and procedures with a view to their effect on the

Broadband Business Model

TECHNICAL PLAN Com IT is in a favorable position in that we already have networks rolled out in Polokwane with International relationships in place for Navini Wimax latest edition equipment with voice codecs incorporated within the network architecture to offer services as required by its market. Com IT is being formed in South Africa at a time when there’s a vast choice of technologies that can be used to serve our target market however few proven in both Urban and Rural areas. Market segmentation is critical in positioning Com IT. The envisaged market is segmented as follows:

The above services (amongst others) will determine the technology used to provide access (last mile) so as to ensure quality of service at all times. The services stated above dictate that a universal next generation network (NGN) be deployed. Figure 1: (Diagram of WiMax Network) This model serves to separate switching and routing and universal access from call control and service application. The universal access provides multi-service access. Universal gateways provide access and connectivity between different networks. Underlying all these is a reliable transport network and an overall network management system. Traditional network operators the world over, have always relied on the provision of different services based on different service platforms. In other words, voice was provided on a voice network and data provided for on a different platform. The proposed network architecture demonstrates that multiple services can be offered on one platform. Network operators today are implementing plans to converge their voice and data networks This also helps in making use of spare capacity from one network that was previously not available to a particular service. Frequency Requirements Proposed frequency spectrum use: COM IT operated by us would be a fixed wireless network, meaning that, although this will be a fixed network, we would like data mobility to be available to our subscriber base. This also means that although the core is fixed, the access will be a combination of both fixed and wireless. Wireless technology in the access will provide us an opportunity to reach our potential customer base quicker, therefore affording us a shorter time to market our services. The 3.5GHz band is a popular part of the spectrum for fixed wireless access technologies in urban, sub-urban and town/village scenarios. 2.6GHz and 5.7 to 5.8GHz frequencies are also desirable and appropriate for fixed wireless solutions connectivity. Spectrum efficiency We believe that the South African spectrum is currently well managed by the regulator ICASA. We however feel that the Regulator must put in place ways and mechanisms to make sure that there is maximum spectrum efficiency.

Spectrum availability Com IT are already an approved license reseller for Spice Telecom who have a national license in the 2.5 to 2.6Ghz Band. This is a Multi Media license under the Sentech spectrum.

Redundancy All equipment used by the Com IT will be fully redundant to ensure full service availability at all times. This means that redundant network systems will be used for all layers of the network as shown in figure 1. The call control layer will also ensure that alternative network routes are used in case certain parts of the network are not available. We will also ensure that the equipment sourced has enough intelligence to monitor and take proactive action to prevent a network catastrophe. System capacity The network elements used by the COM IT will be dimensioned in such a way that each network element will be able to handle any load type. Each network element in any particular area will be dimensioned according to that area’s traffic requirements. Traffic monitoring mechanisms will be employed to fully monitor any traffic growths. Monitored busy hour traffic will be used to determine system availability at all times. System flexibility The equipment sourced by COM IT will be highly flexible to provide for changing network requirements. The equipment will be highly flexible and scalable. It will be ensured that changing network environments will be easily configurable, changeable and implemented. Initial capacity and capabilities for expansion of capacity The proposed network design will start small and grow as the demand for network services rises. The network will be monitored from a centralised management platform and any growth in service demand will easily be noticed and corrective action quickly implemented. Air interfaces: Air interfaces will be required at two levels/layers of the network. These are the transport layer and universal access layer as depicted in figure 1. The required interfaces will incorporate point-to-point and 2. point-to-multipoint. These interfaces will be provided via satellite, microwave technology and for the access, Wimax. Security The security features for the operation of the network nodes in open computer networks are grouped into the following categories:

Alarm reporting Quality of Service (QoS) The issue of QoS is very crucial to the proposed network architecture based on. The core of the network is a reliable switching and routing layer, based on the Internet protocol (IP). QoS is rucial for the success of voice over IP (VoIP). Subscribers will not accept worse quality than the TDM quality, which they already know. Running voice over data networks puts high demands on the packet networks. The end-to-end quality of speech in VoIP depends on the QoS in the IP backbone and on the used quality of the media gateway or access gateway. The end-to-end delay from one subscriber to the other is the most important factor for speech quality. According to the ITU-T G.114 standard a delay of below 90ms is acceptable to the human ear. We will ensure that sourced equipment will comply with other QoS standards. Not only QoS is the issue in the core, but also in the access. The problem in the access is the limited bandwidth is available. Therefore specific mechanisms are needed to assure that the bandwidth for voice is guaranteed. It will be our duty as a national operator to ensure that the voice quality is of acceptable standards. Interconnection The success of the COM IT network will also rely heavily on the interconnect agreements it has with incumbent network operators. COM IT will enter into negotiations with Telkom, Vodacom, MTN and Cell C as soon as the license is issued and the regulator as made provision for VAN’s and PTN’s to Interconnect. We have noted that Telkom was instrumental in ensuring that the mobile operators succeeded by offering discounts in interconnection fees. It is also hoped that the COM IT will not be discriminated against by any of the incumbents, that adequate mechanisms are in place to monitor the need for additional capacity to always ensure service availability.

OWNERSHIP AND MANAGEMENT STRUCTURE

The founders of ComIT have joined forces on a 50/50% shareholding with Limpopo based black owned company – BBT Holdings (Pty) Ltd and some national and international key experts to exploit opportunities in the South African telecoms market. Together, they represent a complementary mixture of entrepreneurs, marketers and telecommunications professionals. The shareholding is currently held at 70/30 with BBT Holdings owned by Mosena Family being majority shareholder.

He is responsible for implementing a network architecture and operational direction for ComIT’s sales efforts to be simple and streamlined. Mr Byleveldt’s technical expertise started with ten years microwave and transmission environment where he installed, commissioned and maintainedTDMA, CDMA, DECT, Long range Digital and Analogue Microwave systems from 2Mbit up to 565Mbit. He also specialised in Broadcast TV and monitoring systems. Frik is highly skilled project manager for network design and rollout including a 62000 line DECT rollout for Telkom. In 1997 he was head hunted to be a National high level support Engineer for Lucent Technoloies where he managed up to 180 installation teams that rolled out a Metropolitan level broadband access and voice service that stretched across most of the country down to the last mile including Customer premises equipments. Whilst at Lecent Technologies, he managed and supported

Egypt TDMA networks with a client base in excess of 120 000 subscribers. Frik was a project leader for numerous type approval lab testing for the new products and legacy network integration systems. During this period, he attended numerous international training seminars, supported pre sales technology programs and became an international Lucent Certified Trainer on Wireless networks and protocols. From 2000 to 2002, he was contracted to Telkom upgrading TDMA networks and Swing Wireless Local Loop networks and thereafter contracted himself to a Nigerian Technology Support Company for skills development and support where he subsequently took over all technology related elements for the Oil Company Shell. He is now a full time acting managing director of ComIT. He has also achieved a national Telecommunication Diploma in 1990 from Telkom Technology College SA. Mr. Mathibela Selepe / Kirby (41), Gauteng Sandton Office) Associate /advisors – JV Partners Mr. Patrick Kirby is an established Telecoms Engineer certified most recently by Lucent Technologies as a Systems Engineer and International trainer. Patrick is highly skilled in the Voice and Data technology sector specialising in IP and TDM systems operating in Wired and Wireless environments. He started his career with ten years with Telkom where he gained a wealth of knowledge in the transmission and access layers of telecoms experiencing the highest level of system training whilst obtaining a National Diploma in Telecom Electronics. After Telkom Patrick was head hunted to start a technical department for a vehicle tracking company Data Track that was installing a vehicle tracking and locating network. Whilst there, he worked with helicopter manufacturers to mount one of the first Doppler tracking devices on an aircraft. However, it was at Lucent where he gained vast knowledge and exposure to global networks and high level support structures. For four years Patrick excelled in the building, developing and strategising global support structures and customer technology management, he quickly cemented himself in the technology research and training environment where he re-wrote Engineering training manuals and delivered the knowledge to various languages throughout the globe. Patrick is highly skilled in training delivery and ability to communicate high level information to anyone. From 2001 to 2003 Patrick looked after support for the Africa region. He has consulted and supported trading banks like RMB, Investec, Merryl Lynch, Standard Chartered Bank and many others for SAAB Grintek. From 2003 to 2005 Patrick was head hunted for an International Telecoms company Midas Telecom to build and develop an International call carrier department that achieved targets of £4Million per annum. He is also worked with Spice Telecom looking after all deployment of Wimax based networks and a 7500 client carrier grade voice network.. Currently Patrick is employed full time with ComIT.

Craig Dean (36) - Director, Strategy Development Based in Johannesburg, SA, Mr. Dean is a founding member of the Company. He is involved in all

strategic design, operational and legislative matters pertaining to the technical direction for the successful

rollout of voice and data networks. Mr. Dean brings to the Company a vast array of development,

deployment and maintenance experience of telecoms equipment and IT systems on an international scale.

From 2004 to 2006, Mr. Dean was Managing Director and Head of Operations for South African and

African markets for Midas Telecom, Midas SA, a division of Midas Telecom, UK, which was formed in

1996 and specializes in the Telecoms and IT industry. From 2001 to 2004, Mr. Dean initiated an

International Development strategy for Molapo Technologies, a South African company, which specializes

in the research, development and repair of telecoms equipment. During this period, he grew sales from

inception to R250 million per annum and negotiated service level agreements with numerous multi-national

firms, such as: T-Mobile, Deutsch Telecom, AT&T and France Telecom. Mr. Dean’s broad range of

technical capabilities were honed with the provision of system-certified training and network engineering at

Lucent Technologies. From 1996 to 2001, he provided high-level technical support on Voice switching,

P2P digital microwave, PMP CDMA (Code Division Multiplexing Access) and TDMA (Time Division

Multiplexing Access), Internet Protocol broadcasting Television systems, GSM Architecture and Planning

of Broadband IP networks. As an Apprentice and subsequent post qualifications working at Telkom SA for

seven years from 1989 to 1996, Mr. Dean developed in-depth skills with: (1) Switching Systems, such as:

certification SS7 (Signal Switching level 7) interconnect switching and electromechanical switching, (2)

Transmission Systems, such as: installation, commission and support of P2P microwave for GSM networks

and fibre optic installation and planning, and (3) Access Technologies, such as: PMP wireless access

solutions and P2P wireless solutions. Mr. Dean graduated from the Oxford Brooks School of Business UK,

with diplomas in Business Management, High Certification for Strategic Project Management, Customer

Relationship Management, and Electronics.
