Proposed Amendments to the Bylaws of The National Exchange Club
To be considered at the National Convention in Chandler, Arizona
July 11-14, 2012
Method of Amending the Bylaws of The National Exchange Club
Proposed Amendments are to be considered by the Representatives of Exchange Clubs and other members
of The National Exchange Club in Convention assembled. The Bylaws may be amended by a majority vote
of the accredited delegates present and voting, except Articles I, II, III, IV, V, VI, VII, VIII, IX, X, XI, XVII
and XVIII, which require a two-thirds (2/3) vote of the accredited delegates present and voting. An asterisk
(*) is shown after each of the Proposed Amendments that fall into the category requiring a two-thirds vote.
The following Proposed Amendments were placed in the hands of the Executive Vice President sixty (60) days prior to
the date of the National Convention. A copy of the Proposed Amendments must be mailed to the President and
Secretary of each club not later than thirty (30) days prior to the date of the convention. The form and language have
been approved by the National Committee on Jurisprudence and Laws. Dissemination of information on the proposals
does not necessarily imply endorsement by The National Exchange Club or any official committee or board. The
presenter is noted with each Proposed Amendment.

PROPOSED AMENDMENT NO. 1* TO THE BYLAWS OF THE NATIONAL EXCHANGE CLUB
ARTICLE III Membership
RESOLVED that Section 3, Paragraph F, of Article III (Membership) of the Bylaws of The National Ex-
change Club be amended in the first paragraph, by striking the last sentence: “A Business Member shall not
have the right to vote or hold office.”; and substituting the following two sentences: “Only the primary
contact from the business shall be allowed to vote or hold office. Any additional designated person or
persons from the business shall not have the right to vote or hold office.”; so that Section, Paragraph F, as
amended, shall read:
Section 3. Exchange Clubs. Membership in the local Exchange Clubs shall be composed as follows:
F. Business Member – Any business entity (partnership, corporation, or LLC) in a community that
supports the mission of Exchange may apply to the Club’s Board of Directors for a Business
Membership. Each Business Member shall designate a primary contact from the business to receive

communications from the club and attend club meetings. Each Business Member shall also be
entitled to designate up to two additional persons from the business who may attend club meetings.
A Business Member shall not have the right to vote or hold office. Only the primary contact from
the business shall be allowed to vote or hold office. Any additional designated person or persons
from the business shall not have the right to vote or hold office.
The National Board of Directors shall have the power to establish such terms and conditions for a Business
Member classification.

PROPOSED AMENDMENT NO. 2 TO THE BYLAWS OF THE NATIONAL EXCHANGE CLUB
ARTICLE XII Conventions
RESOLVED that Section 3, Paragraph A, of Article XII (Conventions) of the Bylaws of The National Ex-
change Club be amended in the first sentence by adding a comma (,) and the phrase “Club Immediate Past
President”; and by striking the word “three (3)” and substituting the word “two (2)”; so that Section 3,
Paragraph A, as amended, shall read:
Section 3. Delegates. There shall be two (2) types of voting delegates as follows:
A. Club Delegates.
Each chartered Exchange Club in good standing shall be entitled to voting delegates at any
convention of The National Exchange Club by the Club President, Club President-Elect, Club
Secretary, Club Treasurer, Club Immediate Past President and three (3) two (2) voting delegates
for its first twenty-five (25) members and one (1) voting delegate for each additional twenty-five
(25) members based on the membership reported as of March 31 preceding the convention. The
charter membership figure of a new club chartered after March 31 will determine the number of
voting representatives allowed the new club at any convention. At the time of electing delegates,
the club shall be entitled to elect an alternate for each such delegate from the Active, Active
Honorary, Life or At-Large Members in good standing in the club that they represent. An al-
ternate may be elected for any voting delegate. The Club Secretary shall give written notification
of the delegates to the Executive Vice President prior to any convention. In the event any
chartered clubs fail to certify the election of its delegates and alternates as herein set forth, the
National Convention Committee on Credentials shall have the right to determine the seating of
the delegates or alternates for the club.

ARTICLE V Excel Clubs and Junior Excel Clubs
RESOLVED that Section 5 of Article V (Excel and Junior Excel Clubs) of the Bylaws of The National Ex-
change Club be amended by striking the word “sixth” and substituting the word “fifth” in the second
sentence thereof, so that Section 5, as amended, shall read:

Section 5. Membership in Excel Clubs shall be open to any young person in high school (or
home schooled) from the ninth grade through the twelfth grade. Membership in Junior Excel Clubs
shall be open to any young person enrolled in a primary/grade school (or home schooled), sixth fifth
grade through ninth grade.

IN SYMPATHY
Delores Karnes Delores Karnes, mother of Region 7 Vice President Tom Karnes, passed away on
Thursday, May 17, 2012, following a year-long battle with vascular dementia. Funeral services were held on
Monday, May 21, at Christ the Good Shepherd Church in Lincoln Park, Michigan. Internment followed at Our
Lady of Hope Cemetery.
Delores was preceded in death by husband, Edmund Karnes. Survivors include Debbi (Frank) Kootsillas, Thomas
(Mary) Karnes, Laurie (Thomas) Rothe, Frederick (Roseann) Karnes; stepson, Edmund J. (Nancy) Karnes; 14
grandchildren; 11 great-grandchildren; one great great-grandchild; brothers Thomas (Bobbie) Gaffigan and
Robert (Sara) Gaffigan; sisters, Helen (Ralph) White and Ivy Eilertson; along with several nieces and nephews.

J. William Dieker, a 46-year member of the Exchange Club of Champaign, Illinois,
passed away on Friday, June 8, 2012, at Carle Hospital in Urbana, Illinois. Through the years, Bill served in
numerous offices at the club and district levels He was Lincolnland District (formerly Illinois-Southern Wisconsin)
and good friend of Past National President Jim Brown. Bill also served a term on The National Exchange Club
Foundation (for the Prevention of Child Abuse.)
A funeral mass was held on Tuesday, June 12, at St. Matthew Catholic Church in Champaign. Bill is survived by
wife, Norma; son, James W. Dieker (Diana) of Champaign; and a daughter, Julie Dieker Lohmeier, of Clarendon
Hills; and four grandchildren.

MAY MEMBERSHIP REPORT
Congratulations to President Sid Mobley and his class of District Presidents, they move into
their final month of leadership. They have strived to follow Article 1 as President Mobley has asked them to do.

ARTICLE I
PURPOSES
Section1. The purposes of the district shall be to strive for the attainment of the ideals and
purposes of The National Exchange Club by:
A. The building of local Exchange Clubs.
B. Increasing fellowship between clubs within the district.
C. Strengthening established clubs.
D. Promoting the participation of local Exchange Clubs in the Programs of service of
The National Exchange Club.
