    Licensing

    Thank you for choosing e-MDs software and we look forward to serving you.

    Maintenance Renewal - e-MDs

    Upon the renewal of your maintenance, e-MDs will email you an activation key. Requesting and installing the

    new key will prevent and/or resolve any warning messages that your license will expire. Please complete thebottom of the maintenance agreement so we can automatically email you the activation key. If you have anyquestions, please email [email protected].

    Please review the attached renewal form for accuracy. I f you have any changes and need to get an updatedrenewal form or if you have any other questions concerning your maintenance agreement, please [email protected]. If all information is accurate, complete the provider list, sign and fax to 512-257-5225 orsend to PO Box 2889, Cedar Park, TX 78630, attn: Maintenance Renewal. I f you are paying by check,please note that the maintenance renewal agreement does not inc lude applicable sales tax. Once youreturn your si gned maintenance agreement, we will create a formal invoi ce with sales tax and mail toyour office. If you need the invoice expedited, please let us know w here to fax or email it to w hen yousend in your co mpleted maintenance renewal. If you are paying by credit card, complete the credit cardsection of th e renewal. We will add sales tax and charge the credit card once we receive the completedrenewal.

    From time to time e-MDs may query your server remotely, or you will be asked to certify to us the number ofproviders currently using the e-MDs Solution Series applications at your site. Maintenance and Support fees willbe pro-rated monthly for providers or applications added during the reporting year, to adjust all annual fees to theend-user's license anniversary date.

    Renewal Fees for Maintenance and Support

    The annual maintenance and support fee is equal to a percentage of the current initial license fees, determinedat the time of renewal. The maintenance plan insures that you will get the latest reference data and the latesttechnology. On a regular basis e-MDs will update information included in the Software, such as codes ormedical libraries. The cost of these updates is covered by the Maintenance and Support Fee.

    e-MDs may elect to release additional software enhancements or features that offer additional functionality notincluded in the e-MDs Solution Series at the time of your initial license. These upgrades will also be mdeavailable to existing users of the Software as part of the Maintenance and Support Fee. The cost, if any, ofupgrading 3rd party software (i.e. Microsoft SQL) is not included in e-MDs Maintenance Fee and will be borne bythe end-user.

    Our records indicate that your Annual Maintenance Agreement for Upgrades and Support will expire soon. ARenewal Agreement is enclosed. To ensure uninterrupted Upgrades and Support, please sign and return it rightaway. If you would like to pay via credit card please complete the credit card payment section of the renewalagreement and fax it back to 512-257-5225, Attn: Maintenance Renewal Department.

    All renewal amounts are due prior to the commencement date of the renewal period. Maintenance must becontinuous; in the event of renewal after a period of lapse, Licensee will be responsible for retroactive paymentsfor the lapse period. Maintenance fees delinquent beyond 180 days may not be brought current and will requirethe customer to repurchase the current version of our software.

    Licensing After you have sent in your annual maintenance renewal from and payment.Please take a moment to email [email protected] to request a new annuallicensing key. In your email you should include the following: name of clinic,provider count, main phone number, and contact person. Requesting andinstalling the new key will prevent and or resolve any warning that your license

    e-MDs st rongly encourages the Customer to develop and fol low: (1) a Software back-up plan (atleas t w eek ly a f ull s ys tem b ac ku p, i n ad dit io n t o p er fo rm in g a f ul l s ys tem dat abas e b ac ku pimmediat ely p rior to ins tal li ng any upgrade (inc luding enhancemen ts o r mod if icat ions o f anykind) to the Software and each such pre-upgrade backup should be maintained unt il the date thatis the later of: twelve full months from the date of the installation of the upgrade to theCustomer s Software or s ix months af ter the next such upgrade) and (2) a disas ter recovery planfor the Customer s use of the Software and related operat ions . To the extent Customer does nothave an d m ai nt ai n at l eas t s uc h m in im um r ec om men ded f ul l d at ab as e b ac ku ps , Cu st om er understands e-MDs is not in any w ay responsible f or: any damages and inconveniencesresult ing from such failure; and, including any damages or inconveniences that would have beenmit igated with such recommended minimum back-ups . Although e-MDs does not provide suchservices , Customer should consult with Customer s own IT staff or contrac tors and consultantsto develop an appropriate back-up plan and disaster recovery options for the Customersoperations related to t he Sof tw are. e-MDs agrees that Cust om er may copy and image theappl icab le e-MDs Software database(s ) as r easonab le and appropri at e for such backup andrecovery purposes . Customer agrees to keep an accurate accounting of al l copies and backupsof t he So ft war e m ad e an d t o p rov id e e-MDs w it h s uc h ac co un ti ng u pon r eq ues t. Cus tom er i sr espons ib le to requi re that any thi rd par ty p roviding such servi ces to Customer ab ides by andcomplies wit h the Customers obligations und er the Agreement.

    Customer confirms that : (1) the number of Users (defined below) being reported by Customer relatedto the AMA CPT Code [CPT copyright 2012 American Medical Association. All rights reserved; CPT isa registered trademark of the American Medical Association] content is accurate, along with the currentnumber of such Users confirmed by Customer on this annual renewal agreement; (2) Customer has onlyac ces sed an d w ill o nly u se an d ac ces s t he AMA CPT Co de c on ten t d es ig nat ed as b ein g i n t he s am ecalendar and subsequent years of consecutive annual renewals (as may be applicable to Customer) year that Customer first obtained the Software from e-MDs; and (3) Customer understands and agrees thatwil l be obligated to pay additional charges if Customer or i ts Users uses or accesses the AMA CPT Codecontent designated for any calendar years prior to the calendar year in which Customer ini tial ly becamean author ized user of e-MDs Software and cus tomer of e-MDs or for any year dur ing which Customer may have not co nsecutively renewed the Customers accou nt wit h e-MDs.Curren tly, the AMA provides the fol lowing wri tt en guidance related to how you as the Customer mus tcomply with and confi rm related to the AMA CPT Code content embedded in the e-MDs Software:

    Acc ording to the term s of the AMA CPT Code lic ensing Agr eement , User means an in div idual w ho:

    (a) accesses, uses, or manipulates CPT Editorial Content contained in the Electronic Licensed Product;or

    (b) accesses, uses, or manipulates the Electronic Licensed Product to produce or enable an output (data,r ep or ts , o r t he l ik e) t hat c ou ld n ot h ave b een c reat ed w it ho ut t he CPT emb ed ded i n t he El ec tro ni cLicensed Product even though CPT Editorial Content may not be visible or directly accessible; or

    (c ) mak es u se o f an o ut pu t o f t he El ec tr on ic L ic en sed Pr od uc t t hat r el ies o n o r c ou ld n ot h ave b eencreated without the CPT Editorial Content embedded in the Electronic Licensed Product even thoughCPT Editorial Content may not b e visible or directly acc essible.
