1. COMPANY'S OBLIGAT10NS.

oomplctc rcquired testing,and achieve a passing score(器 defmed by Hospital iOm imc totimO;〔ii)COmplete Hospttd's annual ethics and cOmpliance training;and〔 ぅ abidC by the

Hospital's standardized dress code/11nifo.11l policy.

c. Patiellt SatisfactiolL SurVeys, Company shau conduct patient satisfactioll

swveys on a monthly basis and p■ ovide suⅣ cy results to Hospital'sDむ cctor of Q」 ity

Managclnent for qudity and pattrIIlancc improvcment purposes.

f. Representations and Warranties. Company teprcsents and warrants toHospital as follows: (i) neither Company nor any Company Staff is botrnd by any agrcement orarangement which would preclude Company or any Company Staff from entering into, or fromfully perfoming the Services required under this Agreement; (ii) no Company Staffs license orcc■iflcatiOn in the State or in any o■ erjurisdiction has never been dcniet suSpended,К vokecteiriri-nateil, rel-inqui-sFeTunder-ttrreai ofaidCipli'inry action, oi iei[riCted in ariy wny; (iii) neithdiCompany nor any of Company Staff has ever been charged with or convicted of a criminaloffense related to health care or listed by a federal agency as debarred, excluded or otherwiseineligible for federal program participation.

2. Hosrtr.a.r,ts Ost,rcltroNs.

a. Pertormance Evaluations. Hospital's Medicaid Etigibility Staff shallprovide Company with an evaluation of each Company StafPs performance on an annual basis.

b. Interpreter Competency Assessment. Hospital shall assess thecompetency of each Company Staff utilizing the Hospital's standard interpreter competencyassessment process and forms.

3. Co*rp.uw's CoMPENsafiox. For the Services rendered pursuant to thisAgreement, Hospital shall pay Company in accordance with Exhibit A and shall be payablewithin thirty (30) days of receipt of written documentation of the performance of the Services.Notrarithstanding the foregorng, no compensation shall be payable to Company for any servicesfor which Company has not zubmitted such docunentation as reasonably required by Hospital,including, without limitation, the IRS Form W-9 "Request for Taxpayer Identification Numberand Certification." Company shall have the sole responsibility to compensate Company Staff.Company reserves the right, in its sole discretion, to determine the compensation payable toCompany Staff. Company hereby agrees to indemnify and hold Hospital harmless from any andall claims, costs and/or liability suffered or incumed by Hospital in connection with any claimsfor compensation by Company Staff for Services rendered hereunder. The indemnificationobligations herein stated in this Subsection shall survive the terrrination and/or expiration of thisAgreement.

4. TBnu. The tenn of this Agreement ('Term') shall be two (2) years commencingon the Effective Date. If the parties continue to abide by the terms and conditions of thisAgrcement without having executed a renewal or extension of this Agreement or advised theother party of such party's intent not to renew or extend this Agreement, then this Agreementshall automatically be extended on a month-to-month basis for up to six (6) months.

5. TrRulxa'non.

a. Tennination Without Cause. Either party may, in its sokj discretion,tenninate this Agreement without cause by giving the other party at least ninety (90) days' priorwritten notice.

7. INSURANCE.

Company shall secure and maintain at all times during the Temr, at Company's sole

expense, general liability insurance covering Company, and Company's Stafl with a carrier
