CARBONDALE & RURAL FIRE PROTECTION DISTRICT MINUTES OF THE MEETING BOARD OF DIRECTORS CARBONDALE FIRE HEADQUARTERS JANUARY 10, 2018 The Board of Directors of the Carbondale & Rural Fire Protection District met for their regular meeting on January 10, 2018 at the Carbondale Fire Headquarters/Training Building. President Gene Schilling called the meeting to order at 5:30 p.m. Directors present were Mike Kennedy, Michael Hassig and Gretchen Stock Bell. Director Tom Adgate attended via telephone. Also present were Ron Leach, Jenny Cutright, Rob Goodwin, Bill Gavette, Frank Nadell, Will Grandbois, Allan Ingram, Jake Spaulding, Garrett Kennedy and Mike Gandolfo. CONSENT AGENDA The items on the consent agenda were:

Approve the Minutes of December 13, 2017 Regular Meeting Approve Current Bills and Balances

Approve Resolution 2018-001, A Resolution of the Board of Directors of the Carbondale & Rural Fire Protection District Establishing the Public Places for Posting Notice to Comply with the Provisions of C.R.S. 24-6-402 and 32-1-903(2)

MOTION: made to approve the consent agenda as noted. It carried and passed unanimously. CONSIDERATION OF A SEPARATION AND RELEASE AGREEMENT FOR CHIEF RON LEACH Gene Schilling asked the board if there were questions or comments on the proposed separation agreement. Michael Hassig thanked Gene Schilling for negotiating and Ron Leach for everything he has done for the fire district. Michael Hassig questioned where the funds for the agreement would be accounted from. Gene Schilling noted that he believes the budget will be able to handle expense, but if not, a supplemental budget will be needed at the end of the year and the funds will come out of reserves. Michael Hassig questioned the process for selecting a new fire chief. Gene Schilling said that it could be discussed at the next regular Board of Directors meeting. MOTION: made to approve the Separation and Release Agreement for Chief Ron Leach. It carried and passed unanimously. Gene Schilling thanked Ron Leach for his many years of service to the community and the innumerable good things he has done over his career. Gene Schilling said that if Ron Leach accepts the Separation and Release Agreement, an interim chief will need to be appointed. Eric Gross noted that there is a seven-day period after the agreement is signed, that Ron Leach can revoke his signature. Gene Schilling said that the Board of Directors can move forward on the assumption that the agreement will not be revoked. Discussion regarding appointing an acting chief upon completion on the agreement followed. Mike Kennedy questioned the requirements for hiring an executive.

He also requested a special meeting shortly after the agreement is signed. Gene Schilling said that he would like to appoint an acting chief for the interim. Discussion followed. MOTION: made to appoint Rob Goodwin to the position of acting chief once the agreement has been executed and the time period expires. It carried and passed unanimously. MOTION: made to increase Rob Goodwin’s pay by $1500 per month to compensate him for the additional duties once he acting chief, until a permanent chief is hired. It carried and passed unanimously. Eric Gross said that he would prepare a memo for the Board of Directors regarding the hiring process and procedures. General discussion regarding hiring procedures followed. Director Tom Adgate left the meeting at 5:44 p.m. The Board of Directors recessed to the Pension Meeting at 5:45 p.m. without a motion. The Board of Directors reconvened the regular meeting at 6:06 p.m. without a motion. PERSONS PRESENT NOT ON THE AGENDA There were no comments from the public. FINANCIAL REPORT End of the Year Ambulance Write Offs Jenny Cutright presented the 2017 annual ambulance write off list, according to the ambulance billing police. She said the amounts are uncollectable, totaling $22,643.92 MOTION: made to write off the attached list as noted. It carried and passed unanimously. OLD BUSINESS Ambulance Purchase Update Rob Goodwin said the staff is still looking at ambulances. He said he has specs and is scheduling demo ambulances to come to the station over the next few weeks so crews can look at each type of ambulance that is being considered. He said after that he expects to get firm bids and make a recommendation to the Board of Directors. Further discussion regarding different types of chassis and ambulances followed. NEW BUSINESS Board of Directors Pay Gene Schilling said that the Board of Directors monthly pay was reduced due to the financial issues the district faced. General discussion followed. MOTION: made to approve Resolution 2018-002, A Resolution of the Board of Directors of the Carbondale & Rural Fire Protection District Setting Board of Directors’ Compensation. General discussion regarding followed. It carried and passed unanimously.

Appoint Designated Election Official MOTION: made to approve Resolution 2018-003, A Resolution Appointing a Designated Election Official and Authorizing Designated Election Official to Cancel Election. It carried and passed unanimously. Discussion regarding May election type Jenny Cutright said that the Board of Directors needs to determine if the May 8, 2018 election will be a mail ballot or polling place election. Discussion followed. It was decided to hold a mail ballot election. The Board of Directors also directed the Designated Election Official to place ads in local papers regarding the call for nominations. MOTION: made to adjourn the Board of Directors meeting at 6:20 p.m. It carried and passed unanimously. To improve service along Hwy82, Verizon Wireless is proposing to install a new wireless facility. The facility would include up to 12 panel antennas mounted to a mono-pine (see pictures attached). A mono-pine is described as a pole designed to mimic a pine tree. The proposed mono-pine would need to be 40-50’ tall, with 5’ of faux branches installed above the antennas. A small lease space of approximately 200 sq. ft. is required to house related equipment cabinets. I’ve attached a picture of an existing mono-pine site, to give you a better idea of the proposed installation

January Highlights:

Several CRFPD members completed an American Heart Association Advanced Cardiac Life Support for Experienced Providers course.

Several CRFPD members attended an Obstetrics Simulation training at Valley View Hospital.

Several CRFPD members completed an Advanced Medical Life Support course. In collaboration with Colorado Mountain College an EMT course is underway in

our facility taught by CRFPD instructors. One member attended a National Fire Academy “Shaping the Future” course. One member attended a National Fire Academy “Fire Investigation” course.

Certification Management:

I assisted one member in the renewal of his Colorado EMT certification. All training records, EMS continuing education credits and Firefighter Job

Performance requirements (JPRs) records are up to date through the end of the month.

Training Hour Totals:

26 individual trainings were conducted throughout the month of January. 38 members completed 457 man hours of training in January 2018.

CARBONDALE & RURAL FIRE PROTECTION DISTRICT RESOLUTION NO. 004

SERIES of 2018

A RESOLUTION FOR THE 2018 REGULAR DISTRICT ELECTION

§32-1-804, §1-13.5, C.R.S.

WHEREAS, the terms of office of Directors Hassig, Kennedy, Schilling and Stock Bell, shall expire after their successors are elected at the regular special District election to be held on May 8, 2018 (“Election”) and take office; and

WHEREAS, in accordance with the provisions of the Special District Act (“Act”) and the

Colorado Local Government Election Code (“Code”), the Election must be conducted to elect three Directors to serve for a term of four (4) years and one Director to serve for a term of two (2) years; and

NOW, THEREFORE, be it resolved by the Board of Directors of the Carbondale & Rural

Fire Protection District in the Counties of Garfield, Gunnison and Pitkin, State of Colorado that: 1. The regular election of the eligible electors of the District shall be held on May 8,

2018, between the hours of 7:00 A.M. and 7:00 P.M. pursuant to and in accordance with the Act, Code, and other applicable laws. At the time, three Directors will be elected to serve a four-year term and one Director will be elected to serve a two-year term.

2. The Election shall be conducted as a mail ballot election in accordance with all relevant provisions of the Code. The Designated Election Official shall develop a Plan for conducting the mail ballot Election, which will be made available to the public. There shall be no election precinct or polling place. All mail ballots shall be returned to the Designated Election Official’s office.

3. The Board of Directors has designated Jennifer Cutright as the Designated

Election Official for the conduct of the election on behalf of the District, who is hereby authorized and directed to proceed with any action necessary or appropriate to effectuate the provisions of this Resolution and the Act, Code, or other applicable laws. The Election shall be conducted in accordance with the Act, Code, and other applicable laws. Among other matters, the Designated Election Official shall publish the call for nominations, appoint election judges as necessary, appoint the Canvass Board, arrange for the required notices of election, and printing of ballots, and direct that all other appropriate actions be accomplished.

4. If other special districts with overlapping boundaries of the District are conducting

ballot issue elections on the Election day, the District is required to enter into an intergovernmental agreement with such special districts concerning the preparation and mailing of the TABOR Notice to the active registered electors within the overlapping area. Designated Election Official is authorized to enter into such agreement on behalf of the District.

5. Self-Nomination and Acceptance forms are available at the Designated Election Official’s office located at the above address. All candidates must file a Self-Nomination and Acceptance form with the Designated Election Official no earlier than January 1, 2018, nor later than the close of business (time: 4:30 p.m.) on Friday, March 2, 2018.

6. If the only matter before the electors is the election of Directors of the District and

if, at the close of business on March 6, 2018, there are not more candidates than offices to be filled at the Election, including candidates timely filing affidavits of intent no later than March 5, 2018, the Designated Election Official shall cancel the Election and declare the candidates elected. Notice of such cancellation shall be published and posted in accordance with the Code. The Notice and this resolution, signed by the board Chair, shall be filed with the Division of Local Government.

7. If any part or provision of this Resolution is adjudged to be unenforceable or invalid, such judgment shall not affect, impair or invalidate the remaining provisions of this Resolution, it being the Board’s intention that the various provisions hereof are severable.

8. Any and all actions previously taken by the Designated Election Official or the Secretary of the Board of Directors or any other persons acting on their behalf pursuant to the Act, the Code or other applicable laws, are hereby ratified and confirmed.

9. All acts, orders, and resolutions, or parts thereof, of the Board which are inconsistent or in conflict with this Resolution are hereby repealed to the extent only of such inconsistency or conflict.

10. The provisions of this Resolution shall take effect immediately.

A RESOLUTION OF THE BOARD OF DIRECTORS OF THE CARBONDALE & RURAL FIRE PROTECTION DISTRICT SUPPORTING THE GRANT APPLICATION

FOR A GRANT FROM THE GARFIELD COUNTY FEDERAL MINERAL LEASE DISTRICT FOR THE PURCHASE OF AN UTILITY TERRIAN VEHICLE (UTV)

WHEREAS, the Garfield County Federal Mineral Lease District (“GCFMLD”) is an independent public body formed pursuant to the Colorado Federal Mineral Lease District Act, Colo. Rev. Stat. § 30-20-1301 et seq. (2012); and

WHEREAS, as a political subdivision of the State of Colorado, the Carbondale & Rural Fire Protection District is eligible to receive grant funding from GCFMLD under the Colorado Federal Mineral Lease District Act and 30 U.S.C. § 191 (2012); and

WHEREAS, the Carbondale & Rural Fire Protection District seeks to submit a grant application through GCFMLD’s Mini Grant Program, requesting $24,148.93 in funding for the purchase of a Utility Terrain Vehicle (UTV).

NOW THEREFORE, be it resolved by the Board of Directors of the Carbondale & Rural Fire Protection District that:

1. The Board of Directors of the Carbondale & Rural Fire Protection District strongly supports the GCFMLD grant application for the purchase of a UTV and has appropriated matching funds (if necessary) for a grant with Garfield County Federal Mineral Lease District.

2. If the grant is awarded, the Board of Directors of the Carbondale & Rural Fire Protection

District supports the project, as well as the expenditure of funds necessary to meet the terms and obligations of the Grant Agreement with the GCFMLD.

3. If the grant is awarded, The Board of Directors of the Carbondale & Rural Fire Protection

District hereby authorizes the Carbondale & Rural Fire Protection District to enter into and comply with the terms of the Mini Grant Agreement.

4. If the grant is awarded, the Board of Directors of the Carbondale & Rural Fire Protection

District hereby authorizes the President of the Board to execute the Grant Agreement with GCFMLD. 5. The effective date of this Resolution is the date passed and approved below.
