RESOLUTION OF THE BOARD OF DIRECTORS OF THEBODEGA BAY FIRE PROTECTION DISTRICT

OF SONOMA COUNTY, STATE OF CALIFORNIA

WHEREAS, this District does not have sufficient funds on hand to provide for the operations ofthe District during the 2012/13 fiscal year, and

WHEREAS, Article XVI, Section 6 of the State Constitution authorizes a temporary transfer offunds in the custody of the County Treasurer upon approval of the Board of Supervisors, and

WHEREAS, the revenues to said District for the current fiscal year, 2012/13 are budgeted at$1,585,060.00

NOW, THEREFORE BE IT RESOLVED AND ORDERED:

1. That the Board of Supervisors of the County of Songitia is hereby requested to an horize atemporary transfer to the Bodega Bay Fire District on4n as-need d basis of not to exceed$100,000.00 during the 2012-2013 fiscal year; said sum Wil) tiot exceed 85% of the revenuesto said District during said fiscal year.

If you will remember Director Doolittle and I took the challenge of revising severalpolicies. Our decision to fully support a full time employee to go to the SRJCparamedic academy has cost us $24,000 ÷1- to date. This was intended to be anexperiment of sorts. I do expect a few more costs but I do not think it will amountto more than $1000. I had Bill Arnone draft us a single page contract (attached)that outlines our basic understanding that in this case FF!EMT Perucchi willagree to work for us for at least two years or he will have to refund the District anamount (up to $25,000 at this point) proportional to the amount of time notworked in that two year period. In the interest of fairness, we have several otheremployment classifications that may or may not want our support for educationalendeavors. It is in our best interest to support this. The risk of training ouremployees to a level and then their leaving us for a greener pasture leaves uswith little return on our investment. We need to determine a balance. Our bestoption right now is to consider creating a course of study for fire service classeswe are willing to support in part or in whole.

Due to the off-duty injury to Captain Rollings we have also been forced to lookinto our extended sick time policy. We do not have one. We need to considersuch things as Family Medical Leave Act (and the CA version) and when itshould begin-immediately or after a pre-determined time and should it runconcurrently? Should an employee be allowed to use all of their sick time tocover the injury? We also allow employees to transfer unused sick time ifanother employee needs it-which extends the time frame. This causes us to payfor our tenth firefighter. We will need to work with the Union on this matter. Wealso provide long term disability insurance, which is designed to pay upwards of70% of the employees pay prior to the injury. It has been frustrating for bothCaptain Rollings and I trying to get help in developing policy that might allow forthe possibility of sick time buy back. But it looks like the intended use is to

exhaust the sick time and then take a leave of absence in order for the benefit topay the employee but this also stops accruals, retirement, and potentiallypremium payments.

This is a fluid situation and subject to change. We might have finally reached afew individuals who are willing to help but have not done so yet (as of 7-31anyway).

For now Captain Rollings has enough sick time to carry him into September; hiscondition is improving and he might be able to return to work in August.

AGREEMENT REGARDING EDUCATIONAL EXPENSES

This Agreement Regarding Educational Expenses (“Agreement”) is entered into effective2012, by and between Bodega Bay Fire Protection District (“District”), on the one hand, and(“Employee”), on the other hand, with reference to the following facts.

RecitalsA. Employee is currently employed as a firefighter by District. Employee desires to receive training, which wouldqualify him/her as a licensed paramedic in the State of California, but is currently unable to pay the educational expensesrequired to obtain that certification (“educational expenses”).

B. District desires that Employee receive the training and certification required for Employee to perform services forthe District as a paramedic. District is willing to advance the funds required to cover the educational expenses on aforgivable loan basis on the terms and conditions set forth herein, and Employee agrees to those terms and conditions.

NOW THEREFORE, for consideration, the receipt and sufficiency of which is hereby acknowledged, the partieshereto agree as follows:

Agreement1. Upon receipt of documentation establishing the educational expenses incurred by Employee, District will paythose educational expenses, either directly to the providers of the goods and services, or by payment to Employee, inDistrict’s sole discretion. The educational expenses that will be paid for by District are limited to tuition, books andmaterials, and ___________________. The amount paid by District for educational expenses will be referred to sometimeshereinafter as the “Loan.” The amount of the Loan shall be capped at no more than $_______

2. Employee agrees to use best efforts to complete the required training and certification as expeditiously aspossible. Employee further agrees that, subject to the forgiveness terms described below, he/she will repay the amount ofthe Loan to the District on the terms and conditions set forth herein.

3. If Employee works as a paramedic for the District for a full 24 months after he/she is certified as a paramedic,then the District will forgive the entire amount of the Loan. If Employee works for District for less than 24 months aftercertification, Employee will repay a pro rata portion of the Loan, based on the number of months actually worked for theDistrict following certification. For example, if Employee works for only 12 months after certification, Employee willrepay 50% of the Loan to the District.

4. Employee agrees that, if his or her employment with the District is terminated for any reason by Employee orDistrict within less than 24 months after certification, the District may withhold from any final paycheck owed toEmployee the remaining balance of the Loan owed by Employee under the terms of this Agreement. Any amount stillowed after such a withholding will be paid by Employee to District within ten (10) days after termination of employment.

5. This is the entire Agreement between the parties concerning the subject matter addressed herein, and supersedesall prior or contemporaneous agreements relating thereto. This Agreement may only be modified by a subsequent writingsigned by both parties. If either party incurs any legal fees or costs as a result of a breach of this Agreement by the otherparty, the prevailing party shall recover attorney fees and costs, in addition to any other relief that may appropriate.

Before you tonight are the proposals from Xerox and Kyocera. They are neckand neck on pricing. The Xerox has served us well for the last five years. I wasleaning toward the Kyocera this time, but based on recent reports from otheragencies (to Jennifer) Kyocera has had some mechanical issues.

Here is a basic run down of the two companies competing for a copier contract- cost, service,and machine quality being the major factors. Both contracts are 60 month terms with allcosts being FIXED for the duration of the lease. We will only be billed for actual use, not onaverage use. Both contracts include set up, delivery, installation including IT services &installing of print & scan drivers, and initial and ongoing training for employees on how tooperate the machine.

1. Is there a Document Fee and if so how much? — No. This is a nice advantage of utilizing the WSCA purchasingcontract.

2. Does Xerox require a down payment? — No, Never3. Will we remain as meter read billing (paying for actual usage) or billed based on former average use? - You only

pay for the actual copies ran. Each month you will report the meters (Color/B&W) and quarterly you will receivean invoice for the copy usage. Xerox does not ever look back on past usage.

4. Does the new copier come with additional supplies (staples, toner) — The new copier comes with full staplecartridges (5,000 staples each) and full supplies. This solution has 4 staple cartridges loaded at all times:

Convenience stapler (sits on top of the machine — offline)Basic Multi-Position Stapling (inline)Booklet Maker (2 cartridges for inline saddle stitching of booklets)

All supplies are included in your contract, except for paper and staples. Toner, Drums, Waste Toner bottle and Fuser canbe ordered at anytime to keep a stock on hand and there are absolutely NO fee’s associated with thesesupplies. However, the cost for additional staples are seen below:

I hope you are doing excellent and the summer has been calm out along the coast! Can you believe it’s been over a yearsince we discussed this upgrade last time? Although last year we were able to save you money with an upgrade, youdecided to pull back and wait for the contract to expire to ensure there would not be any carryover from the oldcontract. Well, the current contract expires in late August and to ensure the swap happens at the right time, we shoulddiscuss the options soon.

I ran the #‘s for the same solution we discussed last year + a faster model of the same solution. The faster model isactually more cost effective due to the cost per copy rates being lower (3Sppm — Color $0.0553 I B&W $0.0072 vs.45ppm — Color $0.05! B&W $0.0O5) when using the WSCA contract pricing. Check out the updated proposal with the45 ppm (pages per minute) solution attached. This pricing takes into account making the swap at the end of nextmonth. The change would cost you NOTHING; however, you would start saving almost $150 per month right out of thegate. Not too shabby, right!!!

As you guys come to the table with the board on 8/14, I want to make sure you are comparing Apples-to-Apples. Thereare some key things that we include in our offer which the other vendors may not?

Who pays the annual California State Property Tax? Xerox pays the annual property tax for you

Single Click Charge for Any Size Media? Xerox is a single click charge no matter the size

Scanning Fees? Xerox will never charge a scanning fee

r Are all Cost’s Fixed? AllXerox costs are Fixed for the entire lease term when utilizing the WSCA contract

> Any Lease Admin stration or Doc Fee’s? Not with Xerox and the WSCA contract

> Who pays for copies or prints ran during service cal s Xerox provides copy credits for all copies ran by thetechnician

What happens at the end of the lease? How does your vendor address lease expiration and removals? Normal shippingcosts back to a leasing company can cost anywhere from $500 —$2,000 per machine. It’s standard procedure for thecustomer to be responsible for the return fee, crating, and packaging prior to the return. In addition, understand whathappens if you don’t declare your intentions before the lease ends with your equipment. In other words, does your leaseautomatically renew for a year, or does it go month to month? Xerox wiil remove the machine at the end of the leaseat NO COST if you choose to use another vendor Xerox leases will go month-to-month at the end of the term.

r What happens to my hard drive after lease termination? With the recent reports of security breaches in the imagingindustry, it is important to understand exactly what happens to your machine’s hard drive if you return your equipment atthe end of a lease. There may be additional costs associated with removal or destruction of this accessory before it is sentback to the leasing company. Xerox MFP systems come stand with security kits that allow you to scrub thehard drive on demand OR you can enable it to do so each time it runs a documen Weather you choose toupgrade with Xerox OR we come pick up the old WC7335, I will personally ensure that your Ho is whippedclean before it leaves your property.

TERMS AND CONDITIONS

I. GENERAL SCOPE OF COVERAGEThis agreement covers both the labor and the material for adjustments, repairs, and replacement of pans as necessitated by normal use of the equipment except as hereinafter provided. ASMagreements include toner, developer, PM kits and drama in the amount consistent with manufactures published yields and aetvicing intervals. Freight charges may be applied and additional supplieswill be billed at the prevailing rate. Basic, Fax/Printer agreementa include labor and non.conaumable pares only; No toner, develeper, ID, Dmme or PM kits are included. Fuel Sureharges may beapplied as deemed neceasasy due en fuel coats.

IA. LIVE HELP DESKPhone support and help desk is a service to provide assistance with key operator features and network issues. Service calls related to network connectivity will initially be aupponed by cite help desk.If an on aite repair is required this repair shall cover ttrm’,vere upgrades, print driver upgrades, and troubleshooting network connection at it relates to the device on contract. This dues not covercustomer’s exeemal devicet for example; routers, a’.vitches, desktop or laptop computers and aervera.

2. SERVICE CALLSService calls covered under chit agreement will be made during normal busineat heura (8:00 a.m. — 4:30 p.m.) at the installation addreaa ahown on the reverse side of this agrtement. Travel andlabor time for service calls after normal hours, on weekends and on holidays, ifand when available, will be charged at overtime rates in effect at the time the service call is made.

3. LIMITATIONS AND EXCLUStONSA. It is understood that the obligation of Discovery Office Systems hereinafter referred to at DOS for service and maintenance under this Agreement shall be limited to

only the equipment specified within this contractB. Service calls reaulting from a malfianction ofor damage caused by associated peripheral equipment nos hated in the Agreement, or @) uae ofpaper and toner or other supplies not

meeting DOS’s specifications, or (c) operator or user error, (d) failure to perform opemtor maintenance as defrned in the operator manuals, extreme environmental conditions,(temperature, din, high duse airbome contaminants, hunaidity) wilt be invoiced to the Customer at DOS’s then current Standard Service Rates.

C. Maintenance service does not include performing service connected with the relocation ofthe equipment All services rendered in connection with equipment relocationa will beinvoiced to the Cuaeomer ae DOS’s then current Standard Service Rates. All freight charget incurred in the relocation art the liability ofthe Customer.

D. Customer agreea to nsti~s DOS ofany Cuatomer performed relocations. Failure to do ao may cause delays in reaponae time when a oervice call ia received for taid equipment.E. No other agreements, representations or understanding, expressed or implied, not specified herein, apply to the Agreement or services flamiahed hereunder.F. When in ila sole discretion DOS detemninea a shop reconditioning is necestary to keep the equipment in working condition, DOS wilt submit to Customer an estimate of needed

repairs and the cost thereof, which will be in addition to the charge payable under the Maintenance Agreement IF the Customer does not authorize such reconditioning, DOSmay discontinue tervice ofthe equipment under this agreement, or may reflase to renew this agreement upon its expiration. Thereafter, aervice will be available on a “Per Call”baaia at the then current published labor rates plus any pans or supplice required during the service call.

0. Service required as a result of misuse, neglect, abuse, or operator error e.g. (Toner spill or intemal damage caused by foreigit objects such as paper clips or staples) it notincluded as a standard service and ivill be charged to the Customer at DOS’s Standard Service Rates.

H. Electrical or mechanical work extema] to the equipment and/or system is nut covered under this agreement.I. Repair and/or maintenance required to fix damages, malftanceiona or service failures caused by (a) Customer’s repair, modifications or movement ofthe equipment and (b) abuse,

miause or negligent acts (c) aces ofOod or natural disasters are not covered under this agreement.J. When DOS deems neceasasy, loaner equipment will be provided until the contracted equipment is repaired and deemed serviceable. Service toaners remain the property ofDDS.K. Equipment deemed by DOS as unserviceable and beyond economical feasible repair, due eo exceasive age or utage. may he discontinued from contractual coverage.L. to no event shalt DOS be tiable eo customer or any other party for any lost profits or special, incidental or consequential damages (However arising, including

negligence) arising out uf or in connection with this agreement.M. Excludes repair and/or replacement of all network printing, scsnning, faxing functions effected by updatea, changes and/or modifications of the customer network

whether by the customer, customers operating system of contractor thereof, or external network accessories, er systems not affiliated with the unit MFP/Printercovered by this conerace.

N. Fiery Color Control Systems are not covered under this contract

4. TERMTlsia annual agreement shall become effective upon by DOS’s receipt of signed agreement and/or paysaaene of the initial annual maintenance charge provided in this Agreement hereof and shallcontinue for twelve months after effective date. ‘ntis Agreement is nen-refundable, nat transferable and subject to an assnual increase. This Annual Agreement wilt automatically renew on contractanniversary dale, unless DOS receives a wrinen cancellation shiny daya prior to anniversary date.

5. CHARGESTtte initial annual charge for msintsnance under this agreement shalt be the ansossne eec foes], on the reverse side hereof. The annual maintenance charge with respect to any renewalseem will be the charge in effect as the time ofrenewal. Customer agrees to pay the total ofalt charges for maintenance, service, and repair during the initial term and any renewalterm within 30 days ofihe date ofDOS invoice for such charges. Customer understands that alterations, attachments or epecification changes may require an increase in maintenancechargeu and agrees te pay such charges promptly wisen due, Repair and/or maintenance of said equipment not covered by this Agreement will be separately charged at DOS’s current StandardSee-vice Rates,

6. BREACH OR DEFAULTtfthe Cussomer does not pay alt chargea for maintenance or pans as provided Isereunder, prompety when due: t) DOS may (a) refuse to service the equipment (b) famish service on a COD. “PerCall” bsaia at DOS Standard Service Rates and 2) the Customer agrees to pay DOS coals and expense of collection inctuding all atsomey’s fee incurred in collection. lfequipment is moved outsidtof DOS’s servicing area, DOS shalt have the option to charge, and she Customer agrees to pay she difference in published maintenssct chargea between the current eervice area and the new servicearea, tuch charges to be assessed on a pro-rated basis. tfcquipmene is moved beyond DOS published service area, DOS has the right to cancel site maintenance agreement.

7. AGREEMENT TERMINATIONa. This Agreement may be terminated, witlt orwilltout cause, by Discovery Office Systems with no less than 30 days prior written notice.b. Should Customer terminate this Agreement prior to the end ofits temi, with or without cauue, Customer shall:

i. Permit DOS to remove any DOS owned equipment and supplies covered under this Agreemeneii. Pay all charges due and owing to DOS l]srough the date ofremovat ofauch equipment an/P or supplies

8. CUSTOMER METER READING AND REPORTING OBLIGATIONSCustomer agrees to provide DOS with accurate and timely meter readings at the end ofeach applicable billing period through the use ofPagtLogic Monisoring Software during the Initial Term andall subsequent Renewal Terms. The Maintenance Pricing is based on the use of the PageLogic Monitoring Software. A higIser Maintenance Price or an additional service fee maybe charged if theCustomer eleces noe to use the PsgeLogic Monitoring Software.

DOS recognizes tl,at it must cenduc tits aces’vities in a manner designed to protect any infeematiun concerning its affiliatea or Customers (such information herein referred eo collectively as the“tnfermation”) from improper me or disclosure. DOS agrees to treat Customer’s Information on a confidential basis. DOS further agrees thae is ‘vs~It not disclose any Customer Information,without Cuatomer’s prior written content, to any person, firm or corporation except (I) to authorize Customer repreaentstivea or (2) to employees of DOS who have to perform the servicescontemplated heresmder. DOS agreea upon request to have its employees execute written undenaicings eo comply with the confidentiality requirements set forth under this paragraph.

10. ADDITION OF EQUIPMENT (MPS PageLogie ONLY)Cussomer is required to immediately notity DOS upon installation of any additional equipment and/or movement of covered equipment at Cuatomer’e tile. Upon installation, if DOS deemsequipment serviceable, such equipment shall aueomsticalty added to Schedule A, and be covered by this Agreement and shall be considered the Equipment for alt puepoaea under this agreement.

11. MiSCELLANEOUSA. This Agreement and any amendments thereto shall be governed in accordance with tise laws efthe State ofCatifornia.B. DOS will not be liable for any failure to perform which may be anribulabte to (a) the inability to obtain raw materials, paris or aupplies at reasonable prices or through usual and

regular sources or on a timely basis, (b) the interntption of trsnaporlatioa, (c) govemmene regulation, labor disputes, strikes, war, fire, flood, accident, or ether cause beyondDOS’s control making it impractical for DOS to perform, (d) manufacture backorders and/or discontinuation ofparts.

Attachment is the updated service agreement with copies-prints based on “actual copies-prints” made. Servicerates remain the same for 5 years. Please also initial at the bottom of the second page which promises me yourthird grandchild (just kidding).

GE also requires a “Purchase Order” (It can simply be the words” Purchase Order” written on yourletterhead). I’ve attached a document with sample wording. Your first payment would be in September,assuming an August delivery, so if your Fiscal Year runs July ito June 30th you would put 10 payments on thepurchase order for fiscal year 2012 -2013. Please send this document to me, not to GE, when ordering so I cansend the entire package of documents in together.

I also agreed to:*thclude an extra box of staples at no charge.tDeliver the equipment with extra Black & White & Color Toner*No Documentation Fee~ Ship the Xerox (if required) at no charge*Provide excellent service & equipment reliability*Pmvide Training initially and ongoing.*provide “pro-active” service prior to a large copy-print run (if requested) at no additional charge.

The new equipment has a Dual Scan Document Feeder, Data Security Kit and is fhlly configured with 4 paperfeed drawers (two of which hold 1,500 sheet each) + a By-Pass (now called a Multipurpose Tray) that will feedup to i40# index (80# cover) and a Finisher that offset stacks, staples & will punch 3 or 2 holes.

This equipment is Performance Guaranteed for the Term of the Lease.

All of the issues at the Glen Ellen and Russian River sites have been resolved. Their color copiers are 3generations of equipment back. The Russian River had the most troubles but got resolved. Russian River had a problem last October with intermittent cyan drum ssue and we repaired it. The new TASKaIfa 3550ci is a totally different unit. The most significant differences are (1) The Black &White runs separately from the Color resulting in a much less service intensive productand(2) The color output has gone from very good to exceptional.

I have over 50 color copier installations of the new generation units and they are all working extremelywell. The City of Petaluma has 7 color copiers and they are strong advocates for Kyocera. Steve Baxman, Fire Chief for the Monte Rio Fire Dist called me to offer up aType-i Fire Engine that will fit in station 2. The offer is $6500. It will not be fullyequipped. We can thank the efforts of Pat Paterson who heard me say we needan engine that can fit our station 2 and he found one.

It is a 1985 Ford C8000, Van Pelt Build up. It is 24’-8” long. The space we have25’-iO”. This engine pumps 1000 gpm, holds 500 gallons of water, and has anauxiliary pump.

This begs the question. What is the Board’s commitment to the station twoproject? I am for it and have been since the beginning. I am attempting to returnthe former ISO rating to the northern portion of the district.

I did spend some time helping a resident from Sereno del Mar with DirectorDoolittle’s insurance contact. He did save them some money. However, hemight have been able to save them some more money if we had an appropriatelylocated and equipped fire station 2. The letters I wrote were directly related toISO concerns.

The budget is not quite complete. I believe we have several options to consider.We could purchase the engine outright and equip it as funds become available.We could create a tax rate area and charge the residents in the north a little moretax money. (As a side note, it is to bad there is not some kind of rating orrequirement for paramedic services, but there is for the insurance industry?) Wecould purchase the engine and work with our residents to raise the funds viaspecial events or fundraisers to pay us back. We could consider a transfer of dryperiod funding since it has had two years of positive development.

For the record I am committed to the project for several reasons. All residentspay the same tax rates, but do not necessarily receive the same level of care or

service in the same time frame that others do; our main station was neverdesigned to house the number of full time employees reserves, interns andvolunteers; it was not designed to store needed equipment for disasters; It is notquite big enough to train employees while at the same time be open to the public.Station 2 is the geographic center of the district, provides a lot of secure storageareas, extra office space, heated apparatus bays, and training grounds that willnot impact administrative operations. I like the idea of having some staffmembers there (if possible) seasonally, having a ham radio operation or repeaterif needed for communications all around the district.. .the ideas go on-some evenmore outlandish than what I have said here. On the other hand, we have a littleover a year left on our contract with Cal Trans and must look to renegotiate withthem in the near future.
