Specification to Bidders for E-Tendering

Registration: Intending bidders are requested to register themselves on E-Tender portal throughhttps://www.tenderwizard.com/BSNL for obtaining user-id, digital signature etc, by paying prescribedvender registration fee. For participating in the above mentioned tender, a tender processing fee may alsohave to be paid to the service provider.

5. Date and Time of online submission of E-Tender: As specified in NIT(Notice Inviting Tender).

In case the date of submission/opening of bid is declared to be a holiday, the same will get shiftedto next working day at the same scheduled time. Any change in bid opening date due to any otherunavoidable reason, the same will be intimated online.

6. Submission of EMD and Cost of bid document: Cost of Bid document and EMD AS PER Section Ishould be paid in the form of DD, drawn from any Nationalized/Scheduled Bank in favour of AO (Cash),O/o PGMT, BSNL, Thrissur 680022 payable at Thrissur. DD’s drawn towards tender fee and EMDshould be submitted along with the Technical bid failing which the tender bid will be rejected.

7. On-line Opening of Technical Bids: The Technical Bids will be opened at 1100 HRS on 23.03.2019

8. Process of opening of Technical Bids: BSNL has adopted E-tendering process which offers a uniquefacility for Public Online “Tender Opening Event” (TOE). Bidders can attend the public online TOE fromthe comfort of their offices. However, if required, Bidders/authorized representative of bidders (ServiceProvider) can attend the TOE at the O/o PGMT, BSNL Sanchar Bhavan, TUDARoad,Kovilakathumpadam, Thrissur 680022. Tender opening officers would be conducting the publiconline TOE.

9. Tender bids received after due date & time will not be accepted.

10. Incomplete, ambiguous, Conditional, Unsealed tender bids are liable to be rejected.

11. BSNL reserves the right to accept or reject any or all tender bids without assigning any reason.

12. BSNL is not bound to accept the lowest tender.

13. E-Tender documents can be downloaded from the E-Tender portal from 16:00 hours on 22.03.2019

14. The bidder shall furnish a declaration under his digital signature that no addition/deletion/correctionshave been made in the downloaded tender document being submitted and it is identical to the tender

document uploaded in the E-Tender portal. In case if any correction/addition/deletion are made and foundin the later days, the tender bid shall be treated as non-responsive and shall be rejected summarily inaddition to forfeiting the security deposit deposited in this connection and legal action will be initiatedagainst the defaulting E-Tenderer for the losses to BSNL if any.

15. All documents submitted in the bid should be preferably in English. In case the certificate viz.experience, registration etc. are issued in any other language other than English, the bidder shall attach anEnglish translation of the same duly attested by the bidder as “Certified Translation of the originaldocument”.

16. All computer generated documents should be duly attested/signed by the issuing authority.

17. Cost of Tender form, EMD ( in the form of DD/Bank Guarantee) and Power of Attorney if any haveto submitted to AGM (Planning II) before the scheduled date and time of submission of the Tenderotherwise the bid will not be considered.

18. Hard copies of all required documents as per clause 3.1 (Section IV) of Terms and Conditions for thecontract along with tender document (duly attested by the bidder/authorized signatory) to be submitted toAGM (PLG II) before the scheduled date and time.

19. Before submitting the bid, it should be ensured to view all the corrigendum/clarification if any issuedin this matter on the E-Tender website.

20. Duration of Contract: One year from the date of award of contract or specifically mentioned date withan option of extension for one more year or part thereof or till the finalization of new tender.

For participating in the tender online, the following instructions are to be adhered strictly.

3. Digital Certificates

For integrity of data and its authenticity/ non-repudiation of electronic records, and be compliantwith IT Act 2000, it is necessary for each user to have a Digital Certificate (DC). also referred toas Digital Signature Certificate (DSC), issued by a Certifying Authority (CA) licensed byController of Certifying Authorities (CCA) [refer http://www.cca.gov.in]

activities. In ETS terminology, this person will be referred to as the Super User(SU) of thatorganization. For further details please contact or visit the website/portal and follow instructions asgiven on the site.

5. Bidding related Information for sealed Bid/Tender

The entire bid-submission would be online on ETS. The process is as follows:

- Submission of Bid Security / Earnest Money Deposit (EMD)

- Submission of digitally signed copy of Tender documents/addendum/Corrigendum

Note: Bidder must ensure that after following the above the status of bid submission must becomecomplete. Bidders must ensure that all documents uploaded on e-tender portal as files or zipped folders,contain valid files and are not corrupt or damaged due to any processing error at bidder PC systems likezipping etc. It shall be the responsibility of the bidder himself for proper extractability of uploadedzipped files. Any error/virus creeping into files/folder from client end PC system cannot be monitoredby e-tender software/server and will be bidder’s responsibility only.

In case the files are non-extractable or illegible otherwise representative shall be given one chance byTender Opening committee to open and demonstrate the contents of bid data downloaded from the e-tender portal in their presence. If even after the above chance, the bidder is unable to open anddemonstrate the contents of bid data downloaded from the e-tender portal, then no fresh bid in any form,soft or hard copies shall be accepted by tendering authority and his bid shall be summarily rejected andtreated as non-responsive.

6. OFFLINE SUBMISSIONS:

The bidder is requested to submit the Documents specified under Tender Information Clause 3.1, offlineto AGM (PLG II), O/o PGMT, BSNL, Thrissur 680022on or before the scheduled date and time specifiedin the tender document, in a sealed envelope.

Tenders should be sent by registered post with AD or should be dropped in the tender box available in the

Tenders received in unsealed covers and thosereceived late will be rejected. 7. Special Note on Security of Bids

Security related functionality has been rigorously implemented in ETS in a multi-dimensional manner.Starting with 'Acceptance of Registration by the Service Provider', provision for security has been madeat various stages in Electronic Tender's software. Specifically for Bid Submission, some security relatedaspects are outlined below:

As part of the Electronic Encrypter functionality, the contents of both the ‘Electronic Forms’and the ‘Main-Bid’ are securely encrypted using a Pass-phrase created by the server itself. The Pass-phrase is more difficult to break. This method of bid-encryption does not have the security and data-integrity related vulnerabilities which are inherent in e-tendering systems which use Public- Key of thespecified officer of a Buyer organization for bid-encryption. Bid-encryption in ETS is such that the Bidscannot be decrypted before the Public Online Tender Opening Event (TOE), even if there is connivancebetween the concerned tender-opening officers of the Buyer organization and the personnel of e-tenderingservice provider.

It is important for the bidder to keep a safe record of his pass-phrase for decrypting his bid parts. In casethe bidder is unable to provide the correct pass-phrase during TOE, it will not be possible to open his bidand his bid will be REJECTED(archived Un-opened). Before rejection in such a situation, the bidder willbe given opportunity to himself enter the pass-phrase from his own office or from BSNL’s office if his

representative is physically present there. Typically, ‘Pass-Phrase’ of the Bid-part to be opened during aparticular Public Online Tender Opening Event (TOE) is furnished online by each bidder during the TOEitself, when demanded by the concerned Tender Opening Officer. There is an additional protection withSSL Encryption during transit from the client-end computer of a Supplier Organization to the e-tenderingserver/portal.

8.PUBLIC ONLINE TENDER OPENING EVENT (TOE)ETS offers a unique facility for ‘Public online Tender Opening Event (TOE)’, Tender opening Officers aswell as authorized representatives of bidders can attend the Public online Tender Opening Event (TOE)from the comfort of their offices. For this purpose, representatives of bidders (i.e. Suppliers Organization)duly authorized are requested to carry a Laptop and Wireless connectivity to Internet. Every Legalrequirement for a transparent and secure ‘Public Online Tender Opening Event (TOE)’ has beenimplemented on ETS. As soon as a Bid is decrypted with the corresponding Pass-phrase’ as submittedonline by the bidder himself (during the TOE itself), salient points of the Bids are simultaneously madeavailable for downloading by all participating bidders. The tedium of taking notes during a manual‘Tender Opening Event’ is therefore replaced with this superior and convenient form of ‘Public OnlineTender Opening Event (TOE)’. ETS has a unique facility of “Online Comparison Chart’ which isdynamically updated as each online bid is opened. The format of the chart is based on inputs provided bythe Buyer for each tender. The information in the comparison chart is based on the data submitted by theBidders. A detailed Technical and/or Financial Comparison Chart enhances Transparency. Detailedinstructions are given on relevant screens. ETS has a unique facility of a detailed report titled ‘Minutes ofOnline Tender Opening Event (TOE) covering all important activities of ‘Online Tender Opening Event(TOE)’. This is available to all participating bidders for ‘Viewing/Downloading’. There are many morefacilities and features on ETS. For a particular tender, the screens viewed by a Supplier will depend uponthe options selected by the concerned Buyer.

IMPORTANT NOTE:In case of internet related problem at a bidder’s end, especially during ‘critical events’ such as – a shortperiod before bid submission deadline, during online public tender opening event, during e-auction, it isthe bidder’s responsibility to have backup internet connections. In case there is a problem at the e-procurement/e-auction service-provider’s end (in the server, leased line etc) due to which all the biddersface a problem during critical events and this is brought to the notice of BSNL by the bidders in time,then BSNL will promptly re-schedule the affected events.

9. The help information provided through ‘ETS User-Guidance Centre isavailable in three categories: 1) Users Intending to Register / First-Time Users 2) Logged-in users ofBuyer Organizations, and 3) Logged-in users of Suppliers Organizations. Various links are providedunder each of the three categories.

date after awarding the work to successful Tenderer, it is found that near relativesare working as mentioned in this clause, the work awarded will be cancelled andsecurity deposit paid in cash or Bank Guarantee will be encashed and credited toBSNL, Thrissur-680022. The decision of PGMT, BSNL, Thrissur-680022 is final inthis regard.

TERMS AND CONDITIONS FOR THE CONTRACT

1. PREAMBLE

The Principal General Manager Telecom, BSNL, Thrissur – 680022 invites sealedtenders from reputed service providing agencies for “SWEEPING, CLEANING &GENERAL CONSERVANCY SERVICES ” in Thrissur BA on work contract basis forOne year.

2. SCOPE OF WORK

2.1 Description of work: -Work to be carried out. : Providing sweeping and cleaning work at variousExchanges/Offices of Thrissur SSA.i) Supplying drinking water in well cleaned jars/containers as directed on the table of eachstaff (Water and amenities like vessels, jars etc. will be provided by BSNL free of cost oneach floor).ii) Sweeping and Cleaning of BSNL Offices/Telephone Exchanges etc. including disposal ofall seeping, tree leaves if any, waste papers, food wastes, plastic carry bags etc. within thecompound at directed places.iii) Cleaning of toilets (daily - suitable toilet cleaning compounds approved by Bldg – in –charge may be used for cleaning the toilets).iv) Day to day cleaning of Office furnitures, equipments, computers and peripherals, Tables,Chairs, Racks, Windows, Aluminium/Wooden/Glass partitions etc.v) Cleaning of tube light fittings, fans, etcvi) Cleaning and wiping of floors with wet cloth and suitable floor/wall cleaningliquids/lotions.vii) Removal of bird droppings (excretion and other waste materials) from the sunshades,

from the building and cleaning of sunshades.

viii) Removal of cobweb and dust from ceilings, walls etc.,ix) Sweeping of the immediate compound around the buildings extending not less than 5Metres (unless otherwise specified) all around all buildings within the premises. Disposingeffectively all the wastes collected from all the floors of all the buildings and the compoundas above within 50 Metres lead within the compound as instructed by the premises’ – in –charge.Note:-i) The cleaning materials having good quality should be used. The cost of cleaningmaterials used for the above works is to be included in the quoted rate.withquality of materials.ii) The works are to be executed in the Telephone Exchanges/offices of ThrissurTelecom District, as mentioned in Section-XII.iii) The work should start from 0700 hrs. The sweeping and cleaning of office roomsshould be completed before 0900 hrs.2.2. Responsibilities of Contractor

2.2.1. The contractor shall be responsible for provision of the services as per Para 2.1 of SectionV at the site premises (as per Section IX) during the service timings specified for each site. Para2.1 of Section V lays out the services required at each type of site. The requirement of serviceswill be provided by BSNL as per Section IX. EPF No. and ESI card has to be given to thepersons deployed in sites within one month of take over the contract.

2.2.2. For all telecom sites for which the contract has been given to the contractor, BSNLreserves the right to monitor the provision of services at any time through visits to the site. Incase the service provided by the contractor is not found satisfactory, 10% of the monthly contractamount for that site will be deducted from their payment for every instance of such negligenceon the part of the contractor.

2.2.3 The contractor shall execute the work in the best and most substantial workman- likemanner during the period of contract. The contractor shall not employ on the works any unfitperson or any one not capable or not properly qualified to properly perform the work assignedto him.

2.2.4 The contractor shall ensure that the persons deployed should be physically fit to handle allthe services mentioned in Para 2.1 of Section V and also should not be more than 56 years ofage.

3.ELIGIBILITY

3.1 The bidder should be a registered Company under Indian Companies Act 1956 or reputedIndian Firm or Agencies.

3.2 The bidder should have experience 2 years experience for supply of Sweeping & Cleaningstaff with a minimum 100 labourers to Corporate Organisations / PSU/Govt. Body. Thedocument submitted should clearly state that the tenderer provided Sweeping & Cleaningstaff satisfactorily for a minimum period of TWO years.

3.3 The Contractor shall strictly abide by the provisions of various Acts of the State in force, inconnection with the employment of the contract labour viz. Contract Labour R&A Act 1970,Workmen Compensation Act, EPF/ESI Act and Bonus act 1965 and all other regulationcovered under Labour Act at present and in the currency of contract in force.

3.4 The Bidder should have registered with all Government registered agencies for supply ofSweeping & Cleaning staff .

3.5 The bidder should have valid EPF, ESI, PAN and GST registration.

3.6 Bidder registered as a Composition dealer under GST Act is not eligible to participatein the tender.

4 EARNEST MONEY DEPOSIT

4.1 The bidder shall furnish the bid EMD as per Section I in one of the following ways:-

a) “Account Payee” Crossed Demand Draft drawn on any Nationalized Bank / ScheduledBank, payable to the AO (Cash), O/o PGMT, BSNL, Thrissur 680022.

b) Bank Guarantee (Proforma given in Annexure VIII) from a scheduled Bank drawn infavour of “PGMT, BSNL, Thrissur” which should be valid for 180 days from the tenderopening date.

4.2 (A) Any tender received without the payment of EMD will be rejected. No other mode ofpayment other than the above, for EMD will be accepted.

(B) The EMD will not carry any interest, while it is in the custody of BSNL.

(C) The MSE bidders are exempted from payment of bid security:i) A proof regarding valid registration with body specified by Ministry of Micro,Small & Medium Enterprise for the tendered items will have to be attachedalong with the bid.ii) The enlistment certificate issued by MSME should be valid on the date ofopening of Tender.4.3 The EMD will be refunded/ returned to the unsuccessful tenderers after finalization of the

Tender on production of Advanced Stamped Receipt.

4.4 The EMD of the successful tenderer will be treated as part of Security Deposit if he wishesso and the Security Deposit will not carry any interest.

4.5 The EMD will be forfeited if a successful tenderer does not pay the Security Deposit in timeand execute the Agreement.

4.6 The EMD will be forfeited if the tenderer withdraws the tender before finalization of thetender.

5. TENDER SUBMISSION

5.1 The cover, containing the Bid shall be properly sealed and sent (only by Registered Post orSpeed Post.) to Asst. General Manager (PLG II), Office of the Principal General ManagerTelecom, BSNL, BSNL Sanchar Bhavan, Kovilakathumpadam, Thrissur 680022 so as to reachhim on or before 16:00 hours of 22.03.2019. The tender may also be deposited in the Tender Boxavailable in the Planning Section, O/o PGMT, BSNL, Thrissur 680022. Any tender received afterthe stipulated time and date for closing of tender shall be rejected and returned unopened to thebidder.5.2 The completed tender forms should be addressed to:

5.3 The envelope can be sent by Registered Post / Speed Post or can be directly dropped in thetender box provided in this office for this purpose on or before the due date and time. Delay inpostal transit will not be accepted as a valid reason for condoning the delay in submission of thetender.

5.4 a. All the pages duly signed by the tenderer as a token of acceptance of the terms andconditions of the tender is to be submitted.

b. No sheet is to be detached.5.5 The tenderers should strictly adhere to the statutory regulations viz., Minimum wages

Act, EPF Act ESI scheme, Bonus Act 1965, Contract Labour (R&A) Act 1970, workmancompensation act, and rules 1971 and any other regulation covered under Labour Act.

5.6 The Tenderer should submit the copies of the following mandatory Documents /Certificates along with the Bid document and its annexure.

xxii) Check List (Annexure IX).Note : Originals of above documents should be submitted for verification as and when demandedby BSNL.

5.7 Application of various provisions under Goods & Service Tax Act (GST) 2017.

a) Tax Clause – All taxes except CGST, SGST, UTGST & IGST if any, required to bepaid on the invoices shall be borne by the supplier. TDS/TCS shall be deducted at the prescribedrate , if any ( as the case may be).

b) Payment terms – BSNL will make payment to supplier only after the invoice is uploadedby supplier in GST outward return i.e. GSTR-1 and credit of GST is available (reflected inGSTR-2A) to BSNL.

c) Supplier hereby agrees that it will be solely responsible for performing all compliancesand making payments of GST, Cesses, interest, penalties or any othertax/duty/amount/charge/liability arising either out of laws/regulations applicable in India andoverseas or because of a demand/recovery initiated by any revenue authority underlaws/regulations applicable in India or overseas.

d) GST Invoice – It shall be the responsibility of supplier to raise appropriate tax invoice asper the provisions of GST Act. BSNL reserves the right to be indemnified for the credit loss incase BSNL is unable to claim the input tax credit for any non-compliance/default in raisingappropriate invoice by supplier. Further all invoices should be sent to BSNL Promptly. BSNL

can adjust/forfeit Bank Guarantee obtained from the supplier against any loss of input tax creditto BSNL on account of supplier’s default.

e) Further the supplier is required to comply following requirements w.r.t. issuance ofinvoice:-

*All the details of contractor (name, address, GSTIN/unregistered vendor, place ofsupply, SAC/HSN code etc.) and other mandatory details shall be mentioned on the invoice.

*Invoice/DN/CN need to be issued timely within the time prescribed under GST law;*In case of any deficient supply, BSNL shall convey the same in a reasonable time to

enable the supplier to issue credit note and take tax adjustment;*It would be the responsibility of the supplier to declare correct information on invoice

and GST portal viz the amount, the place of supply, rate of tax etc. In case, the eligibility ofinput tax credit is questioned or denied to BSNL on account of default by the supplier, the samewould be recovered by BSNL from the supplier.

*Registered location of both the parties i.e. BSNL and supplier should be mentioned inthe agreement with GSTIN No. Further, supplier should raise invoices at the registered premiseof BSNL for availment of credit and ensure that the place of supply as per GST law is same asregistered premise;

*It shall be the responsibility of supplier to raise invoice within the prescribed timelines;*E-way bill number should be mentioned on the invoices;

f) Indemnity – It is the responsibility of the supplier to ensure that outward supply return(GSTR-1) is filed correctly and to declare correct information on the invoice and GST portal. Incase of mismatch because of vendor’s fault, prompt amendments must be make by the supplierelse supplier shall be required to indemnify BSNL of the loss of credit due to mismatch andBSNL shall recover the said amount from vendor. The compliances to be adhered by supplierincludes (but is not limited to) the following:

(i) Uploading appropriate invoice details on the GSTN (Goods and Service Tax Network) withinthe stipulated time;(ii) Issuing GST complaint invoice/CN/DN. PO issued by BSNL should be referred by supplierfor capturing information on the invoice;(iii) Acceptance of changes made by BSNL on GSTN on account of non-upload or incorrectupload of details on GSTN. Such changes w.r.t. the mismatch are required to be accepted bysupplier within the time limit prescribed under the GST law. It must be noted that in casesupplier does not accept such changes within the time limit prescribed under GST law, the lossof input tax credit (if any) would be recovered from the supplier.

BSNL reserves the right to be indemnified for the credit loss and recover the said amount fromthe supplier in case BSNL is unable to claim the input tax credit for any on-compliance ordefault or due to lack of diligence on the part of the supplier. Further, in case any credit is notreceived or short credit is received or in case of any error because of which no credit is receivedthen such equivalent amount is not liable to be paid by BSNL. Where, however the amount has

already been paid by BSNL the same is liable to be recoverable or adjustable against subsequentpayments.

5.8. Debit/Credit Note - The supplier acknowledges and agrees to issue appropriate debitnote/credit note as prescribed under GST Act and send to BSNL within the prescribed time. Alldocuments should be received well in advance so as to enable BSNL to claim proper credit.

Further it shall be the responsibility of the supplier to declare the details of such creditnote in the return for the month during which such credit note has been issued but not later thanSeptember following the end of the financial year in which such supply was made, or the date offurnishing of the relevant annual return. BSNL reserves the right to be indemnified for the creditloss by supplier in case BSNL is unable to claim the input tax credit for any non-compliance ordefault or due to lack of diligence on the part of the supplier, whichever is earlier.

5.9 After acceptance of the contract if any or all the terms and condition(s) of the contract is /are violated, the BSNL reserves the right to terminate the contract with the forfeiture ofSECURITY DEPOSIT to BSNL by giving 15 days notice. The decision of PGMT, BSNL,Thrissur-680022 is final in this respect.

5.10 Labour Rates:

(a) Rates fixed by State Government as per Minimum Wages Act for scheduled employmentsubject to change from time to time.(b) Rates fixed by Central Government for scheduled employments.

The rates shall be highest in each category fixed in (a) or (b) above.

5.10.1 THE AGENCIES AND THEIR RESPONSIBILITIES:

a) The Contractor should possess valid license to take up the work in accordance withcontract labour (R&A) Act.

b) The contractor should have a valid labour license in supplying of staff for Sweeping &Cleaning work with minimum 100 labourers. Otherwise the tender will be rejected.

c) No child labour will be permitted. Persons with less than 18 years of age and more than 56years of age should not be engaged for any reason.

d) The Contractor should replace its persons when it is found by the designed officer thatthey are not discharging their duties as provided herein above.

e) The contractor should strictly adhere to the Statutory Regulations viz. Wages, EPF, ESIand Bonus as per schedule rate and adhere relevant Acts in force in respect of each item.The contractor should also make payments/contributions under the above enactments andproduce proof of payment of wages, ESI & PF contributions every month with specificreference to the workers engaged by him under this tender, failing which the paymentsdue to the contractor will be retained by BSNL. The Contractor shall supervise and controlhis employees and take disciplinary action against his employees whenever foundnecessary.

f) In case of additional requirement of Sweeping & Cleaning Staff, the contractor should bein a position to supply them at approved rates only without delay.

g) In case it is found by BSNL that any property or material of the BSNL is lost or put to loss/ damage due to the negligence of the persons engaged by the contractor, the contractor

will be held fully responsible and should reimburse the cost of loss / damage so incurred.The decision of Principal General Manager, BSNL Thrissur as to the quantum of loss /damage and negligence is final.

h) In case any workman of the Contractor suffers injury / damage or meets with an accidentduring the discharge of duty, the entire cost of compensation should be borne by thecontractor and the BSNL shall stand fully indemnified against any claim / damage /Compensation.

i) The contractor shall supervise his employees and ensure that the work is executed by hisworkers in accordance with the requirement and should maintain a Register for recordingthe progress of the work from each section and the officials of BSNL shall inspect thework and issue necessary certificates if any regarding the progress of the work and qualityof work executed.

j) The agency /contractor should ensure proper issuance of identity cards to their workers.The agency should submit the details of workers such as name of employee, address ,EPF,ESI & Aadhar etc to BSNL time to time.k) Minimum wages applicable and as fixed by the Central / State Government should

be arranged to be paid with pay slips (Pay Slips should contain the amount ofEPF/ESI amount deducted and EPF/ESI (Numbers) periodically to the personsengaged by the contractor not later than the 7th of every month. If the rate quoted bythe contractor is not sufficient to meet the payment of minimum wages and other statutorypayments like ESI, PF etc, such tender(s) will be summarily rejected as non-responsive.

l) All records as envisaged under Contract Labour Acts should be maintained and theserecords are subject to scrutiny by competent authorities. These records may be submittedfor scrutiny of Asst.General Manager (PLG II) by 15th of every month.

m) The Contractor should ensure that the work awarded will not fall into the hands ofoutsiders, such as sub-letting etc under any circumstances and sub contract if any will notbe permitted and in such cases the contract awarded to the successful tenderer will beterminated and security deposit will be forfeited and Bank Guarantee will be encashed.

n) The contractor shall be responsible for maintaining of the following register / recordsrequired to be maintained under various labour laws.1) Register of Attendance.2) Register of Wages.3) Register of Fines4) Register of wage slips5) Register of leave/Absentees.

o) The contractor will obtain from the Assistant Labour commissioner (Central)Thiruvananthapuram a valid license under the Contract Labour (R&A) Act 1970 and thecontract labour (central) rules 1971 prior to the commencement of work. Any otherCertificate from any other jurisdiction will not be accepted and on failure to produce thelicense the work awarded shall stand cancelled. The Principal General Manager , BSNLThrissur the right to proceed further as deemed fit.

p) The contractor shall ensure to meet their obligations arising out of the employeesProvident fund and Miscellaneous Provisions Act 1952 by making regular deductions ofemployee’s contribution and payment of both employee’s and employer’s contribution forthe persons engaged by them to the office of the respective Provident FundCommissioner, only. A copy of the challan showing deposit of the monthly contributionalong with list of labourers engaged for this work covered under this tender to whompayment is made shall invariably be provided to the Principal Employer every month. It isthe responsibility of the Contractor to obtain annual EPF Balance Sheet and distribute

them among all the persons engaged by them under proper acquintance under intimationto Assistant General Manager (PLG II) O/o PGMT, BSNL Thrissur .

q) The contractor shall pay bonus to its employees each year as per payment of Bonus act1965. The bonus component will be paid to the contractor on production of necessaryproof of payment of bonus to the workers each year.The Contractor shall strictly abide bythe provisions of various Acts of the State in force, in connection with the employment ofthe contract labour viz. Contract Labour R&A Act 1970, Workmen Compensation Act,EPF/ESI Act and Bonus act 1965 and all other regulation covered under Labour Act atpresent and in the currency of contract in force.

r) The contractor while submitting the Bill, the following details are to be enclosed alongwith the bill:

1. List showing the details of persons to be engaged2. Duration of their engagement3. The amount of wages paid to such persons for the duration in question. (wage slip)4. Amount of EPF contribution for the duration of engagement in question paid to the EPF

Authorities mentioning the amount separately.5. Copies of authenticated documents of payments of such contribution to EPF authorities

and a declaration from the contractor regarding compliance of the conditions EPFAct.1952.

6. The amount of ESI Contribution for each person engaged for the work covered under thistender alongwith details of ESI Identity Card, ESI Number etc. The allotment of ESInumber and authorization for treatment from the ESI authorities may be produced.

7. The Tenderer should adhere all the administrative rules of the contract labour (Central)Rules and their instructions issued by that office from time to time with respect to theestablishment of the organisation and the persons engaged by them in relation to thewelfare and financial activities of the persons under the contractor.

8. The engagement of the persons should be done after verifying the antecedents.9. If any person is absent for more than one month and he/she is not likely to resume duty,

the contractor should delete the names of such person and information in this regard to begiven to AGM(PLG II) O/O PGMT , BSNL Thrissur and also shown furnish the name ofthe person added due to replacement. The EPF/ESI rules should also be applied for leftout and replaced persons.

5.11 Last date of submission of Tender offer is 1600 HRS of 22.03.2019

6. DATE OF OPENING

6.1 The tenders will be opened at 1100 hrs on 23.03.2019 in the presence of the tenderers ortheir representatives present at that time and members of the committee duly nominatedby PGMT, BSNL, Thrissur.

6.2 If the office remains closed or is not able to function due to unexpected reasons, thetender will be opened at the same time of the next following working day.

6.3 Any tender received after the deadline for submission of bids prescribed shall be rejectedand returned unopened to the tenderer.

6.4 If representative / authorized persons of the bidder is to attend the bid opening anauthorization letter to this effect must be produced by him before he is allowed toparticipate in the bid opening.

6.5 PGMT, BSNL, Thrissur reserves the right to disqualify such tenderers who have a recordof not meeting contractual obligations against earlier contracts entered into with theBSNL.

6.6 The contract awarded to the selected tenderer is NOT TRANSFERABLE.

7 IMPROPERLY PREPARED OFFER

7.1 All tenders in which any of the prescribed conditions are not fulfilled or incomplete inany respect are liable to be rejected.

7.2 If any clause is found added or altered the tender will be rejected.

8 RATE QUOTING METHOD

8.1 The rates should be quoted in figures and words per person per hour as shown in thePrice Schedule of the BID. Any ambiguity in rates shall make the tender invalid. Noclause should be added or altered in BID documents.

8.2 The contractor should strictly abide by the provisions of various acts of the state in forcein connection with the employment of the contract labour. It is the responsibility of thecontractor to ensure payment of wages as per Minimum Wages Act as fixed by ChiefLabour Commissioner, New Delhi (subject to change) concerned to the personsemployed and EPF, ESI and Bonus as applicable.

8.3 The tenderers are requested to contact the AGM (PLG II) concerned to ascertain thequantum of work before quoting the service charge

8.4 In case if there is any difference in amount written in figure and amount written in words,then the amount written in words will be treated as amount quoted.

8.5 Income Tax at appropriate rates will be deducted at source from the monthly payment ofall the bills.

9 EVALUATION CLAUSE

Evalution of tender will be done on the basis of the lowest service charge quoted in terms withthe conditions prescribed above. If more than one bidder happens to be L1, the works will beawarded to the bidder on suitable proportion at the observation of PGMT BSNL Thrissur basedon the past experience and other performance factors.

10 SECURITY DEPOSIT.

10.1 The tenderer whose rate is accepted has to deposit an amount equal to 5% of the total

contractual value plus GST @ 18% as Security Deposit within 14 days from the date ofacceptance of the tender, which bears no interest and refundable on expiry of the period ofcontract after adjusting dues if any of the contractor under any head. In the event of failure todeposit within the time allowed, the tender will be rejected and the EMD forfeited.

b) If any damage is caused to any of the property of the BSNL or delay incarrying out the works.

c) If any of the conditions indicated in the Tender is not carried out which resultsin loss / damage to BSNL.

d) If any of the statutory payments (ESI/EPF/Bonus/GST etc) are found notremitted/paid.

10.1 The tenderer shall be fully responsible for the compliance of all the provisionsapplicable under labour laws like:

11 AGREEMENT

The successful tenderer will be required to execute an agreement in a Non-Judicial stamppaper of Rs.200/- (Rupees Two hundred only) within the time frame stipulated byPGMT , BSNL , Thrissur . The cost of stamp paper is to be borne by the successfultenderer.

12 CAUTION12.1The tenderer should execute the whole and every part of the work in the most

substantial and workman like manner both as regards materials and otherwise in everyrespect in strict accordance with the specification.

12.2 In the event of any failure to comply with any of the clause of this tender notice or theagreement, the tender is liable to be cancelled and the Security Deposit is liable to beforfeited.

12.3 If the service of the tenderer is not satisfactory on any count, BSNL has the right toterminate the tender by giving 30 days notice.

13. RESPONSIBILITY OF THE CONTRACTOR

13.1. The Contractor should strictly adhere to the statutory regulation viz., Minimum wages Act,EPF Act, ESI Scheme, Bonus Act 1965 and any other regulations. Covering Labour contract inrespect of Labourers /Employees by the contractor individuals should be supplied with details ofEPF / ESI payments. All Labourers / Employees should be supplied with ESI cards to enablethem to get treatment. In Nutshell all the labourers employed should be provided with allfacilities as per the provision of Contract Labour R& A Act 1971. BSNL shall have noresponsibility in this.

13.2 The Contractor shall be responsible for the discipline of the persons employed by him andhe shall be responsible for the supervision of such employees and their control. If at any time, itis found that any person engaged by the contractor is indulging in misbehavior or misconductetc., the unit officer shall have the right to inform the contractor to replace him and any suchdemand shall be binding on the Contractor.

13.3 The Contractor shall maintain complete personal data of persons employed by him such as,name, fathers name, permanent address, village / Taluk / district, Police station concerned,signature ,aadhar no, EPF & ESI etc. and provide them to BSNL wherever asked for.

13.4 The Contractor should be responsible for the welfare of his employees as per the variousState / Central Government Acts and Regulations. BSNL will not have any responsibility in thisaspect.

13.5 No child labour will be permitted.

13.6. The Contractor will be solely responsible for the payment of salaries, allowances and otherbenefits to his employees and BSNL shall in no way responsible for the same. He should notwait for the BSNL’s payment to pay to his staff. He should make payment on or before 7th of thefollowing month without fail. In case the contractor habitually delay the payment beyond 7th ofevery month his contract shall become liable for termination with 30 days notice.

13.7 In case of additional requirements the Contractor should be in a position to supply them atthe approved rate without delay.

13.8 In case of any workman of the contractor suffers injury / damage or meets with an accidentduring the discharge of duties, the entire cost of compensation should be borne by the tendererand BSNL will stand indemnified against any claim for compensation.

13.9 Cooking / halt after duty hours by the labourers of the Contractors inside the building is notpermitted.

13.10. The tenderer should provide First Aid Facilities for the contract labourer.

13.11 Any communications to the last known address will be sufficient for any purpose ofwritten communications. Any plea of absence from Headquarters or change of address will notbe accepted to establish the non-receipt of communication on the part of the tenderer. For thispurpose it is desirable that the tenderer has a local office at Thrissur with contact phone numbers,which should be mentioned in the tender form.

14. DAMAGES AND LOSSES

14.1 The successful tenderer will be engaged as “WORK CONTRACTOR” on “WORKCONTRACT BASIS” which is purely a work contract based on the principles of Law ofContract.

14.2 The tenderer getting the work order will be entirely responsible for all losses and damagescaused during execution of work by his party to men, material and properties belonging to notonly BSNL but also to other departments, organizations and individuals. BSNL shall have noliability whatsoever.

14.3 Any legal or financial implications while executing the work would vest with the tendereronly. BSNL shall have no liability whatsoever.

15. PENALTIES

Penal deductions will be made for poor services on the basis of assessment by DvisionalEngineer level officers of Thrissur BA . Penal deductions will be made at the rate of 2% of the

rates quoted per occasion/instance per month. The decision of the PGMT , BSNL Thrissur willbe final in this regard.

16. TERMINATION

16.1 PGMT, BSNL Thrissur may without prejudice to any other remedy for breach of contract,may terminate the contract in whole or in parts by giving 30 days notice.

i) If the contractor fails to abide by any of the terms and conditions under the contract.

ii) PGMT, BSNL Thrissur may without prejudice to other rights and remedies availableto him under the applicable law get the work under this contract done by making alternatearrangement at the risk and cost of the tenderer in above circumstances.

16.2 PGMT, BSNL Thrissur may also by giving written notice and without compensation to theContractor terminate the contract if the Contractor becomes unwilling, bankrupt or otherwiseinsolvent without affecting its right of action for remedy, as deemed fit.

16.3 BSNL shall not be responsible for any loss or damage incurred to the contractor as a resultof the termination of the contract. BSNL shall be free to take due action for the appointment of anew contractor during the period under notice thereafter. The contractor / the company will bedebarred for further participation in the tender floated by this office.

16.4 The successful tenderer shall under no circumstances sublet the contract and if he do so, thePGMT, BSNL Thrissur whereupon by notice in writing rescind the contract.

17. PAYMENT OF BILLS

17.1 The Contractor shall submit all bills in monthly basis in triplicate with the GST RegistrationNumber to Asst. General Manager (PLG II) concerned along with an advance stamped receiptfor processing for payment. The Contractor shall enclose the payment copies of the previousmonths EPF, ESI Statement Contribution, GST etc., paid to the concerned authorities and allother statutory liabilities applicable. The Contractor shall submit a certificate that he had paidthe wages completely for the previous months with proof of payment. Necessary deductionstowards income tax and surcharge and any other tax levied by State/Central Government / LocalAdministration shall be made from the bills at the time of payment as per rules in existence atthat time. The Payment will be made only through RTGS/NEFT mode.

17.2 In case of absence / Non-performing of work, pro-rata deductions will be made in the bills.

18. RIGHTS RESERVED FOR BSNL

18.1 PGMT, BSNL Thrissur reserves the right to blacklist a tenderer for a suitable period incase he fails to honour his tender without sufficient grounds.

18.2 BSNL reserves the right to reject any or all tenders without assigning any reason.

18.3 This award of work contract does not confer any right on the contractors employees forappointment/absorption in BSNL.

18.4 In case of any dispute before entering into contract, the decision of the PGMT, BSNLThrissur shall be final.

18.5 The PGMT, BSNL Thrissur shall be the final authority for deciding the successful tendererand his decision will be final.

19. VALIDITY

The period of contract shall normally be one year from the date of awarding of tender butcan be extended for a further period of one year or till such time a fresh tender is finalizedwhichever is earlier at the same rate with the same terms and conditions.

20. RESTRICTIONS

Any attempt for negotiations direct or indirect or any attempt to secure any interest foractual prospective tenderer or influence by any means for the acceptance of particular tender willrender the concerned tenderer liable for exclusion from consideration.

21. FORCE MAJEURE

21.1 If at any time, during the continuance of this contract, the performance in whole or inpart, by either party or any obligation under this contract shall be prevented or delayed by–FORCE MAJEURE conditions – neither party shall, subject to other conditions of the contract,by reasons of such events be entitled to claim for damages against the other in respect of suchnon performance or delay in performance.

21.2 The Force-Majeure shall include war or hostility, or acts of the public enemy, or civilcommotion, or sabotage or fire, or floods or explosions, or epidemics or quarantine orrestrictions or strikes or lockouts or acts of God (herein after referred to as eventuality).

21.3 Provided such Force-Majeure provisions apply only if notice of happening of any sucheventuality is given by either party claiming concession to the other within 21 days from the dateof occurrence thereof.

21.4 Provided activities under the contract that were interrupted under the FORCE-MAJEUREevent are resumed as soon as practicable after such event comes to an end, or cease to exist, andthe decision of the PGMT, BSNL Thrissur as to whether the activities have been so resumed ornot, shall be final and conclusive.

21.5 Provided further that if the performance in whole or part of, any obligation under thiscontract is prevented or delayed by reasons, for any such events for a period exceeding 60 days,either party may at his option terminate the contract.

22. COMPLIANCE WITH LAWS AND REGULATION

22.1 All the successful tenderers are bound by the labour laws as amended from time to time andalso bound by the various provisions of the said laws.

22.2 All payments of salaries, leave, EPF, ESI Contribution and bonus for the labourers engagedby the tenderer for the execution of the tender work and all other liabilities imposed by theContract Labour (R & A) Act 1970 and the EPF and ESI organizations wherever applicable willbe the sole responsibility of the tenderer and the BSNL shall stand indemnified in this regard.

23. ARBITRATION AND JURISDICTION

Except as otherwise provided elsewhere in the contract, if any dispute, difference, question ordisagreement arises between the parties hereto or their respective representatives or assignees. Inconnection with construction, meaning, operation, effect, interpretation of the contract or breachthereof which parties unable to settle mutually, the same shall be referred to Arbitration asprovided hereunder:

1) A party wishing to commence arbitration proceeding shall revoke Arbitration Clauseby giving 60 days notice to the designated officer of the other party. The noticeinvoking arbitration shall specify all the points of disputes with details of the amountclaimed to be referred to arbitration at the time of invocation of arbitration and notthereafter. If the claim is in foreign currency, the claimant shall indicate its value inIndian Rupee for the purpose of constitution of the arbitral tribunal.

2) The number of the arbitrators and the appointing authority will be as under.

aforesaid. Such person shall proceed with the reference from the stage where hispredecessor had left it both parties consent for the same; otherwise, he shall proceedde novo.

5) Parties agree that neither party shall be entitled for any pre-reference or pendenteliteinterest on its claims. Parties agree that any claim for such interest made by any partyshall be void.

6) Unless otherwise decided by the parties, Fast Track procedure as prescribed inSection 29 B of the Arbitration Conciliation Act, 1996 for resolution of all disputesshall be followed, where the claim amount is upto Rs.5 crores.

[29B. Fast track procedure- (1) Notwithstanding anything contained in the Act, theparties to an arbitration agreement, may, at any stage either before or at the time ofappointment of thee arbitral tribunal, agree in writing to have their dispute resolved byfast track procedure specified in sub-section (3).2) The parties to the arbitration agreement, while agreeing for resolution of dispute by

fast track procedure, may agree that the arbitral tribunal shall consist of a sole arbitratorwho shall be chosen by the parties.3) The arbitral tribunal shall follow the following procedure while conducting arbitrationproceedings under sub-section (1) –

a) The arbitral tribunal shall decide the dispute on the basis of writtenpleadings, documents and submissions filed by the parties without oralhearing;

b) The arbitral tribunal shall have power to call for any further information orclarification from the parties in addition to the pleadings and documents filedby them;

c) An oral hearing may be held only, if, all the parties make a request or if thearbitral tribunal considers if necessary to have oral hearing for clarifyingcertain issues;

d) The arbitral tribunal may dispense with any technical formalities, if an oralhearing is held, and adopt such procedure as deemed appropriate forexpeditious disposal of the case.

4) The award under this section shall be made with a period of six months from thedate the arbitral tribunal enters upon the reference.

5) If the award is not made within the period specified in sub-section (4), theprovisions of sub-sections (3) to (9) of Section 29A shall apply to the proceedings.

6) The fees payable to the arbitrator and the manner of payment of the fees shall besuch as may be agreed between the arbitrator and the parties.]7. The arbitral tribunal shall make and publish the award within time stipulated asunder:

10. Subject to the aforesaid conditions, provisions of the Arbitration and ConciliationAct, 1996 and any statutory modifications or re-enactment thereof shall apply to the arbitrationproceedings under this clause.

25. SET OFFAny sum of money due and payable to the tenderer (including Security Deposit

refundable to him) under this contract may be appropriated by the PGMT, BSNL Thrissur680022 and set off against any claim of the BSNL for payment of a sum of money arising out ofthis contract or under any other contract made by the contractor with the BSNL.

vii) Sweeping of the immediate compound around the buildings extending not lessthan 5 Metres (unless otherwise specified) all around all buildings within thepremises. Disposing effectively all the wastes collected from all the floors of all thebuildings and the compound as above within 50 Metres lead within the compoundas instructed by the premises’ – in – charge.1. The contractor agreed to execute, fulfill and discharge the work and obligations hereinafterprovided in theManner hereinafter agreed to the entire satisfaction of the Management of Company.2. The contractor shall ensure the efficiency, honesty, punctuality of workers employed by him.3. The child labour as well as engagement of persons above 60 years will not be permitted.4. The contractor will execute and efficiently handle the work entrusted to him in accordancewith the specifications of having been correctly executed and efficiently handled until it isapproved by the Company.5. It is clearly understood and agreed that by this Deed, no relationship of employer andemployee is created between the Company and employees engaged by the Contractor.6. The contractor shall provide the cleaning and sweeping service to the Company in the areasand manner as discussed. The contractor shall undertake and assure the company that hewill provide proper and efficient service in predetermined schedule of time. Besidesservices will also be rendered by the contractor as and when desired by the company eventhough it may not be as per the schedule on charges as may agreed to separately.7. The contractor shall decide the modus operandi as to engage men/machinery by himrendering proper and efficient services and to conform to them to the prescribed standardof Hygiene.

4. BSNL shall have the right to request the first party (____________________________________________________________________________) at any time to replace any or allthe persons engaged by the contractor for the work at the BSNL office without assigningany reason.

5. The second party (BSNL) shall pay the wages of the labourers according to the wages fixedby Central/State Labour Commissioner along with the service charge and other taxes byRTGS/NEFT payment in each calendar month on submission of the bill by the first party andafter satisfying by the second party that the work has been carried out by the first partysatisfactorily. If the work is not done satisfactorily, deduction will be made in the servicecharges as deemed fit by the authorities. The contractor should specifically note that therewill be no compromise in the case of cleanliness of the office premises. Suitable penalty asdeemed fit by the supervisory officers/officials at any level can be/will be imposed for noncompliance of orders/instructions without any prior notice and the aggregate amount of suchpenalty in a month will be deducted from the bill of that month.a) The first party

(_____________________________________________________________)shall be responsible for any loss or damage of BSNL property caused by the negligenceof the persons engaged by him in the performance of his work. They shall have no futureclaim/right other than those specified in this agreement.

responsible for all the statutory benefits like ESI, EPF, Uniform and medical facility,accident claim, Bonus etc., and the pay of the persons employed by the first party. Anytype of claims/disputes by the employees will be settled by the contractor.

c) The contractor should ensure that all applicable labour legislation including ESI,Workman compensation Act, Minimum Wages act, EPF misc. provisions act 1952 andBonus Act 1965 are complied with.

d) The uniform with BSNL Brand name and other dressing materials and ID card requiredfor the workers employed by the first party must be provided by him. The second partywill be at liberty to terminate those agreements at any time giving one months notice.

e) BSNL reserves the right to increase the Security Deposit on increase of labourersengaged from the present approved number and the contractor is bound to place theincreased Security Deposit as and when called for.

f) Penalty as per clause no. 15 in Terms and Conditions of NIT is applicable for poorservice.

g) The period of contract shall be for a period of one year from the date of awarding ofcontract and the same can be extended further for a period of one year with a break onsatisfactory performance or till a fresh tender is finalized whichever is earlier, under thesame terms and conditions.

3. The contractor is fully aware of the terms and conditions of the tender given in theabove said tender documents. The contractor shall abide by the terms and conditions,rules, guidelines, safety precautions etc. stipulated in the tender document includingany correspondence issued by the BSNL to the contractor having bearing on executionof work and payments of work to be done under the contract.

4. The contractor shall, during the period of this contract that is to say from………………………………. To ……………………………. or until this contractshall be determined by such notice as is hereinafter mentioned, supply sufficientSweeping & Cleaning staff employed at his own expense in BSNL Thrissur BA atservice charges of Rs ………per Hour. It is understood by the contractor that thenumber of Sweeping & Cleaning staff mentioned on the schedule is likely to changeas per actual requirements as demanded by exigencies of service.

5. The NIT (Notice Inviting Tender), Bid Documents(qualifying and financial), letterof intent, approved rates and such other additional particulars instructions shall bedeemed and taken to be an integral part of the contract and shall also be deemed to beincluded in the expression” The agreement” or “the Contract” wherever herein used.

6. The contractor here by declares that nobody connected with or in the employmentof the Bharat Sanchar Nigam Ltd is not/ shall ever be admitted as partner in thecontract.

7. The contractor shall abide by the terms and conditions, rules/regulations /laws /Government instructions/ Statutes etc that are applicable / will be made applicable

and/or aimed to protect the interest of workers /employees employed by me /us in thepast and during the course of execution of the said contract with BSNL.

The contractor shall fully protect, indemnify and hold harmless BSNL and itsemployees , officers, directors, agents, or representatives from and against any/allliabilities, losses, actions, judgements, damages, fines, penalties and costs (includinglegal costs and disbursements) arising from or relating to Any breach/ violation of anydirections, order from any Government Authority, any provisions of labour laws orany other laws, statute or regulations, that are or will be aimed to protect the interestof orders / labourers engaged by the contractor in the past and during the course ofthis contract with BSNL.

ORAny other payments, claims or liabilities that may arise from ensuring complainer orthe provisions of any of the labour laws or any other laws etc.

ORAny other claim made by any third party in connection with any violation ofany of the laws the laws, guidelines, instructions etc.

We the Bank do hereby undertake to pay the amounts due and payable under thisguarantee without any demur, merely on a demand from the BSNL stating that the amountclaimed is due by way of loss or damage caused to or would be caused to or suffered by theBSNL by reason of breach by the said bidder(s) of any of terms or conditions contained inthe said Agreement or by reason of the bidder (s) failure to perform the said Agreement. Anysuch demand made on the bank shall be conclusive as regards the amount due and payableby the Bank under this guarantee where the decision of the BSNL in these counts shall befinal and binding on the bank. However, our liability under this guarantee shall be restricted toan amount not exceeding the “B. G. Amount”.

3. We undertake to pay to the BSNL any money so demanded notwithstanding anydispute or disputes raised by the bidder(s) in any suit or proceeding before any court ortribunal relating thereto our liability under this present being absolute and unequivocal. ThePayment so made by us under this bond shall be valid discharge of our liability for paymentthere under and the bidder(s) shall have no claim against us for making such payment.

4. We the Bank further agree that the guarantee herein contained shall remain in fullforce and effect during the period that would be taken for the performance of the saidagreement and that it shall continue to be enforceable till all the dues of the BSNL under orby virtue of the said Agreement have been fully paid and its claims satisfied or discharged ortill BSNL Certifies that the terms and conditions of the said Agreement have been fully andproperly carried out by the said bidder(s) and accordingly discharge this guarantee. Unless ademand or claim under this guarantee is made on us in writing or before the expiry of Validitydate from the date hereof, we shall be discharged from all liability under this guaranteethereafter.

5. We the Bank further agree with the BSNL that the BSNL shall have the fullest libertywithout our consent and without affecting in any manner our obligations hereunder to vary anyof the terms and conditions of the said Agreement or to extend time of performance by the saidbidder(s) from time to time or to postpone for any time or from time to time any of the powersexercisable by the BSNL against the said bidder(s) and to forbear or enforce any of the termsand conditions relating to the said agreement and we shall not be relieved from our liabilityby reason of any such variation, or extension being granted to the said Bidder (s) or for anyforbearence, act or omission on the part of the BSNL or any indulgence by the BSNL to thesaid bidder(s) or by any such matter or thing whatsoever which under the law relating tosureties would, but for this provision, have effect of so relieving us.

6. Not withstanding anything herein contained ;

(a) The liability of the Bank under this guarantee is restricted to the “B. G.Amount” and it will remain in force up to its Validity date specified above.

(b) The guarantee shall stand completely discharged and all rights of theBSNL under this. Guarantee shall be extinguished if no claim or demandis made on us in writing on or before its validity date.

7. In case BSNL demands for any money under this bank guarantee, the same shall be paidthrough banker’s Cheque in favour of “ AO (Cash), O/o PGMT, BSNL Thrissur, SancharBhavan, TUDA Road, Kovilakathumpadam, Thrissur-22 payable at Thrissur.

8. The Bank guarantees that the below mentioned officer who have signed it on behalf ofthe Bank have authority to give this guarantee under its delegated power.
