It has been amazing to see the rapid development of our youngsters and that – combined with the attitude of seasoned professionals like our captain Gareth Batty and overseas star Kumar Sangakkara – is making us positive about the Club’s future.

Having been promoted, we are all now looking forward to testing ourselves against the best. For the first time in a long time, we can challenge for all the top prizes. We are going to enjoy it.

The recent redevelopment of the Pavilion made a real difference and work over the winter to invest £10m in a brand new Peter May Stand will see improved facilities for Members and spectators in that area of our great ground.

These are indeed exciting times at the Club. A burgeoning side with a talented squad well placed to compete for all trophies, and the inception of a Surrey side in the newly formed Women’s Cricket Super League.

On the horizon, we have two huge years for International cricket. In 2017 we host the ICCChampions Trophy final as well as the 100th Test to be played at the Oval, followed by the ICC World Cup two years later. A mouth-watering prospect.

As a Club we feel we have made good progress in recent years and we are focused on maintaining our current trajectory through hard work and good decision-making. We had a successful season, securing promotion and coming so close to winning the Royal London One-Day Cup, and we also performed extremely well as a Club and as a business.

In addition, we are very pleased with spectator numbers, both here at the Kia Oval where crowds have flocked to watch the NatWest T20 Blast, and more generally around the country. If any other sport was looking at a 17 per cent increase year-on-year for their domestic crowds, they would be delighted. Indeed, more people watched domestic cricket than International cricket last year, which I believe to be a very positive thing. For several years now we have been saying that county cricket needs to be made into something that people want to come and see, and it seems that we are making that a reality. Combined with excellent crowds for International cricket at the Kia Oval, it all goes to show the important part that Surrey CCC has to play in cricket.

The success of the Club as a business, with our Conference and Events team continuing to perform extremely well, means that we can put all of our focus on the team out on the pitch. We are fortunate to have an excellent management team that gives us the capability and resources to take Surrey back to where we all want to be, challenging for trophies year-in-year-out and providing players for England.

In our management, the players and our various specialist coaches, we have a team who share the same philosophy. The excellent progress the squad has shown over the last two years is down to hard work combined with talent. It is an incredibly difficult thing to show real improvement year on year but the nurturing atmosphere and high-quality coaching behind the scenes has brought great results.

CHAIRMAN’S STATEMENT 2015

When we reviewed the 2014 season with Alec Stewart and his team, we were realistic but also confident that we could be at the start of something big.

We were not expecting promotion that year; the aim was more to ensure that the players who had perhaps gone slightly backwards in terms of development started to improve.

After a year of rebuilding, the start of 2015 saw us appoint Gareth Batty as captain. He has provided the strong leadership and continuity we had been missing. Starting the season with the right structure in place, we just got better and better, and peaked at exactly the right time.

What is perhaps most satisfying is that the team, and the Club for that matter, is now a real collective which is something we are very proud of. We want everyone – Members, players, staff – to feel a part of the Club and I believe that is increasingly the case, with everyone working towards on-field success.

We are working towards this properly, building the team around a core of players who have been brought up the Surrey way. As with our squad at the turn of the century, we have thrived with largely Surrey-produced players who play it hard but fair. The players have earned real respect from fans and opponents alike for the way they approach the game.

It is very rare to be able to combine on-field achievement with off-field success at a sporting club but that is what we have managed here at the Kia Oval. The end-of-season awards were perhaps the best snapshot of the current Surrey set-up you could get.

After winning the title on the last day of the season, the players walked off the field and shortly afterwards were celebrating each others’ achievements alongside our Members.

Their speeches were filled with genuine emotion, from the old heads all the way through to the youngsters. This was a season I don’t think anyone wanted to finish.

Now is the time for us to show ambition and determination. Belief is coursing through the Club – we have a firm base and a superb coaching team that has meant those players who were not developing are now where we want them to be, starting to realise their potential but understanding that there is still a long way to go.

A good example of the attitude at the Club is the day we got promoted with a Gareth Batty hat-trick. Later, in the dressing room, there was no mad celebration, no champagne – people were already thinking about finishing first in the division and winning the Royal London One-Day Cup later that month.

We exceeded expectations financially in 2015, which will enable us to invest more in the ground and on cricket. We are looking to compete in all three competitions, while retaining the philosophy and culture that was so integral to how we performed in 2015.

The proposed changes to the domestic structure have created an ongoing debate through most of last season and I am sure for the season ahead. We will work closely with the ECB and our County colleagues to ensure our voice is heard to achieve the best outcome for the Club and the game as a whole.

I look forward to the new Peter May Stand opening in the spring; funded by our first subscribed bond. I hope the additional seats and facilities will ensure the Kia Oval remains a truly world-class and world-famous sporting venue. I believe the new Peter May Roof Terrace will be a big hit.

Success in County cricket is measured by winning trophies and by producing International cricketers. It is our belief that we have the momentum and the energy to be

doing both of those things over the coming seasons. We look forward to sharing the next chapter with you all.

TREASURER’S REPORT 2015

This Report relates to the Club, its wholly owned subsidiary, Kennington Oval Limited (KOL), and its trading subsidiary, Oval Events Holdings Limited (OEHL) - which is the joint venture between KOL and Compass PLC - and Oval Events Limited (OEL).

Members are asked to adopt the Accounts for the year ended 31st January 2016. The General Committee and the Surrey Management Board approved the Accounts on the 17th March 2016. The Accounts are presented as consolidated group Accounts for the Club, KOL, OEHL and OEL. Those published with this Report are in summary form but, for Members who wish to have a copy of the full Accounts, they are available on request from the Membership Department. Copies will also be available at the Annual General Meeting.

Group Results for 2015/16

I am delighted to report tremendous progress off the field over the last twelve months to match the hugely encouraging performances by our players. The Accounts presented to Members represent the strongest financial performance in one year ever recorded by the Club with annual pre tax profits – after interest and depreciation – in excess of £3m for the first time. We should always do well in a year where we are hosting a Final Ashes Test Match but the outstanding features were the growth in income from domestic cricket and our non match-day revenue from Conference and Events. Revenue from T20 increased from £2.7m in 2014 to £3.2m in 2015 while income from Conference and Events increased by 10% to £4.4m. We are looking for further growth from both these revenue streams in future years which will help to underpin the Club’s finances and support our expenditure on cricket in years when the International schedule is less financially attractive.

A year ago, I described our plans to finance an important redevelopment of the Kia Oval.

During the close season, the Lock and Peter May Stands were demolished and replaced with a new single stand which is already almost complete. To help fund this development the Club launched a Bond towards the end of the summer inviting Members to subscribe during a “Priority Period” with allocations to the general public available thereafter. The uptake in subscriptions was remarkable and the maximum allocation of £5m was achieved just eight days after launch - well within the Members’ priority period. The Club is immensely grateful to those Members that subscribed to the Bond. There were a number of Members who applied but were unable to invest due to the speed of subscription and the Club will ensure that, in the event of another issue, these Members will be prioritised.

The cost of the new stand will, in total, be just under £10m. With the extra facilities for spectators and with increased capacity, it not only greatly improves the Kia Oval as a venue for hosting major cricket matches but also represents a sensible financial project for the Club. The balance of the cash required to fund the development has been derived from an additional loan from AIB and from the Club’s own cash resources. During the year, a repayment of £550k was made to the bank as part of our scheduled repayments for the loan taken out with AIB for the OCS Stand in 2005. This has reduced the original loan to just over £6m from the £13m initially borrowed. The final repayment for this loan is due in 2022.

In terms of the financial statements before you, we have been required to make a restatement of the Balance Sheet due to the adoption of the new Financial Reporting Standard 102 (“FRS 102”) which replaces previous accounting standards, the guidelines under which statutory financial statements are produced. This reporting standard is being introduced across the UK and all companies will be required to follow its guidelines. The major change for Surrey County Cricket Club

is that Debenture loans are now recorded in the financial statements at net present value rather than at their nominal value as had been the convention under previous accounting standards. This has led to a write down of the liability and an increase in reserves at the year end of £2.5m which will be matched over time by a very modest charge to our P&L account until the final repayment date for the loans.

Looking Ahead

The forthcoming year will be more difficult financially. In particular, the Club will have to work hard to achieve its sales targets for the International fixtures. Continued development of domestic cricket and Conference & Events revenues will be crucially important. We can, however, look forward to hosting a Royal London One Day International against Sri Lanka and, of course, the Final Investec Test match against Pakistan in August. With the Kia Oval hosting the ICC Champions Trophy in 2017 and the ICC World Cup – along with the Final Ashes Test - in 2019 we have established a strong ability to service our debt, repay our loans and invest in cricket for the foreseeable future.

Independent Auditors’ Report to the Members of Surrey County Cricket Club Limited.

We have examined the summary financial statements of Surrey County Cricket Club Limited and subsidiary undertakings for the year ended 31st January 2016.

This report is made solely to the Club’s Members, as a body, in accordance with our engagement letter. Our work has been undertaken so that we might state to the Club’s Members those matters we are required to state to them in an auditors’ report and for no other purpose. To the fullest extent permitted by law, we do not accept or assume responsibility to anyone other than the Club and the Club’s Members as a body, for our audit work, for this report, for our audit report or for the opinions we have formed.

Respective responsibilities of the Club’s General Committee and Auditors

The Club’s General Committee is responsible for preparing the summarised financial statements in accordance with applicable United Kingdom law. Our responsibility is to report to you our opinion on the consistency of the summary financial statements with the full annual accounts.

Basis of Opinion

We conducted our work in accordance with Bulletin 2008/3 ‘The Auditors’ statement on the summary financial statements’ issued by the Auditing Practices Board for use in the United Kingdom.

Opinion

In our opinion the summary financial statements are consistent with the full annual accounts of Surrey County Cricket Club Limited for the year ended 31st January 2016. The Auditors’ report on the Club’s annual accounts was unqualified.

1. Copies of the relevant Minutes are available for inspection by Members by personal visit to the ground between the hours of 10.00am and 4.00pm on Mondays to Fridays from the date of receipt of this notice until and including the date of the Annual General Meeting. In addition, copies will be available for inspection on the day of the meeting in the OCS Stand from 5.00pm or by emailing [email protected].

2. Nominations for election to the General Committee have been received from the following:- I.K. Blacklidge, M.A. Butcher, A.P. Gasson, D. Gill, B.I. Nottage, M.G. Reeve, N.L. Robinson, R.A.J. Walton, S.R. Wootten.

3. The attention of Members is drawn to the following extracts from the Rules:-

“Rule 19.2 Election of Committee—Provisions in Case of More Nominations than Vacancies

(a) If there shall be more nominations than there are vacancies for Membership of the Committee, the Secretary shall cause to be posted, with the paper giving notice of Annual General Meeting, to Members entitled to vote at General Meetings, ballot papers on which shall appear the name of each candidate properly nominated as aforesaid and willing to serve on the Committee (and the decision as to whether a candidate has been properly nominated shall be in the absolute discretion of the Secretary whose decision shall be final and binding), and the names of the five nominating Members of each candidate, together with a memorandum giving details of each candidate’s professional and general qualifications.

(b) Such ballot papers after completion shall be returned to the Secretary or to such other person and address as the Secretary

may designate, by the date indicated on the ballot paper.

(c) Each Member entitled to vote at General Meetings shall have one vote for each vacancy on the Committee but shall not give more than one vote to any one candidate.

(d) Any ballot papers which do not comply with the conditions or requirements for their completion and return shall be invalid.

(e) The Committee shall appoint not less than three scrutineers (of whom one may be the Secretary) to examine the ballot papers, and the decision of the majority of the scrutineers acting as experts on the validity of any ballot paper or papers and as to the outcome of the election shall be final and binding.

(f) Those candidates shall be elected to the Committee who receive the highest number of votes in the ballot and, in the event of two or more Members (not otherwise elected) receiving an equal number of votes (but receiving more votes than others (if any) also not otherwise elected) the candidate(s) to be elected from amongst them shall be decided by lot in a manner to be prescribed by the President.”

“Rule 28.5c Business at Annual General Meetings If any ten or more Members entitled to vote at General Meetings wish any matter concerning the business or affairs of the Club to be discussed at an Annual General Meeting, those Members shall give written notice to the Secretary by 1st February of the matter to be discussed. The Secretary may, at his discretion, require sufficient details to be set out in or added to such written notice so as to ensure that Members, on receipt of the notice of the Annual General Meeting, have

adequate information concerning the matter to be discussed but no resolution may be put to the vote of the meeting under this item.” “Rule 28.6 Decisions and Actions of the CommitteeIt shall not be competent for any Annual General Meeting to alter or interfere with any decision or action of the Committee, the Management Board, or the Audit, Risk and Governance Committee or other competent person or persons taken or done in pursuance of the powers conferred by these Rules.”

“Rule 31 Voting at General Meetings

31.1 Qualification Only those Members who are qualified to do so under Rule 7.2 shall be permitted to vote at General Meetings.

31.2 Methods Voting on ordinary business and voting on special business shall be in accordance with the provisions of Rule 31.3.

31.3 Voting on General Meetings

Except as provided by the Acts and except as provided in Rule 34 and Rule 40, voting on Ordinary Business and on Special Business shall be by a show of hands unless the Committee in its absolute discretion considers that any resolution to be proposed at any General Meeting is of sufficient importance to the Club to justify the use of proxy voting or postal voting in relation to that resolution, so as to enable Members to vote on that resolution without having to be present at the meeting, in which case the Committee may so require. It shall be at the absolute discretion of the Committee as to whether proxy or postal voting is to be used. Proxy voting shall be conducted in accordance with the provisions set out in Rule 31.6 as supplemented by any Regulations made from time to time by the Committee and postal

voting shall be conducted in accordance with Bye-laws and for Regulations made from time to time by the Committee.In addition, the Chairman of the meeting shall be entitled to call for any matter to be determined by poll or by postal ballot (as the Committee may elect) either before or after the result of a show of hands is declared and the Committee shall make the appropriate arrangements in its discretion.In particular, but without limitation, the Committee shall at its absolute discretion have the right to appoint the Electoral Reform Society or any other independent scrutineer appointed by the Committee to examine the ballot papers, and the decision of the scrutineer acting as an expert on the validity of any ballot paper or papers and as to the outcome of the voting on a resolution shall be final and binding.

31.4 Majority Required for Passing of Resolution

(a) Unless otherwise provided by the Acts or in these Rules, any resolution shall, in order to be passed, require in favour of the resolution a majority of the votes cast by Members who (being entitled to do so) vote.

31.5 Casting Vote of Chairman

In the event of an equality of votes at a General Meeting, the chairman of such meeting shall be entitled to a second or casting vote.

31.6 Proxy Voting

Voting by proxy shall be carried out in the following manner:-

(a) The instrument appointing a proxy shall be in writing under the hand of the appointor.

(b) A proxy must be a Member entitled to attend and vote at a General Meeting.

(c) The instrument appointing a proxy shall be delivered to the Secretary at the registered office of the Club (or such other place as may be specified for the delivery of instruments of proxy in the notice convening the meeting or other document sent therewith) so that such instrument reaches the Secretary not less than 48 hours before the time appointed for holding the meeting or adjourned meeting at which the Member named in the instrument proposes to vote. In default the instrument of proxy shall not be treated as valid.

31.7 Declaration by Chairman

A declaration by the chairman of a General Meeting to the effect that a particular resolution has been passed (or not) or passed by a particular majority (or not) shall, subject to the Acts, be final and binding on all Members.”
