for ALABAMA SCHOOLS INVITATION TO BID (ITB): 06-DLC 2016

Alabama State Department of Education 1. General Requirements and Information

A. Introduction Alabama has many rural and low-income schools with limited course offerings for students. To provide additional educational offerings for Alabama public school students, the Alabama State Department of Education (SDE) is issuing an Invitation to Bid (ITB) for online middle and high school courses and/or course modules (Grades 6-12) in the following areas:

Standard and advanced courses aligned to Alabama standards College Board approved Advanced Placement courses Additional course offerings (electives) Remediation and supplemental resources and/courses Credit Recovery

Additionally, the SDE is seeking bids to provide a model for local school districts serving students in Grades K-8. This model would provide grade appropriate online course offerings for students in Grades K-8 under the same State licensing contract and at no additional costs to the districts. Alabama public schools and school systems will be allowed to purchase services from awarded contracts of this ITB. The intent of this ITB is to solicit bids that will allow the SDE to maximize its potential to deliver needed courses and/or modules to Alabama public school students. The SDE has a contract currently with Brightspace/Desire2Learn (D2L) to serve as its learning management system (LMS) and is seeking bids for courses and/or modules that can be successfully migrated to this LMS, as well as multiple LMS platforms statewide. The SDE will retain exclusive rights to courses and/or course modules purchased under this ITB. A perpetual license that allows the SDE to revise, edit, or modify purchased courses to align with State standards is requested for all courses and modules. As a result of this ITB, the SDE reserves the right to award multiple contracts to multiple provides in order to serve the best interest of the students and educators in Alabama. All awarded contracts will not exceed five (5) years in length, or to the extent the State laws will allow. The initial award(s)

offered will be 36 months in length with the option for two additional 12 month periods. Notice of extension will be made by the SDE to the awarded provider(s) in writing at least 90 days prior to the ending of the awarded period. The organization submitting the bid must allow multiple content reviewers access to sample courses and/or modules offered in response to this ITB, including assessments and all ancillary materials. To meet course and/or module needs, the SDE may select multiple vendors for different courses and/or modules. The SDE reserves the right to accept or reject any and all offers to purchase or contract submitted for any courses and/or modules offered in response to this ITB. A committee of SDE/ACCESS staff members will evaluate all bids based on the attached Evaluation Criteria. B. Vendor Registration Vendors must be registered with the Alabama Secretary of State to conduct business in Alabama. Information and registration procedures may be accessed at www.purchasing.state.al.us by clicking on “Vendor Registration.” Vendors must also be registered with the Alabama K-12 Joint Purchasing Program. Bid Specifications/Requirements The following specifications are related to qualifications of the organization submitting the bid and the requirements related to the delivery of the final courses and/or modules into the ACCESS learning management system by the provider. The specifications that are formatted in bold are considered mandatory and must be addressed in the submitted bid. Please attach all supporting documents for the specifications below and include with the bid package.

The bid should describe how the vendor ensures that courses or modules meet nationally recognized quality standards for online courses (e.g. iNACOL National Standards for Quality Online Courses, Quality Matters, etc.).

The bid should provide information about the organization's history, philosophy, and pedagogical models utilized.

The bid must list accreditations, dates of accreditation, and academic partners. The bid should allow multiple content reviewers access to courses and/or modules

offered in this ITB, including assessments and all sample ancillary materials. All related links, log in, and demonstration information and instructions for ACCESS/SDE staff should be included in the bidder’s responses and/or supporting documents.

The bid should include a statement addressing copyright compliance and a statement of policy about intellectual property rights to course and/or module materials.

The bid should include a statement relating to content conformance with the Americans with Disabilities Act and the provisions made to ensure that course and/or module materials are universally designed for accessibility by diverse learners (VPAT preferred).

The bid must describe the technical support (broken links, upgrades, response methods, content issues, tracking/ticketing system, etc.) and course management

assistance to be provided to the SDE, students, course instructor, and school coordinators.

The bid must permit SDE to migrate vendor courses/content to the LMS of an Alabama school district/school participating in an SDE franchise agreement for blended learning.

The bid should include courses/content that do not require textbooks, e-books, software, equipment, etc. Necessary learning resources and materials should be imbedded in the course, if possible.

The bid should describe the pedagogical models addressed and incorporated into the design to ensure that the content is age, developmentally, and grade-level appropriate.

The bid should describe how the content is organized effectively to facilitate student learning.

The bid should describe how higher levels of understanding, thinking, problem-solving, and meta-cognition are incorporated into the courses and/or modules.

The bid should describe initiatives in typical course and/or module design that support and enhance student engagement and student motivation.

The bid should address the organization's commitment to and requirements used to ensure that content in courses and/or modules is accurate, up-to-date, organized, free of bias, culturally diverse, and sufficient to meet stated learning goals.

The bid should describe how the inclusion of literacy or 21st Century skills is an integral part of the courses and/or modules offered in response to this ITB.

The bid should describe any applicable diagnostic assessment opportunities to determine if students have prerequisite skills needed for success in courses and/or modules offered in response to this ITB.

The bid should describe how formative and summative assessments are embedded in the courses and/or modules offered in response to this ITB.

The bid should thoroughly describe how lab activities in applicable courses and/or modules are to be conducted, including the name, description, and additional costs of all third-party products or tools embedded or used in the courses and/or modules offered in response to this ITB.

The bid should list and describe all pre-learning activities that will be available to students in all courses and/or modules offered in response to this ITB (e.g., self-assessments, checklists, orientations, tutorials).

The bid should describe how the courses and/or modules will establish a learning community among course participants in all courses and/or modules offered in response to this ITB.

The bid should list all assessment types (multiple choice, open-ended, etc.) that will be supported in the courses and/or modules.

The bid should list the approximate percentage of assessments that 1) pull from a test bank of at least 3:1; 2) have at least some randomized sections; and 3) contain only question items that can be automatically graded (MC, TF, MAT).

The bid should describe how the organization ensures that instructional strategies vary according to the desired type of learning outcomes.

The bid should discuss the organization’s requirements for assessment measures to

include both objective and subjective formats. The bid should discuss how the course and/or module materials provide

The bid should note whether multiple versions of the same assessment will be available. The bid should list examples of videos, animations, audios, simulations, and graphics

typically used in course and/or module design and describe how these directly support and enhance student learning in the courses and/or modules offered in response to this ITB.

The bid should describe typical efforts to include resources that extend the scope of the course and/or module content and describe how students are made aware of these resources.

The bid should explain how student learning styles and interests are taken into consideration in course and/or module design.

The bid should list any applicable e-learning standards to which content adheres (e.g., SCORM, IMS).

The bid should describe how the organization ensures that supplemental materials will be adaptable and flexible to meet the individual needs of students.

The bid should clearly list any software, hardware, texts, or other supplemental materials and costs, which are required for courses.

The bid should list any affiliations or partnerships with publishers, electronic libraries, etc., and discuss how these partnerships contribute to student learning in the courses and/or modules offered in response to this ITB.

The bid should describe how external Web links are selected and how the organization will ensure that the links are reliable, valid, and functional.

The bid should include a narrative of the content development process used by the organization, including any applicable internal and external reviews by content specialists. The narrative should include the titles and credentials of members of content development teams for any courses and/or modules offered in this ITB (e.g., instructional designers, content experts, graphic artists, and media designers). The bid should also describe the organization’s requirements and criteria for content developers.

The bid should describe how the content of courses and/or modules offered in response to this ITB meets or exceeds the rigor, depth, and breadth of traditionally delivered courses and/or modules.

The bid should describe the procedures and processes used in content development and review to ensure that the content included in all courses and/or modules contains a clear and explicit alignment between objectives, activities, assessments, instructional strategies, and technology.

The bid should provide references in the form of a current list of clients and a contact with information (e-mail or telephone number) for each reference listed.

D. Pricing Structure The bid should provide various pricing models or options, including a perpetual state license and/or a tiered perpetual license (based on enrollment). Please provide pricing models for the following:

Identify all additional fees that may be associated with providing technical support to SDE, students, and staff. Identify all fees that may be applicable to the utilization of the content and services including integration with the SDE LMS. 2. Terms and Conditions 2.1 Invitation to Bid Coordinator

2.2 Identification of Invitation to Bid

2.2.1. In general, reference to this Invitation to Bid must include the identification or

abbreviation 06-DLC 2016.

2.3 All communication regarding this Invitation to Bid must be directed to the coordinator

listed in section 2.1. Questions must be submitted through the Q and A link available at

https://connect.alsde.edu/sites/erate/aljp/06DLC2016/. Interested bidders should review all

questions submitted and answered prior to submission of any new questions. Questions

submitted in duplicate may not be addressed. See "Schedule of Events" for question

deadline. All questions will be reviewed and addressed within 3-4 business if applicable.

2.3.1 The SDE will not be held responsible for delays or technical problems that may

arise due to temporary failure of network or user authentication.

2.3.2 Any information, other than the information provided in this Invitation to Bid,

given by the SDE should be considered for informational purposes only.

2.5 Cost of Preparing Bids

2.5.1 The SDE will not reimburse any cost the vendor may have in the preparation and

submittal of any bid.

2.6 Bid Errors

2.6.1 Revisions to Previously Submitted Bids

2.6.1.1 Any vendor that submits a bid and finds it needs revisions or cancellation

may do so via e-mail notification to the coordinator prior to the due date

of bids. The SDE will not open sealed bids before the bid opening date

and time. If revisions are needed, the vendor should notify the

coordinator via e-mail of the cancellation of the current bid and submit a

new bid before the scheduled bid opening.

2.6.1.2 The vendor is responsible for a cancelled bid. The cancelled bid will

remain sealed and be voided in the bid process. It will be discarded upon

notification of the vendor unless the vendor arranges for pick-up.

2.6.2 Vendors are responsible and liable for all errors or omissions contained in their bids.

2.7 Invitation to Bid (ITB) Amendments and Cancellation

2.7.1 The SDE reserves the right to amend this Invitation to Bid at any time.

2.7.2 The SDE also reserves the right to cancel and/or reissue this Invitation to Bid at

its sole discretion.

2.7.3 Any amendments or cancellations by the SDE regarding this Invitation to Bid

will be made via Web site postings at:

2.8 Right to Reject Bids

2.8.1 The SDE reserves the right to reject any and all submitted bids at SDE discretion

in the event that funds are not allocated for this purpose. The SDE reserves the

right to reject any and all submitted bids at SDE discretion if none of the bids

submitted meet current needs or reserves the right to negotiate with known

providers of this service if none of the bids submitted meet current needs.

2.8.2 The SDE reserves the right to cancel this Invitation to Bid in its entirety.

2 .9 Bid and Public Information

2.9.1 All bids and any materials submitted in response to this ITB by the vendor become

the property of the SDE. Selection or rejection of a bid does not affect this right.

All information provided by the vendor in the bid will be available for public

viewing upon request after bid opening. By submitting a bid, the vendor

acknowledges and accepts that the full contents of the bid(s) may be made

available for public inspection.

2.10 Severability

2.10.1 If any provision of this ITB or a possible resulting contract is declared by a court

to be illegal or in conflict with any law, then the parties shall give effect to the

balance of the ITB or resulting contract to the extent possible.

2.10.2 If within the past five (5) years the vendor/provider of the qualified bid has been

disbarred, suspended, or otherwise lawfully precluded from participating in any

public bid activity with any federal, state, or local government, the bid must

include a letter providing detailed information relating to the disbarment or

suspension. Failure to supply such a letter may result in a disqualified bid or

cancellation of contract.

2.11 Multiple Vendors

2.11.1 This ITB may result in awards to multiple vendors in order to meet specific

course requirements. The SDE reserves the right to award multiple contracts if

deemed necessary to meet course needs. Similar courses from multiple vendors

will be evaluated on an individual basis to determine alignment with applicable

state content standards.

2.12 Bid Agreement

2.12.1 By submitting a bid, the vendor agrees to all requirements, terms, and conditions

Dispute Resolution. The parties shall attempt, in good faith, for a period of not less than thirty (30) days to resolve any controversy, claim, or dispute arising out of this Agreement through negotiations. Furthermore, should the parties be unable to resolve any disputes arising under the terms of this Contract, the parties hereto agree, in compliance with the recommendations of the Governor and Attorney General, when considering settlement of such disputes, to utilize

appropriate forms of non‐binding alternative dispute resolution including, but not limited to, mediation by and through the Attorney General’s Office of Administrative Hearings or where appropriate, private mediators. 

Termination by the State. This Contract may be terminated by the State for Default, as follows:  Termination for Default. The State shall have the right to terminate this Contract for Default by 

(Vendor) upon thirty (30) day written notice. A Default shall be deemed to have occurred if (Vendor) breaches any primary obligations, terms or conditions of this Contract and fails to cure such breach within thirty (30) days after receipt of written notice from the State concerning such breach. 

Termination for Vendor Bankruptcy. To the extent permitted by applicable law, in the event of the filing of a petition in bankruptcy by or against Vendor, which is not dismissed within thirty (30) days, the State shall have the right to terminate this Contract upon ten (10) days advance written notice. Miscellaneous.

If any provision of this Contract is invalid or unenforceable under any applicable statute or rule of law, this Contract shall be enforced to the maximum extent possible to effectuate the original express intent of the parties. 

The person executing this Contract on behalf of a party represents that he/she is authorized to sign this Contract on behalf of such party and warrants that he/she has full power to enter into this Contract on behalf of such party. 

Any and all notices shall be sent by United States First Class or Certified Mail or by a courier service furnishing proof of delivery (postage and delivery prepaid) to the addresses for the parties set forth within response. Either party may change its notice address by notifying the other in like manner. 

This Contract shall be governed by and construed in accordance with the laws of the State of Alabama. 

This Contract shall be administered on behalf of the State by the ALSDE.  Neither party shall use the name of the other for any commercial purpose without the prior 

written consent of the other, except that Vendor may, without prior written consent, identify the State in reference listings as a client of Vendor, if such identification does not include the State's endorsement of the services of Vendor. 

This Contract, together with the bid response hereto, constitutes the complete and entire agreement between the parties. This Contract supersedes all prior discussions, understandings, arrangements and negotiations between the parties with respect to the subject matter of this Contract. The terms and conditions of this Contract shall prevail notwithstanding any variance with the terms and conditions of any order submitted with respect to the Support Services, equipment, supplies or any related services provided in this Contract. This Contract shall not be modified, amended, rescinded, canceled or waived in whole or in part without the written agreement signed by both parties. Required ALSDE Provisions.

It is understood that there is no entitlement to any State Merit System benefits to anyone working under the terms of this Contract. 

Notwithstanding any provision within this Contract to the contrary, no travel is to be paid by the State under this Contract unless approved in advance by the State Superintendent and agreed for reimbursement to the State by the State Finance Director. 

The State Superintendent of Education, through his designated representatives, will sponsor and approve the purposes, administration, and supervision of all phases of the services to be provided.

The initial duration of this agreement is start date, through with aforementioned extensions. Either party upon receipt of a 30‐day written notification may terminate the agreement. 

It is agreed that the terms and commitments contained herein shall not be constituted as a debt of the State of Alabama in violation of Article II, Section 213 of the Constitution of Alabama, 1901, as amended by Amendment Number 26. It is further agreed that if any provision of this Contract shall contravene any statue or Constitutional provision or amendment, either now in effect or which may, during the course of this Contract, be enacted, then that conflicting provision in the Contract shall be deemed null and void. The contractor’s sole remedy for the settlement of any and all disputes arising under the terms of this agreement shall be limited to the filing of a claim with the Board of Adjustment for the State of Alabama. 

This agreement is subject to termination in the event of proration of the fund from which payment under this agreement is to be made. 

Neither party shall have the right to assign or transfer its rights or obligations under this contract without the consent of the other party. 

All funds paid under the terms and conditions of this Contract shall be used for purposes permitted and consistent with Alabama law.
