SECTION II-TECHNICAL SPECIFICATION

2.1 GENERAL

2.2 These specifications describe the basic requirements for equipment. Tenderers so submitwith their offers the detailed specifications. Bidders may also submit drawings, catalogues, etc for the products they intend to supply. However this will not form criteria for evaluation.

2.3 Tenderers must indicate on the specifications sheets whether the equipment offered complywith each specific requirement.

2.4 All the dimensions and capacities of the equipment to be supplied shall not be less than those required in these specifications. Deviations from the basic requirements, if any, shall be explained in detail in writing with the offer, with supporting data such as calculation sheets, etc. The procuring entity reserves the right to reject the products, if such deviations shall be found critical to the use and operation of the products

SECTIONIII–CONDITIONSOFCONTRACT

1. Definitions

1.1 In this Contract, except where context otherwise requires,thefollowingtermsshallbeinterpretedasindicated;

“BillsofQuantities”meansthepricedandcompletedBillofQuantitiesformingpartofthetender[whereapplicable].

“Scheduleof Rates” meansthepricedScheduleofRatesformingpartofthetender[whereapplicable].

“TheCompletionDate”meansthedateofcompletionoftheWorksascertifiedbytheEmployer’sRepresentative.

“TheContract”meanstheagreemententeredintobytheEmployerandtheContractorasrecordedintheAgreementFormandsignedbytheparties.

“TheContractor”referstothepersonor corporatebodywhosetendertocarryouttheWorkshasbeenacceptedbytheEmployer.

“TheContractor’sTender”isthecompletedtenderingdocumentsubmittedbytheContractortotheEmployer.

“TheContractPrice” isthepricestatedintheLetterofAcceptance.

“Days” arecalendardays;“Months”arecalendarmonths.

“ADefect”isanypartoftheWorksnotcompletedinaccordancewiththeContract.

“Employer”IncludesCentralorLocalGovernmentadministration,Universities,PublicInstitutionsandCorporationsandisthepartywhoemploystheContractortocarryouttheWorks.“Equipment”istheContractor’smachineryandvehiclesbroughttemporarilytotheSitefortheexecutionoftheWorks.

“Site”meanstheplaceorplaceswherethepermanentWorksaretobecarriedoutincludingworkshopswherethesameisbeingprepared.

“Materials”areallsupplies,includingconsumables,usedbytheContractorforincorporationintheWorks.

“Employer’s Representative” isthepersonappointedbytheEmployerandnotifiedtotheContractorforthepurposeofsupervisionoftheWorks.

“Specification”meanstheSpecificationoftheWorksincludedintheContract.

“StartDate”isthedatewhentheContractorshallcommenceexecutionoftheWorks.

“ASubcontractor”isapersonorcorporatebodywhohasaContractwiththeContractortocarryoutapartoftheWorkintheContract,whichincludesWorkontheSite.

“Temporaryworks”areworksdesigned,constructed,installed,andremovedbytheContractorwhichareneededforconstructionorinstallationoftheWorks.

“AVariation”isaninstructiongivenbytheEmployer’sRepresentativewhichva

riestheWorks.

“TheWorks”arewhattheContractrequirestheContractortoconstruct,install,andturnovertotheEmployer.

2. ContractDocuments

3. Employer’sRepresentative’sDecisions3.1 Exceptwhereotherwisespecificallystated,th

eEmployer’sRepresentativewilldecidecontractualmattersbetweentheEmployerandtheContractorintherolerepresentingtheEmployer.

4. Works,LanguageandLawofContract

4.1 TheContractorshallconstructandinstalltheWorksinaccordancewiththeContractdocuments.TheWorksmaycommenceontheStartDateandshallbecarriedoutinaccordancewiththeProgramsubmittedbytheContractor,asupdatedwiththeapprovaloftheEmployer’sRepresentative,andcompletethembytheIntendedCompletionDate.

4.2 TherulinglanguageoftheContractshallbeEnglishlanguageandthelawgoverningtheContractshallbethelawoftheRepublicofKenya.

5. Safety,TemporaryworksandDiscoveries

5.1 TheContractorshallberesponsiblefordesignoftemporaryworksandshallobtainapprovalofthirdpartiestothedesignofthetemporaryworkswhererequired.

5.2 TheContractorshallberesponsibleforthesafetyofallactivitiesontheSi

te.

5.3 Anythingofhistoricalorotherinterestorsignificantvalueunexpectedly discoveredon theSiteshallbethe propertyoftheEmployer.TheContractorshallnotifytheEmployer’sRepresentativeofsuchdiscoveriesandcarryouttheEmployer’sRepresentative’sinstructionsfordealingwiththem.

6 WorkProgramandSub-contracting

6.1 WithinsevendaysafterSitepossessiondate,theContractorshallsubmittotheEmployer’sRepresentativeforapprovalaprogramshowingthegeneralmethods,arrangements,orderandtimingforalltheactivitiesintheWorks.

6.2 TheContractormaysub-contracttheWorks(butonlytoamaximumof25percentoftheContractPrice)withtheapprovaloftheEmployer’sRepresentative.However,heshallnotassigntheContractwithouttheapprovaloftheEmployerinwriting.Sub-contractingshallnotaltertheContractor’sobligations.

7 Thesite

7.1 TheEmployershallgivepossessionofallpartsoftheSitetotheContractor.TheContractorshallallowtheEmployer’sRepresentativeandanyotherpersonauthorisedbytheEmployer’sRepresentative,accesstotheSiteandtoanyplacewhereworkinconnectionwiththeContractisbeingcarriedoutorisintendedtobecarriedout.

8 Instructions

8.1 TheContractor shall carryout all instructions ofthe Employer’sRepresentativewhichareinaccordancewiththeContract.

9 ExtensionofCompletionDate

9.1 TheEmployer’sRepresentativeshallextendtheCompletion DateifanoccurrenceariseswhichmakesitimpossibleforcompletiontobeachievedbytheIntendedCompletionDate.TheEmployer’sRepresentativeshalldecidewhetherandbyhowmuchtoextendtheCom

pletionDate.

9.2 Forthepurposesofthisclause,thefollowingoccurrencesshallbevalidforconsideration;

Delayby:-(a) forcemajeure,or

(b) reasonofanyexceptionallyadverseweatherconditions,or

(c) reasonofcivilcommotion,strikeorlockoutaffectinganyofthetradesemployedupontheWorksoranyofthetradesengagedinthepreparation,manufactureortransportationofanyofthegoodsormaterialsrequiredfortheWorks,or

(d) reasonoftheEmployer’sRepresentative’sinstructionsissuedundertheseConditions,or

(e) reasonofthecontractornothavingreceivedinduetimenecessaryinstructions,drawings,detailsorlevelsfromtheEmployer’sRepresentativeforwhichhespecificallyappliedinwritingonadatewhichhavingregardtothedateforCompletionstatedintheappendixtothese Conditionsortoanyextension oftime thenfixed underthis clausewas neitherunreasonablydistantfromnorunreasonablyclosetothedateonwhichitwasnecessaryforhimtoreceivethesame,or

(f) delayonthepartofartists,tradesmenorothersengagedbytheEmployerinexecutingworknotformingpartofthisContract,or

(g) reasonofdelaybystatutoryorotherservicesprovidersorsimilarbodiesengageddirectlybytheEmployer,or

(h) reasonofopeningupforinspectionofanyWorkcovereduporofthetestingoranyoftheWork,materialsorgoodsinaccordancewiththeseconditionsunlesstheinspectionortestshowedthattheWork,materialsorgoodswerenotinaccordancewiththisContract,or

(i) reasonofdelayinappointingareplacementEmployer’sRepresentative,or

(j) reasonofdelaycausedbythelatesupplyofgoodsormaterialsorinexecutingWorkforwhichtheEmployerorhisagentsarecontractuallyobligedtosupplyortoexecuteasthecasemaybe,or

(k) delayinreceivingpossessionoforaccesstotheSite.

10ManagementMeetings

10.1 AContractmanagementmeetingshallbeheldregularlyandattendedbytheEmployer’sRepresentativeandtheContractor.

ItsbusinessshallbetoreviewtheplansfortheremainingWork.TheEmployer’sRepresentativeshallrecordthebusinessofmanagementmeetingsandprovidecopiesoftherecordtothoseattendingthemeetingandtheEmployer. The responsibilityoftheparties for actionstobetakenshall bedecided bythe Employer’s Representative either at themanagementmeetingorafterthemanagementmeetingandstatedinwritingtoallwhoattendthemeeting.

10.2 Communication betweenpartiesshallbeeffectiveonlywheninwriting.

11Defects

11.1 TheEmployer’sRepresentativeshallinspecttheContractor’sworkandnotifytheContractorofanydefectsthatarefound.SuchinspectionshallnotaffecttheContractor’sresponsibilities.TheEmployer’sRepresentativemayinstructtheContractortosearchforadefectandtouncoverandtestanyWorkthattheEmployer’sRepresentativeconsidersmayhaveadefect.Shouldthedefectbefound,thecostofuncoveringandmakinggoodshallbebornebytheContractor.Howeverifthereisnodefectfound,thecostofuncoveringandmakinggoodshallbetreatedasavariationandaddedtotheContractPrice.

11.2 TheEmployer’sRepresentativeshallgivenoticetotheContractorofanydefectsbeforetheendoftheDefectsLiabilityPeriod,whichbeginsatCompletion, and is defined in the Appendix to ConditionsofContract.

11.3 Everytimenoticeofadefectisgiven,theContractorshallcorrectthenotifieddefectwithinthelengthoftimespecifiedbytheEmployer’sRepresentative’snotice.IftheContractorhasnotcorrectedadefectwithinthetimespecifiedintheEmployer’sRepresentative’snotice,theEmployer’sRepresentativewillassesst

hecostofhavingthedefectcorrectedbyotherpartiesandsuchcostshallbetreatedasavariationandbedeductedfromtheContractPrice.

12BillsofQuantities/ScheduleofRates

12.1 TheBillsofQuantities/ScheduleofRatesshallcontainitemsfortheconstruction,installation,testingandcommissioningoftheWorktobedonebytheContractor.The ContractorwillbepaidforthequantityoftheWorkdoneattheratesintheBillsofQuantities/ScheduleofRatesforeachitem.Itemsagainstwhichnorateis entered by the Tenderer will notbe paid for when executed andshallbedeemedcoveredbytheratesforotheritemsintheBillsofQuantities/ScheduleofRates.

12.2 WhereBillsofQuantitiesdonotformpartoftheContract,theContractPriceshallbealumpsum(whichshallbedeemedtohavebeenbasedontheratesintheScheduleofRatesformingpartofthetender)andshallbesubjecttore-measurementaftereachstage.

13Variations

13.1 TheContractorshallprovidetheEmployer’sRepresentativewithaquotationforcarryingoutthevariationswhenrequestedtodoso.TheEmployer’sRepresentativeshallassessthequotationandshallobtainthe necessaryauthorityfrom theEmployer beforethevariationisordered.

13.2 IftheWorkinthevariationcorrespondswithanitemdescriptionintheBillofQuantities/ScheduleofRates,therateintheBillofQuantities/ScheduleofRatesshallbeusedtocalculatethevalueofthevariation.IfthenatureoftheWorkinthevariationdoesnotcorrespond with items inthe Billof Quantities/Scheduleof Rates, thequotationbytheContractorshallbeintheformofnewratesfortherelevantitemsofWork.

13.3 IftheContractor’squotationisunreasonable,theEmployer’sRepresentativemayorderthevariationandmakeachangetotheContractPrice,whichshallbebasedontheEmployer’sRepresentative’sownforecastoftheeffectsofthevariationontheContractor’scosts.

14PaymentCertificatesandFinalAccount

14.1 TheContractorshallbepaidaftereachofthe followingstagesofWorklistedherebelow(subjecttore-measurementbytheEmployer’sRepresentativeoftheWorkdoneineachstagebeforepaymentismade). Incaseoflump-sumContracts,thevaluationforeachstageshallbebasedonthequantitiessoobtainedinthere-measurementandtheratesintheScheduleofRates.

3. In consideration of the payments to be made by the Employer tothe Contractor as hereinafter mentioned, the Contractor hereby

covenants with the Employer to execute and complete the Works and remedy any defects therein in conformity in all respects with the provisions of the Contract.

4. The Employer hereby covenants to pay the Contractor in consideration of the execution and completion of the Works and the remedying of defects therein, the Contract Price or such other sum as may become payable under the provisions of the Contract at the times and in the manner prescribed by the Contract.
