§112l. Authority; created.There is hereby created an authority to be called the

Palau Fishing Authority. The Authority's functions shall beconducted in public and it shall have the right to sue andbe sued in its own name.

§1122. Same; duties and powers.Tne-Authority shall have the following duties and powers:

(a) The Authority shall make such recommendationsas it deems appropriate to provide guidance to thenational government in establishing marine resourcesdevelopment policy in any internal waters.

(b) The Authority shall have the power to adoptrules and regulations concerning its operations, aspermitted by this chapter, with respect to living marineresources in any internal waters.

(c) The Authority shall serve as a conduit forpublic funds to establish and operate facilitiesrequired for commercial fisheries development, toconduct pilot fishing operations and to participate inlarge scale commercial fishing, including' jointventures, and related activities which are not suitablefor investment by the private sector and which occurwithin internal waters.

(d) The Authority shall establish and support suchprograms as it deems appropriate, to promote, supportand guide fishing cooperative associations with respectto activities whose primary objective involves fishingin any internal waters.

(e) The Authority shall help finance and supportthe development of locally owned private fishingenterprises whose primary objective involves fishing inany internal waters. and may make loans to accomplishthe same.

(f) The Authority shall be empowered to act as anagent for the sale of supplies and provisions, inclUdingfuel, oil, water and food, to foreign fishing vesselslawfully permitted to enter a port within the Republic,provided that nothing in this chapter shall operate todeprive any existing or future agent for the sale ofsuch supplies and provisions from the right to operatein a lawful fashion.

(g) The Authority may generally carryon thebusiness of establishing, developing, maintaining»operating and managing facilities for the commercialutilization of marine resources in any internal waters,with all powers incident thereto.

(h) The Authority shall be authorized to purchase.lease, and sell real or personal property, supplies,goods, materials, and commodities and to fUrnish andsupply services incidental to its operations. It mayprocure insurance against liability or 10s8 inconnection with its operations hereunder in such amountsand from such insurers as it deems advisable.

(i) The Authority, in operating facilities andproperties owned, leased or controlled by it, may enterinto contracts, leases, and other arrangements with anyperson for terms not exceeding 15 years, granting theprivilege of using or improving such facilities andproperties or a portion thereof or space therein for anyutilization connected with marine resources purposes,and may confer the privilege of supplying goods,commodities, things, or facilities at such facilities orproperties or of making available services to befurnished by the Authority or its agent at suchfacilities or properties. It shall determine thecharges or rentals for the use of any facility orproperty under its management and control, and the termsand conditions under which the facility or property maybe used. Charges shall pe reasonable and uniform forthe same class of service. and established with dueregard to the value of the facility or property andimprovements used and the expenses of the operation ofthe Authority. The Authority shall have and may enforceliens to enforce the payment of any such charges throughappropriate judicial proceedings. The right to levycharges or rental for the use of the facility orproperty under its management shall be exclusively thatof the Authority and all such charges and rental as wellas other revenues of the Authority are to be applied asherein set forth.

(j) The Authority may contract with any person,firm or corporation for the planning. supervision»financing. construction, operation and maintenance of,or may itself construct or otherwise acquire, operate,and maintain all structures or improvements which in itsjudgement are useful, desirable or convenient inefficiently operating and maintaining facilities andproperties. agreements with the Trust Territory Government, thenational government, and their departments and agencies,for the rendering. of services per formed by suchdepartments and agencies to the Authority.

(k) The Authority shall have the free use of thenational government pouch mail.

(1) The Authority, including, but not limited to,its franchise, capital, revenues, obligations, includinginterest thereon, reserves, surplus, loans, income,assets, and property of any kind shall be exempt fromall licensing and taxation now or hereafter required orimposed by the national government or any taxingauthority in the Republic. However, such exemptionshall not apply to persons entering into independentcontracts with the Authority.

(m) The Authority is authorized to apply for,accept, expend and repay monies made available by grant,loan, or both by the United States Government, the TrustTerritory Government, other foreign governments or theUnited Nations, as permitted by law, or the nationalgovernment for planning or accomplishing, in ,whole or inpart, any of the purposes of this chapter. Unlessotherwise prescribed by the. agency from which suchmonies are received, the chief financial officer of tneAuthority shall deposit all· monies received pursuant tothis subsection in a separately.. denominated account.

(n) The Authority shall maintain such records,libraries, research materials, adm~nistrative or officematerials and other property, real or personal,including, but not limited to, detailed records offishery products harvested, deemed to be necessary toenable the Authority to carry out the purposes of thischapter. Upon the request of the manager, employees ofthe national government may be assigned by the Presidentof the Republic to assist the Authority to carry outactivities of the Authority as set forth herein.Expenses thereof, if any, shall be reimbursed by theAuthority as may be required by the President in theassignment.

(0) The Authority may employ agents and employees,and contract for the services of qualified managers,specialists or experts, as individuals or asorganizations, to advise and assist the Authority andi,ts employees. The Authority may set its owncompensation, wage and salary scales pursuant to chapter

§1123. Board of directors;guorum;-expenses.

(a) All powers vested in the Authority shall beexercised by a board of directors, which shall consistof seven members. Members of the Board shall beappointed pursuant to .subsection (b) of this section andshall hold membership on the Board fora period of twoyears, subject to reappointment, and until theirsuccessors have. been appointed and qualify.

(b) The President shall appoint the members of theBoard, with the advice and consent of the Olbiil EraKelulau, as follows:

(1) Five members shall be appointed fromamong the members of all fishing cooperativeschartered throughout the Republic pursuant toprovisions of this chapter.

(2) TWo members shall be appointed from amongthe general public.

(c) All vacancies occurring on the Board shall befilled by the President for the unexpired term of themember whose vacancy is being filled.

(d) Within 15 days after the appointment of theinitial Board, and annually thereafter, the Board shallhold a meeting for the purpose of electing its officersfor the ensuing year. The Board shall meet in public atlea~t every three months and shall hold such otherpublic meetings as it may deem necessary for thetransaction of its general business.

§1124. Manager' appointment.Tne--Board shafI appoint a manager who shall be its chief

executive officer arid who shall serve at its pleasure. TheBoard shall fix the manager's compensation pursuant tochapter 1 of Title 30 of this Code. The manager shall havefull charge and control of the operations of the Authority.

(g) To select and appoint the employpes of theAuthority except as otherwise provided in this chapter;

(h) To plan, organize, coordinate and control theservices of employees of the Authority in the exerciseof the powers of the Authority under the generaldirection of the Board;

(i) To contract with independent contractors, aspersons, organizations, or corporations, to perform anyof the tasks, work or other services of the Authority inlieu of hiring employees of the Authority to performsuch services.

(j) To cause to be published all reports requiredby this chapter;

(k) To perform such other and additional duties asthe Board may require; and

(1) To be an ex officio nonvoting member of theBoard.

§1141. Employee rights.rne--Board shall establish rules and regulations

governing the selection, promotion, performance evaluation,demotion, suspension, dismissal, and other disciplinaryrules for employees of the Authority pursuant to law.

§1142. Accounting and reporting.

(a) The Board shall adopt and maintain a system ofaccounting principles. The fiscal year of the Authorityshall correspond to that of the national government.

(b) The Board may employ a firm of independentcertified public accountants who shall examine andreport to the Board, at least annually, upon the statusof the financial records and accounts maintained by theAuthority. Copies of any such reports shall befurnished to the President and the Olbiil Era Kelulau.

(c) The Board shall present an annual report onthe financial affairs of the Authority within 60 daysafter the end of each fiscal year, and, if requested bythe President or the OlbiilEra Kelulau, shall presentspecial reports within 30 days after the end of the eachintervening quarter.

(d) The Board shall report to the President andthe Olbiil Era Kelulau annually on January 20 on itsactivities, plans, recommendations, policies, and otherrelevant information it deems appropriate.

(e) The Board may provide such data and services,in consultation with any agency of the nationalgovernment, or person, as it deems appropriate.

§1144. Designation of depository for Authority.Tne-!oard shall designate one or more banks within the

Republic to serve as a depository for the funds of theAuthority. All funds of the Authority shall be deposited insuch depository bank or banks.

§1145. Bids for purchases and construction.

(a) The purchase of all supplies and materials,and the construction of all works, when the expenditureexceeds $5.000.00. will be by contract let to the lowestresponsible bidder. Notice requesting the bids shall bepublished at least 10 days before bids are received.The Board may reject any and all bids and readvertise atits discretion.

(b) If, after rejecting bids for materials andsupplies, the Board determines that, in its opinion, thematerials and supplies may be purchased at a lower pricein the open ~arket, the Board may authorize suchpurchases without further observances of the provisionsof subsection (a) •

(c) The Authority, as an instrumentality of thenational government, shall utilize the services ofnational purchasing agencies wherever practical.

(d) The provisions of this section shall not applyto the procurement of professional, advisory, ortechnical services.

(2) No policy shall place a time limit onfiling claims of less than six months!

(c) Each policy of insurance written covering theAuthority or its interest shall contain a clause waivingany defense of sovereign· immunity which may be raisedagainst the payment of the claim by the carrier up tothe limits of the policy.

§ll51. Authority exempt from bond reauirements.Tne-Authority shall not be requue to give any bond as

security for costs, supersedeas, or any security in any. suitor action brought by or against it, or in proceedings towhich it may be a party in any court in the Republic. Itshall have the remedies of appeal and writ of error to allcourts without bonds, supersedeas, or security of any kind.

§1152. Authority not exempt from laws regulatinginvestment by noncitizens.

NOthing 1ri this chapter shall be deemed to exempt anyoperation, venture, joint venture, contract, lease,arrangement, service, or other activity of any descriptionwhatsoever of the Authority, or any person or entityreceiving its assistance, from any requirements of any lawor regulation with respect to investment by noncitizens inthe Republic.

§1153. Penalties; in general.An-y--person who violates any provision of this chapter,

or any valid rule or regulation promulgated under thischapter, concerning the operation of the Authority is, onconviction, punishable by a fine of not to exceed $1,000.00,or by imprisonment not to exceed three months, or both.

§1154. Same; financial interest of members, officersand eiiip'IOyees.

(a) No Board member, officer, or employee of theAuthority, either for himself or as agent for anyoneelse, shall benefit directly or indirectly by reason ofany sale, purchase, contract or transaction entered into

by the Authority except as otherwise provided by thischapter, and provided that this section shall not applyto a Board member who owns less than five percent of theentire capital stock of a corporation which benefitsdirectly or indirectly from a transaction.

(b) Any person who shall directly or indirectlybecome interested in any such sale, purchase, contractor transaction while serving as a Board member, officer,or employee of the Authority shall be guilty of amisdemeanor. Upon the filing of complaint of suchmisdemeanor, the Board, in its discretion, may suspendthe services of the charged person pending finaldetermination thereof. Upon conviction thereof, heshall forfeit his position or office and shall bepunished by a fine not to exceed $2,000.00, or byimprisonment not to exceed one year, or both.
