FIFTH AMENDMENT TO TOWER LEASE AGREEMENT
THIS fwm AMENDMENT TO TOWER LEASE AGREEMENT ("Fifth Amendment"), dated as of thelatter of the signature dates below, is by and between the City of Andover, Kansas, a Municipal Corporation,having a mailing address of P.O. Box 295, 1609 E Central, Andover, Kansas 67002 (hereinafter referred to as■'Landlord") and New Cingular Wireless PCS, LLC, a Delaware limited liability company, having a mailingaddress of 575 Morosgo Drive NE, Atlanta, OA 30324 (hereinafter referred to as "Tenant").
WHEREAS, Landlord and Tenant entered into a Tower Lease Agreement dated June 14, 2005, as amendedby a First Amendment dated June 24, 2008, a Second Amendment dated April 24, 2012, a Third Amendment datedJanuary 26, 2016 and a Fourth Amendment dated October 11, 2016 (collectively referred to as the "Agreement")whereby Landlord leased to Tenant certain Leased Property, therein described, that are a portion of the Tower Siteand Tower located at 1607 East Central, Andover, KS 67002; and
WHEREAS, Landlord and Tenant desire to amend the Agreement to allow Tenant to modify equipment onthe Leased Property and to adjust the rent in conjunction with the modifications to the Agreement contained herein;and
WHE^AS, Landlord and Tenant, in their mutual interest, wish to amend the Agreement as set forth belowaccordingly.
NOW THEREFORE, in consideration of the foregoing and other good and valuable consideration, thereceipt and sujficiency of which are hereby acknowledged. Landlord and Tenant agree as follows:
1. Rent. Article 2 of the Agreement is hereby amended such that the monthly rent shall be increased by TwoHundred Thirty-Seven Dollars and Fifty Cents ($237.50). Said additional rent shall commence uponissuance of NTP or June 12, 2018, whichever occurs first.

ent. The parties acknowledge that Tenant may add additional equipment to the Leased Property ash in Exhibit 1 of this Fifth Amendment.l
3. Other Terms and Conditions Remain. In the event of any inconsistencies between the Agreement andthis Fifth Amendment, the terms of this Fifth Amendment shall control. Except as expressly set forth inthis Fifth Amendment, the Agreement otherwise is unmodified and remains in full force and effect. Eachreference in the Agreement to itself shall be deemed also to refer to this Fifth Amendment.
4. Capitalized Terms. All capitalized terms used but not defined herein shall have the same meanings asdefined in the Agreement.
