CHAPTER BUSINESS: LEGAL ENTITY RECOMMENDATIONS
Cloud Security Alliance – Seattle Chapter
Chapter Status Requirements (Per the CSA Launch Guide)
• 20 members – must be established CSA members (LinkedIn group)
• Board: 5 to 15 members • It is NOT required that a chapter be a legal entity
– If it is, By-Laws must indicate compliance with CSA Global By-Laws & MOU must document relationship with CSA Global
• Must select “Area of Interest” – i.e. Virtualization, Regional Law, etc – may look to Research areas…
• Must meet a minimum of 6 times annually – minimum of 1 event open to non-members as well as members
• Certified annually to operate – requires Annual Report of Activities
• Chapter logos MUST be approved by CSA Global

Getting Started
• Define geographic boundary of Chapter • Sign up 20 members based within boundary
(we’ll need to provide name, e-mail address, and LinkedIn URL (if available – contact CSA Global for an alternative))
• Select a Board of Directors • Select a Chapter Name (format Cloud Security
Alliance, Seattle Chapter OR Cloud Security Alliance, Evergreen Chapter etc.)
• Send application to [email protected]

Post Application
• Chapter will be created as a sub-group to CSA Global on LinkedIn
• Provisional Board of Directors will meet with a CSA Global designee to review the application
• The provisional Chapter will document its area of interest
• If available, the provisional Chapter logo will be submitted to CSA Global
• CSA Global will act to approve or deny the application
• If approved, CSA will list the CSA Chapter at the CSA Chapter Registry with an official starting date

Annual Report
• Within 2 months of the Chapter Anniversary we must file an Annual Report with CSA Global – Document Chapter meetings
– Document annual non-member event
– Document activities conducted in support of area of interest declared with application
– Document changes to the chapter’s charter for the coming year (change of area of interest, change of boundaries, changes in legal status, changes in the Board of Directors, etc.)
• Re-certification with approval from CSA Global

My Recommendation
• Avoid becoming a legal entity
• However, This Is A Conversation – Not A Mike Gets To Choose ;-)
– There are pluses and minuses
• Administrative overhead and the Who Will Do It question
• More flexibility
• Has challenges
