document to give the background information on Media Lab Asia to the consultant agencies
interested in carrying out evaluation of Media Lab Asia.

1.4 Estimated Cost of Study- Around Rs 25 lakh.
1.5 Eligibility Conditions-
Essential:
A. Only National Level Academic Institution/Policy Research Institute/Not for Profit
Organisation/Registered Society engaged in evaluation, assessment or research are
eligible to apply.
B. The institution/organization should have been in existence for a period of at least 10
years on the date of application.
C. The institution should possess at least 5 years‟ experience in successful completion,
evaluation, assessment or research in respect of at least 05 projects, in one of the
following areas:-
Assessment of development capacity of organizations through assessment of
quality & quantity in the area of ICT & other advanced technologies.
Impact assessment of commercial/social deployment in the area of ICT & other
advanced technologies.
Assessment of organizational structure in human resources, organizational
management structure, business model and others.
D. At least 4 full time key professionals of the institution possessing experience in ICT
domains should be available for the study.

SECTION 2: SCOPE OF WORK
2.1 Context
2.1.1 The Department of Electronics & Information Technology (DeitY) invites bids from
eligible bidders to conduct an independent evaluation of the activities of the Media Lab Asia,
a Not-for-Profit, Section 25 Company, set up by Department of Electronics and Information
Technology (DeitY), Government of India, in 2001.
2.1.2 It has been decided to undertake an independent evaluation of Media Lab Asia and
evolve its business model, outlining the future agenda for its mandate and development plans.
2.1.3 A background note on Media Lab Asia is at Annexure-I.
2.2 Objectives
2.2.1 The objective of the projected evaluation study is to evolve a revised Business Model
for Media Lab Asia by appropriate restructuring of the Schemes, given its unique concept of
„lab-to-field‟, directly targeting the common man. The Evaluation Study would include,
inter-alia, the following:
(a) To conduct a SWOT (Strength, Weakness, Opportunities & Threats) analysis of
Media Lab Asia.
(b) To conduct a value chain analysis to identify basic gaps/constraints (physical &
financial) in its operations.
(c) To assess the future potential/ viability of Media Lab Asia.
(d) To assess the ongoing activities/ projects undertaken by Media Lab Asia, in historical
perspective and identify the specific areas of improvements in the futuristic context.
(e) To evolve a new Implementation Plan/ Business Model for Media Lab Asia, which is
target-oriented, outcome based, market friendly, technically & financially feasible,
while ensuring that there is no overlap with similar other schemes of Government of
India.

2.3 Types of Assessment Studies to be conducted
2.3.1 It is proposed to conduct the following studies as part of the evaluation:
2.3.1.1 Appraisal: To conduct an appraisal of the past and ongoing activities/projects of
Media Lab Asia to assess their relevance, impact on various stakeholders and future scope. A
detailed critical assessment may be conducted to secure definitive findings.
2.3.1.2 Recommendation of a new Implementation Plan/Business Model: Based on the
findings of the impact assessment and overall evaluation, a new Implementation Plan/
Business Model is to be recommended for Media Lab Asia, which is target-oriented, outcome
based, market-friendly, technically and financially feasible, while ensuring that there is no
overlap with similar other schemes of the Government of India.
2.3.2. A list of major ongoing projects of Media Lab Asia and their geographical spread is at
Annexure II.
2.3.3 A list of the major past projects of Media Lab Asia that are to be covered for a detailed
study is at Annexure III.
2.4 Scope of Work
2.4.1 The scope of work is as follows-
2.4.1.1 Appraisal of Media Lab Asia
a) To conduct a SWOT (Strength, Weakness, Opportunities & Threat) analysis of Media
Lab Asia.
b) To conduct a value chain analysis to identify basic gaps/ constraints (physical &
financial) in operations.
c) To understand and analyse the scenario under which the scheme has been operating, i.e.,
assigned mandate, activities performed, profiling of the products created/ service created,
commercial viability and/ or market potential etc. Specific findings are to be recorded on
the degree to which Media Lab Asia has fulfilled its mandate so far.
d) To appraise the past and ongoing activities/ projects undertaken by Media Lab Asia (as
per Annexures II and III) and identify the specific areas of improvements in the futuristic
context.
e) To assess impact on the end users and the reasons behind the observed impact. (The
impact may be assessed based on the development of ICT and other advanced
technologies for the benefit of the common man, their relevance, delivery and access-
direct and indirect, quality, empowerment of target groups (women, minorities, tribals
and differently abled) with the use of ICT, activities undertaken for taking ICT & other
technologies from lab to land and translation of research into products and their
effectiveness, and overall impact).
f) To compare and contrast the manual process with the ICT based process.

2.4.1.2 Recommendation of a new implementation plan or business model for Media
Lab Asia
a) To assess the future potential/ viability of Media Lab Asia.
b) To evolve a new Implementation Plan / Business Model for Media Lab Asia, which is
target oriented, outcome based, market friendly, technically and financially feasible,
while ensuring that there is no overlap with similar other schemes. This should include
specific recommendation on whether or not to continue Government of India support to
the organization.
2.5 Principles of Evaluation
2.5.1 SWOT analysis of Media Lab Asia, relevance and impact assessment of its past and
ongoing projects as well as a quantitative and qualitative analysis of its activities, especially
vis-a-vis the assigned mandate and recommendations of a new sustainable business model,
impact analysis and gap analysis in order to identify a niche for Media Lab Asia, specific
recommendation on whether or not to continue Government of India support to the
organization.
2.6 Key Personnel
2.6.1 The Bidder should have on its rolls key personnel with relevant qualification and
adequate experience to undertake the projected evaluation study, especially in areas related to
Information Communication Technology & Electronics (ICTE), social development through
ICTE, developing sustainable models, understanding matters related to development and
deployment of such technologies and formulating a sustainable Business Model or
Implementation Plan.
2.6.2 The Bidder shall provide details of the dedicated project team, their individual roles and
responsibilities in the project, their relevant experience and expertise etc. Typically, the team
must comprise a dedicated Project Manager, Field Survey Manager, Appraisal & Data
Analysis Expert and Report Writing Expert. These need to be either on permanent rolls of
the bidder or must have a long term contract to ensure continued association of the proposed
project team, with the proposed study.
2.7 Methodology
2.7.1 An exhaustive study of relevant documents on Media Lab Asia and its
projects/activities with DeitY, Media Lab Asia, sponsoring/implementing/beneficiary
organisations, partners etc.
2.7.2 Field Study including-
i) Impact Assessment and Feedbacks from various stakeholders like officials of DeitY,
Media Lab Asia and Members of the Board of Directors of Media Lab Asia (about 5 in
Delhi/NCR), Media Lab Asia‟s partners (about 8 as per Annexures-II and III) in its projects,
including those related to past as well as ongoing projects, officers/representatives concerned
of the line ministries/nodal agencies under the line ministries with whom collaboration for
projects developed by Media Lab Asia (about 10 in Delhi/NCR), beneficiaries of past and
ongoing projects (a representative sample of about 1/3rd
of beneficiaries of each project
studied), people in general (about 6) and experts in relevant fields, but not associated with
Media Lab Asia (about 6).

ii) Field visits to Media Lab Asia project areas (major ongoing projects as per Annexure
II and major past projects as per Annexure III are to be covered for detailed study).
2.8 Deliverables
2.8.1 The deliverables include a consolidated report consisting of the following:
a) Analysis of past and ongoing activities/ projects and a detailed appraisal report, supported
by empirical data.
b) Recommendation of a new sustainable Business Model for Media Lab Asia.
c) Any other recommendation, relevant to the specific context.
2.8.2 A tentative template of the report, subject to modifications based on suggestions to be
provided by the stakeholders during the study is placed at Annexure-IV.
2.8.3 The Evaluating Agency is required to submit the following within the specified time
frame:
i. Draft Evaluation Report [ Five copies in hard & DVDs]
ii. Final Evaluation Report [Twenty five copies in hard & DVDs]
SECTION 3: TERMS OF REFERENCE
3.1 Eligibility Conditions
Essential:
A. Only National Level Academic Institution/Policy Research Institute/Not for Profit
Organisation/Registered Society engaged in evaluation, assessment or research are eligible to
apply.
B. The institution/organization should have been in existence for a period of at least 10
years on the date of application.
C. The institution should possess at least 5 years‟ experience in successful completion,
evaluation, assessment or research in respect of at least 05 projects, in one of the following
areas:-
Assessment of development capacity of organizations through assessment of quality
& quantity in the area of ICT & other advanced technologies.
Impact assessment of commercial/social deployment in the area of ICT & other
advanced technologies.
Assessment of organizational structure in human resources, organizational
management structure, business model and others.
D. At least 4 full time key professionals of the institution possessing experience in ICT
domains should be available for the study.

3.2 Time-frame for study
3.2.1 The study has to be completed within eight (8) weeks from the date of assignment.
3.2.2 The draft of the report will be submitted to DeitY within 6 weeks from the date of
awarding the work. The final report, in twenty five copies (hard as well as soft in the form of
DVD), will be submitted within eight (8) weeks from the date of awarding the work.
3.2.3 No extension of time for submission of report would be granted unless in exceptional
circumstances as deemed fit by DeitY.
3.2.4 A penalty of 1% of the value of the tender will be imposed on each week‟s delay,
attributable to the successful bidder, in submission of final report/draft report to DeitY,
subject to an overall ceiling of 10% on the penalty.
3.3 Estimated Cost of Study
3.3.1 The study is expected to cost around Rs 25 lakh.
3.4 Required Review of RFP
3.4.1 The Bidder shall carefully review this RFP for defects and questionable or
objectionable materials. The Bidder‟s comments concerning defects and questionable or
objective material in the RFP must be made in writing and received by DeitY within ten (10)
days before the bid submission deadline. This will allow time for an addendum to the RFP to
be issued, if required, to all recipients of the initial RFP.
3.4.2 An addendum will be issued to all that were previously issued an RFP in case DeitY
considers it necessary to revise any part of this RFP.
3.5 Submission of Technical & Financial Bids
3.5.1 The Bidders interested in conducting the evaluation study would submit its bid in
Two-Bid format with Technical and Financial Bids sealed separately along with Bid Security.
The bidder should put these three sealed envelopes (Technical Bid, Financial Bid and Bid
Security) in a big envelope duly sealed. The Bids, complete in all respects, should be
submitted to Deputy Director, Coordination Division, Department of Electronics and
Information Technology, Electronics Niketan, 6, CGO Complex, Lodhi Road, New Delhi-
110003, latest by 4.00 P.M on July 16, 2014.
3.5.2 The Bidders are expected to furnish their bid in the following Forms and provide all
the documents supporting the criteria as well as information provided by them:
Form I: Covering Letter on Letterhead of the Bidder.
Form II: Format for submission of Technical Bid.
Form III: Format for submission of Financial Bid.
Form IV: Format for CV of Professionals to be deployed in the Project.
Form V: Compliance sheet for Pre-Qualification Criteria.

3.5.3 The Technical Bid (Format attached as Form-II) should include details on the
following:
a) Experience of experts/staff in the field of conducting evaluation of Govt. of India
schemes.
b) Composition of Team.
c) Approach and Methodology to be adopted.
d) Detailed Work Plan.
e) List of studies/ organizations for which similar evaluation was carried out.
3.5.4 The Financial Bid (Format attached as Form-III) should specifically contain the
details of cost estimated for conducting the Evaluation Study. The financial bid should be
inclusive of all expenses, including taxes.
3.5.5 The Technical Bids shall be evaluated and Financial Bids of only those bidders will
be opened whose technical bids are found acceptable/qualified by an Evaluation Committee
constituted for the purpose as per specified criteria. After evaluation of the Technical Bids,
the Financial Bids for the shortlisted bidders will be opened and the bid found suitable as per
specified criteria will be considered for award of assignment.
3.5.6 The Technical Bids will be opened at 4:30 P.M on 16th
July, 2014. The date and time
for opening of the Financial Bids of technically qualified bidders will be conveyed separately
to the bidders whose bids are found to be technically successful as per criteria specified in the
RFP document.
3.5.7 The Bid should be submitted in one bigger sealed envelope, clearly marked “Bid for
Independent Evaluation of Media Lab Asia” and bearing the Tender No., Address,
telephone number, e-mail and Fax No. of the bidder. The bigger envelope should include
three separate envelopes containing the following:
a) Bank Demand Draft/Fix Deposit Receipt/Banker‟s Cheque towards bid security clearly
marked as “Bid Security of Bid for Independent Evaluation of Media Lab Asia”.
b) Technical bid as per format in Form II and clearly marked as “Technical Bid for
Independent Evaluation of Media Lab Asia” and bearing the Tender No., Name and
Address and telephone number of the Bidder.
c) Financial Bid as per format in Form III and clearly marked as “Financial Bid for
Independent Evaluation of Media Lab Asia” and bearing Telephone No., Name and
Address and telephone number of the bidder.
3.5.8 Every sheet and all forms, complete in all respects being submitted as the Bid shall be
signed by the person / persons duly authorized to sign on behalf of the part of Bidder(s), with
affixing the bidder‟s rubber stamp.
3.5.9 Any /all corrections made in the offer shall be duly authenticated by the signature of
the Authorized Signatory.
3.5.10 Any condition or qualification or any other stipulation contained in the bid shall
render the bid liable to rejection as a non-responsive bid.
3.5.11 The Financial Bid should be furnished, clearly and separately indicating amount both
in figures and words in Rupees and signed by the Bidder‟s Authorised Signatory. The prices
quoted should be firm and final and shall be inclusive of all taxes.

3.5.12 During the course of evaluation of Bid, as well as during the period of contract, the
Evaluation Committee has the right to carry out a due diligence in a fashion relevant to
understand the facts.
3.5.13 Bids from bidders, complete in all respects, must be received by Department of
Electronics & Information Technology at the address, date and mode specified in the bid
document.
3.6 Authorized Signatory
4.6.1 The consultancy agency mentioned in the tender document shall mean the person who
has signed the tender document forms. The applicant should be a duly authorized
representative, for which a certificate of authority shall be submitted. All certificates
and documents (including any clarifications sought and any subsequent
correspondence) received hereby, shall, as far as possible, be furnished and signed by
such authorized representative.
3.7 Documents to accompany the bid
3.7.1 The bids shall be sent with the following documents in the order given:
a) Covering Letter for bid (Form–I).
b) Technical bid, as per the format given in Form-II.
c) Financial bid, as per format given in Form-III.
d) Details of registration (copy of Registration Certificate issued by the competent
authority with whom registered, indicating date of registration).
e) Evidences of published material and proof of completion of similar studies
undertaken in last 05 years.
f) Annual Report & audited Balance Sheet for the last 3 years.
g) Proposed team for the Study (Form IV).
h) Curriculum vitae (CV) of professionals on roll of the applicant proposed to be
included in the study.
i) Signed consent of the professionals as mentioned above.
j) Duly filled-in compliance sheet for pre-qualification criteria (Form V).
3.8 Validity of Bid
3.8.1 The bids shall remain valid for a period of not less 180 days after date of opening of
the bids. A bid valid for a shorter period shall be rejected by DeitY as non-responsive. DeitY
may request the bidder to extend the period of validity for a specified additional period in
exceptional circumstances. During this time/period, the bidder will maintain without change,
the personnel proposed for the assignment and the proposed price cost.
3.9 Payment to the consultancy agency
3.9.1 The bidder shall be paid for its services as per the Payment Schedule below:
(i) No advance payment of fee/remuneration shall be made.
(ii) 40% of the contract value on submission of draft Report and its acceptance by DeitY.
(iii) 60% of the contract value on submission of final report and its acceptance by DeitY.
3.9.2 DeitY shall cause the payment due to the Evaluating Agency to be made within 60
(sixty) days after the receipt by DeitY of the study report to its satisfaction and duly
completed bills with necessary particulars.

3.10 Disqualification
3.10.1 DeitY may at its sole discretion and at any time during the evaluation of bids,
disqualify any bidder, if the bidder has:
a) submitted more than one bid;
b) submitted the bid documents with price adjustment/ variation provision;
c) submitted the bid not accompanied by required documentation or non-responsive;
d) submitted the bid after the response deadline;
e) submitted the bid in a mode other than prescribed;
f) made misleading or false representations in the forms, statements and attachments
submitted in proof of the eligibility requirements;
g) exhibited a record of poor performance such as abandoning works, not properly
completing the contractual obligations, inordinately delaying completion or financial
failures, etc. in any project in the preceding three years;
h) failed to provide clarifications related thereto, when sought;
i) been declared ineligible by the Government of India for corrupt & fraudulent practices or
blacklisted.
3.11 Jurisdiction
3.11.1 The disputes, if any, arising between the bidder and DeitY shall be resolved amicably,
failing which it shall be referred to an Arbitrator, mutually acceptable to both parties,
appointed by the Secretary, DeitY as per relevant provision under Arbitration and
Conciliation Act, 1996. Alternatively, this shall be subject to the exclusive jurisdiction of
courts at Delhi/New Delhi.
SECTION 4: EVALUATION AND SELECTION PROCEDURE
4.1 Evaluation of Bids and Selection of Agency
4.1.1 The evaluation of the bids shall be carried out in two stages:
a) First stage:
4.1.1.1 Evaluation of technical bids will be taken up. Bids, unsigned and incomplete (i.e. when the required bid formats have not been submitted), not responding to the scope of work and Terms of Reference fully and properly and those with lesser validity than that prescribed in the bid document will be summarily rejected as being non- responsive, before taking up the appraisal of the technical bid. The technical evaluation will be based on the following criteria with respective weightage:-

D Ability & commitment to deliver the work output within the stipulated time 10 4.1.1.2 The minimum qualifying marks for the quality of technical bid will be 70 marks out of a total of 100 marks as shown above. b) Second stage: 4.1.1.3 The financial bids of only such bidders will be opened who obtain minimum qualifying marks / standards prescribed for the technical bid. The technical & financial bids would be assigned a weightage of 70% and 30% respectively as per CQCCBS given in the Manual of Office Procedure of Employment of Consultants. On the basis of combined weightage score for quality and cost, the bidder shall be ranked in terms of the total score obtained. The bid obtaining the highest total combined score in evaluation of quality and cost will be ranked as H-1 followed by the bids securing lesser marks as H-2, H-3 etc. H-1 will be declared as successful bidder and shall be recommended for award of assignment. 4.1.1.4 Allocation of work shall be at the sole discretion of DeitY and the decision shall be final and binding. 4.2 Award of Contract: 4.2.1 DeitY will sign a contract agreement with the bidder finalized after the due process is completed. After signing of the contract agreement, no variation or modification of the term of the contract shall be made except by written amendment signed by the parties.
SECTION 5: GENERAL CONDITIONS OF CONTRACT (GCC)
5.1. Application and Points to be noted:
5.1.1 The general conditions and points to be noted are:
(a) These general conditions shall apply to the extent that provisions in other parts of
the Contract do not supersede them.
(b) For interpretation of any clause in the Bid Document or Contract Agreement, the
interpretation of DeitY shall be final and binding on the Agency.
(c) Bids received late, not in properly sealed cover, received by email, fax or any mode
other than prescribed herein, conditional or not conforming with the above conditions
or not complete in all respects will not be entertained.
(d) If there happens to be a holiday on any of the above mentioned dates, the transaction
will be made on the next working day.
(e) DeitY reserves the right to alter the qualifying requirements.

(f) DeitY shall not be responsible for loss and non-receipt of bids by post.
(g) DeitY reserves the sole right to accept or reject any or all bids without assigning any
reasons thereof.
5.2. Bid Security
(a) Each bid must be accompanied by bid Security amounting to Rs 50,000/- in favour of
Pay & Accounts Officer, Department of Electronics and Information Technology,
New Delhi in the form of Account Payee Demand Draft, Fixed Deposit Receipt,
Banker‟s Cheque or Bank Guarantee from any of the Commercial Bank in an
acceptable form. Bids received without bid security are liable to be rejected.
(b) Bid Security is liable to be forfeited and bid is liable to be rejected, if the bidder
withdraw or amends, impairs or derogates from the bid in any respect during the
period of validity of the bid.
(c) The bid security of all unsuccessful bidders will be returned at the earliest after expiry
of the final bid validity and after the issue of award of work
(d) The bid security of successful bidder will be returned after furnishing of Performance
Security.
5.3 Performance Security
5.3.1 The successful bidder shall submit a Performance Security @ 10% of total Value of
Contract within 10 days of the issue of letter of award. The Performance Security may be in
the form of an Account Payee Demand Draft, fixed Deposit Receipt from a Commercial
bank, Bank Guarantee from a Commercial Bank in an acceptable form. In case the selected
bidder fails to provide satisfactory service during the contract period, the Performance
Security, is liable to be forfeited, without prejudice to other remedies. The Performance
Security should remain valid for a period of sixty days beyond the date of completion of all
Contractual Obligations. No interest will be payable on the Performance Security.
5.4 Validity of Bids
5.4.1 Bids shall remain valid for a period of 180 (one hundred eighty) days after the date of
Bid opening prescribed in Bid Document. A Bid valid for shorter period may be rejected as
non-responsive. DeitY may solicit the bidder‟s consent to an extension of Bid validity (but
without the modification in bids).
5.5 Right to Accept Bids
5.5.1 DeitY reserves the right to accept or reject any bid and to annul the Bid process and
reject all bids at any time prior to award of contract, without thereby incurring any liability to
the affected bidders or any obligation to inform the affected bidders of the grounds for such
decision.
5.6 Conflict of Interest
5.6.1 DeitY requires that bidders provide professional, objective, and impartial advice and at
all times hold DeitY‟s interests paramount, strictly avoid conflicts with other
assignments/jobs or their own corporate interests and act without any consideration for future
work.
5.7 Confidentiality
5.7.1 Information relating to the examination, clarification and comparison of the bids shall
not be disclosed to any bidders or any other persons not officially concerned with such
process until the process is over. The undue use by any bidder of confidential information
related to the process may result in rejection of their bid. Except with the prior written

consent of the DeitY, the bidders shall not at any time communicate with any person or entity
any confidential information acquired during the course of the contract.
5.8 Fraud & Corruption
5.8.1 DeitY requires that bidder selected must observe the highest standards of ethics during
the performance and execution of such contract. In pursuance of this policy, DeitY:
(a) Defines, for the purposes of this provisions, the terms set forth as follows:
(i) “Corrupt practice” means the offering, giving, receiving or soliciting of anything of
value to influence the action of DeitY or any personnel of Agency in contract
executions.
(ii) “Fraudulent practice” means erroneous presentation of facts, in order to influence a
procurement process of the execution of a contract, to DeitY, and includes collusive
practice among bidders (prior to or after bid submission) designed to establish
bid prices at artificially high or non-competitive levels and to deprive DeitY of the
benefits of free and open competition;
(iii) “Unfair trade practices” means supply of services different from what is ordered on,
or change in the Scope of Work which was given by the DeitY in Section 2, of this
document.
(iv) “Coercive practice” means harming or threatening to harm, directly or indirectly,
persons or their property to influence their participation in the execution of contract.
(b) Will reject a bid for award, if it determines that the bidder recommended for award,
has been determined by DeitY to having been engaged in corrupt, fraudulent or
unfair trade practices.
(c) Will declare a bidder ineligible, either indefinitely or for a stated period of time, for
awarding the contract, if it at any time determines that the bidder has engaged in
corrupt, fraudulent and unfair trade practice in competing for, or in executing, the
contract.
5.9 Standards of Performance
5.9.1 The Agency shall perform the services and carry out their obligations under the
Contract with due diligence, efficiency and economy in accordance with generally accepted
professional standards and practices. The Agency shall always act in respect of any matter
relating to this contract as faithful advisor to DeitY. The Agency shall always support and
safeguard the legitimate interests of DeitY in any dealings with the third party. The
Consultant/Agency shall abide by all the provisions/Acts/Rules etc. of Information
Technology prevalent in the country. The Agency shall conform to the standards laid down in
Bid Document in totality.
5.9.2 The bidder is responsible for all costs incurred in connection with participation in this
process, including, but not limited to, costs incurred in conduct of and other diligence
activities, participation in meeting/ discussions/presentations, preparation of bids, in
providing any additional information required by DeitY in the evaluation process. DeitY will
in no case be responsible or liable for those costs, regardless of the conduct or outcome of the
EOI process.
5.10 Delivery and Documents
5.10.1 As per the time schedule agreed between the Parties, the Agency shall submit all the
deliverables on the due date as per the delivery schedule. The Agency shall not, without
DeitY‟s prior written consent, disclose the Contract, drawings, specifications, plan, pattern,
samples to any person other than an entity employed by DeitY for the performance of the
Contract. In case of termination of the Contract all the documents used by the Agency in the
execution or project shall become property of DeitY.

5.11 Change Orders
5.11.1 DeitY may at any time before completion of work under project awarded to
empanelled Agency, change the work content by increasing/reducing the quantities of the
services by 20% as mentioned in the Contract Agreement for execution of the Project,
without creating any liability for compensation on any grounds, whatsoever due to this
change. In such a case, the Agency will have to perform the service in the
increased/decreased quantity at the same contract rates within the time stipulated for
providing services to DeitY.
5.12 Agency’s Personnel
5.12.1 The Agency shall employ and provide such qualified and experienced personnel as
may be required to perform the services under the specific project assigned by DeitY and it is
desirable from the Agency to deploy personnel, who have adequate experience in the domain
related to the project.
5.13 Applicable Law
5.13.1 Applicable Law means the laws and any other instruments having the force of law in
India as they may be issued and in force from time to time. The Contract shall be interpreted
in accordance with the laws of the Union of India.
5.14 Intellectual Property Rights
5.14.1 No services covered under the Contract shall be sold or disposed by the Agency in
violation of any right whatsoever of third party, and in particular, but without prejudice to the
generality of the foregoing, of any patent right, trademark or similar right, or any charge
mortgage or lien. The Agency shall indemnify DeitY from all actions, costs, claims demands,
expenses and liabilities, whatsoever, resulting from any actual or alleged infringement as
aforesaid and at the expenses of the Agency, DeitY shall be defended in the defence of any
proceedings which may be brought in that connection.
5.14.2 The copyright of all content created under this contract shall be owned by DeitY and
the agency will not utilize this anywhere else and/or for any other work/organisation without
the explicit written permission of DeitY.
5.15 Governing Language
5.15.1 The Contract shall be written in English Language, English version of the Contract
shall govern its interpretation. All correspondences and other documents pertaining to the
contract, which are exchanged between the parties, shall be written in the English Language.
5.16 Sub Contracts
5.16.1 The Agency shall notify DeitY in writing of all sub contracts awarded for execution of
the Project, if not already specified in the Bid. Such notification in their original Bid or later,
shall not relieve the Agency from any liability or obligation under the Contract.
5.17 Assignments
5.17.1 The Agency shall not assign the project to any other agency, in whole or in part, to
perform its obligation under the Contract, without DeitY‟s prior written consent.

5.18 Performance Assessment
5.18.1 If during execution of the Project, following defaults were found, then a penalty of
1% of the Contract value per week (subject to maximum of 10%) may be imposed by DeitY:
Quality of deliverables is not satisfactory (till the quality is improved to the required
extent).
Not assigning adequate resources in time.
Not engaging resources on a dedicated basis, even when required.
Assigning resources that do not meet the client‟s requirements.
Inadequate interaction with the client department.
The work is either not complete or not completed satisfactorily as per the approved
time schedule or the quality of deliverables.
5.18.2 If the delay is beyond 10 weeks then DeitY may rescind the Contract and shall be free
to get it done from other Agency at the risk and costs of the appointed Agency. DeitY may
debar the Agency for applying in its future empanelment also.
5.19 Liquidated Damages
5.19.1 If any of the services performed by the Agency fail to conform to the specifications
of the assigned project or in the event of failure of the project due to indifferent, non
supportive attitude of the Consultant/Agency and the DeitY decides to abort the contract
because of such failure, then a sum up to 50% of the value of the contract shall be recovered
as liquidated damages from the Agency. Besides, all the payments already made for such
service shall also be recovered. This shall be without prejudice to other remedies available
under this contract to DeitY.
5.20 Suspension
5.20.1 DeitY may, by written notice to Agency, suspend all payments to the Agency
hereunder if the Agency fails to perform any of its obligations under this Contract including
the carrying out of the services, provided that such notice of suspension-

Shall request the Agency to remedy such failure within a period not exceeding thirty
(30) days after receipt by the Consultant/Agency of such notice of failure.
5.21 Termination
5.21.1 Under this Contract, DeitY may, by written notice terminate the Agency in the
following ways:
Termination by Default for failing to perform obligations under the Contract or if the
quality is not up to the specification or in the event of non adherence to time schedule.
Termination for Convenience in whole or in part thereof, at any time
Termination for Insolvency if the Agency becomes bankrupt or otherwise insolvent.
In all the three cases termination shall be executed by giving written notice to the Agency.
No consequential damages shall be payable to the Agency in the event of such
termination.
5.22 Force Majeure
5.22.1 Notwithstanding anything contained in the Bid Document, the Agency shall not be
liable for liquidated damages or termination for default, if and to the extent that, it‟s delay in

performance or other failures to perform its obligations under the agreement is the result of
an event of Force Majeure.
5.22.2 For purposes of this “Force Majeure” means an event beyond the control of the
Agency and not involving the Agency‟s fault or negligence and which was not foreseeable.
Such events may include wars or revolutions, fires, floods, epidemics, quarantine restrictions
and freight embargos.
5.22.3 The decision of DeitY, regarding Force Majeure shall be final and binding on the
Agency.
5.22.4 If a Force Majeure situation arises, the Agency shall promptly notify to the DeitY in
writing, of such conditions and the cause thereof. Unless otherwise directed by the DeitY in
writing, the Agency shall continue to perform its obligations under the, agreement as far as
reasonably practical, and shall seek all reasonable alternative means for performance not
prevented by the Force Majeure event.
5.23 Resolution of Disputes
5.23.1 The disputes, if any, arising between the Agency and DeitY shall be resolved
amicably, failing which it shall be referred to an Arbitrator, mutually acceptable to both
parties appointed by Secretary, DeitY, as per the relevant provision under Arbitration and
Conciliation Act, 1996. Alternatively, this shall be subject to the exclusive jurisdiction of
courts at Delhi/New Delhi.
5.24 Taxes and Duties
5.24.1 The Agency shall fully familiarize themselves about the applicable Domestic taxes
(such as VAT, Sales Tax, Service Tax, Income Tax, duties, fees, levies etc.) on amount
payable by DeitY under the contract. The Agency, sub Agency and personnel shall pay such
domestic tax, duties, fees and other impositions (wherever applicable) levied under the
applicable law.
5.25 Legal Jurisdiction
5.25.1 All legal disputes between the parties shall be subject to the jurisdiction of the Courts
situated in Delhi, India only.
5.26 Notice 5.26.1 Any notice, request or consent required or permitted to be given or made pursuant to
this contract shall be in writing, any such notice, request or consent shall be deemed to have
been given or made when delivered in person to any authorized representative of the party to
whom the communication is addressed, or when sent to such party at the address mentioned
in the project specific Contract Agreement.

Background Note on Media Lab Asia
The Media Lab Asia was set up by Department of Electronics & Information Technology
as a not-for-profit organization under Section 25 of Companies Act, 1956 with the
objective of bringing the benefits of the Information & Communication Technologies
(ICT) and other advanced technologies to the common man. The Media Lab Asia is
working on the paradigm of collaborative research in its task of developing technologies
and bringing them to the daily lives of people. The strength of Media Lab Asia lies in
empowering gender & minorities and tribal and differently abled with the use of
Information & Communication Technology.
While the objective of Media Lab Asia is development and demonstration of technologies
for the benefit of the common man, it has been also adopting various approaches for large
scale commercialization of its technologies which include showcasing of the technologies
in the field with other partners, transfer of technologies, encouraging start-ups,
dissemination through web portals and deployment through Govt. agencies e.g. Govt. of
Mizoram, Govt. of Karnataka etc. Media Lab Asia has acquired sizeable strength in
translation of research into products.
2. Some achievements by Media Lab Asia:
2.1 Achievements in regard to innovations:
2.1.1 The Media Lab Asia has an experience of over 10 years in understanding the needs
of the field, role of ICT for grass root applications through conceptualization,
projects preparation, development & test deployment of ICT based technologies /
products & services. It has taken up around 75 ideas / projects that demonstrated the
relevance of ICT for common man in the areas of Healthcare, Education,
Empowerment of differently abled, Livelihood enhancement and Agriculture. It has
been strengthening delivery of ICT solutions for differently abled, Women &
Children and Tribals. As estimated with the implementation of various projects,
Media Lab Asia has touched the lives of around 3 million people directly, whereas
another 3.5 million are indirect beneficiaries.
2.1.2 The Media Lab Asia for last couple of years has been consolidating its efforts for
deployable projects for large scale impact. The focus of the Media Lab Asia is on the
outreach of its technologies working in collaboration with the respective stake
holders to make significant impact. In its endeavor, Media Lab Asia has been
working with Govt. (User Departments/Ministries), R&D Institutions, Academia,
Industry, NGOs & other organisations/stake-holders etc. Media Lab Asia has
collaborated with 58 partners in development & deployment of its technologies. It
may be emphasized that Media Lab Asia‟s role is mainly for design, development
and showcasing the value of technologies for a particular application, and thereby
catalyzing its proliferation by appropriate agencies and organizations.
2.1.3 Media Lab Asia has been encouraging start-ups with the help of technologies
developed under its ambit. Some examples of start-ups established and Media Lab
Asia‟s technologies used are as follows-

2.1.4 Media Lab Asia has been looking at all opportunities in the interest of its overall
objective, including the requirements of the line ministries and their agencies. Media
Lab Asia has been working with Government agencies including NAIP/ICAR,
RCI/MOSJE, NIESBUD/MSME, EdCIL/MHRD, National Trust/MOSJE, Mizoram
Govt., Karnataka Govt., Kerala Govt. etc. The following initiatives of Media Lab
Asia have resulted in showcasing technologies in the field;
Based on the experience of Media Lab Asia in the field of agriculture, ICAR
under its NAIP programe awarded Media Lab Asia a project „Development of a
set of alternative ICT Modals based on a study & analysis of a major ICT
initiatives in agriculture in India to meet the information need of the Indian
farmers‟.
The development and pilot deployment project of Media Lab Asia on Rural HMIS
(RHMIS) in the state of Kerala has led to Kerala State Govt preparing a bid for
statewide deployment of the program in the entire state of Kerala.
Media Lab Asia has undertaken deployment of technologies / services with
Rehabilitation Council of India (RCI), a body under Ministry of Social Justice &
Empowerment (MoSJ&E) to establish a national network for education, training
and empowerment of the disabled in more than 680 RCI recognized locations
including North-Easters region.
Initiatives of Media Lab Asia with State Education Department of Govt. of
Mizoram has led to deployment of ICT based Multi Media content in all State
Government schools from 8th to 12th Class in the state of Mizoram.
IIIT Hyderabad received a big project from MHRD on the basis of Virtual labs
project taken up by Media Lab Asia with IIIT Hyderabad
2.1.5 The Government has also entrusted Media Lab Asia with the execution of following
two specific National Programmes viz.
(i) National E-governance Division (NeGD): The Department of Electronics and Information Technology (DeitY),
Government of India, has created NeGD as an autonomous business division
within Media Lab Asia, under the Ministry of Communications and Information
Technology, Government of India, for taking up the tasks being carried out by
the Programme Management Unit of National e-Governance Plan (PMU-NeGP)
at DeitY.
(ii) ITRA ( IT Research Academy): IT Research Academy (ITRA) programme was approved in October 2010 as a
National Programme to build a national resource for advancing the quality and
quantity of R&D in Information & Communications Technologies and

Electronics („IT‟ for brevity), while institutionalizing an academic culture of IT
based problem solving and societal development by closely collaborating teams
of researchers and institutions having expertise in the different aspects of the
chosen research or application problems. The ITRA focuses on strengthening the
nation‟s competitiveness by expanding the R&D base in IT, especially by
leveraging the large IT education sector and IT users such as government,
industry and other organizations.
2.2 Commercialization:
While the objective of Media Lab Asia is development & demonstration of
technologies for the benefit of the common man, Media Lab Asia has been also
adopting various approaches for large scale commercialization of its technologies,
including the following:
Showcasing the technologies in the field with other partners including NGOs,
academic organizations etc. e.g. e-Sagu, Chic CAD, HMIS in telemedicine etc.
Transfer of Technology e.g. Polysensors, Sahayika, Rural Net including Digital
Gangetic Plains etc.
Encouraging start ups e.g. in case of projects aAqua, Daknet, Ca:SH, Polysensosr,
e-Sagu etc.
Dissemination through web portals e.g. punarbhava.in, gyanpedia.in, Chanderi
portal etc.
Deployment through Govt. agencies e.g. Govt. of Mizoram, Govt. of Karnataka
etc.

Deployed for quality services in e-Learning, e-health and e-education and e-agro
advisory in 115 villages in A.P.; Accessible to more than 5 lakh people

- A personalized ICT based agro advisory system: 100,000+ expert
advices on 32 different crops in 200+ villages in 7 districts of A.P.; Also deployed
through 9 'Grameen Gyan Kendras' in 66 villages in 3 districts of U.P.

(almost all questions answered) - A portal for farmers: A startup
company 'M/s Agrocom Limited' has been promoted; The company registered
21000+ members and received 38000+posts on its website

Media Lab Asia has taken up field assessment studies by third parties of selected
deployment projects with a view to assess their impact and to design the scaling up
of the projects namely e-Sagu, Chanderi project and a couple of projects in the
field of disability.
In the case of e-Sagu project, a detailed impact study was done by 3rd party and it
is assessed that approximately an increased benefit of about Rs.3800 per acre
because of increased crop yield, less use of pesticides and fertilizers in the state of
Andhra Pradesh has been achieved.
In the case study of Chanderi project, it has come out that most weavers admitted
to their incomes increasing from Rs.3000/- to Rs.6000/- because of the project.
Moreover, the project has resulted in making 90% of the weaver population reduce

its dependence on master weavers (large business persons who acted as
intermediaries in the supply chain), thus disentangling themselves from their
exploitative practices.
Chetana - Community TV for women empowerment and child development:
Deployed at 8 locations in Andhra Pradesh; Impact in 60 villages
Community radio station: Deployed for livelihood generation in 5 agricultural
universities (viz. SAU's at Ranchi, Faizabad, Coimbatore, Hissar & Raipur)

- Rural health information management system through
handheld computers: Developed & deployed in Mallapuram (Kerala) with 7.8

3. Review of Media Lab Asia:
The Cabinet in July 2003 had approved the full scope Media Lab Asia programme
from May 1, 2003 for a period of nine years with a 10th
Plan outlay of Rs.267 Crore
(including Government budgetary support of Rs.227 Crore). Cabinet also approved
constitution of a Steering Committee under the Minister of Communications &
Information Technology (MCIT) to prescribe the organizational structure of Media
Lab Asia in alignment with those existing in Government and its R&D institutions
and also make recommendations about the size of Government funding required
during the 11th
Plan period (2007-12) subject to an independent review of the Media
Lab Asia programme during the terminal year of the X Plan period i.e. 2006-07.
In March 2010, an EFC chaired by Secretary (IT) accorded financial concurrence to
the scheme with a funding of Rs.67 Crore for the next three years of 11th
Plan i.e. upto
30th
April 2012.
DeitY, in October 2011, constituted a Working Group under the Chairmanship of
Principal Scientific Advisor to Government of India to review the performance and
suggest a future course of action in regard to Media Lab Asia and Government
support with quantum of funds required for taking up the proposed future activities.
The Working Group constituted by DeitY, in its report, recommended government
support for continuation of Media Lab Asia program for another 10 years with an
outlay of Rs.280 crore including an IEBR of Rs.30 crore for the 12th
five year plan,
and the funding for 13th
five year plan could be decided towards the end of 12th
plan
period. After the 10 year period (i.e. April 2022), Government may review
continuation of budgetary support. The Working Group identified the opportunity &
role of Media Lab Asia in research-technology-commercialization value chain and the
model required for scaling up the existing projects and development of new
technologies. The Working Group also identified potential core ICT and ICT
application areas that could be addressed by Media Lab Asia.
In February, 2013, an EFC chaired by Secretary (DeitY), approved an outlay
of Rs 30 crore spread over two years, i.e. 2012-13 and 2013-14 and recommended
that an independent evaluation of the Scheme may be undertaken, focusing essentially
on an appraisal of, all the past and present major activities/ projects undertaken by
Media Lab Asia and recommend a „new business model‟ for implementation that is
both technically and financially feasible. The EFC also recommended that a decision
on further continuation will be taken by EFC, based on the findings of the
independent evaluation.
