Italmatch Group will consolidate its presence in the American market with an important manufacturing site
that will continue to produce the Dequest product line and Compass' Mayoquest brand of products.
Italmatch Chemicals, a leading global specialty chemicals group, has acquired 100% of Compass Chemical
Intl., a North American independent chemical company active in the production and marketing of
phosphonates and additives for water treatment and for the oil and gas market, from US private equity firm
One Rock Capital Partners LLC. This is the third acquisition in the water treatment industry by Italmatch
since Ardian became the major shareholder in June 2014, and falls into the company's growth strategy
through acquisitions aimed at establishing Italmatch as a leading global player in its market sectors.
Italmatch acquired GRS Chemical Technologies S.r.l., a company active in the production of soluble
polymers for water treatments and additives for combustion, in December 2014, and Solvay's desalination,
phosphonates and phosphonic acid-based water additives business in January 2016. Italmatch Chemicals
is a chemicals group specializing in performance additives for lubricants, water and oil treatment, and
plastics, and boasts a wide range of specialty chemicals able to fulfill the requirements of the most
demanding applications. It operates six manufacturing plants in Europe (Italy, Spain, Germany and the UK)
and four in Asia-Pacific (China and Japan), with sales/distribution subsidiaries in Belgium, Poland, Japan,
Singapore, India, China and the US.

Italmatch Chemicals, based in Genoa, Italy, a leading global chemicals group specializing in the
manufacturing and marketing of performance additives for lubricants, water and process treatment, and oil
and plastics, has acquired 100% of Compass Chemical International, LLC, a leading North American
company involved in the production and marketing of organophosphonates, polymers and other specialty
additives /services for water treatment and oil and gas applications. The seller was One Rock Capital
Partners LLC. The financial terms were not disclosed. Founded in 1999, Compass Chemical International,
LLC has a plant in Smyrna, Ga., and a blending and warehouse facility located in Huntsville, Texas,
dedicated mainly to serving the oil and gas industry. The acquisition, completed through its subsidiary
Italmatch USA Corporation, will enable Italmatch to operate in the Americas markets through its own
manufacturing facility which will produce the leading global Dequest product line, while continuing to
produce Compass' Mayoquest brand of products. This transaction is consistent with Italmatch Chemicals
Group's growth strategy to further strengthen the company's position as a leading global supplier of
specialty water management additives and associated services. It follows the acquisitions of GRS Chemical
Technologies in December 2014, a centre of excellence specializing in the production of Low/High MW
polymers and additives for heavy fuel oils, and more recently of Solvay's desalination and
phosphonates/phosphonic acid-based water additives business. "The acquisition of Compass Chemical

Italmatch Chemicals, a speciality chemicals producer based in Italy, has acquired Compass Chemical
International, which it described "as the most important North American independent chemical company
active in the production and marketing of phosphonates and additives for water treatment and for the oil
and gas market". The company said that this will consolidate its presence in the North American market,
giving it a new manufacturing site in Texas that will continue to produce Compass's Mayoquest brand of
products. It will also be expanding its own range, bringing the Dequest brand into the US, while also
"noticeably increasing" its oil and gas presence, according to CEO Sergio Iorio. Italmatch has been owned
by a US private equity firm Ardian since June 2014. Another, One Rock Capital Partners, had hitherto
owned Compass. Since itself being acquired, Italmatch had also bought GRS Chemical Technologies, a
compatriot active in the production of soluble polymers for water treatments and additives for combustion,
and Solvay's desalination, phosphonates and phosphonic acid-based water additives business. "Our aim is

Italmatch Chemicals continued its acquisitive streak earlier this week by picking up leading North American
water additives supplier Compass Chemical International. The deal will globalise Italmatch's manufacturing
base by adding US sites to its existing European and Asian manufacturing platform, CEO Sergio Iorio
explained to GWI. In an era of increasing commoditisation and cheap Chinese chemical imports, Italmatch
is seeking to differentiate itself by moving more towards specialty chemical applications. The acquisition of
Compass will strengthen Italmatch's position in the anti-scalants market - including reverse osmosis
applications - whilst giving the group its first exposure to the biocides market. It also brings an expanded
presence in the oil and gas market through a blending facility in Texas. The acquisition of Compass follows
on the heels of Italmatch's purchases of GRS Chemical Technologies in 2014 and Solvay's water additives
business earlier this year, which saw the group's annual revenues rise to €280 million.

Italmach Chemicals has acquired Compass Chemical International, adding a strategically important site in
Texas that it hopes will support its growth in the oil and gas industry. The deal also broadens Italmach's
product portfolio to include biocides for the first time, and expands its range of corrosion inhibitors.
"Compass is very strong in, and committed to oil and gas, which is a strategic sector for us," said Sergio
Iorio, chief executive of Italmach. "The market is quiet in recent years, however we think that it has now
reached a plateau, and we can only see a recovery in the medium term, which will be leveraged through the
Compass acquisition." Italmach's water additives business generates annual revenue "in the range of $150
million," said Iorio, of which oil and gas accounts for 25 to 30 per cent, a share that it aims to grow. Through
the deal, Italmach gains a manufacturing base in North America for the first time, with plants in Georgia and
Texas adding to the group's existing manufacturing operations in Europe and Asia Pacific. Compass is an
independent producer of phosphonates and additives for water treatment and for the oil and gas market,
and is known for the Mayoquest brand, which will continue. "Manufacturing in the US is what we were
missing - this acquisition makes us a global manufacturer," said Iorio. "The Compass plant is very flexible,
and our plan is to transfer manufacturing of some of our products that are currently imported from Europe
into the US, to be more competitive and closer to the user." Iorio hopes that the tie-up will also bring
benefits to Compass, particularly through a greater emphasis on research and development. "Compass will
benefit from the large research and development activity that Italmach has in Europe. The aim is to transfer
such activity and to have a local North American research centre in Georgia, which Compass has on a
small scale, but it will definitely benefit from the innovation that we are bringing," said Iorio. Italmach's
applicative laboratory in Milan, Italy, has the facilities to test finished formulations in a water system and in
an oil and gas system, and is "close to some important developments in the field of high temperature anti-
scale additives for deep oil and gas drilling," Iorio added. The latest deal follows a string of earlier moves by
Italmach to grow its offer in water additives. In January 2016, it finalised the acquisition of Solvay's water
additives and desalination business, securing a position in thermal desalination, where previously it had
played only in reverse osmosis. In 2014, it bought GRS Chemical Technologies, the water soluble polymers
plant and business of GE Water. Its initial entry into water additives was through the acquisition of Dequest
in 2012. Private investment firm Ardian took a majority stake in Italmach in 2014, and has backed the global
specialty chemicals group's acquisitions-led growth.
