Reports – Minutes of the April 22, 2020 Commission MeetingMINUTES OF A REGULAR COMMISSION MEETING OF THE CANAVERAL PORT AUTHORITY HELD IN THE COMMISSIONERS’ MEETING ROOM OF THE CANAVERAL PORT AUTHORITY OFFICE, 445 CHALLENGER ROAD, PORTCANAVERAL, FLORIDA, AND VIRTUALLY ON-LINE DUE TO COVID 19 ON FEBRUARY 26, 2020.

The meeting was called to order by Chairman Micah Loyd at 9:00 a.m. Commissioner Wayne Justice led the Pledge of Allegiance.

Those present in the Commission Room were Chairman Micah Loyd, Commissioner Wayne Justice and Attorney Harold Bistline. Commissioners Jerry Allender, Bob Harvey, and Robyn Hattaway joined the meeting via GoToMeeting on-line, as did CEO Captain John Murray, CFO Michael Poole, Vice President Engineering and Construction Bill Crowe and Special Assistant/Liaison Melanie Bradford.

APPROVAL OF AGENDA:

Commissioner Justice motioned to approve the agenda and Commissioner Allenderseconded the motion. The motion passed 5/0.

APPROVAL OF MINUTES:

Commissioner Allender moved approval of the minutes from the February 26, 2020regular Commission meeting. The motion was seconded by Commissioner Justice and passed 5/0.

REPORTS:1. CEO Report

COVID 19: Port Canaveral remains open and operational Administration building remains closed to the public

Essential meetings with outside personnel have transitioned to an online platform Approximately 110 employees began teleworking on March 17 52 Port employees are currently on temporary furlough (April 3 – May 31) CPA Purchasing and Warehouse operational hours reduced effective March 27 Facilities and maintenance staff provided N95 compliant masks for work that requires

closer than 6’ contact To reduce utility/usage costs, ambient indoor temperature settings have been adjusted and

all non-essential lighting has been turned off Sponsorship funding requests denied due to budget constraints, invited to reapply in the

future Maintenance staff treated all cruise terminals and Port-owned and occupied facilities with

mPact environmental product

Cruise Update: FY20 by the numbers (October 1 – March 31)

373 cruise ship calls 253 gaming vessel calls Multi-day cruise revenue – $40.8M

Centers for Disease Control and Prevention issued a no sail order, effective March 14 Update on April 15 extended No Sail Order

through July 19, 2020 and subject to change (either earlier or later) All cruise lines have extended return to service dates through at least the end of

June Cruise ships currently cycling through Port Canaveral to allow loading of provisions, fuel

and water Anywhere from 1-6 ships in Port based on berth availability Port assessing dockage fees at 75% per CPA Tariff

Crew members being repatriated under guidance of the USCG, CDC and CBP Secure transportation direct to airports for charter flights to home countries All expenses paid for by cruise lines Crewmembers not departing are in a “remain on board” status

When the industry reopens, likely to begin with short, 3- and 4-day voyages Port Canaveral’s location and drive-in market gives us a unique advantage Close to home cruising Access to the Bahamas and private islands

Norwegian Cruise Line announced the Norwegian Sun will now return to Port Canaveral for year-round short cruises

Currently in discussions with cruise lines not currently sailing from Port Canaveral based on our drive-in market

All current customers intend to return with their same commitments at Port Canaveral

Port continues its bi-weekly testing of our waters consistent with DOH sampling protocols FDOH ceased water quality testing along the beaches

After presentation of the financial information for February and March 2020 and the Financial Reports for February and March 2020 (#2 and #3), Commissioner Allendermotioned approval of the February and March 2020 Financial Information Memo, the Statistical Report, Aging Report, List of Bills, the Attorney Fees and Commissioner Expenses. Commissioner Hattaway seconded the motion and the motion passed 5/0.

4. A capital projects update was given by Bill Crowe.

CONSENT AGENDA: Commissioner Justice motioned to approve items 1A, 1B, 1C, 1D, 1E, 1F, and 2A. Commissioner Harvey seconded the motion and the motion passed 5/0.

COMMISSIONER REPORTS/DISCUSSION:

Commissioner Justice – Spoke regarding the financial snapshot in April. 37 years responding to national emergencies. Unable to discuss items as a Commission. Happy where we have ended up. Thank and recognize CBP and Coast Guard. We are strong and solid. “Ready to Respond” I appreciate that we have been included in County issues.

Commissioner Hattaway – It is fair to say we will see a signification drop in revenue next month and thereafter. I hope we are part of the entire tourist industry that is going to regain people’s trust. Thank the staff and Mike especially. We are well positioned to survive this by the fiscal policies and conservative management by this board and our staff. It is Administrative Professional Week and thank Melanie for her hard work and everything you do.

Commissioner Harvey – Praise to the staff for how the Port has handled this pandemic. You guys have done a great job putting the Port in a great financial position like this. Briefly spoke about the airline industry.

Commissioner Allender – Thank John and Staff for all your efforts making this virtual project work. Thank all. Stay healthy and Bob best wishes in your campaign.

Chairman Loyd – This has been a challenging couple of months. I appreciate the good times. It is very laborious making sure the port can survive. We need to have leadership in place that not only is able to handle the good times but handle the bad time. I would thank John, Bill and Michael Poole. We have postponed John’s salary discussion and will continue that after we have a better idea where our revenue is going to be. I appreciate the staff keeping us informed. Be safe and thank you for joining us virtually.

A RESOLUTION OF THE CANAVERAL PORT AUTHORITYTO SUPPORT THE BREVARD COUNTY PUBLIC SCHOOLS DEPARTMENT OF ADULT AND COMMUNITY EDUCATION

CAREER AND TECHNICAL EDUCATION CENTER

WHEREAS, Port Canaveral is a key economic engine for Brevard County and Central Florida creating jobs and economic opportunity for the local community; and

WHEREAS, workforce development and workforce education are nonpartisan goals in the State of Florida; and

WHEREAS, manufacturing jobs accounted for twenty three percent (23%) of job growth since 2016 on the Space Coast; and

WHEREAS, from 2015-2018, one in six manufacturing jobs in the State of Florida were created in Brevard County; and

WHEREAS, a skilled workforce benefits the tenants and partners operating at Port Canaveral and the growth and development of Port Canaveral itself; and

WHEREAS, Brevard Public Schools Department of Adult and Community Education is building a career and technical education center offering specialized and skilled training; and

WHEREAS, the United States and the world are fighting an international pandemic and economic crisis, from which skilled workers will be well positioned to seek employment and rebuild the workforce.

NOW, THEREFORE, BE IT RESOLVED, THE CANAVERAL PORT AUTHORITY will support and continue to support the Brevard County Public Schools Department of Adult and Community Education in their efforts to receive Florida Job Growth Grant funding.

Furthermore, the Canaveral Port Authority commends the pre-apprenticeship, manufacturing and logistics focus of the program and invites all port partners and tenants to utilize this source of skilled labor.

DONE, ORDERED AND ADOPTED, this 20th day of May at Port Canaveral, Brevard County, Florida.

The following is a brief update of the Accounts Receivable billing and collection process: Staff continues to work with our customers to ensure collection and credit of accounts. Staff has been working closely with our customer and business partners to maintain a current billing and account balance status. Most of our accounts are in line as evidenced by the 94% with balances in less than 30 day. We are working with all others to bring accounts current.

Attached is the aging report as of May 13, 2020. The Current accounts are 93.5% of total Accounts Receivable of $3,785,669. We will send any necessary collection notices for violations and assess the applicable late fees. The updated aging results will be provided at the meeting on May 20, 2020.

Cruise Terminal 3

New 185,000 sf Cruise Terminal program with a seating area of up to 1700 seats , 1st floor occupancy load of

3775, 2nd floor occupancy 4362. To include separate baggage building and warehouse. New roadway and utilities.

GENERAL PROJECT INFORMATION

PROJECT STATUS:

Floor tile on second floor being installed. Launch Pad structure has been assembled and fire proofing applied. Escalator at Launch Pad

installed mid April. Passenger bridge that runs from the elevated structure to the 3rd floor of the garage installed and waiting for canopy

that attaches to it. Mechanical/Electrical/ and Plumbing continues thoughout the terminal. Exterior roadwork along GKB has been milled

and asphalted. Landscape and irrigation being installed along GKB. Interior finishes ongoing.

The contractor is currently noting a 36% decrease in onsite labor due to absenteism. While there are no confirm COVID-19 cases from

the contractor or subcontractors, craftspeople have been calling in flu-like symptoms and self isolating. This has resulted in an increase

to overtime worked by all crews onsite. The contractor is currently working 7 days per week. The decrease in labor may cause a 4-6

week delay for substantial completion.

Cruise Terminal 1 fenders have experienced significant wear from direct contact with the bulkhead wall due to tidal changes

and consistent vessel moorings. The scope of this project includes repainting of the fender skins and installation of fender

rub strips along the bulkhead wall to increase the life of the fenders.

North Cargo Berth 8 Uplands Improvements project is the construction of approximately 4 acres of heavy duty asphalt

pavement adjacent to the newly construction bulkhead wall. Improvements include high mast lighting, water and

stormwater systems, and reconstruction/widening of Snapper Road.

PROJECT STATUS:

All paving throughout the project has been complete; including Snapper Road. Light poles have been energized and the Contractor and Port Staff are

working with the manufacturer to schedule training for the new lighting control system. CCTV and IT infrastructure installation work continues

throughout the project. All water infrastructure is operational. Project is substantially complete.

CAPITAL PROJECTS UPDATE

Architectural and Engineering Design and Permitting Services for Cruise Terminals 8 & 10 Landside Improvements

The improvements at CT-8 include a new luggage screening building, renovation of the first and second floor of the main

building, a new ADA ramp, a new arrivals area, IT and electrical improvements, site improvements including the extension of

the drop-off area. At CT-10 the improvements consider reconfiguration of the seating area to provide new concierge area

and the check-in counters with minor site improvements.

PROJECT STATUS:

The GMP amendment is approved and mobilization is ongoing. Pre-construction meeting was held on site early May. The construction fence around

the site was approved by DCL. Once the fence is complete, DCL will request an FSP amenment for the construction period. DCL terminal offices will

be relocated to the first floor of the Maritime Center mid-May until the end of October. Contractor started the demolition at existing plaza and trees

removal is complete. Contractor plans to start test piles by the end of May.

Terminals 8 & 10 Waterside Improvements

Marine improvements at CT-8 will include filling in various gaps in the pier deck, replace and add mooring fixtures and

strength the pier deck for the new passenger boarding bridge. All these improvements are needed for the new class vessel

expected by 2021. CT-10 works will include filling in various gaps in the pier deck, electrical work at the pier and a new

mooring dolphin.

PROJECT STATUS:

Rush Marine continues to work on shop drawing and submittal submissions and review. Preliminary schedule has been submitted for review. Project

steel components are expected to arrived around the end of July. Rush Marine continues to work closely with Port Staff to plan for cruise industry

Summary Explanation & Background: For the NCB3 project, CPA is scheduled to receive three grant allocations totaling $14.1 million from the FDOT.The first allocation has already been executed, a grant for $2.5 million (FY 20 funding). The second allocation for$8 million (FY 23 funding) is the attached grant. The third allocation will be for $3.6 m (FY 21 funding) and willbe presented to the CPA in the June/July timeframe.

This PTGA is a “Deferred Reimbursement Agreement” for $8 million in State funding whereby the CPA beginsthe NCB3 Rehabilitation project in advance of the year in which the project funding is programmed in the FDOTadopted work program, which will be in FY2023. CPA will request reimbursement from FDOT startingSeptember 2022 through December 2024 in ten (10) equal quarterly payments of $800,000 for all eligible costsincurred for NCB3 after this PTGA is executed by FDOT through the project’s completion date.

For the proposed attached grant agreement, CPA would be responsible for a minimum 25% match and FDOTwith a maximum of 75% reimbursement or up to the total grant amount of $8,000,000.

The total State funding will be combined with $14.1 million of federal funding from MARAD for the NBC3project. The balance of the project funding would be from the CPA.

The second allocation for$8 million (FY 23 funding) is the attached grant. The third allocation will be for $3.6 m (FY 21 funding) and willbe presented to the CPA in the June/July timeframe.

This PTGA is a “Deferred Reimbursement Agreement” for $8 million in State funding whereby the CPA beginsthe NCB3 Rehabilitation project in advance of the year in which the project funding is programmed in the FDOTadopted work program, which will be in FY2023. CPA will request reimbursement from FDOT startingSeptember 2022 through December 2024 in ten (10) equal quarterly payments of $800,000 for all eligible costsincurred for NCB3 after this PTGA is executed by FDOT through the project’s completion date.

For the proposed attached grant agreement, CPA would be responsible for a minimum 25% match and FDOTwith a maximum of 75% reimbursement or up to the total grant amount of $8,000,000.

The total State funding will be combined with $14.1 million of federal funding from MARAD for the NBC3project. The balance of the project funding would be from the CPA.
