B02 - Nexus and Multistate Tax Issues (TX–2) Bob Baldwin, CPA, PFS, AEP and Ken Newhouse, CPA, CITP Baldwin & Associates and Moore, Beauston & Woodham LLP

When your company conducts business out of state, it can easily establish nexus. Nexus is the minimum connection or contact between a taxpayer and a state suffi-cient to subject the business to the taxing jurisdiction of that state. Although this is not always unfavorable, it does add significant burdens in terms of record keeping and filing requirements. Business income taxes and sales/use tax requirements imposed by another state can be significant and interest and penalties can be assessed for all pre-vious years back to the first year nexus was established. States do not use a standard tax system when imposing their taxes on business entities. Differences occur according to the type of tax imposed, the base on which the tax is assessed, the type of return required, which entities are included in the return, how receipts are divided among the states, and when returns are due. This session will help you better understand the requirements to ensure compliance.

C02 - Federal and South Carolina State Tax Credits for Small Businesses (TX-2) Erik Doerring, EsquireMcNair Law Firm, PABusinesses, particularly small businesses, must be competitive to survive and grow in an ever-changing environment. Federal and S.C. state tax credits exist offering a variety of incentives and tax subsidies to small businesses to induce them to add or maintain employment, to grow investment, to operate in particular geographic areas, and to encourage other conduct. The CPA must be aware of these incentives to properly advise his or her clients in order to reduce the client's otherwise applicable federal and state tax burden. The CPA should assume that the client's competitors are aware of these tax credits and subsidies, and if the CPA is also not aware of these incentives the CPA advises the client at his or her peril.

We will review the new "permanent" estate and gift tax law, discuss planning opportunities with the current exemptions, review the exemption portability rules that are now in effect, and discuss changes that every client should consider for common estate plans. The South Carolina Legislature has also adopted substantial revisions to the South Carolina Probate Code that take effect on Jan. 1, 2014. We will review these new rules, including the revisions to the elective share statute and our first "decanting" statute that provides opportunities for planning with irrevocable trusts.

It has been attached to the profession for as long as accountants have offered services in a commercial setting. However, as the number and size of legal claims against professional public accountants has increased over the years, so too has the issue of risk and risk management also increased in importance. Ultimately, it is the partners of the accounting firm that will bear the ultimate responsibility for the firm’s risk management framework. So it is this group (or person if solely owned) that must take the lead in estab-lishing and maintaining a risk management framework, as with periodic evaluation of its design and effectiveness.

H02 - Nonproft Tax Issues (TX-2) Doug Snyder, CPADoug Snyder, CPANonprofit organizations are generally tax free. However, there are many limitations to tax-exempt status, and operating an organization outside those limitations can result in taxation. The most common problem areas for nonprofit entities are political activities, unrelated business and disclosures to the public. Attend this session learn more about pro-tecting your client’s non-profit status by understanding key schedules and make adjust-ments required by 2013 IRS revisions.
