RESOLUTION NO. GP-0005-12-13 SUBJECT: APPROVAL OF THE HIB REPORTS RESOLVED, that the Board of Education, upon recommendation of the Superintendent, approves the May 2013 and June 2013 HIB report. RESOLUTION NO. GP-0006-12-13 SUBJECT: APPROVAL OF A SIDEBAR AGREEMENT BETWEEN THE HOBOKEN
BOARD OF EDUCATION AND THE HOBOKEN EDUCATION ASSOCIATION WITH REGARD TO THE POSITION OF ATHLETIC TRAINER
RESOLVED, that the Board of Education, upon recommendation of the Superintendent, approves a Sidebar Agreement between The Hoboken Board of Education and The Hoboken Education Association concerning the Athletic Trainer. The Athletic Trainer will work from August 15, 2013 through June 15, 2014. As a certified staff member the Athletic Trainer is entitled to representation by the Association and has been placed on the appropriate step of the salary guide set forth in the Agreement. He must work a minimum of 1,248.75 hours during the time period. If the Athletic Trainer exceeds 1,248.75 hours, he shall be entitled to compensation at the rate of $34.00 per hour. RESOLUTION NO. RESOLUTION NO. GP-0029-12-13 SUBJECT: APPROVAL OF WORKSHOPS RESOLVED, that the Board of Education, upon recommendation of the Superintendent, approves the following workshops: WHEREAS, N.J.A.C. 6A:23B-1.1 et. seq. requires that each board of education adopt a formal policy and procedures relating to travel and expense reimbursement for its employees and board members; and WHEREAS, the School District of the Hoboken Board of Education (the Board) adopted a Travel Expense Reimbursement Policy that addresses the reimbursement of travel-related expenses by Board members and employees of the District; and WHEREAS, the Board has considered all other relevant guidelines and circulars associated with the adoption of its Travel Expense Reimbursement Policy; and WHEREAS, the Board has determined that the travel listed in this Resolution is educationally necessary and fiscally prudent; and WHEREAS, the Board has concluded that the travel and expense reimbursement listed in this Resolution are directly related to and within the scope of the employees current responsibilities; and WHEREAS, the Board has determined that the travel and expense reimbursements listed in this Resolution are for travel that promotes the delivery of instruction or furthers the efficient operation of the school district; and WHEREAS, the Board has concluded that the travel and expense reimbursement listed in this Resolution are in compliance with State travel reimbursement guidelines as established by the Department of Treasury and incorporated herein; THEREFORE, BE IT RESOLVED, pursuant to N.J.A.C. 6A:23B and Board Policy and upon the recommendation of the Superintendent, that the School District of the Hoboken Board of Education, in the County of Hudson, New Jersey, approves travel requests as listed.

NOW, THEREFORE, it is hereby RESOLVED, that the Board of Education of the District does not require the Forum School to charge students for reduced and/or paid meals in accordance with the income eligibility criteria established by the Child Nutrition Program as administered by the New Jersey Department of Agriculture; and it is FURTHER RESOLVED, that the Board of Education of the District understands and acknowledges that the foregoing actions do not increase the contracted tuition rate for students with disabilities sent by the District to The Forum School. RESOLUTION NO. FI-0012-12-13 SUBJECT: APPROVAL OF FOOD SERVICES MANAGEMENT COMPANY CONTRACT
RENEWAL RESOLVED, that the Hoboken Board of Education hereby renews the school food service contract with Sodexo Management, Inc., Weatogue, Connecticut for the 2013-2014 school year; and BE IT FURTHER RESOLVED that the fees for the said contract include a flat management fee of $12,761.11 per month based on conditions and assumptions stipulated in the proposed contract on file in office of the School Business Administrator/Board Secretary remaining in effect; and BE IT FURTHER RESOLVED that Sodexo Management, Inc. guarantees a breakeven bottom line of the operational financial report for the 2013-2014 school year, with no subsidy to the bottom line by the LEA. In the event that the costs of operating the Food Service Program exceed total revenues (from all sources), Sodexo Management, Inc. will be responsible for any losses (shortfalls) incurred but in no event shall the reimbursement obligation exceed the amount of Sodexo Management, Inc.s Management Fee, ($127,611.10) with said guaranteed breakeven based on the conditions and assumptions remaining in effect for the school year in accordance with the proposed contract on file in office of the School Business Administrator/Board Secretary. The fees shall consist of general support services and management fee. General Support Services Allowance General Support Services Allowance equal to Seventy Thousand Six Hundred Forty-Two and 14/100 Dollars ($70,642.14) for the 2013-2014 contract year, payable in ten equal installments of Seven Thousand Sixty-Four and 21/100 Dollars ($7,064.21), September through June, computed at the end of each Accounting Period and prorated for any partial Accounting Period. Partial Accounting Period shall be defined as a period of time less than one (1) month. Management Fee District shall pay Sodexo a Management Fee in an amount equal to Fifty Six Thousand Nine Hundred Sixty-Nine and 04/100 Dollars ($56,969.04) per year, payable in ten equal installments of Five Thousand Six Hundred Ninety-Six and 90/100 Dollars ($5,696.90), September through June for the 2013-2014 contract year. The Management Fee shall be calculated at the end of each Accounting Period during the school year and prorated for any partial Accounting Period. BE IT FURTHER RESOLVED that the prices for student lunches during the 2013-2014 school year shall remain $3.00 at the elementary schools and $3.50 at the high school with the adult lunch price at $4.00, and that the district shall continue to offer a Universal Breakfast program to all students at no cost. RESOLUTION NO. FI-0013-12-13 SUBJECT: CONTINUATION OF EMERGENCY CONTRACT AT BRANDT SCHOOL RESOLVED, that the Hoboken Board of Education ratifies the declaration of an emergency by the Interim Business Administrator due to structural issues with the facade of the Brandt School effecting the health and safety of the Hoboken community, in accordance with the N.J.S.A. 18A:18A-7, and BE IT FURTHER RESOLVED, that the Board approves the continuation of an emergency contract with T&M Contracting Company Inc. of Hoboken, New Jersey in an additional estimated of $14,850, pending SDA project approval, from July 2013 through September 2013, to include the continued emergency installation of the protective sidewalk bridge (erecting, dismantling, lights, rental of materials) and the determination of the extent of the problem in concert with the architect to determine the specifications for repair (includes the cost of the equipment to complete the site analysis); and BE IT FURTHER RESOLVED that the Interim Board Secretary be authorized to submit the declaration of this continued emergency to the Executive County Superintendent. AND WHEREAS, at the April 16, 2013 Public Meeting, the Board appointed Edward J. Appleton Interim Business Administrator/Board Secretary, making him a required signatory, replacing former Interim Business Administrator/Board Secretary, H. Ronald Smith, AND WHEREAS, at the June 25, 2013 Public Meeting, the Board appointed William Moffitt Business Administrator/Board Secretary, making him a required signatory, replacing former Interim Business Administrator/Board Secretary, Edward J. Appleton, NOW, The Hoboken Board of Education (the Board) resolves that:
1. TD Bank, N.A. (the Bank) is designated as a depository for the funds of the Board and to provide other financial accommodations indicated in this resolution.
2. This resolution shall continue to have effect until express written notice of its rescission or
modification has been received and recorded by the Bank. Any and all prior resolutions adopted by the President and Members of the Board and certified to the Bank as governing the operation of this Boards account(s) are in full force and effect, until the Bank received and acknowledges an express written notice of its revocation, modification or replacement. Any revocation, modification or replacement of a resolution must be accompanied by documentation, satisfactory to the Bank, establishing the authority for the changes.
3. The signatures of the Board Secretary and School Business Administrator on this resolution are
conclusive evidence of their authority to act on behalf of the Government Unit. The Board Secretary or School Business Administrator, so long as he/she acts in a representative capacity as agent of the Board, is authorized to make any and all other contracts, agreements, stipulations and orders which they may deem advisable for the effective exercise of the powers indicated on page one, from time to time with the Bank, subject to any restrictions on this resolution or otherwise agreed to in writing. Board approval, via a duly adopted resolution, is required for all matters so promulgated by State statute or regulations, or as designated by Board policy or regulations.
4. All transactions, if any, with respect to any deposits, withdrawals, rediscounts and borrowings by
or on behalf of the Board with the Bank prior to the adoption of this resolution are hereby ratified, approved and confirmed.
5. The Board agrees to the terms and conditions of any account agreement, properly opened by the Board Secretary. The Board authorizes the Bank, at any time, to charge the Governmental Unit for all checks, drafts, or other orders, for the payment of money, that are drawn on the Bank, so long as they contain the required signature for this purpose.
6. Except as prohibited by State statute or regulation, or by Board policy or regulations, the Board
acknowledges and agrees that the Bank may furnish at its discretion automated access devices to Agents of the Board to facilitate those powers authorized by this resolution or other resolutions in effect at the time of issuance. The term automated access device includes, but is not limited to, credit cards, automated teller machines (ATM), and debit cards.
7. The Board acknowledges and agrees that the Bank may rely on alternative signature and
verification codes issued to or obtained from the Agents named on this resolution. The term alternative signature and verification codes includes, but is not limited to, facsimile signatures
