1973Chicago Board Options Exchange (CBOE), the first U.S. exchange to trade listed options, is founded.

1975The SEC approves transforming The CBOE Clearing Corporation into The Options Clearing Corporation (OCC) as the clearinghouse for all exchange-listed options.

1983Cash-settled index options trading begins, OCC clears the new product.

1988OCC pioneers the use of cross-margining for its Clearing Members.

1992The Options Industry Council (OIC) is formed by OCC and U.S. options exchanges to increase investor knowledge of exchange-listed equity options.

OCC receives a “AAA” rating from Standard & Poor’s Corporation.

1993OCC’s Stock Loan/Hedge Program is created to clear and guarantee stock loan transactions between Clearing Members. Through a legally binding novation process, OCC becomes the principal central counterparty (CCP) to cleared transactions.

1996OCC launches optionsclearing.com.

2000OCC receives SEC approval and completes operational readiness testing to clear security futures. OCC begins developing ENCORE, its new clearing system.

2003OCC and LaSalle Bank introduce ChicagoFIRST, an industry coalition that addresses home- land security and business continuity issues facing Chicago’s financial sector.

2006OCC launches its new risk management methodology called System for Theoretical Analysis and Numerical Simulations (STANS), which is used to calculate the margin requirement of its clearing members.

2010Standard & Poor’s licenses OCC to clear over-the-counter (OTC) options based on the S&P 500.

2011The Options Clearing Corporation revises its brand identity to OCC. A record 4.6 billion options contracts were traded, marking the first time options contracts surpassed 4 billion in a year.

2012OCC is designated as a Systemically Important Financial Market Utility (SIFMU) by the Financial Stability Oversight Council as part of the Dodd-Frank legislation.

2014Craig S. Donohue assumes the role of Executive Chairman.

OCC launches its over-the-counter (OTC) S&P 500® equity index option clearing services.

2016OCC is named 2016 Clearinghouse of the Year by both Global Investor/ISF Magazine and Futures & Options World.

In addition to serving as Executive Chairman, Craig S. Donohue also assumes the role of Chief Executive Officer.

OUR ORGANIZATION STRUCTURE

Board of Directors The Board is comprised of OCC’s Executive Chairman and CEO, Craig S. Donohue, plus a diverse representation from exchanges, clearing members and public directors. The Board is responsible for acting as a steward to make certain OCC has the critical capabilities necessary to achieve its objectives and obligations in a safe, sound, efficient and prudential manner.

Management Committee The Management Committee is comprised of the Office of the Executive Chairman, which includes OCC’s Executive Chairman and CEO, President and Chief Operating Officer and Chief Administrative Officer. The Management Committee also includes Executive Vice Presidents and Senior Vice Presidents responsible for executive leadership, strategic direction and risk oversight. This includes the creation and execution of corporate strategy, establishing an overall plan for value creation, monitoring and reviewing business performance, approval of operating policies and other matters.

Three Lines of Defense OCC’s departments are positioned under the “three lines of defense model” to maintain a resilient risk management and internal control environment. Operational, business and control departments are found within each line of defense.

The first line of defense consists of Operational and Business units. These teams are responsible and accountable for designing, operating and maintaining an effective internal control infrastructure comprising policies, standards, procedures and guidance that allows OCC to meet its service obligations. These teams own and are accountable for OCC’s internal control infrastructure and service outcomes.

The second line designs, implements and maintains an enterprise-wide risk management and compliance framework, along with tools to assess and manage risk and compliance at that level. These colleagues work with the first line to assess risk, establish policies and guidelines, and advise on processes. They monitor, assess and report on the first line’s effectiveness in managing risk and compliance and maintaining and operating a resilient control infrastructure.

The third line of defense is the Internal Audit team. Internal Audit is accountable for designing, implementing and maintaining a comprehensive assurance program. The group performs all activities in compliance with the Institute of Internal Auditors’ standards enshrined in the International Professional Practices Framework.

EMPLOYEE CHARITY PROGRAM

CHICAGO CHARITY

Marillac St. Vincent Family Services provides support to more than 8,000 at-risk children, families and seniors each year at Marillac Social Center on Chicago’s West Side and St. Vincent de Paul Center in Lincoln Park. For more than a century, Marillac St. Vincent Family Services has provided sanctuaries in the city, giving refuge to families facing poverty, violence, gang affiliation, unemployment, homelessness, isolation and an abiding lack of opportunity.

DALLAS/FORT WORTH CHARITY

Metrocrest Services is focused on assisting families, individuals and senior adults who are coping with crisis situations, need help stabilizing their lives, or who require support to live independently. Metrocrest’s services include rent and utility bill aid, financial and budgeting assistance and food.

As leaders and members of the Chicago and Dallas/Fort Worth communities, OCC has a responsibility to play an important role in those areas where our colleagues live and work. We have an obligation to be good corporate citizens, and our values of Stewardship and Integrity should carry over from the work we do in the financial markets to our neighborhoods.
