Shewaspresentedforswearing inbyaIorneyDougShepherd,andcompletedheroathbeforefriends,family,co-workersandmembersofthelegalcommunity.

Ms.PetersenisaWhatcomCountynaLve,whograduatedfromWhatcomCommunityCollegewithanAssociatesinScience-ParalegalStudiesdegreein1997, and became a Registered Paralegal (RP) in 2014 ader passing the PACE exam. She completed the LLLT Family Program at the University ofWashingtonSchoolofLawearlierthisyear,andisthefourthLLLTtobeadmiIedtotheBar.

Ms.PetersenbeganworkingwithShepherdandAbboIin2008. WSPA Vision Statement for 2020 The Washington State Paralegal Association is the regulatory and licensing body of paralegals in Washington State. The Washington State Paralegal Association will define standards of skill and competence for paralegals and legal assistants in Washington State. It has a reputation for being a welcoming, supportive professional organization. It offers opportunities to increase personal and professional growth through educational opportunities and social events. The Washington State Paralegal Association is highly regarded by the public, the media, and public policy makers as the voice of the profession. The Association is influential and politically effective.

Definition of a Paralegal – as defined by NFPA and WSPA

A Paralegal is a person, qualified through education, training or work experience to perform substantive legal work that requires knowledge of legal concepts and is customarily, but not exclusively, performed by a lawyer. This person may be retained or employed by a lawyer, law office, governmental agency or other entity or may be authorized by administrative, statutory or court authority to perform this work. Substantive shall mean work requiring recognition, evaluation, organization, analysis, and communication of relevant facts and legal concepts

WSPA is seeking motivated and energetic paralegals or paralegal students to fill WSPA management positions.

• Secretary

The Secretary is responsible for preparing meeting minutes from all Board meetings. The Secretary is also responsible for keeping all records for the association.

• East King County Chapter Director

• Snohomish County Chapter Director

• Spokane Chapter Director

• South King County Chapter Director

Chapter director positions are responsible for coordinating meetings in their designated areas, which includes arranging speakers and topics, selecting meeting location and marketing WSPA events. In addition, Chapter Directors are required to aDend quarterly Board meetings and write bi-monthly articles for the newsleDer. Chapter Directors should live or work in the area they represent.

• CLE Certification Coordinator

• Job Bank Coordinator

• Pro-Bono Coordinator

Being a coordinator is a great way to get involved with WSPA management. The coordinator positions are not mandatory Board positions so there is no requirement to aDend Board meetings. Though, it is highly recommended to aDend the meetings.

WashingtonSenateBill5030,whichwaspassedandconsideredbythe2015RegularSessionoftheWashingtonLegislature,willamendandreplacetheWashingtonLimitedLiabilityCompanyAct(the"Act")initsenLrety.ThebillwaspresentedtotheWashingtonLegislatureforconsideraLonattherequestoftheWashingtonStateBarAssociaLon.OnFebruary25,2015,thefirstsubsLtutebillofSenateBill5030wasunanimouslypassedbytheWashingtonStateSenate.OnApril16,2015,theWashingtonStateHouseofRepresentaLvesunanimouslypassedthebill.OnMay7,2015,GovernorJayInsleesignedthebillintolaw.TheeffecLvedateforthisnewlawisJanuary1,2016.

TheActwasfirstenactedin1994,andhasbeensubsequentlyamendedseveralLmes,mostrecentlyinthelastregularsessionoftheWashingtonLegislature.TherevisionsinSenateBill5030willineffectcreateanewandrevisedWashingtonLimitedLiabilityCompanyAct(the"NewAct").TheNewActwillbecomeChapter188ofthe2015Laws.

BelowisasummaryofsomeofthemajorchangesintheNewAct:

1. AllowanceofOralLimitedLiabilityCompanyAgreements.ThecurrentActrequiresaWashingtonlimitedliabilitycompanyagreementthatoverridesdefaultprovisionsoftheActtobeinwriLng.TheNewAct'sreviseddefiniLonofalimitedliabilitycompanyagreementwouldallowaWashingtonlimitedliabilitycompanyagreementtobe"oral,implied,inarecord,orinanycombinaLon."

TheNewActwouldallowanorallimitedliabilitycompanyagreement,aswellasawriIenagreement,tooverrideanyofthestatutorydefaultsoftheNewActotherthanthenonwaivablesecLons.TheonlyexcepLontotheallowanceofanorallimited

liability company agreement is that awriIen l imited l iabi l ity companyagreementwouldberequiredtolimittheapplicability of dissenters' rights to amerger.

2. L imited Liabi l i ty CompanyAgreement LimitaLons. The New Actspecifically outlines in one place thevarious default rules that cannot bevaried by a limited liability companyagreement, and eliminates the variousreferencesinthecurrentActto: "unlessotherwiseprovidedinthelimitedliabilitycompanyagreement."

3. EliminaLon of CerLficate ofFormaLon DesignaLon of Member-Managed orManager-Managed. Underthe current Act, a limited liabilitycompany's cerLficate of formaLon mustindicate whether the limited liabilitycompany ismanaged by itsmembers orby managers. The current Act alsorequires that a limited liability companyiniLalandannualreportstotheSecretaryof State idenLfy the limited liabilitycompany members or, if the limitedliability company is manager-managed,thecompany'smanagers.

TheNewActeliminatestherequirementthat the cerLficate of formaLon idenLfywhether the limited liability company ismember-managedormanager-managed.Under theNewAct, themanagementofthe limited liability company would beidenLfiedinthelimitedliabilitycompanyagreement.

4. N o S t a t u t o r y A p p a r e n tAuthority. The New Act removes thestatement of a managing member'sapparent authority for maIers in theordinarycourse.

5. Allowance of Board asManager.The current Act defines a limited liabilitycompany manager as a "Person"designated as a manager by the limitedliabilitycompanyagreement. ThecurrentdefiniLon of "Person" under the ActincludesseveraltypesofenLLes,butdoesnotincludeagroupofpersonssimilartoacorporaLon'sboardofdirectors.

T h e N ew A c t wou l d a l l ow t h emanagement of a limited liabilitycompanybyaboardofdirectors throughrevisingthedefiniLonofamanageras"aperson, or a board, commiIee or othergroup of persons" named or designatedby the l imited l iabi l i ty companyagreement as a manager of the limitedliabilitycompany.UndertheNewAct,ifamanager is a board or other group ofpersons, the fiduciary standards ofconduct would apply to each person intheboardorgroup.UndertheNewAct,ifthelimitedliabilitycompany'smanager isa board or other group of persons, nomember of the board would haveauthority, merely by virtue of being aboard member, to act individually onbehalfofthelimitedliabilitycompany.

6. Establishment of Standards ofConduct. TheActdoesnot currently setout any standards for members' ormanagers'manager’sfiduciaryobligaLonstothelimitedliabilitycompany. TheNewAct includes a new secLon outlining amanager's or managing member'sfiduciaryduLesof loyaltyandcaretothelimited liability company. This newsecLon of the New Act also outlinesprovisions for a limited liability companyagreement tomodify,expand, restrict,oreliminate the fiduciary duLes of amanagerormanagingmembers.

7. E l iminaLon of Profess iona lInsurance Requirement for ProfessionalLimited Liability Companies. Under thecurrent Act, a professional limited liabilitycompany whosemembers are required tobe licensed to pracLce their professionmust maintain professional liabilityinsurance for itself and itsmembers. TheNew Act would eliminate the insurancerequirement for professional limitedliabilitycompanies.

8. VoLng byMembers. The currentAct's default rule requiring memberapproval of acLons by vote or consent ofmembers contribuLng, or required tocontribute, more than 50% of the agreedvalue (as stated in the records of thelimited liability company) of contribuLonsmade or required to be made by allmembers. The New Act's default rulewould require amajority of themembers,i.e., per capita voLngonacLonby voteorconsentofmembers.

9. Outline of Unanimous VoLngRequirements.Thedefaultrulesofboththecurrent Act and the New Act include anumberofacLons that requireunanimousmemberapproval.TheNewActhasaddedalistinonesecLonofallacLonsforwhichthe default rules require unanimousmemberapproval.

10. Revisions to Member Access toRecords and InformaLon. The New Actwould provide rights for limited liabilitycompany members to access certainaddiLonal records not currently availableunder the Act, including accounLngrecords. Members' access to limitedliability company records would to similarto the shareholder access to recordsprovided in the current WashingtonBusinessCorporaLonAct.

11. AllocaLons of Profits and Losses.Under the current Act, profits and losses

The New Act provides a default rule fordistribuLons, based on the agreed value ofcontribuLons, but provides no default rule forallocaLngprofitsandlosses.

12. CerLficatesofExistence. TheNewActincludesprovisionstoauthorizetheWashingtonSecretary of State to issue cerLficates ofexistence for domesLc limited liability companyand cerLficates of authorizaLon for foreignlimited liability companies. These newprovisionssetforththecriteriafor issuanceandindicatethatsuchacerLficatemaybereliedonas conclusive evidence that the domesLc orforeign limited liability company is in existenceor is authorized to transact business inWashington.

13. Mergers and Personal Liability. A newapprovalrequirementformergerswasaddedtotheNewAct. Ifamemberofamerginglimitedliabilitycompanywillhavepersonalliabilitywithrespect to the surviving enLty, then for themergertobeapproved,themembermustsignaseparate wriIen consent to become subject tosuch liability. This requirement would be inaddiLon to the requirement for majoritymemberapprovalofthemerger.

14. EffecLve Date. The New Act specifiesaneffecLvedateof January1,2016. Followingthe effecLve date, theNewActwould apply toall limited liability companies formed inWashingtononoraderthatdateandto limitedliabilitycompaniesformedpriortothatdatebutwhich elect to have the provisions of the NewAct apply. Ader a transiLon period of sixmonths,theNewActwouldtakeeffectregardingall Washington limited liability companies,regardlessofwhetheranelecLonismade.

Definitions & Requirements Paralegal (NFPA Definition): A paralegal is a person qualified through education, training, or work experience to perform substantive legal work that requires knowledge of legal concepts and is customarily, but not exclusively, performed by a lawyer. This person may be retained or employed by a lawyer, law office, governmental agency, or other entity or may be authorized by administrative, statutory, or court authority to perform this work. Substantive shall mean work requiring recognition, evaluation, organization, analysis, and communication of relevant facts and legal concepts.

Membership Types – Regular Membership - $110: Any paralegal (see definition above) living or working in Washington with an associate or

bachelors degree and 24 semester hours in paralegal studies OR having a minimum of three year’s experience as a paralegal as defined by NFPA. Regular members are eligible to vote and hold office.

Student Membership - $50 (until January 15, 2015): Any student currently enrolled in a paralegal program and not eligible for regular or associate membership status. Student membership is limited to 3 years. Student members are eligible to vote and hold office.

Associate Membership - $110: Any paralegal living or working outside Washington, not currently practicing, or retired. Associate members are eligible to vote and hold office. CLE Credits: WSPA recognizes CLE credits are an important part of developing and maintaining one’s skills and abilities.

As such, all WSPA members are strongly encouraged to obtain 10 CLE credits annually. Individuals who earn 10 CLE credits in a membership year will be recognized in the WSPA newsletter Findings and Conclusions, and will be eligible for a 10% discount off the registration fee for one WSPA CLE of his/her choice during the following calendar year. CLE credits may be reported on the attached form.
