You can refer to the process diagram to see that the interested customer always has to complete a training session with the Service Training and Documentation department before the goods are delivered. The goods are delivered to the customer via the service workshop. On present vehicles (Travego, Citaro, Cito, TC 400), the bus customer’s sector can be covered very well using the onboard diagnosis fitted as standard. Off-board diagnosis (STAR DIAGNOSIS Basic) is only slightly improved in its customer version. Thoroughly advise the customers that everything can be diagnosed with the ON-board diagnosis without any additional costs! Downloads or flashes of electronic devices may only be conducted by authorised service partners using the STAR DIAGNOSIS for workshops. Furthermore, special training courses are required here and may only be attended by authorised service partners. ../2

The new ordering process for STAR DIAGNOSIS Basic for customers

As of 01.07.2001, we have changed the ordering process for bus customers and customerworkshops of STAR DIAGNOSIS Basic. The new process has become essential because the demandfor customer devices has significantly exceeded original plans.

Furthermore, the interests of all affected areas are taken into account in the new process.

The new process affects all current orders, i.e. the subsequent agreement of the areas affectedmust be assured in accordance with the following recording.Prices agreed at the time of ordering (before 01.07.2001) are not affected.As a rule, the order is received by the service workshop and forwarded to the parts centre in Ulm viathe SSN department. You can refer to the process diagram to see that the interested customeralways has to complete a training session with the Service Training and Documentation departmentbefore the goods are delivered. “Diagnosis EvoBus-customer” terms of delivery

1. ScopeAll services provided by EvoBus GmbH - hereinafter referred to as "EvoBus" - in relation to sales of the "DiagnosisEvoBus- customer" diagnosis systems to EvoBus customers – hereinafter referred to as "customer" - are based onthese terms. All agreements are to be made in writing. This also applies to supplementary agreements andassurances as well as subsequent amendments to contracts. The general terms and conditions of the customer donot form part of the contract - even if requests for tenders, orders, acceptance declarations have been added andthese have not been contradicted.

2. ObjectThe "Diagnosis EvoBus- customer" diagnosis systems consist of hardware - hereinafter referred to as "devices" -and software, hereinafter referred to as “programs", and services provided in conjunction with the devices.

3. Conclusion of contractThe customer is bound to the order for three weeks. The purchase contract is concluded once EvoBus hasconfirmed acceptance of the order in writing within this period.

4. Type and scope of servicesThe scope of service results from the contractual agreements. These contain the precise listing of devices,programs and services as well as the agreements inseparably related to this governing qualification, programextensions as well as the handover of product information.

5. Delivery5.1 Delivery dates and periods are binding once they have each been designated in writing as binding by the customer

and EvoBus, otherwise all delivery dates or periods are not binding.5.2 If non-compliance with a date or period can be traced back to an unforeseeable event which could not be

influenced by EvoBus, the date or deadline is extended by an appropriate period of time. In the event of postponeddelivery, the customer is entitled to terminate the contract in question free of charge once an appropriateadditional period has passed without delivery.

5.3 If EvoBus is deemed negligent for postponed deliveries, EvoBus compensates the customer for the damageincurred. This amounts to up to 0.5 % of the price of the delayed delivery per week of the delay, however this sumwill not exceed 5%. This also applies to instances of slight negligence for the delay, however compensation is notare paid out in this instance for profits lost and usage time lost.

5.4 EvoBus is entitled to conduct the services to be provided in sub-services provided that this is deemed reasonableby the customer.

6. Reservation of proprietary rightsOwnership of the devices is only handed over to the customer once the total price has been paid in full and allother requirements related to this system contract have been satisfied. The reservation of proprietary rights alsoextends to any substitute deliveries.

7. Usage rights and contractual penalties7.1 The customer is committed to only using the "Diagnosis EvoBus- customer" diagnosis systems, including programs,

accessories, operating manuals and other forms of documentation for in-house purposes and not to allow these tobe used by third parties.The customer is to ensure that the programs and documentation are not made accessible to third parties withoutthe prior written consent of EvoBus. Copies must not be made. Furthermore, confidentiality should be maintainedwith regard to all information relating to the specified programs and documentation.The customer is granted a non-exclusive and non-transferable usage right for the internal use of the programs inthe third party software handed over and the associated documentation and subsequent supplements. All otherrights to the programs and documentation, including subsequent supplements are reserved by EvoBus or theoriginal software supplier.

7.2 If a "Diagnosis EvoBus- customer" diagnosis system or programs falls into the hands of a third party, regardless ofwhether the customer has forwarded it or whether the customer has not ensured that system is not madeaccessible to third parties, a contractual penalty amounting to DM 35 000 is to be paid to EvoBus. Claims forcompensation for damages taking the contractual penalty into account are not affected by this.

8. Warranty for devices and programs8.1 The warranty for devices begins at the time when the devices are delivered to the customer. The warranty period

for hardware (not including connection cable) is 24 months. EvoBus is committed to repair or exchange (and is freeto choose between the two) faulty devices. If requested by EvoBus, faulty device components should be returned bythe customer and removal and installation work will be conducted. The customer is invoiced for transport costs,customs duties, taxes and other deductions.

8.2 EvoBus guarantees that the programs have been written with the necessary level of care and specialist knowledge.Nevertheless, errors in the programs cannot be completely ruled out in accordance with the current state oftechnology. EvoBus will correct program errors which do not significantly impede correct usage. This will be donein a manner selected by EvoBus and depending on the significance of the error either by delivering an improvedprogram version or by providing information on how to rectify or avoid the consequences of the error.

8.3 If the improvement to the devices supplied or new program versions fail, the customer is entitled to demand areduction in the purchase price or compensation or to withdraw from the contract free-of-charge. The customergrants EvoBus the time and opportunity required and judged appropriate to rectify any deficiencies. If the customerrefuses to grant this, EvoBus is exempt from warranty. Responsibility for selecting the program functions, usageand the results thereby attained lies with the customer.

8.4 Any claims for warranty cease to apply if any defect is caused by the fact that the customer or a third party hasaltered, incorrectly used or repaired the device without the consent of EvoBus or has not installed, operated andmaintained devices and programs in accordance with EvoBus’s guidelines and the defect has not presented itselfimmediately.

8.5 If the customer reports an error and EvoBus proves that it is not a warranty scenario, the cost for troubleshootingand if necessary error rectification are charged to the customer.

9. LiabilityThe following liability rulings apply to the liability of EvoBus as well as to the personnel liability of its staff, aidsand other workers – no matter what the legal reasoning:

9.1 EvoBus is liable for damage to persons and property caused by slight negligence up to a flat rate of 2 million anddamage to assets of up to DM 100 000 , per instance of damage; per year and not exceeding twice these figures.

9.2 The aforementioned liability restrictions do not apply if EvoBus is subject to compulsory statuary liability, e.g. inaccordance with the law governing product liability.

9.3 The customer is obliged to immediately report in writing or allow EvoBus to record damage and losses for whichEvoBus is responsible.

9.4 If claims for damages are raised against EvoBus, its staff, aids or other workers as a result of slight negligence,these lapse within one year of the claim being lodged

10. TransferThe customer may only transfer the rights and obligations resulting from the contract with the prior writtenconfirmation of EvoBus.

11. Prices/conditions of payment11.1 The prices are understood to be net, plus the sales tax valid at the time at which rental is due. The cost of dispatch

is added to this.11.2 EvoBus is entitled to charge interest amounting to 5% p.a. above the basic rate of interest announced by the

Federal Bank of Germany if payment is late.11.3 The customer can only charge against claims lodged by EvoBus if the counter requirement is undisputed by the

customer or is enforceable by law.

12. Site of fulfilment, court of jurisdiction and applicable lawThe site of fulfilment and the court of jurisdiction is Stuttgart. The contract is subject to German law. The UnitedNations agreement, dated 11.04.1980, governing contracts on the international sales of goods (CISG) cannot beapplied.

The enclosed “Diagnosis EvoBus customer” terms of delivery have been noted and accepted by the undersigned. Theundersigned confirms that his/her purchasing terms, if available, will not be applied.

Purchase model for bus customers

The STAR DIAGNOSIS purchase model may only be used in the bus sector.

Vehicle-specific amendments (e.g. amending parameters) cannot be conducted.

Intervention into STAR DIAGNOSIS hardware and software is not permitted.

The STAR DIAGNOSIS purchase model is only intended for bus customers, trading or forwarding goods to third parties is not permitted.

Only a service workshop is entitled to order a STAR DIAGNOSIS for their bus customers.

Only the consent of the service workshop and counter inspections by SSN-SN will trigger the internal EvoBus ordering process and thereforemake the purchase contract effective.

The right of the bus customer to purchase such goods is confirmed in writing by the service workshop once inspections are complete.

Special ruling

Special rulings and waivers from the official order form require the written consent of SSN

Training/training sessions

The STAR DIAGNOSIS purchase contract does not in clue to the "Troubleshooting with STAR DIAGNOSIS" training session.

This training session or appropriate training should be talked separately and independently of the STAR DIAGNOSIS purchase contract.

A STAR DIAGNOSIS is only supplied to customers who can provide evidence that they have attended such a training session.
