BUSINESS AND FINANCE

1.1 Board Secretary's and Treasurer's Report

On motion made and passed, the Board of Education accepted the report of the School Business Administrator/School Board Secretary (148) as certified in keeping with N.J.A.C. 6:20-2.2.13(d) and the report of the Treasurer of School Monies (A149) for the month of March 2020, as presented by the Superintendent of Schools, and found them in agreement and upon review certified them to the best of their knowledge and no major account or fund had been over expended in violation of N.J.A.C. 6:20-2.14(b) and that sufficient funds were available to meet the District’s financial obligations set for the remainder of the Fiscal Year N.J.A.C. 6:20-2.13(e) and on this basis ordered them as part of

the minutes of the Board of Education. In keeping with the aforementioned approval, this Board does hereby also approve the submission of the March 2020, Secretary and Treasurer Reports to the N.J. Department of Education, Division of Finance, Office of Budget Review and Fiscal Monitors. 1.2 Approval of Minutes BE IT RESOLVED, that the West New York Board of Education approves the minutes the following meetings:

BE IT RESOLVED, that the West New York Board of Education does hereby accept the paid bill lists as presented by the Superintendent of Schools: April 9, 2020 to May 04, 2020: 1.4 Transfers BE IT RESOLVED, that this Board of Education, upon the recommendation of the Superintendent of Schools, authorizes the following line item transfers and certifies that the proposed transfer(s) will not affect implementation

1.5 Safety Grant Application Submission - 2020-2021 WHEREAS, pursuant to the New Jersey Schools Insurance Group Application for 2020-2021 Safety Grant Program, safety grant applications are due June 1, 2020,

WHEREAS, pursuant to same, grant disbursements will take place in the fall of 2020, THEREFORE BE IT RESOLVED, that the West New York Board of Education, upon the recommendation of the Superintendent of Schools, hereby approves the submission of the above-referenced grant application through the New Jersey Schools Insurance Group’s ERIC North Subfund for the purpose described in the application in the amount of $20,936.74 for the period July 1, 2020 through June 30, 2021.

1.6 Borrow Funds WHEREAS, the West New York Board of Education, in anticipation of an annual notice from the New Jersey Department of Education advising this Board that it will defer the June, 2020 school aid payments until July, 2020, and WHEREAS, under the authority of Title 18A, Education, of the New Jersey Statutes, N.J.S.A. 18A:22-44.1, 18A:22-

44.2 or 18A:22-25, school districts are hereby authorized to borrow funds for this purpose, and WHEREAS, the payoff of the approved short-term borrowing will be made by the state to the district’s regular state aid account from the district’s state aid payment on July 9, or 10, 2020, and WHEREAS, the state should pay the interest cost approved by the department directly to the district’s regular state

aid account, and

WHEREAS, in order to ensure the continuing effective operation of the district, the district is required to borrow said funds.

BE IT RESOLVED, this resolution permitting the borrowing of funds and submission of an Application for Approval of Loan to the Hudson County Executive Superintendent of Schools is herewith submitted, and

NOW THEREFORE, BE IT RESOLVED, the West New York Board of Education hereby resolves to borrow $1,822,942.00 from CAPITAL ONE PUBLIC FUNDING LLC., at 2.50% interest to be deposited on Wednesday, June 8, 2020. Both principal and interest are to be paid by the State of New Jersey to CAPITAL ONE PUBLIC FUNDING LLC., on Friday, July 10, 2020 (principal $1,822,942.00 plus interest of $4,050.98 for total of $1,826,992.98) or Monday,

July 13, 2020 (principal $1,822,942.00 plus interest of $4,430.96 for a total of $1,827,372.76). 1.7 Shared Services Agreement - Use of WNY Middle School 2020 – 2021 WHEREAS, the Town of West New York requires facilities for its community services programs; and

WHEREAS, the West New York Board of Education has facilities which currently accommodate the Town of West New York’s community service programs; and WHEREAS, the Board no longer needs the exclusive use of its Middle School for said Town programs, provided that

such Town programs do not interfere with the Board’s educational and other programs or cause any undue hardship or expense to the Board’s operations; and

WHEREAS, the Town has entered into an agreement for a period of one (1) year with the Board for the use of the aforementioned facility for its community services programs; and WHEREAS, N.J.S.A. 40A:65-4 et seq. allows the Town and the Board to enter into a shared service agreement for the use of the aforementioned facility by the Town.

NOW THEREFORE, BE IT RESOLVED, that the Board authorizes the Board President to execute a shared services agreement with the Town for the aforementioned services pursuant to the attached shared services agreement for the 2020-2021 school year. 1.8 Shared Services Agreement - Blackboard Connect 2020 – 2021 WHEREAS, the Town of West New York requires the use of the West New York Board of Education’s blackboard

connect system in order to communicate with participants in Recreation Department Programs; and WHEREAS, the West New York Board of Education has the capability to permit the WNY Recreation Department to utilize the blackboard direct system; and WHEREAS, the Town has entered into an agreement for a period of one (1) year with the Board for the use of the

aforementioned system for its Recreation Program; and WHEREAS, N.J.S.A. 40A:65-4 et seq. allows the Town and the Board to enter into a shared service agreement for the use of the aforementioned system by the Town. NOW THEREFORE, BE IT RESOLVED, that the Board authorizes the Board President to execute a shared services agreement with the Town for the aforementioned services pursuant to the attached shared services agreement for

the 2020-2021 school year.

1.9 Shared Services Agreement - Police Officers 2020 – 2021 WHEREAS, the West New York Board of Education requires full time police officers and a supervisor to be stationed at District school buildings for the purpose of security (“Services”); and

WHEREAS, the Town of West New York is able to provide the Board with such Services; and WHEREAS, it is in the best interest of the Town and the Board to enter into this Agreement; and WHEREAS, N.J.S.A. 40A:65-4 et seq. allows the Town and the Board to enter into a shared service agreement for the costs of such Services.

NOW THEREFORE, BE IT RESOLVED, that the Board authorizes the Board President to execute a shared services agreement with the Town for the aforementioned Services pursuant to the attached shared services agreement for the 2020-2021 school year.

1.10 Shared Services Agreement - Town of West New York Transportation Service 2020 – 2021 WHEREAS, the West New York Town of West New York requires the use of a bus to provide transportation for

residents; and

WHEREAS, the West New York Board of Education owns buses which may be utilized to transport residents of the Town of West New York and employees drivers capable of operating passenger buses; and WHEREAS, the Town has requested that the Board provide the Town with a passenger bus and 2 (two) operators for said bus for the purposes of transporting residents for the limited purposes contained in the shared services

agreement, which is attached; and WHEREAS, the Town has entered into an agreement for a period of one (1) year with the Board for use of a bus and 2 (two) operators of said bus; and WHEREAS, N.J.S.A. 40A:65-4 et seq. allows the Town and the Board to enter into a shared service agreement for the use of the aforementioned bus and operators by the Town.

NOW THEREFORE, BE IT RESOLVED, that the Board authorizes the Board President to execute a shared services agreement with the Town for the aforementioned services pursuant to the attached shared services agreement for the 2020-2021 school year.

1.11 Shared Services Agreement - Waste Disposal 2020 – 2021

WHEREAS, the Board requires removal of refuse from its facilities which it owns and/or maintains in and throughout the Town; and WHEREAS, the Town has the ability to provide the Board with removal of said refuse; and WHEREAS, N.J.S.A. 40A:65-4 et seq. allows the Town and the Board to enter into a shared service agreement with

the Town to provide for the removal of waste from Board facilities. NOW THEREFORE, BE IT RESOLVED, that the Board authorizes the Board President to execute a shared services agreement with the Town for the aforementioned services pursuant to the attached shared services agreement for the 2020-2021 school year. 1.12 Shared Services Agreement - Fuel 2020 – 2021

WHEREAS, the West New York Board of Education requires fuel for its school buses and other school vehicles; and WHEREAS, the Town of West New York can provide to the Board at a reasonable cost based upon volume purchasing by both the Town and the Board; and

WHEREAS, it is in the best interest of the Town and the Board to enter into this Agreement; and WHEREAS, N.J.S.A. 40A:65-4 et seq. allows the Town and the Board to enter into a shared service agreement for the costs of fuel for school buses and other school vehicles. NOW THEREFORE, BE IT RESOLVED, that the Board authorizes the Board President to execute a shared services agreement with the Town for the aforementioned Services pursuant to the attached shared services agreement for

the 2020-2021 school year.

1.13 Shared Services Agreement - Bus Garage Juvenile Division 2020 – 2021 WHEREAS, the Town of West New York requires facilities for its juvenile division; and WHEREAS, the West New York Board of Education has facilities which currently accommodate the West New York

Police Department Juvenile Division; and WHEREAS, the Board no longer needs the exclusive use of its garage located at 417 53rd Street, West New York, NJ; and WHEREAS, the Town has entered into an agreement for a period of one (1) year with the Board for the use of the

aforementioned facilities for its West New York Police Department Juvenile Division; and WHEREAS, N.J.S.A. 40A:65-4 et seq. allows the Town and the Board to enter into a shared service agreement for the use of the aforementioned facility by the Town.

NOW THEREFORE, BE IT RESOLVED, that the Board authorizes the Board President to execute a shared services agreement with the Town for the aforementioned services pursuant to the attached shared services agreement for the 2020-2021 school year.

1.14 Shared Services Agreement - Maintenance of Fields and Parks 2020 2021

WHEREAS, the West New York Board of Education requires property and facilities for its educational and athletic activities; and WHEREAS, the Town owns Recreational Areas known as Donnelly Park, located on Boulevard East, West New York,

New Jersey; Miller Stadium; Washington Park, Soccer Field; and the tennis courts currently part of the Recreation Department of the Town which have been utilized by the Town for recreational purposes; and WHEREAS, the Town no longer needs the exclusive use of these parks and the aforementioned fields; and WHEREAS, the Town has entered into an agreement for a period of one (1) year with the Board for the maintenance and preparation of the aforementioned facilities for its educational and athletic activities; and

WHEREAS, N.J.S.A. 40A:65-4 et seq. allows the Town and the Board to enter into a shared service agreement for the use of the aforementioned Facilities by the Board.

NOW THEREFORE, BE IT RESOLVED, that the Board authorizes the Board President to execute a shared services agreement with the Town for the aforementioned services pursuant to the attached shared services agreement for

the 2020-2021 school year. 1.15 Shared Services Agreement - Use of Recreational Facility 2020 – 2021 WHEREAS, the West New York Board of Education requires property and facilities for its educational and athletic activities; and

WHEREAS, the Town of West New York owns recreational areas known as Donnelly Park; Miller Stadium; Miller Park; Washington Park, Centennial Fields; the field commonly known as Little League Field; Wiegand Park; and Tennis Courts at McEldowny Park, (“Facilities”) currently part of the Recreation Department of the Town which have been utilized by the Town for recreational purposes; and WHEREAS, the Town no longer needs the exclusive use of these parks and the aforementioned fields; and

WHEREAS, N.J.S.A. 40A:65-4 et seq. allows the Town and the Board to enter into a shared service agreement for the use of the aforementioned Facilities by the Board. NOW THEREFORE, BE IT RESOLVED, that the Board authorizes the Board President to execute a shared services agreement with the Town for the aforementioned services pursuant to the attached shared services agreement for the 2020-2021 school year.

1.16 Authorize Payment - Cenergistics, Inc. (3rd renewal) - contract year 4 of 5 WHEREAS, the West New York Board of Education is interested to continue enhancing operational efficiencies in energy usage throughout the district; and WHEREAS, the West New York Board of Education, at its June 7, 2017 Board Meeting awarded a multi-year

contract to Cenergistics Inc. ("Agreement"), for the provision of energy management services for a Behavioral Energy Savings Program at existing facilities for a period of up to 5 years, pursuant to N.J.S.A. 18A:18A-4.2; and

WHEREAS, this Board of Education is desirous of extending the term of the Agreement for a one (1) year term (3rd renewal) representing the 2019-2020 school year, (contract year 4), as the Board finds that the services of Cenergistics Inc., are being provided in an efficient and effective manner, the cost of the additional term at $254,850, which are anticipated to be offset by energy cost savings (including Company's Saving's Guarantee, as

applicable) NOW, THEREFORE, BE IT RESOLVED, this Board authorizes extends the Agreement with Cenergistics Inc., for the 2020-2021 school year at a cost of $254,850 for continued provision of energy management services. 1.17 Contract Renewal - 2020-2021 Elevator Maintenance, Inspection & Repair Services (2nd renewal,

WHEREAS, the Board finds that the services are being performed in an effective and efficient manner.

WHEREAS, in full accordance with N.J.S.A. 18A:18A-42, the Board of Education may, at its discretion, request that a contract for services be renewed; and WHEREAS, the School Business Administrator may negotiate terms for a renewal of contract proposal and present

such negotiated proposal to the Board of Education; and WHEREAS, all multi-year contracts and renewals are subject to the availability and appropriation annually of sufficient funds as may be needed to meet the extended obligation; and WHEREAS, the Business Office finds that sufficient funds are available to meet the extended obligation; and

1.18 Contract Renewal - 2020-2021 Food Services : Nu-Way (4th renewal: Contract Year 5 of 5) BE IT RESOLVED, that the West New York Board of Education has received written notification from the firm of Nu

Way Concessionaires, Inc., of Kearny, New Jersey indicating their desire to enter into the 4th (fourth) Renewal (contract year 5 of 5) of their contract for Food Service Management with the West New York Board of Education for

the period July 1, 2020 through June 30, 2021 as per the terms and conditions of the contract and incorporated herein by reference; and BE IT FURTHER RESOLVED that the West New York Board of Education, based on the recommendation of the Superintendent awards the Food Service Management services to Nu-Way Concessionaires for the 2020-2021 school year as follows:

2020-2021 AWARD The Food Service Management Company shall receive, in addition to the costs of operation, a Management Fee of $0.087 per reimbursable meal and meal equivalents and an Administrative Fee of $44,400.00, paid in ten (10) monthly installments of $4,440.00 from September 2020 through June 2021 to compensate the Food Service Management Company for management and administrative costs. These fees shall be billed monthly as a cost of operation. The Local Education Agency guarantees the payment of such costs and fee to the Food Service

Management Company.

WHEREAS, the West New York Board of Education, on June 27, 2018 extended the contract it awarded to Chemsearch at its June 7, 2017 Board Meeting, to cover 2018-19 school year (second contract extension), for provision of: a) grease trap cleaning and maintenance services, and b) boiler cleaning and maintenance services WHEREAS, the Board finds that the services are being performed in an effective and efficient manner, and WHEREAS, the Board requires the above-mentioned services to be performed during the 2019-20 school year, and

WHEREAS, all multi-year contracts and renewals are subject to the availability and appropriation annually of sufficient funds as may be needed to meet the extended obligation; and WHEREAS, the Business Office finds that sufficient funds, and

WHEREAS, the Board is the final authority in awarding renewals of contracts; and are available to meet the extended obligation; and

WHEREAS, the West New York Board of Education publicly solicited Requests for Proposals / Qualifications for Grant Writing Services for May 5, 2020 pursuant to NJSA 19:44A-20.5 and the open and fair process; and WHEREAS, this Board of Education has received a written proposal from the firm Bruno Associates, indicating the desire to provide Grant Writing Services for the period July 1, 2020 to June 30, 2021, as per the terms and

2020-2021 fiscal year for an amount not to exceed $49,999.92 for the school year ($4,166.66 per month) 1.29 Qualifying Professional Services - Applied Behavior Analysis Consulting Services: 2020-2021 WHEREAS, the West New York Board of Education places the public trust above all else and remains steadfast in

its commitment to the highest ethical standards in the conduct of its business; and

WHEREAS, the Board has recurring needs for Applied Behavior Analysis Consulting ("ABAC") professional services for the 2020-2021 school year; and WHEREAS, professional services such as above are exempt from the Public Bidding statutes NJSA 18A:18-5 et seq.; and

WHEREAS, the Board is desirous to utilize a publicly advertised Request for Qualifications (“RFQ”) process to

create a pool of qualified ABAC Services professionals for use by the District for the year 2020-21; and

WHEREAS, in furtherance of the above-referenced standards and objectives, the West New York School District

instituted a competitive quality based, fair and open process, whereby on April 20, 2020 it publicly solicited for ABAC Services Requests for Proposal/Qualifications documents to be submitted by May 5, 2020, in accordance with N.J.S.A. 19:44A20.4 and 20.5 et seq. and the open and fair process; and

WHEREAS, this Board of Education has received a written proposal from various firms indicating the desire to provide Professional ABAC Services for the July 1, 2020 to June 30, 2021 period, as per the terms and conditions of the proposal incorporated herein by reference; and

WHEREAS, the Board President has caused to establish a three Board Member appointed RFP/RFQ/Competitive Contracting ("RFP / RFQ Committee") committee to analyze and evaluate submitted proposals and to make a recommendation for contract awards, and WHEREAS, this RFP / RFQ Committee has evaluated each Statement of Qualifications submitted, as per the terms of the RFQ, to determine responsiveness to the Board;s needs and made its recommendation, on the basis of

qualifications, price and other factors, to qualify professional firms based upon their expertise in the field, thereby establishing a Pool of Qualified Professional Service providers (ABAC Services) for use by the District as necessary, and other work as required, and NOW THEREFORE, BE IT RESOLVED, that upon the recommendation of the Board's RFP / RFQ Committee, and with approval from the Board Attorney, this Board authorize establishing a pool of qualified

Professional ABAC Service providers consisting of the following firms, in al[phabetical order: - Cumberland Therapy Services_ - Delta - T_________ - Progressive Therapy of NJ_________

BE IT FURTHER RESOLVED, that at the Board’s sole discretion, and on the basis of demonstrated competence and qualifications, Projects will be assigned to firms selected for the pool on a project-by–project basis - firms in

the pool are not guaranteed to be assigned any minimum number of projects; and

BE IT FURTHER RESOLVED, that the West New York Board of Education reserves the right to make project assignments all at once, or as each project is activated in the future, whichever is in the best interest of the Board, with fee negotiations not occurring until the most highly qualified firm is selected from the pool for a particular project assignment. 1.30 Qualifying Professional Services - Nursing (1-to-1, Substitute): 2020-2021

instituted a competitive quality based, fair and open process, whereby on April 20, 2020 it publicly solicited for OT | PT Services Requests for Proposal/Qualifications documents to be submitted by May 5, 2020, in accordance with N.J.S.A. 19:44A20.4 and 20.5 et seq. and the open and fair process; and

WHEREAS, this Board of Education has received a written proposal from various firms indicating the desire to provide Professional OT | PT Services for the July 1, 2020 to June 30, 2021 period, as per the terms and conditions of the proposal incorporated herein by reference; and

a pool of qualified Speech Therapy Services professionals for use by the District for the year 2020-2021 and

2.5 Educere BE IT RESOLVED, that the West New York Board of Education, upon the recommendation of the Superintendent of Schools, approves Educere, a leading K-12 virtual education services organization, to provide our high school students Credit Recovery courses during the summer of 2020 at no cost to the district.

2.7 2020-2021 NJCAP Application Submissions

WHEREAS, The NJ Child Assault Prevention (CAP) Project is a statewide prevention program whose mission is to provide schools and communities with information and resources to reduce children’s vulnerability to assault and bullying. NJCAP, a program of the Educational Information and Resource Center (EIRC) and the NJ Department of Children and Families, has trained over 3 million children and 500,000 parents and teachers since its inception in 1985.

THEREFORE, BE IT RESOLVED, that the Board of Education of West New York, upon the recommendation of the Superintendent of Schools, hereby approves the submission of the following NJCAP grants for the following schools and for the 2020-2021 school year will adhere to all NJCAP program requirements as identified in the application forms. Workshops will be delivered to students in each classroom during the school day. Teacher workshops will be delivered during one of the pre-scheduled in-service days. Parents will be invited to workshops in collaboration with the appropriate parent-teacher organizations at each participating school.

2.12 Online Learning Resources

WHEREAS, Board policy and regulation 2361 provides “the Board recognizes technology allows pupils access to

information sources that have not been pre-screened by educators using Board approved standards. The Board

therefore adopts the following standards of conduct for the use of computer networks and declares unethical, unacceptable, or illegal behavior as just cause for taking disciplinary action, limiting or revoking network access privileges, and/or instituting legal action.”

WHEREAS, the Superintendent is the Board’s chief professional educator and through policy and regulation has required the Superintendent to develop standards for the use of technology resources.

NOW, THEREFORE BE IT RESOLVED, that this Board authorizes the Superintendent of Schools, or designee, to analyze, vet and approve all technology resources utilized in the District by teachers, specialists or others providing instruction to District pupils which will be used by said instructors or by pupils consistent with this Board’s policies and regulations, including, however not limited to, the attached list.

(a) WHEREAS, this Board is in receipt of correspondence from Linda Carroll, submitting her resignation/retirement as Resource Room Teacher at PS#2, from the West New York School District, effective June 30, 2020.

(b) BE IT RESOLVED, this Board grants Employee ID#3261, a leave of absence with pay under the Family Medical Leave Act (FMLA) from June 1, 2020 through June 30, 2020; and a leave of absence without pay under the NJ Family Leave Act (NJFLA) from September 1, 2020 through November 30, 2020, upon the recommendation of the Superintendent of Schools. 6.3 12 Month Child Study Team Appointments

WHEREAS, Josemely E. Fernandez, Clarissa Herrera, Mariely Manresa and Crismely Mordan were 10 month employees; and

WHEREAS, pursuant to the Collective Bargaining Agreement between West New York Board of Education and West New York Education Association (“CBA”) for the period of 2019 through 2022 and whereby said employees voluntarily accept a 12 month position per the terms of the CBA

NOW, THEREFORE BE IT RESOLVED, that the Board of Education approves the transfer of said employees to 12

month positions and further approves these employees will retain their seniority and accrued tenure with this transfer, where applicable. 6.4 Unrecognized Titles WHEREAS, as recommended by the Superintendent of Schools, the West New York Board of Education has

professional staff serving in administrative and/or supervisory positions in unrecognized titles needed on a continuous basis, and
