CONDITIONS OF SALE FOR BUYERS

1.Thehighestbiddershallbethepurchaser,subjecttotheauctioneerhaving the right to refuse the bid of any person. Should any disputeariseastothebiddingsthelotindisputewillbeimmediatelyputupforsaleagainattheprecedingbidding,ortheauctioneermaydeclarethepurchaser,whichdeclarationshallbeconclusive.

2.Nopersonshalladvancelessatabidthanthesumnominatedbytheauctioneerandnobidmayberetracted.

3.Alllotsaresoldsubjecttotherightofthesellerorhisagenttobidorelsetoimposeareserve.

7.Webb’sactasagents.Theyhavefulldiscretiontoconductallaspectsofthesaleandtowithdrawanylotfromthesalewithoutgivinganyreason.

11.IfapurchaserfailseithertopayforortakeawayanylotWebb’sshallwithout further notice to the purchaser, at its absolute discretion andwithoutprejudicetoanyotherrightsorremediesitmayhave,beentitledtoexerciseoneormoreofthefollowingrightsorremedies:(a)Toissueproceedingsagainstthepurchaserfordamagesforbreachofcontract(b)Torescindthesaleofthatoranyotherlotsoldtothepurchaseratthesameoranyotherauction.(c)Toresellthelotbypublicorprivatesale.Anydeficiencyresultingfromsuch resale,aftergivingcredit to thepurchaser foranypartpayment,togetherwithallcostsincurredinconnectionwiththelotshallbepaidtoWebb’sbythepurchaser.Anysurplusovertheproceedsofsaleshallbelongtothesellerandinthisconditiontheexpression“proceedsofsale”shallhavethesamemeaninginrelationtoasalebyprivatetreatyasithasinrelationtoasalebyauction.(d)Tostore the lotwhetheratWebb’sownpremisesorelsewhereatthesoleexpenseofthepurchaserandtoreleasethelotonlyafterthepurchasepricehasbeenpaidinfullplustheaccruedcostofremoval,storage,insuranceandallothercostsconnectedtothelot.(e)TochargeinterestonthepurchasepriceataratetwopercentaboveWebb’sbankers’thencurrentrateforcommercialoverdraftfacilities,totheextentthatthepriceoranypartofitremainsunpaidformorethansevendaysfromthedateofthesale.(f) To retain possession of that or any other lot purchased by thepurchaseratthatoranyotherauctionandtoreleasethesameonlyafterpaymentofallmoneydue.(g)ToapplytheproceedsofsaleofanylotthenorsubsequentlyduetothepurchasertowardssettlementofmoneyduetoWebb’soritsvendor.Webb’s shall be entitled to a possessory lien on any property of the

purchaserforanypurposewhileanymoneyremainsunpaidunderthiscontract.(h)ToapplyanypaymentmadebythepurchasertoWebb’stowardsanymoneyowingtoWebb’sinrespectofanythingwhatsoeverirrespectiveofanydirectivegiveninrespectof,orrestrictionplacedupon,suchpaymentbythepurchaserwhetherexpressedorimplied.

12. Bidders deemed principals. All bidders shall be held personallyandsolely liable forallobligationsarisingfromanybid, includingboth‘telephone’and‘absenteebids’.AnypersonwishingtobidasagentforathirdpartymustobtainwrittenauthoritytosodofromWebb’spriortobidding.
