BFT SpA WARRANTY GENERAL TERMS AND CONDITIONS

1. BFTSpA(VATRegistrationNo.00867710246),registeredoffice inSchio(Vicenza)atviaLagodiVico44,(hereinafter“BFT”),declaresandguaranteesthattheproductsmarketedbyBFThavebeenmadeinfullcompliancewithapplicablenationalandinternationalregulations.

2.RegardingtheeffectivedateanddurationofthewarrantyprovidedbyBFT,apartfrominthecaseofexplicitandspecificexclusions,e.g.forparkingsystems,pleaserefertotheregulationsconcerningtheseller’swarrantyapplicableatthetimethattheproductsweresoldbyBFT.Inparticular, the relevant statutoryprovisionsshall explicitly apply, onthebasisofwhichthewarrantyisvalidfor(a)twenty-four(24)monthsfromthedateofdeliveryoftheproduct,asdemonstratedbyproofofpurchase, if thepurchaseruses theproduct forpurposesunrelatedto their business, commercial or professional activities (withoutprejudicetothetwo-monthperiodfromthediscoveryofadefectforthepurposesofreportingit);or(b)twelve(12)monthsfromthedateofdeliveryoftheproduct,asdemonstratedbyproofofpurchase, ifthe purchaser purchases the product for purposes related to theirbusiness, commercial and professional activities (without prejudice,pursuanttoArticle1495ofthe ItalianCivilCode,totheforfeitureofthepurchaser’srighttothewarrantyintheeventoffailuretoreportthe defect within eight (8) days of discovery). On request, a copyof the proof of purchase must be shown/issued to the authorisedserviceengineers.Thewarrantyconditionsshallnotapplyinanywaywhatsoeverinthetotalorpartialabsenceofthisdocumentation.

3.All BFT products purchased can/must be registered on the sitewww.bft-automation.com

4.BFTguaranteestheintegrityandfunctionalityoftheproductsatthetimeofdelivery; theWarrantyonly coversaproduct thathasbeenproperly installedandused.Thewarranty covers the restorationofmaterialsacknowledgedasbeingdefectiveduetoirregularitiesintheproduction process to their original state of conformity by meansof repair or replacement free of charge. “Free of charge” refers tothe essential costs required to return the aforementioned goods toconformity. For further information, please refer to the appropriatesectionofthesitewww.bft-automation.com.

5.However, it remains understood that, without prejudice to therequirements of the mandatory statutory provisions, BFT will notconsiderflaws/defects of the sold product for the purposes of thewarrantyif:•thefailuresandmalfunctionsresultfromtheincorrectinstallationoftheproduct;• the failures andmalfunctions have been caused by a system notinstalledinaccordancewiththeinstructionssuppliedbythecompany;•thedamageandmalfunctionsarecausedbytheuseofreplacementparts and accessories which are not original BFT parts for theinstallationofthedriver;• the damage and malfunctions are the results of disassembly,tamperingorimproperrepairscarriedoutbyunauthorisedpersonnel;•thedamageandmalfunctionshavebeencausedbytheimproperorincorrectuseoftheproductbythepurchaserwhichisnotcompliantwiththeinstructionssuppliedbyBFT;•anydamage(scratchesanddentsetc.)arecausedtotheproductbytransportdamage;•theproductdamageandmalfunctionsoriginatefromthepurchaser’sinsufficientor unsuitable electrical,wateror compressedair supplysystems, or in the case of anomalies caused by environmentalconditions,climaticorothernaturalconditions;• the product failures andmalfunctions are caused by total and/orpartialdismantlingof theproductbyunauthorizedpersonneland/ororganisations;•thenormalwearandtearoftheproduct.• the causes of the failure, malfunctions and damages are due toexternal agents such as electrical discharges, tampering includingaccidentaltampering, impacts includingaccidental impacts,exposureto humidity or steam, use in extreme environmental or thermal

conditions,floodingorothernaturaldisasters.In light of the above, the ordinary maintenance of the product, i.e.periodiccalibrationandadjustmentthemeasuringinstrumentsisnotconsideredworkcoveredundertheWarranty.

6.Without prejudice to the mandatory statutory provisions, it isspecifiedthatthewarrantywillbecarriedoutbyBFTauthorisedservicecentres.Thecollection,repairoranyreplacementunderwarrantyoftheproductwilltakeplacewithinatimeperiodwhichiscompatiblewiththeorganisationalneedsofBFTwhich,inanycase,undertakestocarryouttheseactivitiesintheshortestpossibletimesoastolimitasmuchaspossibleanydetrimenttothepurchaser.Therepairorreplacementofthepartsduringthewarrantyperiodshallnotinvolveanyextensionoftheapplicablewarrantyperiod.ThepartsreplacedunderwarrantywillberetainedandownedbyBFT.

7.Withoutprejudicetothestatutoryprovisions,thiswarrantywillnolongerbevalidifthepurchaserorthirdparties,otherthanauthorisedBFT service centres, have performedwork directly or indirectly ontheproductorcarriedoutinstallationsontheproductorreplaceditscomponentswithnon-originalBFTparts.

8.BFT shall not be responsible for any damages, direct or indirect,caused to persons, property or pets by the failure of the product,usageforpurposesnotappropriateto itsnatureand/or itscapacity,useinexcessofitscapacitylimitandforcedsuspensioninitsuse.

9.Nocompensationshallbepayablefortheperiodduringwhichthefaultysystemisinactive.

10. Ifthepurchaserdiscoverstheexistenceofapossibledefectoftheproductand/orofacomponentthereof,therelativeproduct,asawhole,mustbedeliveredorshippedbythepurchasertoanauthoriseddealer or an authorised service centre, together with the originalpurchasereceiptoftheproductbearingthedateofpurchaseandtheproductdescription.

11.If thepurchaserusestheproductforpurposesunrelatedtotheirbusiness, commercial and professional activity, they can request, attheirownchoice,therepairorreplacementoftheproductatnocostinbothcases,provided that thedefectsareclassifiedasdefectsoftheproductundertheConsumerCodeandthatthewarrantyontheproductsoldisvalidandeffective.Ifthechosenremedyisobjectivelyimpossibleorexcessivelyexpensivecomparedtothealternative,BFTwillfirstassesstheoptionofrepairingtheproduct,wherepossible,ifthecostofrepairsisnotunreasonablydisproportionateinrelationto(a)thevalueandthepurchasepriceoftheproduct,(b)theextentofthedefectand(c)thepossibilitythatthesubstitutioncanbecarriedoutwithoutcausingsignificantinconveniencetothepurchaser.Shouldthecostofrepairsbedisproportionateaspertheabove,BFTwillreplacetheproduct.

12. Theworkcarriedoutbyserviceengineersunderwarrantyattheinstallationsiteissubjecttothepaymentofacall-outcharge.

13. If,onthecontrary,thepurchaserusestheproductforpurposesrelated to theirbusiness,commercialandprofessionalactivitiesandprovidedthatthewarrantyfortheproductsoldisvalidandeffective,BFT, at its discretion, can choose whether to repair or replace theproduct, at no expense in both cases. In the event of replacement,unless this is not possible, only the defective parts of the productwillbereplaced.ThereplacedpartswillbecomethepropertyofBFTandwill notbe returned to thepurchaser.Thewarrantywill notbeextended norwill thewarranty itself be renewed due to repairs orreplacementsmadebyBFT.

14. TheseWarrantyGeneralTermsandConditionsaregovernedbyItalianlaw.

15. Any disputes arising in relation to these Terms and Conditions,including those related to their interpretation, implementation and

termination,shallbereferredtotheexclusivejurisdictionoftheCourtofVicenza,withoutprejudice,whereapplicable,totheprovisionsoftheConsumerCode.

16.DATAPROTECTIONUpon receipt of the purchase order and/or registration on the BFTWebsite,theBuyerexpressestheirconsenttotheprocessingoftheirpersonaldata,pursuanttoArticle13GDPR-Regulation(EU)2016/679andnationallegislationontheprotectionofpersonaldata,subjecttoviewingtheextendedversionoftheprivacystatementavailableontheBFTwebsite.Theprocessing,storageandtransmissionofpersonaldataisperformedin compliance with all precautionary measures, guaranteeing itssecurity and confidentiality, in accordance with the provisions oftheGDPRandfor thesolepurposeofbeingable toeffectivelyfulfilthe obligations envisaged by legal, civil and fiscal laws related totheeconomic activityof the company including themanagementofcollectionsandpaymentsderivingfromtheexecutionofcontracts.TheDataControlleris:BFTSpAForanyinformationondataprotection,pleasesendane-mailtothefollowingaddress:[email protected] privacy statement can be found online at: https://www.bft-automation.com/crediti-privacy-cookies/privacy/

17. CODE OF ETHICS AND ORGANISATION, MANAGEMENT ANDCONTROLMODELThePurchaserdeclarestobeawareofthecurrentlegislationregardingthe administrative responsibility of companies and the provisions ofLegislativeDecree231/2001.ThePurchaseracknowledgesthatBFTSpAhasadoptedaCodeofEthicsincompliancewiththeprovisionsofLegislativeDecree231/2001.TheCustomeralsodeclarestohavereadthetextpublishedonthewebsiteat: https://www.bft-automation.com/bft/modello-organizzativo-e-codice-etico/ThePurchaserundertakes,alongwithitsdirectors,employeesand/orcontractors,nottocarryoutanyactionsthatviolatetheBFTSpACodeofEthicsand,moregenerally,thecommissionoftheoffencesreferredtobyLegislativeDecree231/2001.The Purchaser also guarantees to have implemented appropriatemeasures to ensure the compliance of the performance of theactivitiescoveredbythiscontractwiththeprovisionsoftheBFTSpACodeofEthics.In case of non-compliance by the Customerwith LegislativeDecree231/01andtheCodeofEthics,BFTSpAmayterminatethecontractforabreachpursuanttoArticle1456oftheCivilCode,bygivingsimplewrittennoticetotheCustomerbyregisteredletterwithreturnreceipt,withoutprejudicetotherequestfordamages.WhencriminalproceedingsareopenedagainsttheSellerforsignificantoffencespursuanttoLegislativeDecree231/2001,BFTSpAmustbeimmediatelynotifiedofthisanditshallhavetherighttoterminatethecontract.TheBFTcodeofethicsandorganisationalmodelcanbefoundonlineat:https://www.bft-automation.com/en_INT/bft/organisational-model-and-code-of-ethics/For more information and details, please refer to the appropriatesectionofthewebsitewww.bft-automation.com.

GENERAL TERMS AND CONDITIONS OF SALE

1.DEFINITIONSIn the interpretation of these General Terms Conditions of Sale, thefollowingtermsshallhavethemeaningsspecifiedbelow:•Vendor:BFTSpA;•Purchaser:thepurchaseroftheProduct(s);•Parties:theVendorandPurchaserconsideredjointly;• Product(s): the item(s)which are the subject of the sale betweenPurchaserandVendor,asdescribedintheSaleContract;• Sale Contract: any contract or document, including subsequentcontractordocument,oramendmentand/oradditionthereof;•Order(s):anycommunication,madenotonlyinwritingbutalsoorally,

bywhichthePurchaserdeclarestotheVendoritsintentiontopurchaseoneormoreproducts;•OrderConfirmation: theformbywhichtheVendordeclarestothePurchaseritsintentiontoselloneormoreProducts;• Instructions for Use: the instructions for assembly, operation andmaintenancewhichtheVendormayprovidewiththeProduct.•TechnicalandConstructionspecifications:anydocumentsuppliedbythePurchasertotheVendorregardingthetechnicalcharacteristicsoftheProduct(s);

2.APPLICATIONOFTHEGENERALTERMSANDCONDITIONS

2.1TheseGeneralTermsandConditionsapplytoallpurchasesandsalesoftheProductbetweentheVendorandthePurchaserandshallprevailoveranyconditionsofpurchasepreparedbythePurchaser,evenintheabsenceofspecificobjectionstotheapplicationofthesame.

2.2 In the event that an existing commercial agreement and/orindividualcontractsofsalefortheProductis/areinforcebetweentheParties,theseGeneralTermsandConditionsshallconstituteanadditiontoallpreviousagreementsand/or individualsalescontracts for theProductbetweentheVendorandPurchaser.

2.3 Any amendment of or addition to these General Terms andConditionsofSaleshallbevalidandeffectivebetweenthePartiesonlyifmadeinwritingandsignedbytheVendor.

2.4 These terms and conditions are valid from 1 June 2018 andsupersedeallpreviousBFTSpAgeneraltermsandconditionsofsaleandsupply.

2.5 Ifanyprovisionof thesegeneral termsandconditionsofsale isinvalidorincomplete,thevalidityoftheremainingprovisionsshallnotbeaffected.

2.6BFTSpAhastherighttomodifythesegeneraltermsandconditionsofsaleatanytime.

3.ACCEPTANCEOFORDERS

3.1Theorderconstitutesan irrevocableofferofsaleby theVendorwhichshallbevalidfor90(ninety)daysfromthedateofitsreceiptandwhich formalises the agreements contained in previousnegotiationsbetweentheparties.

3.2 The following are the specific requirements of the order: priceand payment method; product characteristics; type of packaging;procedures for returns; methods of transport; destination; deliverytermsandaccompanyingdocumentation.

3.3ThecompletionoftheorderissubjecttoacceptancebytheVendor,which shall be deemed to occur on the transmission of the orderconfirmationbytheVendor.

3.4Anorderconfirmationshallremaininforcefor90daysfromitsissuebutitshallnolongerbevalidif ithasnotbeenexecutedwithin180days.

3.5TheaforementionedOrdersmayonlybealteredbyasubsequentwrittenagreement.

3.6 All documentation relating to the contract must be signed bypersonswhohavepowerofrepresentationorproxy.

4.DELIVERYCONDITIONS

4.1Deliverywillgenerallybemadeex-works- INCOTERMS2010 ICC-Paris.However,differentdeliverymethodsmaybeagreeduponbymeansofspecificagreementsbetweentheParties.

4.2 All costs and risks, including all insurance obligations, shall be

bornebythePurchaser.

4.3Thetermsofdeliveryshouldbeconsideredpurelyindicative,non-essentialandnotbindingontheVendor.TheVendorshallnot,however,beliableforlateorfaileddeliveriesattributabletoforcemajeureortocausesbeyonditscontrol.

4.4Thedeliverydatesanddeadlinesshallbepostponedifimpedimentsoccurwhich thesuppliercouldnotavoiddespiteduediligence.Suchimpediments are, for example, major failures in production plants,employment disputes, delayed or defective sub-supplies and forcemajeure.Unlessotherwiseagreed,partialdeliveriesarepermitted.

4.5IfthePurchaserisawareinadvanceofitsinabilitytotakereceiptofthegoods,saidPurchasermustcommunicatethereasontotheVendoraswellasareasonableperiodwithinwhichthePurchaserexpectstobeabletotakereceiptofsaidgoods.

4.6IfthePurchaserdoesnotacceptthegoodsattheagreeddeliverytime, said Purchaser shall be required to pay the full amount thatwouldhavebeenpayablehadthedeliveryoccurred.Fromthedateofthegoodsreadinessnotice,tobesenttothePurchaserviaemailandfax, thePurchasershallbear thecostsofstorageandanypotentialdeteriorationanddepreciation,subjecttotherightofVendortoclaimcompensationforanygreaterlosssuffered.

4.7After30dayshaveexpiredfromreceiptofthenoticeofreadinessforshipmentwithoutactionbeingtaken,theVendorshallbeentitledtoterminatethecontract,byspecialnoticetobesenttothePurchaserbyregisteredletterwithreturnreceipt,pursuanttoArticle17below.

4.8BFTSpAreservestherighttorefusedeliveryiftheagreedpaymenttermsarenotsatisfiedbythePurchaser.

4.9BFTSpA isnotresponsiblefordelays indelivery.ThePurchasermayonlybringclaimsfordamagesintheeventofgrossnegligenceorwilfulmisconduct.

4.10ThePurchasermustconfirmreceiptofthegoodsbycountersigningthedeliverynoteaccompanyingthegoodswithalegallyvalidsignature.ThePurchaseralsoguarantees thatonlyauthorisedrepresentativesshallsignforthegoods.

5.PACKAGINGFORTRANSPORTATION

5.1ThecostofpackagingisincludedinthepriceoftheProductaccordingtotheSeller’sstandardterms.ThePurchaserwillbechargedforthecostsofanyspecialpackagingwhichitrequests,iffeasible.

5.2.TheVendorreservestherighttodeterminethetypeofpackaginginaccordancewiththetransportationrequirements,exceptinthecaseofspecificneedsofthePurchaserasspecifiedintheOrder.

6.PRICE

6.1TheVendorshallapplythepriceagreedwiththePurchaserintheSale Contract, which will not include any costs for transportation,insurance,assembly,taxesandcustomsfees,etc.

6.2 Ifchangesoccur intheunderlyingconditionsfortheformulationoftheprice,andinparticularincaseofcurrencyfluctuationsorstate/administrativelevies,taxes,customsduties,othercharges,etc.whichcomeintoforceintheperiodbetweentheofferandtheagreeddeliverydeadline, BFT SpA is authorised to adjust the prices and conditionsaccordingtothechangeswhichhavearisen.

6.3IntheeventthatthepriceisnotspecifiedintheSaleContract,thepricenormallychargedbytheVendorfortheProduct,accordingtothecurrentpricelist,shallbeapplicable.

6.4Unlessotherwiseagreed,brochuresandcataloguesarenotbinding.

6.5Nocomplaintsordisputesshall inanycircumstancesentitlethePurchasertopostponeorrefusepaymentortoreducetheprice.

7.INVOICINGANDPAYMENT

7.1TheVendorshallissueaninvoicebasedonthepriceindicatedinthePurchaseOrderConfirmation,inwhichthepaymenttermswillalsobespecified.

7.2IfthePurchaserfailstofulfilitsobligationtopaythepricebytheduedate,theVendorshallbeentitledtointerestonarrearspursuanttoLegislativeDecree231/2002.

7.3IntheeventofpersistentlatepaymentbythePurchaser,theVendorwillbeentitledtoterminatethecontractandclaimcompensationfordamages,subjecttotheprovisionsofarticle11below.

8.PRODUCTQUALITYANDVENDOR’SWARRANTY

8.1 All Products supplied by the Vendor are of good quality; theyare manufactured, packaged and sold in compliance with industryregulations.

8.2.TheVendorwarrants,moreover, that theProductscomplywiththetechnicalspecificationscontainedintheorderand/orthetechnicaldocumentationprovidedbythePurchaserandisliableonlyinrespectofdiscrepanciesbetweentheProductsandthetermsspecifiedinthesaidtechnicalspecifications.

8.3Unlessotherwiseagreed,theVendorguaranteesthattheProductswillbe ingoodworkingorderfor24(twenty-four)monthsfromthedateofmanufacture.

8.4TheVendordoesnotgiveanywarrantyinrespectofthematerialsand/orpartsoftheProductswhichitdoesnotproduceorinrespectofanydamagecausedbyusesunknownatthetimeoftheOrderorOrderConfirmation.

8.5ThewarrantygivenbytheVendor islimitedtotherepairand/orreplacementofdefectivepartsduetomanufacturingdefectsorpoorqualitymaterials,excludingpartssubjecttonormalwearandtearandpartsnolongeravailableonthemarket.Italsoexcludesfailurescausedbyoverloading, incompetent use, negligenceor failure to follow theinstructionsprovidedbytheVendor.ThePurchasershall,onpenaltyofforfeitureofthewarranty,informtheVendoroftheflawsanddefectsdiscoveredintheProductsinaccordancewithArticle11below.

8.6.TheVendorshallnotbeliableforlosses,whetherdirectorindirect,resultingfromthereplacement timesrequiredfor therepairand/orreplacementunderthewarranty.

8.7.ThePurchaserwillforfeitthewarrantyprovidedbyVendorintheeventthat:•itdoesnotperformtheoperationsand/orinstallationsforwhichitisresponsibleinaccordancewithindustrystandards;• itperformsorhasthirdpartiesperform-withoutthepriorwrittenconsentoftheVendor-repairs,replacements,modificationsorotherworkontheProductsduringtheWarrantyperiod;• it does not comply with the guidelines, procedures for use andinstructions of the Vendor relating to the proper use and regularmaintenanceoftheProducts.

9.OBLIGATIONSOFTHEPURCHASER

9.1 The Purchaser must have the facilities and means necessaryfor the proper use of the Products andmust be familiarwith theircharacteristics and have full technological knowledge and skillsnecessaryfortheircorrectuse.

9.2ThePurchasershallalso, inthe implementationofthisContract,

complywithandrespectalllocallawsandregulationsincludingbestbusiness practices and shall indemnify theVendor against any loss,whether direct or indirect, suffered by the Vendor as result of anyinfringementbythePurchaserofsuchlawsandregulations.

9.3. It is agreed that the Purchaser bears full responsibility for thefailure to informtheVendorabout the local lawsandregulations inforce intheCountry inwhichtheProductwillbeused. Insuchcase,any costs incurred for ensuring that the Product complieswith theprovisionsofthelawsandregulationsoftheCountryinwhichitistobeusedshallbeborneexclusivelybythePurchaser.

9.4 IfthePurchaserfailstofulfil itsobligationsundertheprecedingtwoparagraphs,itmustinallcases:•collecttheProductsorderedandthosebeingdeliveredandbeartheassociatedcostsofdelivery;•makethepaymentsduebasedontheordersmade;• indemnify and continue to indemnify the Vendor against any loss,directorindirect,sufferedbytheVendorasaresultofanyinfringementbythePurchaseroftheaforementionedregulations.

10.FAULTSANDCOMPLAINTS

10.1ThefollowingappliesinrelationtofaultsandcomplaintsrelatingtotheProduct:a)complaintsrelatingtogenerallyrecognisablefaultsassociatedwiththeProductmustbe reported inwriting, onpenaltyof forfeitureofthewarranty,within30(thirty)daysofitsdelivery;inothercases,thedeadlineof8(eight)daysshallrunfromthediscoveryofthefaultsinquestion.Inbothcases,thecomplaintsmustbesupportedbysamplestakenjointlywiththeVendororbyapersonappointedforthepurposeby the Vendor within 40 (forty) days from the presentation of theclaim.ComplaintsabouttheProductcannotbeconsiderediftheyrefertofeaturesthatarenotindicatedintheTechnicalSpecificationsordonotrelatetothenormaluseoftheProduct.b)anypackagingdefectsmustbe reported inwriting,onpenaltyofforfeitureofthewarranty,atthetimeofdelivery.c)nocomplaintaboutthequalityand/orintegrityoftheProductandpackagingwillbeaccepted:i)ifthePurchaserhasnotmadetheProductavailableforthenecessaryinspections.

10.2 It is compulsory for the Purchaser to store the Product itbelievestobedefectiveinasuitableplaceavailabletotheVendorforthe necessary assessments and, in any case, to take all necessarymeasurestoreducetheriskoffurtherdamagetothesaidProduct.

10.3 In all cases, the Purchaser is obliged, from the moment ofdiscoveringthedefects,toimmediatelystopusingtheProductwhichissupposedtobedefectiveandtotakeallmeasuresnecessarytolimitdamagetosaidProduct.

10.4 The Vendor’s liability shall be limited to flaws attributable tomanufacturingdefects.

10.5 Failure to send complaints or disputes by the aforementioneddeadlines and/or the use of the Product by the Purchaser despitehavingdiscovereddefects,constitutesunconditionalacceptanceoftheProductaswellasawaiverofanycomplaintordisputerelatingtothesame.

11. OBLIGATIONS OF THE PURCHASER IN CASE OF DEFECTS ANDCOMPLAINTS

11.1 The Purchaser shall, without delay and in compliance with theprovisionsspecifiedinArticle10above,notifytheVendorofalldefects,including apparent defects relating to quality and quantity. SuchnotificationshallbesentnolaterthanthedeadlinesspecifiedinArticle10above;during thisperiod theProductshallbemadeavailable forreturntotheVendor,whichwillprovideallthenecessaryinstructions.

11.2Incaseofdefectswhichmaycausedamages,suchnoticeshallbegivenimmediately.

11.3Thenotificationmustcontainadescriptionofthedefect.

11.4 If such notification is not sent by the specified deadlines, thePurchaserwilllosetherighttoreplacement/repairoftheProduct.

11.5 In the event that the Purchaser has notified the defects by therelevantdeadlinebutnodefectisdiscovered,theVendorwillbeentitledtodismissthecomplaint.

11.6 It is compulsory for the Purchaser, on penalty of forfeiting therighttobringavalidcomplaint,tostoretheProductitbelievestobedefectiveinasuitableplaceavailabletotheVendorforthenecessaryinvestigationsand,inallcases,totakeallanynecessarymeasurestoreducetheriskoffurtherdamagetothesaidProduct.

12.FORCEMAJEURE

12.1 TheVendor shall not be liable for late delivery or for the non-fulfilmentofcontractualtermsdirectlyorindirectlycausedby:• instancesofforcemajeure(thefollowingisanon-exhaustivelistofsuchevents forpurposesof thisclause: legalbans,wars,uprisings,revolutions, strikesorother labourdisputes,fires,floods, sabotage,nuclearaccidents,earthquakes,storms,epidemics);• circumstances outside of the Vendor’s control which prevent therecruitment of labour or the sourcing of materials, raw materials,components,systemsingeneral,energy,fuel,transportation,licensesorgovernmentorders.

13. ADVERTISING BROCHURES, TECHNICAL DRAWINGS ANDDOCUMENTS

13.1 Unless otherwise agreed, advertising brochures and cataloguesarenotbinding.Theinformationprovidedonthetechnicaldocumentsisonlybindingifitisexpresslyguaranteed.

14.INTELLECTUALPROPERTY

14.1Allinformation,technicalstandards,specificationsandproceduresprovided by the Vendor are the sole property of the Vendor. Notrademark license or license to use patents or other industrial orintellectualpropertyrights,relatingtothetechnicalspecificationsandknowhowprovided,isgrantedtothePurchaserwiththesignatureofthisContract.

14.2ThesaleoftheProducttothePurchaserdoesnotimply,evenifintendedfordistributionoranyotherformofcommercialisationoftheProduct,thegrantingoflicencesorotherrightstotrademarks,patentsorotherintellectualpropertyrights.

14.3 None of the drawings, technical documents, specifications,illustrations and other information related to the Product and itscreation, supplied by the Vendor,may be usedwithout the expresswrittenpermissionoftheVendor,saveforthepurposesforwhichtheyweretransmitted,e.g.fortheuse,maintenanceandmarketingoftheProduct.

14.2 The Purchaser shall, upon termination of the relationshipor completion of the contract, promptly return to the Vendor allinformation,documentsandspecificationsownedbytheVendor.

15.CONFIDENTIALITYANDCONFIDENTIALINFORMATION

15.1 The Purchaser and Vendor acknowledge that each Party maydisclosetotheotherPartyconfidentialinformationrelatingtotheirownbusinesses.EachPartyagreestokeepsuch informationconfidentialandnotdisclosethecontentsthereoftoanythirdparty,tousesuchinformationonlyforthepurposesoftheSaleContractandtoreturn,attherequestoftheotherParty,anydocumentsreceivedwhichcontain

confidentialinformation.

16.SAFETYSTANDARDS

16.1TheProductsaremanufacturedinaccordancewithItaliansafetystandards.ItisagreedthatthePurchaserbearsfullresponsibilityforanyfailuretoinformtheVendoraboutthelocallawsandregulationsinforceintheCountryinwhichtheProductwillbeused.Insuchcase,any costs incurred for ensuring that the Product complieswith theprovisionsofthelawsandregulationsoftheCountryinwhichitistobeusedshallbeborneexclusivelybythePurchaser.

17.DATAPROTECTION

17.1Withthepurchaseorderand/orbyregisteringontheBFTWebsite,thePurchaserexpressesitsconsenttotheprocessingofitspersonaldata,pursuanttoArticle13oftheGDPR-Regulation(EU)2016/679andnationallegislationontheprotectionofpersonaldata,subjecttoviewingtheextendedversionoftheprivacystatementavailableontheBFTwebsite.

18.APPLICABLELAWANDCOMPETENTCOURT

18.1 These General Terms and Conditions and the related SalesContractsaregovernedbyItalianlaw.

18.2 Any disputes arising in relation to these Terms and Conditions,including those related to its interpretation, implementation andtermination,shallbereferredtotheexclusivejurisdictionoftheCourtofVicenza,withoutprejudice,whereapplicable,totheprovisionsoftheConsumerCode.

18.3 The language governing these General Terms and Conditions isItalian,notwithstandinganytranslationintoanotherlanguage.Incaseof inconsistencybetweenthe Italiantextandthetranslatedtext,thePartiesagreethattheItaliantextshallprevailandwillbetheofficialdocumentusedtointerprettheseGeneralTermsandConditions.

18.4 The application of the United Nations Convention on theInternationalSaleofGoods(Vienna-1980-CISG)isexpresslyexcluded.

19. CODE OF ETHICS AND ORGANISATION, MANAGEMENT ANDCONTROLMODEL

19.1 The Purchaser declares to be aware of the current legislationregarding the administrative responsibility of companies and theprovisionsoftheLegislativeDecree231/2001.

19.2ThePurchaseracknowledgesthatBFTSpAhasadoptedaCodeof Ethics in compliance with the provisions of Legislative Decree231/2001.TheCustomeralsodeclarestohavereadthetextpublishedon the website at: https://www.bft-automation.com/bft/modello-organizzativo-e-codice-etico/

19.3 The Purchaser undertakes, alongwith its directors, employeesand/or contractors, not to carry out any actions that violate the

BFTSpACodeofEthicsand,moregenerally, thecommissionoftheoffencesreferredtobyLegislativeDecree231/2001.

19.4ThePurchaseralsoguaranteestohaveimplementedappropriatemeasurestoensurecompliancewiththeperformanceoftheactivitiescoveredbythiscontract,inaccordancewiththeprovisionsoftheBFTSpACodeofEthics.

19.5 Incaseofnon-compliancebytheCustomerwiththeLegislativeDecree 231/01 and the Code of Ethics, BFT SpAmay terminate thecontract for a breachpursuant toArticle 1456of theCivil Code, bygivingsimplewrittennoticetotheCustomerbyregisteredletterwithreturnreceipt,withoutprejudicetotherequestfordamages.

19.6 When criminal proceedings are opened against the Seller forsignificant offences pursuant to Legislative Decree 231/2001, BFTSpAmustbeimmediatelynotifiedofthisanditshallhavetherighttoterminatethecontract.

GENERAL TERMS CONDITIONS OF SALE AND WARRANTY FOR PARKING SYSTEMS

1.DEFINITIONSIn the interpretation of these General Terms Conditions of Sale, thefollowingtermsshallhavethemeaningsspecifiedbelow:•Vendor:BFTSpA;•Purchaser:thepurchaseroftheProduct(s);•Offerorsalesproposal:theformbywhichtheVendorinformsthePurchaser of the characteristics of the Product, its sale price, thevalidityoftheofferandtheattachedGeneralTermsandConditionsofSale;•Parties:theVendorandPurchaserconsideredjointly;• Product(s): the item(s)which are the subject of the sale betweenPurchaserandVendor,asdescribedintheSaleContract;• Sale Contract: any contract or document, including subsequentcontractordocument,oramendmentand/oradditionthereof;•Order(s):anycommunication,madenotonlyinwritingbutalsoorally,bywhichthePurchaserdeclarestotheVendoritsintentiontopurchaseoneormoreproducts;•OrderConfirmation: theformbywhichtheVendordeclarestothePurchaseritsintentiontoselloneormoreProducts;• Instructions for Use: the instructions for assembly, operation andmaintenancewhichtheVendormayprovidewiththeProduct.•TechnicalandConstructionspecifications:anydocumentsuppliedbythePurchasertotheVendorregardingthetechnicalcharacteristicsoftheProduct(s);

2.APPLICATIONOFTHEGENERALTERMSANDCONDITIONS

2.1TheseGeneralTermsandConditionsapplytoallpurchasesandsalesoftheProductbetweentheVendorandthePurchaserandshallprevailoveranyconditionsofpurchasepreparedbythePurchaser,evenintheabsenceofspecificobjectionstotheapplicationofthesame.

2.2 In the event that an existing commercial agreement and/orindividualcontractsofsalefortheProductis/areinforcebetweentheParties,theseGeneralTermsandConditionsshallconstituteanadditiontoallpreviousagreementsand/or individualsalescontracts for theProductbetweentheVendorandPurchaser.

2.3 The Purchaser acknowledges and accepts these General TermsandConditionsofSale.AnyamendmentoforadditiontotheseGeneralTermsandConditionsofSaleshallbevalidandeffectivebetweenthePartiesonlyifmadeinwritingandsignedbytheVendor.

2.4 These terms and conditions are valid from 1 June 2018 and

supersedeallthepreviousBFTSpAgeneraltermsandconditionsofsaleandsupply.

2.5ShouldoneormoreoftheclausescontainedintheseGeneralTermsandConditionsofSalebeannulledordeclaredineffectiveinaccordancewiththelaw,thevalidityoftheremainingclausesremainsintact.

3.CONCLUSIONOFSALECONTRACT

3.1 The offer constitutes an irrevocable offer of sale by theVendorlasting 30 days and which formalises the agreements contained inpreviousnegotiationsbetweentheparties.

3.2TheoffermaybeprecededbyasiteinspectionconductedbytheVendoratthepremisesofthePurchaserandincludes:price,paymentterms,productcharacteristics,quantity,typeofpackaging,proceduresfor returns, methods of transport, destination, delivery terms andaccompanying documentation, installation procedures, in addition totheGeneralTermsandConditionsofSale.

3.3TheContract shall be deemed to be effectivewith its signatureandtransmissionbythePurchasertotheVendoroftheofferandofGeneralTermsandConditionsofSale.

3.4Theoffermaybemodifiedonlybyasubsequentwrittenagreementsignedbybothparties.

4.DELIVERYCONDITIONS

4.1Deliverywillgenerallybemadeex-works- INCOTERMS2010 ICC-Paris.However,differentdeliverymethodsmaybeagreeduponbymeansofspecificagreementsbetweentheParties.

4.2 All costs and risks, including all insurance obligations, shall bebornebythePurchaser.

4.3Thetermsofdeliveryindicatedintheofferortheorderconfirmationshouldbeconsideredpurelyindicative,non-essentialandnotbindingontheVendor.TheVendorshallnot,however,beliableforlateorfaileddeliveriesattributabletoforcemajeureortocausesbeyonditscontrol.

4.4Thedeliverydatesanddeadlinesshallbepostponedifimpedimentsoccurwhich thesuppliercouldnotavoiddespiteduediligence.Suchimpediments are, for example, major failures in production plants,employment disputes, delayed or defective sub-supplies and forcemajeure.Unlessotherwiseagreed,partialdeliveriesarepermitted.

4.5IfthePurchaserisawareinadvanceofitsinabilitytotakereceiptofthegoods,saidPurchasermustcommunicatethereasontotheVendoraswellasareasonableperiodwithinwhichthePurchaserexpectstobeabletotakereceiptofsaidgoods.

4.6IfthePurchaserdoesnotacceptthegoodsattheagreeddeliverytime, said Purchaser shall be required to pay the full amount thatwouldhavebeenpayablehadthedeliveryoccurred.Fromthedateofthegoodsreadinessnotice,tobesenttothePurchaserviaemailandfax, thePurchasershallbear thecostsofstorageandanypotentialdeteriorationanddepreciation,subjecttotherightofVendortoclaimcompensationforanygreaterlosssuffered.

4.7After30dayshaveexpiredfromreceiptofthenoticeofreadinessforshipmentwithoutactionbeingtaken,theVendorshallbeentitledtoterminatethecontract,byspecialnoticetobesenttothePurchaserbyregisteredletterwithreturnreceipt,pursuanttoArticle18below.Inthiscase,theSellerwillhavetherighttodemandpaymentofapenaltyequalto10%ofthevalueoftheorder,subject,inanycase,totherightoftheSellertoclaimforcompensationforgreaterdamagesincurred.

4.8BFTSpAreservestherighttorefusedeliveryiftheagreedpaymenttermsarenotsatisfiedbythePurchaser.

4.9BFTSpA isnotresponsiblefordelays indelivery.ThePurchasermayonlybringclaimsfordamagesintheeventofgrossnegligenceorwilfulmisconduct.

4.10ThePurchasermustconfirmreceiptofthegoodsbycountersigningthedeliverynoteaccompanyingthegoodswithalegallyvalidsignature.ThePurchaseralsoguarantees thatonlyauthorisedrepresentativesshallsignforthegoods.

5.PACKAGINGFORTRANSPORTATION

5.1ThecostofpackagingisincludedinthepriceoftheProductaccordingtotheSeller’sstandardterms.ThePurchaserwillbechargedforthecostsofanyspecialpackagingwhichitrequests,iffeasible.

5.2.TheVendorreservestherighttodeterminethetypeofpackaginginaccordancewiththetransportationrequirements,exceptinthecaseofspecificneedsofthePurchaserasspecifiedintheOrder.

6.PRICE

6.1TheVendorshallapplythepriceagreedwiththePurchaserintheSale Contract, which will not include any costs for transportation,insurance,assembly,taxesandcustomsfees,etc.(ifEXW)

6.2Ifchangesoccur intheunderlyingconditionsfortheformulationoftheprice,andinparticularincaseofcurrencyfluctuationsorstate/administrativelevies,taxes,customsduties,othercharges,etc.whichcomeintoforceintheperiodbetweentheofferandtheagreeddeliverydeadline, BFT SpA is authorised to adjust the prices and conditionsaccordingtothechangeswhichhavearisen.

6.3Anyprice increasesdue to increasedproductioncostsbasedonchangesinthepricesofrawmaterials,labourandothercostswhicharisesubsequenttotheSaleContractshallbebornebythePurchaser.

6.4IntheeventthatthepriceisnotspecifiedintheSaleContract,thepricenormallychargedbytheVendorfortheProduct,accordingtothecurrentprice list, shallbeapplicable.6.4NocomplaintsordisputesshallinanycircumstancesentitlethePurchasertopostponeorrefusepaymentorreducetheprice.

7.INVOICINGANDPAYMENT

7.1TheSellerwillissueaninvoicebasedonthepriceindicatedinArticle6 above. The payment terms will also be determined in the SalesContract(orintheOrder,theOrderConfirmationortheOffer).IftheSalesContract(ortheOrder,theOrderConfirmationortheOffer)doesnotcontainthepaymenttermsandconditions,saidpaymentmustbemadeasfollows:20%bybanktransferatthetimeoforder(orthesignatureoftheofferandtheGeneralTermsandConditionsofsale)andtheremaining80%60(sixty)daysfromthedateofdelivery.

7.2IfthePurchaserfailstofulfilitsobligationtopaythepricebytheduedate,theVendorshallbeentitledtointerestonarrearspursuanttoLegislativeDecree231/2002.

7.3IntheeventofpersistentlatepaymentbythePurchaser,theVendorwillbeentitledtoterminatethecontractandclaimcompensationfordamages,subjecttotheprovisionsofarticle11below.

7.4Inthecaseofsplitdelivery,failuretopaybytheagreeddeadlinesfortheindividualdeliverieswillentitletheSellertosuspendsubsequentdeliveriesuntilthebalanceduehasbeenpaid.

8.PRODUCTQUALITYANDVENDOR’SWARRANTY

8.1 All Products supplied by the Vendor are of good quality; theyare manufactured, packaged and sold in compliance with industryregulationsandthetechnicalspecificationsoutlinedintheoffer.

8.2 The Vendor is only responsible for discrepancies between theProductandtheaforementionedtechnicalspecifications.

8.3TheVendorguaranteesthattheproductsshallfunctionproperlyfor12(twelve)monthsfromthedateofinstallationandcommissioning,certified by a specific dated and signed report/declaration. Longerwarrantyperiodsmaybeestablishedbyagreementofthepartiesbuttheyshallnotexceed18 (eighteen)monthsfromthe invoicedateoftheProduct.

8.4.TheVendordoesnotgiveanywarrantyinrespectofthematerialsand/orpartsoftheProductswhichitdoesnotproduceorinrespectofanydamagecausedbyusesunknownatthetimeoftheOrderorOrderConfirmation(orAcceptanceoftheOffer).

8.5ThewarrantygivenbytheVendor islimitedtotherepairand/orreplacementofdefectivepartsduetomanufacturingdefectsorpoorqualitymaterials,excludingpartssubjecttonormalwearandtearandpartsnolongeravailableonthemarket.Italsoexcludesfailurescausedbyoverloading, incompetent use, negligenceor failure to follow theinstructionsprovidedbytheVendor.ThePurchasershall,onpenaltyofforfeitureofthewarranty,informtheVendoroftheflawsanddefectsdiscoveredintheProductsinaccordancewithArticle11below.

8.6.TheVendorshallnotbeliableforlosses,whetherdirectorindirect,resultingfromthereplacement timesrequiredfor therepairand/orreplacementunderthewarranty.

8.7.ThePurchaserwillforfeitthewarrantyprovidedbyVendorintheeventthat:•itdoesnotperformtheinstallationandcommissioningwithin3(three)monthsofdeliveryoftheProduct;• it does not accept that the installation and commissioning shouldbe carried out by technicians/installers sent directly by the Vendororitdirectlyorganisestheinstallationitself,withoutthepriorwrittenconsentoftheVendor;•itdoesnotperformtheoperationsand/orinstallationsforwhichitisresponsibleinaccordancewithindustrystandards;• itperformsorhasthirdpartiesperform-withoutthepriorwrittenconsentoftheVendor-repairs,replacements,modificationsorotherworkontheProductsduringthewarrantyperiod;• it does not comply with the guidelines, procedures for use andinstructions of the Vendor relating to the proper use and regularmaintenanceoftheProducts.

8.8 In case of installation and commissioning performed by thirdpartieswhicharenotspecificallyauthorisedbytheVendorasprovidedfor byArticle8.7, first paragraph, thewarrantywill cover only theProductinitsoriginalconfiguration.

9.OBLIGATIONSOFTHEPURCHASER

9.1 The Purchaser must have the facilities and means necessaryfor the proper use of the Products andmust be familiarwith theircharacteristics and have full technological knowledge and skillsnecessaryfortheircorrectuseinaccordancewiththeinstructionsofuse,withwhichitundertakestocomply.

9.2ThePurchasermustensurethattherelevantsystemsandareascomplywith the requirements specified by the Vendor prior to theinstallationoftheProducts.

9.3ItisagreedthattheVendorwillberesponsiblefortheinstallationand commissioning of the Products unless otherwise agreed inwritingbetween theParties.To thisend, theVendorwillprovide thePurchaserwhichthetechnicaladvicenecessaryforthecompletionoftheseoperationsandwilldispatchtechnicians/installersdirectly.ThePurchaserwill facilitate their installationandcommissioningwork inthezonesreferredtoinArticle9.2.inallpossibleways.

9.4ThePurchasershallalso, inthe implementationofthisContract,

complywithandrespectalllocallawsandregulationsincludingbestbusiness practices and shall indemnify theVendor against any loss,whether direct or indirect, suffered by the Vendor as result of anyinfringementbythePurchaserofsuchlawsandregulations.

9.5 It is agreed that the Purchaser bears sole responsibility for thefailure to informtheVendorabout the local lawsandregulations inforceinthecountryinwhichtheProductwillbeinstalledandused.Insuchcase,anycostsincurredforensuringthattheProductcomplieswiththeprovisionsofthelawsandregulationsofthecountryinwhichit istobeinstalled/usedshallbeborneexclusivelybythePurchaser,which in any case must indemnify and keep the Seller indemnifiedagainstanydamage,directorindirect,sufferedbytheSellerasaresultof any violation of the aforementioned legislation and regulationsperpetratedbythePurchaser.

9.6IfthePurchaserfailstofulfilitsobligationsunderthetwoprecedingparagraphs,itmustinallcases:•collecttheProductsorderedandthosebeingdeliveredandbeartheassociatedcostsofdelivery;•makethepaymentsduebasedontheordersmade;• indemnify and continue to indemnify the Vendor against any loss,directorindirect,sufferedbytheVendorasaresultofanyinfringementbythePurchaseroftheaforementionedregulations.

10.FAULTSANDCOMPLAINTS

10.1ThefollowingappliesinrelationtofaultsandcomplaintsrelatingtotheProduct:a)complaintsrelatingtogenerallyrecognisablefaultsassociatedwiththeProductmustbe reported inwriting, onpenaltyof forfeitureofthewarranty,within30(thirty)daysofitsdelivery;inothercases,thedeadlineof8(eight)daysshallrunfromthediscoveryofthefaultsinquestion.Inbothcases,thecomplaintsmustbesupportedbysamplestakenjointlywiththeVendororbyapersonappointedforthepurposebytheVendorwithin40(forty)daysfromthepresentationoftheclaim.b)ComplaintsabouttheProductcannotbeconsiderediftheyrefertofeaturesthatarenotindicatedintheTechnicalSpecificationsordonotrelatetothenormalusageof theProductor if theProducthasnotbeeninstalledinaccordancewithindustrystandardsandinspectedbytechnicians/installersdispatcheddirectlyand/orrecommendedand/orapprovedbytheVendor.c)IfinstallationandcommissioninghavebeencarriedoutinaccordancewithArticle8.8,complaintsaboutproductsthatarenotintheiroriginalconfigurationcannotbeconsidered,includinganyancillaryequipmentexcludedfromtheguaranteeunderpointsa)b)andc).d)byanypackagingdefectsmustbereportedinwriting,onpenaltyofforfeitureofthewarranty,atthetimeofdelivery.c)nocomplaintaboutthequalityand/orintegrityoftheProductandpackagingwillbeaccepted:•incaseofevidentdefects,ifthePurchaserhasnotconfirmedthisinwritingatthetimeofdelivery,or•ifthePurchaserhasnotmadetheProductavailableforthenecessaryinspections.• if the Product has been installed and tested in accordance withindustrialstandardsbytechnicians/installersdispatcheddirectlyand/orrecommendedand/orapprovedbytheVendoror,havingbeeninstalledpursuanttoArt.8.8,theProductisnotinitsoriginalconfigurationand/orthewarrantyisexcludedonthebasisofpointsa)b)andc).

10.2 It is compulsory for the Purchaser to store the Product itbelievestobedefectiveinasuitableplaceavailabletotheVendorforthe necessary assessments and, in any case, to take all necessarymeasurestoreducetheriskoffurtherdamagetothesaidProduct.

10.3 In all cases, the Purchaser is obliged, from the moment ofdiscoveringthedefects,toimmediatelystopusingtheProductwhichissupposedtobedefectiveandtotakeallmeasuresnecessarytolimitdamagetosaidProduct.

10.4Iftheverificationofthegoodsleadstothediscoveryofadefect

attributabletothemanufacturingprocess,theVendor’sobligationwillbelimitedtoreplacingtheproductsdeemedunusable,withoutbeingobligedtopaycompensationforanydirectorindirectlossorexpensesofwhatevernatureorcause,withoutprejudicetotheproceduressetoutinArticle11.1.

10.5 The Vendor’s liability shall be limited to flaws attributable tomanufacturingdefects.

10.6 Failure to send complaints or disputes by the aforementioneddeadlines and/or the use of the Product by the Purchaser despitediscovering defects, constitutes unconditional acceptance of theProductaswell asawaiverofanycomplaintordispute relating tothesame.

11. OBLIGATIONS OF THE PURCHASER IN CASE OF DEFECTS ANDCOMPLAINTS

11.1 The Purchaser shall, without delay and in compliance with theprovisionsspecifiedinArticle10above,notifytheVendorofalldefects,including apparent defects relating to quality and quantity. ThisnotificationshallbesentnolaterthanthedeadlinesspecifiedinArticle10above;during thisperiod theProductshallbemadeavailable forreturntotheVendor,whichwillprovideallthenecessaryinstructionsandwithin 24 (twenty-four) hours if the operation can bemanagedthroughremotecustomersupportorwithin48(forty-eight)hoursiftheoperationrequiresanagenttobedespatchedbytheVendor;thePurchaser is aware that any response will occur from Monday toFridayduringthefollowinghours:8.00-12.00and14.00-18.00.

11.2Incaseofdefectswhichmaycausedamages,suchnoticeshallbegivenimmediately.

11.3Thenotificationmustcontainadescriptionofthedefect.

11.4Ifsuchnotificationisnotsentbythedeadlinesspecified,withoutprejudice to the provisions regarding the correct installation of theProduct,thePurchaserwilllosetherighttoreplacement/repairoftheProduct.

11.5 In the event that the Purchaser has notified the defects by therelevantdeadlinebutnodefectisdiscovered,theVendorwillbeentitledtodismissthecomplaint.

11.6UnlessotherwiseagreedbetweentheParties,thePurchasershallbe responsible for covering all transport and import costs/dutiesrelatingtothereturnofthedefectiveproducts.

11.7Inanyevent,thePurchaserisobliged,onpenaltyofforfeitingtheright tobring a valid complaint, to store theProduct deemed tobeeffectiveinaccordancewiththeprovisionsofArticle10.2.

12.RETENTIONOFTITLE

12.1TheProductshall remain thepropertyof theVendoruntil suchtimeasthepricehasbeenpaidinfull.

12.2ThePurchaser,attheVendor’srequest,shallprovideassistancetothelattersothattheVendorisableretainitsrightoftitleinaccordancewiththelayoutoftheplaceinquestion.Theretentionoftitlewillnotinanywayaffectthetransferofrisk.

12.3UntilfullpaymentoftheProducthasbeenmade,thePurchaserwill be considered to simply have possession of said Product andthereforethePurchasermustkeepitinperfectcondition,asrequiredbyArticle1768oftheItalianCivilCode.

12.4ItisagreedthattheVendorwillbeentitledtoexerciseitsrighttoretentionoftitletotheProductifthepricehasnotbeenpaidinfullafteroneyearhaselapsedfromdeliveryoftheProduct.

13.RESPONSIBILITYOFTHEPURCHASER

13.1TheVendorshallnotbe liablefor lossesto thirdpartiesand/orproductscausedbythePurchaser.

13.2ThePurchasershall indemnify theVendor in theevent that theVendorincursliabilityasdescribedabovewithrespecttothirdparties.

13.3 In theevent thata thirdpartyclaims lossesagainstoneof theparties,thepartyinvolvedmustgiveimmediatewrittennoticethereoftotheother.

14.FORCEMAJEURE

14.1 TheVendor shall not be liable for late delivery or for the non-fulfilmentofcontractualtermsdirectlyorindirectlycausedby:• instancesofforcemajeure(thefollowingisanon-exhaustivelistofsuchevents forpurposesof thisclause: legalbans,wars,uprisings,revolutions, strikesorother labourdisputes,fires,floods, sabotage,nuclearaccidents,earthquakes,storms,epidemics);• circumstances outside of the Vendor’s control which prevent therecruitment of labour or the sourcing of materials, raw materials,components,systemsingeneral,energy,fuel,transportation,licensesorgovernmentorders.

14.2IntheeventthataneventofforcemajeurepreventsthePurchaserfromcarryingoutitsobligations,itshallindemnifytheVendorforthecostsincurredforinsuranceandstorageoftheProduct.

15. ADVERTISING BROCHURES, TECHNICAL DRAWINGS ANDDOCUMENTS

15.1 Unless otherwise agreed, advertising brochures and cataloguesarenotbinding.Theinformationprovidedonthetechnicaldocumentsisonlybindingifitisexpresslyguaranteed.

15.2 None of the drawings, technical documents, specifications,illustrations and other information related to the Product and itscreation, supplied by the Vendor,may be usedwithout the expresswrittenpermissionoftheVendor,saveforthepurposesforwhichtheyweretransmitted,e.g.fortheuse,maintenanceandmarketingoftheProduct.

15.3ThesaleoftheProducttothePurchaserdoesnotimply,evenifintendedfordistributionoranyotherformofcommercialisationoftheProduct,thegrantingoflicencesorotherrightstotrademarks,patentsorotherintellectualpropertyrights.

16.INTELLECTUALPROPERTY

16.1Allinformation,technicalstandards,specificationsandproceduresprovided by the Vendor are the sole property of the Vendor. Notrademark license or license to use patents or other industrial orintellectualpropertyrights,relatingtothetechnicalspecificationsandknowhowprovided,isgrantedtothePurchaserwiththesignatureofthisContract.

16.2ThesaleoftheProducttothePurchaserdoesnotimply,evenifintendedfordistributionoranyotherformofmarketingoftheProduct,thegrantingoflicencesorotherrightstotrademarks,patentsorotherintellectualpropertyrights.

16.3 The Purchaser shall, upon termination of the relationshipor completion of the contract, promptly return to the Vendor allinformation,documents,specificationsownedbytheVendor.

17.CONFIDENTIALITYANDCONFIDENTIALINFORMATION

17.1 The Purchaser and Vendor acknowledge that each Party maydisclosetotheotherPartyconfidentialinformationrelatingtotheirownbusinesses.EachPartyagreestokeepsuch informationconfidential

andnotdisclosethecontentsthereoftoanythirdparty,tousesuchinformationonlyforthepurposesoftheSaleContractandtoreturn,attherequestoftheotherParty,anydocumentsreceivedwhichcontainconfidentialinformation.

17.2 This confidentiality obligation extends to the representatives,consultants,assistants,supervisorsandthirdpartiesappointedbythePartiesduringtheexecutionoftheContract.

18.EXPRESSTERMINATIONCLAUSEANDPENALTY

18.1.PursuanttoArticle1456oftheCivilCode,theSaleContractwillbecancelled,subject toadeclarationtothiseffectbytheVendor, ifthePurchaser:•failstomakeapayment;•hasnotacceptedtheProducts30daysafterthesendingofthenoticeofreadinessforshipment;• if the technical and construction specifications provided by thePurchaserarenotsuitable/adequate,and/orarenotincompliancewiththeregulationsinforce.

18.2IntheeventofterminationoftheContractpursuanttoArticle18.1,thePurchaserwillberequiredtopayapenaltyequalto10%oftheagreedsaleprice,tobepaidwithin7daysofreceiptoftheterminationnoticefromtheVendor,withoutprejudicetotheVendor’srighttoclaimcompensationforthefurtherlosses.

19.SAFETYSTANDARDS

19.1TheProductsaremanufacturedinaccordancewithItaliansafetystandards.ItisagreedthatthePurchaserbearsfullresponsibilityforanyfailuretoinformtheVendoraboutthelocallawsandregulationsinforceintheCountryinwhichtheProductwillbeused.Insuchcase,any costs incurred for ensuring that the Product complieswith theprovisionsofthelawsandregulationsoftheCountryinwhichitistobeusedshallbeborneexclusivelybythePurchaser.

20.INSTALLATIONANDCOMMISSIONING

20.1 The installation and commissioning of the Products sold areregulatedandgovernedbytheprovisionsofAnnex2totheseGeneralTermsandConditions,whichconstitutesanintegralpartofthelatter;therefore knowledge and acceptance of these General Terms andConditionsalsoimpliesknowledgeandacceptanceoftheprovisionsofsaidAnnex.

21.DATAPROTECTION

21.1Uponreceiptoftheofferand/orregistrationontheBFTWebsite,theBuyerexpressestheirconsenttotheprocessingoftheirpersonaldata, pursuant to Article 13 GDPR - Regulation (EU) 2016/679 andnational legislation on the protection of personal data, subject toviewingtheextendedversionoftheprivacystatementavailableontheBFTwebsite.

22.APPLICABLELAWANDLANGUAGE

22.1AllmattersnotregulatedbytheGeneralTermsandConditionsofSaleortheindividualsalecontractsaregovernedbyItalianlaw.

22.2AnydisputesarisingfromtheapplicationoftheGeneralTermsandConditionsofSale, the interpretation thereoforof the individualsalecontracts,aregovernedbyItalianlaw.

22.3ThelanguagegoverningtheseGeneralTermsandConditionsshallbe Italian, notwithstanding any translation into another language. IncaseofinconsistencybetweentheItaliantextandthetranslatedtext,thePartiesagreethattheItaliantextshallprevailandwillbetheofficialdocumentusedtointerprettheseGeneralTermsandConditions.

22.4 The application of the United Nations Convention on theInternationalSaleofGoods(Vienna-1980-CISG)isexpresslyexcluded.

23.COMPETENTCOURT

23.1AnydisputesarisinginrelationtotheSaleContract,includingthoserelatedto itsvalidity, interpretation, implementationandtermination,shallbereferredtotheexclusivejurisdictionoftheCourtofVicenza,withoutprejudice,whereapplicable,totheprovisionsoftheConsumerCode.

24. CODE OF ETHICS AND ORGANISATION, MANAGEMENT ANDCONTROLMODEL

24.1 The Purchaser declares to be aware of the current legislationregarding the administrative responsibility of companies and theprovisionsoftheLegislativeDecree231/2001.24.2ThePurchaseracknowledgesthatBFTSpAhasadoptedaCodeof Ethics in compliance with the provisions of Legislative Decree231/2001.TheCustomeralsodeclarestohavereadthetextpublishedon the website at: https://www.bft-automation.com/bft/modello-organizzativo-e-codice-etico/

24.3ThePurchaser undertakes, alongwith its directors, employeesand/or contractors, not to carry out any actions that violate theBFTSpACodeofEthicsand,moregenerally, thecommissionoftheoffencesreferredtobyLegislativeDecree231/2001.

24.4 The Purchaser also guarantees that it has implementedappropriatemeasurestoensurecompliancewiththeperformanceoftheactivitiescoveredbythiscontract,inaccordancewiththeprovisionsoftheCodeofEthicsofBFTSpA.

24.5 In case of non-compliance by the Customer with LegislativeDecree 231/01 and the Code of Ethics, BFT SpAmay terminate thecontract for a breachpursuant toArticle 1456of theCivil Code, bygivingsimplewrittennoticetotheCustomerbyregisteredletterwithreturnreceipt,withoutprejudicetotherequestfordamages.

24.6 When criminal proceedings are opened against the Seller forsignificant offences pursuant to Legislative Decree 231/2001, BFTSpAmustbeimmediatelynotifiedofthisanditshallhavetherighttoterminatethecontract.
