W H E R E A S , Recipient has submitted to PREAA a request for Extensin of Term ofOriginal Agreement seeking to receive an incentive under the Green Energy Fund created by ActNo. 83 o f Jury 19, 2010 ( Act 83 ) for the installation of a 100 kW Solar Energy System, at thefo l lowing location Plaza Monte Real PR-2 Km 45.8 Manat, PR, 00674 ( Facility ), as furtherdescribed in this Agreement; and

W H E R E A S , PREAA desires to provide such incentive on the terms and conditions setforth herein, in accordance with the Regulations and the Original Reservation Agreements terms:

N O W, T H E R E F O R E , in consideration of the promises and the mutual covenantscontained in this Agreement and for other good and valuable consideration, the receipt and

adequacy of which is hereby acknowledged, the Parties hereto agree as follows:

1. Tenn of Agreement and Reservation Period

1.1. Effective Date. This Agreement became effective on September 30 2011 (theEffective Date ).

1.2. Extensin of Term of Original Agreement. The term of this Agreement ( Term )shall commence on the date of its execution.

1.3. Extensin of the Incentive Reservation Period. Notwithstanding the Term of thisAgreement, the GEP shall reach Project Completion within the period of ninety90) days f rom the Tem hereof, namely until September 30 2012 ( Extensin

Period ). f the Project is not completed within the Extensin Period, theincentive reservation wi l l be cancelled.

2. Other Covenants

2.1. Terms and Conditions. Al l other Terms, Conditions and Appendixes, as well asgoods and services o f the original agreement, wi l l remain in f u l l forc and effect.
