PROTOCOL AMENDING THE CONVENTION ON THE LIMITATION PERIOD IN THE INTERNATIONAL SALE OF GOODS

THE STATES PARTIES to this Protocol,

CONSIDERING that international trade 1s an important factor in the promotion of friendly relations amongst States,

BELIEVING that the adoption of uniform rules governing the limitation period in the international sale of goods would facilitate the development of world trade,

CONSIDERING that amending the Convention on the Limitation Period in the International Sale of Goods, concluded at New York on 14 June 197q (the 1974 Limitation Convention), to conform to the United Nations Convention on Contracts for the International Sale of Goods, concluded at Vienna on 11 April 1980 (the 1980 Sales Convention}, would promote the adoption of the uniform rules governing the limitation period contained in the 1974 Limitation Convention,

HAVE AGREED to amend the 1974 Limitation Convention as follows:

Article I

(1) Paragraph 1 of article 3 is replaced by tne following provisions:

"1. This Convention shall apply only

(a) if, at the time of the conclusion of the contract, the places of business of the parties to a contract of international sale of goods are in Contracting states; or

(b) if the rules of private international law make the law of a Contracting State applicable to the contract of sale. n

(2) Paragraph 2 of article 3 is deleted.

(3) Paragraph 3 of article 3 1s refiumbered as paragraph 2.

Article II

(1) Subparagraph (a) of article 4 1s deleted and replaced by the following provision:

"ea) of goods bought for personal, family or household use, unless the seller, at any time before or at the conclusion of the contract, neither knew nor ought to have known that the goods were bought for any such use;

(2) Subparagraph (e) of article 4 1s deleted and is replaced by the following provlsiOl. :

"(e) of ships, vessels, hovercraft or aircrafti"

Article III

A new paragraph 4 1s added to article 31 reading as follows:

11(4) If, by virtue of a declaration under this article, this Convention extends to one or more but not all of the territorial units of a Contracting State, and if the place of business of a party to a contract Is located In that State, this place of business shall, for the purposes of this Convention, be considered not to be in a Contracting State, unless it is in a territorial unit to which the Convention extends."

Article IV

The pro~isions of article 34 are deleted and are replaced by the following provisions:

"1. Two or more Contracting States which have the same or closely related legal rules on matters governed by this Convention may at any time declare that the Convention shall not apply to contracts of international sale of goods where the parties have their places of business in those States. Such declarations may be made jointly or by reciprocal unilateral declarations.

2. A Contracting State which has the same or closely relRted legal rules on matters governed by this Convention as one or more non-Contracting States may at any time declare that the Convention shall not apply to contracts of international sale of goods where the parties have their places of business in those states.

3. If a State which is the object of a declaration under paragraph (2) of this article subsequently becomes a Contracting State, the declaration made shall, as from the date on which this Convention enters into force in respect of the new Contracting State, have the effect of a declaration made under paragraph (1), provided that the new Contracting State joins in such declaration or makes a reciprocal unilateral declaration."

Article V

The provisions of article 31 are deleted and are replaced by the following provisions:

"This Convention shall not prevail over any international agreement which haa already been or may be entered into and which contains provisions concerning the matters governed by this Convention, provided that the seller and buyer have their places of business in States parties to such agreement."

Article VI

At the end of paragraph 1 of article 40, the following provision is added:

"Reciprocal unilateral declarations under article 34 shall take effect on the first day of the month following the expiration of six months after the receipt of the latest declaration by the Secretary-General of the United Nations,"

FINAL PROVISIONS

Article VII

The Secretary-General of the United Nations is hereby designated as the depositary for this Protocol.

Article VIII

(1) This Protocol shall be open for accession by all states.

(2) Accession to this Protocol by any State which is not a Contracting Party to the 1974 Limitation Convention shall have the effect of accession to that Convention as amended by this Protocol, subject to the prOVisions of article XI.

(3) Instruments of accession shall be deposited with the Secretary-General of the United Nations.

Article IX

(1) Th1S Protocol shall enter into force on the first day of the sixth month following the deposit of the second instrument of accession, provided that on that date:

(a) the 1974 Limitation Convention is itself in force; and

(b) the 1980 Sales Convention is also in force.

If these Conventions are not both in force on that date, this Protocol shall enter into force on the first day on which both Conventions are in force.

(2) For each State acceding to this Protocol after the second instrument of accession has been deposited, this Protocol shall enter into force on the first day of the sixth month following the deposit of its instrument of accession, if by that date the Protocol 1s itself in force. If by that date the Protocol itself is not yet in force, the Protocol shall enter into force for that State on the date the Protocol itself enters into force.

Article X

If a State ratifies or accedes to the 197~ Limitation Convention after the entry into force of this Protocol, the ratification or accession shall also constitute an accession to this Protocol if the State notifies the depositary accordingly.

Article XI

Any State which becomes a Contracting Party to the 1974 Limitation Convention, as amended by this Protocol, by virtue of articles VIII, IX or X of this Protocol shall. unless it notifies the depositary to the contrary, be considered to be also a Contracting Party to the Convention, unamended, in relation to any Contracting Party to the Convention not yet a Contracting Party to this Protocol.

Article XII

Any State may declare at the time of the deposit of its instrument of accession or its notification under article X that it will not be bound by article I of the Protocol. A declaration made under this article shall be in writing and be formally notified to the depositary.

Article XIII

(1) A Contracting State may denounce this Protocol by notifying the depositary to that effect.

(2) The denunciation shall take effect on the first day of the month following the expiration of twelve months after receipt of the notification by the depositary.

(3) Any Contracting State in respect of which this Protocol ceases to have effect by the application of paragraphs (1) and (2) of this article shall remain a Contracting Party to the 1974 Limitation Convention, unamended, unless it denounces the unamended Convention in accordance with article 45 of that Convention.

Article XIV

(1) The depositary shall transmit certified true copies of this Protocol to all States.

(2) When this Protocol enters into force in accordance with article IX, the depositary shall prepare a text of the 191~ Limitation Convention, as amended by this Protocol, and shall transmit certified true copies to all States Parties to that Convention, as amended by this Protocol.

DONE at Vienna, this day of 11 April 1980, in a single original, of which the Arabic, Chinese, English, French, Russian and Spanish texts are equally authentic.

PROTO COLE MODIFIANT LA CONVENTION SUR LA PRESCRIPTION EN MATIERE DE VENTE INTERNATIONALE DE MARCHANDISES

LES ETATS PARTIES AU PRESENT PROTOCOLE,

CONSIDERANT Itimportance du commerce international pour la promotion de relations amicales ent~e les Etats,

ESTlMANT que l'adoption de regles uniformes applicables au delai de prescription en matiere de vente internationale de marchandises favoriserait Ie developpement du commerce mondial,

CONSIDERANT egalement qu'une modification de la Convention sur la prescription 3" matiere de vente internatlonale de marchandlses, conclue a New York Ie 14 juin 197~ (Convention de 1974 sur la prescription), afin d'en harmoniser les dispositions aveo celles de la Convention des Nations Doies sur les cent rats de vente internationale de marchandises, canclue a Vienne Ie 11 avril 1980 (Convention de 1980 sur la vente), faciliteralt l'adoption des regles uniformes applicables au delal de prescription que contient la convention sur 1a prescription.

SONT CONVENUS de modifier la Convention de 1914 sur la prescr1ption comme suit

Article I

1. Le paragraphe t de l'article 3 est remplace par 1a disposition suivante

"1. La presente Convention ne a'appliQue Que

a) 31, au moment de la conclusion du contrat, les parties a un contrat de vente internationale d'objets mobl1iers corporels ont leur etablissement dans des Etats contractantsj OU

b) si les regles du droit international prive rendent applicable au contrat de vente la 10i d'un Etat contractant."

2. Le paragraphe 2 de l'article 3 est supprime.

3. La paragraphe 3 de l'article 3 devient de ce fait Ie paragraphe 2~

Article II

1. L'al!nea a) de l'article 4 est supprime et rem place par la disposition suivante

"a) d'objets mobiliers corporels achetes pour un usage personnel, . familial ou domestique, a mains que Ie vendeur, a un moment quelconque avant la conclusion ou lors de la conclusion du contrat, n'ait pas su et n'alt pas ete cense savoir que ces objets etaient achetes pour un tel usage;".

2. L'al1nea e) de l'article 4 est supprime et remplace par la disposition sulvante

"e) de navires, bateaux, aeroglisseurs et aarooefs;".

Article III

Le nouveau paragraphe 4 ci-apres est ajoute a llarticle 31 :

"4. Si, en vertu dlune declaration faite conformement au present article, la presente Convention s'applique a l'une OU plusieurs des unites territoriales d'un Etat contractant, mais non pas a toutes t et 51 l'etablissement d'une partie au contrat est situe dans cet Etat, cet etablis3ement sera considers, aux fins de la presente Convention, comme n'atant pas situe dans un Etat contractant, a moins qu'il ne soit situe dans une unite territoriale a laquelle la Convention s'applique.".

Article IV

Les dispositions de l'article 34 sont supprimeea et remplacees par les suivantes :

"1) Deux ou p1usieurs Etata contractants qui, dans des matieres regies par 1a presente Convention, appliquent des regles juridiques identlques au voisines peuvent, a tout moment, declarer que la Convention ne sl appliquera pas aux contrats de vente internationale de marchandises lorsque les parties ont leur etablissement dans ces Etats. De telles declarations peuvent etre faites conjointement ou etre unilaterales et reciproques.

2) Un Etat contractant qui, dans des matieres regies par 1a presente Convention, applique des regles juridiques identiques ou voisines d~ ~elles d'un ou de plusieurs Etats non contractants peut, a tout moment, declarer que la Convention ne s'appliquera pas aux contrats de vente internationale de marchandises lorsque les parties ant leur etablissement dans ces Etats.

3) Lorsqu'un Etat a l'egard duquel une declaration a ete falte en vertu du paragraphe 2 du present article devient par la suite Etat contractant, la declaration mentionnee aura, a partir de la date a laquelle la presente Convention entrera en v1gueur a l'egard de ce nouvel Etat contractant, les erfeta dlune declaration faite en vertu du paragraphe 1, a condition que Ie nouvel Etat contractant s'y associe au faase une declaration unilaterale a titre reciproque. n •

Les dispositions de l'artiole 37 .ont 8upprimee. et remplacees par 1e texte 8uivant

Article VI

La disposition suivante est ajoutee a la fin du paragraphe 1 de l'article 40

"Les declarations unl1aterales at reciproques faites en vertu de l'article 34 prendront erret Ie premier jour du mols Bulvant l'expiration d'une periode de six mols apres la date de la reception de la derniere declaration par Ie Secretaire general de ItOrganisation des Nations Vnles.".

DISPOSITIONS FINALES

Article VII

Le Secl'etaire general de l'Organisation des Nations Unies est designs comme depositaire du present Protocole.

Article VIII

1) Le present Protocole sera ouvert a t'adhesion de tous les Etaea.

2) L'adheaion au present Protocole par un Etat qui n'est pas partie contraotante a la convention de 197~ sur la prescription aura l'erfet d'une adhesion B la Convention tel Ie que modifiee par Ie present Protocole, sous reserve dp.s dispositions de l'article XI.

3) Les instruments d'adhesion aeront deposes aupres du Secretaire general ae l'Organisation des Nations Unles.

Article IX

1) Le present Protocole entrera en vigueur Ie premier jour du slxieme mols sulvant 1e depot du deuxieme instrument d'adheslon f a condition:

a) que la Convention de 1974 sur la prescription soit elle-merne en vigueur a cette date, at

b) que Is Convention de 1980 sur la vente soit egalement en vlgueur a cetle date.

S1 ces conventions ne sont pas toutes les deux en vlgueur a cette date, Ie present Protocole entrera en vigueur Ie jour merne ou toutes deux seront en vigueur.

2) Pour chaeun des Etats qui adherera au present Protocole apres que Ie deuxieme instrument d'adheslon aura ete depose, Ie present Protocole entrera en vigueur Ie premier jour du sixieme mols suivant Ie depot de son instrument d'adhesion, 5i a cette date de Ie Protocole est lui-merne en vigueur. Si, a cette date, Ie Protocole lui-merne n'est pas encore en vigueur, 11 entrera en v1gueur a 1 f egard de cet Etat a 1a date de son entree en vlgueur.

Article X

31 un Etat ratifie la Convention de 197q sur 1a prescription ou y adhere apres I'entree en vlgueur du present Protocole, cette ratification au cette adhesion constituera egalement une adhesion au present Protocole a condition que l'Etat adresse au depos1taire une notification a cet effet.

Article XI

Tout Etat qui deviellt partie contractante a 1a Convention de 1974 sur 1a prescription lel1e que modifiee par 1e present Protocole en vertu de 1'artlcle VIII, de l'article IX au de l'article X du present Protoco1e, et qui n'adresse pas de notification en sens contraire au deposltaire, sera considere comme etant egalement partie contractante a 1a Convention de 1974 sur la prescription non modlf1ee dans ses rapports avec toute partie contractante a cette derniere convention qui n'est pas devenue -partie contract ante au present Protoco1e.

Article XII

Tout Etat peut declarer, au moment du depot de son instrument d'adhesion ou de sa notification en vertu de l'article X, qu'll ne sera pas lie par l'article I du Protocole. Une declaration en vertu du present article devra etre faite par ecrit et notifiee forrnel1ement au depositaire.

Article XIII

1) Tout Etat contractant pourra denoncer Ie present Protocole par notification adressee a cet efret au depositaire.

2) La denonciation prendra erret Ie premier jour du mols suivant l'expiratlon drune per10de de douze mots a compter de la date de reception de la notification par 1e depo3itaire.

3) Tout Etat contractant a l'egard duquel Ie present Protocole cessera d'avolr effet en application des paragraphes 1 at 2 du present article demeurera partie contractante a la Convention de 197ij sur la prescription non mOdifiee, saur denonclation de cette convention effectuee conformement a l'article 45.

Article XIV

1) Le depositaire transmettra a tous les Etata un exemplaire oertlfte conforme du present Protocole.

2) Lorsque Ie present Protocole entrera en vigueur conforroement a l'artlcle IX, Ie deposltaire etab11ra Ie texte de 1a Convention de 1974 sur 1a prescription telle que mod1f1ee par Ie present Protocole et en adres3era un exemplaire certifle con forme a tous les Etats parties a ladite Convention tella que modifiee par Ie present Protocole.

PROTO COLO POR EL QUE SE ENMIENDA LA CONVENCION SOBRE LA PRESCRIPCIDN EN MATERIA DE COMPRAVENTA INTERNACIDNAL DE MERCADERIAS

LOS ESTADOS PARTES en e1 presente Protoco10,

CONSIDERANDO que 01 comorcio internacional con.tituye uq factor importante para e1 fomento de las relaciones amlstosas entre los Estados,

ESTIMANDO que la adopcion de normas uniformes que regulen e1 plaza de prescripclon en la compraventa internacional de mercader!as facilitar!a e1 desarrollo del comeroio mundial,

CONSIDERANDO que la enmienda de la Convenct6n sobre la prescripclon en materia de compraventa Internacional de mercacter{as, celebrada en Nueva York e1 14 de junio de 1914 (Convenclon sobre la prescripclon, de 1974), para armonizarla con la Convenc16n de las Naclones Unidas sabre los contrato8 de compraventa Internaclonal de mercader{as t celebrada en Viena e1 11 de abrl1 de 1980 (Convencion sobre la compraventa, de 1980), facilitaria la adopcion de las normas uniformes que regulan e1 p1azo de prescripclon enuncladas en la Convene ion sobre la prescripc16n, de 1974,

HAN CONVENIDO en enmendar 1a Convenclon sobre 1a prescrlpclon, de 197~, de Is manera aiguiente:

Articulo I

1) Se .u.tituye e1 parrafo 1 del articulo 3 por la di.posicion .iguiente:

"1. La presente Convene ion solo se apllcara:

a) cuando, en e1 momento de la celebraclon del contrato, los establecimientos de las partes en un contrato de compraventa Internacional de mercaderias eaten situados en Estadoa Contratantes; 0

b) cuando, en virtud de las normas del derecho lnternacional privado, la ley de un Estado Contratante sea aplicable a1 contra to de compraventa."

2) Se .uprime el parrafo 2 del articulo 3.

3) El parrafo 3 del articulo 3 paBa a ser e1 parrafo 2.

Articulo II

1) Se suprime el apartado a) del articulo 4 y se sustltuye par la disposlclon siguiente:

Ha) de mercader:fas cl1mpradas para usa personal, Iam.l.l.i.ar domestico, salvo que e1 vendedor, en cualquier momento antes de la celebrac16n del contrato 0 en el momento de su celebrac16n, no hublera tenldo nl deblera haber tenldo conoclmlent,o de que las mercader{as se compraban para ese uso;"

2) Se suprlme el apart ado e) del artIculo 4 y se sustltuye porIa dlsposlc16n slguiente:

Ite) de buque8, embarcaciones, aerodeslizadores y aeronaves;".

Articulo III

Se afiade Utt nuevo parra fa 4 a1 articulo 31 can e1 texto slguiente:

"~. Si, en virtud de una declaraclon hecha can forme a este artIculo, la presente Convencion se aplica a una 0 varias de las unidades terr1toriales de un Estado Contratante, perc no a todas elIas, y 51 el establecimiento de una de las partes en e1 contrato esta situado en ese Estado, se conslderara que, a los erectos de la presente Convenclon, ese establecimiento no esta en un Estado Contratante, a menos que se encuentre en una un1dad territorial a la que se aplique la Convencion. 1I

Artfculo IV ------

Se suprimen las disposiciones del articulo 34 y se sustituyen por las siguientes:

ftl. Dos 0 mas Estad03 Contratantes que, en las materias quP. se rigen por la presente Convencion, tengan normas juridicas identicas 0 simi lares pod ran declarar, en cualquier momento, que 1a Convencion no se aplicara a los contratos de compraventa internacional de mercaderias cuando las partes tengan sus estableclmientos en esos Estados. Tales declaraciones podran hacerse conjuntamente 0 mediante declaraciones unilaterales reciprocas.

2. Todo Estado Contratante que, en las materias que se rigen por Is presente Convencion, tenga nornlas juridicas Identicas 0 slml1ares a las de uno 0 varios Estados no contratantes podra declarar, en cualquler momento, que la Convenci6n no se apllcara a los contratos de compraventa internaclonal de mercader!se cuando las partes tengen BUS establecimientoB en esos Estados.

3. Si un Estado respecto del cual se haya hecho una declaraclon con forme a1 parrafo 2 de aste articulo liega a ser ulteriormente Estado Contratante, la declaracion surtlra los efect03 de una declaracion hecha con arreglo al parrafo 1 desde la fecha en que la Convencion entre en vigor respecto del nuevo Estado Contratante, siempre que el nuevo Estado Contratante suscriba esa declaracion o haga una declaracion unilateral de caracter recIproco."

Articulo V -----

Se suprlmen las disposiciones del articulo 37 y se sustituyen POl' las 8iguientes:

"La presente Convenc16n no pl"evalecera sobre ningun acuerdo internaclonal ya celebrado 0 que se celebre Que contenga disposiciones relatives a las materias que se rigen pOl" la presente Convencion, siempre que 1&8 p~tC3 tengsn SUB establecimlentos en Estados partes en es~ acuerdo."

Articulo VI ----.-

Al final del parrafo 1 del articulo 40, se afiade la disposlclon sJ.gulente:

"Las declaraciones unilaterales reciprocas hechas con forme a1 articulo 34 surtiran efeoto e1 primer dia del mes ~jguiente a la expiracion de un plaza de seis meses contados desde la fecha en que ~l Secretario General de las Naclonea Unldas haya recibido la ultima declaraci6n.~

DlSPOSICIONES FINALES

Articulo VII

El Secretario General de las Naciones Unidas queda designado depositarl0 del presente Protocolo.

Articulo VIII

1) El presente Protocolo estara abierto a la adhesion de todos los EstadoB.

2) La adhesion al presente Protocolo de cualquier Estado que no sea Parte Contratante en la Convencion sobre la prescripcion, de 197Q, surtira e1 efecto de una adhesion a esa convencion enmendada por el presente Protocolo, sin perjuicl0 de 10 dispuesto en el articulo XI.

3) Los instrumentos de adhesi6n se deposltaran en poder del Secretarl0 General de las Naciones Unidas.

Articulo IX

1) El presente Protocolo entrara en vlp;or e1 primer dis del sexto mes sigulente a 18 Cecha en que se haya deposltado e1 segundo instrumento de adhesion, siempre qu'e en esa fecha:

a) la propia Convene ton sobre la preseripeion, de 1974, este en vigor; y

b) la Convene ion sobre la compraventa, de 1980, tambien este en vigor.

Si esas des Convenciones no estuvieren en vigor en eSB fecha, el presente Protoeolo entrara en vigor e1 primer dra en que ambas Convencionea eaten en vigor.

2) Para cada Estado que se adhiera a1 presente Protocol0 despues de que se haya depositado e1 segundo inatrumento de adhesion, el presente Protocol0 entrara en vigor el primer dIa del sexto mes siguiente a la fecha en que haya deposttado su instrumento de adhesion, 51 en eSB fecha e1 Protoeolo mismo estuviere en vigor. Si en eaa fecha e1 Protocolo mismo no estuviere aun en vigor, el Protocolo entrara en vigor para ese Estado en la fecha en que el Protocol0 mismo entre en vigor.

Articulo X

51 un Estado ratifiea la Convenei6n sobre la preseripcton, de 1974, 0 se adhiere a ella, despues de la entrada en vigor del presente Protocol0, la ratiflcacion 0 la adhesion tamb1en const1tulran adhesion a1 presente Protocolo a1 e1 Eatado 10 notifica al depositar10.

Articulo XI

Todo Estado que 11egue a ser Parte Contratante en la Convenc16n sobre la prescrlpclon, de 1974, enmendada por e1 presente Protocolo, en v1rtud de los artIculos VIII, IX 0 X del presente Protocol0 sera considerado tamblen, salvo notificacion en contrario a1 deposltarl0, Parte Contratante en la Convenclon, no enmendada, respecto de cualquier Parte Contratante en la Convenclon que no sea sUn Parte Contratante en el presente Protocol0.

Articulo XII

Todo Estado podra declarar en el momento del deposito de su instrumento de adhesion a de su notificacion con forme al articulo X que no quedara obligado por e1 artIculo I del Protocol0. Toda declaracion hecha conforme a este artIculo se hara constar per escrito y se notlficara forma1mente a1 depositario.

Articulo XIII

1} Todo Estado Contratante podra denunciar e1 presente Protocolo mediante notificac1on a1 erecto al deposltario.

2) La denuncta surtlra ereeto el primer' dIa del mes aiguiente a la exp1racion de un plazo de doce meses contados desde la fecha en que la not1flcac1on haya sido recibida por e1 deposltario.

3) Todo Estado Contratante respecto del cual el presente Protocolo deja de aurtlr efecto en aplicaclon de los parrafos 1) y 2) de este articulo seguira siendo Parte Contratante en la Convencion sabre 1a prescripc1on, de 1974, no enmendada, a menos que denuna1e 1a Convencion, no enmendada, con forme a1 articulo 45 de eS8 Convenclon.

Articulo XIV

1) El depositario transmitira copias cert1f!cadas conformes del presente Protoco10 a todos 109 Estados.

2) Al entrar en vigor e1 presente Protocolo con forme a1 articulo IX, e1 depositarl0 preparara un texto de la Convenci6n sobre 1a prescrlpcion, de 1974, enmendada par el presente Protocolo, y transmitira copias certlflcadas conformes a todos los Estados Partes en esa Convenoion, enmendada par e1 presente Protocolo.

HECHO en Viena, el dia Once de abril de mil novecientos ochenta, en un solo original, cuyos textos en arabe, chino, espanol, frances, Ingles y rUBO son igualmente Butent1cos.
