In the midst of our twenty-first year as an organization, this board meeting serves as our annual meeting of the members, our strategic session, and tactically provides a foundation from which the 2016 annual plans are developed.

We are very fortunate to have Christine Tezak as our dinner speaker. Her biography is provided in this agenda package. Many of you know Christi and remember her from a prior board dinner event. Her knowledge of energy markets and finance make her a perfect speaker to kick off our strategic session and meeting of the members. We are grateful that she found time to fly to Houston for us.

This board meeting serves as our annual meeting of the members and strategic session of the organization. We have invited a stellar panel of industry leaders to join us on Thursday, led by Sheila Hollis, and including Timothy Simon, Annabelle Lee, Wayne Gardner, Rick Smead, Christine Tezak, Lorraine Cross, Marc Spitzer, Michelle Foss and Terry Thorn. Their remarks on the direction for our organization and our efforts to support policy and market needs through standards development should provide a strong basis from which we can begin to develop our 2016 annual plans. Their bios are attached.

SPEAKER BIOGRAPHIES

Lorraine Cross

Principal, Cross & Company P.L.L.C.

Ms. Cross received a juris doctorate from the University of Virginia School of Law. She is admitted to practice in the Commonwealth of Virginia and the District of Columbia. She is a member of the Energy Bar Association and past President of the National Capitol Area Chapter of the International Association of Energy Economists.

In addition, Ms. Cross earned a Masters degree from The Johns Hopkins University in Baltimore, Maryland and a Bachelor of Arts Degree sumuon bonum from Mary Washington University, in Virginia.

Ms. Cross was elected a member of the Phi Beta Kappa National Honor Society, Alpha Pi Sigma National Honor Society, and the Pi Gamma Mu Honor Society for Social Studies. She received the Pi Gamma Mu Scholarship for Graduate Studies; the Chancellor’s Fund Award and was nominated to be a Danforth Fellow.

Ms. Cross was selected by the then Chief Judge of the U.S. Nuclear Regulatory Commission, Alan Rosenthal, to serve a two-year honors law clerkship. Subsequently, she spent twelve years as Counsel, Regulatory Affairs and then Director, Executive Branch Relations, at the American Gas Association (“A.G.A.”). A.G.A. is the representative organization of natural gas distribution companies in the United States. She spent eight years as Vice President of Executive Branch Relations for the Interstate Natural Gas Association of America, the representative organizations for natural gas pipeline companies in North America. During Ms. Cross’ tenure with these organizations, she was responsible for Regulatory Affairs during the implementation of open access transportation policies in the U.S. natural gas industry.

In 2001, Ms. Cross was engaged by the Edison Electric Institute, the premier organization representing electric transmission, distribution and generator companies in the United States. Ms. Cross was responsible for directing the liaison of the power sector with the Administrations of Presidents Clinton and George W. Bush during an electricity crisis that in the Western Interconnection. Ms. Cross subsequently joined the Mirant Americas Inc., a global power developer.

In 2003, Ms. Cross joined the law firm of Brunenkant & Haskell, LLP. She was named partner in 2004 and the firm was re-named Brunenkant & Cross, LLP. In 2009, Ms. Cross formed her own law firm, Cross & Company, PLLC.

Dr. Michelle Foss

Chief Energy Economist and Head of Center for Energy Economics, The University of Texas at Austin, Bureau of Economic Geology

Dr. Michot Foss is an executive professor for the McCombs School of Business corporate programs and ExxonMobil instructor of excellence for the worldwide upstream Commercial Overview program. Dr. Foss has more than thirty years’ experience in energy and environmental research and consulting (oil and gas, coal, nonfuel minerals, electric power) in the United States and abroad in senior positions with extensive public speaking and publications. Her expertise extends to applied energy economics and business development, enterprise strategy and commercial operations, and business-government relationships across the energy value chains, and she has led or participated in numerous executive/senior management planning and scenario-building briefings on global energy issues and trends. She has also led in project and grant administration and management, including federal, state, and corporate funding, where she has generated more than $8 million in federal support for research centers. Under her leadership, her group, the Center for Energy Economics, was a finalist in the World Oil Awards for Best Outreach Program in 2006 and 2007.

The CEE is a center of excellence on the principles and international standards underlying commercial energy development and business-government linkages. At CEE, Dr. Michot Foss develops and directs research on economics of the energy value chains and commercial frameworks to support energy investment. She coordinates and implements activities at CEE in support of major BEG projects and initiatives. She advises U.S. and international energy companies; publishes and speaks widely on energy issues; provides public commentary and testimony to governments; and oversees the CEE’s administration, funding, and internal, University of Texas collaborations. Wayne Gardner

Wayne E. Gardner is a results-driven senior manager with 30+ years of managerial, operational and regulatory experience. A creative leader and change agent with success in business development, business process re-engineering, new product development and equity fund raising.

From June 2008 to September 2013, Wayne served as commissioner on the Pennsylvania Public Utility Commission (PUC) after being nominated by Governor Edward G. Rendell to a five-year term unanimously confirmed by the Pennsylvania Senate on June 30, 2008. At the PUC Wayne focused on reliability and safety of supply and customer service. Wayne served on the board of directors for the Pennsylvania Environmental Quality Board, the Mid-Atlantic Conference of Regulatory Utilities Commissioners (MACRUC), and the Electricity Committee of the National Association of Regulatory Utilities Commissioners (NARUC). Wayne Gardner is a past member of the Pipeline and Hazardous Materials Safety Administration (Natural) Gas Pipeline Safety Standards Committee.

Immediately prior to joining the PUC, Wayne Gardner partnered in developing wind power projects in South Africa.

From April 2002 to December 2005, Wayne Gardner served as vice president and general manager of Franklin Fuel Cells Inc., where he oversaw its formation, development and day-to-day operations.

Previously, Wayne served in several operational and managerial capacities over a 20-plus-year career at PECO Energy Company (Exelon Corporation), including fossil fueled power plant operations, strategy and new business development, field service and energy technologies investments. In 2000, Wayne went to EnerTech Partners as an Exelon Fellow.

Wayne holds a Bachelor of Science degree in Business Administration from Drexel University in Philadelphia, is chairman emeritus of the Distributed Power Coalition of America (DPCA), and served on the Steering Committee - Distributed Resources Task Force for the Edison Electric Institute. He also has earned certificates from studies at The Wharton School of the University of Pennsylvania, Cornell University, and the American Management Association in Chicago.

Wayne was born and raised in Birmingham, Alabama. Wayne currently resides in Downingtown (Chester County), PA.

Shelia Slocum Hollis

Sheila Slocum Hollis is chair of the Washington, D.C. office of Duane Morris LLP. She served on the firm’s Executive Committee for over a decade and on its Partners’ Board from 1997 - 2015. She was the founding managing partner of the firm’s Washington office and the Energy, Environment and Resources Practice. Ms. Hollis specializes in domestic and international energy and environmental matters, representing governmental bodies and the energy industry. Sheila represents corporations, governmental entities, and a variety of other clients in many of the major issues and challenges in energy law and policy. She is recognized by Chambers Guide (2008-present) and is AV® Preeminent™ 5.0 out of 5 rated by Martindale-Hubbell. Ms. Hollis was the first Director of the Office of Enforcement of the Federal Energy Regulatory Commission, establishing the office and its policies and procedures, serving from 1977 to 1980 and was a trial lawyer at the Federal Power Commission from 1974 to 1975. Recognized by the National Law Journal as one of the nation’s top energy lawyers, and by various organizations for her expertise in oil, gas, and electric law issues, Ms. Hollis was the first woman to serve as President of the Energy Bar, and was Chair of the American Bar Association’s Section of Environment, Energy and Resources. She now serves as the Section’s representative in the ABA House of Delegates and was its representative to the Nominating Committee of the ABA. Sheila served as a Professorial Lecturer in Law at the George Washington University Law School for 20 years, teaching over 600 law students Energy Law.

Sheila chaired the Board of Editors of the ABA Journal and the Standing Committee on Gavel Awards. Sheila is Chair of the Federal Bar Association’s Energy, Environment and Natural Resources Section. She is also the representative of the ABA’s International Law to the Standing Committee of the Law Library of Congress and serves on the Governmental Affairs Committee of the ABA and on the Sustainable Development Task Force. Recognized for 25 plus years in Who’s Who in the World, America, Law and numerous other biographical publications, Sheila was also recognized as one of Washington D.C.’s “Top 50 Women Attorneys” by the Washington Post “Super Lawyers”, and in guides to the World’s Leading Oil and Gas Lawyers, Energy Lawyers and Women Business Lawyers. She serves on the Board and is Treasurer of the United States Energy Association and serves on the board of the American Friends of the Royal Society, and is a Trustee of Plimoth Plantation. A Colorado native, she is a graduate of the University of Colorado (cum laude in overall studies and with honors in Journalism) and the University of Denver College of Law. Ms. Hollis is the co-author of numerous books, scholarly articles and other documents on the energy law topic. She has lectured throughout the world and led delegations to China, Central and Latin America, Russia, Mexico and other nations in women’s rights, energy, environment and other legal and policy issues.

Annabelle Lee

Technical Executive – Cyber Security, Power Delivery and Utilization, Electric Power Research Institute

Annabelle is a Technical Executive in the Power Delivery and Utilization Sector of EPRI. She provides cyber security support to many of the projects within EPRI. Annabelle’s experience comprises over 35 years of technical experience in IT system design and implementation and over 20 years of cyber security specification development and testing. Over her career she has authored or co-authored many documents on cyber security, cryptography, and testing. She began her career in private industry concentrating on IT systems specification, software testing and quality assurance.

From 1996 to 2010, Annabelle was a Senior Cyber Security Strategist at the National Institute of Standards and Technology (NIST). She led the Smart Grid Cyber Security Working Group (CSWG) at NIST. Annabelle established the CSWG, defined the work program, and defined the cyber security and privacy strategies for the Smart Grid. The CSWG published the NIST Interagency Report (NISTIR) 7628, Guidelines for Smart Grid Cyber Security in September 2010. The NISTIR is being used throughout the United States and has been adopted by both China and Sweden.

Annabelle was detailed to the Department of Homeland Security (DHS) for four years. At DHS, Annabelle was the Director, Standards, Best Practices, and R&D Requirements Program and the Director of the Supply Chain Risk Management (SCRM) Program within the DHS National Cyber Security Division. Annabelle was the Director of the Cryptographic Module Validation Program (CMVP). Annabelle was the technical lead for the development of Federal Information Processing Standard (FIPS) 140-2, Security Requirements for Cryptographic Modules. FIPS 140-2 was made an ISO standard in 2006.

From 1984 to 1996, Annabelle was a Lead Engineer in the Criminal Justice and Public Safety Division of the MITRE Corporation. She provided support to the FBI Criminal Justice Information Services (CJIS) Division. She was the task leader responsible for defining, specifying, and monitoring the implementation of the information security program for the CJIS systems. This included the National Crime Information Center 2000 and the Integrated Automated Fingerprint Identification System.

Prior to this, Annabelle worked in the private sector concentrating on IT systems specification, implementation, and testing. Annabelle has BA from Stanford University and an MA from Michigan State University.

Timothy Alan Simon

TAS Strategies

Timothy Alan Simon was appointed to the California Public Utilities Commission by Governor Arnold Schwarzenegger on February 15, 2007 completing his term on December 31, 2013. Prior to this appointment he served as Appointments Secretary in the Office of the Governor, the first African American in California history to hold this post.

Prior to public service, Simon worked as a securities and banking industry attorney and compliance officer advising in complex financial products and services with organizations including Wells Fargo, Bank of America, Robertson Stephens and PreferredTrade. He has firmly supported investment utility in infrastructure as critical to California’s and the nation’s economic future.   He actively promotes and encourages diversity in utility procurement, educational opportunities, and workforce preparedness through New Connections, a transactional collaborative designed to expand utility supplier diversity in professional services. In 2013 Simon founded TAS Strategies, a legal advisory and consulting firm serving clients on utility infrastructure, energy, broadband and financial services.

Simon served as a member of the Board of Directors of the National Association of Regulatory Utility Commissioners (NARUC), Chairman of the NARUC Committee on Gas, the Liquefied Natural Gas Partnership between the Department of Energy (DOE)/ NARUC and Vice Chair of the Utility Market Access Subcommittee. In the wake of the tragic 2008 San Bruno explosion Simon was appointed to the Call to Action National Gas Pipeline Safety Taskforce in collaboration with NARUC and the U.S. Department of Transportation. He was also a member of NARUC’s Critical Infrastructure and Consumer Affairs Committees and the Wireless Taskforce. Simon is a member of the National Petroleum Council (NPC) participating in the landmark “Prudent Development – Realizing the Potential of North America's Abundant Natural Gas and Oil Resources” (September 2011) Simon North American Energy Standards Board (NAESB) Advisory Committee on Gas and Electric Harmonization, Advisory Council and the Parliamentary Committee.  At the state level, Simon is a former member of the Advisory Board of the Berkeley Energy & Resources Collaborative (BERC) at the University of California Berkeley and the California Green Collar Jobs Council.

Simon received a Bachelor’s degree in Economics from the University of San Francisco, (and was recognized in 2012 as a Distinguished Alumni), and a Juris Doctor from the University of California Hastings College of the Law.   He currently serves an adjunct professor of Securities Regulation and Merger Acquisitions at the Golden Gate University School of Law in San Francisco and an advisor on in Golden Gate’s U.S. Legal Studies Program. He is an active member of the State Bar of California and a frequent public speaker and panelist on topics including energy, utility policy, diversity and financial services.

Simon serves on the boards of Saint Ignatius College Preparatory (alma mater), Catholic Charities/CYO of San Francisco, Marin and San Mateo Counties (Emeritus), the Mission Dolores Academy and the African American Interest Free Loan Association.  He is engaged and is the proud father of three children and three grandchildren.

Rick Smead

Managing Director, Advisory Services, RBN Energy LLC

Rick Smead is Managing Director, Advisory Services, for RBN Energy LLC, an analytics and consulting firm based in fundamentals in the natural gas, oil, and natural gas liquids industries.   He specializes primarily in the natural gas sector, offering expert policy analysis and advice, litigation support, and strategic advice with respect to gas pipelines, potential supplies, and market initiatives. His background includes over nine years as a Director with Navigant Consulting, Inc., and over three decades in the natural gas industry. That experience included over 20 years in senior management of major interstate pipeline systems. His consulting practice has spanned the domestic natural gas industry, all aspects of the shale gas boom, LNG trade, and consumption opportunities. He was a pioneer in understanding the shale boom, managing and co-authoring the first major quantification of the U.S. shale potential in 2008, the pivotal North American Natural Gas Supply Assessment. Most recently, he has been deeply involved in the opportunities for the use of the nation’s natural gas abundance, including power generation, LNG exports, and gas-to-liquids technology. He holds a Bachelor of Science in Mechanical Engineering from the University of Maryland and a law degree from George Washington University.

Christine Tezak

Managing Director, ClearView Energy Partners, LLC

Ms. Tezak is a veteran energy analyst responsible for lead macro coverage of electricity markets, interstate pipelines, energy infrastructure and U.S. environmental policy. Her two decades of experience in electric utility and natural gas pipeline sectors enable her to craft prescient, timely and impactful analysis, particularly as energy and environmental issues have converged. Prior to joining the Firm, Ms. Tezak covered the federally regulated electricity and natural gas sectors and environmental policy as a senior research analyst and Director at Robert W. Baird & Co. Ms. Tezak also served as senior vice president with the Washington Research Group and, earlier in her career, she was a research associate with HSBC Securities, Inc. and NatWest Securities. Ms. Tezak is actively involved in energy policy and related activities. She has testified before the FERC and the U.S. House of Representatives. She served as a board member for eight-terms, and is Past President of the Washington, D.C.-based Women's Council on Energy & the Environment. In addition to remaining active in WCEE, she is a member of the Natural Gas Roundtable. Ms. Tezak holds a bachelor's degree in Russian from Boston College and an MBA in Finance from the George Washington University.

Marc Spitzer serves as a partner for the firm of Steptoe & Johnson, LLP. Marc L. Spitzer is a partner in Steptoe's Washington and Phoenix offices, where he is a member of the Regulatory & Industry Affairs Department. Mr. Spitzer served as a Commissioner on the Federal Energy Regulatory Commission from July, 2006 to December, 2011. At the FERC, Mr. Spitzer participated in Commission technical conferences, initiatives, and proceedings, including 2005 Energy Policy Act and other rulemakings, rate, enforcement and reliability cases, electric transmission policy, natural gas infrastructure, and oil pipeline matters. In 2002 he was elected chairman of the Arizona Corporation Commission (ACC) by his colleagues. As Chairman of the ACC, he focused on policies that encouraged the expansion of natural gas infrastructure, specifically distribution and storage; creating a demand side management policy; enhancing the ACC’s renewables standard; and advancing consumer privacy concerns in telecommunications. In 1992, he was elected to the Arizona State Senate for District 18. Mr. Spitzer also served in the Legislature as Chair of the Judiciary and Finance Committees and was elected by his peers to the position of Senate Majority Leader in 1996. As an attorney since 1982, Mr. Spitzer has represented public companies and private entities in disputes with Internal Revenue Service before IRS Audit and Appellate Divisions and United States Tax Court.

Terence H. Thorn

President, JKM Consulting

Terence (Terry) Thorn is a 40-year veteran of the domestic and international energy industry and has held a wide variety of senior positions beginning his career as Chairman of Mojave Pipeline Company and President and CEO of Transwestern Pipeline Company. He has served as COO of a Six Company Gas Distribution Joint Venture in Korea and was a member of its Board of Directors. He also served as EVP, Global Affairs, served on the Executive Management Committee of Enron Corp and was its first Chief Environmental Officer. Terry was selected by the United States Government to represent the US Energy industry on ten Presidential Trade Missions. His last corporate assignment was Managing Director Enron Middle East where he was responsible for midstream project development for the $5 billion Qatar/UAE Dolphin natural gas pipeline and the Country Manager for Saudi Arabia where he and his team were selected by the Saudi Government to participate in the Saudi Gas Infrastructure Initiative.

As the Chief Environmental Officer, Terry supported Greenfield projects in 14 countries. He wrote and had adopted company wide Environmental Health and Safety management standards and implemented the first environmental management plan for pipeline and power plant construction. Terry was extensively involved with the initial Climate Change discussions and has attended several COP meetings.

Terry is a past Chairman of the International Finance Committee for the Business Council for Sustainable Energy, former principal liaison for President Clinton’s Council for Sustainable Development and was a member of the Department of Commerce’s Environmental Technologies Trade Advisory Board. He was one of the first U.S. Department of Commerce appointed representatives to serve on the Energy Working Group for APEC. He currently serves as Senior Advisor to the U.S. Presidency of the International Gas Union where he helps drive the technical, policy and analytical work product for the 13 Committees and Task Forces with their 1000 members from 91 countries.

Residing in Houston, Terry is President of JKM Energy and Environmental Consulting and specializes in project development, environmental risk assessment and mitigation, business and policy development, and market analysis. He has done considerable work in the areas of pipeline integrity management, managements systems auditing, safety and reliability, and smart grids and energy systems that integrate the use of electricity, natural gas, and renewables.

Terry has published numerous articles on energy, risk management and corporate governance and was author of the International Energy Agency’s 2007 North American Gas Market Review. As advisor to European gas companies and regulators he co-authored Natural Gas Transmission Business -a Comparison Between the Interstate US-American and European Situations, Environmental Issues Surrounding Shale Gas Production, The U.S. Experience, A Primer. As a participant in the National Petroleum Council Study Prudent Development: Realizing the Potential of North America’s Abundant Natural Gas and Oil Resources (September 2011) , Terry wrote the section on electric gas harmonization, co-authored the chapter on electric generation, and advised on the residential commercial chapter. Most recently he has completed market research projects on electricity markets, gas markets including modeling the US gas markets 2015-2050.
