Anti-Trust Statement The purpose of this meeting today is to act upon matters relating to the business of St. Johns County Visitors and Convention Bureau and not to discuss or pursue the business interests of individual companies. We should proceed with caution and alertness, keeping in mind the requirements and prohibitions of Federal and State Antitrust laws. Specifically, but without limitation, there should be no discussions or deliberations relating to pricing methods, allocation of territories or customers, or restraints of trade as to property owners, suppliers or others. We should concern ourselves only with the business of St. Johns County Visitors and Convention Bureau as set forth in the agenda for this meeting.

Conflict of Interest Statement It is the duty of every member of the Board of Directors who is in any way, directly or indirectly, interested in a contract or proposed contract with the St. Johns County Visitors and Convention Bureau to disclose the nature and extent of such interest and to refrain from voting in respect to the contract or proposed contract.

1. Conference Sales Committee – Held at the Renaissance

• Discussed: - Hurricane Irma - Various shows that the group had attended - Group Closing Fund

Much discussion followed regarding Group closing fund and event Insurance. Richard is going to check into the Event Insurance and report back. [Subsequently, Richard provided board and staff with back up and contact links to exploit the VF Hurricane Event Insurance program.]

2. Leisure Sales Committee-VCB Conference Room • Discussed:

- AAA Sales Mission - 2018 Sales Initiatives - Possible additional Villages Expo Date

Charles Cox reported on the following committees:

3. Budget Committee • Discussed:

- Sponsorship Levels (This has since been executed)

4. Advertising Committee • Discussed:

- Production of Birding & Photo Fest - Photo Shoot - Easy Season

The board suggested that each committee define their purpose. Also the board would like a schedule of meeting for 2018 as well as making sure each committee has a board member as well as a staff member.

Agenda Items:

1. Do we wish to keep number of meetings the same: • Unanimously decided to keep 9 meetings a year.

2. Travel Planner fulfillment Cost: • Rick Presented the Phase V cost report • Board wants a list of cost to bring fulfillment in house • Wants a list of pros/Cons of in house distribution

3. Additional Check signers • Virginia Whetstone and Samantha Palmer will be added to check signer

list 4. New Meeting agenda format with a Consent agenda

• Virginia wants a Treasurer report to be given • Consent Agenda format is approved by all board members

Topic changed to Policy and procedures. Board wants a copy of procedures sent to every member of board to be discussed later.

5. Boardsource: • Boardsource materials were distributed for the board to review • Phil McDaniel said he was familiar with the organization and thought it

would be good to join. • The full board agreed to pay the $500.00 fee to join Boardsource

CEO Report:

Richard reported that a 360 review for himself and all directors has been initiated

• Joe Finnegan requested that a process to review CEO is put into place

1. RFP for Ad Agency and Website development • Board would like Richard to prepare and present Ad Agency RFP at a

special meeting to be voted on. • RFP for Website to be sent prior to next board meeting, along with a

cost of doing in house including Salary-Health insurance. Also a list of pros/Cons

2. Easy Season advertising and promotion drove significant overnight improvement in August and September lodging

• Joe Finnegan would like a monthly or semimonthly report on promos that are currently running

3. August and September lodging metrics very positive across the board 4. Attractions attendance reporting system:

• .August -4.4%; YTD -2.3% (Based on 11 reporting attractions) 5. Photo shoot completed for new creative for the destination, is now in final development for

introduction in FY2018

6. Media Plans approved through VCB board

7. Negotiated with FADMO for assistance with Tourism Economic Impact Reporting

8. Working with Chamber and City on Nights of Lights improvements

OTHER BUSINESS: Samantha Palmer brought up the “Homeless/Pan handlers” subject. Much discussion followed. RFP AD Agency Review

Richard Goldman opened meeting with an explanation of process and purpose of the RFP. During the meeting there was much discussion on various refinements to the Ad Agency RFP. It was decided to do the following:

1. Do not limit RFP to Florida agencies 2. Board Members will send a list of Agencies that they think would be a good fit to Richard & Carey

(this will be done by November 15th). A staff member or VCB Chair will contact agencies to let them know to be on the lookout for an RFP.

3. Add eCRM explicitly to the scope list of the RFP 4. Add judging criteria (point values) to the sections on the RFP 5. Request “What other DMO’s have you worked with” 6. We ask for size, please specify annual billing and where we fit in as one of the size measures. 7. It was decided that there should be no more than 5 finalists. 8. Scoring values for evaluation of the proposals was reviewed and determined

Phil made a motion for staff to update RFP with board edits and send back to the board by Friday November 10, 2017. [Revised RFP and process summary was sent to board members Thursday 11/9]

RFP Web Development Review

After much discussion it was decided that the Web Development Topic/RFP would be deferred until after the first of the year. The board asked that Richard Goldman come to the January meeting with the following:

1. Cost of Web Hosting alone 2. Cost of In-house Web development 3. Cost of Employee to do all of the Web Development:

o Training o Salary o Health Insurance o Computer/Programs Needed o Job Description o Who will decide on what the site needs

The VCB sales team is charged with promoting St. Augustine, Ponte Vedra & The Beaches throughout the U.S. and abroad as a group and meeting friendly destination.

Site Visits: Conducting customized destination tours encompassing county layout, points

of interest, venues and services based on clients’ needs to fulfill potential program. Site visits with partners to ensure sales team keeps up to date on their venues & services.

Sales Initiatives: Attending a variety of sales initiatives targeting key meeting professionals, travel agents, tour operators, wedding/event planners, and consumers to generate leads.

Meetings: Collectively meeting with clients to vet program needs in order to offer

compatible venues & services. Meeting with VCB partners to maintain knowledge in order to help promote group business.
