heretofore, hereof and hereafter and further agrees to indemnify [Your Name], his agents, assigns,

heirs or otherwise forever; and further,

7.agrees to immediately remove any negative item that [AGENCY] is now reporting, may report, or

have intentions to report, to any credit reporting agency that is in any way related to the account

identified by [AGENCY] as [Case#: 012345678]; and further,

8.agrees to immediately expunge the entire history of the reporting that [AGENCY] is now reporting

to any credit reporting agency that is in any way related to the account identified by [AGENCY]

as [Case#: 012345678]; and further,

9.agrees to accept, acknowledge and promise to pay in full in certified funds of legal currency of the

United States of America, made payable to [Your Name], [Your Name]s BILL for Ten Million

(10,000,000) U.S. Dollars upon receipt thereof; and further,

10.agrees that eachBILL assessed and agreed to within this document will become due and payable,

in full, at midnight on the tenth calendar day following receipt thereof and that payment, by

[AGENCY], must be in certified funds; and further,

11.agrees that if the BILL described in point nine (9) of this document is unpaid within the timeallotted, said BILL will, at midnight, every twenty-one (21) calendar days thereafter triple the

Dollar amountclaimed by [Your Name] and described in point nine (9) of this document; and

further,

12.agrees that eachBILL assessed and agreed to within this document is subject to neither third party

arbitration nor negotiation; and further,

13.agrees that [Your Name]s claims sustain significant merit, are valid and are not frivolous; and

14.agrees that the measure of days in relation to the time allotted for [AGENCY]s compliance is and

forever shall be counted in calendar days; a day reckoned from midnight to midnight; and further,

15.agrees to remit a detailed listing of all of [AGENCY]s assets, as well as those of each of its

employees and/or agents, owned individually, wholly, jointly or partly within twenty-one (21)

calendar days following the tenth day upon receipt hereof to include but not be limited to:

real estate, domestic or off shore;

motor vehicles, domestic or off shore;

office equipment, domestic or off shore;

banking and investment accounts, domestic or off shore;

corporate trusts, domestic or off shore;

holdings of any sort, domestic or off shore;

accounts receivables, factored accounts, interest bearing commercial paper, commercial

paper, domestic or off shore; and,

all assets held or used by the officers of [AGENCY], domestic or off shore; and,

the name, Social Security number, telephone number and mailing address of each of its

employees and/or agents; and further,

16.agrees that after thirty calendar days upon [AGENCY]s receipt of this document, the value of the

conditional acceptance shall be Fifty Million (50,000,000) U.S. Dollars with an expiration date of

ten (10) years; and further,

17.agrees the conditional acceptance is structured as negotiable commercial paper which shall be

redeemable upon presentation at any [AGENCY] office or branch, at any of [AGENCY]'s

financial institutions, or at any other financial institution of [Your Name]s choosing; and further,

18.agrees to the placement of liens, by [Your Name], on [AGENCY]s Corporate assets, majority

shareholders, employees, agents, and Corporate managers until each BILL assessed and agreed to

within this document is paid and the conditional acceptance negotiable commercial paper is

redeemed; and further,

19.agrees that, in any event, [Your Name] has the right, granted authority, consent and express

permission of [AGENCY] to recover by and through any means [Your Name] deems necessary to

collect and enforce eachBILL assessed and agreed to within this document; and further,

20.agrees to be prohibited from filing against [Your Name] any lawsuit or any procedure for levy or

lien or garnishment or re-possession or taking or confiscation or involuntary bankruptcy or

insolvency; and further,

21.agrees this conditional acceptance results in a private, verifiable agreement such that [Your Name]has the authority and right to personally assign, transfer or subrogate the account receivables to

any private, natural Man or Woman or to anypublic legal entity of [Your Name]s choosing; and

further,

22.agrees the conditional acceptance clearly establishes [Your Name]s position assuperiorto that of

the subordinate Corporation, [AGENCY]; and further,

23.agrees that each BILL assessed and agreed to within this document may be listed as a negotiable

security instrument at [Your Name]'s option; and further,

24.agrees not to transfer, assign or subrogate this account identified by [AGENCY] as [Case#:

012345678] or any individually associated account(s); and further,

25.agrees to be placed into involuntary bankruptcy or insolvency at [Your Name]'s option if each

BILL assessed and agreed to within this document is unpaid; and further,

26.agrees to accept, acknowledge and promise to pay in certified funds of legal currency of the

United States of America, made payable to [Your Name], within ten (10) calendar days of receiptthereof, eachBILL assessed by [Your Name] as follows:

Ten Million (10,000,000) U.S. Dollars foreach occurrence of [AGENCY]s negative reporting,

occurring ten days or later from [AGENCY]s receipt of this document, to any credit reporting

agency the account identified by [AGENCY] as [Case#: 012345678], and,

Ten Million (10,000,000) U.S. Dollars foreach communication in any form (except for proof of

claim or payment of aBILL agreed to within this document), delivered to [Your Name]s mailing

address, which is dated ten days or later from [AGENCY]s receipt of this document, and which

said communication refers to any of the account numbers associated with or related in any way to

[Case#: 012345678], and which said communication is issued by any other agent, agency, person

or assignee, including [AGENCY], and,

towards satisfying anyBILL owed to [Your Name]; and further,

28.agrees to cease any further attempt to demand and/or collect money or take property from [Your

Name]; and further,

29.agrees that [AGENCY]s fidelity insurance bond is subject to claim at [Your Name]s option if any

agreed toBILL is unpaid; and further,

30.agrees the conditional acceptance paper itself, or a photocopy of said conditional acceptance paper,

is [AGENCY]s motion to dismiss [Case#: 012345678] with prejudice; and further,

31.agrees to [Your Name]'s reporting to Dun & Bradstreet and/or other credit rating agencies, with

[AGENCY]s consent and express permission, each of [AGENCY]s delinquent debts and/or

BILLs agreed to in this document; and further,

32.agrees that in the event it should be necessary for [Your Name] to retain legal assistance

[AGENCY] will provide unlimited funds to pay for said assistance; and further,
