Tender Notice No: UPNEDA/M&E/TPI /RFP/2017/01 Notice inviting Bids through e-Tendering
UPNEDA Invites “On line Tender s” (e-tenders) from the prospective Bidders for Third Party post installation
inspection, data collection, testing and evaluation of various Solar PV system implemented in Uttar Pradesh as per
scope of work, Technical parameters, terms and conditions mentioned in this RFP document. Tender documents
can be downloaded from website https://etender.nic.in (for view, down load and on line submission) and
UPNEDA Web site www.upneda.org (for view only). The BID has to be submitted online only.
The tender document is available at e-Procurement website http://etender.up.nic.in from 30-10-2017.

The companies deposit (EMD) who are registered at e-Procurement portal for e-tendering with U.P.
Electronics Corporation Limited. (UPLC), 10, Ashok Marg, Lucknow (Uttar Pradesh) would only be eligible for
participating in this e-tender. All companies who have not registered themselves with UPLC for e-tendering till date
can get their registration done. The companies may contact U.P. Electronics Corporation Limited. (UPLC), 10,

The Bidders need to submit the proof of payment of e-Bid document fees and EMD as stated in the above
table through Demand Draft as Bid document s fees and bank guarantee as EMD in favour of Director, Uttar
Pradesh New and Renewable Energy Development Agency (UPNEDA), payable at LUCKNOW. The scanned copy
of the Demand Draft and Bank guarantee must be enclosed along with the e-Bids. The original Demand Draft and
bank guarantee along with the hard copy of the blank document with enclosures duly signed by Bidders must reach
the office of UPNEDA at Vibhuti Khand, Gomti Nagar, Lucknow before opening date and time of Technical e-Bid
failing which, tender shall not be considered. Director, Uttar Pradesh New and Renewable Energy Development
Agency, (UPNEDA) reserves the right to reject any or all tenders without assigning any reason thereof. The decision
of Director, UPNEDA will be final and binding.

7. ELIGIBILITY
7A Minimum Eligibility
7.1 G E N E R A L
7.1.1 A. Minimum Eligibility Conditions:
1. The Bidder should be A Central/State Government public sector
undertaking, organization and corporations in India engaged in third party
inspection, data collection and testing of solar module, Battery, charge
controller, Invertor, PCU, Luminaire (LED) light, PCU, Electrical
installations for grid connected solar power plant and other electrical
equipment as per BIS/MNRE and other international standard.
b. The bidder should have at least last three years(i.e. FY 2014-15, 2015-16,
and 2016-17) experience in Third party inspection and testing of Solar
Photovoltaic Systems/Power Plants and its component preferably onsite
post installation.
d. The Bidder should have valid GST number. A copy of which should be
enclosed.
7.1.2 The Bidder should not be debarred / blacklisted by the Central Government or
State Government or their instrumentalities. The Bidder has to furnish an
affidavit to that effect along with its Bid.
7.2.3 The Bidder against whom any criminal case is pending in any court of
Competent Jurisdiction shall not be eligible to participate in this tender. The
Bidder has to furnish an affidavit to that effect along with its Bid.

8. PROCEDURE FOR E-TENDERING :
8.1 Instructions for e-Tendering (Online Tendering to Bidders)
8.1.1 Bidders are advised to study the tender Document carefully. Submission of
e-Bid against this tender shall be deemed to have been done after careful
study and examination of the procedures, terms and conditions of the tender
Document with full understanding of its implications.
8.1.2 The e-Bids will be electronically opened in the presence of Bidder’s
representatives, who choose to attend at the venue, date and time mentioned
in the above table.
8.1.3 In the event of date specified for e-Bids opening being declared a holiday for
UPNEDA’s office then the due date for opening of e-Bids shall be the
following working day at the appointed time and place.
8.1.4 All the required documents including Price Schedule/BOQ should be
uploaded by the e-Bidder electronically in the PDF/XLS format. The required
electronic documents for each document label of Technical (Fee details,
Qualification details, e-Bid Form and Technical Specification details)
schedules/packets can be clubbed together to make single different files for
each label. All the enclosures should be scanned and uploaded with Bid.
8.1.5 The companies who are registered at e-Procurement portal for e-tendering
with U.P. Electronics Corporation Ltd. (UPLC), 10, Ashok Marg, Lucknow
(UP) would only be eligible for participating in this e-tender. All companies
who have not registered themselves with UPLC for e-tendering till date can
get their registration done. The companies may contact the UPLC officials on
phone numbers 0522-2286809, 0522-2288750 (O) 0522-4130303 (Extn: 303,
304 & 307), for their Registration/Digital Signature Certificate related
queries.
8.2 On line Submission of Technical and Financial Proposal
Uploading of e-tender : The Bid shall be uploaded online as per guide lines of
U. P. Electronics Corporation Ltd. (UPLC), 10, Ashok Marg, Lucknow (UP).
8.2.1 The tender must be complete in all Technical and commercial respect and
should contain requisite certificate, drawings, informative literature etc. as
required in the specification.
8.2.2 First part (part-A) should contain Technical specification, brochure literature
etc. All parts of tender documents except Financial Bid should be uploaded as
per e-procurement mode in due date and time. Scanned copy of Requisite
earnest money in the form of Bank Guarantee should be enclosed.
8.2.3 The Bidder should submit price Bid in Second part. Second part (part-B)
should contain Financial Bid only and should be uploaded as per e-
procurement mode in due date and time.
Anything in regard of Financial condition, payment terms, rebate etc.
mentioned in Financial Bid may make the tender invalid. Therefore, it is in
the interest of the Bidder not to write anything extra in part-B except price.
Conditional Financial Bid shall be rejected.
8.2.4 The original copy of uploaded document i.e. First part (Part-A) is to be
submitted by Post /courier/by hand to UPNEDA HQ before opening of
Financial Bid.

8.2.5 Bidders can prepare and edit their offers number of times before Bid
submission date and time.
After Bid submission date and time, Bidder cannot edit their offer
submitted in any case. No written or online request in this regard shall be
granted.
8.2.6 Bidder shall submit their offer, i.e. Technical as well as Financial Proposal in
Electronic format on above mentioned website and date shown in Bid Info at
a Glance before digitally signing the same.
8.2.7 Offers submitted without digitally signed will not be accepted.
8.2.8 Offers only in physical form will not be accepted in any case.
8.3 General Instructions
8.3.1 Bids without RFP Document Fees, Earnest Money Deposit (EMD) and which
do not fulfill all or any of the conditions or submitted incomplete in any
respect will be rejected.

9. INTRODUCTION:
9.1 Uttar Pradesh New and Renewable Energy Development Agency (UPNEDA) is
implementing the Solar Photovoltaic Program on large scale in various places
across Uttar Pradesh, 9.1.1. The UPNEDA intends to have post installation inspection, data collection, testing,
compilation, analysis and report submission of complete Solar PV system and its components as Solar Panels, Batteries, Charge Controller, Inverters, Luminaire etc. by a third party to confirm the products performance and its specifications as per tender. The approximate number of system from each scheme to be surveyed is enclosed at annexure A.
9.1.2 The technical data at site of each solar PV Systems including solar Power Plant to be collected as per requirement for at least 25 % of the surveyed systems.
9.2 Manpower Requirement for this project:
Suitable manpower should be deployed at the place of inspection depending on requirement during the contract period. The number of manpower deployable should be enclosed.
9.3 Local Regulatory Frame Work
9.3.1 It shall be imperative for each Bidder to fully inform itself of all local conditions,
laws and factors which may have any effect on the execution of the Contract as
described in the Bidding Documents. The UPNEDA shall not entertain any request
for clarification from the Bidder, regarding such local conditions.
9.3.2 It is the responsibility of the Bidder that such factors have properly been
investigated and cconsidered while submitting the Bid proposals and that no claim
whatsoever including those for Financial adjustment to the Contract awarded under
the RFP document shall be entertained by the UPNEDA and that neither any change
in the time schedule of the Contract nor any Financial adjustments arising thereof
shall be permitted by the UPNEDA.
10. Instruction to Bidders
10.1 General Instructions
10.1.1 The current document is the request for proposal, which can be downloaded from the
E-Procurements website e-tender.up.nic.in and submit the Bid online with the Bid
document price of Rs5,900/-in the farm of Bank Draft in favour of Director,
UPNEDA payable at Lucknow. The tender document fees should be submitted
along with hard copy of Technical Bid on or before the date & time of opening the
Technical Bid. The Bid without tender document fees shall be rejected.
10.1.2 The UPNEDA expects Bidders to confirm compliance to RFP terms, conditions and
specifications at the time of submission of Bids.
10.1.3 Bids shall be evaluated based on the information/documents available in the Bid.
Hence, Bidders are advised to ensure that they submit appropriate and relevant
supporting documentation along with their proposal in the first instance itself. Bids
not complying with the requirements of this RFP are liable to be rejected without
any further opportunity.

10.1.4 All Bids must be accompanied by an EMD of value and manner as specified in this
RFP document and must be delivered along with Bids hard copy of Bid.
10.1.5 Bidders shall deploy the latest state-of-the-art technology.
10.1.6 The UPNEDA reserves the right, to accept or reject any Bid and to annul the
Bidding process and reject all Bids at any time prior to award of the Agreement,
without assigning any reason thereof and without thereby incurring any liability to
the affected Bidder(s).
10.1.7 Contractor shall not transfer or assign this contract in whole or in part to any person.
10.2 Clarification of RFP document
10.2.1 A Bidder requiring any clarification of the RFP documents may notify the
UPNEDA in writing to Director UPNEDA at contact details as indicated in this
RFP.
10.3 Amendment of RFP Documents
10.3.1 The UPNEDA may, for any reason, whether at his own initiative or in response to a
clarification requested by a particular Bidder, modify the RFP documents.
10.3.2 The amendment will be notified on UPNEDA website and e -procurement
website before the submission of the Bid and it will be binding on all the Bidders.
Bidders are advised to regularly visit both the websites.
10.4 Withdrawal of Invitation to Bid
10.4.1 While the UPNEDA has floated this RFP and has requested Bidders to submit
their proposals, the UPNEDA shall always be at the liberty to withdraw this
invitation to Bid at any time before its acceptance.
10.5 Financial Proposal and Currencies
10.5.1 The Bidders shall quote the prices inclusive of all the taxes, Financial Proposal
should be done through e-tendering.
10.5.2 The UPNEDA shall not be liable for payment of any taxes or duties whats so ever.
Bidders quoting of pricing other than the specified one, run the risk of rejection.
10.5.3 The Bidder shall indicate the price in Financial Bid in Indian National Rupee only.
1 0 . 6 EMD, SD, Advance payment guarantee and Performance Bank Guarantee
10.6.1 Earnest Money Deposit (E.M.D.):
10.6.1.1 The Bidder shall furnish, as part of its Bid, Bid Security of Rs.02 lakhs (Two
Lakhs only) in the form of Bank guarantee/Bank draft issued by a nationalized
bank, or State Bank of India and i t s subsidiary banks. The bank Guarantee
shall be valid for a period of 4 months from the opening of Technical Bid. Bank
guarantee should be in favour of Director, UPNEDA.
10.6.1.2 Any Bid not secured with the e-tender fee and earnest money will be rejected by
the UPNEDA as non-responsive.
10.6.1.3 No Interest shall be payable on the amount of earnest money and the same will be
released, after the tenders have been decided, to those Bidders who fail to get the
contract.
The e-tender earnest money may be forfeited:
a) If a Bidder withdraws its tender during the period of e-tender validity
b) If the Successful Bidder fails to sign the Agreement within stipulated period.

10.6.1.4 EMD of Successful Bidder shall only be released after signing of Agreement
and submission of Performance Guarantee/ Security Deposit.
10.7 SECURITY DEPOSIT:
10.7.1 SECURITY DEPOSIT/ PERFORMANCE GUARANTEE:
10.7.1.1 The S uccessful Bidders, who execute the Agreement with UPNEDA for the
work, shall have to furnish a Security D e p o s i t o f t h e amount equivalent to
1 0 % of total value of the contract in the form of Bank Guarantee valid for a
period of 18 months from the date of execution of Agreement. The bank
guarantee may be issued by a nationalized bank or State Bank of India or its
subsidiary bank. Bank Guarantee shall be in favour of "Director, UPNEDA".
10.7.1.2 This Security Deposit shall be in the form of an unconditional and irrevocable
bank guarantee for due performance of the Contract.
10.7.1.3 In case of any extension of the Completion Period, the validity of all the Security
Deposit shall be extended by such period of delay.
10.7.1.4 The security money shall be forfeited if contractor fails to perform the work
within the stipulated time period or such period extended by UPNEDA.
10.7.1.5 The security money shall be returned after successful completion of the Project.
11. SUBMISSION OF BIDSs
11.1 General Terms 11.1.1 The Bid should be submitted online as stipulated in the RFP document.
11.1.2 Any condition or any other stipulation contained in the Bid shall render the Bid
liable to rejection as a non-responsive Bid. The complete Bid shall be without
alterations, interlineations or erasures, except those to accord with instructions
issued by the UPNEDA, or as necessary to correct errors made by the Bidder, in
which case such corrections shall be initialed by the person or persons signing the
Bid.
11.2 P hysical submission of hard copy of BID:
11.2.1 The hard copy of Bid (except Financial Bid) along with enclosures and related
documents as per following must reach at UPNEDA Head Office, Vibhuti Khand,
Gomti Nagar, Lucknow before opening date and time of online Technical-Bid
without which the online Bid of concern Bidder will not be opened. Each Bid shall
consist of two sealed envelopes marked as follows:
Cover 1: RFP Document fee and EMD
Cover 2: Tender document along with Technical bid:
(i) Signed & filled copy of RFP Document including blank Financial Bid signed
by Bidders authorized signatory.
(ii) All the enclosures to the Bid in the form of Appendices in chronological order
only.
(ii) All documents related to the Eligibility of the Bidder including copy of
balance sheet for last 3 years, duly audited/certified by C.A.

(iii) All the enclosures, documents, literatures, drawing etc must be signed by the
Bidder and all cutting /erasers if any should be initials by Bidders.
11.2.2 Each of the envelopes shall clearly indicate the Tender number and name along
with the Bidder name and address of
11.3 Late Bids
11.3.1 Bids received by the UPNEDA after the specified time on the Bid due date shall
not be eligible for consideration and shall be summarily rejected.
11.4 Confidentiality
11.4.1 Information relating to the examination, clarification, evaluation and
recommendation for the Bidders shall not be disclosed to any person who is not
officially concerned with the process in relation to or matters arising out of, or
concerning the Bidding process. The UPNEDA will treat all information, submitted
as part of the Bid, in confidence and will require all those who have access to such
material to treat the same in confidence.
11.5 Correspondence with the Bidder
11.5.1 The UPNEDA shall not entertain any correspondence with any Bidder in relation
to acceptance or rejection of any Bid.
11.6 Bid Opening and Evaluation
11.6.1 The UPNEDA shall open, examine and evaluate the Bids in accordance with the
provisions set out in this RFP document.
11.6.2 To facilitate evaluation of Bids, the UPNEDA may, at its sole discretion, seek
clarifications in writing from any Bidder regarding its Bid.
11.6.3 Arithmetical errors will be rectified on the following basis. If there is discrepancy
between word and figures, the amount in word will prevail. If the Contractor does
not accept the correction of the errors, his Bid shall be rejected, and his EMD, may
be forfeited.
11.6.4 The UPNEDA may waive any minor informality, non-conformity or irregularity
in a Bid which does not constitute a material deviation, provided such waiver does
not prejudice or affect the relative ranking of any Bidder.
11.6.5 The UPNEDA will evaluate and compare Bids which have been determined to be
substantially responsive.
11.7 The procedure of opening of the e-tender shall be as under:
11.7.1 First part (part-A) uploaded having e-tender specification and super scribed as
“Technical Bid” shall be opened at the time and date mentioned in the e-tender
notice by UPNEDA’s representatives in the presence of Bidders, who choose to be
present.
11.7.2 Second part (Part-B) uploaded as Financial Bid shall be opened (after obtaining
clarifications and establishing Technical and commercial suitability of the offer) as
per schedule. Second part of only those Bidders shall be opened whose first part

12. Procedure for Finalization of BID .
The Procedure for Finalization of BID would be as follows:
12.1 Finalization of BID:
a) First the Technical Bids shall be opened and evaluated.
b) Then the Financial Bid of Technically qualified Bidders shall be opened.
c) The lowest rate (i.e. L-1) received (and in turn approved by the competent
authority) would be the “Approved Rate”.
d) If required UPNEDA reserves the right to negotiate with (lowest) L-1 bidder
before finalization of the tender.
e) To split the work against the tender on more than one firm for the same work.
No reason will be assigned by UPNEDA for this and will be binding on the
Bidders. Due to large quantum of work & limitation of the time period for
completion of the work UPNEDA may take consent from more than one Bidder
if they agree to work on L1rates approved by UPNEDA. UPNEDA may
undergo agreement with those eligible Bidders who give consent to work on
rates approved by UPNEDA and may place work orders to them.
12.2 Notification of awarding the contract:
The name of Successful Bidder for contract shall be displayed on UPNEDA's
website and shall be intimated in writing to the contractor.
12.3 EXECUTION PERIOD
After work order is placed for work, the work should be executed within 6 months.
In case of delay for any reason other than due to Force Majeure conditions a penalty
equal to 1% of the price of the unperformed services for each week (For the
purposes of calculation of delay, part of week shall be treated as week) of delay
until actual performance up to a maximum deduction of 10% of the delayed
services. The work shall have to be completed within 06 months from the date of
award of work.
12.4 CONTRACT
Before execution of the work, an Agreement for execution of the work shall be
signed with the Successful Bidder, as per the draft agreement annexure-iv. Bidder
has to sign the Agreement within the 15 days from the date of issue of Lo1 by
UPNEDA; otherwise earnest money of the Bidder deposited with the tender shall be
forfeited. Before execution of the Agreement the performance Guarantee equivalent
to 10 % of Contract price must be deposited by the Successful Bidder. The expenses
of the agreement shall be borne by the bidder.
12.5 Letter of Intent (LOI) and Award of Contract
12.5.1 After selection of Successful Bidder, a letter of Intent (LOI) will be issued to
Successful Bidder stating that UPNEDA want to appoint the Successful Bidder as
its contractor. Bidder shall have to sign the contract within 10 days of issue of LOI.
12.5.2 After issuance of Letter of Intent (LOI) by UPNEDA, Successful Bidder shall
have to pay Security Deposit (SD) in the form of Bank Guarantee within 7 days of
LO1 before signing of agreement.
12.5.3 Any effort by a Bidder to influence the UPNEDA on the Bid evaluation, Bid
comparison or Contract award decision may result in the rejection of the Bidder's
Bid.

13. General Terms and Conditions
13.1 Use of Contract Documents & Information
13.1.1 The Contractor shall not, without the UPNEDA’s prior written consent, disclose the
Contract or any provision thereof or any specification, plan, drawing, pattern
therewith to any person other than person employed by the Contractor in
performance of the Contract. Disclosure to any such employed person shall be
made in confidence and shall extend strictly for purpose of performance only.
13.1.2 The Contractor shall not, without UPNEDA’s prior written consent, make use of
any document or information except for purpose of performing the Contract.
13.1.3 Any document other than the Contract itself shall remain the property of the
UPNEDA.
13.2 Power to Vary or Omit Work
13.2.1 No alterations, amendments, commissions, additions, subtractions, or variations of
the work under the Contract shall be made by the Contractor except as directed
by the UPNEDA.
13.2.2 If the Contractor neglects to carry out the work due diligence and with
expeditiousness or refuses or neglects to comply with any reasonable order given to
it in writing by UPNEDA or contravenes any provisions of the Contract, the
UPNEDA may give seven days’ notice in writing to the Contractor, If the
Contractor fails to comply with the notice within reasonable time from the date of
serving thereof, in the event of failure, neglect or contravention capable of being
made good within that time, then in such case, if the UPNEDA thinks fit, give it to
another person on Contract at a reasonable price .
13.3 Statutory Responsibility
13.3.1 The Contractor shall comply with all applicable laws or ordinances, codes,
approved standards, rules, and regulations and shall procure all necessary
Municipal, Panchayat and Government permits & licenses etc. at its own cost.
13.3.2 The Contractor shall not leave the UPNEDA harmless as a result of any infractions
thereof. If required, the Contractor shall renew the above permits & licenses in case
such situation warrants.
13.4 Insolvency and Breach of Contract
13.4.1 The UPNEDA may at any time by notice in writing summarily terminate the
Contract without compensation to the Contractor.
13.4.2 Contractor is wound up voluntarily or by the order of a court or a Receiver/
Liquidator is appointed.
13.5 Timeline
13.5.1 The Contractor shall provide work schedule for each activities. The Contractor shall
also provide a Bar/PERT Chart indicating completion schedule for various
activities involved in the work within the stipulated completion period and
the Contractor should strictly adhere to that schedule. The work must be started at
site within 7 days from the date of execution of Agreement.

13.6 Delays in Execution or Failure to Supply
13.6.1 If the work is delayed on account of (i) Suspension of work as ordered by
UPNEDA (ii) Force Majeure conditions (iii) Any other causes, which, in absolute
discretion of the UPNEDA are beyond the Contractor’s control, the Contractor
shall appeal to UPNEDA in the form of a written application along with the
complete delay analysis before expiry of the Contract period, bringing out the
causes responsible for the delay, for granting suitable time extension.
13.6.2 If the Contractor is found not responsible for any delay in completion of the
work, formal time extension shall be granted by UPNEDA without Financial
penalty.
13.6.3 If the Contractor fails to deliver the reports or fails to start the work within
specified time frame after signing of Agreement or leave the work, UPNEDA shall
have the right to get the work done through any other agency at the risk and cost of
the Contractor. Further to this, UPNEDA may, without prejudice to the right of the
UPNEDA to recover damages for breach of Contract.
13.7 Penalties
Penalty for Delay:
13.7.1 The Liquidated Damages payable by Contractor to the UPNEDA for delay in
achieving the target is at the rate of 1% (One percent) of the Bid price per week
of delay or part thereof, subject to a maximum of 10% (five percent) of the Bid
Price.
13.7.2 Notwithstanding the foregoing, no Liquidated Damages for delay shall be payable
for period of delay in achieving the Commissioning to the extent such delay is
solely on account of Force Majeure Event and Contractor have been granted an
extension of time under the Contract.
13.8 Termination for Default
13.8.1 The UPNEDA may, without prejudice to any other remedy for breach of Contract,
by written notice of default sent to the Contractor, terminate the Contract in
following events:
(a) If the Contractor fails to deliver work within the time period(s) under the
Contract or any extension thereof granted by the UPNEDA pursuant to the
clause for Delay in Execution or Failure to Supply or,
(b) If the Contractor fails to perform any other obligations(s) under the Contract.
13.8.2 In the event the UPNEDA terminates the Contract, pursuant to above, the
UPNEDA may get the work done in such manner as it deems appropriate. 13.9 Indemnity
13.9.1 The Contractor agrees to defend, indemnify and hold harmless the UPNEDA, its
officers, directors, agents, employees and affiliates (and their respective officers,
directors, agents and employees) from and against any and all claims, liabilities,
actions, demands, judgments, losses, costs, expenses, suits, actions and damages
arising by reason of bodily injury, death or damage to property sustained by third
parties that are caused by an act of negligence or the willful misconduct of the
Contractor, or by an officer, director, sub-contractor, agent or employee of the
Contractor.
13.10 Force Majeure

13.10.1 In the event of either party being rendered unable by Force Majeure to perform any
obligation required to be performed by them under the Contract, relative obligation
of the party affected by such Force Majeure shall be treated as suspended during
which the Force Majeure clause last.
13.10.2 The term “Force Majeure” shall mean riots (other than among the Contractor’s
employee), Civil commotion, War (whether declared or not), invasion, act of
foreign enemies hostilities, civil war, rebellion, revolution, insurrection, military
coup, damage from aircraft, nuclear fission, embargoes, quarantines, acts of god
such as earthquake, lightning, unprecedented floods, fires not caused by
Contractors negligence.
13.10.3 The Contractor shall not claim any compensation for Force Majeure conditions
and shall take appropriate steps to insure men and materials utilized by it under the
Contract well in advance.
13.11 UPNEDA’s Decision
13.11.1 In respect of all matters, which are left to the decision of the UPNEDA, including
the granting, the UPNEDA shall, if required to do so by the Contractor, give in
writing a final decision thereon. If the final decision is not accepted by the
Contractor the matter will, at the request of the Contractor be referred to arbitration
under clause 14.35 of this RFP.
13.12 Deduction from Contract Price
13.12.1 All costs, claims, damages or expenses, which the UPNEDA may have paid
for which the Contractor is liable, will be deducted by the UPNEDA from the
Security deposit of Contractor or from any money due or which become due to him
under the Contract or any contract are being executed elsewhere with the UPNEDA
13.13 Terms of Payment
i) The 70% payment of the total contract value for each scheme shall be paid
after survey, data collection and testing of all the system and its submission of
format at the Head Office.
ii) 20% Payment shall be made after data compilation, its analysis and
submission of report.
iii) 10% payment shall be made after submission of final report and its acceptance
by UPNEDA.
13.14 Arbitration 13.14.1 If any question, dispute or difference what so ever shall arises between “UPNEDA”
and the contractor/ Bidder, in the connection with the Agreement except as to
matters, the decisions for which have been specifically provided, either party may
forthwith give to the other notice in writing of existence of such question, dispute or
difference and the same shall be referred to the sole arbitration of the Principal
Secretary, Department of Additional Sources Of Energy ,Government of Uttar
Pradesh or a person nominated by him not below the rank of Secretary. This
reference shall be governed by the Arbitration and Conciliation Act, 1996, and the
rules made there under. The award in such arbitration shall be final and binding on
both the parties. Work under the Agreement shall be continuing during the
arbitration proceedings unless the “UPNEDA” or the arbitrator directs otherwise
13.15 Court of Competent Jurisdiction

13.15.1 The High court of Judicature at Allahabad and Courts subordinate thereto, at
Lucknow, shall alone have jurisdictions to the exclusion of all other courts.
13.16 Law & Procedure
13.16.1 The law which is to apply to the Contract and under which the Contract is to be
construed shall be Indian Law.
13.17 Notices
13.17.1 For all purpose of the Contract, including arbitration there under, the address of the
Contractor mentioned in the Bid shall be the address to which all communications
addressed to the Contractor shall be sent, unless the Contractor has notified a
change by a separate letter containing no other communication and sent by
registered post with acknowledgement due to the UPNEDA. The Contractor shall
be solely responsible for the consequence of an omission to notify change of
address in the manner aforesaid.
13.17.2 Any communication or notice on behalf of the UPNEDA in relation to the
Contract Agreement may be issued to the Contractor by the UPNEDA and all such
communication and notice may be served on the Contractor either by registered
post or under certificate of posting or by ordinary post or by hand delivery at the
option of the UPNEDA.

14. SCOPE OF WORK
14.1 Scope of Work
The scope of work includes the inspection, data collection, testing of various
components, data compilation, data analysis and report submission with findings
along with suggestion for Solar PV system and its components installed at various
places across the Uttar Pradesh.
a) Inspection of SPV systems and certification for their conformity to the technical
specification of UPNEDA.
b) Measurement of critical parameters of various components used in the system
and certification for their compliance to guaranteed performance output.
c) Submission of inspection report in the prescribed format within the stipulated
period.
d) The system should be surveyed as per format Annexure-B and as provided by UPNEDA (These formats are tentative and can be revised based on requirement and practicability for site testing)
14.1.1 The Inspection agency shall prepare detailed Inspection checklists in co-ordination with UPNEDA based on the Tender Specifications and work order issued to the Supplier.
14.1.2 The Inspection agency shall do necessary modifications to the Inspection list as suggested by UPNEDA and obtain the necessary authorization before proceeding to the Inspection.
14.1.3 The Inspection agency shall coordinate with the UPNEDA to obtain necessary clearances and approvals to inspect in a particular location if required.
14.1.4 The Inspection Agency shall ensure that an authorized representative from UPNEDA and supplier is present during the Inspection period (if necessary and desired by UPNEDA).
14.2 Tests to be covered 14.2.1 All Inspected and approved materials should have a distinct identification mark and
such mark should be made on every item. 14.2.2 In case of any rejection, the Inspection Agency shall stamp the materials as
rejected and the same shall be mentioned in the deviation section of the report. 14.2.3 For any unexpected contingency or issue that arises during the Inspection, the
agency shall resolve the problem by intimating it to UPNEDA. 14.3 Test Report The original Inspection report (both hard and soft copy) should be sent to the
Director, UPNEDA. The Report shall contain the following sections for each inspected System:
A. Defect
a. Accepted : This result will conclude the equipment fit to use and will pass all the tests
performed.
b. Major Defect : Product fails to meet the contractual requirement. The product
may be inoperative, or does not operate well, or any function is inoperative.
The accessory parts essential for operation is missing.

c. Minor defect Components or issues that do not necessarily impact the normal usage of
the user. e.g. Product manuals and other accessories are missing.
d. Incidental Defect Product is dirty/dusty, packaging damaged, however the product passes all the
physical and power on tests.
B. Evidences a. Photographic evidence of damage .
b. Reports submitted in the accepted format.
C. Deviations a. The inspector shall not accept any deviation in the specification of the
materials except the measuring and instrumental errors up to maximum 3%. b. Any unanticipated exceptions shall be clearly outlined in the deviation report.
Any damages occurring during the process of inspection shall be considered as defect and not a deviation.
c. During inspection if any components damaged due to the carelessness of
inspector the cost of component shall be borne by the contractor.
