Unto the Breach, Dear Friends! The Expanding Role of Preferred Equity in
Rescuing Commercial Properties
In the face of depressed (and depressing) property values
and often hostile debt markets, owners are turning to
institutional super preferred equity as a last redoubt.
Is this a temporary expedient or will such equity replace
mezzanine loans as a more permanent part of real estate
structured financing? How does rescue preferred equity
differ from the conventional money and sweat joint
venture? How is it different from and better or worse
than mezzanine debt? Drawing from their considerable
experience with preferred equity recapitalizations over
the last two years, our panel will offer their answers to
these questions and maybe others.

partnership attorneys in a discussion about how the use
of public financial and land use assistance can make or
break the prospect of transforming obsolete shopping
centers into vibrant successful amenities for the
community and much needed sources of tax revenue,

Commonly Overlooked But Very Important Calculation Issues on Joint Ventures and
Preferred Equity
Important issues are frequently overlooked in the interplay
of drafting and calculations relating to joint ventures and
preferred equity. Learn about: recycling profits, including
the unintended and unfair result that can occur when a
capital resource makes contributions after IRR thresholds
have been met; squeeze down formulas; IRR calculation
issues; overlooked issues in calculating the price under a
buy/sell and in calculating a price under a ROFO;
unexpected results from provisions tax attorneys may
include; and odd results in sharing dead deal costs.

New Developments in Smart Growth,Transit-Oriented Development, and
Sustainable Communities Strategies:
The Impact of SB 375Many think that SB 375 will be the most significant
legislation affecting land use in California since CEQA
or the general plan law. Its proponents believe that it
will transform the way California plans, by requiring
true regional planning, aligning transportation and
land use planning and guiding California to
environmentally beneficial development outcomes.
Critics see it as an example of Sacramento-based social
engineering and an unfunded mandate, which ispotentially detrimental to California's economic
prospects by interfering with market-based
development patterns. Now, as California regions
begin to implement SB 375 by creating innovative land
use and transportation plans, learn how Southern
California will handle the challenges posed by SB 375.

The Failing Real Estate Project
What do you do when you realize that your efforts to
save your declining commercial real estate project are
not going to work out? If you are an opportunity
investor, how do you navigate the many possible
outcomes of a distressed real estate asset? Is the lender
serious about foreclosing? Are guarantees of recourse
obligations enforceable? Is bankruptcy a good
strategy? What will actually happen in a bankruptcy?
This panel discusses strategic planning for projects on
the brink, including issues for both owners and real
estate lenders and the interplay between the real
world and the world of bankruptcy.
