    Dear Colleagues,

    As you know, BSSEC took the decision recently to incorporate as aCommunity Interest Company (limited by guarantee) as an independentlegal structure will be useful in seeking resources in the future.

    Simon Lee and his colleagues at Anthony Collins Solicitors have kindlyundertaken all of the work associated with incorporation on a pro-bonobasis.

    The Memorandum & Articles are now completed and will shortly besubmitted for registration. A copy is attached FYI.

    As a result of this it has been agreed that:

    (1) All members who have paid a membership subscription forthe 2012 calendar year by 31/03/12 will by default becomemembers of the new CIC, unless they choose to opt out (by the

    same date 31/03/12). If you wish your membership totransfer to the new CIC you need do nothing (unless youhavent paid a membership sub, in which case you needto do so by 31/03/12). You only need to email me if youwish to opt out of membership of the CIC.

    (2) That the first Directors notified to Company House as partof the Incorporation will be the existing co-chairs Sarah Crawleyand Tony Clabby.

    (3) That three further Directors will then be selected and forthis purpose three nominations are invited from amongst themembership. (You can nominate yourself if you wish, ornominate another person as long as you have their permission.)If there are more than three nominations a ballot will be held(probably electronically).

    In light of this transition to a CIC, it would be extremely helpful ifmembers could do the following by 31/03/12 in each case:
