Construction Agency by the State Department of Uttar Pradesh State Government for the

4.1 Details of similar work completed in last 5 years. Similar work means providing Architectural

and Engineering Services for Construction involving rich finishes and extremely good quality

work mainly for Institutional/Guest Houses/Super Speciality Building works for Govt./PSU

organization. The Architectural firm must have completed one similar work above Rs.50.00

Crore during last 5 years. Details & documents are to be submitted proof,

DESIGN CONCEPT PRESENTATION/ QUALITY BASED CRITERIA

Under this stage, the tenders short listed after Stage-II shall be invited for participating in the

design concept competition by the way of presentation before the Committee constituted

along with their Quoted Fee subject to upper prescribed limit of Estimated Cost/ Actual Cost,

whichever is lower, @ 1.5% inclusive of all taxes.

The A&C (C) shall provide hard & Soft copy of their Design cone . I;~~Jated details at

I. SJructural stability : The A&E (C) shall give certification regarding structural '·,,::,».;:

stability of the building ( s) duly vetted by any Government Engineering Institute.

2. Earthquake resistant : The A&E (C) shall ensure that the building has been designed as earthquake resistant building duly vetted by any Government Engineering Institute.

3. Field verification to ensure complete accuracy. 4. GRIHA Rating: The A&E (C) shall obtain Griha rating for the building from

designated organization.

6.0 Site Inspection :

Visit the site of work and submit the site inspection report regarding whether the work is proceeding as per drawings/ designs.

Liasioning for approval of design as statutory requirement I permissions/ completion certificate/ stability certificate and environmental clearance as well as fire clearance and clearance from civil aviation etc shall be provided by A&E (C) for the different competent authorities such as local development authority etc.

7.0 Cost Detailed Estimation:

A&E (C) shall prepare detailed estimate of wo Schedule Rate of CPWD applicable. If the item are not\ico d in uch items shall be prepared on the latest Delhi Schedµled of Rates and 1 t e items are still not available in Delhi Scheduled of rat~s then, tH stimates shall be prepared on markets rates/ actual analysis or as'' c!-u;ected by PRNN.

8.0 FEE PAYABLE

a. Upper limit of Fee payable for the schedule of services shall be @1.5% ·· ·.· (inclusive of service tax) on total cost of the project as defined in para 5&6 Total fee of the Project shall be limited to the estimated cost/quoted at the time of award of work for actual cost & shall not escalate with the escalation of Project cost if any unless and until scope of works revised.

b. Calculation of Statutory Service Tax charges as admissible from time to time shall be included within the prescribed limit of 1.5% and shall not exceed in any

case in and above fees quoted in clause 3 .a. Income tax shall be deducted as per Income Tax Act section 194-J, from each bill of A&E (C) at service.

10.0 EFFECTIVE PAYMENT TO THE A&E (C)

The payment to the A&E (C) made by Project Manager In-charge, UPRNN Ltd.,_ during various stages are on advance account payment and will be got adjusted in the final bill payment at various stages shall be as follows :-

1. The payments of Stage-I to Stage-IV in para V to the A&E (C) shall be paid considering the cost of project on the basis of approved preliminary estimates of the Project after deducting 10% amount for corrections/ modification required at

later stage. Payment up to this stage shall irrespective to be made after production of the drawings, actual work at site.

2. The final payment of the Project yo the A&E © shall be on the basis of the estimated cost or quoted cost, unless the scope of work is revised as mentioned in Clause 3 a including the cost of finishes, structural sanitary, plumbing and electrical fittings and fixtures, lifts escalators, equipment for mechanical I electrical I air conditioning works, site development and landscaping i.e., on all items on all items on which the A&E (C) has rendered professional services. It shall exclude the cost of land, contingency charges, centage charges of the excluding agency, external electrical connection & other statutory charges as described in para 3 above.

project or these terms shall be subject to the exclusive jurisdiction of the courts of New Delhi India.

13 .1 Any notice request or consent required or permitted to be given or made pursuant to these standard conditions shall be in writing. Any such notice request or consent shall be deemed to have been given or made when delivered in person to an authorized representative of the Party to whom the communication is addressed, or when sent to such party at the mentioned address.

13 .2 A party may change its address for notice hereunder by giving the other party notice in writing of such change to the mentioneq address.

( c) Any in fructuous expenditure as a result of demolition etc., ordered by the A&E (Cl and cost of any rejected work.

(d) Cost of supervisory and other establishment employed on work by the A&E (C) or the UPRNN Ltd.

(f) Cost of amount to be deposited against removal of hindrance s to start the project like. H.T., Line, Shifting, trees removal & shifting of other services etc.

(g) Escalation in the cost of work due to increase in rates and materials and labour after award of work.

In computing the cost of the work for computing the A&E (C)s fees, liquidated damages or deduction from the contractor due on account of defective work or other reasons will not be accounted for as deduction in cost.

17.0 SECURITY DEPOSIT:

An amount equivalent to 1 Oo/o of the total aliiount.payaBl~,as per fee of A&E ( C) shall be deducted progressivelyt,trom eacli b;ill tow"ards security deposit for fulfilling the terms of contract :faithfully \ahd honesty. The security deposit will be refunded after the comple.tion of the obligation of Guarantee clause or handing whichever'i"s later.

And the UPRNN Ltd .. will pay a royalty to the A&E (C) on mutually acceptable basis. The drawings cannot be issued to any other persons, firm or authority or used by the A&E (C) for any other Project. No copies of any drawings or documents shall be issued to anyone except the UPRNN Ltd. and its authorized representative.

19.4Modiflcation or Variations

Any modification of variation of the terms and conditions of these standard terms, including any modification or variation of the scope of the services may only be made by written agreement between the parties. However, each party shall give due consideration to any proposals for modification or variation made by the other party.

19.5Force Majeure

19.5.1 Definition For the purpose of these standard terms. Force Majeure means an event which is beyond the reasonable control of a Party and which makes a Party's performance of its obligations under the Contract impossible or so impractical to be considered impossible under the circumstances.

19 .5 .2 No Breach of Contract.

The failure of a Party to fulfill any of its obligations under the contract shall not be considered to be a breach of. Or default under, the contract insofar as such inability arises frorn an, .\even to Force Majeure, provide that the party affected by S:J;lch an ·~~ent (a) has taken all reasonable precautions, due care rea:sonable#alternative measures in order to carry out the te nd cougiti~ns of this Contract, and (b) has informed the other pa so'otl' as possible about the occurrence of such event.

19 .5 .3 Extension of Time

Any period within a party sh~!l, pursuant td 'this Contract , complete any action or task, shal\ t,e exte1;1ded for a period equal to the time during which such party was ,uft~l?.le ·to perform such action as a result of Force Ma·eure.

(a) If the A&E ( C) does not remedy a failure in the performance of their obligations under the Contract within thirty (30) days after being notified or within any further period as the Authority may have subsequently approved in writing .

(b)Ifthe A&E (C) becomes insolvent or bankrupt. ( c) If the A&E (C), in the judgement of the Authority has engaged in

corrupt or fraudulent practices in competing for or in executing the Contract.

(d)If, as the result of Force Majeure the A&E (C) are unable to perform a material portion of the services for a period of not less than thirty (30) days.

( e) If the Authority in its sole discretion and for any reason whatsoever, decides to terminate this Contract.

(f) If the A&E (C) fails to comply with any final reached as result of arbitration.

19.6.2 By the A&E (C).

The A&E (C) may terminate the CoFiit~ct, by notl~ss thirty (30) days written notice to the Authority su · notice tobe given after the occurrence of any of the events specified<in pattagraphs (a) through (c) of this Clause SC 2.6.2

(a) If the Authority fails to P<i!~1 any n1oney due to the A&E ( C) pursuant to the Contract and not sulj~Ct>*g.<di ute pursuant to Clause 7 hereof within forty-five (45) days <a; ~eiving written notice from the A&E (C) that such ent is o~erdue.

(b)If, as the resultiifij.gr2e'Maje~fe, the A&E (C) is unable to perform a material portion ·.ce for a period of not less than thirty (30) days.

( c) If, theii\utli~:rity fails to comply with any final decision reached as a result ofa,r1>imation pursuant to Clause SC 8 hereof.

19.6.3 Payn:font urion Termination.

Upori<termination of the Contract pursuant to Clauses SC 2.6.1 or 2.6.2 the Authority shall make the following payments to the A&E (C). (a) Payment pursuant to Clause 6 for services satisfactorily performed prior to the effective date of termination. (b) Except in the case of termination pursuant to paragraph. (a) Through (c) and (f) of clause SC 2.6.1 reimbursement of any reasonable cost incident to the prompt and orderly termination of the Contract.

20.0 GUARANTEE

1. The A&E (C) shall agree to re-design at his cost any portion of his . Architectural Engineering design work which due to his failure to sue a

reasonable degree of design skill, shall be found defective within two year form the data start of regular use of the portion of work affected.

11. The Authority shall grant right of access to the A&E (C) of these portions of the work claimed to be defective for inspection.

m. The Authority may make good the loss by recovery from the dues of the A&E (C) in case of failure to comply with the above clause.

21.0 DETERMINAITON OR RECESSION OF AGREEMENT

The Authority without any prejudice to its right again§t the A&E (C) in respect of any delay by notice in writing absolutely :determine the contract in any of the following cases.

22.2/The)Authority will get the work of A&E (C) and I or his sub-A&E (C)s supervised I inspected at any time by any officer nominated by him who shall be at liberty to examine the records, check estimate and designs.

22.3 The appointment of the Authority's own supervisory staff, if any, does not absolve the A&E (C) of his responsibility for design of structures and all provisions/services of the work entrusted to him so as to satisfy their requirement.

22.4 The A&E (C) hereby agrees that the fees to be paid as provided herein will be in full discharge of functions to be performed by him no claim whatsoever shall be against the Authority in respect of any proprietary

rights or copy right on the part of any other party relating to the plans, models and drawings.

22.5 The A&E (C) shall indemnify and keep indemnified the Authority against any such claims and against cost and expenses paid by the Authority in defending itself against such claims. 13.6 It is hereby further agreed between the parties that the stamp duly payable under the law in respect of this agreement shall be borne by the A&E (C).

23.0 ARBITRATION CLAUSE

Dispute Resolution

The parties shall use their best efforts to settle ~i~~.ble all qispj tes arising out of or in connection with this Agreement in "'the r11a.pner s}:\l'§<tified in this clause, including any unresolved controve f dispute{~) arising out of or in connection with this Agreement existence, ,u;iterpretaff6n, performance, or termination.

The J.trbitration proceeding shall be conducted in English or Hindi Language. The Arbitral award shall be final and binding upon the parties and judgement may be entered thereon upon the application of either party to a Court having jurisdiction ads per this Agreement. Each part shall bear the cost of preparing and presenting its own case and the cost of arbitration including fees and expenses of the arbitrators shall be shared equally by the parties unless the award otherwise provides.
