or survivors of them and the administrators and executors

of the last survivor or survivors or trustees for the time

being of the trust hereby created ) of the QTHER PAP6 ;

WHEREAS the settlor has endorsed in favour of and

delivered to the trustees the s~ of Rs. 40,000/- ( Rupees

forty thousand only) mentioned in the sehedule hereto ;

'AND WHEREAS . total value · of the trust corpus fund

mentioned in the schedule hereto a s~ of Rs. 40,000/­

( Rupees forty thousand ) only.

FOW THIS WITN~8SES as follows :- It was agreed that

Trustees have already taken suitable necessary action for

establishment of Institute of Engine ering and Management.

Pursuant to further decision of the trustees, trustees have

been running the -.. institute with affiliation of the Inter­

national University, M~ouri, USA and will take all such

action for getting AICTE approved institution with Indian

University Affiliation. The trustees further decided that

decided that the Institute of Engineering and Management

must run as a self-fianced Private Institute and must

not depend on State GOverruent or University for funding

the Institute in any way. The Institute will however

comply with rules, regulations e ec , of the state

GOvernment and University.

2. The number of trustees shall not be less than four

and more than eleven. The trustees for the time being

"ill elect from among themselves one Chairperson and

he/she shall hold office for years unless he/she resigns

or refuees to act as Chairperson or otherwise ceases to

be trustee and in that event another chairperson will

be elected by the trustees in the manner etated ebove.

The existing trustees are empowered to appoint the

remaining trustees as and when required. Provided that

the opinion of the Chairperson shall prevail in the

matter of such appointment. In Case of necessity the

trustees are e~owered to execute suppl1mentary trust

deed in order to achieve the objec t of the trust. ~~-- --- ,_.- -- ­

3. The Board of TrUstees shall hold meeting from

time to time for taking decisions in reepect of affair

of the _Institution of Engineering and Management and

al so nominating the members 0 f the GOverning Body of

the Inst1"tnte. All decisions of the trustees shall be

based on opinion of the majority of the trustees present

at the meeting. If the trustees are equally divided in

any manner the Chairman shall have a casting vote.

4. In case of any vacancy amonq the trustees

occasioned ~by death, resi9Dation, incapacity cf. any

trustee or otherwise the office of the vacant trustees

as well aa the trust property shall devolve on the

:JUrvivin<J trustee or trustee8. The surviving trustees

shall carry out the trust and exercise all powers as

have been given in this deed to the original trustees

the surviving or continuing trustees may aPpoint

trustees to fill in such vacancies and shall appoint

trustees if the number falls below the minimum

prescribed.

6. If any of the trustees desires to be diSCharged

from trust, the other trustees are empowered to consent

to the discharge of the first trustee and to appoint

any per so n of his choice as successor trustee on such

terms and conditions as may be impo8ed by the remaining

trustees. The continuing trustee is also empowered to

decide not to appoint any successor to the outgoing

trustee, 1f he 50 chooses.

i. The trustees shall take necessary steps for

getting the said college affiliated to any University

1n accordance with law. FOr this purpose trustees

shall take a suitable resolution.

7. If so required by the affiliating authority/

University the trustees shall execute and register -

a deed of Sub-Lease in favour of the said Institute

of Engire ering & Management for such a period and

on such t erms and conditions as would be deemed

proper by the trustees and required under the law.

8. The trustees are empowered to nominate/elect

members of the Managing COIDIT,ittee/Governine Body

of the said College in rat io of 6:5 in terms of the

model approved by the AICTE.
