Propósito I Purpose
El propOsito de este procedimiento es establecer y mantener uniformidad y consistencia en el trámite decontratos, subcontratos y acuerdos. Tamblén busca agilizar el proceso de los mismos para ayudar alproyecto a lograr sus objetivos dentro del perlodo de ejecuciOn autorizado.
The purpose of this procedure is to establish and maintain uniformity and consistency in theprocessing of contracts, subcontracts, and agreements. It also seeks to streamline the processto help ensure that the project achieves its objectives within the authorized period of execution.
Procedimiento / Procedure
Una vez que el Investigador Principal (PT, por sus siglas en ingles) es notificado que su propuestao proyecto ha sido otorgado por Ia agencia proveedora de los fondos, el Administrador deProyecto debe ser informado por el P1 de su aceptacián dentro de tin perlodo de dos semanascon copia de Ia carta del “award”, presupuesto yjustificación del presupuesto. Si una otorgaciónde subcontrato esté incluida en Ia propuesta o proyecto, el Administrador de Proyecto iniciarth elproceso de preparación del subcontrato a través de Ia oficina del Director Asociado del CRCI.
Once a Principal Investigator (P1) is notified that his proposal or project has been awarded by thefunding agency, the Project Administrator must be informed by the P1 of its acceptance within aperiod of two weeks with a copy of the letter of award, budget and budget justification. If asubcontract award(s) are present in the grant or project, the Project Administrator will initiatethe process of preparing the subaward via the office of the RCSE Associate Director.
1. Con el fin de asegurar que el protocolo de contratos de Ia UPR sea utilizadoadecuadamente, el Administrador de Proyecto debe someter a Ia Oficina de Ia DirectoraAsociada del CRCI un borrador del contrato, subcontrato o acuerdo para que el mismosea evaluado preliminarmente. La persona designada en Ia Oficina de Ia DirectoraAsociada, verificará que el formato contenga todas las cláusulas requeridas, segün el tipode contrato, subcontrato o acuerdo (Ver Anejo 1). De ser necesarlo, se consultará con IaOficina de Asuntos Legales de AdministraciOn Central para asegurar que todos losrequerimientos y preguntas relacionadas con el contrato sean contestadascorrectamente.
In order to ensure that proper UPR contract protocol is performed, the ProjectAdministrator must submit a draft of the contract, subcontract or agreement to the Officeof the Associate Director for preliminary evaluation. A designated person from theavailable staff will verify that the correct format is used and depending upon the type ofcontract subcontract or agreement (See Attachment 1) all required clauses are present.

If deemed necessary, the Office of Legal Affairs of the Central Administration will beconsulted to ensure that all requirements and questions related to the contract areanswered correctly.

If the format is wrong and/or does not include any required clause, the contractsubcontract or agreement is returned to the Project Manager for corrections. Oncecorrected it should be returned to the person in charge in the Office of the AssociateDirector for final review.

Si el formato está correcto con las cláusulas necesarias incluidas, el contrato, subcontratoo acuerdo se le devolverá al Administrador de Proyecto para que someta el contrato finalfirmado por Ia otra parte. Todos los contratos, subcontratos o acuerdos finales debenvenir acompanados de Ia carta de trámite para el visto bueno del Vicepresidente y paraIa firma del Director Asociado del CRCI, junto con todos los documentos requeridos següninformado por Ia Oficina de Asuntos Legales de AdministraciOn Central el 11 de febrerode 2011 (Ver anejo 2).
If the format is correct with the necessary clauses included, the contract, subcontract oragreement is returned to the Project Manager to process the signature of the other party.All contracts, subcontracts or final agreements must be accompanied by a transmittalletter for the approval of the Vice President and the signature of the Associate Directorof RCSE, along with all required documents as described in communication from theCentral Administration Office of Legal Affairs dated February 11, 2011 (See Attachment2).
4. El contrato final es referido al contable del proyecto para verificar Ia disponibilidad defondos junta a una carta de certificaciOn de fondos para su firma. El contable verifica elnümero de cuenta a ser utilizado y Ia disponibilidad de fondos. De estar los fondosdisponibles, el contable procede a firmar Ia carta de certificaciOn de fondos. Luego sedevuelven eI contrato y Ia certificaciOn de fondos a Ia persona responsable del procesofinal. De tener alguna situaciOn con los fondos, el contable debe reunirse con elAdministrador del Proyecto. Una vez identificados los fondos, se procederá segün aquldescrito.
The final contract is referred to the project accountant to verify the availability of fundsalong with a letter to certify the availability of funds. The accountant verifies the accountnumber that will be used and the availability of funds. If the funds are available, the

accountant proceed to sign the certification of available funds. Then the contract and thefunds certification are returned to the person responsible for final processing. If somesituation occur with the funds, the accountant needs to meet with the ProjectAdministrator. Once the funds are identified, the above process will be followed.
5. La persona encargada en Ia Oficina de Finanzas procede a enviar Ia Certificación deFondos, el subcontrato, contrato o acuerdo junto a los documentos requeridos a IaVicepresidencia de lnvestigaciOn y Tecnologia (Ver Anejos 3 y 4).
The person in charge in the Finance Office proceeds to send the Certification of AvailableFunds, subcontract, contract or agreement with the required documents to the VicePresident for Research and Technology (See Attachments 3 and 4).
6. La Vicepresidencia de lnvestigación yTecnologIa tramita el visto bueno del Vicepresidentey procede a endosar todos los documentos a Ia Oficina de Asuntos Legales.
The Vice President for Research and Technology handles the approval of the VicePresident and proceeds to endorse all documents to the Office of Legal Affairs.
7. De surgir alguna duda o situaciOn con el contrato, subcontrato o acuerdo en trámite, elAsesor Legal de Ia Oficina de Asuntos Legales de AdministraciOn Central se comunicarécon Ia persona encargada en el CRCI via correo electrOnico o por teléfono indicando IasituaciOn o duda.
If any questions or situation arises with the contract, subcontract or agreement inprocess, the Legal Officer from the Office of Legal Affairs will contact the person in chargeat the RCSE via email or by phone indicating the situation or question.
8. La persona encargada en el CRCI verificará con el Administrador de Proyecto yb personaindicada para cualquier corrección o trámite requerido por el Asesor Legal para completarel proceso.
The person in charge at the RCSE verifies with the Project Manager and/or appropriateperson for any corrections or formality required by the Legal Officer to complete theprocess.
9. Una vez resuelta cualquier situación con el contrato, subcontrato o acuerdo, Ia Oficina deAsuntos Legales lo envIa a Ia Oficina del Presidente para Ia firma del Presidente.
Once any situation with the contract, subcontract or agreement is resolved the Office ofLegal Affairs sends it to the Office of the President for the President’s signature.

10. La persona encargada en Ia Oficina de Finanzas dará seguimiento al contrato, subcontratoo acuerdo hasta que el mismo se recibe debidamente firmado por el Presidente de IaUniversidad de Puerto Rico.
The person in charge in the Finance Office will monitor the contract, subcontract oragreement until it is received duly signed bythe President of the University of Puerto Rico.
11. Una vez el contrato, subcontrato o acuerdo es recibido debidamente firmado, Ia personaencargada en Ia Oficina de Finanzas procede a registrarlo en Ia Oficina del Contralor (verProcedimiento Interno para ci Registro de Contratos, Subcontratos y Acuerdos en IaOficina del Contralor de Puerto Rico).
Once the contract, subcontract or agreement is received duly signed, the person in chargein the Finance Office proceed to register in the Office of the Comptroller (see InternalProcedure for the Registration of Contracts, Subcontracts, and Agreements at the Officeof the Comptroller of Puerto Rico).
12. La persona encargada en Ia Oficina de Finanzas saca copias del contrato. Procede aentregar una copia al Administrador de Proyecto y mantiene una copia en el archivooficial del proyecto. El contrato original es enviado a Ia Oficina de Contabilidad deAdministracián Central para el trámite de pagos, junto con copia de Ia Hoja de Registrode Ia Oficina del Contralor.
The person in charge in the Finance Office makes copies of the contract. Proceeds to givea copy to the Project Manager and keep a copy in the official project file. The originalcontract is sent to the Central Accounting Office Administration for processing payments,along with a copy of the Registration Form from the Office of the Comptroller.
13. El Administrador de Proyecto debe informar a Ia otra parte que el contrato, subcontratoo acuerdo fue debidamente firmado de forma tal que los trabajos puedan comenzar arealizarse.
The Project Manager must inform the other party that the contract, subcontract oragreement was duly signed so that work can begin to be realized.

Como bien saben, todo contrato propuesto per oficinas adscritas a IaAdniinistraciOn Central debe ser referido a nuestm Oflcina para su revisiOn legal yendoso pan la firma del Presidente.
A modo de recordatorio, les mencionamos los aspectos a tom& en consideraclOnpan Ia tramitacion do contratos a nuestra Oficina:
las oficinas adscritas a Ia AdminisfraciOn Central deben redactar loscontratos quo interesen proponer y los mismos deben incluir las normasuniformes de contrataclOn, quo son requisito pan toda contrataciOn con IaUniversidad de Puerto Rico.
Todo contrato quo so genere, per primera vez, sin que se utilice un modelopreestablecido, debe ser sometido a nuestra Oficina con todos mis términosy concliciones debidamente redactadosyacordados con el contratista panevaluaciOn preflm~ni, antes do que se someta a Ia firma dcl contratista ycon no menos de treinta (30) dIas de anticipaciOn a Ia fecha en que sepropone que el contato sea otorgado y entre en vigor.

CLAUSULAS MANDATORIAS Y UMFORMES
CLAUSTJLA DE CUMPLIMIENTO CON OBLIGACIONES CONTRIBUTIVAS
LA SEGUNDA PARTE certifica y garantiza que al momento de suscribir este contratoha rendido su~’plani11a contributiva durante los chico (5) años previos a este contrato y noadeuda contribuciones al Estado Libre Asociado de Puerto Rico, o se encuentra acogida aun plan de pagos, con cuyos términos y condiciones esta cumpliendo. Igualmentecertifica y garantiza que al momento de suscribirse este contrato no adeudacontribuciones por concepto de impuestos sobre propiedad mueble e inmueble.
LA SEGUNDA PARTE se obliga, como condición necesaria a este Contrato, a presentarlas certificaciones, relevos y docutnentos que acrediten su situación contributiva que scanrequeridos por Ia UPR o su representante autorizado. De asf requerirlo y no producirse Iamisma, la UPR no efectuara pago algino por los servicios aquf contratados hasta tantoLA SEGUNDA PARTE presente dicha documentaciód. Dc surgir que LA SEGUNDAPARTE estaba obligada a rendir las planillas y no Jo hizo durante los ültimos chico afioscontributivos, el Contrato será cancelado de inmediato.
LA SEGUNDA PARTE expresamente reconoce que ésta es una condición esencial delpresente Contrato y de no ser correcta en todo o en parte lo aquf certificado, esto serácausa suficiente para que Ia UPR pueda dejar sin efecto ci mismo y LA SEGUNDAPARTE tendrá que reintegrar a la UPR toda suma de dinero recibida bajo este Contrato.
Serd responsabilidad de LA SEGUNDA PARTE requerir de los subcontratistasautorizados para efectuar ci presente Contrato, que provean y certifiquen la informaciónrequerida en ésta cláusula y, a su vez, notificar sobre el particular a Ia UPR. De nocumplir con esta obligaciOn, esto serd causa suficiente para que Ia UPR pueda dejar sinefecto ci presente Contrato. Con posterioridad al otorgamiento del presente Contrato ydurante el término de su vigencia, LA SEGUNDA PARTE estará impedida desubcontratar con personas para cumplir con las obligaciones contrafdas por este Contrato,a menos que certifiquen la inforniación requerida en ésta cláusuia. Los profesionales otécnicos que sean utilizados por LA SEGUNDA PARTE para cumplir con lasobligaciones de este Contrato, serán considerados subcontratistas para todos los efectosde este Contrato.
II. CLAUSULA SOBRE RETENCIONES Y DESCUENTOS
A. CLAUSULA PARA RETENCION EN EL ORIGEN SOBRE PAGOS P0kSERVICIOS PRESTADOS
La UPR retendrá a LA SEGUNDA PARTE el siete por ciento (7%) del pagodebido por los servicios prestados, segün dispone la Sección 1062.03 de Ia LeyNüm. 1 de 31 de enero de 2011, Ley de Contribuciones sobre Ingresos de 2011,segtin enmendada, de conformidad con los regiamentos aprobados por ci

Secretario de Hacienda, a menos que presente un relevo del Departamento deHacienda que modifique o le releve totalmente de esta retención. No obstante, aelecciOn de LA SEGUNDA PARTE, Ia UPR, podrá deducir un diez porciento(10%) o un quince porciento (15%) de los pagos por los servicios prestados.Estarán exentos de retención los primeros mu quinientos ($1,500) dólarespagados durante ci aflo natural.
En ci caso de corporaciones que estén al dia con sus responsabilidadescontributivas, se deducirá y retendrá el tres porciento (3%).
B. CLAUSULA PARA RETENCION EN EL ORIGEN SOBRE PAGOSPOR SERVICIOS PRESTABOS EN EL CASO BE INDIVIDUOSNO RESIDENTES
1. EN CASO BE EXTRANJEROS
La UPR retendrá a LA SEGUNDA PARTE el veintinueve por ciento(29%) del pago debido por los servicios prestados, segün dispone IaSecciOn 1062.08 de Ia Ley Nüm. 1 de 31 de enero de 2011, Ley deContribuciones sobre Ingresos de 2011, segdn enmendada, por set LASEGUNDA PARTE UN RECEPTOR EXTRANJERO, y de conformidadcon los reglamentos aprobados por el Secretario de Hacienda.
2. EN CASO BE NO RESIDENTE - CIUDADANO BEESTADOS liMBOS
La UPR retendrá a LA SEGUNDA PARTE eF veinte pot ciento (20%) delpago debido por los servicios prestados, segdn dispone Ia SecciOn 1062.08de Ia Ley Ntim. 1 de 31 de enero de 2011, Ley de Contribuciones sobreIngresos de 2011, seg& enmendada, por ser LA SEGUNDA PARTE UNNO RESIDENTE - CIUDADANO DE ESTADOS UNIDOS, y deconformidad con los reglamentos aprobados por el S ecretario deHacienda.
Ill. CLAUSULA SOBRE CONTRIBUCION BE SEGURO POR DESEMPLEO,BE INCAPACIDAD TEMPORAL Y BE SEGURO SOCIAL CHOFERIL,SEGUN APLIQUE
Dc ser aplicable LA SEGUNDA PARTE certifica y garantiza que al momento desuscribir este contrato ha pagado las contribuciones de seguro por desemplco, deincapacidad temporal y de seguro social para chóferes (Ia que aplique); o se encuentraacogido a un plan de pago, con cuyos términos y condiciones está cumpliendo.Expresamente se reconoce que ésta Cs una condicion esencial del presente contrato, y deno ser correcta en todo o en parte la anterior certificación, será causa suficiente para que

Ia UPR pueda dejar sin efecto ci misrno y LA SEGUNDA PASTE tendrá que reintegrar ala UPR toda suma de dinero recibida bajo este contrato.
IV. CLATJSULA BE CONFLICTOS DE INTERESES
Lo aquf acordado no limita Ia facultad de LA SEGUNDA PARTE de ejercer librenientesu profesiOn, ni de Ilevar a cabo negocios lfcitos como cualquier otro hombre denegocios, pero LA SEGUNDA PARTE hace expreso reconocimiento de su deber de noaceptar ningün interés profesional ni particular en ningün asunto que resulte en unconflicto de intereses entre LA SEGUNDA PASTE y la UPR. LA SEGUNDA PASTEreconoce que en ci descargo de su función profesional tiene un deber de lealtad completahacia la UPR, lo que incluye el no tener intereses adversos a dicho organismogubernamental. Estos intereses adversos incluyen Ia representación de clientes quetengan o pudieran tener intereses encontrados con Ia pane contratante. Este deber,además, incluye Ia obligaciOn continua de divulgar a la TJPR todas las circunstancias desus relaciones con clientes y terceras personas y cualquier interés que pudiere influir en IaUPR al niomento de otorgar el contrato o durante su vigencia.
LA SEGUNDA PASTE representa intereses encontrados cuando, en beneficio de uncliente es su deber promover aquello a que debe oponerse en cumplimiento de susobligaciones para con otro cliente anterior, actual o potencial. Representa intereses enconflicto, además, cuando su conducta es descrita como tal en las norinas éticasreconocidas a su profesiOn, o en las leyes y reglanientos del Estado Libre Asociado dePuerto Rico.
En contratos con sociedades o firnias constituirá una vioiación de esta prohibiciOn el quealguno de sus directores, asociados o empleados incurra en la conducta aquf descrita. Lapane contratada evitará atm la apariencia de Ia existencia de intereses encontrados.
LA SEGUNDA PASTE reconoce el poder de fiscalizacion de la UPR en relación alcunipliniiento de las prohibiciones aqui contenidas. Dc entender Ia UPR que existen ohan surgido intereses adversos para con Ia pafte contratada le notificará por escrito sushallazgos y an intencián de resolver ci contrato en ci término de treinta (30) dias. Dentrode dicho término la paste contratada podrá solicitar una reunion a la UPR para exponersus argumentos a dicha determinaciOn de conflicto, la cual será concedida entodo caso. De no solicitarse dieha reuniOn en ci término mencionado o de nosolucionarse satisfactoriamente la controversia durante Ia reuniOn concedida este contratoquedará resuelto.
V. CLAUSULA BE CIJMPLIMLENTO DE LA LEY 1 DEL 3 DE ENERO DE 2012,LEY DE ETICA GURERNAMENTAL

LA SEGUNDA PARTE acepta que conoce y actuará conforme a las normas éticas de suprofesiOn y bajo éstas asume la responsabilidad por sus acciones.
VI. CLAUSULA DE CODIGO ETICA CONTRATISTA
LA SEGUNDA PARTE acredita haber recibido copia de la Ley Nüm. 1 del 3 de enerode 2012, conocida como Ley de Etica Gubernamental de 2011 asf como de la LeyNüm. 84 del 18 de junio de 2002, conocida como COdigo de Etica para Contratistas,Suplidores y Solicitantes de Incentivos Económicos de las Agendas Ejecutivas delEstado Libre Asociado de Puerto Rico, y se compromete a cumplir con sus disposiciones,asi como con Ia Ley de Etica Gubernamental. Las panes estipulan que, a tenor con lodispuesto en la Ley 84 del 18 de junio de 2002, todas y cada una de las facturaspresentadas para el cobro bajo este contrato tendrán Ia siguiente certificacián:
Bajo pena de nulidad absoluta, certifico que ningdn servidorpüblico de la Universidad de Puerto Rico es pane o tiene alg~ninterés en las ganancias o beneficios producto del contrato objetode esta factura y de ser pane o tener interés en las ganancias obeneficios producto del contrato ha mediado una dispensa previa.
La dnica consideración para suministrar los bienes o serviciosobjeto del contrato ha sido el pago acordado con el representanteautorizado de la agencia. El importe de esta factura es justo ycorrecto. Los trabajos y servicios aquf indicados han sido prestadosy no han sido pagados.
Se estipula por las panes que en ausencia de esta certificaciOn lafactura no será procesada ni pagada por Ia UPR.
VII. CLAUSULA DE CONSERVACION DE DOCUMENTOS
LA SEGUNDA PARTE se compromete a conservar los informes, hojas de trabajo yasistencia y demás documentos relacionados con los servicios objeto de este Contrato,para que puedan ser examinados o copiados por Ia Oficina de Auditores Internos de IaUniversidad de Puerto Rico, por una firma de auditores externos contratados por la UPRo por la Oficina del Contralor de Puerto Rico, en sus intervenciones a Ia TJPR. Lasauditorfas se realizarén en fechas razonables durante el transcurso de los servicios o conposterioridad a los mismos, conforme las prácticas de auditorfa generalmentereconocidas. Dichos documentos se conservarán por un perfodo no menor de seis (6)afios o hasta que se efectüe una investigacion pot Ia Oficina del Contralor de Puerto Rico,lo que ocurra primero.

VIII. CLAUSULA DE NO DISCRIMEN
Ambas panes hacen constar que no habrd discrimen por razones de edad, sexo, raza,color, nacimiento, origen o condiciOn social, impedimento fIsico o mental, creenciaspoifticas o religiosas o status de veterano, en las prdcticas de ernpleo, contratacióny subcontrataciOn.
ix. CLAUSULA DE DECLARACION DE NO RECIBIR PAGA 0 COMPENSAUJONPOR SERVICIOS PERSONALES RENDIDOS A OTRA AGENCIA
LA SEGUNDA PARTE certifica que no ocupa puesto regular o de confianza en ningunade las instrumentalidades del Estado Libre Asociado y que no recibe pago ocompensaciOn por servicios regulares prestados bajo nombramiento o contrato deservicios profesionales con un organismo del Estado Libre Asociado de Puerto Rico,excepto aquellos casos expresamente autorizados por ley. El contratista que certifica quetiene contrato con otro organismo o municipio del Estado Libre Asociado de Puerto Rico,garantiza que no existe incompatibilidad entre ambos contratos.
X. CLAUSULA DE LIBERACION
LA SEGUNDA PARTE será responsable de cualquier reclamación judicial ybextrajudicial yb administrativa y de proveer indemnizaciOn por concepto de dafios yperjuicios yb angustias mentales o morales que pueda sufrir, o alegue sufrir, cualquierpersona natural o juridica donde los daiios y perjuicios aleguen haber sido causados poracciones, actuaciones u omisiones negligentes, descuidadas yb culposas del contratista,sus agentes o empleados, cuando tales daños y perjuicios hubieran ocurrido total oparcialmente durante la realizaciOn de los servicios u obra, eximiendo, relevando yexonerando a la UPR de toda responsabilidad.
XL CLAUSULA DE CANCELACION 0 RESOLUCION
LA UPR podrá resolver el contrato mediante notificación con treinta (30) dfas deantelación a Ia fecha de la resolución. Además, la UPR, podrá cancelar el contrato deforma inmediata sin previo aviso cuando Ia pane contratada incurra en negligencia,incumplimiento o violación de alguna condición del contrato.
Este contrato será rescindido si durante su ejecución LA SEGUNDA PARTE resultaculpable por delitos contra el erario püblico, la fe y ftinciOn püblica o que envuelvanfondos o propiedad püblica estatal o federal.
En la eventualidad de Ia rescisiOn o resolución de este contrato bajo esta cláusula, eldnico remedio de LA SEGUNDA PARTE lo será el cobro de los servicios prestados yaceptados por la UPR hasta Ia fecha de la notificación de la resoluciOn o rescisióndel contrato.

XII. CLAUSULA SOBRE CUMPLIMIENTO DEL ARTICULO 30 DE LA LEY 86DE 1994, LEY DE SUSTENTO DE MENORES
A. [Jndividuol LA SEGUNDA PARTE certifica y garantiza que al momento desuscribir el Contrato está al dfa en el pago de pension alimentaria o se encuentraacogida a ian plan de pagos con cuyos ténninos y condiciones está cwnpliendo.Dc LA SEGUNDA PARTE no tener obligaciOn de pagar pensiOn alimentaria, as!mismo lo certifica y garantiza. Expresamente se reconoce que ésta es usiacondiciOn esencial del presente Contrato y de no ser correcto en todo o en pane loanterior, será causa suficiente para que Ia UPR pueda dej ar sin efecto ci rnismo yLA SEGUNDA PARTE tendrá que reintegrar a la UPR toda suma de dinerorecibida bajo este contrato. (LEY 86 DE 1994, ARTICULO 30).
B. [Persona Juridical LA SEGUNDA PARTE certifica y garantiza que almomento de suscribir el Contrato está cumpiiendo con las Ordenes emitidas a sunombre como patrono para retener del saiario de sus empleados los pagos depensiOn alimentaria.
Dc LA SEGUNDA PARTE no tener obligaciOn de hacer retenciOn alguna, as! mismo locertifica y garantiza. Expresamente se reconoce que ésta es usia condiciOn esencial delpresente Contrato y de no ser correcto en todo o en pane lo anterior, será causa suficientepan que Ia UPR pueda dejar sin efecto el mismo y LA SEGUNDA PASTE tendrá quereintegrar a la UPR toda suma de dinero recibida bajo este contrato. (LEY 86 DE 1994,ARTICULO 30).
XIII. CLAUSULA DE CERTIFICACION DE NO CONVICCION POR DELITOCONTRA EL ERARIO PI1BLICO
LA SEGUNDA PASTE certifica que no ha sido convicta ni se ha declarado culpable enci foro estatal o federal, o en cuaiquier otra jurisdicciOn de los Estados Unidos deAmerica por delito contra ci erario püblico, Ia fe y funciOn piiblica o aquellos deiitosconstitutivos de fraude, maiversaciOn o apropiaciOn ilegal de fondos pi.iblicos, segiinenumerados en ci artfculo 3 de Ia Ley Ndm. 458 de 29 de diciembre de 2000.Expresarnente se reconoce que ésta es una condiciOn esencial del presente contrato y deno ser correcta en todo o en pane Ia anterior certificaciOn, esto conllevara ia recisiOnautomática del contrato. Además, Ia SEGUNDA PASTE devolverá a Ia UPR todas lasprestaciones que hubiese efectuado con relaciOn al contrato.
XIV. CLAUSULA DE CONTRATISTA IN])EPENDIENTE
LA SEGUNDA PARTE estipula que todos sus servicios bajo este Contrato los rinde en elcarácter de contratista independiente. Reconoce además, que este contrato no concede aLA SEGUNDA PARTE sus empleados u agentes los derechos y prerrogativas que lasleyes y regiamentos apiicables proveen para los empleados regulares de ia UPR.

XV. CLAUSULA SOBRE CUMPLIMIENTO DE LEY NT’JM 14 DE 8 BE ENEROBE 2004, A1{TICULOS EXTRAIDOS BE PUERTO RICO
A tenor con la Ley Nthn. 14 de 8 de enero de 2004, LA SEGUNDA PARTE secompromete a utilizar artlculos extraldos, producidos, ensaniblados, envasados odistribuidos en Puerto Rico por empresas con operaciones en Puerto Rico o distribuidospor agentes establecidos en Puerto Rico al rendirse el servicio, siempre queestén disponibles.
XVI. CLAUSULA BE CUMPLIMEENTO BE LEYES
LA SEGUNDA PARTE será responsable del fiel cumplimiento de todos los reglamentosy leyes del Estado Libre Asociado de Puerto Rico y de los Estados Unidos de America,segdn apliquen, asi como de la Ley de Ia Universidad de Puerto Rico y de susreglamentos. Además la SEGUNDA PARTE estipula y acepta que este contrato se regiráe interpretará de acuerdo a las leyes del Estado Libre Asociado de Puerto Rico y que eltribunal con jurisdiccion pan cualquier reclamo relacionado con la ejecución de estecontrato lo será la sección correspondiente del Tribunal General de Justicia, Tribunal dePriniera Instancia, Sala de San Juan. LA SEGUNDA PARTE estipula que renuncia acualquier defensa predicada en la doctrinade conflicto de leyes.
XVII. CLAUSULA BE LEY 127 BE 2004
Ambas Partes aceptan y estipulan que a tenor con la Ley 127 de 31 de mayo de 2004ninguna prestación o contraprestaciOn obj eto de este contrato podrd exigirse hasta tanto elinismo se haya presentado para registro en la Oficina del Contralor conforme lo dispuestoen Ia Ley 18 de 30 de octubre de 1975 segün enmendada
XVIII. CLAUSULA BE NO PRESTACION BE SERVICIOS SIN ENMIENDA ESCRETA
Las panes estipulan que cualquier enmienda, cambio o modificaciOn que las partesacuerden con respecto a los términos y condiciones del presente contrato deberáincorporarse al mismo mediante enmienda escrita del presente Contrato, y de acuerdo conlas normas que rigen la contratación de servicios profesionales por Ia UPR. De igualforma las partes estipulan que no se prestará servicio de clase alguna una vez expire eltérmino de vigencia del presente Contrato. No se pagarán servicios prestados enviolaciOn a esta cláusula. Cualquier funcionario que solicite y acepte servicios de otrapane en violaciOn a esta disposición, lo estará haciendo sin autoridad legal alguna.

marca distintiva de Ia Universidad de Puerto Rico o de La Editorial, Universidad dePuerto Rico, sin que medie la autorización expresa y escrita de Ia UPR.
XX. CLAUSULA SOBRE DERECHOS PROPIETARIOS
[Nombre del contratista] acuerda que, en consideración a este acuerdo, toda obra deautorfa encomendada o que resultare de Ia ejecucion del presente Acuerdo (las “Obras”)se considerarán obras realizadas por contrato (“Work for Hir&’), segdn se define dichotérmino en virtud de Ia ley de derechos de autor de Estados Unidos. En la medida en quecualquiera de esas obras no sea una obra realizada por contrato para pertenecer a IaUniversidad de Puerto Rico, [Nombre del autor o inventor] cede y transfiere a IaUniversidad de Puerto Rico todos los derechos que [Nombre del autor o inventor] tenga opueda adquirir sobre todas esas obras. [Nombre del autor o inventor] acuerda firmar yentregar a la Universidad de Puerto Rico, ya sea durante a con posterioridad a la vigenciade este acuerdo, cualesquiera documentos que la Universidad de Puerto Rico estimeconvenientes pan probar la cesión de los derechos de autor.
XXL CLAUSULA BE TRANSFENENCIA 0 CESION BE DERECHOS 0 PAGOS
Los derechos objeto de este Contrato no podrán ser transferidos o cedidos pot LASEGUNDA PARTE sin el consentimiento escrito de Ia UPR.
XXII. CLAUSULA DE RETENCION BE 1.5% DISPUESTO POR LA LEY 48 DELDEPARTAMENTO BE HACIENDA
Igualmente, se notifica a LA SEGUNDA PARTE que de conformidad con lo establecidoen Ia Ley 48 de 30 de junio de 2013, Ia UPR está obligada a retener y deducir de todopago que esté obligado hacerle a ésta tin uno punto chico por ciento (1.5%) del pagobruto adeudado por los servicios prestados bajo este contrato conforme ordenado pot Leyy las regulaciones emitidas por el Secretario de Hacienda al respecto.

Anejo 1MANDATORY CLAUSES
Herewith are incorporated the mandatory contract clauses that as a
state owned entity are required by the University to appearing in all
contracts signed by it and which will apply as applicable:
1. INDEPENDENT CONTRACTOR CLAUSE
____________________ establishes that it is an independentcontractor of the University of Puerto Rico, and that neither itself; its
agents, fiduciaries, partners, employees; or subcontractors are, or will,
deemed themselves to be, or be considered, during the term of this
Agreement employees of the University. This Agreement does not allow
____________________ to claim any of the rights and prerogatives thatunder the existing laws and regulations are available to the regular
employees of the University.
2. INCOME TAX COMPLIANCE AND WARNING CLAUSE:
_________________ certifies and guarantees that it has filed andpaid its income tax returns to the Treasury Department of Puerto Rico
during the last five years previous to this Agreement.
____________________ also represents that it does not owe taxes that arepast due to the Commonwealth of Puerto Rico. ______________________

constitute sufficient cause for the University to cancel this Agreement; in

3. INCOME TAX CLAUSE AND SOCIAL SECURITY IN:

INDIVIDUALS ACCORDING TO SECTION 143 C OF THE NEW

No withholding or reduction on its fee will be made to

seven percent (7%) from payments made to

4. ETHICS ACT CLAUSE:
represents that, to the actual
knowledge of the engagement principal leading the services hereunder,
no employee or officer of the University has direct or indirect pecuniary
interest in the granting of this Agreement, pursuant to Act No. 1 of
January 3, 2012, known as the Commonwealth of Puerto Rico’s
Government Ethics Act. In the same way, the signatory to this Agreement
for the University represents that he does not have any kind of pecuniary
interest in realizing the same.
5. AUDIT DOCUMENT PRESERVATION CLAUSE:
agrees to keep all reports and
other documents related to the services rendered under this Agreement
for a period of no less than six (6) years or until an investigation by the
Office of the Comptroller of Puerto Rico is performed, whatever happens
first, and, to the extent reasonably necessary to substantiate payment
made by the University hereunder, to make them available to be
examined or copied by the Office of Internal Auditor of the University, or
by any firm of external auditors retained by the University or by the Office
of the Comptroller of Puerto Rico for purposes of auditing the University.
Any access to reports and other documents related to the services
rendered under this Agreement will be provided in reasonable dates
during the period of performance of its services or thereafter. Any records
available to the University under this Article may be redacted by
_______________________________ to the extend necessary to protect itsproprietary and confidential information and to avoid any invasion of
personal privacy.

6. LIABILITY RELEASE CLAUSE:
agrees to indemnify, defend
and save harmless the University against any damages and harm solely
for bodily injury, death or physical damage to real or tangible personal
property, to the extent such damages or harm are allegedly directly and
proximately caused by negligent actions or willful misconduct of
occurring totally or partially during the
realization of the services or job contracted for herein, exonerating and
releasing the University of all responsibility; provided, however, that if
there also is fault on the part of the University or any entity or individual
acting on the University’s behalf, the foregoing indemnification shall be
on a comparative fault basis.
7. TERMINATION CLAUSE:
The University may terminate this Agreement for convenience by
notifying ____________________________ fifteen (15) days prior to the
date of the termination.
Also, the University may immediately cancel the Agreement
without additional notice when _______________________________
engages in an act of negligence or default in connection with the
performance of the services hereunder, or any other violation of any
condition of the Agreement and has not cured such negligence, default or
violation within thirty (30) days of notice thereof. In terminations under this
immediately preceding clause it is agreed that the only recourse
_____________________________ will be the recovery of any fees owned
for services rendered up until the date the notice of termination is
received.
8. CERTIFICATION OF NO VIOLATION OF LAW REGARDING
GOVERNMENT FUNDS OR PROPERTY CERTIFICATION CLAUSE:
_______________________________ certifies and represents that atthe execution of this Agreement it has not been convicted of any crime or
violation of law against the national treasury, any legal authority or

regarding state or federal government funds or property, pursuant to
Puerto Rico Public Law number 458 of December 29, 2000, as amended.
This condition is an essential condition for granting the present Agreement
and if the certification turns out to be incorrect, in whole or in part, it shall
be sufficient cause for the University to cancel it unilaterally and
_______________________________ will have to reimburse all sums ofmoney received under this Agreement to the University. This Agreement
will be terminated if during its execution
_______________________________ is found guilty of any violation of lawagainst the national treasury, legal authority or regarding state or federal
government funds or property.
9. NON DISCRIMINATION CLAUSES:
_______________________________ certifies that it will notdiscriminate in account of sex, age, race, color, national origin or social
condition, physical or mental impairment, political or religious believes or
status in any employment contracting or subcontracting practices called
for by this Agreement.
10. GOVERNMENT EMPLOYMENT CERTIFICATION CLAUSE:
represents, to the best
knowledge and belief of the engagement principal leading the services
hereunder, the personnel of _______________________________
performing services hereunder do not hold a regular or trusted position in
any of the instrumentalities of the Commonwealth of Puerto Rico and
such personnel do not receive payment or compensation for services
rendered under appointment of professional services contracts with any
organism of the Commonwealth of Puerto Rico, except for the
Government Development Bank for Puerto Rico and its subsidiaries.
11. DEPARTMENT OF LABOR INSURANCE COMPLIANCE
CLAUSE
_________________________________ certifies represents that, in
connection with the services hereunder, it is making, and will make, any

payments related to unemployment insurance, SINOT, temporary
disability, drivers insurance (if applicable), as required by the Department
of Labor of the Commonwealth of Puerto Rico, and/or is under a payment
plan that it is being fully complied with. It expressly recognizes that the
absence of truth in this representation will constitute sufficient cause for
the University to cancel this Agreement; in such case
_____________________________ will have to reimburse the Universityany amount of money received under this Agreement.
12. SERVICES RENDERED WITHOUT A CONTRACT CLAUSE:
Pursuant to the regulations which govern contracting within the
University, the appearing parties in this Agreement, agree and accept
that no services will be required, nor rendered without a duly authorized
contract; or once the Agreement has expired, unless an amendment to the
same is in force before at said time. _______________________________
agrees and accepts that no payments will be made for services rendered
in violation of this clause, _______________________________ is hereby
advised that any person or employee of the University who requires or
accepts services in violation of this clause is acting without any legally
binding authorization whatsoever.
13. CONFLICT OF INTEREST CLAUSE:
BOTH PARTIES agree that the signing of this agreement in no way
limits or prevents from freely conducting its business with other parties;
but nonetheless, _______________________________ acknowledges that it
is expected that it will not enter into business relationships that may
prevent it from performing the services hereunder.
In this regard recognizes that in
discharging its responsibilities under this Agreement, it does not have any
adverse interest to those of the University that would prevent it from
performing the services hereunder. These adverse interests include the
knowing representation of clients that would prevent
_____________________________ from performing the services

hereunder. This obligation also includes the continuous responsibility to
inform the University of the circumstances of relations with clients and
third parties that would prevent ____________________ from performing the
services hereunder.
If it is understood that conflicts of interest exist or have arisen, the
University will notify its findings to _______________________________, in
writing, and its intentions of ending the Agreement in a thirty (30) days
period. In that period of time, _______________________________ can ask
for a meeting to present its arguments towards the findings, which meeting
will be granted in all cases. If this meeting is not requested during the
period of time herein mentioned or the controversy is not satisfactorily
resolved during the meeting this Agreement will be terminated.
14. CODE OF ETHICS FOR CONTRACTORS CLAUSE:
agrees and accepts to bind
itself to the terms and conditions imposed by Puerto Rico Public Law
number I of January 3, 2012, known as Ethics Government Law, as well
as to the Puerto Rico Public Law number 84 of June 18, 2002, known as
the “Code of Ethics” for “Contractors, Suppliers, and Applicants for
Economics Incentives of the Executive Agencies of the Commonwealth of
Puerto Rico”; and to include in all of its invoices the following certification
required by law:“We certify under penalty of nullity, that no public servant of the
University will derive or obtain any benefit or profit or any kind from the
contractual relationship which is the basis of this invoice. If such benefitor profit exist, the required waiver has been obtained prior to entering intothis Agreement. The only consideration to be received in exchange forthe delivery of goods or for services provided is the agreed-upon pricethat has been negotiated with an authorized representative of theUniversity. The total amount shown on this invoice is true and correct.The construction works have been realized the products have beendelivered, the services have been rendered, and no payment has beenreceived.”

above stated certification is included in said invoice.
15. LAW 12712004 CLAUSE:
Both parties agree and stipulate that pursuant to Puerto Rico
Public Law number 127 of May 31, 2004 no work or payment under this
contract may be claimed by either party until the contract has been
submitted for recording to the Office of the Comptroller of Puerto Rico as
required by Puerto Rico Public Law number 18 of October 30, 1975 as
amended. The University will file this Agreement within the time
prescribed by Law 127, after its execution.
16. _______________________________ will not use the name of the
University of Puerto Rico nor of any of its academic or administrative units,
the initials UPR, seals, logos, emblems or any distinctive trade mark of
University of Puerto Rico or of any of its units, without the prior written
express authorization of the University. The University does grant

17. PROPERTY RIGHTS CLAUSE:
agrees that, for consideration that is
acknowledged, any works of authorship commissioned or which results
from the execution of the agreement (the “Works”) shall be considered
works made for hire as that term is defined under United States copyright
law. To the extent that any such Work is not a work made for hire

18. Notwithstanding the above statements, notice is also given toTHE SECOND PART, that pursuant to Law 48 of June 30, 2013, THEUNIVERSITY must retain and deduct before payment is made onepoint five percent (1.5%) from all payments made to THE SECONDPART for the services rendered under this contract, as order to byLaw and in accordance with the regulations approved by theSecretary of the Treasury.
19. Pursuant to by Puerto Rico Public Law number 14 of January 8,
2004, agrees that whenever services are to be render under the
Agreement all supplies to be used, if available, will be items
extracted, produced, assembled, bottled or distributed in Puerto
Rico by companies or distribution representatives established in
Puerto Rico.
