Note that trustee elections result in an invitation to serve as a Trustee of the Corporation (Bylaws 2.2.8). Elected candidates may accept or decline this invitation.

Elected candidates who accept the invitation become Trustees on 1 January following the election.

The Executive Committee determines the number of vacant and expiring Trustee positions deemed to be open (Bylaws 2.2.1).

No more than 21 of the Trustees shall be current or emeritus educators of academic rank (“Academic Trustees”), and no more than seven Trustees shall be current or retired employees in industry or government or consulting (“Industrial Trustees”).

The Executive Committee determines the term (not to exceed 3 years) for each open position (Bylaws 2.2.2).

Optionally, the Trustees may discuss whether limiting the number of nominations to less than the number of candidates discussed is an appropriate strategy, given that every successful candidate must receive votes from the majority of all Trustees in office.

Candidates are nominated by any Trustee (Bylaws 2.2.3).

Nominations do not need to be seconded (Robert's Rules, Section 66).

Motions to close nominations must be seconded, cannot be debated, and require a two-thirds vote (Robert's Rules, Section 26).

ElectionElection

The detailed balloting and counting procedures are determined by the Executive Committee and approved by the Trustees (Bylaws 2.2.5). Trustees in office but not present must be given the opportunity to participate in the election.

Recent usual procedure is to obtain votes by secret ballot from the Trustees present and by mail or email ballot within a specified period of time from Trustees absent. Votes are certified by a tellers committee appointed by the Executive Committee, typically consisting of the Vice President and the Secretary.

To be elected, a nominee must meet two tests: 1. Receive votes from a majority of all Trustees then in office,

including those absent from the meeting; and2. Receive more votes than other nominees not elected to an open

position (Bylaws 2.2.7). Each Trustee in office (whether present at the meeting or not) may

cast a number of votes not exceeding the number of open positions and no more than one vote for any nominee (Bylaws 2.2.6).

[Note: To be elected, a nominee must receive at least as many votes as a majority of the number of Trustees in office, whether or not all Trustees voted (Test 1). Among those nominees passing Test 1 [presently 14 votes] , those receiving the greatest number of votes will be considered elected in turn until all open positions are filled. The Bylaws provide for breaking last-place ties if necessary, as no more will be elected as there were declared open positions.]

the Corporation.
