NOTE1 SUMMARYOFSIGNIFICANTACCOUNTINGPOLICIES
OrganizationThe Saint Paul Foundation, Minnesota Community Foundation and their Affiliates (theFoundation) are community foundations that are both a consortium of trusts and fundsoperating under a plan (the Plan) filed with the District Court of Ramsey County,Minnesota, and charitable corporations known as The Saint Paul Foundation andMinnesotaCommunityFoundation, respectively, Incorporated,organizedpursuant to thePlan.TheSaintPaulFoundationand theMinnesotaCommunityFoundationarepartofanetworkof foundations,organizations,andfundsthatpromotethemselvescollectivelyasMinnesotaPhilanthropyPartners.
TheSaintPaulFoundationandMinnesotaCommunityFoundationhaveoptedtocombinetheconsolidated financial statementsofbothorganizationsand their respectiveaffiliatesdue to common board membership and management. The consolidated financialstatementsof theMinnesotaCommunityFoundation includetheaccountsofGiveMNandThe Marvin Warroad Area Foundation, Type 1 Supporting Organizations to MinnesotaCommunityFoundation.Theaccompanyingconsolidated financial statements include theaccounts of The Saint Paul Foundation and certain affiliated foundations, which includeSaint Paul Public Schools Foundation, The Jones Family Foundation, RedWing PropertyConservationFundandTheCommunityInvestmentGroup(CIG).SaintPaulPublicSchoolsFoundation was dissolved in 2016. All material inter‐organization transactions andbalanceshavebeeneliminatedinpreparingthecombinedfinancialstatements.
FinancialStatementPresentationTheaccompanyingcombinedfinancialstatementsoftheFoundationhavebeenpreparedinaccordancewithU.S.generallyacceptedaccountingprinciples(GAAP).
NetAssetClassificationThe Foundation follows an accounting standard that provides guidance on the net assetclassificationofdonor‐restrictedendowmentfundsforanot‐for‐profitorganizationthatissubject toanenactedversionof theUniformPrudentManagementof InstitutionalFundsAct(UPMIFA).Thestandardalsoexpandsdisclosuresaboutanorganization’sendowmentfunds(bothdonorrestrictedandboarddesignatedendowmentfunds)whetherornottheorganizationissubjecttoUPMIFA.
Theboardofdirectors,ontheadviceoflegalcounsel,hasdeterminedthatthemajorityoftheFoundation’snetassetsdonotmeetthedefinitionofendowmentunderUPMIFA.TheFoundation is governed subject to The Plan for The Saint Paul Foundation and mostcontributions are subject to the terms of the Plan. Certain contributions are receivedsubjecttoothergiftinstruments,oraresubjecttospecificagreementswiththeFoundation.
UnderthetermsofthePlan,theboardofdirectorshastheabilitytodistributesomuchofthe corpus of any trust or separate gift, devise, bequest, or fund as the board in its solediscretionshalldetermine.Asaresultoftheabilitytodistributecorpus,allcontributionsnot classified as temporarily restricted or permanently restricted are classified asunrestrictednetassetsforfinancialstatementpurposes.

NetAssetClassification(Continued)Temporarily restricted net assets consist of irrevocable charitable trusts, restrictedcontributions receivable, the portion of donor‐restricted endowment funds that are notclassified as permanently restricted net assets, and earnings on donor‐restrictedendowment funds under UPMIFA. When donor restrictions expire, that is, when astipulatedtimerestrictionendsorapurposerestrictionisfulfilled,temporarilyrestrictednet assets are reclassified to unrestricted net assets and reported in the combinedstatementsofactivitiesasnetassetsreleasedfromrestrictions.Permanentlyrestrictednetassetsrepresentthefairvalueoftheoriginalgiftasofthegiftdateandtheoriginalvalueofsubsequentgiftstodonor‐restrictedendowmentfunds.EndowmentInvestmentandSpendingPoliciesTheFoundationhasadoptedinvestmentandspendingpoliciesforendowmentassetsthatseektoprovideapredictablestreamoffundingtoprogramssupportedbyitsendowmentwhile maintaining the purchasing power of the endowment assets. The Foundation’sspendingandinvestmentpoliciesworktogethertoachievethisobjective.Actualreturnsinanygivenyearmayvaryfromthisamount.Toachieveitsinvestmentobjectivesoverlongperiodsoftime,theFoundationhasadoptedan investment strategy that invests in domestic equities, international equities, privatecapital,fixedincome,realassetsandabsolutereturnstrategies.Themajorityofassetsareinvested inequityorequity likesecurities.Fixed income, realassetsandabsolutereturnstrategiesareusedtolowershort‐termvolatility.Diversificationbyassetclass,investmentstyle,investmentmanager,etc.isemployedtoavoidundueriskconcentrationandenhancetotal return.Theprimaryperformanceobjective is toachieveanannualized total rateofreturn,netof investment fees, that isequal toorgreater thantheFoundation’sspendingpolicypayoutrateplusinflationoverlongperiodsoftime.The spending policy determines the amount of money in a given year that will bedistributed from the Foundation’s various endowment assets, which includes donoradvised,nonprofit,designated, scholarship, community, fieldof interestandunrestricted.The spending policy is to distribute an amount equal to 5.25% of amoving twenty‐onequarter average but not less than 4.5% or greater than 6.0% of current market value.Accordingly, over the long term, the Foundation expects the current spending policy toallow its endowment assets to grow at the rate of inflation. This is consistent with theorganization’sobjectivetomaintainthepurchasingpowerofendowmentassetsandseektomaximizetheamountavailabletomeetthecharitableneedsofcommunities.Beginning January 2017, the Foundation lowered the payout from 5.25% to 5.0%, andadjustedtheceilingfrom6.0%to5.5%andthefloorfrom4.5%to4.25%.

InvestmentsMarketablesecuritiesarereportedatfairvaluebaseduponquotedmarketpricesor,whenquotesarenotavailable,arevaluedonthebasisofcomparablefinancialinstruments.Limited marketability investments, which principally include private capital, absolutereturninvestments,andrealassets,arevaluedatthequotedmarketpriceforsecuritiesforwhich market quotations are readily available or an estimate of value (fair value) asdetermined in good faith by management. Because these investments are not readilymarketable,theirestimatedvalueissubjecttouncertaintyand,therefore,maydifferfromthevaluethatwouldhavebeenusedhadareadymarketforsuchinvestmentsexisted.Donated securities are recorded at their fair value at the date of donation. Realized andunrealized investment gains or losses are determinedby comparison of specific costs ofacquisition to net proceeds received at the timeof disposal or changes in the differencebetweenfairvalueandcost,respectively.In general, investments are exposed to various risks, such as interest rate, credit andoverallmarketvolatilityrisk.Duetothelevelofriskassociatedwithcertaininvestments,itisreasonablypossiblethatchangesinthevaluesoftheinvestmentswilloccurinthenearterm and that such changes could materially affect the investment balances and theamountsreportedinthecombinedstatementsoffinancialposition.Investmentsheldby theFoundationundersplit‐interestagreements totaled$24,203,936and$27,339,255atDecember31,2016and2015,respectively.ContributionsReceivableContributionsreceivableconsistsofunconditionalpromisestogiveandarerecognizedasrevenueintheperiodreceived.Conditionalpromisestogivearenotrecognizeduntiltheybecomeunconditional,thatis,whentheconditionsonwhichtheydependaresubstantiallymet. Contributions to be received after one year are discounted using present value offuture cash flows. Amortization of discounts is recorded as additional contributionrevenue. An allowance for uncollectible contributions receivable is providedbaseduponmanagement’sjudgmentincludingsuchfactorsaspriorcollectionhistory.TheFoundation is the sole orpartial beneficiaryof charitable remainder trusts. In caseswheretheFoundationdoesnotactastrustee,theFoundationhasrecordedanassetatthepresentvalueoftherevenuetobereceivedfromthetrustsusingadiscountratebetween1.8%and8.8%basedontheyearthetrustwasestablished.

Program‐RelatedLoansReceivableTheFoundationhasmadeloanstonot‐for‐profitorganizationsandtounitsofgovernmentatbelow‐market interest rates.Repayment schedulesand interest rateson the loansarevaried. If the loan has a fixed maturity date, the loan receivable is recorded at the netpresentvalueofthefuturepaymentstobereceivedfromtheborrowerusinganimputedmarket interest ratebetween5.75%and7.5%basedon the year the loanwasmade.AtDecember31,2016and2015,therewerenopastdueprogram‐relatedloans.BeneficialInterestsInPerpetualTrustsTheFoundationisthebeneficiaryofvarioustrustscreatedbydonors,theassetsofwhicharenot inthepossessionoftheFoundationandarenotsubjecttothePlanfiledwiththeDistrictCourt.TheFoundationhasan irrevocable right toaportionof thenet incomeofthese trusts. The Foundation’s interest in these trusts is recorded at fair value and isclassifiedaspermanentlyrestrictednetassets.Distributionsreceivedfromthesetrustsarerecorded as unrestricted investment income, and the change in fair value is recorded aspermanently restricted net unrealized and realized investment gains (losses) in thecombinedstatementsofactivities.OtherAssetsFor purposes of financial position presentation, other assets consists of several items,including fixedassets, cashsurrendervalueof life insurance,notes receivable, andclientaccountsreceivable.GrantsPayableUnconditionalgrantsarerecordedasexpensewhenapprovedbytheFoundation’sboardofdirectors.Grantsthataresubjecttoconditionsarerecordedwhentheconditionshavebeensubstantiallymet.Duringtheyear,grantshavebeenapprovedanddisbursedtoorganizationsinwhichsomeoftheboardmembersmaybeinvolvedthroughboardorotheradvisoryrelationships.ItistheFoundation’spolicytohaveeachboardmemberdisclosetheconflictofinterest.Theseboard members are prohibited from voting on grants to these organizations in thoseinstances.

FairValueMeasurementsThe Foundation follows an accounting standard that defines fair value, establishes aframeworkformeasuringfairvalue,establishesafairvaluehierarchybasedonthequalityof inputsused tomeasure fairvalue, and requiresexpandeddisclosuresabout fairvaluemeasurements. The Saint Paul Foundation and Minnesota Community Foundation have agreed to poolcertain investment funds into an investment partnership called The CommunityInvestment Group (CIG). Under the governing documents for CIG, the investmentcommitteeofCIGisresponsibleforthemanagementofCIG.Amajorityoftheinvestmentcommittee may recommend that one or more additional persons be appointed to theinvestmentcommitteewhoshallbecomemembersifapprovedinwritingbyTheSaintPaulFoundation.
